Entsprechend den Vorschriften aus dem Gesetz und dem Deutschen Corporate Governance Kodex unterstützten wir den Vorstand bei der Geschäftsführung und berieten ihn bei der Leitung des Unternehmens. Der Aufsichtsrat wurde in alle Entscheidungen, die für Volkswagen von grundlegender Bedeutung waren, unmittelbar eingebunden. Des Weiteren haben wir aktuelle strategische Überlegungen in regelmäßigen Abstän- den gemeinsam mit dem Vorstand diskutiert. Der Vorstand informierte uns regelmäßig, zeitnah und umfassend in schrift- licher und mündlicher Form über alle für das Unternehmen wesentlichen Aspekte der Planung, der Geschäftsentwicklung, der Lage des Konzerns einschließlich der Risikolage und des Risikomanagements sowie über jeweils aktuelle Themen und die Compliance. Entscheidungsrelevante Unterlagen wurden uns stets rechtzeitig vor den Aufsichtsratssitzungen zugestellt. Darüber hinaus stellte der Vorstand dem Aufsichtsrat monatlich detaillierte Berichte über die aktuelle Geschäftslage und eine Vorausschätzung für das Gesamtjahr zur Verfügung. Im Falle von Abweichun- gen des Geschäftsverlaufs von den aufgestellten Plänen und Zielen gab der Vorstand ausführliche Erläuterungen in schriftlicher oder mündlicher Form ab. Zusammen mit dem Vorstand diskutierten wir intensiv über die Gründe für die Abweichungen, sodass zielführende Maßnahmen eingeleitet werden konnten. Der Aufsichtsrat kam im Jahr 2008 zu fünf ordentlichen Sitzungen zusammen, außerordentliche Sitzungen fanden nicht statt. Die durchschnittliche Präsenzquote der Aufsichtsratsmitglieder betrug 99 %. Alle Mitglieder haben an mehr als der Hälfte der Sitzungen teilgenommen. Zusätzlich wurde über eilbedürftige Geschäfts- vorfälle schriftlich im Umlaufverfahren beschlossen. ARBEIT DER AUSSCHÜSSE Zur Wahrnehmung seiner Aufgaben hat der Aufsichtsrat sechs Ausschüsse gebildet: das Präsidium und den Vermittlungsausschuss gemäß § 27 Abs. 3 MitbestG sowie den Prüfungsausschuss, den Ausschuss für Geschäftsbeziehungen mit Aktionären (AfGA), den Ausschuss für besondere Geschäfte (AfbG) und einen Nominierungs- ausschuss. Das Präsidium und der AfbG sollen laut ihrer Geschäftsordnung aus jeweils drei Vertretern der Anteilseigner und der Arbeitnehmer bestehen; die Mit- glieder im Nominierungsausschuss sind deckungsgleich mit den Kapitaleigner- vertretern im Präsidium; die übrigen Ausschüsse sind mit je zwei Vertretern der Anteilseigner und der Arbeitnehmer besetzt. Die Zusammensetzung der Ausschüsse zum Jahresende 2008 ist der Aufstellung auf Seite 113 zu entnehmen. BERICHT DES AUFSICHTRATS 5 Das Präsidium des Aufsichtsrats tagte im Jahr 2008 fünf Mal. Dabei wurden ins besondere die Beschlüsse des Aufsichtsrats vorbereitet; außerdem wurde über vertragliche Angelegenheiten des Vorstands entschieden.
