PRESIDENT'S MESSAGE: This past month has been. very busy one. First of all, after many months of negotiations with the Y.M.C.A. we have agreed on a lease for an additional room for our shop, plus and additional two-year leas,. The te~ of the lease are an additional rental fee of $250.00 per month, of whi~h $175.00 of this amount will be paid by the Society in cash and the balance will be'paid in labor at $10.00 per hour and 7.5 hours for the Y.

At our January Board meeting, Jim Bishop proposed to the Board that we purchase Faceting machines and teach Faceting at our shop. After much discussion the Board voted unanimously to recommend to the members at the General meeting that we follow through with Jim's proposal. At the General meeting the members voted to purchase four Faceting machines and to start classes.

When I becoma President of our Society I stated that my goal was to emphasize education and learning in our Society this year. I had'in mind classes in special cab cutting, square wire jewelry, , carving, cloisonne, etc. but to offer classes in faceting was beyond my wildest dreams. With the addition of faceting, I believe we will have one of the most complete shops we could ever hope for.

The '82 Show is just around the corner and the Show Committee needs the help of each and everyone to make this a most successful show. Why not give a Committee Chairperson a call today and offer your help? There is a job for each one of you. Some members do not get to the shop or the General Meetings for various reasons and therefore do not get to know each other very well. I believe there is no better way than volunteering a bit of your time to get to meet your fellow members.

MINERAL AND GEM SOCIETY OF CASTRO VALIEf, INC 6

ARTICLE I

The name of this organization shall be MINERAL AND GEM SOCIETY OF CASTRO VALLEY, INC.

ARTICLE II

The purpose of the Mineral and Gem Society of Castro Valley, Inc., a non-profit and educational organization,shall be;

Sec. 1 To increase knowledge and understanding of the sciences pertaining to minerals, gems, rocks and similar subjects.

Sec. 2 To increase the practical art of cutting, grinding and polishing of these materials, and their use in the design and creation of jewelry.

Sec. 3 To encourage members' participation in displaying or exhibiting.

Sec. 4 To encourage field trips to study the science of geology, and of minerals and fossils in place.

Sec. 5 To encourage and assist junior members in furthering their interest in minerals, gems and related subjects.

Sec. 6 To own such property, including mines or mineral rights, as may be desirable to further these purposes.

ARTICLE III - ELECTION OF MEMBERS Sec. 1 Ahy person, age eleven (11) or older, who has appli.d for membership will, upon payment of dues and being duly recorded on the membership roll of the Society by the Membership Chairman, be considered elected to membership.

Sec. 2 Should the attitude or conduct of any member be such as to be considered detrimental to the welfare of the SOCiety, such member may be expelled by a majority vote of the Board of Directors. Use of the Society shop and equipment for commercial purposes may be considered sufficient reason for revocation of membership. Before such action shall be taken, a written notice shall be given by the Board of Directors to the member requesting their appearance before the Board of Directors at a time and place to be designated, to show cause why such action should not be taken. If the member fails to appear without good reason, their membership will be re­ voked. Such member has the right to appeal at the Membership meeting. Sec. 3 There shall be five (5) classes of membership, namely; Regular members, Junior members, Associate members, Life members and Honorary members. Regular members and Life members shall enjoy all privileges and voting rights of the Society. Junior members, Associate members and Honorary members shall enjoy all the social privileges, but shall have no voting rights. ARTICLE III sec .. 4 Junior members shall be considered as those members eleven (11) through seventeen years of age, single, dependent on or residing in the home of their parents. Special circumstances will be given consideration by the Board of Directors,

Sec. 5 An Associate member shall be a former member currently residing more than one hund~ed (100) miles from Castro Valley.

Sec. 6 A person may be nominated for Life membership or Honorary membership by another member presenting a petition, signed by ten (10) current members to the Board of Directors, who may approve this action by a two=thirds majority vote. The petition shall then be presented at a regular meeting to the general membership, where a motion may be passed to confirm this action by a majority vote, if a quorum be present.

ARTICLE IV = ELECTION OF OFFICERS AND DUTIES Sec, 1 The elected officers shall be; Chief Executive Officer (President), Vice President, Secretary, Chief Financial Officer (Treasurer), Editor, Shop Foreman, Historian, Show Chairman, Librarian, Host and Hostess, Federation Director, Membership Chairman, Junior Mentor, Field Trip Chairman, and three Directors at Large, and they shall exercise the duties assigned by the Board of Directors. All officers and committee chairmen must be members in good standing in the Society.

Sec. 2 The elected officers and the immediate Past President, shall serve as the Corporate Directors as provided in the Articles of Incorporation, and the President shall be Chairman of the Board for the purpose of conducting Corporate business.

Sec. 3 All the officers, except the Directors at Large, the Federation Director, the Editor and the Show Chairman, shall be elected by ballot at the regular meeting of the Society held in M~ of each year, to hold office for one year, or until their successors have been duly installed. The Board of Directors shall appoint a m~mber to fill any vacancy in any office as soon as possible.

Sec, 4 Each Director at Large shall serve a term of three (3) years and, at each annual election, one new Director shall be elected by ballot to succeed to the office of the retiring Director. In the event any Director at Large shall become unable to serve during hiS/her term, a successor shall be selected as soon as possible by the Board of Directors for the balance of the term. Sec, 5 The duties of the three Directors at Large shall be to coordinate field trips, Society shows, speakers and programs for the meetings of the Society, and oversee physical property. They shall select candidates for the chair­ manship of the Society's annual show and other such duties as may be dele­ gated by the Board of Directors. Sec. 6 The Federation Director shall attend the meetings of the Federation and carry out the will of the Society as far as practical and report to the Society on matters presented and the actions taken. He shall be elected by ballot for a term of three years. ARTICLE IV

Sec. 7 The Editor shall prepare the Society bulletin and other printed matter for the benefit of the Society. The Editor shall be elected by ballot for a term of three years.

Sec. 8 The Show Committee Chairman for each annual show shall be nominated and elected at the January general membership meeting in the year preceding a show. The term of office shall end after the April general membership meeting following the show.

Sec. 9 In addition to the elective officers of this Society, there shall be appointed by the President, with the approval of the Board of Directors, the folloiving advisors or chairmen of committees: Publicity, Parliamentarian, Door Prize, Shop Steering, Scholarship, Sunshine and two Receptionists. As the needs of the Society may require, other committee chairmen shall be appointed in like manner. They shall serve for one year.

Sec. 10 No elective or appointed officers shall receive remuneration from the Society.

Sec. 11 The Board of Directors shall consider the conduct of any elective officer deemed detrimental to the operation of the Society and may, after a vote of two-thirds majority, recommend their removal from office to the general membership. They shall be dismissed from office if, at a regular membership meeting with a quorum in attendance, the general membership confirms this action, by secret ballot, with a two-thirds majority vote.

ARTICLE V - DUTIES OF THE BOARD OF DIRECTORS

Sec. 1 The Board of Directors shall meet from time to time upon call of the President, but not less than once each month, except with the approval of the Board.

Sec. 2 For the purpose of meetings, a majority of the voting members of the Board of Directors shall constitute a quorum.

Sec. 3 The Board may authorize and approve all expenditure~ not included in the budget up to $50.00 made for the benefit of the Society, unless such expend­ itures are authorized by a majority of members present and voting at any regular meeting of the Society. Any expenditure over $50.00 shall be author­ ized and approved only by the members present and voting at a regular meeting.

Sec. 4 Regular business shall be handled by the Board of Directors at its meeting, the minutes of which shall be published in the Society bulletin and approved at the next Board meeting.

ARTICLE VI - MEMBERSHIP DUES

Sec. 1 Annual dues are;

A. Adult individual member------$ 7.50 B. Junior individual member------$ 4.00 C. Family membership (husband and wife)------$12.00 Single parent------$ 7.50 Each additional participating Junior family member------$ 1.00 D. Associate member (a former member currently residing more than 100 miles from Castro Valley)----- ~ regular dues E. Life members and honorary members shall pay no dues. ARTICLE VI

Sec. 2 Annual dues are due and payable on July 1 of each year. Any member not having paid the annual dues ninety (90) days from the date due shall be removed from the Society membership roll.

Sec. 3 Membership dues for new members shall be halved after January 1. New members are defined as anyone not having been a member for the preceding year.

Sec. 4 Special assessments, when voted by the membership, must be paid by each member to remain in good standing. Honorary members shall be exempt.

ARTICLE VII - PARLIAMENTARY AUTHORI~~

All meetings of the Society shall be conducted in an orderly manner. In the event of a dispute, Robert's Rules of Order, Revised, shall apply as inter­ preted by the Parliamentarian.

ARTICLE VIII - COMMITTEES Sec. 1 Budget Committee. The Directors at Large, wi·th the consent of the other members of the Board of Directors, shall appoint a Budget Committee at the first regular monthly meeting of the Board after the installation of the new officers in June. It's duty shall be to prepare a budget projecting the expected income and expenses of the Society for the coming year. The budget shall be presented to the Board of Directors as soon as possible, so that it may be approved or modified~ published in the Society bulletin and presented for acceptance by the general membership at the September meeting.

Sec. 2 NOMINATING COMMITTEE" The Directors at Large, with the consent of the other members of the Board of Directors, ~hall appoint a Nominating Committee to present a list of candidates for el~ctive officers to be nominated at the meeting in April and reM again at the meeting in May. In addttion to the candidates proposed by the Nominating Committee, the President shall call for nominations from the floor. No nomination shall be made from the floor without the personal consent of the person being nominated.

Sec. 3 AUDITING COMMITTEE. The Directors at Large, with the consent of the other members of the Board of Directors, shall appoint an Auditing Committee at the close of the fiscal year to examine and inspect the financial records of the Society before turning them over to the incoming Treasurer.

Sec. 4 GENERAL COMMITTEES o In addition ~o any appointive officers heretofore mentioned, the President, with the consent of the Board of Directors, may appoint any necessary committees, naming the Chairman and members thereof, and may dissolve any committee so appointed, with like consent.

ARTICLE IX - GENERAL MEETINGS

Sec. 1 The General Meeting of the Society shall normally be held during the second week of each calendar month, excepting the months of July and August. A quorum for the transaction of Society business shall consist of at least ten percent (10%) of the voting membership. Approval of transactions shall be by a majority vote of the voting membership in attendance. ARTICLE IX Sec. 2 The General Meeting in April shall be the annual meeting for the nominating of all officers and directors.

Sec. 3 The General Meeting in May shall be the annual meeting for the election of all officers and directors.

Sec, 4 The newly elected officers and directors shall be installed at the General Meeting in June and shall commence their functions immediately.

Sec. 5 Special meetings, in place of, or in addition to the General Meeting, may be called by the President, or Board of Directors, when sufficient notice can be given to the membership by mail or telephone.

Sec. 6 One or more field trips shall be held each month when it is practical.

Sec. 7 Any meeting of the Society called for the purpose of conducting corporate business shall be held in Alameda County. The meeting in May shall be the regular annual meeting.

Sec. 8 Minutes of the General Meeting shall be published in the Society bulletin and approved at the next General Meeting.

ARTICLE X - ANNUAL SHOW

The Society shall hold at least one annual show. Members will be given the opportunity to display competitively, and/or non-competitively, according to classification. Displays shall be limited and classified according to the Society show rules, supported by AFMS, (American Federation of Mineralogical Societies), rules.

ARTICLE XI - AMENDMENTS

Any amendments to these by-laws may be presented at any regular membership meeting of the Society by a motion from the floor, and they shall be presented in writing and signed at the same meeting. Such motion, upon being duly second­ ed, shall be recorded by the Secretary and each member shall be notified. It shall then be read at the next regular membership me~ting and voted upon by the members, if a quorum be present. Publication in the Society bulletin shall be deemed as giving official notice to the membership of any action requiring a quorum of the membership, or of the Board of Directors.

ARTICLE XII - DISSOLUTION Assets of the Society shall, in the event of dissolution, be left to the California Federation of Mineralogical Societies.
