Sugg: It's Their Body of Law; Let Them Do What They Want: The Supreme IT'S THEIR BODY OF LAW; LET THEM DO WHAT THEY WANT: THE SUPREME COURT'S LIKELIHOOD OF RULING THAT STATE LAW SHOULD DETERMINE CERCLA LIABILITY FOR SUCCESSOR CORPORATIONS IN ASSET SALES INTRODUCTION In 2005, the Third Circuit reinvigorated a circuit split regarding whether state or federal law should determine successor liability for asset sales under the Comprehensive Environmental Response, Com-Com­ pensation, and Liability Act (CERCLA).I(CERCLA).' To appreciate the impact of this decision, consider a hypothetical based on The Simpsons. 2 This long-running animated series takes place in the fictional city of Springfield, located somewhere close to Shelbyville and Capitol City, in a state whose name has never been mentioned. 3 In Springfield, Homer Simpson works as a safety inspector at the Springfield Nuclear Power Plant,4Plant,4 which is owned by the "evil overlord" Charles Montgomery Bums.55 Suppose that after eating dozens of doughnuts one day, Homer carelessly falls asleep at the controls and fails to notice a substantial amount of radioactive waste seep into the soil at the plant.6 A few weeks later, Mr. BurnsBums fmallyfinally decides to retire and move to an unknown location after selling the Springfield plant to a corporation, aptly named Nuclear Successor Corporation.7 Several months later, the Environmental Protection Agency (EPA) discovers 1. Part I provides background on the statute and the different approaches that jurisdic-jurisdic­ tions use to impose successor liability.18liability.'8 Next, Part II analyzes the influential Supreme Court decisions regarding choice of law, which have provided the necessary framework for approaching the issue at hand. 19 Part III then applies these prior Supreme Court decisions to CERCLA and successor liability and concludes that if presented with the issue the Supreme Court will hold that state law should impose 20 such liability.liability.20 I. BACKGROUND A. A Brief Overview of CERCLA In 1980, the United States Congress passed CERCLA.221' The statute "was designed 'to'to bring order to the array of partly redundant, partly inadequate federal hazardous substances cleanup and compen­compen- sation laws.'laws. ",2222 Its purpose was "to initiate and establish a comprehensive response and financing mechanism to abate and control the vast problems associated with abandoned and inactive sites." 23 hazardous waste disposal sites. ,,23 CERCLA primarily concerns emergency responses to spills and the cleanup of leaking sites, which are either inactive or abandoned,24abandoned,24 and it provides the federal government with various remedies.25 For instance, the statute established the Superfund, which provides the necessary money for cleanups when the responsible party cannot be 18. ",28 Accordingly, CERCLA litigation has focused primarily onon who should pay for the costcost of cleanup at thesethese sites, and within these disputes, parties have argued intensely over the liabilityliability of successor 29 corporations.29 B.     THE HISTORY AND OPERATION OF THE BRIGGS LAW OF MASSACHUSETTS WINFRED OVERHO.SE* The problem of the mental capacity of persons accused of crime is one which has for several centuries been of considerable interest to the courts. Apparently prior to the middle of the eighteenth century, however, no great difficulty was experienced by the court in obtaining reliable evidence on this question-since at that time the experts were called in by the court as amici curiae. During the past two hundred years, however, the position of the experts has tended to develop into that of par- tisans,' and criticism has been widespread and caustic on the part not only of judges and lawyers but of the general public.2 By reason of the sensational nature of the crime charged in some cases where insanity is pleaded as a defense, undue attention has been focused by the public upon the r~le of the psychiatrist as an expert witness in criminal trials, despite the well recognized abuses of other types of expert testi- mony, criminal and civil alike. If criticism has been rampant, however, it cannot truthfully be said that no attempts have been made to improve the situation. Some of these attempts have partaken of the nature of action by professional societies, but the ones which concern us particularly are those which have been enacted into legislation. Of the types of legislative cures proposed, the most common has been that con- ferring upon the court the right or the duty, in certain specified cases, of appointing neutral experts.

Our ancestors brought with them its general principles, and claimed it as their birth- right; but they brought with them and adopted only that portion which was applicable to their situation." Story, J., in Van Ness v. Pacard, 2 Pet. 137, 144, 7 L. Ed. 374 (1829). The story of the extent to which the common law of England has been received and applied in the United States, is one of the most interesting and important chapters in American legal history. However, many courts and writers have shown a tendency simply to say that our colonial forefathers brought the common law of England with them, and there has often been little or no inclination to look further into the question.

To discuss strategy with respect to litigation - All pending litigation and threats of litigation with Town Counsel regarding the Route 20 Overlay Zoning Bylaw Ms. Miller moved that the Board vote to go into executive session pursuant to General Laws Chapter 30A, Section 21(a)(3) for the purposes of discussing strategy with respect to litigation and will return into open session., seconded by Mr. DePalo, on a roll call vote, Ms. Miller-yes, Mr. DePalo-yes, Mr. Kane-yes, Ms. Casavant-yes, Mr. Lebeaux- yes, Mr. Lebeaux advised that the Board will now go into executive session for the purposes of discussing strategy with respect to litigation of the Route 20 Overlay District Zoning Bylaw since an open meeting may have a detrimental effect on the negotiating position of the Town and further the Board will reconvene back into open session at 7:00 pm in the Selectmen’s Meeting Room.
