Seller's counsel Cary Tepper emailed me below that, for some strange reason, the FCC granted the assignment application on March 6, but did not release it until last week. ln any event, both applications are now granted and we are in a position to close the transaction. Cary has inquired below whether Gee Communications would like to close on "final order," or close sooner. The contract provides that we can close anytime between 10 and 45 business days from the FCC's initial g,rant, with the option to extend closing until 10 business days afterthe FCC initial consent becomes a "final order." The FCC initial grant effective date was March 21, so the closing window under the contract is anytime from April 4-May 23, with the option to extend the closing date to a day that is 10 business days afterthe FCC's initial consent becomes a "final order." "Final order" is defined in the contract as "an Order of the FCC granting its consent and approval to the assignment . from Seller to Buyer, whlch is no longer subject to rehearing, reconsideration or review by the FCC, or to a request for stay, an appeal or review by any court under the Communications Act of 1934, or the Rules and Regulations of the FCC." This is a very standard definition for "final order." All things being equal, my recommendation is generally to wait until "final order" to close. That way, there is no risk that a petition for reconsideration will be filed or any other intervening administrative or appellate action will get in the way of the transaction. I doubt anything like this would interfere, but there i:; always some risk (even if small) if you close before final order. The final order date will be April 30. Would closing on May '1 suit you? We can always close earlier if you wish. There may be business reasons to close sooner.     Renewal Primer for Television Stations for Renewal Cycle Beginning June 2020 March 2020 This primer provides detailed guidance on the television station license renewal process.1 Please have those involved in the license renewal process at your station take some time to review these materials. Stations must begin their post-filing announcements on the date that their renewal application is filed. Note that we are happy to set up a call with our clients to walk through this process and answer any questions. We are also glad to handle the mechanics of filing renewal applications through the FCC’s “new” Licensing Management System (“LMS”). SECTION I: THE BASICS The deadline by which a station is required to file its license renewal application is determined by the state in which the station is licensed. Attachment A contains a state-by-state list of license renewal application filing dates and license expiration dates.2 After filing its license renewal application, a station must air post-filing announcements for one month.3 Pre-filing announcements are no longer required.4 Section II of this memorandum provides detailed guidance on the required post-filing announcements, the specific text required, and sample statements for certifying compliance with the public announcement requirements (Attachments B-E). The license renewal application must be filed electronically through the FCC’s Licensing Management System (LMS) platform using FCC Form 2100/Schedule 303-S (“Form 303-S”). Attachment A contains a state-by-state list of license renewal application filing dates and license expiration dates.2 Importantly, a station must begin airing pre-filing announcements two months prior to its filing date. After filing its license renewal application, a station must also air post-filing announcements for three months. Section II of this memorandum provides detailed guidance on how stations must provide the required pre- and post-filing announcements, the specific text to be used, and sample statements for certifying compliance with the public announcement requirements (Attachments B-F). In previous renewal cycles, the license renewal application form was filed using the FCC’s CDBS electronic filing system. Now, however, as part of the FCC’s ongoing migration of all radio applications from the CDBS platform to the Licensing Management System (LMS), the license renewal application must be filed electronically through the LMS platform using FCC Form 2100/Schedule 303-S (“Form 303-S”). A sample copy of the Form 303-S from LMS is appended hereto as Attachment G, along with the FCC’s instructions for the form and a worksheet for determining compliance with the Commission’s radiofrequency (RF) exposure guidelines. Although the appearance of the Form 303-S is different in LMS than in CDBS, the questions asked in the form are the same as in the last renewal cycle and generally require “Yes/No” certifications.

Nutt-Powell MIT Energy Laboratory Working Paper No. MIT-EL-79-013WP January 1979 The Photovoltaics Project under which this work was completed is funded by the Depart- ment of Energy under Contract No. EX-76-A- 01-2295, Task Order number 37. ABSTRACT One of a series of papers as part of the institutional analysis of acceptance of photovoltaic (PV) energy, this paper presents an exploration of the radio broadcasting sector in the US. Organized according to the seven functions fulfilled by institutions -- political, regulatory, socialization, production, financial, research,and service -- the paper shows that the radio broadcasting industry is strongly focused and centralized at the federal level in terms of the political and regulatory functions. The other strong force influencing the nature of the industry is the mutual dependency between radio stations and advertisers. Subsequent papers in this series will complete the institutional analysis of a field test of PV in the daytime radio area. Partial support for work reported in this paper is provided by the MIT Undergraduate Research Opportunities Program (UROP).
