NOTICE OF ANNUAL MEETING OF STOCKHOLDERS

Please be advised that the Annual Meeting of the stockholders of METRO PACIFIC INVESTMENTS CORPORATION will be held on Friday, 30th day of May 2014, at the Ground Floor, Rigodon Ballroom, Manila Peninsula Hotel, Ayala Avenue corner Makati Avenue, Makati City 1226 Philippines for the following purposes:

1. To consider and adopt the Audited Financial Statements for the year ended 31st
December 2013 contained in the Annual Report

2. To ratify all acts of the Board of Directors and Management for the year 2013 3. To elect the Directors and Independent Directors of the Company for the ensuing year 4. A. GENERAL INFORMATION Item 1. Date, time and place of meeting of security holders.

The Annual Meeting of the stockholders of Metro Pacific Investments Corporation (the “Company”)

will be held on Friday, 30th day of May 2014, at the Ground Floor, Rigodon Ballroom, Manila Peninsula Hotel, Ayala Avenue corner Makati Avenue, Makati City 1226 Philippines

The mailing address of the Company is at the 10th Floor, Makati General Office Building, Legazpi corner Dela Rosa Streets, Legazpi Village, Makati City, 0721 Philippines.

This Information Statement will be first sent or given to security holders on or around the 2nd day of May 2014.

Item 2. Dissenters' Right of Appraisal

Under Section 81 of the Corporation Code, the following are the instances when a stockholder may exercise his appraisal right:

  • 1.
  • In case any amendment to the articles of incorporation has the effect of changing or

restricting the rights of any stockholder or class of shares, or of authorizing preferences in any respect superior to those of outstanding shares of any class, or of extending or shortening the term of corporate existence;

  • 2.
  • In case of sale, lease, exchange, transfer, mortgage, pledge or other disposition of all

or substantially all of the corporate property and assets of the Company; and

  • 3.
  • In case of merger or consolidation.

In order that a dissenting stockholder may exercise his appraisal right, such dissenting stockholder must have voted against the proposed corporate action at the annual meeting. Within thirty (30) days after the date of the annual meeting at which meeting such stockholder voted against the corporate action, the dissenting stockholder shall make a written demand on the Company for the fair value of his shares which shall be agreed upon by the dissenting stockholder and the Company. If the proposed corporate action is implemented, the Company shall pay the dissenting stockholder upon surrendering the certificates of stock representing his shares, the fair value of said shares on the day prior to the date on which the vote was taken. If the dissenting stockholder and the Company cannot

agree on the fair value of the shares within sixty (60) days from the date of stockholders’ approval of

the corporate action, then the determination of the fair value of the shares shall be determined by three (3) disinterested persons, one (1) of whom shall be named by the dissenting stockholder, one (1) by the Company and a third to be named by the two (2) already chosen. The findings of the majority of the appraisers shall be final and their award shall be paid by the Company within thirty (30) days after such award is made. The procedure to be followed in exercising the appraisal right shall be in accordance with Sections 81 to 86 of the Corporation Code.

None of the matters that are proposed to be taken up during the meeting gives a dissenter a right of appraisal.

Item 3. Interest of Certain Persons In or Opposition to Matters to be Acted Upon

None of the officers or directors or any of their associates has any substantial interest, direct or

indirect, in any of the matters to be acted upon in the stockholders’ meeting.

None of the directors of the Company has informed the Company that he intends to oppose any

action to be taken by the Company at the stockholders’ meeting.

Of the total outstanding common capital stock, 17,816,256,818 shares or 68.45 percent are owned by Filipino citizens, while 8,211,826,934 shares or 31.55 percent are owned by foreigners. All Class A Preferred shares are owned by Filipino citizens. Each common and Class A Preferred share of stock of the Company is entitled to one (1) vote as described below. The record date for the purpose of determining the stockholders entitled to vote is 30th April 2014.

Holders of common and Class A Preferred shares of stock of the Company are entitled to vote on all matters to be voted upon by the stockholders. Stockholders entitled to vote are also entitled to cumulative voting in the election of directors. Section 24 of the Corporation Code provides, in part,

that: “….in stock corporations, every stockholder entitled to vote shall have the right to vote in person

or by proxy the number of shares of stock standing, at the time fixed in the by-laws, in his own name on the stock books of the corporation, or where the by-laws are silent, at the time of the election; and said stockholder may vote such number of shares for as many persons as there are directors to be elected, or he may cumulate said shares and give one candidate as many votes as the number of directors to be elected multiplied by the number of his shares shall equal, or he may distribute them

on the same principle among as many candidates as he shall see fit….”

PCD Nominee Corporation is the registered owner of shares beneficially owned by participants in the Philippine Central Depositary, Inc. (PCD), a private company organized to implement an automated book entry system of handling securities transactions in the Philippines. Under the

PCD procedures, when an issuer of a PCD-eligible issue will hold a stockholders’ meeting, the PCD shall execute a pro-forma proxy in favor of its

participants for the total number of shares in their respective principal securities account as well as for the total number of shares in their client securities account. For the shares held in the principal securities account, the participant concerned is appointed as proxy with full voting rights and powers as registered owner of such shares. For the shares held in the client securities account, the participant concerned is appointed as proxy, with the obligation to constitute a sub-proxy in favor of its clients with full voting and other rights for the number of shares beneficially

owned by such clients. The Company received a copy of Cartica Management LLC’s SEC Form 18-A dated 22nd October 2013 and Morgan

Stanley Investment Management Company dated 16 July 2013.

Directors shall hold office for a period of one (1) year until their successors shall have been elected and qualified during the succeeding annual meeting of the stockholders, except in case of death, resignation, disqualification or removal from office. The term of office of the officers is coterminous with that of the Directors that elected or appointed them unless such officers are sooner removed for cause.

In response, the Corporate Secretary said that in accordance with the requirements of the Securities Regulation Code, the New Disclosure Rules of the Securities and Exchange Commission, and SEC Memorandum Circular No. 19, series of 2016, written notice of the meeting was sent to all shareholders of record as of record date, March 26, 2018, at least 28 days prior to the date of the meeting. She added that in accordance with Section 4.4, Article IV of the Bank’s Amended By-Laws, the notice was likewise published daily for one week from April 8 to 14, 2018 in the Philippine Star, Business World, and Manila Bulletin. Supporting certifications were then submitted for the record. The Chairman thereafter requested the Corporate Secretary to certify the existence of a quorum.

Johnson (212) 875-5718; [email protected] NEW YORK PHILHARMONIC FORMS INTERNATIONAL ADVISORY BOARD TO SUPPORT GLOBAL ACADEMY AND WORLDWIDE ACTIVITIES The New York Philharmonic has established an International Advisory Board (IAB) to develop relationships beyond the United States in order to support the Philharmonic’s activities abroad, including regular Philharmonic residencies, educational and entrepreneurial projects, and the launch of the newly formed New York Philharmonic Global Academy. The International Advisory Board will serve as an international network of advocates and ambassadors who will connect with individuals and institutions in their home cities and countries to cultivate the Philharmonic’s long-term reach and influence worldwide. IAB members will work with the Philharmonic to secure engagements, activities, and funding sources in a variety of international locations. Since I was the first member of my generation of the Rockefeller family to serve as a trustee of the Fund, I was particularly pleased that in June of 1992, when I was elected chairman of the Fund, my daughter Catharine Broderick was elected a trustee—the first member of her generation to join the board. The continuing involvement of family members from generation to generation is key to achieving that purpose. AbbyM.     UPSEAA DISTINGUISHED ALUMNI AWARDS RECIPIENTS OF DISTINGUISHED ALUMNI CITATIONS – Graduated before 1965 AMADO A. CASTRO (BSBA major in Economics, 1948) Dr. Amado A. Castro can be said to be the man who was present at the creation. He was the very first Dean of the UP School of Economics from its founding in 1965 to 1973, during which he built a faculty known as the strongest in Southeast Asia. He joined UP in 1948 as Instructor in Economics at the College of Business Administration (CBA) where he became Head of the Department of Economics in June 1956. He was Acting Dean of the CBA in 1958, and Director of the Institute of Economic Development and Research from 1958 to 1966. When he came back from the US after obtaining his Doctorate degree in Economics at Harvard University in 1954, he was the only faculty with a Ph.D. and was teaching all economics courses except public finance, although he eventually became known to many students for teaching economic history courses. He retired from the UP School of Economics in 1989 and became a Professorial lecturer at the University of Asia & the Pacific. With his remarkable pedagogical record of consistent excellence for 41 years at UP, he nurtured and inspired multiple generations of economics students. His work as a founding member and past president of the Philippine Economic Society in 1960, and as past President of the Pastoral Council of Sto. Cristo parish in San Juan, and on the board of San Martin de Porres Charity Hospital, exemplified his deep sense of caring and commitment to his students and fellowmen.

A committee of examines itself three, together with a private consultant, has been charged by the executive com­ mittee to look into the question and report its findings to Council at the spring meeting. The members appointed to the committee are: James VanderLaan, chair­ man, Colorado; Walter J. Oliphant, Illinois; and Kenneth S. Axelson, New York. They will be working with Robert Greenleaf, a former American Telephone & Telegraph Co. executive who has conducted similar studies for the Ford Foundation, the Russell Sage Foundation, and other charitable and business organizations. First, I would like to express my sincere appreciation to our members, partners, and stakeholders for your continued trust, engagement, and support. The Club’s accomplishments in 2017 would not have been possible without your participation and contribution to the work that we do. Working together to promote and advance the principles we continue to uphold - integrity, growth through cooperation, and accountability - is key in keeping the MBC vision alive. 2017 was both a special and critical year for MBC. We celebrated our 35th year anniversary with a series of special activities, while finding meaningful ways to engage the new Administration through constructive dialogues. And we did so particularly on relevant business issues, such as tax reform, national security, foreign policy, and business innovation, to name a few. In total, we hosted 4 special meetings, including the MBC 35th anniversary dinner; 3 general membership meetings; 6 joint membership meetings; and a number of topic-specific roundtable discussions with key government officials, including Vice President Leni Robredo, and foreign economic experts. We celebrated the Club’s 35th anniversary by embarking on a fundraising campaign that raised P13 million.

His experience and accomplishments precede him, including being inducted as President of the Association of Certified Public Accountings in Public Practice (ACPAPP) in 2017 and in 2018, he assumed the Presidency of the ACPAAP Foundation. Today is a about leadership, entrepreneurship, technology, and relevancy. It’s about adapting to the changes in our profession, while growing our brand and the opportunity that comes with it.
