AFC Wimbledon Season Cards Terms & Conditions 2021/22 Season

These terms and conditions (“Conditions”) and any documents referred to in these Conditions apply to all purchases of Season Cards from AFC Wimbledon Limited (“AFCW”). By purchasing a Season Card from AFCW, you acknowledge and agree that you shall be bound by these Conditions.

1. Definitions and Interpretation

1.1 In these Conditions, the following terms shall have the following meanings:

“Agreement” means these Conditions, the Confirmation, the Ticket Terms and Conditions, the Terms and conditions of entry and any other documents referred to herein; “Conditions” means these terms and conditions; “Credit Facility” means any credit facility provided to you by way of a regulated loan by AFCW, or any third partner selected by AFCW, that is used by you in order to fund the payment of the price of your Season Card. “EFL” means the Football League Limited; “Ground” means the stadium in which the first team play their competitive matches; “Ground Regulations” means AFCW’s ground regulations as issued by AFCW from time to time that set out the terms and conditions upon which spectators are granted entry to the Ground, a copy of which is available upon request; “Guest” means a person who has been granted use of your Season Card by you, in respect of one or more Matches, being someone who would be eligible to purchase that Season Card himself/herself under these Conditions; “League” means the league (currently operated by the EFL) that AFCWC competes in during the Season; “Match” means a League football match in which AFCW participates and that takes place at the Ground during the 2020/21 Season (and ‘Matches’ will be interpreted accordingly); “Rules” means each of the rules and regulations of FIFA, UEFA, , The and EFL; “Next Season” means the football season of the League which will immediately follow the season of the League that AFCW is competing in at that time; “Season” means the 2020/21 League Season which commences from 1st August 2020 (and each subsequent football League season during which this Agreement renews); “Season Card” means the plastic card that is used to grant the holder access to the Ground for the Matches during the Season in accordance with these Conditions. This is issued subject to such of the Rules as may be relevant to the competition in question, these Conditions and the Ground Regulations. The Season Card will remain the property of AFCW at all times and as such must be produced if requested by any official, steward, employee of AFCW or any police officer. AFCW reserves the right to retain the Season Card at any time; “Terms and conditions of entry” means collectively the Rules , the Ground Regulations and the Conditions; “Visiting Club” means the football club playing against AFCW in any Match.

In these Conditions: (i) headings are for identification and indexing purposes only and they shall not affect the construction or interpretation of these Conditions; (ii) words importing the singular shall include the plural and vice versa; (iii) references to a “person” shall include natural persons, corporate or unincorporated bodies (whether or not having separate legal personality) and that person’s legal and personal representatives, successors and permitted assigns; (iv) references to a “party” shall mean either AFCW or you as the context requires and “parties” shall mean both of them; and (v) the word “including” will be construed without limitation unless inconsistent with the context.

2. The Contract

2.1 The Agreement is made between AFCW and you on the Conditions set out here in.

2.2 By purchasing a Season Card, you shall be deemed to have accepted these Conditions which shall govern the purchase and use of the Season Card by you to the exclusion of, and will prevail over, any other terms and conditions (including any terms and conditions that you may seek to impose on AFCW). If there is any inconsistency between any of the provisions of these Conditions and the provisions of any other of AFCW’s rules, terms and conditions or regulations, the provisions of these Conditions shall prevail.

3. Prices and Payment Terms

3.1 Payment of the price of your Season Card must be made as an upfront payment. AFCW arrange for you to use a Credit Facility to fund the purchase of your Season Card.

3.2 The purchase of your Season Card shall not be complete until such time as the full amount of the price is received from you or the date of acceptance of any Credit Facility that you might have entered into, whichever is the earliest.

3.3 You shall not be able to make use of your Season Card if any amount of the price of your Season Card or any repayment instalment under your Credit Facility is not paid in accordance with the agreed payment terms by the due date for payment. AFCW reserves the right to refuse entry to the Ground where you have an outstanding debt with AFCW or to any regulated finance partner under the terms of your Credit Facility. You shall be able to recommence making use of your Season Card once any arrears of payment to AFCW or regulated finance partner have been cleared.

3.4 AFCW shall have no liability to you for any failure by you to make use of your Season Card at a Match or any Matches due to the late payment of any sum by you in accordance with clause 3.3.

3.5 The age-related Season Card concession prices are based upon the supporter’s age on 1st August in the same calendar year the Season commences. Season Cards cannot be purchased in respect of children under the age of four.

3.7 AFCW will charge you up to £10 to replace any lost, damaged or stolen Season Card whereby the Season Card Holder is above the age of 18 years old. Supporters who purchase a Season Card at the Under 11s or Under 17s rates or who are designated Disabled Companions for a disabled supporter will not be charged for a replacement Season Card. Should you lose or damage your Season Card, or should it be stolen, you should contact AFCW’s Ticket Office immediately.

3.8 Should an error relating to the price charged to you occur at the time your Season Card is purchased, for example (but not limited to), a miscalculation of the price of the Season Card based on your age as detailed at clause 3.5 above, AFCWC reserves the right to request payment of the balance owing based upon the difference between the initial price attributed to the Season Card, and the actual price due once the error has been realised.

4. Cancellations by you

4.1 Subject to clause 4.3, you will have 14 days to cancel the purchase of your Season Card from the date of purchase. You must inform AFCW of your decision to cancel within this 14 day period. If you cancel the purchase of your Season Card within this period, you will be refunded any amount of the purchase price that you have paid.

4.2 After the expiry of the 14 day cancellation period at clause 4.1, you will not be able to cancel your Season Card and no refunds will be offered in respect of the price of your Season Card unless agreed by AFCW (such agreement to be in AFCW’s sole discretion and in exceptional circumstances only).

4.3 Should you purchase a Season Card within 14 days of the first Match of the Season, you shall lose your right to cancel your Season Card in accordance with clause 4.1 with effect from the day of the first Match of the Season in question.

5. Rescheduled or cancelled Matches

5.1 No guarantees can be given by AFCW that any Match will take place at a particular time or on a particular date. AFCW shall not be liable for any loss, damage or expense (including any indirect or consequential loss or damage, loss of enjoyment or travel costs), arising out of or in connection with a Match being cancelled, postponed, curtailed, abandoned or subject to a change of schedule for any reason whatsoever, including due to rescheduling of fixtures, the Rules, weather, government action, strike, civil commotion, national disaster, for health and safety reasons or otherwise due to circumstances beyond the reasonable control of AFCW.

5.2 In the event that any Match is cancelled, postponed or rescheduled, your Season Card shall be valid in respect of the rescheduled equivalent fixture; AFCW shall have no further liability in this respect.

5.3 No refunds will be made in respect of Matches not attended, postponed, abandoned, delayed or rescheduled to accommodate live television coverage or for any other reason, or in any circumstance where AFCW has cancelled your Season Card as a result your conduct or otherwise for a breach of the Agreement.

6. Liability

6.1 Subject to clause 6.6, AFCW shall not be liable for: (i) any loss suffered by you or your Guest(s) as a result of the exercise by AFCW of any of its rights under these Conditions; (ii) any loss, damage or injury to you or your Guests including any property belonging to you or your Guests in or around the Ground (including its approaches and car park) however caused; (iii) any indirect, incidental, special or consequential liability; (iv) any loss of profits, loss of use, loss of opportunity or loss of or damage to goodwill; (v) any losses arising from any interruptions and/or restrictions to the view of or enjoyment of a Match unless caused by the actions of AFCW; or (vi) any loss incurred arising out of or in connection with any cancelled, postponed or abandoned Match or any rearranged fixture.

6.2 Subject to clause 6.6, AFCW’s total aggregate liability to you and/or your Guests arising out of or in connection with the Agreement shall not exceed a sum equivalent to the price of your Season Card.

6.3 No liability is accepted by AFCW for any acts or omissions on the part of any of its suppliers, subcontractors or agents, except to the extent where AFCW has direct control over such supplier, subcontractor or agent, and whose own conditions of trading shall be deemed to be accepted by you.

6.4 You shall indemnify AFCW from and against all claims, costs demands, fines and expenses including legal fees which arise as a result of any actions or omissions of you or any of your Guests in breach of the Agreement including, without limitation, in respect of any damage to the Ground caused by you or your Guests.

6.5 AFCW has no responsibility for any property or personal effects of you or your Guests whilst at the Ground.

6.6 Nothing in these Conditions shall limit or exclude AFCW’S liability for (i) death or personal injury caused by its negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability which cannot be limited or excluded under applicable law.

7. Ticket Conditions

7.1 Season Cards are issued subject to the Terms and Conditions of entry and the Ground Regulations, both of which you agree to abide by as well as all other rules and conditions imposed by AFCW from time to time, relating to any Match and the Ground including, without limitation, any and all conditions of sale applicable to Season Cards, and any other rules relating to attendance of the Match.

7.2 Your Season Card permits you access to the Ground for the duration of each Match and gives you the right to sit in the seat detailed on the Season Card during each such Match, subject to these terms and Conditions.

7.3 Your Season Card does not grant you access to cup fixtures played at the Ground. Season Card holders are granted an exclusive period to purchase their Season Card seat in respect of cup fixtures played at the Ground. This period of exclusivity will be determined by AFCW and the duration may vary. If you have not purchased a ticket in respect of your seat for such cup fixture before the expiry of the exclusive period, AFCW may sell a ticket for your seat for such cup tie by way of general sale.

7.4 AFCW reserves the right to relocate your Season Card to any other seat in the Ground, so long as that seat is not located in a lower price category area, particularly in accordance with rules determined by participation in cup competitions where the visiting club have the right to take a larger ticket allocation than those determined under normal EFL or Premier League rules. AFCW may take the decision to relocate your seat in its reasonable discretion; reasons for such relocation may include the need to undertake construction or maintenance work at the Ground or the need to relocate you for reasons relating to your safety or the safety of others.

7.5 If you have already provided written proof of your identity and date of birth to AFCW’s Ticket Office in the form of a copy of either your current passport, photo card driving licence or birth certificate, plus a recent passport style photograph, you will be able to renew your age-related concession Season Card. If you are purchasing a new age-related concession Season Card, or your activated account doesn’t currently hold written proof as to your identity and date of birth, your card will not be issued until the appropriate proof has been presented to AFCW’s Ticket Office.

7.6 Your Season Card is issued for your use only and you shall not sell, assign or transfer your Season Card to any other person. Should you be unable to attend any particular Match, you are permitted to allow a Guest to use your Season Card in respect of that Match.

7.7 In circumstances where your Guest would be liable to pay a higher Season Card price than you were they to purchase the Season Card themselves (owing to them falling in to a different age category to yourself) you/your Guest shall be required to visit AFCW’s Ticket Office to pay the relevant increase in the price, which will be the difference between the match ticket price of your Season Card age-band, to the price due for the upgraded age-band match ticket, prior to being able to use your Season Card. Any attempt by any such Guest to enter the Ground without paying the increase in price, shall be a breach of these Conditions and shall permit AFCW to take any of the action detailed in clause 8.3. In circumstances where your Guest would be liable to pay a lower Season Card price than you, were they to purchase the Season Card themselves (owing to them falling in to a different age category to yourself) neither you nor your Guest shall be entitled to any rebate or refund from AFCW. You shall ensure that your Guest(s) shall not sell, assign or transfer your Season Card to any other person.

7.8 References in these Conditions to selling a Season Card includes offering to sell a Season Card (including, without limitation, via any on line auction website), exposing a Season Card for sale, making a Season Card available for sale by another person and/or advertising that a Season Card is available for purchase. For the avoidance of doubt (and by way of example only) your Season Card may not be offered as a prize in any promotion or competition, transferred, lent or sold to any third party as part of a hospitality or travel package, given to a third party who agrees to buy some other goods or services, or used for any other commercial purpose (all save as expressly authorised by the League, and/or AFCW).

7.9 The unauthorised sale or disposal of a Season Card may amount to a criminal offence under section 166 of the Criminal Justice and Public Order Act 1994, as amended by the Violent Crime Reduction Act 2006. AFCW will inform the police in the event it becomes aware that a Season Card has been sold illegally and will press for charges to be brought against those breaking the law. If you are convicted of a ticket touting offence, or AFCW reasonably suspects you have committed such an offence, AFCW will notify the League who may in turn notify other clubs and/ or the relevant law enforcement authorities. The information that AFCW shares may include yours and your Guests’ personal data, information about the offence and about ticket purchases (including payment details). AFCW will use this to identify and prevent ticket touting offences and disorder at matches.

7.10 Season Cards shall not be resold or transferred save as set out in these Conditions and shall not be purchased or obtained from or through any commercial agent or company or otherwise than directly from AFCW or an official agent. Any Season Cards obtained in breach of these Conditions shall be void and all rights conferred or evidenced by such Season Cards shall be nullified. Any person seeking to use a Season Card in breach of these Conditions in order to gain or provide entry to or remain at any Match may be refused admission to or be ejected from the Ground and may be subject to legal action. 7.11 The use of a Season Card by any Guest will be subject to these Conditions and the Ground Regulations which will apply to and bind that Guest as if they were the original purchaser of the Season Card. You must inform the Guest of this and AFCW may hold you responsible if you do not. References in these Conditions to ‘you’ will be construed as including any Guest, if applicable. You will remain liable for the conduct of your Guest whilst they are using your Season Card and any breach of the Rules or of these Conditions by your Guest will also be treated as a breach of the Rules or these Conditions by you.

7.12 As a condition of admission, you and your Guests will be subject to the Ground Regulations in force at the time of booking and as amended from time to time. Your attention is drawn in particular to the following Ground Regulations:

- Regulation 1: AFCW reserves absolutely the right to eject from the Ground any person failing to comply with any of the Ground Regulations or whose presence within the Ground is, or could, reasonably be constructed as constituting a source of danger, nuisance or annoyance to any other person.

- Regulation 9: The use of threatening behaviour, foul or abusive language is strictly forbidden and will result in arrest and/or ejection from the Ground.

- Regulation 17 : Under the Sporting Events (Control of Alcohol etc) Act 1985, the following are offences for which a person can be arrested by a police officer and conviction could result in a Banning Order being made:

- Regulation 17.1 : Attempting to enter the Ground or being inside the Ground whilst drunk; and

- Regulation 17.2: Being in possession of any intoxicating liquor, bottle, can or any other portable container which could cause damage or personal injury when entering the Ground or in a public area of the Ground from which the event can be directly viewed.

7.13 No food or drink is permitted to be brought into the Ground by you or any of your Guests.

7.14 Save only as set out in the Ground Regulations, no person may bring into the Ground or use within the Ground any equipment which is capable of recording or transmitting (by digital or any other means) any audio, visual or audio-visual material or any information or data in relation to a Match or the Ground.

7.15 Smartphones and mobile telephones are permitted within the Ground provided they are used purely for the purpose of access to the Internet for information updates or the transmission and/or reception of voice data only. Live recording and streaming of the game or being used to provide commentary of the Match in progress is not permitted.

7.16 CCTV is employed and operated within the Ground for the purpose of control and safety of spectators and prevention of crime. Where necessary, recorded images may be used as evidence.

7.17 You acknowledge that photographers will be present at various Matches throughout the Season and some crowd. photographs may be used for media purposes. You hereby acknowledge that your image may be used in this manner.

8. Guests

8.1 Any breach of the Agreement by any of your Guests shall be deemed to be a breach of the Agreement by you. 8.2 You shall be responsible for your compliance and observance (and that of any Guest) with the Agreement. Any act or omission by a Guest shall be deemed to be your act or omission. Misconduct by you or your Guest(s) and/or failure to adhere to the Agreement or you or your Guest(s) acting in a manner which AFCW considers is detrimental to its interests or is likely in the reasonable opinion of AFCW, to bring football or AFCW into disrepute, shall permit AFCW to confiscate or forfeit (in each case without compensation) their Season Cards and/or ban you and/or your Guest(s) from attending future Matches or other events at the Ground for such period of time as AFCW deems appropriate.

8.3 In the event that you or a Guest is in breach of the Agreement, AFCW reserves its right to take one or more of the following steps which it in its absolute discretion deems appropriate: (i) evict the person from the Ground; (ii) withdraw and cancel any Season Card; (iii) issue limited or lifetime bans; (iv) report the matter to the League who in turn may notify other clubs and/or the UK Football Policing Unit; (v) report the matter directly to the police; and/ or (vi) take legal action. In any of these circumstances, no refund of all or any part of the price paid for your Season Card will be paid by AFCW. You also acknowledge that you may face action from the police in the event of certain of these breaches which may, among other things, render you liable to a fixed penalty fine and/or criminal prosecution.

9. Etiquette & Conduct

9.1 Under no circumstances may you permit your Season Card to be used by any person, including you or any of your Guests, that may favour the Visiting Club, as your Season Card will be located within the home supporters’ area in the Ground.

9.2 You shall be responsible for ensuring the good and orderly behaviour of all of your Guests whilst at the Ground and during the Match. If your Guest behaves in a loud, disorderly, unruly or abusive manner or draws attention to themselves in their viewing seats, then your Guest may be required to leave the Ground.

9.3 AFCW reserves the right to exclude or eject any person from the Ground if, in its reasonable opinion, their behaviour is likely to cause distress, damage or annoyance to other persons or property. AFCW shall not compensate any person in any way in respect of such removal or requirement to leave the Ground.

9.4 AFCW reserves the right to charge you the cost of rectifying damage caused by the deliberate, negligent or reckless act of you and/or your Guest to the Ground or AFCW’s property.

9.5 Your right to access the Ground on the day of the Matches will be solely for the time period that AFCW opens the Ground to the public on each such day.

10. Use of Marks

10.1 You may not use any intellectual property, trademarks, names (including nicknames) or logos of AFCW or any of its associated group companies, or images of the Ground or AFCW’s players, or claim any association with AFCW without AFCW’s prior written consent.

10.2 Save for official AFCW merchandise and/or other football related clothing worn in good faith, you shall not bring into, use or display within the Ground any sponsorship, promotional or marketing materials.

11. Duration of Agreement and Renewal 11.1 If you purchase your Season Card and you pay for this without the use of a Credit Facility, this Agreement will expire on the day following the final Match of the Season.

11.2 If you purchase your Season Card and you pay for this by way of the use of a Credit Facility, your Season Card shall automatically renew (in accordance with the terms and conditions mentioned in clause 11.3) at the end of the Season (and at the end of each subsequent Next Season) in respect of the forthcoming Next Season unless you shall have cancelled your Season Card in accordance with clause 11.3.

11.3 AFCW of its regulated finance partner may write to you in future regarding the renewal of your Credit Facility, including the terms and conditions relating to that Credit Facility and the repayment terms, as regards the funding of your Season Card in respect to the Next Season. You shall be provided with a thirty-day period to cancel your Credit Facility if you do not want this to renew automatically. If you confirm directly to AFCW or our regulated finance partner that you wish to cancel your Credit Facility before the deadline for so doing, your Season Card will be cancelled in respect of the Next Season and you will not be charged.

11.4 If you do not confirm to AFCW or our regulated finance partner that you wish to cancel your Credit Facility before the deadline for so doing, your Season Card may be automatically renewed in respect to Next Season and you will become liable to repay AFCW or our regulated finance partner in accordance with the terms of your Credit Facility.

11.5 All terms of this Agreement that by their nature are intended to survive termination or expiry of this Agreement, will survive the termination or expiry of this Agreement.

12. General

12.1 Should any part of the Agreement for any reason prove ineffective or unenforceable that provision or part provision shall, to the extent required, be deemed to be deleted, and the validity of the remaining terms and conditions shall not be affected and shall be enforceable. If any invalid, unenforceable or illegal provision of this agreement would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.

12.2 No delay or omission on the part of either party in exercising any right, power or remedy provided by law shall impair such right, power or remedy, or operate as a waiver thereof.

12.3 No alterations to the Agreement made between you and AFCW for the sale and use of any Season Card may be made except with the express written consent of both parties.

12.4 AFCW shall be entitled to assign or sub-contract any of its rights, benefits and interests in or under the Agreement to any third parties. You shall not assign, transfer or charge the benefits of the Season Card without the express written consent of AFCW.

12.5 Personal Data that is collected from or about you and/or your Guests will be processed by and on behalf of AFCW, in accordance with AFCW’s Privacy Policy (a copy of which is available upon request).

12.6 AFCW may share information regarding you and/or your Guests with the police in order to prevent and reduce crime and/or to assist the police in investigating and/or prosecuting offenders or suspected offenders. 12.7 Except as expressly set out in these Conditions and with the exception of the Premier League, FIFA, UEFA and the EFL, nothing in these Conditions is intended to confer on any person any right to enforce any Condition of a Contract which that person would not have had but for the Contracts (Rights of Third Parties) Act 1999.

12.8 The Agreement and any disputes under it shall be governed and construed in accordance with the laws of England and Wales and each party shall irrevocably submit to the exclusive jurisdiction of the English and Welsh courts. AFC WIMBLEDON STANDARD SEAT TERMS AND CONDITIONS This document (these Terms and Conditions) sets out terms on which AFC WIMBLEDON LIMITED, company number 04458490 (Club) grants standard seat membership to third parties in return for the payment of the Debenture Fee (as defined below). Standard seat membership confers on the Member (as defined below) the right to priority access to purchase tickets in a designated standard seat in the AFC Wimbledon stadium. These Terms and Conditions, and any other documents referred to herein, constitute the contract between the Member and the Club in respect of standard seat membership (Agreement).

Each Applicant should therefore read these Terms and Conditions carefully before making any application for standard seat membership, as these Terms and Conditions explain each party’s legal rights and important information about the Agreement.

1. DEFINITIONS

1.1 IN THE AGREEMENT the following expressions shall have the following meanings:

Applicable Laws means the Relevant Legislation, the Ground Regulations and the Regulations;

Applicant means a person making an Application;

Application means an application for Membership made pursuant to completing their payment;

Cooling Off Period means the period starting on the Commencement Date and expiring at midnight on the date which is five days from the Commencement Date;

Commencement Date means the date of the date the payment is made to ensure the debenture is paid for in full;

Common Areas means the roads, footpaths, lifts, stairs, escalators, reception areas, concourses and other areas necessary for access to and egress from the Member’s Designated Seat;

Competitions means the Premier League, , the Football Association Cup, the Football League Cup competition, the UEFA Champions League and the UEFA Europa League (each as may be renamed from time to time) or any other football competitions as may be specified by the Club from time to time in writing at its absolute discretion;

Corporate Member means a member of the Club other than an Individual Member;

Data Protection Laws the General Data Protection Regulation (Regulation (EU) 2016/679) and the Data Protection Act 2018 together with any other laws applicable to the protection or processing of personal data in force from time to time;

Debenture Fee means the fee for Membership, as set out in communications from the Club and payable in accordance with clause 4;

Debenture Year means each period of one year during the Term beginning on 1 July in one year and ending on 30 June of the immediately following year, save for the first period of the Term which shall be deemed to begin on the Stadium Opening Date and shall end on 30 June 2021;

Designated Areas means: (i) the Member’s Designated Seat; and (ii) the Common Areas;

Designated Seat means the designated standard seat in the Stadium allocated to the Member by the Club;

Family Member means in relation to an Individual Member, the spouse or civil partner of the Individual Member and the Individual Member’s children and grandchildren (including step and adopted children and grandchildren);

First Team means the first XI men’s football team representing the Club;

Force Majeure Event means any circumstance not within the Club’s reasonable control including, without limitation: (i) acts of God, flood, drought, earthquake or other natural disaster; (ii) epidemic or pandemic (including, but not limited to, COVID-19 and future reoccurrences of COVID-19, whether as a pandemic or epidemic in the UK); (iii) terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, or embargo; (iv) nuclear, chemical or biological contamination or sonic boom; (v) any law or any action taken by a government or public authority, and expressly including any direction, requirement, rule and/or regulation of the English Football League (and/or any other relevant national or international football governing body or authority from time to time with jurisdiction over Home Matches, which may include the Football Association and/or the Premier League); (vi) collapse of buildings, fire, explosion or accident; (vii) any labour or trade dispute, strikes, industrial action or lockouts; (viii) non- performance by suppliers or subcontractors; and (ix) interruption or failure of any utility service;

Game Ticket means a single ticket to any single Specified Match, the terms of which are governed in each case by the relevant Ticket Ts & Cs;

Ground Regulations means the Club’s ground regulations applicable to the Stadium, as amended from time to time in the Club’s sole and absolute discretion, which will be displayed at the Stadium and are available at www.afcwimbledon.co.uk/club/ground-regulations/ and which are incorporated into the Agreement;

Group means in relation to a company, that company, any subsidiary or any holding company from time to time of that company, and any subsidiary from time to time of a holding company of that company. Each company in a Group is a member of the Group;

Home Matches means football matches played at the Stadium;

Individual Member means a member of the Club who is a natural person;

Ladies Team means the Club’s Ladies team from time to time;

League Matches means all league matches played by the First Team in one Season whether in the Premier League, the English Football League or the National League (as the case may be);

Member means an Individual Member or a Corporate Member, whose Application has been accepted by the Club, and who is entitled to the Membership Rights, in each case in accordance with and pursuant to the Agreement;

Membership means the standard seat membership of the Club, entitling the Member to the Membership Rights in each Debenture Year in accordance with the terms of the Agreement;

Membership Renewal Fee means the fee payable to the Club should a Member wish to renew their Membership at the end of the Term, as notified by the Club and payable by the Member in accordance with clause 5.1;

Membership Rights means the rights granted to the Member in each Debenture Year in connection with their Membership, as set out in Schedule 1;

Opening Hours means such periods during which the Stadium remains open in connection with each Specified Match, as stipulated by the Club;

Priority Access means a period of priority in which the Member may purchase a Ticket in the Designated Seat prior to such Ticket going on sale to the general public, each such period being determined by the Club on a case-by-case basis;

Regulations means the provisions from time to time of the general safety certificate applying to the Stadium, the bye-laws, rules, regulations, orders, directions, codes of practice and other guidelines of the Borough of Merton, the Metropolitan Police Service, the London Fire Brigade, the Footballing Licensing Authority, The Football Association Limited (FA), the English Football League, the Premier League, the National League, the Federation Internationale de Football Association (FIFA), the Union des Associations Européennes de Football (UEFA), the European Commission and any other authority or organisation that has jurisdiction or authority in relation to the holding of Home Matches from time to time;

Relevant Legislation means any Act of Parliament and any European Community Legislation or decree or any other legislation or decree having effect of law of the United Kingdom from time to time and references to “Relevant Legislation” shall include any statutory modification or re-enactment for the time being of any enactment and any orders or regulations permissions or directions made or issued under it or any enactment replaced by it or deriving validity from it from time to time;

Seating Plan means the plan of the Designated Seats available for inspection at the Stadium and provided to the Member during the Application process;

Season means the English football season, usually commencing on the 1st August and continuing up to and including the last day of the third week of May in the next calendar year;

Season Ticket means a ticket to all League Matches which are Home Matches in one Season during the Term, the terms of which are governed by the relevant Ticket Ts & Cs;

Specified Matches means: (A) the following Home Matches only: (i) all League Matches; (ii) all pre-season First Team friendly matches prior to the start of a Season; (iii) all First Team matches in the FA Cup, the League Cup and any European Cup in a Season; (iv) any First Team play-off League Match in a Season; and (B) at the Club’s sole and absolute discretion, any other men’s or ladies’ match(es) played in the Stadium;

Stadium means the new AFC Wimbledon Stadium, or such other name as it may become known, and which is located at , London SW17 0NR (or any new designated postcode);

Stadium Opening Date means the date the Stadium achieves all Stadium Opening Requirements;

Stadium Opening Requirements has the meaning given in clause 2.2.2;

Term means, unless terminated earlier in accordance with the Agreement, the period beginning on the Commencement Date and ending on the Termination Date;

Termination Date means 23:59 on 30 June 2030;

Ticket means a Season Ticket or a Game Ticket;

Ticket Ts&Cs means the terms and conditions for the sale and purchase of the applicable Ticket in force from time to time and which are incorporated into the Agreement; and

Ticket Holder means any individual who is in possession of a Ticket made available to them by the Member strictly in accordance with the terms of the Agreement only.

2. APPLICATION PROCESS 2.1 To purchase Membership, the Applicant shall: 2.1.1 pay the Debenture Fee (or relevant instalment thereof). 2.2 The Applicant hereby agrees to be bound by the terms of the Agreement from the Commencement Date, provided that the Applicant shall not become a Member or be granted the Membership Rights unless and until all of the following conditions have been satisfied: 2.2.1 the Debenture Fee (or relevant instalment thereof) has been paid in full by the Applicant; 2.2.2 the Stadium has been issued with all safety certification(s) required by Relevant Legislation, the Regulations or otherwise, including any requirements stipulated by the , in order to allow the playing of football matches (“Stadium Opening Requirements”). 2.3 Once submitted, the Applicant cannot change any terms set out in the agreed terms and conditions unless otherwise agreed by the Club in writing. If the Applicant would like to change or amend the details submitted, the Applicant must contact the Club via email at [email protected] (or such other email address that the Club may specify on its website). 3. MEMBERSHIP 3.1 Membership is sold subject to availability and acceptance of an Application by the Club pursuant to clause 4.3 is at the Club’s sole and absolute discretion. To the extent permitted under applicable law, the Club expressly excludes any and all liability for any loss, expenses, damages, fines or penalties arising out of or in connection with any unsuccessful Application. 3.2 Subject to clause 2.2, Membership shall commence on the Commencement Date and shall continue until the Termination Date whereupon it shall automatically terminate, unless terminated earlier or renewed (as the case may be) in accordance with the provisions of the Agreement. 3.3 A Member shall be entitled to the Membership Rights from the Commencement Date subject to the terms and conditions of the Agreement (including clauses 2.2, 3.5 and 6). 3.4 Membership is not transferable otherwise than in accordance with clause 8. 3.5 Membership and the grant of Membership Rights by the Club is subject to Applicable Laws and the Club’s control of the Stadium at all times. 4. FEES AND PAYMENTS 4.1 The Applicant agrees to pay: 4.1.1 the Debenture Fee in full, or relevant instalment of the Debenture Fee; and 4.1.2 any further instalment(s) of the Debenture Fee during the Term in the amounts and on such dates as specified by the Club. 4.2 Any amount which the Club has received from the Applicant in connection with Membership prior to the full fee being received shall be deducted from the aggregate Debenture Fee provided such Application is approved by the Club in accordance with clause 4.3. 4.3 The Club shall notify the Applicant in writing as soon as reasonably practicable after receipt of the completed payment if there are any objection to the individual retaining their Debenture. 4.4 The Debenture Fee is exclusive of VAT and the Club also reserves the right to charge an administrative fee on payments made using certain payment methods. Information of any such charges will be made available by the Club and it is the responsibility of the Member to check payment information carefully. A valid receipted VAT invoice will be issued by the Club following the date of each payment, upon request. 4.5 In the event that the Member fails to pay any instalment of the Debenture Fee by the due date for payment (Overdue Amount) the Club shall, at its absolute discretion and without prejudice to its other rights and remedies, have the right to immediately on written notice to the Member: 4.5.1 terminate the Agreement in accordance with clause 12.3; 4.5.2 suspend the Member’s Membership Rights in accordance with clause 12.3 (including denying such Member access to the Stadium even if such Member is in possession of a valid Ticket) until such Overdue Amount and any interest thereon has been paid in full. 4.6 The Club may charge, and the Member shall pay, interest on any Overdue Amount at the rate of 3% a year above the then current base lending rate of Barclays Bank PLC. Interest shall accrue daily on the basis of a 365 day year and shall accrue from the date such Overdue Amount should have been paid until and including the date such Overdue Amount is paid in full, whether before or after judgment. 4.7 The Debenture Fee (and any instalment thereof) is non-refundable following the expiry of the Cooling Off Period (unless otherwise expressly stated in the Agreement or agreed by the Club in writing at its sole and absolute discretion and rights to any seat(s) are lost). 5. RENEWAL OF MEMBERSHIP 5.1 Subject to availability and no later than six (6) calendar months before the expiry of the Term, the Club will notify the Member in writing of the Membership Renewal Fee and the revised terms and conditions (if any) upon which it is prepared to make available the Membership Rights to the Member following expiry of the Term (subject to the Member having complied in all respects with its obligations contained in the Agreement) and no less than four (4) calendar months prior to the expiry of the Term the Member shall indicate whether they wish to enter into an agreement upon such terms and conditions and pay the Membership Renewal Fee. 5.2 If no response in writing is received by the Club from the Member at least four (4) months prior to the expiry of the Term, then the Club shall be entitled to assume that the Member does not wish to renew its Membership and the Membership Rights shall automatically terminate on the expiry of the Term and the Membership and Designated Seat shall be made available for sale by the Club to the general public. 5.3 Nothing in this section 5 shall give to the Member any automatic right of renewal or purchase in relation to the Membership or any of the Membership Rights at the end of the Term. 6. DESIGNATED SEAT ALLOCATION AND DESIGNATED AREAS 6.1 The location of the Member’s Designated Seat will be agreed between the Club and the Member in accordance with the Seating Plan and during the Application process. 6.2 During the Term, the location of, and access to, any part of the Stadium and the Designated Areas may be improved, altered or modified at any time by the Club where required for operational reasons (for example and without limitation, to facilitate the refurbishment or redevelopment of certain areas of the Stadium), for safety reasons, due to Applicable Laws or due to a Force Majeure Event. The location of the Member’s Designated Seat may therefore be subject to change, but any such change will be notified to the Member by the Club in writing in advance. 6.3 If the Club determines at its discretion that all or any part of the Stadium or the Designated Area(s) is unavailable due to: 6.3.1 health and safety requirements and/or Applicable Laws; 6.3.2 a Force Majeure Event; 6.3.3 the need for repairs or alterations to be made to the Stadium, the Designated Area(s) (or any relevant part) or any fixtures or fittings therein and such repairs or alterations are in the Club’s opinion necessary or desirable; or 6.3.4 any other reasons deemed necessary at the Club’s sole and absolute discretion, the Club’s sole obligation (and the Member’s sole right and remedy) in these circumstances will be for the Club to use its reasonable endeavours to provide the Member with an alternative Designated Seat elsewhere in the Stadium or, where the Stadium is unavailable, such other stadium where the First Team plays its Specified Matches (in which case the terms of the Agreement shall apply equally to such seat and such stadium). 6.4 If, pursuant to the provisions of clause 6.3, it is not possible for the Club to provide all Members with their Designated Seats or alternative Designated Seats for a Specified Match, the following categories of persons will be offered a Designated Seat in the Stadium for the relevant Specified Match in the following order of priority: 6.4.1 first, Members who have a non-refundable Season Ticket for the Season in which the relevant Specified Match takes place (“Category One”); 6.4.2 second, holders of a Season Ticket for the Season in which the relevant Specified Match takes place; and 6.4.3 third, Members who do not have a non-refundable Season Ticket for the Season in which the relevant Specified Match takes place (“Category Three”). 6.5 In the event that it is not possible for the Club to offer a Designated Seat to all Members in Category One or Category Three (as the case may be) for the relevant Specified Match, the Members of that particular category entitled to a Designated Seat for the relevant Specified Match will be drawn by lot by the Club. The determination of the Club in this regard will be final and no correspondence or discussion will be entered into. 6.6 Where it is necessary to relocate the Member’s Designated Seat under this clause 6, the Club will use reasonable endeavours to replicate the position of the Designated Seat both in terms of its position relative to the pitch and its position in the Seating Plan relative to the other designated seats. 7. TICKETS 7.1 Season Tickets and Game Tickets are issued subject to the applicable Ticket Ts & Cs, the current version of which are set out on the Club’s website. 7.2 Admittance to the Stadium shall only be permitted upon the satisfactory production by a Member or Ticket Holder of a valid Ticket. Any person seeking to use a Ticket: 7.2.1 on more than one occasion at the same Home Match; or 7.2.2 which has been cancelled or suspended by the Club in accordance with the applicable Ticket Ts & Cs, may be refused entry to, or ejected from, the Stadium and such acts shall be deemed a breach of these Terms and Conditions and the provisions of clause 12 shall apply. 7.3 All Tickets issued by the Club remain the property of the Club and must be returned to the Club immediately upon request. 7.4 The Member must notify the Club immediately in the event that a Ticket is lost or stolen. The Club may, at its discretion, provide a replacement for a lost or stolen Ticket, but reserves the right to charge a fee of up to £50 for the issue of any such replacement. 7.5 The Member acknowledges and agrees that no one under the age of 16 shall be permitted to enter the Stadium unless accompanied by an adult. 8. RE-SALE, TRANSFER AND ASSIGNMENT 8.1 The rights of the Member under the Agreement are personal to that Member and the Member shall not, without the prior written consent of the Club (which the Club may provide or withhold in its sole and absolute discretion), assign, transfer, sell, offer to sell, novate, hire, grant or dispose of any of the Member’s rights under the Agreement (or any interest in such rights) to any other person save as expressly provided for in the Agreement. 8.2 The Member may permit the Ticket Holder, for no charge or commercial gain whatsoever to the Member (whether directly or indirectly), to use a Ticket for a Specified Match and to enjoy the Membership Rights pursuant to the Agreement provided that: 8.2.1 the Member shall remain liable at all times for the acts and omissions of the Ticket Holder; 8.2.2 any use by the Ticket Holder of a Ticket is provided subject to the terms of the Agreement which will apply to and bind that Ticket Holder as if he/she had entered into the Agreement (and the Member must inform the Ticket Holder of this); and 8.2.3 any breach of any provision of the Agreement by the Ticket Holder shall be deemed to be a breach of the Agreement by the Member themselves. 8.3 A Member shall not be entitled to transfer their Membership (Membership Transfer) to another person without the Club’s prior written approval (which the Club may provide or withhold in its sole and absolute discretion). If the Club has notified the Member in writing that it is willing to accommodate the proposed Membership Transfer, the Member transferring their Membership (Transferor) shall: 8.3.1 inform the Club of the Membership Transfer and comply with the Club’s instructions and directions to effect such Membership Transfer at the Member’s own cost; 8.3.2 ensure that the transferee of the Membership Transfer (Transferee) (inter alia) compliance with the terms of the Agreement; and 8.3.3 comply with such other stipulations and conditions in connection with the Membership Transfer as the Club may notify to the Member. 8.4 Once the Club has approved the Membership Transfer in principle, the Transferor must pay the Club prior to the Membership Transfer being processed an administration fee specified by the Club of up to £100 plus VAT. Following the receipt of such fee, the Club will process the Membership Transfer and notify the Transferor and Transferee of the date of completion of the Membership Transfer (Transfer Date). 8.5 The term of the Transferee’s period of Membership shall begin on the Transfer Date and terminate automatically on the Termination Date, unless terminated earlier or renewed (as the case may be) in accordance with the provisions of the Agreement. 8.6 Upon a Membership Transfer taking effect in accordance with clause 8.4, the Transferee shall become entitled (at the exclusion of the Transferor) to enjoy the Membership Rights previously enjoyed by the Transferor and shall become liable for all of the Transferor’s liabilities under the Agreement (whether arising before, on or after the Transfer Date) including the obligation to pay any instalments of the Debenture Fee and otherwise be subject to the terms and conditions of the Agreement. For the avoidance of any doubt, the Membership Transfer shall include the transfer of all Membership Rights from the Transferor to the Transferee. The transfer of some only of the Membership Rights is not permitted. 8.7 In addition to the Club’s rights and remedies under the Agreement, the unauthorised sale or disposal of any Ticket by the Member (or the Ticket Holder) under the Agreement may amount to a criminal offence under section 166 of the Criminal Justice and Public Order Act 1994 (as amended). The Club will inform the police if it becomes aware, or has reasonable suspicions, that any Ticket obtained by the Member (or the Ticket Holder) under the Agreement has been sold illegally. If the Member (or the Ticket Holder) is convicted of a ticket touting offence, or the Club reasonably suspects the Member to have committed such an offence, the Club will notify the English Football League or other relevant football authority, who may in turn notify other English Football League or other clubs, and/or the UK Football Policing Unit. The information that the Club shares may include such Member’s personal details, information about the offence and about ticket purchases (including payment details). The Club will use this to identify and prevent ticket touting offences and disorder at matches at the Stadium. 8.8 Upon the death of the Member, such deceased Member’s Membership may be transferred to a Family Member of that deceased Member for no charge at the absolute discretion of the Club and the provisions of clauses 8.3 to 8.6 shall apply mutatis mutandis. Should the proposed transferee not be a Family Member of such deceased Member, the Club shall, at its absolute discretion, have the right to: 8.8.1 refuse to effect such transfer and terminate the Membership; or 8.8.2 approve such transfer, in which case the provisions of clauses 8.3 to 8.6 shall apply mutatis mutandis. 9. OBLIGATIONS OF THE MEMBER 9.1 The Member shall and shall procure that any Ticket Holder shall: 9.1.1 comply with all rules and regulations imposed by the Club and/or any bona fide football authority from time to time in respect of the admission to, and attendance at, the Stadium and the Designated Areas, including, without limitation, the Applicable Laws and any restrictions imposed by the police or any other relevant authority in relation to any Home Match from time to time; 9.1.2 comply with all applicable Ticket Ts&Cs; 9.1.3 not do anything which, in the Club’s reasonable opinion, may cause a nuisance or annoyance to the Club or to any other Members or Ticket Holders; 9.1.4 not engage in any abusive, dangerous or other unacceptable and/or discriminatory behaviour in any form (whether physical, verbal or otherwise) nor treat the Club staff or any other person (including any other Members or Ticket Holders, spectators or visitors to the Stadium or local residents) in a threatening or abusive manner; 9.1.5 use the Stadium and the Designated Areas in a proper and lawful manner and according to the Applicable Laws; 9.1.6 not bring into the Stadium any food or drink or any substances, materials or items which are in contravention of the Ground Regulations, including any item the Club considers acting reasonably should not be brought into the Stadium or the Designated Areas; 9.1.7 damage or deface the Stadium or Designated Areas (or any parts thereof) (fair wear and tear excepted); 9.1.8 not do anything which might bring the Club, or any of its players, staff or volunteers into disrepute; and 9.1.9 notify the Club of any change of address of the Member from time to time within 14 days of such change. 9.2 The Member shall not use or seek to profit, and shall procure that the Ticket Holder shall not use or seek to profit, from any Ticket or any other benefit provided by virtue of the Member entering into the Agreement: (i) by offering the Ticket as a gift or prize in any promotion, raffle or competition or in relation to any commercial or promotional activities without prior written consent of the Club; or (ii) in contravention or breach of any provision of the Bribery Act 2010. 9.3 The Member shall not make, and shall procure that the Ticket Holder does not make, without the prior written consent of the Club, any public statement or announcement linking, or implying any relationship between, or engage in any marketing, advertising or promotional activity which links or implies any relationship between the Member and/or the Ticket Holder and the Club. 9.4 The Club may exclude or remove from the Stadium and Designated Areas, either temporarily or permanently, the Member or Ticket Holder if the Club reasonably suspects the Member or Ticket Holder: 9.4.1 to be prohibited (by law or otherwise) from attending the Stadium or any other sporting venue in the world; or 9.4.2 has breached, or is likely to breach, any other provision of the Agreement and/or any other terms and conditions, rules, laws or regulations applicable to entry to the Stadium, including without limitation the Ground Regulations; and, for the avoidance of doubt, the Member or Ticket Holder excluded or removed from the Stadium or the Designated Areas pursuant to this clause 9.4 shall be deemed to have breached these Terms and Conditions and the provisions of clause 12 shall apply. 10. DATA PROTECTION 10.1 For the purposes of the Data Protection Laws, the Member acknowledges that the Club shall hold, process and share personal data relating to the Member in accordance with the Club’s privacy notice in force from time to time. A copy of the Club’s current privacy notice can be found at www.wimbledonfc.com/website-privacy-policy/. 11. LIMITATION OF LIABILITY 11.1 The Club’s total aggregate liability to the Member and each Ticket Holder arising out of or in connection with the Agreement shall be limited to the amount of the Debenture Fee received by the Club from the Member as at the date the relevant liability first arose. 11.2 The Club shall not be liable to the Member or any Ticket Holder whether in contract, tort (including negligence), breach of statutory duty, or otherwise: 11.2.1 for any indirect or consequential loss; 11.2.2 for any loss of profits, loss of anticipated profits, loss of anticipated savings, loss of business or opportunity or business interruption (whether such losses are direct or indirect); 11.2.3 for any failure to provide or the delay in carrying out any of the Club's obligations under the Agreement as a result of a Force Majeure Event; 11.2.4 for any late delivery or non-delivery of any Ticket, replacement Ticket, documents or other materials resulting from the actions or omissions of any postal service provider; 11.2.5 for any delay, postponement, cancellation or rescheduling of any Home Match or any other match played in the Stadium for whatsoever reason; 11.2.6 for any suspension, cancellation or curtailment of a Season and/or if a Season is not otherwise completed in full; or 11.2.7 if the Club is required by any Applicable Laws or otherwise to play any Specified Match with restricted access for spectators. 11.3 Any property brought by Members or Ticket Holders into the Stadium and the Designated Areas is done so at their own risk, and the Club shall not be liable to the Member or Ticket Holder for any loss of, or damage to, such property. 11.4 Nothing in the Agreement shall exclude or limit the Club’s liability to a Member or any Ticket Holder for: 11.4.1 fraud or fraudulent misrepresentation; 11.4.2 death or personal injury caused by its or any of its officers’, employees’ or agents’ negligence; or 11.4.3 any other matter in respect of which liability cannot be excluded or limited under applicable law. 11.5 All terms of the Agreement are subject to the provisions from time to time of the Applicable Laws. In the event of any conflict or inconsistency between the terms of any Applicable Laws and the Agreement, the Applicable Laws will prevail. The Club will not be in breach of the Agreement by reason of its compliance with the Applicable Laws in force from time to time. 12. TERMINATION 12.1 The Member may cancel its Membership at any time during the Cooling Off Period, in which case the Member will receive a full refund of the Debenture Fee already paid and will not be required to make any further payment in respect of the Membership. 12.2 Except in the circumstances described in clause 12.1 or as otherwise expressly provided for in the Agreement, the Debenture Fee is non-refundable and non- transferable and, once the Cooling Off Period has expired, the Club is under no obligation to refund the whole or any part of the Debenture Fee or any other fee paid by the Member to the Club where the Membership (and/or associated benefits) is terminated or suspended for any reason (whether by the Member or by the Club). 12.3 Without prejudice to the other terms and conditions in the Agreement, the Club shall be entitled at its discretion to either: (i) suspend the operation of the Agreement and the Membership Rights for a period of time it determines appropriate; or (ii) terminate the Agreement (including the Membership) with immediate effect, in each case by way of written notice to the Member in the event that: 12.3.1 the Member (or the Ticket Holder) breaches any term of the Agreement or otherwise misuses the Membership, including but not limited to a breach of clause 4.5, 7.2, 8.2, 9.1, 9.2 or 9.4; 12.3.2 the Member (or the Ticket Holder) is found guilty of a criminal offence in connection with his/her behaviour in the Stadium or any other stadium; 12.3.3 (being a body corporate) there is a change of control of the Member (having the meaning given in section 1124 of the Corporation Tax Act 2010), or application for an order is made, or resolution passed, for the winding up of the Member, an application for an administration order is made, a provisional liquidator, receiver, administrative receiver or administrator is appointed, or a voluntary arrangement is proposed, in each case, in respect of the Member (or over all or any of its assets) or any event analogous to any of the foregoing occurs in respect of the Member in any jurisdiction; 12.3.4 (being a partnership) the Member is dissolved or any event analogous to a dissolution occurs in respect of the Member in any jurisdiction unless: (i) the dissolution relates only to the conversion of the Member to a solvent UK limited liability partnership (“LLP”), and (ii) the LLP enters into an agreement with the Club with respect to the Membership on identical terms to the Agreement; 12.3.5 the Member fails to pay when due any instalment of the Debenture Fee payable in accordance with the Agreement; 12.3.6 the Club is unable to provide the Membership Rights due to Applicable Laws or its ceasing to control the Stadium; or 12.3.7 (being an individual) the Member is declared bankrupt or any arrangement with or for the benefit of the Member’s creditors is made or a county court administration order is made against the Member under the County Court Act 1984. 12.4 If the Agreement is: 12.4.1 other than pursuant to clause 12.3.6, terminated by the Club before the end of the Term in accordance with the provisions of clause 12.3, the Member shall within fourteen (14) days of written notice by the Club pay to the Club the balance of the Debenture Fee outstanding at that time; or 12.4.2 other than pursuant to clause 12.3.6, suspended by the Club before the end of the Term in accordance with the provisions of clause 12.3, the Member shall be liable to continue to pay to the Club any instalments of the Debenture Fee due and payable during such period of suspension. 12.5 The Member shall indemnify the Club against all costs, expenses and losses (including any and all interest, penalties, fines, and all legal and other professional costs and expenses) suffered or incurred by the Club arising as a result of any breach of the Agreement by the Member (or the Ticket Holder). 13. NOTICES 13.1 Any notice required to be served by either party on the other party pursuant to the Agreement shall be in writing and delivered personally or sent by first class pre-paid post or sent by email. In the case of the Member, all notices shall be sent to the address or email address held by the Club or such other address as may from time to time be notified by the Member to the Club in writing in accordance with this clause 13.1, and in the case of the Club, all notices shall be sent to its registered office (or such other address as has been notified by the Club to the Member in writing in accordance with this clause 13.1). Any such notice shall be deemed properly served in the case of personal delivery on delivery, in the case of posting 3 days after the date of posting and in the case of email at the time of transmission.

14. GENERAL 14.1 The Agreement is personal between the Member and the Club. Notwithstanding the foregoing, the Club may at any time assign, mortgage, charge, declare a trust over or deal in any other manner with any or all of its rights under the Agreement. Save for any company in the same Group as the Club, the Agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Agreement. 14.2 The parties acknowledge that the Agreement and all documents referred to herein contain the whole agreement between the parties and supersede any prior written or oral agreement between them and is not affected by any other promise, representation, warranty, usage, custom or course of dealing not set out herein. Save where expressly stated otherwise in the Agreement, the parties confirm that neither have entered into the Agreement on the basis of any representation that is not expressly incorporated into the Agreement. 14.3 If any provision of the Agreement is or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect the validity or enforceability of any other provision of the Agreement in that jurisdiction or the validity or enforceability of that or any other provision of the Agreement in any other jurisdiction. 14.4 The Club reserves the right to amend the Terms and Conditions provided that any such amendment shall not result in the Member receiving any less than substantially similar benefits to those that the Member received prior to such amendment. Up to date versions of the Terms and Conditions will be made available on the Club's website and hard copies will be available from the Club upon written request. 14.5 The Member agrees that the Agreement and any Ticket(s) purchased by the Member does not grant the Member exclusive possession of the Designated Seat or any part of the Designated Areas or create a tenancy. 14.6 A failure or delay by the Club to exercise any right or remedy provided under the Agreement or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy by the Club provided under the Agreement or by law shall prevent or restrict the further exercise of that or any other right or remedy. 14.7 The Club shall not be in breach of the Agreement nor liable for delay in performing, or failure to perform, any of its obligations under the Agreement if such delay or failure result from a Force Majeure Event. The Member shall not be entitled to any refund or rebate of the Debenture Fee (or any part thereof) in connection with the occurrence of any Force Majeure Event. 14.8 Any clarifications that are required regarding the application or interpretation of the Agreement shall be determined by the Club in its sole and absolute discretion, but acting in good faith to the Member or Ticket Holder. 14.9 Where this Agreement stipulates that consent or approval is required from the Club, such consent or approval must be given in writing to be valid and will not be deemed given unless in writing. 14.10 The Agreement and any dispute or claim arising out of or in connection with it (including any dispute or claim in relation to non-contractual obligations) is governed by English law. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of, under or in connection with the Agreement (including any non-contractual disputes or claims). SCHEDULE 1 Membership Rights 1. The Member shall have the right during each Debenture Year during the Term to: 1.1 subject to the provisions of clause 6, Priority Access to purchase a Ticket in the Designated Seat for each Specified Match*; 1.2 be invited to selected Club events; 1.3 subject to the Data Protection Laws, have the Member’s name included in an online members’ directory; 1.4 subject to availability, discounted room hire/daily delegate rates for use of the Club’s lounge spaces in the Stadium on non-matchdays (such discounts/rates as set by the Club from time to time); and 1.5 priority access to other non-football events at the Stadium (at the Club’s sole and absolute discretion and subject to any applicable event promoter terms).

2. Subject to the Member purchasing the requisite Ticket, the Member (or Ticket Holder) shall have the right during the Opening Hours: 2.1 to access and use the Stadium and the Designated Areas; and 2.2 to the exclusive use of the Designated Seat.

*For the avoidance of any doubt, the rights granted to the Member do not include any rights to the Designated Seat for any Home Match which is not a Specified Match. The cost of purchasing a Ticket is additional to, and is not included in, the Debenture Fee.

3. The Member has the following rights to different seat selections: 3.1 If a season ticket is purchased, then the member will have the right to sit in that seat all season with no further purchases to be made; and 3.2 If a season ticket is not purchased, then the member may purchase a matchday ticket to sit in their seat on a match by match basis. Members that choose this option will have a period of priority to buy the matchday ticket. If they have not purchased, in full, a matchday ticket for this seat by the end of this period of priority, the seat will become available for the Club to sell.

4. Members that have purchased a Junior Debenture seat will only be able to purchase a Junior Season Ticket or a Junior Matchday Ticket in that seat. This rule will remain in place until the named Junior Member/Debenture Holder reaches their 18th birthday. After this date the Junior restriction will be lifted on that seat and an Adult Season Ticket or Adult Matchday Ticket may be purchased.

AFC WIMBLEDON PREMIUM SEAT TERMS AND CONDITIONS This document (these Terms and Conditions) sets out terms on which AFC WIMBLEDON LIMITED, company number 04458490 (Club) grants premium seat membership to third parties in return for the payment of the Debenture Fee (as defined below). Premium seat membership confers on the Member (as defined below) the right to priority access to purchase tickets in a designated premium seat in the AFC Wimbledon stadium. These Terms and Conditions, together with the Application Form (as defined below) and any other documents referred to herein, constitute the contract between the Member and the Club in respect of premium seat membership (Agreement).

Each Applicant should therefore read these Terms and Conditions carefully before making any application for premium seat membership, as these Terms and Conditions explain each party’s legal rights and important information about the Agreement.

1. DEFINITIONS

1.1 IN THE AGREEMENT the following expressions shall have the following meanings:

Applicable Laws means the Relevant Legislation, the Ground Regulations and the Regulations;

Applicant means a person making an Application;

Application means an application for Membership made pursuant to an Application Form;

Application Form means the application form for Membership annexed to these Terms and Conditions;

Catering Services Provider means any person or organisation to whom catering rights in the Hospitality Areas have been granted, franchised or assigned;

Cooling Off Period means the period starting on the Commencement Date and expiring at midnight on the date which is five days from the Commencement Date (or, if the Member is a consumer, expiring at midnight on the date which is 14 days from the Commencement Date);

Commencement Date means the date of commencement of an Applicant’s Membership as specified by the Club pursuant to clause 4.3;

Common Areas means the roads, footpaths, lifts, stairs, escalators, reception areas, concourses and other areas necessary for access to and egress from the Member’s Designated Seat and the Hospitality Areas;

Competitions means the Premier League, English Football League, the Football Association Cup, the Football League Cup competition, the UEFA Champions League and the UEFA Europa League (each as may be renamed from time to time) or any other football competitions as may be specified by the Club from time to time in writing at its absolute discretion;

Corporate Member means a member of the Club other than an Individual Member;

Data Protection Laws the General Data Protection Regulation (Regulation (EU) 2016/679) and the Data Protection Act 2018 together with any other laws applicable to the protection or processing of personal data in force from time to time;

Debenture Fee means the fee for Membership, as set out in the Application Form and payable in accordance with clause 4;

Debenture Year means each period of one year during the Term beginning on 1 July in one year and ending on 30 June of the immediately following year, save for the first period of the Term which shall be deemed to begin on the Stadium Opening Date and shall end on 30 June 2021;

Designated Areas means: (i) the Member’s Designated Seat; (ii) the Relevant Hospitality Areas; and (iii) the Common Areas;

Designated Seat means the designated premium seat in the Stadium allocated to the Member by the Club;

Family Member means in relation to an Individual Member, the spouse or civil partner of the Individual Member and the Individual Member’s children and grandchildren (including step and adopted children and grandchildren);

First Team means the first XI men’s football team representing the Club;

Force Majeure Event means any circumstance not within the Club’s reasonable control including, without limitation: (i) acts of God, flood, drought, earthquake or other natural disaster; (ii) epidemic or pandemic (including, but not limited to, COVID-19 and future reoccurrences of COVID-19, whether as a pandemic or epidemic in the UK); (iii) terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, or embargo; (iv) nuclear, chemical or biological contamination or sonic boom; (v) any law or any action taken by a government or public authority, and expressly including any direction, requirement, rule and/or regulation of the English Football League (and/or any other relevant national or international football governing body or authority from time to time with jurisdiction over Home Matches, which may include the Football Association and/or the Premier League); (vi) collapse of buildings, fire, explosion or accident; (vii) any labour or trade dispute, strikes, industrial action or lockouts; (viii) non- performance by suppliers or subcontractors; and (ix) interruption or failure of any utility service;

Game Ticket means a single ticket to any single Specified Match, the terms of which are governed in each case by the relevant Ticket Ts & Cs;

Ground Regulations means the Club’s ground regulations applicable to the Stadium, as amended from time to time in the Club’s sole and absolute discretion, which will be displayed at the Stadium and are available at www.afcwimbledon.co.uk/club/ground-regulations/ and which are incorporated into the Agreement;

Group means in relation to a company, that company, any subsidiary or any holding company from time to time of that company, and any subsidiary from time to time of a holding company of that company. Each company in a Group is a member of the Group;

Home Matches means football matches played at the Stadium;

Individual Member means a member of the Club who is a natural person;

Ladies Team means the Club’s Ladies team from time to time;

League Matches means all league matches played by the First Team in one Season whether in the Premier League, the English Football League or the National League (as the case may be);

Member means an Individual Member or a Corporate Member, whose Application has been accepted by the Club, and who is entitled to the Membership Rights, in each case in accordance with and pursuant to the Agreement;

Membership means the premium seat membership of the Club, entitling the Member to the Membership Rights in each Debenture Year in accordance with the terms of the Agreement;

Membership Renewal Fee means the fee payable to the Club should a Member wish to renew their Membership at the end of the Term, as notified by the Club and payable by the Member in accordance with clause 5.1;

Membership Rights means the rights granted to the Member in each Debenture Year in connection with their Membership, as set out in Schedule 1;

Opening Hours means such periods during which the Stadium remains open in connection with each Specified Match as stipulated by the Club;

Priority Access means a period of priority in which the Member may purchase a Ticket in the Designated Seat prior to such Ticket going on sale to the general public, each such period being determined by the Club on a case-by-case basis;

Regulations means the provisions from time to time of the general safety certificate applying to the Stadium, the bye-laws, rules, regulations, orders, directions, codes of practice and other guidelines of the London Borough of Merton, the Metropolitan Police Service, the London Fire Brigade, the Footballing Licensing Authority, The Football Association Limited (FA), the English Football League, the Premier League, the National League, the Federation Internationale de Football Association (FIFA), the Union des Associations Européennes de Football (UEFA), the European Commission and any other authority or organisation that has jurisdiction or authority in relation to the holding of Home Matches from time to time;

Relevant Hospitality Areas means the designated members’ lounge and hospitality areas at the Stadium to which Ticket Holders have access during the Opening Hours, such lounge and hospitality area as specified on their Ticket in each case;

Relevant Legislation means any Act of Parliament and any European Community Legislation or decree or any other legislation or decree having effect of law of the United Kingdom from time to time and references to “Relevant Legislation” shall include any statutory modification or re-enactment for the time being of any enactment and any orders or regulations permissions or directions made or issued under it or any enactment replaced by it or deriving validity from it from time to time;

Seating Plan means the plan of the Designated Seats available for inspection at the Stadium and provided to the Member during the Application process;

Season means the English football season, usually commencing on the 1st August and continuing up to and including the last day of the third week of May in the next calendar year;

Season Ticket means a ticket to all League Matches which are Home Matches in one Season during the Term, the terms of which are governed by the relevant Ticket Ts & Cs;

Specified Matches means: (A) the following Home Matches only: (i) all League Matches; (ii) all pre-season First Team friendly matches prior to the start of a Season; (iii) all First Team matches in the FA Cup, the League Cup and any European Cup in a Season; (iv) any First Team play-off League Match in a Season; and (B) at the Club’s sole and absolute discretion, any other men’s or ladies’ match(es) played in the Stadium;

Stadium means the new AFC Wimbledon Stadium, or such other name as it may become known, and which is located at Plough Lane, London SW17 0NR (or any new designated postcode);

Stadium Opening Date means the date the Stadium achieves all Stadium Opening Requirements;

Stadium Opening Requirements has the meaning given in clause 2.2.4;

Term means, unless terminated earlier in accordance with the Agreement, the period beginning on the Commencement Date and ending on the Termination Date;

Termination Date means 23:59 on 30 June 2030;

Ticket means a Season Ticket or a Game Ticket;

Ticket Ts&Cs means the terms and conditions for the sale and purchase of the applicable Ticket in force from time to time and which are incorporated into the Agreement; and

Ticket Holder means any individual who is in possession of a Ticket made available to them by the Member strictly in accordance with the terms of the Agreement only.

2. APPLICATION PROCESS 2.1 To purchase Membership, the Applicant shall: 2.1.1 complete and sign the Application Form and return it to the Club; and 2.1.2 pay the Debenture Fee (or relevant instalment thereof as specified in the Application Form). 2.2 By returning the signed Application Form to the Club, the Applicant hereby agrees to be bound by the terms of the Agreement from the Commencement Date, provided that the Applicant shall not become a Member or be granted the Membership Rights unless and until all of the following conditions have been satisfied: 2.2.1 the Debenture Fee (or relevant instalment thereof as specified in the Application Form) has been paid in full by the Applicant; 2.2.2 the Application Form has been fully completed and signed by the Applicant; 2.2.3 the Application has been accepted by the Club in accordance with clause 4.3; and 2.2.4 the Stadium has been issued with all safety certification(s) required by Relevant Legislation, the Regulations or otherwise, including any requirements stipulated by the London Borough of Merton, in order to allow the playing of football matches (“Stadium Opening Requirements”). 2.3 Once submitted, the Applicant cannot change any terms set out in an Application Form unless otherwise agreed by the Club in writing. If the Applicant would like to change or amend the details submitted on an Application Form, the Applicant must contact the Club via email at [email protected] (or such other email address that the Club may specify on its website). 3. MEMBERSHIP 3.1 Membership is sold subject to availability and acceptance of an Application by the Club pursuant to clause 4.3 is at the Club’s sole and absolute discretion. To the extent permitted under applicable law, the Club expressly excludes any and all liability for any loss, expenses, damages, fines or penalties arising out of or in connection with any unsuccessful Application. 3.2 Subject to clause 2.2, Membership shall commence on the Commencement Date and shall continue until the Termination Date whereupon it shall automatically terminate, unless terminated earlier or renewed (as the case may be) in accordance with the provisions of the Agreement. 3.3 A Member shall be entitled to the Membership Rights from the Commencement Date subject to the terms and conditions of the Agreement (including clauses 2.2, 3.5 and 6). 3.4 Membership is not transferable otherwise than in accordance with clause 8. 3.5 Membership and the grant of Membership Rights by the Club is subject to Applicable Laws and the Club’s control of the Stadium at all times. 4. FEES AND PAYMENTS 4.1 The Applicant agrees to pay: 4.1.1 the Debenture Fee in full, or relevant instalment of the Debenture Fee as specified on their Application Form, prior to or immediately on delivery of the completed Application Form to the Club; and 4.1.2 any further instalment(s) of the Debenture Fee during the Term in the amounts and on such dates as are specified on the Application Form. 4.2 Any amount which the Club has received from the Applicant in connection with Membership prior to the delivery of their Application Form shall be deducted from the aggregate Debenture Fee provided such Application is approved by the Club in accordance with clause 4.3. 4.3 The Club shall notify the Applicant in writing as soon as reasonably practicable after receipt of the completed Application Form whether or not the club has accepted the Application. The Club may accept or reject Applications in its sole and absolute discretion and it is not obliged to give any reason(s) for any rejection. If the Club does not accept an Application, or the conditions in clause 2.2 are not otherwise satisfied, the Club shall as soon as reasonably practicable refund to the Applicant any Debenture Fee paid by that Applicant in respect of such Application. 4.4 The Debenture Fee is exclusive of VAT and the Club also reserves the right to charge an administrative fee on payments made using certain payment methods. Information of any such charges will be made available by the Club and it is the responsibility of the Member to check payment information carefully. A valid receipted VAT invoice will be issued by the Club following the date of each payment, upon request. 4.5 In the event that the Member fails to pay any instalment of the Debenture Fee by the due date for payment (Overdue Amount) the Club shall, at its absolute discretion and without prejudice to its other rights and remedies, have the right to immediately on written notice to the Member: 4.5.1 terminate the Agreement in accordance with clause 12.3; 4.5.2 suspend the Member’s Membership Rights in accordance with clause 12.3 (including denying such Member access to the Stadium even if such Member is in possession of a valid Ticket) until such Overdue Amount and any interest thereon has been paid in full. 4.6 The Club may charge, and the Member shall pay, interest on any Overdue Amount at the rate of 3% a year above the then current base lending rate of Barclays Bank PLC. Interest shall accrue daily on the basis of a 365 day year and shall accrue from the date such Overdue Amount should have been paid until and including the date such Overdue Amount is paid in full, whether before or after judgment. 4.7 The Debenture Fee (and any instalment thereof) is non-refundable following the expiry of the Cooling Off Period (unless otherwise expressly stated in the Agreement or agreed by the Club in writing at its sole and absolute discretion). 5. RENEWAL OF MEMBERSHIP 5.1 Subject to availability and no later than six (6) calendar months before the expiry of the Term, the Club will notify the Member in writing of the Membership Renewal Fee and the revised terms and conditions (if any) upon which it is prepared to make available the Membership Rights to the Member following expiry of the Term (subject to the Member having complied in all respects with its obligations contained in the Agreement) and no less than four (4) calendar months prior to the expiry of the Term the Member shall indicate whether they wish to enter into an agreement upon such terms and conditions and pay the Membership Renewal Fee. 5.2 If no response in writing is received by the Club from the Member at least four (4) months prior to the expiry of the Term, then the Club shall be entitled to assume that the Member does not wish to renew its Membership and the Membership Rights shall automatically terminate on the expiry of the Term and the Membership and Designated Seat shall be made available for sale by the Club to the general public. 5.3 Nothing in this section 5 shall give to the Member any automatic right of renewal or purchase in relation to the Membership or any of the Membership Rights at the end of the Term. 6. DESIGNATED SEAT ALLOCATION AND DESIGNATED AREAS 6.1 The location of the Member’s Designated Seat will be agreed between the Club and the Member in accordance with the Seating Plan and during the Application process. 6.2 During the Term, the location of, and access to, any part of the Stadium and the Designated Areas may be improved, altered or modified at any time by the Club where required for operational reasons (for example and without limitation, to facilitate the refurbishment or redevelopment of certain areas of the Stadium), for safety reasons, due to Applicable Laws or due to a Force Majeure Event. The location of the Member’s Designated Seat may therefore be subject to change, but any such change will be notified to the Member by the Club in writing in advance. 6.3 If the Club determines at its discretion that all or any part of the Stadium or the Designated Area(s) is unavailable due to: 6.3.1 health and safety requirements and/or Applicable Laws; 6.3.2 a Force Majeure Event; 6.3.3 the need for repairs or alterations to be made to the Stadium, the Designated Area(s) (or any relevant part) or any fixtures or fittings therein and such repairs or alterations are in the Club’s opinion necessary or desirable; or 6.3.4 any other reasons deemed necessary at the Club’s sole and absolute discretion, the Club’s sole obligation (and the Member’s sole right and remedy) in these circumstances will be for the Club to use its reasonable endeavours to provide the Member with an alternative Designated Seat elsewhere in the Stadium or, where the Stadium is unavailable, such other stadium where the First Team plays its Specified Matches (in which case the terms of the Agreement shall apply equally to such seat and such stadium). 6.4 If, pursuant to the provisions of clause 6.3, it is not possible for the Club to provide all Members with their Designated Seats or alternative Designated Seats for a Specified Match, the following categories of persons will be offered a Designated Seat in the Stadium for the relevant Specified Match in the following order of priority: 6.4.1 first, Members who have a non-refundable Season Ticket for the Season in which the relevant Specified Match takes place (“Category One”); 6.4.2 second, holders of a Season Ticket for the Season in which the relevant Specified Match takes place; and 6.4.3 third, Members who do not have a non-refundable Season Ticket for the Season in which the relevant Specified Match takes place (“Category Three”). 6.5 In the event that it is not possible for the Club to offer a Designated Seat to all Members in Category One or Category Three (as the case may be) for the relevant Specified Match, the Members of that particular category entitled to a Designated Seat for the relevant Specified Match will be drawn by lot by the Club. The determination of the Club in this regard will be final and no correspondence or discussion will be entered into. 6.6 Where it is necessary to relocate the Member’s Designated Seat under this clause 6, the Club will use reasonable endeavours to replicate the position of the Designated Seat both in terms of its position relative to the pitch and its position in the Seating Plan relative to the other designated seats. 7. TICKETS 7.1 Season Tickets and Game Tickets are issued subject to the applicable Ticket Ts & Cs, the current version of which are set out on the Club’s website. 7.2 Admittance to the Stadium shall only be permitted upon the satisfactory production by a Member or Ticket Holder of a valid Ticket. Any person seeking to use a Ticket: 7.2.1 on more than one occasion at the same Home Match; or 7.2.2 which has been cancelled or suspended by the Club in accordance with the applicable Ticket Ts & Cs, may be refused entry to, or ejected from, the Stadium and such acts shall be deemed a breach of these Terms and Conditions and the provisions of clause 12 shall apply. 7.3 All Tickets issued by the Club remain the property of the Club and must be returned to the Club immediately upon request. 7.4 The Member must notify the Club immediately in the event that a Ticket is lost or stolen. The Club may, at its discretion, provide a replacement for a lost or stolen Ticket, but reserves the right to charge a fee of up to £50 for the issue of any such replacement. 7.5 The Member acknowledges and agrees that no one under the age of 16 shall be permitted to enter the Stadium unless accompanied by an adult. 8. RE-SALE, TRANSFER AND ASSIGNMENT 8.1 The rights of the Member under the Agreement are personal to that Member and the Member shall not, without the prior written consent of the Club (which the Club may provide or withhold in its sole and absolute discretion), assign, transfer, sell, offer to sell, novate, hire, grant or dispose of any of the Member’s rights under the Agreement (or any interest in such rights) to any other person save as expressly provided for in the Agreement. 8.2 The Member may permit the Ticket Holder, for no charge or commercial gain whatsoever to the Member (whether directly or indirectly), to use a Ticket for a Specified Match and to enjoy the Membership Rights pursuant to the Agreement provided that: 8.2.1 the Member shall remain liable at all times for the acts and omissions of the Ticket Holder; 8.2.2 any use by the Ticket Holder of a Ticket is provided subject to the terms of the Agreement which will apply to and bind that Ticket Holder as if he/she had entered into the Agreement (and the Member must inform the Ticket Holder of this); and 8.2.3 any breach of any provision of the Agreement by the Ticket Holder shall be deemed to be a breach of the Agreement by the Member themselves. 8.3 A Member shall not be entitled to transfer their Membership (Membership Transfer) to another person without the Club’s prior written approval (which the Club may provide or withhold in its sole and absolute discretion). If the Club has notified the Member in writing that it is willing to accommodate the proposed Membership Transfer, the Member transferring their Membership (Transferor) shall: 8.3.1 inform the Club of the Membership Transfer and comply with the Club’s instructions and directions to effect such Membership Transfer at the Member’s own cost; 8.3.2 ensure that the transferee of the Membership Transfer (Transferee) completes and signs an Application Form confirming (inter alia) compliance with the terms of the Agreement; and 8.3.3 comply with such other stipulations and conditions in connection with the Membership Transfer as the Club may notify to the Member. 8.4 Once the Club has approved the Membership Transfer in principle, the Transferor must pay the Club prior to the Membership Transfer being processed an administration fee specified by the Club of up to £100 plus VAT. Following the receipt of such fee, the Club will process the Membership Transfer and notify the Transferor and Transferee of the date of completion of the Membership Transfer (Transfer Date). 8.5 The term of the Transferee’s period of Membership shall begin on the Transfer Date and terminate automatically on the Termination Date, unless terminated earlier or renewed (as the case may be) in accordance with the provisions of the Agreement. 8.6 Upon a Membership Transfer taking effect in accordance with clause 8.4, the Transferee shall become entitled (at the exclusion of the Transferor) to enjoy the Membership Rights previously enjoyed by the Transferor and shall become liable for all of the Transferor’s liabilities under the Agreement (whether arising before, on or after the Transfer Date) including the obligation to pay any instalments of the Debenture Fee and otherwise be subject to the terms and conditions of the Agreement. For the avoidance of any doubt, the Membership Transfer shall include the transfer of all Membership Rights from the Transferor to the Transferee. The transfer of some only of the Membership Rights is not permitted. 8.7 In addition to the Club’s rights and remedies under the Agreement, the unauthorised sale or disposal of any Ticket by the Member (or the Ticket Holder) under the Agreement may amount to a criminal offence under section 166 of the Criminal Justice and Public Order Act 1994 (as amended). The Club will inform the police if it becomes aware, or has reasonable suspicions, that any Ticket obtained by the Member (or the Ticket Holder) under the Agreement has been sold illegally. If the Member (or the Ticket Holder) is convicted of a ticket touting offence, or the Club reasonably suspects the Member to have committed such an offence, the Club will notify the English Football League or other relevant football authority, who may in turn notify other English Football League or other clubs, and/or the UK Football Policing Unit. The information that the Club shares may include such Member’s personal details, information about the offence and about ticket purchases (including payment details). The Club will use this to identify and prevent ticket touting offences and disorder at matches at the Stadium. 8.8 Upon the death of the Member, such deceased Member’s Membership may be transferred to a Family Member of that deceased Member for no charge at the absolute discretion of the Club and the provisions of clauses 8.3 to 8.6 shall apply mutatis mutandis. Should the proposed transferee not be a Family Member of such deceased Member, the Club shall, at its absolute discretion, have the right to: 8.8.1 refuse to effect such transfer and terminate the Membership; or 8.8.2 approve such transfer, in which case the provisions of clauses 8.3 to 8.6 shall apply mutatis mutandis. 9. OBLIGATIONS OF THE MEMBER 9.1 The Member shall and shall procure that any Ticket Holder shall: 9.1.1 comply with all rules and regulations imposed by the Club and/or any bona fide football authority from time to time in respect of the admission to, and attendance at, the Stadium and the Designated Areas, including, without limitation, the Applicable Laws and any restrictions imposed by the police or any other relevant authority in relation to any Home Match from time to time; 9.1.2 comply with all applicable Ticket Ts&Cs; 9.1.3 not do anything which, in the Club’s reasonable opinion, may cause a nuisance or annoyance to the Club or to any other Members or Ticket Holders; 9.1.4 not engage in any abusive, dangerous or other unacceptable and/or discriminatory behaviour in any form (whether physical, verbal or otherwise) nor treat the Club staff or any other person (including any other Members or Ticket Holders, spectators or visitors to the Stadium or local residents) in a threatening or abusive manner; 9.1.5 use the Stadium and the Designated Areas in a proper and lawful manner and according to the Applicable Laws; 9.1.6 pay in full and on time all charges incurred by the Member in respect of catering facilities provided to the Ticket Holder in accordance with the conditions for payment specified from time to time by the Catering Services Provider; 9.1.7 not bring into the Stadium any food or drink or any substances, materials or items which are in contravention of the Ground Regulations, including any item the Club considers acting reasonably should not be brought into the Stadium or the Designated Areas; 9.1.8 damage or deface the Stadium or Designated Areas (or any parts thereof) (fair wear and tear excepted); 9.1.9 not do anything which might bring the Club, or any of its players, staff or volunteers into disrepute; and 9.1.10 notify the Club of any change of address of the Member from time to time within 14 days of such change. 9.2 The Member shall not use or seek to profit, and shall procure that the Ticket Holder shall not use or seek to profit, from any Ticket or any other benefit provided by virtue of the Member entering into the Agreement: (i) by offering the Ticket as a gift or prize in any promotion, raffle or competition or in relation to any commercial or promotional activities without prior written consent of the Club; or (ii) in contravention or breach of any provision of the Bribery Act 2010. 9.3 The Member shall not make, and shall procure that the Ticket Holder does not make, without the prior written consent of the Club, any public statement or announcement linking, or implying any relationship between, or engage in any marketing, advertising or promotional activity which links or implies any relationship between the Member and/or the Ticket Holder and the Club. 9.4 The Club may exclude or remove from the Stadium and Designated Areas, either temporarily or permanently, the Member or Ticket Holder if the Club reasonably suspects the Member or Ticket Holder: 9.4.1 to be prohibited (by law or otherwise) from attending the Stadium or any other sporting venue in the world; or 9.4.2 has breached, or is likely to breach, any other provision of the Agreement and/or any other terms and conditions, rules, laws or regulations applicable to entry to the Stadium, including without limitation the Ground Regulations; and, for the avoidance of doubt, the Member or Ticket Holder excluded or removed from the Stadium or the Designated Areas pursuant to this clause 9.4 shall be deemed to have breached these Terms and Conditions and the provisions of clause 12 shall apply. 10. DATA PROTECTION 10.1 For the purposes of the Data Protection Laws, the Member acknowledges that the Club shall hold, process and share personal data relating to the Member in accordance with the Club’s privacy notice in force from time to time. A copy of the Club’s current privacy notice can be found at www.wimbledonfc.com/website-privacy-policy/. 11. LIMITATION OF LIABILITY 11.1 The Club’s total aggregate liability to the Member and each Ticket Holder arising out of or in connection with the Agreement shall be limited to the amount of the Debenture Fee received by the Club from the Member as at the date the relevant liability first arose. 11.2 The Club shall not be liable to the Member or any Ticket Holder whether in contract, tort (including negligence), breach of statutory duty, or otherwise: 11.2.1 for any indirect or consequential loss; 11.2.2 for any loss of profits, loss of anticipated profits, loss of anticipated savings, loss of business or opportunity or business interruption (whether such losses are direct or indirect); 11.2.3 for any failure to provide or the delay in carrying out any of the Club's obligations under the Agreement as a result of a Force Majeure Event; 11.2.4 for any late delivery or non-delivery of any Ticket, replacement Ticket, documents or other materials resulting from the actions or omissions of any postal service provider; 11.2.5 for any delay, postponement, cancellation or rescheduling of any Home Match or any other match played in the Stadium for whatsoever reason; 11.2.6 for any suspension, cancellation or curtailment of a Season and/or if a Season is not otherwise completed in full; or 11.2.7 if the Club is required by any Applicable Laws or otherwise to play any Specified Match with restricted access for spectators. 11.3 Any property brought by Members or Ticket Holders into the Stadium and the Designated Areas is done so at their own risk, and the Club shall not be liable to the Member or Ticket Holder for any loss of, or damage to, such property. 11.4 Nothing in the Agreement shall exclude or limit the Club’s liability to a Member or any Ticket Holder for: 11.4.1 fraud or fraudulent misrepresentation; 11.4.2 death or personal injury caused by its or any of its officers’, employees’ or agents’ negligence; or 11.4.3 any other matter in respect of which liability cannot be excluded or limited under applicable law. 11.5 All terms of the Agreement are subject to the provisions from time to time of the Applicable Laws. In the event of any conflict or inconsistency between the terms of any Applicable Laws and the Agreement, the Applicable Laws will prevail. The Club will not be in breach of the Agreement by reason of its compliance with the Applicable Laws in force from time to time. 12. TERMINATION 12.1 The Member may cancel its Membership at any time during the Cooling Off Period, in which case the Member will receive a full refund of the Debenture Fee already paid and will not be required to make any further payment in respect of the Membership. Where the Member is a consumer, the Cooling Off Period is in place of the general “cooling off” right provided by applicable legislation (which does not apply due to the nature of the Membership) but does not affect the Member’s other legal rights. 12.2 Except in the circumstances described in clause 12.1 or as otherwise expressly provided for in the Agreement, the Debenture Fee is non-refundable and non- transferable and, once the Cooling Off Period has expired, the Club is under no obligation to refund the whole or any part of the Debenture Fee or any other fee paid by the Member to the Club where the Membership (and/or associated benefits) is terminated or suspended for any reason (whether by the Member or by the Club). 12.3 Without prejudice to the other terms and conditions in the Agreement, the Club shall be entitled at its discretion to either: (i) suspend the operation of the Agreement and the Membership Rights for a period of time it determines appropriate; or (ii) terminate the Agreement (including the Membership) with immediate effect, in each case by way of written notice to the Member in the event that: 12.3.1 the Member (or the Ticket Holder) breaches any term of the Agreement or otherwise misuses the Membership, including but not limited to a breach of clause 4.5, 7.2, 8.2, 9.1, 9.2 or 9.4; 12.3.2 the Member (or the Ticket Holder) is found guilty of a criminal offence in connection with his/her behaviour in the Stadium or any other stadium; 12.3.3 (being a body corporate) there is a change of control of the Member (having the meaning given in section 1124 of the Corporation Tax Act 2010), or application for an order is made, or resolution passed, for the winding up of the Member, an application for an administration order is made, a provisional liquidator, receiver, administrative receiver or administrator is appointed, or a voluntary arrangement is proposed, in each case, in respect of the Member (or over all or any of its assets) or any event analogous to any of the foregoing occurs in respect of the Member in any jurisdiction; 12.3.4 (being a partnership) the Member is dissolved or any event analogous to a dissolution occurs in respect of the Member in any jurisdiction unless: (i) the dissolution relates only to the conversion of the Member to a solvent UK limited liability partnership (“LLP”), and (ii) the LLP enters into an agreement with the Club with respect to the Membership on identical terms to the Agreement; 12.3.5 the Member fails to pay when due any instalment of the Debenture Fee payable in accordance with the Agreement; 12.3.6 the Club is unable to provide the Membership Rights due to Applicable Laws or its ceasing to control the Stadium; or 12.3.7 (being an individual) the Member is declared bankrupt or any arrangement with or for the benefit of the Member’s creditors is made or a county court administration order is made against the Member under the County Court Act 1984. 12.4 If the Agreement is: 12.4.1 other than pursuant to clause 12.3.6, terminated by the Club before the end of the Term in accordance with the provisions of clause 12.3, the Member shall within fourteen (14) days of written notice by the Club pay to the Club the balance of the Debenture Fee outstanding at that time; or 12.4.2 other than pursuant to clause 12.3.6, suspended by the Club before the end of the Term in accordance with the provisions of clause 12.3, the Member shall be liable to continue to pay to the Club any instalments of the Debenture Fee due and payable during such period of suspension. 12.5 The Member shall indemnify the Club against all costs, expenses and losses (including any and all interest, penalties, fines, and all legal and other professional costs and expenses) suffered or incurred by the Club arising as a result of any breach of the Agreement by the Member (or the Ticket Holder). 13. NOTICES 13.1 Any notice required to be served by either party on the other party pursuant to the Agreement shall be in writing and delivered personally or sent by first class pre-paid post or sent by email. In the case of the Member, all notices shall be sent to the address or email address specified on its Application Form or such other address as may from time to time be notified by the Member to the Club in writing in accordance with this clause 13.1, and in the case of the Club, all notices shall be sent to its registered office (or such other address as has been notified by the Club to the Member in writing in accordance with this clause 13.1). Any such notice shall be deemed properly served in the case of personal delivery on delivery, in the case of posting 3 days after the date of posting and in the case of email at the time of transmission. 14. GENERAL 14.1 The Agreement is personal between the Member and the Club. Notwithstanding the foregoing, the Club may at any time assign, mortgage, charge, declare a trust over or deal in any other manner with any or all of its rights under the Agreement. Save for any company in the same Group as the Club, the Agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Agreement. 14.2 The parties acknowledge that the Agreement, the Application Form and all documents referred to herein contain the whole agreement between the parties and supersede any prior written or oral agreement between them and is not affected by any other promise, representation, warranty, usage, custom or course of dealing not set out herein. Save where expressly stated otherwise in the Agreement, the parties confirm that neither have entered into the Agreement on the basis of any representation that is not expressly incorporated into the Agreement. 14.3 If any provision of the Agreement is or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect the validity or enforceability of any other provision of the Agreement in that jurisdiction or the validity or enforceability of that or any other provision of the Agreement in any other jurisdiction. 14.4 The Club reserves the right to amend the Terms and Conditions provided that any such amendment shall not result in the Member receiving any less than substantially similar benefits to those that the Member received prior to such amendment. Up to date versions of the Terms and Conditions will be made available on the Club's website and hard copies will be available from the Club upon written request. 14.5 The Member agrees that the Agreement and any Ticket(s) purchased by the Member does not grant the Member exclusive possession of the Designated Seat or any part of the Designated Areas or create a tenancy. 14.6 A failure or delay by the Club to exercise any right or remedy provided under the Agreement or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy by the Club provided under the Agreement or by law shall prevent or restrict the further exercise of that or any other right or remedy. 14.7 The Club shall not be in breach of the Agreement nor liable for delay in performing, or failure to perform, any of its obligations under the Agreement if such delay or failure result from a Force Majeure Event. The Member shall not be entitled to any refund or rebate of the Debenture Fee (or any part thereof) in connection with the occurrence of any Force Majeure Event. 14.8 Any clarifications that are required regarding the application or interpretation of the Agreement shall be determined by the Club in its sole and absolute discretion, but acting in good faith to the Member or Ticket Holder. 14.9 Where this Agreement stipulates that consent or approval is required from the Club, such consent or approval must be given in writing to be valid and will not be deemed given unless in writing. 14.10 The Agreement and any dispute or claim arising out of or in connection with it (including any dispute or claim in relation to non-contractual obligations) is governed by English law. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of, under or in connection with the Agreement (including any non-contractual disputes or claims). SCHEDULE 1 Membership Rights 1. The Member shall have the right during each Debenture Year during the Term to: 1.1 subject to the provisions of clause 6, Priority Access to purchase a Ticket in the Designated Seat for each Specified Match*; 1.2 be invited to selected Club events; 1.3 subject to the Data Protection Laws, have the Member’s name included in an online members’ directory; 1.4 subject to availability, discounted room hire/daily delegate rates for use of the Club’s lounge spaces in the Stadium on non-matchdays (such discounts/rates as set by the Club from time to time); and 1.5 priority access to other non-football events at the Stadium (at the Club’s sole and absolute discretion and subject to any applicable event promoter terms).

2. Subject to the Member purchasing the requisite Ticket, the Member (or Ticket Holder) shall have the right during the Opening Hours: 2.1 to access and use the Stadium and the Designated Areas; and 2.2 to the exclusive use of the Designated Seat.

*For the avoidance of any doubt, the rights granted to the Member do not include any rights to the Designated Seat or Hospitality Areas for any Home Match which is not a Specified Match. The cost of purchasing a Ticket is additional to, and is not included in, the Debenture Fee.

Terms & Conditions

2021/22 Season

These terms and conditions (“Conditions”) and any documents referred to in these Conditions apply to all purchases of home matchday tickets from AFC Wimbledon Limited (“AFCW”). By purchasing a home matchday ticket from AFCW, you acknowledge and agree that you shall be bound by these Conditions.

1. Definitions and Interpretation

1.1 In these Conditions, the following terms shall have the following meanings:

"Conditions" means these Home Match Ticket Conditions of Issue, which govern the issue and use of a Home Match Ticket;

“EFL” means the English Football League;

“Football Authority” means the Premier League, the EFL, the Football Association, UEFA and FIFA;

“General Terms and Conditions” means the General terms and conditions relating to the sale of tickets to Club matches;

"Ground Regulations" means those ground regulations issued by the EFL from time to time that set out the terms and conditions upon which spectators are granted entry to the Stadium;

"Guest" means a relative, friend, colleague and/or companion to the disabled who would be entitled to purchase a Home Match Ticket under these Conditions;

"Home Match" means any EFL match or other match in which the Club participates and that takes place at the Stadium during the 2020/21 Season;

"Home Match Ticket" means a printed paper ticket or other form of ticket (and/or any rights arising out of or in connection with the foregoing) for admission to a Home Match;

“Season” means the 2020/21 EFL League One season, including any play off matches; and

"Stadium" means the stadium in which the first team play their competitive matches.

2. Issue of Home Match Ticket

2.1 The issue of a Home Match Ticket and subsequent access to the Stadium is subject to these Conditions, the Ground Regulations, and/or such other regulations as the Club may specify from time- to-time. Copies of any terms and conditions issued by the Club are available on the Club’s website or on request from the Club’s Ticket Office.

2.2 These Home Match Ticket Conditions of Issue, the terms, conditions and the regulations set out in paragraph 2.1 and any other applicable regulations shall be subject to change from time-to-time. They will each be available on the Club’s website, or on request from the Club’s Ticket Office and/or (where applicable) on the website of the relevant Football Authority.

2.3 By purchasing a Home Match Ticket you are required to agree and shall be deemed to have agreed to the Conditions at the point of purchase. For the avoidance of doubt, any person who purchases a Home Match Ticket on your behalf shall be deemed to be acting with the full authority of you and with authority to agree to the Conditions on your behalf.

2.4 Home Match Tickets are for the use of supporters of the Club only. By applying for a Home Match Ticket and/or using the same you hereby warrant and represent that you are a supporter of the Club.

3. Admission to the Stadium

3.1 A Home Match Ticket permits you to attend the Home Match at the seat indicated on the Home Match Ticket (or at such other alternative seat of equal price as the Club may allocate to you at its absolute discretion).

3.2 Nothing in these Conditions shall constitute or imply any entitlement on your behalf to occupy the seat indicated on the Home Match Ticket at any time other than during the Home Match, including in respect of any subsequent Home Match in any season.

3.3 Save as set out in clause 3.4 below, you shall not bring into (or use within) the Stadium any equipment which is capable of recording or transmitting (by digital or other means) any audio, visual or audio-visual material or any information or data in relation to a Home Match or any aspect of it. Any person acting in breach of this provision will be required to deliver up any tapes, films, disks or other recordings or data to the Club and/or the EFL and the copyright in any such recording or transmission is hereby assigned (by way of present assignment of future copyright pursuant to section 91 of the Copyright, Designs, and Patents Act 1988) to the Club and the EFL, as appropriate.

3.4 Mobile telephones are permitted within the Stadium, provided that they are used for personal and private use only.

3.5 Save for official Club merchandise and/or other football-related clothing worn in good faith, you shall not bring into, use, display, sell or offer for sale within the Stadium any sponsorship, promotional or marketing materials.

3.6 You shall not offer or distribute (either free or for sale by any person) within the Stadium any consumer article or commercial product of any nature. For the avoidance of doubt this clause shall not prevent the lawful distribution of text publications in any format where both the content and the publication are lawful in all respects and do not in the Club's reasonable opinion constitute a threat to public order.

3.7 Without prejudice to any other remedies it may have, the Club shall have the right to refund any Home Match Ticket, refuse entry to the Stadium to any person holding a Home Match Ticket, or to suspend or eject any other person from the Stadium, on any occasion, including where (by way of non- limiting examples):

(a) the Club considers in its absolute discretion that your entry in the Stadium may cause danger, discomfort or to you or any other person in the Stadium; or

(b) the Club considers in its absolute discretion that you have breached (or that you will breach when entering or occupying the Stadium) any of these Conditions, the Ground Regulations, the Customer Charter and/or such other regulations as may be applicable and/or as the Club may specify from time-to-time; or

(c) you are the subject of any ban or suspension decision or order imposed by the Club and/or any Football Authority or any other competent authority (including, without limitation, the Police). 4. Use of Home Match Ticket

4.1 The Home Match Ticket is issued for your sole use and you shall not resell, offer for sale, assign or (save as set out in clause 4.3 below) transfer the Home Match Ticket or the benefit of it to any other person without the prior written consent of the Club. Any reference to reselling the Home Match Ticket in these Conditions includes reference to offering to sell a Home Match Ticket, exposing a Home Match Ticket for sale, making a Home Match Ticket available for sale by another and advertising that a Home Match Ticket is available for purchase. For the avoidance of doubt (and by way of example only) this Home Match Ticket may not be offered as a prize in any promotion or competition or transferred, lent or sold to any third party as part of a hospitality or travel package, given to a third party who agrees to buy another good or service or used for any other commercial purpose save as expressly authorised by the Football League and/or the Club.

4.2 The unauthorised sale or disposal of tickets is a criminal offence under section 166 of the Criminal Justice and Public Order Act 1994, as amended by the Violent Crime Reduction Act 2006. The Club will inform the Police when it becomes aware that tickets are being sold illegally and/or without authorisation and will press for charges to be brought against those responsible. If you are convicted of a ticket touting offence, or we reasonably suspect you have committed a ticketing offence, we will notify the EFL, who may in turn notify other EFL clubs and/or the UK Football Policing Unit. The information that we share may include your personal details, information about the offence and about ticket purchases (including payment details). We will use this to identify and prevent ticketing offences and disorder at Home Matches.

4.3 In the event that you are unable to use your Home Match Ticket then you may transfer that Home Match Ticket to a natural person who is known to you personally who would be entitled to purchase such Home Match Ticket and attend such Home Match provided that such transfer takes place in consideration of no payment or benefit in excess of the face value of the Home Match Ticket, and such transfer does not take place in the course of any business or for the purpose of facilitating any third party's business. Such transfer must not be to a supporter of the away club at any Home Match and will in any event be subject to these Conditions (and any other applicable Club terms, conditions or regulations) which will (save for any rights to transfer under this clause or any rights to a refund under clause 5.4) apply to the transferee as if he were the original purchaser of the Home Match Ticket (and you must inform the transferee of this). You will provide the name and address of the transferee when asked to do so by any official, steward or employee of the Club or any police officer.

4.4 If more than one Home Match Ticket is issued to you, one Home Match Ticket must be retained by you for personal use (subject to the provisions below) and the remainder may be transferred to your Guest(s) for his/her personal use only provided that such transfer takes place to a person who is a Club supporter, such transfer takes place in consideration of no payment or benefit in excess of the face value of the Home Match Ticket, and such transfer does not take place in the course of any business or for the purpose of facilitating any third party's business. Such transfer to any Guest will be subject to these Conditions which will (save for any rights to transfer under this clause or any rights to a refund under clause 5.4 apply to the Guest as if he/she were the original purchaser of the Home Match Ticket (and you must inform the Guest of this). You will provide the name and address of your Guest(s) when asked to do so by any official, steward or employee of the Club or any police officer.

4.5 The Home Match Ticket will remain the property of the Club at all times and must be produced together with evidence of your / your Guest’s identity if required to do so by any official, steward or employee of the Club or any police officer. The Club reserves the right to require the immediate return of the Home Match Ticket at any time. 4.6 Any Home Match Ticket obtained or used in breach of these Conditions (and/or the Ground Regulations, the General Terms and Conditions or any other applicable terms and conditions) shall be automatically void and all rights conferred or evidenced by such Home Match Ticket shall be nullified. Misuse of this Home Match Ticket may result in the holder being refused entry to, suspended or ejected from, the Stadium in respect of a particular Home Match and/or the cancellation and/or withdrawal of the Home Match Ticket. In the event of any cancellation and withdrawal in accordance with this clause 4.6, no refund shall be payable. The Club further reserves its right to take any legal action against any persons as it sees fit in connection with such matters, including a claim for an account of profits made from an unauthorised use of the Home Match Ticket.

5. Changes to Dates, Refunds & Exchanges

5.1 No guarantees can be given by the Club that a Home Match will take place at a particular time or on a particular date. The Club reserves the right to abandon, postpone and/or reschedule any Home Match without notice and save as set out in clause 5.3, such abandonment, postponement and/or rescheduling shall be without any liability to you (including without limitation in relation to any loss, damage, costs or expenses suffered or incurred by you).

5.2 In the event that a game is abandoned before half-time, paying spectators will be entitled to either entry to the rearranged game at no expense or a full refund, subject to clause 5.4. If a game is abandoned after half-time there will be no recompense.

5.3 In the event of the postponement or cancellation of any Home Match, you will, subject to clause 5.4, be entitled to receive either a full refund or the equivalent ticket for the subsequent rescheduled Match via such application procedure as the Club stipulates. The Club will have no further liability to you whatsoever, including (but not limited to) any indirect or consequential loss or damage, costs or expenses or loss of enjoyment or travel costs suffered or incurred by you.

5.3 In order to obtain a refund, the Home Match Ticket must be returned to the Club's ticket office within 7 days of the abandonment or cancellation announcement (which shall be made on the Club’s website where possible). Tickets which include hospitality are subject to their own terms and conditions. It is the responsibility of the ticket holder to check the date and kick off time of Home Matches. A refund will only be issued where it is established upon production of identification that the individual requesting the refund is the person to whom the Home Match Ticket was originally sold. For the avoidance of doubt, the Club shall have the final decision as to whether to issue a refund and such decision shall be final and binding.

5.4 The Club reserves the right, at its absolute discretion, to increase or decrease the price of Home Match tickets and/or to alter the categorisation of Home Matches from time-to-time. The Club will publish details of any such price changes or categorisation changes on its official website as soon as possible after the implementation of such change. Any purchase of Home Match tickets after the change shall be subject to the new prices and/or new designated category.

6. Lost or Stolen Home Match Tickets

6.1 In order to gain admission to the Stadium, the Home Match Ticket must be presented prior to, and remain on, your person for the entirety of the Match.

6.2 The Club shall not be obliged to issue any replacement for a lost, stolen or destroyed Home Match Ticket.

7. Cancellation & Withdrawal of Home Match Ticket

7.1 Without prejudice to any other remedies it may have, the Club shall have the right in the case of any serious or persistent breach of these Conditions (and/or the Ground Regulations, the General Terms and Conditions or any other applicable terms and conditions issued by the Club) to cancel and withdraw any Home Match Ticket issued to you. In the event of such cancellation no refund will be paid. A non-exhaustive list of actions which shall constitute serious breach is as follows:

(a) smoking in designated non-smoking areas;

(b) being (or appearing to be) intoxicated by reason of any substance (whether alcohol, drugs or otherwise);

(c) persistent standing in seated areas whilst the Match is in progress;

(d) the sale or transfer (save as permitted) of a Home Match Ticket to any person;

(e) the possession or display of a banner or flag that bears material or slogans that are offensive, obscene, abusive, racist or discriminatory;

(f) the supply of any misleading or incorrect information in any application for a Home Match Ticket;

(g) the use of foul, obscene, abusive, racist and/or discriminatory language and/or gestures;

(h) the throwing of any object within the Stadium that may cause injury or damage to people or property without lawful authority or excuse;

(i) the chanting of anything of an indecent or racist nature;

(j) fighting or engaging in and/or inciting violence;

(k) bringing into the Stadium (or using within the Stadium): illegal drugs, other illegal substances, fireworks, firecrackers, smoke canisters, air horns, flares, laser devices, bottles, glass vessels or any item that might be used as a weapon or compromise public safety;

(l) having possession of, consuming, or being under the influence of illegal drugs whilst in the Stadium;

(m) entering the playing area or any adjacent area to which spectators are not generally admitted without lawful authority or excuse;

(n) any failure to pay or default of payment in respect of any sums owing to the Club (or any third party) in respect of any Home Match Ticket;

(o) any abuse of Club staff or other staff engaged at the Stadium, whether physical, verbal or in writing and whether in person, online or in any other forum and whether before, during or after any Match; and/or

(p) any form of indecent exposure or streaking at a Match.

7.2 In the event that your Home Match Ticket is withdrawn or cancelled the Club reserves the right to exclude you from any membership scheme maintained or organised by the Club and/or to disqualify you from applying for any Home Match ticket or season ticket at its absolute discretion. 7.3 Match ticket holders under the age of 14 must be accompanied by an adult when visiting a match. Anyone under the age of 14 trying to enter the stadium alone may be refused entry and no refund will be made available. If an unaccompanied child under the age of 14 is denied access, we will notify the police on duty at the stadium who will assist in returning the child to their parents. We advise all children under 18 who are attending the game without an adult to have some form of proof of age.

8. Exclusion of Liability

8.1 Save that the Club does not seek to avoid or limit its liability in respect of death or personal injury caused by its negligence, to the maximum extent permitted by law, the Club hereby excludes any liability for loss, injury or damage to persons/property in or around the Stadium. For the avoidance of doubt, the Club does not accept liability for any damage to, or any theft or loss of possessions suffered by any person at the Stadium.

9. Governing Law

9.1 These Conditions shall be governed by and construed in accordance with the laws of England and Wales. The parties hereby submit to the exclusive jurisdiction of the Courts of England and Wales in respect of any dispute arising out of or in connection with these Conditions.

Ground Regulations

2021/22 Season

Notice: Entry to the Ground is expressly subject to acceptance by the visitor of these Ground Regulations and the rules and regulations of FIFA, UEFA, The Football Association, the Premier League and the English Football League (EFL) in respect of the relevant competition. The Ground Regulations incorporate the Club's Customer Charter (if any). Entry to the Ground shall constitute acceptance of the Ground Regulations.

"Ground" means this football stadium and all locations owned, occupied or utilised by the Club.

"Club" means this football club.

"Match" means any match (or any part or aspect of such a match) taking place at the Ground.

"Material" means any audio, visual or audio-visual material or any information or data.

"Football Authority" means each of the English Football League (EFL), the Premier League, The Football Association, the Football Association of Wales, FIFA, UEFA and any other relevant governing body of association football.

1. Notwithstanding possession of any ticket the Club, any police officer or authorised steward may refuse entry to (or eject from) the Ground any person:

1.1 that fails (or in the Club's reasonable opinion is likely to fail) to comply with these Ground Regulations or any reasonable instruction issued by a police officer or authorised steward; and/or

1.2 whose presence within the Ground is, or could (in the Club's reasonable opinion), constitute a source of danger, nuisance or annoyance to any other person.

2. On no account will admission be granted to a person who is the subject of a current Banning Order under the Football Spectators Act 1989 (as amended) or has been convicted of ticket touting offences under the Criminal Justice and Public Order 1994 (as amended).

3. The Club excludes to the maximum extent permitted by law any liability for loss, injury or damage to persons/property in or around the Ground. 4. No guarantees can be given by the Club that a Match will take place at a particular time or on a particular date and the Club reserves the right to reschedule the Match without notice and without any liability whatsoever.

5. In the event of the postponement or abandonment of the Match, refunds (if any) will be made in accordance with the Club's Customer Charter. The Club will have no further liability whatsoever, including (but not limited to) any indirect or consequential loss or damage, such as (but not limited to) loss of enjoyment or travel costs.

6. All persons seeking entrance to the Ground acknowledge the Club's right to search any person entering the Ground and to refuse entry to or eject from the Ground any person refusing to submit to such a search.

7. The following articles must not be brought within the Ground - knives, fireworks, smoke canisters, air-horns, flares, weapons, dangerous or hazardous items, laser devices, bottles, glass vessels, cans, poles and any article that might be used as a weapon and/or compromise public safety. Any person in possession of such items will be refused entry to the Ground.

8. Further, you may not bring into the Ground any sponsorship, promotional or marketing materials save in respect of official club merchandise and/or other football related clothing worn in good faith nor may you offer (either free or for sale by any person) any goods (including literature) of any nature without the express written approval of the Club's management.

9. The use of threatening behaviour, foul or abusive language is strictly forbidden and will result in arrest and/or ejection from the Ground. The Club may impose a ban for one or more Matches.

10. Racial, homophobic or discriminatory abuse, chanting or harassment is strictly forbidden and will result in arrest and/or ejection from the Ground. The Club may impose a ban for one or more Matches.

11. The following acts are offences under the Football (Offences) Act 1991 (as amended):

11.1 The throwing of any object within the Ground without lawful authority or excuse.

11.2 The chanting of anything of an indecent or racialist nature.

11.3 The entry onto the playing area or any adjacent area to which spectators are not generally admitted without lawful authority or excuse.

Conviction may result in a Banning Order being made. 12. All persons entering the Ground may only occupy the seat allocated to them by their ticket and must not move from any one part of the Ground to another without the express permission or instruction of any steward, officer of the Club and/or any police officer.

13. Nobody may stand in any seating area whilst play is in progress. Persistent standing in seated areas whilst play is in progress is strictly forbidden and may result in ejection from the Ground.

14. The obstruction of gangways, access ways, exits and entrances, stairways and like places is strictly forbidden. Nobody entering the Ground shall be permitted to climb any structures within the Ground.

15. EFL stadia are smoke-free and smoking is not permitted inside the Ground.

16. Mobile telephones and other mobile devices are permitted within the Ground PROVIDED THAT (i) they are used for personal and private use only (which, for the avoidance of doubt and by way of example only, shall not include the capturing, logging, recording, transmitting, playing, issuing, showing, or any other communication of any Material for any commercial purposes); and (ii) no Material that is captured by a mobile telephone or other mobile device may be published or otherwise made available to any third parties including, without limitation, via social networking sites.

17. Under the Sporting Events (Control of Alcohol etc) Act 1985 (as amended), the following are offences for which a person can be arrested by a police officer and conviction could result in a Banning Order being made:

17.1. Attempting to enter the Ground or being inside the Ground whilst drunk;

17.2. Being in possession of any intoxicating liquor, or bottle, can or other portable container and which could cause damage or personal injury, when entering the Ground or in a public area of the Ground from which the event can be directly viewed.

18. Any individual who has entered any part of the Ground designated for the use of any group of supporters to which he does not belong may be ejected from the Ground either for the purposes of his own safety or for any other reason.

19. Save as set out in paragraph 16 above, no person (other than a person who holds an appropriate licence) may capture, log, record, transmit, play, issue, show or otherwise communicate (by digital or other means) any Material in relation to the Match, any players or other persons present in the Ground and/or the Ground, nor may they bring into the Ground or use within the Ground (or provide to, facilitate or otherwise assist another person to use within the Ground) any equipment or technology which is capable of capturing, logging, recording, transmitting, playing, issuing, showing or otherwise communicating (by digital or other means) any such Material. Copyright, database rights and any other intellectual property rights in any unauthorised recording or transmission is assigned (by way of present assignment of future rights) to the Club and the EFL. You further agree (if and whenever required to do so by the Club and/or the EFL) to promptly execute all instruments and do all things necessary to vest the right, title and interest in such rights to the Club and the EFL absolutely and with full title guarantee.

20. No goods (including literature) of any nature may be offered either free or for sale by any person within the Ground without the express written permission of the Club.

21. Tickets are not transferable and may not be offered for sale without the prior written permission of the Club - or otherwise in accordance with the relevant ticket terms and conditions. Any tickets that are transferred are transferred subject to these Ground Regulations. Any tickets offered for sale may be confiscated by any steward, officer of the Club or any police officer. The Club reserves the right to refuse admission to or eject from the Ground and/or "blacklist", any person who has offered for sale or transferred his/her ticket in contravention of the relevant ticket terms and conditions (and/or the holder of any ticket that has been transferred in contravention of the relevant ticket terms and conditions). Tickets remain the property of the Club at all times.

22. CCTV cameras are in use around and in the Ground. Body worn video cameras recording video and/or audio may also be used as appropriate, for example to record prohibited behaviours as referenced in paragraphs 9 and 10. The Club may itself use or pass to the police or any Football Authority or other clubs, any recordings for use in any proceedings.

23. At all times whilst present in the Ground, persons must comply with any and all instructions of any steward or officer of the Club and/or any police officer. Failure to comply with any instruction may lead to immediate ejection from the Ground.

24. By entering the Ground, all persons are acknowledging that photographic images and/or video recordings (and/or stills taken from video recordings) may be taken of them and may also be used, by way of example and without limitation, in televised coverage of the game or by or on behalf of the Club or any Football Authority (or their commercial partners) for marketing, training or promotional purposes. Entry into the Ground is confirmation that all persons have consented to such use of their image. If these images should feature an individual prominently the Club will make reasonable efforts to gain the consent of that person before publishing such images, however, if this is not possible, then entry into the Ground shall be deemed consent unless the Club is notified in writing to the contrary.

25. Further to paragraph 24, if such person is under 18 years of age, the parent, guardian, or responsible adult who is accompanying them into the Ground shall be deemed to have provided consent on their behalf. 26. Refused entry to (or ejection from) the Ground may lead to further action by the Club including, but not limited to, the withdrawal of any season ticket (without reimbursement), Club Membership and other benefits.
