Sub: 103rd Annual General Meeting Saturday, the 25th July, 2020 at 11.00 a.m. at K. L. N. Prasad Auditorium, Registered Oice, Red Hills, Hyderabad

Notice is hereby given under Article 28 of the Articles of Association of the Federation that the 103rd Annual General Meeting of The Federation of Telangana Chambers of Commerce and Industry (the ‘Federation’) will be held on day, date, time and venue mentioned above to transact the following business: A. ORDINARY BUSINESS: 1. To receive, consider and adopt the Annual Report consisting of Managing Committee’s Report, Financial Statement, together with the Auditor’s Report and any other statement, as required by the Companies Act, 2013, and Rules made there under, of the Federation for the inancial year ending 31st March, 2020.

2. To announce the appointment of the President as per Articles 28(1)(b) and Senior Vice-President for the year as per Article 15(5) of the Articles of Association of the Federation

3. To elect members (15) of the Managing Committee from amongst the valid nominations received as per the Article 15(8) of the Articles of Association of the Federation

ANY OTHER BUSINESS: Any Member of the Federation may give Notice to the Secretary (I/c) not less than fourteen days (exclusive of the day on which the notice is given and the day of the meeting) prior to the date of the Annual General Meeting of any business that the Member desires to be considered at the Annual General Meeting, as per Article 28(2). Dear Members, The Members of the Managing Committee have pleasure in presenting the 103rd Annual Report together with Financial Statements for the financial year ended 31st March 2020. The Federation has earned revenue from its operations of Rs. 23327487 during the financial year 2019 - 20 as against Rs.23884084 during the previous year 2018-19. The surplus earned during the Financial Year 2019-20 is Rs. 7885815 as against Rs.7740837 in the previous year 2018-19. MATERIAL CHANGES AND COMMITMENTS A major renovation of toilets was taken up in the Federation House and spent Rs. 4774761 towards the renovation till the end of March, 2020.

APPROPRIATIONS Transfer to reserves An amount of Rs. 7885815 has been transferred to the Reserves being the profit earned during the Financial year 2019-20. Dividend N.A. Share Capital N.A.

15 MEETINGS OF THE MANAGING COMMITTEE The Managing Committee duly met once in a month to transact the business of the Federation and in respect of which meetings, proper notices were given and the proceedings were properly recorded and signed in the Minutes Book maintained for the purpose. MANAGING COMMITTEE MEMBERS’ RESPONSIBILITY STATEMENT: Pursuant to the requirement under Section 134 of the Companies Act, 2013 with respect to the Managing Committee Members’ Responsibility Statement, it is hereby confirmed: i. That in the preparation of the annual accounts for the financial year ended 31st March 2020, the applicable accounting standards had been followed along with proper explanation relating to material departures. ii. That the Managing Committee Members had selected such accounting policies and applied them consistently and made judgments and estimates that were reasonable and prudent so as to give a true and fair view of the state of affairs of the Federation at the end of the financial year and of the profit or loss of the Federation for the year under review. iii. That the Managing Committee Members had taken proper and sufficient care for the maintenance of adequate accounting records in accordance with the provisions of the Companies Act, 2013 for safeguarding the assets of the Federation and for preventing and detecting fraud and other irregularities; iv. That the Managing Committee Members had prepared the accounts for the financial year ended 31st March 2020 on a ‘going concern’ basis. v. The Managing Committee Members had devised proper systems to ensure compliance with the provisions of all applicable laws and that such systems are adequate and operating efficiently. AUDITORS At the 102nd Annual General Meeting of the Federation, M/s Nataraja Iyer & Co., Chartered Accountants bearing Firm Registration Number 002413S were reappointed as Statutory Auditors of the Federation for a period of Five Years starting from the year 2019-2020. Their remuneration was fixed at Rs. 1,00,000/- per annum plus out of pocket expenses and GST as applicable. The Companies Amendment Act, 2017, vide Notification S.O. 1833(E) dated 7th May 2018, deleted the provision of annual ratification of the appointment of auditor.. There are no observations or adverse remarks made by auditors during the financial year 2019-2020 CHARGES The Federation has not created any charge on its assets FIXED DEPOSITS The Federation has not accepted any fixed deposits during the year under review. PARTICULARS OF LOANS, GUARANTEES OR INVESTMENTS UNDER SECTION 186: NIL PARTICULARS OF CONTRACTS OR ARRANGEMENTS: Nil INSURANCE: The Properties and assets of the Federation are adequately insured. INTERNAL CONTROL: The Federation has a proper and adequate system of internal control to ensure all the assets are safeguarded and protected against loss from unauthorized use or disposition and the transactions are authorized, regarded and reported correctly. The internal control is supplemented by an extensive program of monthly audits, review by management and procedures. The internal control is designed to ensure that the financial and other records are reliable for preparing financial statements and other data, and for maintaining accountability of assets. Normal forcible risks of the Federation’s Assets are adequately covered by comprehensive insurances THE CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION, FOREIGN EXCHANGE EARNINGS AND OUTGO: The Federation has taken adequate measures to conserve energy by continuous monitoring and effective use of energy, which is continuous process. i. Capital investment on energy conservation equipment: Nil

DISCLOSURE UNDER THE SEXUAL HARASSMENT OF WOMEN AT WORKPLACE (PREVENTION, PROHIBITION AND REDRESSAL) ACT, 2013 The Federation has in place an Anti Sexual Harassment Policy in line with the requirements of The Sexual Harassment of Women at the Workplace (Prevention, Prohibition & Redressal) Act, 2013. Internal Complaints Committee (ICC) has been set up to redress complaints received regarding sexual harassment and Smt.P.Vydehi, Secretary (I/c) is the presiding officer. All employees (permanent, contractual, temporary, trainees) are covered under this policy. The Management has not received any complaint of sexual harassment during the year 2019-20. PERSONNEL The Federation has enjoyed cordial relations with its employees during the year under review and the Managing Committee appreciates all the employees across the cadres for their dedicated service, and looks forward to their continued support and higher level of productivity for achieving the targets set for the future. Seminar on Water Resources Management to meet City Demands – A Challenge – 25th June, 2019 Sri V. Prakash Rao, Chairman, Telangana Water Resources Development Corporation said that Management of water supply is a challenging task due to the population growth, rapid industrial & agricultural activity and changing climate scenario. Telangana State will not face water scarcity even after 2050. Sri Karunendra S. Jasti, Senior Vice President said water crisis can be addressed by imbibing water technology methods, policy & institutional arrangements and create awareness about efficient water usage. Sri K. Bhaskar Reddy, Chairman of the Committee said over the past three to four years, the Government has paid greater attention to improve water supply and sewage management practices in urban areas. Janardhan Reddy, IAS., Principal Secretary to Govt., Agriculture &Cooperation Dept., Govt. of Telangana in his address said that the Telangana State has exceeded all parameters in the production of agriculture produce even in Covid-19 challenging days the State has seen highest productivity ever in its history with 100 million tonnes of paddy cultivation with the help of 15000 harvesters.The state opened up 7000 procurement centers in villages. For the first time, the state is not only self-sufficient but also catering to 2-3 neighbouring States. The panelists suggested that Small and Medium Enterprises (SMEs), E-commerce and Delivery Enterprises and Agri-Startups need to be incentivized through appropriate government policies as feasible and practical solutions. Setting up of a round-the- clock helpline for farmers to call for any questions or grievances specific to the COVID-19 pandemic was also recommended. Managing Director, Small Industries Development Bank of India (SIDBI), Mumbai in his address stated that SIDBI is constantly encouraging aspiring entrepreneurs by providing needed credit to them and as of now SIDBI has sanctioned loans of Rs. 65,000 crores. Sri Madhusudhan Hegde, Sr. Executive Vice President & Head Branch Banking- South, HDFC Bank Ltd in his address reiterated the need to create awareness among new entrepreneurs about the schemes of the banks and also has to implement the Standard Operative Procedure for quick sanction of Credits to this sector. Talk on “Trade and Industrial Policy in the Energy Transition” – 18th June, 2019 Sri Ajay Misra, Special Chief Secretary, Dept. of Energy, Govt. of Telangana said that the solar policy announced about five years ago provided a push to the sunrise industry with an installed capacity of about 3,600 MW. And cumulatively, the State’s renewable energy capacity is up at 3,800 MW. The Telangana government is planning to announce a new solar policy. Sri David Livingston, Deputy Director, Atlantic Council’s Global Energy Center, Washington DC said how the oil economy dominated the global geo politics in last century and in the coming days, the electrified systems will play a crucial role in the global economy. Sri Suresh Kumar Singhal, Chairman and Sri Vijay Gopal Reddy, Co-Chairman of the Committee participated in the meeting The Entrepreneurship Development Institute of India (EDII) and the Federation of Telangana Chambers of Commerce and Industry (FTCCI) entered into an Memorandum of Understanding (MoU) to implement the project “ facilitating development of MSMEs through energy efficiency and occupational health and safety” in the State of Telangana. the scope of the MoU is to conduct ‘energy audit’ in Micro, Small and Medium enterprises located in the State of Telangana. it is agreed to pay Rs 7500 per unit audit. FTCCI, in turn, engaged the services of National Productivity Council (NPC) and Solar Bull Energy LLP to conduct the energy audit by the BEE certified energy auditors. A total of 90 units are covered under the project. Though the project is to cover many more units, it is terminated when the Yes Bank came under scrutiny.

Sri Prakash Kumar, CEO- GSTN in his address said that in Ease of doing Business, India is at 63rd position in 2019 whereas on paying Taxes, India is at 115. The e-invoicing system will be rolled out in a phased manner from January 1, 2020 on a voluntary and trial basis, beginning with firms with a turnover of Rs 500 crore, while businesses with a

45 turnover of Rs 100 crore or more will be required to do it from February 1, 2020. From April 1, 2020, e-invoicing will be mandatory for both these business categories. Interactive Meeting on “The Code on Wages 2019 – 23rd August, 2019 Sri R. Chandra Shekaram, Joint Commissioner of Labour (RR Zone), Department of Labour, Government of Telangana said we had many labour laws which were cumbersome and complained upon by many, especially Multi National

The objective of the Government is that this new consolidated Code on Wages will benefit 50 crore workers with timely payments irrespective of category and this will provide a level playing field to employers with just one register, one form and one filing of return. Sri Ch. Dakshina Murty, Head ER/IR, KEOLIS gave a brief introduction about the new Wage Code bill 2019 to participants to understand the background and the circumstances. Sri Ch. Vijaya Saradhi, GM (HR), ITC Ltd has gave a detailed presentation on Code on Wages 2019. The presentations covered highlights of the Wage Code 2019, Key Issues & Analysis and Features, Comparison of current laws with proposed Wage Code, Important Clauses and Recommendations of Standing Committee on Labour. Sri C. Niranjan Rao, Senior Advocate, High Courts of Telangana and Andhra Pradesh gave a detailed presentation on the Code on Wages – An Overview. During the program the handbook released by the Chief Guest Sri R. Raghava Reddy, Sr. General Manager, Hetero Labs suggested that every HR personnel should adopt AI technology in their day to day functions to improve productivity that contributes to the growth of the organization. Jayapal Reddy, General Manager (HR), Hetero Labs gave a detailed presentation on various parameters in HR Analytics such as Group wise cost analysis structure, HR metrics for recruitment and Hiring and Attrition formula etc. Sri P. He said the Union Government has been making efforts to reduce this cost. Sri Jayesh Ranjan, IAS., Principal Secretary to Govt., Industries & Commerce, Information Technology, Electronics & Communications, informed that Telangana’s Industrial Policy has identified logistics as a one of the 14 priority sectors. Many e-commerce companies have set up and are planning for setting up their operations in Hyderabad. Sri N. In-fact plastic sector in Telengana 54 contributes to around 600 crores of SGST revenue to the State. There are a lot of Plastic recyclers open the gates to welcome well segregated plastic scrap to convert it into useful items thereby giving employment to lot of poor people.. Buy back mechanism is a good method as in Maharashtra. Rag pickers are the back bone of the recycling system who earn from the scrap collection. Dr. T.K. Sreedevi, IAS, Director of Municipal Administration, Govt. of Telangana in her inaugural address said that the plastic waste constitutes a significant portion of the total Municipal Solid Waste in Hyderabad. To regulate the Waste management, the Government of India notified the Plastic Waste Management Rules, Biomedical Waste Rules and Municipal Solid & Hazards Waste Management Rules, under which producers are made responsible for collecting and processing their manufactured products upon end of their lifetime. Many of these products can be reused or recycled in an environmentally sound manner . Dr. G.B.K. Rao, Chairman & Managing Director, Pragathi Green Meadows & Resorts Ltd., said that E-waste is a collective name for discarded electronic devices that enter the waste stream from various sources. Sri G Kishan Reddy, Hon’ble Union Minister of State for Home Affairs, Govt. of India said that earlier there was a shortage of electricity due to which agriculture, industries, and household have suffered but the Modi government has solved the problem of electricity which is now available for agricultural, industrial and household purposes. The farmers are getting Rs 6000 per year into their bank

56 accounts through Direct benefit Transfer and also loans to the tune of Rs 85 thousand crore have been given to MSMEs, small businessman, traders and Self-Help Groups. He mentioned that Government has also worked on establishing a peaceful business climate. The Government has taken a firm stance on internal security. One such decision was to scrap special powers under Article 370 in Jammu and Kashmir. Removal of Article 370 was a decisive step towards making all Central Laws applicable to every part of the country. He also talked about the Jan Dhan bank accounts and the average deposit size that has gone up from Rs. 1,000 in March 2015 to Rs. 2,853 in October 2019 which indicates wide usage of the accounts, MUDRA loans. He concluded by saying that Political stability in the country allowed the government to take tough decisions such as not joining the RCEP (regional comprehensive economic partnership). Harish Rao, Hon’ble Finance Minister, Government of Telangana on ‘Vision Telangana’ - 16th December 2019 he objective of the meeting was to understand Governments vision and views pertaining to various aspects affecting the industries. Managing committee Members of FTCCI and prominent industry stalwarts attended the meeting. The Hon’ble Finance Minister highlighted the growth story of Telangana which stood as a role model to other states in the industrial development and promotion of manufacturing industry through new initiatives like TS IPASS and other investor – friendly. He emphasized that Chief Minister Mr. K. Chandrasekhar Rao took several steps to promote Telangana as a destination for investments. He pointed out that the slowdown has impacted economic growth in the state as well and Telangana has been growing at 6.5% in the last nine months as compared to double digit growth in the previous fiscal. He informed that the State Government will also be initiating steps to boost the food processing sector in the state. Mr. Rao mentioned that the State Government is working towards offering a one-time Value Added Tax (VAT) settlement scheme to Telangana. The scheme will not only offer respite to businesspersons willing to clear their dues sans legal disputes, it will also help the State Government earn some revenue in the time of a financial crunch. He also said Telangana was hopeful of settling incentives to industries by end of this fiscal year or in the ensuing financial year. The FTCCI management has been requested to compile various issues faced by the industry members along with suggestions thereon which can be submitted to the Center through Hon’ble Finance Minister. Mr. Karunendra S. Jasti, President, FTCCI listed out the difficulties faced by the industry, in general and MSMEs in particular, and also mentioned that the industry has not received incentives and subsides from the Government for the last six years. He urged the Minister to release the incentives at the earliest. Mr. K. Interactive Session with Dr. Sangita Reddy, President, Federation of Indian Chambers of Commerce and Industry (FICCI) – 28th February, 2020 Dr. Sangita Reddy, President, Federation of Indian Chambers of Commerce and Industry (FICCI) addressing the Members said that Telangana recorded a growth of 12-14 per cent even as the nation managed to grow 4.7 per cent. This puts the onus on Telangana Government to initiate more measures for the growth to be sustainable in the years to come. Though the growth is seen in some domestic segments, the global conditions are not favourable due to the latest corona virus episode. She opined that labour reforms initiatives, could avoid the disruption in manufacturing sector and generate additional employment. The government has to take steps to pump about Rs 1.5 - 2 lakh crore into the economy so that it will boost consumption in rural and urban areas. There is a need to improve the ease of doing business further as about 8,000 permissions are required by the MSME sector as per the study conducted by FICCI. Meetings of the Scrutiny and Verification Committee (SVC) held during April 2019 to March 2020- Commissionerate of Industries, Government of Telangana: The Committee scrutinized and verified the applications received during the period for sanction of Investment Subsidy, Reimbursement of Stamp Duty, Registration Charges, Power Cost, Sales Tax and Pavala Vaddi under IIPP 2010-15, T-IDEA & T-PRIDE policies . All the applications except few were approved for recommendations to the State Level Committee (SLC). Meetings of the State Level Committee (SLC) held during April 2019-March 2020 at Commissionerate of Industries, Government of Telangana: Claim applications for incentives under IIPP 2010-15 and new industrial policy 2015-19 (T-IDEA, T-PRIDE) scrutinized & recommended by the SVC were approved for sanction of incentives. Status of Release of Incentives and Budget Details: As on 05/03/2020, total amount of Rs. 1,721.53 Crore amount sanctioned to general category for 13,369 units and Rs. 734.33 Crore amount sanctioned to SC/ST/PHC category for 14,731 units towards Power Subsidy, Pavala Vaddi, Investment Subsidy, Sales Tax, Stamp Duty, Land Cost, Land Conversion Charges, Mortgage Duty, Skill UP Gradation was pending for release. The Government of Telangana allocated budget of Rs.102.62 Crore only for industrial promotion for the year 2019- 20 (Inl. of SC & ST). Since Budget estimate provision for 2019-20 was grossly inadequate sanction of Rs. 508.02 Crore was provided taking total provision to Rs. 610.92 Crore. In that total provision the LOC was issued to the extent of Rs.505.71 Crore only but the BRO issued was Rs.594.64 Crore. Pre-Scrutiny and District Industrial Promotion Committee (DIPC) Meetings, held during April 2019- March 2020 at Collector’s Office, Ranga Reddy District: Claim applications for sanction of incentives under IIPP 2010-15 and new industrial policy 2014-19 (T-IDEA, T- PRIDE) scrutinized & recommended by the Pre Scrutiny Committee were approved for sanction by DIPC. The Stakeholders’ Consultation Meeting for “Developing Telangana State Strategy and Action Plans on Resource Efficiency (RE) and Circular Economy (CE)” - 25th June, 2019 The stakeholders’ consultation meeting was organised by Telangana State Industrial Infrastructure Corporation Ltd (TSIIC) and Core CarbonX solutions Pvt Ltd (CCX) for developing Strategy and Action plans on Resource Efficiency (RE) and Circular Economy (CE) for Telangana State. The objective of the meeting was to develop a paper and action plan for the creation of an enabling environment to mainstream RE & CE in strategic areas at the state level for convergence with RE strategy and SDG goals. The CCX made presentations on developing circular economy for Granite & Sand, C & D Waste, E-Waste Management sectors. Technical & Purchasing Committee Meeting of Telanagana State Foods, Nacharam held at Women Development & Child Welfare, Yousufguda, Hyderabad: Two meetings (30/08/2019, 26/07/2019) were organized for opening of Tender Bids for procurement of Bulk Wheat Silo of Cap.5000 MTs., to supply the nutritious food to the Anganwadi Schools in the State, the Telangana State Food, government organization, has verified the tenders received. 18th Meeting of Consultative Committee on Information Technology Industry (CCITI), ITE & C Dept., and Government of Telangana held at BRKR Bhavan, Hyderabad: The Meeting was held on 13/08/2019, where the Committee discussed the applications received from the various industries for the allotment of land/space, release of incentives and SEZ de-notification issues. The 19th meeting of the Committee was held on 10/2/2020. The CCITI is intended for administration of incen- tives and providing comfort/facilitation for Electronics Hardware Sector and issues pertaining to the sector were discussed in the meeting. TSCHE Round Table on Draft Perspective Plan for Technical Education (PPTE-2020), Hotel Abode, Lakdikapul, Hyderabad. The Telangana State Council for Higher Education (TSCHE) has convened the Committee Meeting on 26/02/2020, along with the Stakeholders to discuss on the Draft Perspective Plan – for Technical Education (PPTE-2020). The suggestion of FTCCI to take industry to the institutions instead of calling the industry to provide internships to students and faculty improvement were taken note of by the Committee. Awareness Programme on “Retail Forex Trading Platform “FxRetail” – 19th August, 2019 - RBI Hyderabad Sri T. Ravi Sankar, Chief General Manager, Financial Markets Regulation Department, RBI, Mumbai explained the functioning of electronic trading platform for buying/selling foreign exchange by retail customers of banks, FX- Retail developed by the Clearing Corporation of India. 61 Regional Committee (EPF), EPFO Zonal Office, NAC Campus, Cyberabad Three Meetings were held during the year 2019-2020, discussed the issues concerning settlement and payment of Provident Fund to the employees, particularly in unorganized sector. State Level Consultation Meeting – 22nd August, 2019 – Local Head Office, State Bank of India, Abids, Hyderabad. Report on the Audit of the Standalone Financial Statements Opinion We have audited the standalone financial statements of Federation of Telangana Chamber of Commerce and Industry (Formerly Federation of Telangana & AP Chamber of Commerce and Industry)(“the Federation”), which comprise the Balance Sheet as at 31st March 2020, and the statement of Income and Expenditure and statement of cash flows for the year then ended, and notes to the financial statements, including a summary of significant accounting policies and other explanatory information. In our opinion and to the best of our information and according to the explanations given to us, the aforesaid standalone financial statements give the information required by the Companies Act, 2013 in the manner so required and give a true and fair view in conformity with the accounting principles generally accepted in India, of the state of affairs of the Federation as at March 31, 2020, and its excess of Income over Expenditure, and its cash flows for the year ended on that date. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Federation and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and

68 prudent; and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the financial statements that give a true and fair view and are free from material misstatement, whether due to fraud or error. In preparing the financial statements, the Managing Committee is responsible for assessing the Federation’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Managing Committee either intends to liquidate the Federation or to cease operations, or has no realistic alternative but to do so. Those Managing Committee Members are also responsible for overseeing the Federation’s financial reporting process. Auditor’s Responsibilities for the Audit of the Financial Statements Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with SAs will always detect a material misstatement when it exists. We also:  Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.  Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances. Under section 143(3)(i) of the Companies Act, 2013, we are also responsible for expressing our opinion on whether the company has adequate internal financial controls system in place and the operating effectiveness of such controls.  Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by management.  Conclude on the appropriateness of management’s use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Federation’s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the Federation to cease to continue as a going concern.  Evaluate the overall presentation, structure and content of the financial statements, including the disclosures, and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation. We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit. We also provide those charged with governance with a statement that we have complied with relevant ethical requirements regarding independence, and tocommunicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.

69 Report on Other Legal and Regulatory Requirements 1. The Companies (Auditor’s Report) Order, 2016 (“the Order”), issued by the Central Government of India in terms of sub-section (11) of section 143 of the Companies Act, 2013 shall not apply to the Federation as per exemption provided under Clause 2(iii) of the order, hence separate statement on matters referred in para 3 of the order is not furnished. 2. As required by Section 143(3) of the Act, we report that: a) We have sought and obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purposes of our audit. (b) In our opinion, proper books of account as required by law have been kept by the Federation so far as it appears from our examination of those books. (c) The Balance Sheet, the Statement of Income and Expenditure, and the Cash Flow Statement dealt with by this Report are in agreement with the books of account. (d) In our opinion, the aforesaid standalone financial statements comply with the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014 except for subscription from members in arrears and employees leave encashment which are accounted on cash basis. 77 THE FEDERATION OF TELANGANA CHAMBERS OF COMMERCE AND INDUSTRY (Formerly The Federation of Telangana & Andhra Pradesh Chambers of Commerce and Industry) (Registered under Section 25 of the Companies Act, 1956) NOTE 17 A) SIGNIFICANT ACCOUNTING POLICIES 1) Method of Accounting: The financial statements have been prepared in accordance with Generally Accepted Accounting Principles (GAAP) in India, the Accounting Standards as prescribed under Section 133 of The Companies Act, 2013 read with Rule 7 of (Accounts) Rules, 2014 and the relevant provisions of the Companies Act, 2013 and are based on the historical cost convention on accrual basis. 2) Use of Estimates: The preparation of the financial statements in conformity with Indian GAAP requires management to make estimates and assumptions that affect the reported balances of assets and liabilities and disclosures relating to contingent assets and liabilities as at the date of the financial statements and reported amounts of income and expenditure during the period. Although the estimates are based upon management’s best knowledge of current events and actions, actual results could differ from these estimates. Any revision in the estimates is recognized prospectively in the year in which it arise. 3) Property, Plant and Equipment: Property, Plant and Equipment are stated at Cost of Acquisition or Construction less depreciation. Depreciation on Fixed Assets is provided on Straight Line Method based on useful life of the assets as prescribed in Schedule II to the Companies Act, 2013. The cost of Property, Plant and Equipment not ready for intended use is disclosed under Capital Work in Progress. 4) Employee Benefits: a. Group Gratuity: The Federation contributes to a Group Gratuity Policy with the Life Insurance Corporation of India for future payments of retirement gratuity to eligible employees other than consultants. b. EDLI: The Federation contributes to an Employee Deposit Linked Insurance Scheme (EDLI) with the Life Insurance Corporation of India. c. Provident Fund and ESI: The Federation contributes to Provident Fund and ESI at prescribed rates. d. Leave Encashment: Leave encashment is recognized on Payment. The above are charged to Statement of Income and Expenditure. 5) Revenue Recognition: a. Membership Subscription: Membership subscription is accounted on cash basis except for advance subscription received for ensuing years which is shown under other current liabilities as subscription received in advance. b. Interest Income: Interest Income is recognized on time proportion basis taking into account the accrued amount certified by the bank. c. Recognition of Sponsorships: Sponsorships for Seminars and Conferences from the Corporates/Donors is recognized, where there is reasonable assurance that the Federation will comply with the conditions attached to them and where such benefits have been earned by the Federation and it is reasonably certain that ultimate collection of the sponsorship will be made. 6) Earnings per share: Earnings per share is not applicable as there are no shares issued by the Federation. 7) Provisions and Contingent Liabilities: A provision is recognized when the Federation has a present obligation as a result of past events i.e. it is probable that an outflow of resources will be required to settle the obligation in respect to which a reliable estimate can be made. Provisions are not discounted to its present value and are determined based on best estimate required to settle the obligation at the balance sheet date. These are reviewed at each balance sheet date and adjusted to reflect the current best estimates.

78 A contingent liability is a potential liability that may occur, depending on an outcome of an uncertain future event. A contingent liability is recorded in the accounting records if the contingency is probable and the amount of the liability can be reasonably estimated. If both of these conditions are not met, the liability may be disclosed in the notes to Financial Statements. 8) Taxes: Provision for current taxes has been made on taxable income arising on service activity. Provision for deferred tax has not been made as there is no variation between reported and taxable profit on account of timing difference due to income tax exemption available on other income. 9) Accounting Standards to the extent applicable and relevant with reference to the transactions undertaken requiring disclosures have been considered. B) NOTES ON ACCOUNTS: 1) The Government of Andhra Pradesh in 1986 allotted the land admeasuring 2000 sq. yards situated at Jubilee Hills, Hyderabad, in lieu of the land that was earlier allotted to Federation by the Government. The said land was under unauthorized occupation by the Jubilee Hills Corporative House Building Society and its Members. The Federation is contesting its legal right in various Courts. 2) Admission fee of Rs.6,06,439/- (Previous year Rs.6,95,286/-) and Life Membership Fee of Rs.1,97,000/- (Previous year Rs.5,62,500/-) collected during the year from the members is credited to General Reserve. 3) Subscriptions: a. Subscriptions of Rs.1,49,42,883/- (Previous year 1,61,55,908/-) shown in Statement of Income and Expenditure comprises of subscription for Current year of Rs.1,47,92,820/- (Previous year Rs.1,56,93,083/-) and Arrears of subscription of earlier years received during the year Rs.1,50,063/- (Previous year Rs.4,62,825/-). b. Rs.86,41,003/- (Previous year Rs.1,05,67,441/-) received during the current year towards future subscription has been shown as Subscriptions received in Advance and shown under other current liabilities. 4) The premium of Rs.3,49,723/- (Previous year Rs.10,08,689/-) on Group Gratuity Policy was considered as expenditure. 5) The contribution of Rs.1,59,377/- (Previous Year Rs.1,46,257/-) towards EDLI with LIC was considered as expenditure. 6) Additional information pursuant to the requirements of part II of Schedule III to the Companies Act, 2013- Nil. 7) Capital commitment (net of advance) not provided for – NIL (Previous year Rs.NIL). 8) Comparative figures of previous year have been regrouped wherever necessary.
