MEMORANDUM of UNDERSTANDING
among the members of the Virtual International Spin-off Network:

hereinafter individually referred to as a “Side” or collectively referred to as the “Sides”,
In order to sustain and expand the relationship developed as a result of the project “University-enterprise cooperation via spin-off companies network / UNISON” the institutions listed above agree on the following:

Article 1
The sides promote the development of relationship established through the Virtual International Spin-off Network.
Article 2
The cooperation between the sides shall be implemented on the principle of parity.
Key areas cooperation can include:
The focus will be the fields of research and innovation and specifically on the development of spin-off companies, involvement of researchers and business representatives in the activities of the spin-offs.
1. Support and update the platform by providing input; 2. Prepare training courses whenever necessary for students, staff, researchers and the administration of the spin-off companies; 3. The sides shall seek funding opportunities for the mentioned events and activities.
Article 3
Each party shall designate a representative, who will work to implement activities as envisaged in this memorandum.
Article 4
Intellectual property Rights: Patents and the Intellectual Property Rights (IPR) owned by each party before cooperation shall belong to the original owner. IPR/patents, if developed as a result of the cooperation between and/or among the network members, shall be based on negotiation of respective sides.

Article 5
Any disputes that arise during the implementation of any negotiated activities will be settled amicably by consultation and negotiation between the sides.
Article 6
The present memorandum shall enter into force after its signature by all the Sides for a period of 3 years. It shall be renewable and modifiable by mutual agreement of the Parties. All changes and modifications shall be made in writing and shall be signed by the authorized representatives of each Side. The sides have right to terminate the memorandum with a written notice sent to the other side(s) within a period of six months.
Article 7
This memorandum shall not bind any involved side to any financial commitment.
Article 8
The memorandum of understanding is drawn in 11 originals in English language. All the originals are identical and have equal legal value.
