TENGKU DATO’ KAMARUL ZAMAN IBNI ALMARHUM SULTAN SIR ABU BAKAR, aged 38, a Malaysian, was appointed as Chairman to the Board on 25 May, 2001. He is a holder of ‘A’ Levels from . From 1990 to 1995, Tengku Dato’ Kamarul Zaman was a Director of Kilang Papan An Sdn Bhd and at various period of time between 1988 and 1999, he was a Director of Astroflex Sdn Bhd, Jubilant Quest Sdn Bhd, Nuftah Corporation (M) Sdn Bhd and Latem Trade Sdn Bhd. He was appointed Chairman of the Board of Directors of Merces Holdings Berhad (formerly known as CCM Bioscience Berhad), a listed on the Kuala Lumpur Stock Exchange from September 1999 until October, 2000. Currently, he is Executive Chairman of TIDA (Pahang) Sdn Bhd since 1995 and Quantum Plus Sdn Bhd since 1997. In addition, he sits as an Executive Director on the Board of Premaflex Sdn Bhd and as Director of two (2) other private limited companies. He had served as the Deputy President of Pahang Club, Kuala Lipis from 1991 to 1993 and presently a member of Bentong Town Council and a senior officer of the rank of Major in Rejimen 505 Askar Wataniah Kuantan, Pahang.

HO WEE LOCK, aged 42, a Malaysian, was appointed as Executive Director of the Board on 14 January, 1999. He is an associate member of CIMA and ICSA and a member of MIA. Between 1981 – 1986, he was a Senior Accountant with the Hong Leong Group and subsequently between 1987 – 1991, he was Chief Accountant with the Lion Group. He held the position of Executive Director in Gamuda Berhad from 1991 – 1994, Chief Executive Officer in Parit Perak Holding Berhad from 1994 – 1996 and Executive Director for Idris Hydraulic (M) Berhad from 1996 until 2000, all being listed companies on the Main Board of the Kuala Lumpur Stock Exchange. At various period of time between 1993 and 2000, he was a Director of Kesas Sdn Bhd, Gamuda-Hicom Kota Kemuning Development Sdn Bhd, Perstima Berhad and Indah Water Konsortium Sdn Bhd.

DATO’ HAJI AMIL @ AMIR BIN JUNUS, aged 57, a Malaysian, was appointed to the Board on 18 August, 1999. He obtained Certificate from the City of Guilds of London Institute in Telecommunications Principle and Practice and a holder of Diploma in Police Science from Universiti Kebangsaan . Dato’ Haji Amil had served in various positions with the Police Force and was the Timbalan Pesuruhjaya Polis with the Pesuruhjaya Polis till 1998. He is currently the Chairman of the Board of Directors cum Chief Executive Officer of Kolej Unikop (Kop Educators & Consultants Sdn Bhd) and sits on the Board of Directors of various private companies. Besides the above, he sits on the Board of Juan Kuang (M) Industrial Berhad, a company listed on the Second Board of the Kuala Lumpur Stock Exchange since August, 1999.

GORDON J.M. TREGASKIS, aged 46, a British citizen, was appointed to the Board on 2 February, 1996. He is an LL.B holder from Nottingham Trent University and was called to the Bar of England and Wales in 1980. Following further studies at the Unversity of Brussels, he held various senior advisory positions in shipping and aviation companies. He is currently a Director in North West Water (M) Sdn Bhd, United Utilities Asia Pacific Sdn Bhd and United Utilities (S.E.A.) Sdn Bhd and is responsible for these companies’ businesses in South East Asia. He has been residing in the Asia Pacific region since 1993. Mr. Gordon is also a Member of the Chartered Institute of Arbitrators.

LAW TIAM HOCK, aged 40, a Malaysian, was appointed to the Board on 25 May, 2001. He is a holder of Bachelor in Accounting from University of Malaya, Malaysia and is a member of the Malaysian Institute of Accountants and Malaysian Institute of Taxation. He joined Mesrs. Shamsir Jasani Grant Thornton as an Audit Assistant in 1986 and became an Audit Partner in 1993. In April, 1994 till to-date, he is the Managing Partner of T.H. Law & Co., a Chartered Accountants firm. Since December, 1998, Mr. Law has been the Non-Executive Chairman of the Board of Directors of OCB Berhad, a company listed on the Main Baord of the Kuala Lumpur Stock Exchange and also sits on the Board of Merces Holdings Berhad (formerly known as CCM Bioscience Berhad), which is listed on the Second Board of the Kuala Lumpur Stock Exchange since September, 2000. TENGKU DATO’ KAMAL IBNI ALMARHUM SULTAN SIR ABU BAKAR, aged 40, a Malaysian, was appointed to the Board on 25 May, 2001. He holds a Diploma in Business Administration from United Kingdom. From 1981, he joined Cempaka Finance Berhad as a Marketing Executive until 1985 when he became a Director of Lesong Forest Product Sdn Bhd until 1990. Tengku Dato’ Kamal was then appointed Executive Chairman of the Board of Directors cum Chief Operating Officer of Kilang Papan An Sdn Bhd until 1996. Thereafter, from 1997 to 1998, he was a Director of Juta Jaya Berhad, a manufacturing and property development company listed on the Second Board of the Kuala Lumpur Stock Exchange. Between August and November, 1999, he was the Executive Chairman of C.I. Holdings Berhad, a company listed on the Main Board of the Kuala Lumpur Stock Exchange. Currently, he is a Director on the Board of Merces Holdings Berhad (formerly known as CCM Bioscience Berhad), a property investment company on the Second Board of the Kuala Lumpur Stock Exchange since 1999 and besides which, he is also a Director of several private limited companies including Quantun Plus Pro Service Sdn Bhd, Taipan Court Sdn Bhd and TDK Group Sdn Bhd.

MEJ. JEN (B) DATO’ ABDULLAH BIN ABDUL GHANI, aged 55, a Malaysian, was appointed to the Board on 13 June, 2001. He graduated from the Federation Military College in Sungai Besi in December, 1965 and was commissioned as a Lieutenant in the Royal Malay on 1 April, 1972. He had served in various capacities at battalion level, ranging from Commander to that of a Commanding Officer. Highlights of his career include the raising and formation of the 26th Battalion of the Royal Malay Regiment in Ipoh and overseeing the ’s structural as well as infrastructural development between 1994 to 1996. As Assistant to the Chief of Staff for Operations and Training, he was responsible for the launching and maintenance of all Malaysian Peacekeeping Contingents and observers serving abroad. Internally, he was also responsible for the security coverage backup provided by the during the Commonwealth Games in 1998. His final achievement was training, updating and enhancing the Third Malaysian ’s capability in Terendak, Malacca to become the Malaysian Army’s full fledged Combined Arms Division.He holds a Masters degree in Training and Human Resource Management from the University of Leicester and is a graduate from the National Defence University, Washington D.C. Dato’ Abdullah is also a Director of various private limited companies.

WAN RASELAN BIN WAN HUSIN (Alternate to Dato’ Amil), aged 40, a Malaysian, was appointed on 16 August, 1999. He holds a Bachelor Hons. in Accountancy from Mara University of Technology, Malaysia (MUT) and is the Financial Controller with the Koperasi Polis Diraja Malaysia Berhad (KPD) since 1994. Presently, he is also the Acting General Manager of KPD since November, 2000. Prior to holding the present position, Encik Wan Raselan was an Accounts Executive with Petroleum Nasional Berhad (PETRONAS) from 1991 to 1994. Currently, he also sits on the Board of Directors as a Non-Executive Chairman in KLI Group Sdn Bhd and Kuala Lumpur International Sdn Bhd, subsidiaries of KPD, since August, 2001.

OTHER INFORMATION Conflict of Interest None of the Directors has any family relationship with any Directors and/or major shareholders of the Company except Y.M. Tengku Dato’ Kamarul Zaman Ibni Almarhum Sultan Sir Abu Bakar and Y.M. Tengku Dato’ Kamal Ibni Almarhum Sultan Sir Abu Bakar who are brothers. None of the Directors has any conflict of interest with the Company.

Convictions of Offences None of the Directors has been convicted of any offences within the past ten (10) years other than traffic offences, if any.

Material Contracts There were no material contracts entered into by the Company and its subsidiaries involving Directors’ and major shareholdings’ interests still subsisting at the end of the financial year.
