NOTICE is hereby given that the 62nd Annual General Meeting of the Management Association will be held on Friday, the 9th October 2020 at 6.00 p.m. Due to the existing pandemic conditions the AGM will be a virtual meeting on a licensed zoom platform to transact the following business.

1. To consider the Minutes of the 61st Annual General Meeting held on 19th July 2019.

2. To consider the Minutes of the First Extra-ordinary General Meeting held on 19th June 2020.

3. To consider the Minutes of the Second Extra-ordinary General Meeting held on 11th September 2020.

4. To consider and adopt the Audited Statement of Accounts and the Annual Report for the financial year 2019-2020.

5. To appoint Auditors for the financial year 2020-21.

6. Declaration of results of election of Members to the Managing Committee for 2020-21 & 2021-22

7. To consider any resolution that may be proposed by a member as per Clause 18 (c) of the bylaw of the Association with the permission of the Chair.

President’s Message

My dear KMA Members,

The year 2020 has brought monumental changes that have already included a global pandemic and we are reminded that we live in a constantly changing world. We must be ready to listen and adapt, always drawing upon our core values of service, integrity, and leadership. If we live these values and apply it to all aspects of our lives, we will be prepared to lead at all times.

A small virus has taught us so many lessons and we all are ready to adopt so many New Normals, is it? Thank GOD, we are still alive!!...

I am proud of how we have proven our ability to adapt during the most unexpected challenging times with innovative programs keeping the KMA flag flying high. Faced with the pandemic, KMA has not stopped. We moved meetings online and found new ways to survive.

KMA has been continuously engaged in organising online lecture sessions during the last five months on its licensed Zoom platform as part of “LeaderTalks” sessions including Panel Discussions by renowned Corporate Leaders, Ministers, Members of Indian Parliament, Senior IAS officers, Banking Experts and Business Honchos to share their thoughts to instil confidence in the minds of our Businessmen and Professionals on how to face these troubled times and to remain positive in the face of adversities. It is very evident that the aftermath of covid is going to be a survival & revival era.

The Curtain raiser event of KMA activities for the year 2019-20 was inaugurated by Mr Suseel Kumar, Managing Director of Life Insurance Corporation of and after that in these 15 months we have been conducting programs back to back to make the year a memorable and outstanding one. The details of activities are reported in this book by our Hon. Secretary Mr.Bibu Punnooran.

This year’s inauguration ceremony of our flagship event Annual National Management Convention was a dream come true moment for me, it was long cherished dream to have Mr.Sunil Kant Munjal, Corporate India’s one of the most respected Businessman and the Chairman of Hero Group to inaugurate the biggest event of our calendar. We were also fortunate to participate in the release of his book “The Making of Hero”. He had accepted our invitation and came to KMA irrespective of the last minute rejection of the permission for his private jet to land at Naval Airport..he said, I will definitely come somehow...and he made it....his jet landed at Coimbatore Airport and came in a Chopper to Fisheries College ground Panangad and reached Le Meridian at 4.45 pm to inaugurate the 39th Annual National Management Convention of KMA at 5pm and left by 7.15 pm after an amazing address with his words of wisdom and showed the real leadership and great dedication to keep up his commitment, no words to express our gratitude....we salute you Sir.

Convention theme was Reimagining Management- Resurgence Ahead. In this era of economic slowdown, unemployment, we are also vouching that ‘India is growing young’; it is one of the fastest growing economies of the world, it has one of the largest markets in the world and it has the demographic dividend. In comparison to the global powers, India is turning out to be a young nation with an average age of the citizen around 29 years in which close to sixty percent is below 25 years! The population of youth in India almost equals the population of the European Continent!.

A big thanks to SVP & Convention Chairman Mr.Madhav Chandran, Past Presidents Mr.S R Nair, Mr.S Rajmohan Nair and Mr.Prasad Panicker for standing beside me as my pillars of strength, all my EC & MC members, our Hon. Secretary Mr.Bibu Punnooran, to various Committee Chairmen and Chairpersons, all sponsors especially LIC for the presenting partnership, all media, my friends and to my Secretariat staff for all the support and strength.

I am extremely happy that I personally have been enriched by the practical wisdom of many Corporate Chiefs by closely working with them for our Annual Convention and AIMA Council meetings. I profusely thank Mr.Sanjay Kirloskar, Chairman and MD of Kirloskar Group and the President of AIMA for all the support and his presence 5 KMA Annual Report 2019 - 2020 along with the Director General of AIMA Ms.Rekha Sethi for our CEO Conclave. It’s truly been an incredible year. And I want to remember the people especially near and dear to my heart — our Past Presidents, my team of Managing Committee Members and my good critics, I really enjoyed working with all of you.

When it comes to changing the world, age means very little. What does matter is the size of your dreams. We’ve become so used to telling young people to be practical, think about your future, and look to us as role models. What we really should be telling them, and ourselves, is to take your dreams and nurture them. Grow them. Dream bigger. There is no such thing as the impossible dream for anybody.

I encourage all of you to think of a way that you can leave your mark on your profession and the world. Think of what you have heard this week — and the people you’ve met eager to partner with you — and don’t be afraid to dream big. Because big dreams are for everyone with the courage to lead.

My tenure as president of KMA is coming to an end, but my commitment to this amazing organization and the work we do will go on. And the good news for me is that I get to continue the relationship with so many more friends than when I started.

Thank you for the amazing support you have given to me and my team this year, and thank you for your remarkable response towards all KMA initiatives and for everything you are doing to make the experience in our association exceptional, and for making the world a better place. I hope you have been enriched, energised, motivated, informed & inspired this year, and I request you to continue the support which you have been rendering to KMA and to the fraternity as a whole.

The Managing Committee has great pleasure in presenting the 62nd Annual Report containing activities undertaken by KMA during the period from August 2019 till September 2020 and the audited Statement of Accounts for the financial year commencing from 1st April 2019 to 31st March 2020.

(i) Election of Members to the Managing Committee for 2019-20 & 2020-21 to fill up eight vacancies due to the retirement of Members was held on 19th July 2019 and the following were elected.

Theme: Reimagining Management Resurgence Ahead

The Kerala Management Association had its 39th Annual National Management Convention 2020 on 19th and 20th of February at Le Meridien, Kochi around 1000 People attended the Function.

On the first day we had a Pre inaugural function, wherein Mr. Sunil Kant Munjal’s Book “The Making of Hero” was launched. This was followed by a panel discussion on the theme “ Managing 2020 Family Business: Old Wisdom or New Thinking” The panelist being Mr. Sunil Kant Munjal Chairman Hero Launching of “The Making of Hero” by Mr. Sunil Kant Munjal, Mr. Rajive Enterprise, Mr. Rajiv Kaul of Kaul Chairman Nicco Group, Mr. Vikram Chandra Founder Editorji Technologies, Mr. Jibu Paul, President KMA, Mr. Bibu Punnooan, Nicco Group and Mr. Vikram Honorary Secretary KMA and Mr. R. Then there was a brilliant and invigorating presentation by Capt. Raghu Raman, Former CEO National Intelligence Grid and Corporate Mentor on the subject “Leadership at 26,000 Feet”.

On 20th February the sessions started by 09:30 am with a Keynote on the Theme “Sustaining Planet Earth for a Favorable Tomorrow” by Mr. S. Ganesh, Vice President UPL Ltd.

From 10:00 – 11:00 we had our first Panel Discussion on “Creating Global Vision for People, Planet & Profit.” Moderated by Dr. Prof. Anandakuttan Unnithan, Dean, IIM Panel Discussion on “Creating Global Vision for People, Planet & Profit” Kozhikode, and the panelists were Dr. P Indiradevi, Director, Research Kerala Agriculture University, Mr. Ajay Arora, Associate Vice President, Hero Corporate Service, and Mr. ACK Nair, Director Cochin International Airport Ltd.

After the tea break Ms. Sweta Agnihotri of Reliance Big Entertainment Ltd took away the audience with her Keynote on “Building Global Commitment using Regional Blocks.”

The inauguration of KMA activities took place at The Renai Cochin on 9th August 2019. Former President of KMA Mr. S. Rajmohan Nair welcomed the gathering on the occasion. GLOBAL PANDEMIC- Covid 19:

The Coronavirus crisis that has crippled the entire globe, has thrown our normal life and work completely out of gear in our country as well; with the nationwide lockdown imposed by authorities, trying to halt the spread of the pandemic. For Professionals and Managers across the nation, these are challenging and difficult times indeed. The usual debate and discussions with co-workers and management counterparts, the learning through interactions with industry experts and leaders, the copious flow of knowledge and ideas through meetings and brainstorming sessions; have all suddenly come to a grinding halt!

However, at KMA we believe that the process of acquiring knowledge and assimilating management thoughts should never cease, and the endeavour to learn should prevail against all odds. We were in the process of organising seminars online on our licenced Zoom platform which would help all of us to win over this “Covid-19, the Game Changer”!!.

INNOVATION EXPERIENCE TOUR - Cochin International Airport Ltd.

The first Innovation delegation tour for this KMA year was started with Cochin International Airport Ltd, on 25th October 2019. The tour was attended by 40 KMA members. CIAL is the world's first fully solar-powered Airport and delegates were invited to visit the KMA delegation at CIAL along with Mr. A C K Nair, Airport Director and KMA biggest solar plant President, Mr. Jibu Paul and had a virtual tour of the facilities inside the Airport.

Conclusion Kerala Management Association, one of the oldest and most respected Management Associations in the country, with over 62 years of standing, has been marching ahead with increased energy and vigour. It would be the endeavor of the association to add value to its members by exposing them to modern and scientific management practices. We have fine-tuned many of the existing activities to make them very contemporary and also added many new ones to the list. We trust that the members who are the beneficiaries, would absorb these changes to present themselves with updated knowledge and skills that we are trying to bring forth to you. Opinion

We have audited the financial statements of Kerala Management Association, which comprise the Balance Sheet as at March 31, 2020, and the Income and Expenditure account, for the year then ended, and notes to the financial statements, including a summary of significant accounting policies.

Basis of Opinion We conducted our audit in accordance with the Standards on Auditing (SAs) issued by ICAI. Membership and Subscription fee are accounted on cash basis.

The association is not statutorily required to pay any defined contribution/benefit plan. f) Investments

Investments that are readily realisable and intended to be held for not more than a year are classified as current investments. All other investments are classified as long term investments. g) Income Tax

Income Tax and Deferred Tax Asset / Liability have not been recognised, due to the exemptions available under u/s 11 and 12 of the Income Tax Act. h) Leases

The association has no operating lease assets. i) Impairment of Assets

The Association assesses at each balance sheet date whether there is any indication that an asset may be impaired. If any such indication exists, the association estimates the recoverable amount of the asset. If such recoverable amount of the asset or recoverable amount of the cash generating unit to which the asset belongs is less than its carrying amount, the carrying amount is reduced to its recoverable amount. The reduction is treated as an impairement loss and is recognised in the income 77 KMA Annual Report 2019 - 2020 and expenditure account. If at the balance sheet date there is an indication that if a previously assessed impairement loss exists, the recoverable amount is reassessed and the asset is reflected at the recoverable amount subject to a maximum of depreciated historical cost. j) Provisions, Contingent liabilities and Contingent Assets

A provision is recognised when the association has a present obligation as a result of past event and it is probable that an outflow of resources will be required to settle the obligation, in respect of which reliable estimate can be made. Provisions are determined based on best estimate required to settle the obligation at the balance sheet date. These are reviewed at each balance sheet date and adjusted to reflect the current best estimates. Contingent liabilities are not recognised in financial statements. A Contingent Asset is neither recognised nor disclosed in the financial statements.

2. In the opinion of the management, the current assets, loans & advances will realise a value not less than the amounts stated in the Balance sheet, if realized in the ordinary course of business.

3. The balance with the banks in current accounts and fixed deposits were confirmed by the respective banks.

4. The balance of sundry debtors and sundry creditors are subject to confirmation and reconciliation, if any.

Report on the Audit of the Financial Statements.

Opinion

We have audited the financial statements of K.M.A Management Education Foundation, which comprise the Balance Sheet as at March 31, 2020, and the Income and Expenditure account, for the year then ended, and notes to the financial statements, including a summary of significant accounting policies.

In our opinion, the accompanying financial statements give a true and fair view of the financial position of the entity as at March 31, 2020 and of its financial performance for the year then ended in accordance with the Accounting Standards issued by the Institute of Chartered Accountants of India (ICAI).

Basis for an Opinion We conducted our audit in accordance with the Standards on Auditing (SAs) issued by ICAI. Our responsibilities under those Standards are further described in the Auditor’s Responsibilities for the Audit of the Financial Statements section of our report. We are independent of the entity in accordance with the ethical requirements that are relevant to our audit of the financial statements in India, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Responsibility of Management and Those Charged with the Governance for the Financial statements. Management is responsible for the preparation and fair presentation of the financial statements in accordance with the aforesaid Accounting Standards, and for such internal control as management determines is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, management is responsible for assessing the entity’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless management either intends to liquidate the entity or to cease operations, or has no realistic alternative but to do so.

SIGNIFICANT ACCOUNTING POLICIES & NOTES ON ACCOUNTS. a) General

The financial Statements have been prepared on the historical cost convention. These statements have been prepared in accordance with the generally accepted accounting principles and the applicable mandatory accounting standards. The preparation required adoption of estimates and the assumptions that can affect the reported amounts of revenue and expenditure and the assets and liabilities as well as the disclosure of contingent liabilities. Differences between the actual results and estimates if any are recognised in the year in which they become known or materialises.
