PRIVILEGED ATTORNEY-CLIENT COMMUNICATION EXECUTIVE SUMMARY SECOND AMENDED AND RESTATED LICENSE AGREEMENT (“SPIDER-MAN”) CREATIVE ISSUES This memo summarizes certain terms of the Second Amended and Restated License Agreement (“Spider-Man”) between SPE and Marvel, effective September 15, 2011 (the “Agreement”). 1. CHARACTERS AND OTHER CREATIVE ELEMENTS: a. Exclusive to SPE: . The “Spider-Man” character, “Peter Parker” and essentially all existing and future alternate versions, iterations, and alter egos of the “Spider- Man” character. All fictional characters, places structures, businesses, groups, or other entities or elements (collectively, “Creative Elements”) that are listed on the attached Schedule 6. All existing (as of 9/15/11) characters and other Creative Elements that are “Primarily Associated With” Spider-Man but were “Inadvertently Omitted” from Schedule 6. The Agreement contains detailed definitions of these terms, but they basically conform to common-sense meanings. If SPE and Marvel cannot agree as to whether a character or other creative element is Primarily Associated With Spider-Man and/or were Inadvertently Omitted, the matter will be determined by expedited arbitration. All newly created (after 9/15/11) characters and other Creative Elements that first appear in a work that is titled or branded with “Spider-Man” or in which “Spider-Man” is the main protagonist (but not including any team- up work featuring both Spider-Man and another major Marvel character that isn’t part of the Spider-Man Property). The origin story, secret identities, alter egos, powers, costumes, equipment, and other elements of, or associated with, Spider-Man and the other Creative Elements covered above. The story lines of individual Marvel comic books and other works in which Spider-Man or other characters granted to SPE appear, subject to Marvel confirming ownership. -

Still suffering the aftershocks of the Great Depression despite Franklin D. Roosevelt’s progressive New Deal nos- trums—unemployment stood at 17% for 1939—Americans eyed the expanding wars in Europe and Asia nervously. Some tried to dismiss Adolf Hitler and Benito Mussolini as comic opera buffoons, decrying the hostilities as a “phony war” because not much had happened since the blitzkrieg dismemberment of Poland the previous September. These naysayers did not see it for what it was: the calm before the storm. Before the first year of the new decade was out, Nazi Germany seized Norway, Denmark, Belgium, the Nether- lands, and ultimately France, while attempting to bomb the United Kingdom into subjection. The British held out defiantly, and Hitler reluctantly abandoned his plans to invade England. That small victory brought no cheer to the conquered nations, where Der Führer’s relentless oppres- sion of Jews and other scapegoated minorities was in full force. Il Duce, too, continued his aggression, as Fascist Italy invaded Egypt and Greece. -

The Hulk: Design and Development of a Weather-proof Vehicle for Long-term Autonomy in Outdoor Environments Stephen Kyberd, Jonathan Attias, Peter Get, Paul Murcutt, Chris Prahacs, Matthew Towlson, Simon Venn, Andreia Vasconcelos, Matthew Gadd, Daniele De Martini, Paul Newman Abstract In recent years the range of robotics platforms available for research and development has increased dramatically. Despite this there are areas and applica- tions which are not currently well served by the existing available platforms. Many of them are designed for indoor use; the range of outdoor and off-road robotics plat- forms is less diverse and few address the issue of deployment in hazardous weather conditions and integrate a suitable sensor suite. In addition almost all of the commer- cially available Unmanned Ground Vehicles (UGVs) are unsuitable for deployment on delicate surfaces. Given the widespread use of manicured grass within the built environment and agriculture across the western world, this severely limits where they can be deployed and the tasks that can be accomplished. This paper introduces the design principles of a suitable autonomous vehicle. Hulk is built from a com- mercial zero-turn mower modified for fly-by-wire operation and equipped with a full sensor suite and computing payload. To enable remote, long-term autonomy in diverse environments, several layers of redundant safety systems were designed and installed and the entire assembly made weatherproof. 1 Introduction There is a large and growing need for autonomous robots to perform a wide range of practical tasks in the near future. These span a wide range of industries, from autonomous cars and transportation to robots for hazardous environments such as oil fields [8].
