IV. Reaffirmation of District Goals

GOAL 1: Students attending the Teaneck Public Schools will acquire the skills, knowledge and understanding to be successful in the twenty first century.

GOAL 2: Teachers and administrators in the Teaneck Public Schools will acquire the skills, knowledge and understanding necessary to support student achievement.

GOAL 3: The environment in the Teaneck Public Schools will be safe and respectful, with students and adults appreciative of the unique contributions of members of the community.

Summer Opportunity: New Jersey Institute of Technology has announced the Early College Preparatory Programs for summer 2016. Their educational summer programs offer opportunities for post-fourth to post-eleventh grade students with high academic achievement to explore careers in science, technology, engineering, and mathematics (STEM). Through non-traditional hands-on methodologies, students learn the relationship between STEM subjects and their applications to everyday life. The deadline for all applications is Monday, March 28, 2016 and the school will not consider late applications. THS Basketball: Congratulations to the Teaneck High School Boys’ Basketball Team and Coach Jerome Smart on their title as Group 3 NJ State Champions. Coach Smart and Athletic Director, Todd Sinclair attributes their winning season to great camaraderie and teamwork.

Grease: The Musical - Dust off your leather jacket and bop back to Teaneck High School this weekend for the Teaneck High School Theater Department’s presentation of Grease: The Musical. Grace Hill Memorial Auditorium at Teaneck High School General admission: $15.00. Schedule of Shows: March 18 and 19, at 8:00pm and March 20, at 3:00pm.

Read Across America: Thank you to all of the volunteers who read to our students during Read Across America. We appreciate that you took time from your busy lives to give to our students. They really enjoyed it and we hope that you did too.

Art Event for Students at Teaneck Creek Conservancy, March 19, 2016: The Teaneck Creek Conservancy will host the Water Rocks art event for students on Saturday, March 19, 2016, from 1:00 pm to 3:00 pm. All elementary and middle school students are invited to participate in painting rocks that will then be placed in the Rock River at the Conservancy. The Water Rocks will be part of an eco-art exhibit. For more information, check the Teaneck Public School website: http://www.teaneckschools.org.

XI. Executive Session

Be It Resolved, that the Teaneck Board of Education determines it is necessary to meet in Executive Session on Wednesday, March 16, 2016, at 10:45pm, to discuss matters of personnel, involving specific individuals, negotiations, anticipated litigation and/or alleged incidents of Harassment, Intimidation and Bullying (HIB); and Be It Further Resolved, that these matters will be made public when the need for confidentiality no longer exists.

Mr. Rodriguez motioned to convene into Executive Session at 10:45pm. Said motion was seconded by Mrs. Rappoport, and carried by unanimous vote.

Dr. Diuguid motioned to adjourn Executive Session and reconvene the public meeting at 11:30pm. Said motion was seconded by Mr. Rodriguez, and carried by unanimous vote.

Victoria Fisher commented on the Youth Advisory Board meeting with the Township Mayor last week, great young people at meeting.

Sarah Rappoport reported re PTO Council Meeting, a number of fundraisers are coming up. When she gets the Minutes from the PTO Council she will forward to Board so they can see when and where these fundraisers will be. Thoroughly enjoyed going to the meeting.

Dr. David Diuguid reported re Policy Committee Meeting, reviewed a whole host of revised policies and one new policy, The Administration of Medical Marijuana for those students who need it.

Sebastian Rodriguez reported re Finance Committee Meeting, had several committee meetings, the results were highlighted tonight. We have one more Finance Committee Meeting and maybe adding another meeting before adopting the Final Budget.

Sebastian Rodriguez reported re Negotiations, had the opportunity to exchange proposals and schedule additional meetings.

Clara Williams reported re that she and Sarah attended Middle School for a Women’s Day Program in the morning. It was excellent and very enlightening for our young Middle School students, wonderfully coordinated.

Dr. Ardie Walser discussed emails and best practices for the Board. Attended a wonderful workshop at the high school on the new College Board SATs. John Dean is giving a workshop at the high school for parents on how to use Google doc. Dennis Heck and two detectives from the Teaneck Police Department gave a presentation on swatting. He also attended Lowell School for ‘Read Across America.’

SCHOOL OPERATIONS and CURRICULUM MARCH 16, 2016

Be It Resolved, that the Teaneck Board of Education, upon the recommendation of the Superintendent of Schools, approves the following School Operations and Curriculum resolutions #52 thru #61:

52. the Board affirmed the decisions of the Superintendent of Schools regarding Harassment, Intimidation and Bullying (HIB) incidents reported to the Board in Executive Session at the February 3, 2016 Workshop meeting, February 10, 2016 Regular Meeting, and March 2, 2016 Workshop Meeting.

53. the Board approved Staff Development Workshops, Inc., to conduct professional development workshops in District as follows; Title IIA funds these professional development workshops, acct #20-270-200-320-19-50-I-0:

1. Workshop for Grade 6 district teachers on the topics of the Next Generation Science Standards and the 5E Model, on March 21, 2016, fee $1,500; Dr. Meghan Merraro, training specialist would provide professional development training that supports teachers in delivering effective science instruction with a focus on the science and engineering practices, targeted content intervention and how to scaffold learning to meet the needs of academically at risk students, as well as focusing on key elements of the 5E instructional model.

2. Workshop for Grades 9-12 district mathematics teachers on the topic of differentiated instruction, in an amount not to exceed $1,500; Eileen Murray, training specialist would provide professional development training that supports teachers in delivering effective mathematics instruction with a focus on the differentiating instruction through scaffold and tiered lessons, as well as targeted content intervention and how to scaffold learning to meet the needs of academically at risk students, and this training would focus on key elements of effective intervention strategies in mathematics.

3. Workshop for Grade 7-8 language arts teachers about teaching reading to mixed ability readers, on March 21, 2016, fee $1,500; Laura Rigolosi would be presenting to seventh and eighth grade language arts teachers about teaching reading to mixed- ability readers, and provide strategies that will be shared and used when teaching the final two novels of the year, and review strategies for integrating reading into writing.

4. Workshop for Techniques for Integrating Technology into the pre-kindergarten curriculum, on March 21, 2016, fee $1,500; Tracee Worley would be presenting techniques for integrating technology into the pre-kindergarten curriculum, and teachers would learn ways to integrate the iPads in a way to support the educational goals of the pre-kindergarten population.

5. Workshop that addresses specific strategies, simple tips, as well as overall instructional practices that can be embedded in any reading or writing task, on March 21, 2016, fee $1,500, Berit Gordan would be presenting a workshop that addresses specific strategies.

Workshop for Grades 7-8 social studies teachers on the topic of Teaching Informational Text to Reluctant Readers, fee $1,500, Sarah Buxton would be presenting to these social studies teachers who would learn specific literacy strategies for implementation in the classroom that would assist students with reading informational text.

7. Workshop for high school social studies teachers on the topic of Teaching Informational Text to Reluctant Readers, fee $1,500, Leah MacDonald would be presenting to these social studies teachers who would learn specific literacy strategies for implementation in the classroom that would assist students with reading informational text.

54. the Board accepted grant funds from the County of Bergen, Department of Human Services for the FORUM/PASS (Police/Parents and School Students) Partnership Juvenile Delinquency Prevention Program, for the period January 1, 2016 thru December 31, 2016, in the amount of $70,796, to be disbursed as indicated below:

55. the Board approved payment to Plethora Media Group, to present the “Picture of Success” Program to 12 middle school students enrolled in the Parent and Student/School Partnership Program, in an amount not to exceed $600, the FORUM Juvenile Justice Grant funds this program, acct #20-018-100-300-73-50-G-H, Program dates are March 17, March 29, and April 5, 2016:

1st Session: Basic photography skills workshop for participating students. A disposable camera would be provided to students that participate;

2nd Session: Students and staff trip to take photos that represent values and goal setting for their photography project.

3rd Session: Students will preview, select and finalize photos for final project and present to staff and peers.

56. the Board approved payment to Team Makers, to conduct a workshop on teamwork on March 24, 2016, in an amount not to exceed $225, the FORUM Juvenile Justice Grant funds this program acct #20-009-100-300-73-50-G-H.

57. the Board approved the participation of Genieve Holder, Transition Coordinator and Michele Greenwood, Transition Teacher in the following courses, total cost not to exceed $1,556, funded by Region V:

58. the Board approved submission of the Carryover Application to the New Jersey Department of Education for the use of funds from the 2014/15 IDEA nonpublic basic funds, in the amount of $20,257, to be implemented during the period July 1, 2015 and ending June 30, 2016.

59. the Board approved submission of the Carryover Application to the New Jersey Department of Education for the use of funds from the 2014/15 IDEA Pre-K, in the amount of $442 to be implemented during the period July 1, 2015 and ending June 30, 2016.

60. the Board accepted, with appreciation, the following donations:

FINANCE and BUDGET MARCH 16, 2016

Be It Resolved, that the Teaneck Board of Education, upon the recommendation of the Superintendent of Schools, approves the following Finance and Budget resolutions #95 thru #107:

95. the Board approved payment of the following 2015/16 bills and payroll, as detailed in lists attached to the Minutes of this meeting, including adjustments to previously approved bill payments, and that the Business Administrator/Board Secretary is authorized to release the warrants in payments of these bills, per the list appended to and made a part of the Minutes, January 1 thru 31, 2016:

96. the Board approved 2015/16 budget transfers, previously approved by a member of the Finance Committee, which are attached and a part of the official record.

97. WHEREAS, the Board of Education has received the Report of the Board Secretary and the Report of the Treasurer of School Monies for the month of January 2016 and determined that both reports are in agreement; and WHEREAS, in compliance with N.J.A.C. 6A:23A-16.10(c)3 the secretary has certified that, as of the date of the reports, no budgetary line item account has obligations and payments (contractual orders) which in total exceed the amount appropriated by the Board of Education except as noted; now BE IT RESOLVED, that in compliance with N.J.A.C. 6A:23A-16.10(c)4, the Board of Education certifies that, after review of the secretary’s monthly financial reports (appropriate section) and upon consultation with the appropriate district officials, to the best of its knowledge, no major account or fund has been over-expended in violation of N.J.A.C.6A:23A-16.10(c)4, and that sufficient funds are available to meet the district’s financial obligations for the remainder of the year (which would become a part of the Minutes of this meeting); and BE IT FURTHER RESOLVED, that pursuant to P.L. 2004 Ch. 73 (S-1701), the Board certifies that after a review of the Secretary’s Monthly Financial Report and upon consultation with the appropriate district officials, that there are no budgetary transfers that cumulatively exceed 10% that would require the approval of the Executive County Superintendent.

98. the Board approved the attached list of Travel and Conferences for the staff indicated for professional improvement or development, as approved by the Superintendent, in the amount of $313.86.

99. the Board approved the attached list of Student Field Trips, as approved by the Superintendent, in the amount of $3,703.56 (district funded), $22,435.02 (Grants/ Parent funded), total field trips = $26,138.58.

100. the Board approved compensation to those clinicians and agencies on the attached list who would provide related services and/or independent evaluations during the 2015/16 school year, total amount for this motion is $36,000, acct #11-000-216-300-72-57-C-D and #11-000-213-300-74-57-C-D.

101. the Board approved payment of tuition for out-of-district students who would require a special education program during the 2015/16 school year, as per the attached list, said tuitions would be pro-rated based on effective dates of attendance, total amount of current invoices for this motion is $93,991.48, acct #11-000-100-566-49-61-C-C.

102. the Board approved the amendments to the Chapter 192/193 Non-Public Services grant to reflect additional funding, in the amount of $109,070, in accordance with the funding statement appended to and made a part of the minutes.

103. the Board recognizes and sanctions the Teaneck High School Project Graduation event following graduation on the evening of June 23 and the morning of June 24, 2016. The event would be funded by the Teaneck High School PTSO. Furthermore, the Board authorizes the School Business Administrator to sign all related documents and contracts and to issue a certificate of insurance naming Teaneck High School PTSO as an additional insured and to obtain from Teaneck High School PTSO a certificate of insurance naming Teaneck Board of Education as an additional insured.

104. the Board accepted the following donations to the Teaneck Board of Education, to be used for the renovation of the Bryant School playground; donations for this project are received and distributed thru the district’s Special Revenue Fund 20:

166. the Board approved the following certificated staff appointments, effective on the dates indicated:

1. Maria Portorreal, Long Term Substitute Teacher (ESL), Teaneck High School, at $260 per diem, no benefits, effective March 17, 2016 (or sooner pending receipt of criminal history clearance) thru June 30, 2016, replacing Faith Mootoo, paid leave of absence.

2. Louise Van Horn, Long Term Substitute Teacher 0.8 FTE, Hawthorne School, at $260 per diem, no benefits, effective March 3, 2016 thru May 31, 2016, replacing Stephanie McKee, maternity leave of absence, paid/FMLA.

Nina Odatalla, Assistant Principal, Thomas Jefferson Middle School, maternity leave, with pay from February 29, 2016 thru April 5, 2016 using 26 sick days; with pay from April 6, 2016 thru April 25, 2016, using 14 Vacation Days; unpaid with benefits from April 26, 2016 thru July 18, 2016 under FMLA.

Whereas, the district has conducted a comprehensive needs assessment of its equality and equity needs; and Whereas, a Comprehensive Equity Plan has been designed to meet and assess equality and equity needs in district schools; now Be It Resolved, that the Teaneck Board of Education authorizes the submission of the proposed Comprehensive Equity Plan, and supports the full implementation of said plan on September 1, 2016, upon approval by the New Jersey State Department of education.

Whereas, the Bogota Board of Education is desirous of obtaining Business Office services from the Teaneck Board of Education through a shared services Agreement, i.e., payroll, benefits, and pension; and Whereas, the Bogota Board of Education and Teaneck Board of Education are prepared to enter into such an Agreement, for the period March 15 thru June 30, 2016; and Whereas, N.J.S.A. 40A:65-1 et seq., the Uniform Shared Services and Consolidation Act provides a mechanism for making such shared service Agreements between Boards of Education; now Be It Resolved, by and between the Bogota Board of Education and the Teaneck Board of Education, pursuant to N.J.S.A. 40A:65-1 et seq., as follows:

108. that the Board authorizes the Interim SBA/Board Secretary to solicit Request for Proposals for Food Management Services, for the 2016/17 school year.

109. Whereas, the Teaneck Board of Education (hereinafter the “Board’) and the Township of Teaneck (hereinafter the “Township”), collectively referred to as the “Parties” wish to encourage cooperation in the provision of limited shared services; and

Whereas, both parties are desirous of obtaining services, vis-à-vis, a shared services Agreement; and Whereas, both parties recognize that shared services Agreements yield economies and efficiencies to the residents of Teaneck in the provision of such services; and Whereas, the Board of Education and the Township are prepared to enter into a shared services Agreement at this juncture; now Be It Resolved, by and between the Board of Education and the Township, pursuant to N.J.S.A. 40A:65-1 et seq., as follows:

(1) The Township of Teaneck shall supply, at cost, to the Teaneck Board of Education bulk rock salt, liquid calcium chloride, and diesel fuel, at the cost to Township;

(2) The Township of Teaneck shall pick up recycling on a weekly basis from the Teaneck Board of Education schools, at no cost;

(3) The Township of Teaneck shall repair and provide preventative maintenance services to Teaneck Board of Education’s vehicles and grounds equipment at time and material cost, total hours for repairs will be limited to those based on book time or actual time, whichever is less;

(4) The Township of Teaneck shall provide tree pruning and removal services to the Teaneck Board of Education at Township’s labor cost only;

(5) The Township of Teaneck shall fabricate exterior signage for the Teaneck Board of Education’s buildings, grounds, and parking lots at Township’s labor and material cost;

(6) The Township of Teaneck shall provide pot hole hot paving repairs for Teaneck Board of Education’s parking lots, at no cost;

(7) The Township of Teaneck shall provide storm water catch basin annual cleaning in Teaneck Board of Education’s parking lots, at no cost;

(8) The Board of Education shall train and assist Township of Teaneck employees with the renovation of baseball fields, at labor cost only, the Township of Teaneck shall provide all material;

(9) The Board of Education shall assist Township of Teaneck employees with snow removal for the streets directly adjacent to and which provide access to the Teaneck Board of Education school buildings, at no cost;

(10) All services and/or supplies provided by either party shall be evidenced by a monthly invoice including sufficient detail to document that said supplies and/or services were provided at cost as set forth above; and Be It Further Resolved, that this Agreement shall commence upon execution of this Agreement by both parties and shall continue for a period of five (5) years thereafter, unless sooner terminated as hereinafter provided; and

Be It Further Resolved, that the parties hereby agree that each party shall release, indemnify, defend and hold harmless the other and their respective agents, officers and employees from any and all claims, demands losses, expenses, attorneys’ fees, causes of action, judgments, lawsuits, proceedings, damages, and liability resulting and arising from the alleged or asserted negligent, reckless or intentional act of itself, its agents, officers and employees; and Be It Further Resolved, that both parties shall obtain and/or maintain appropriate insurance coverage for the services provided under this Agreement; and Be It Further Resolved, that this Agreement shall be interpreted in accordance with the rights of the parties hereto and shall be governed by the laws of the State of New Jersey; and Be It Further Resolved, that this Agreement sets forth the entire agreement between the parties concerning the subject matter hereof and shall not be modified or amended except by an instrument in writing signed by the parties; and Be It Further Resolved, that this Agreement shall be binding upon the parties and their legal representatives, successors and assigns; and Be It Further Resolved, that both parties agree that in the event that the services are not provided by either one of the parties, the other party may terminate this Agreement; and Be It Further Resolved, both parties agree that services can be terminated by either party by providing sixty (60) days written notice, with such notice to be evidenced by a signed and sealed resolution approved by the governing body or board and hand delivered to the Municipal Clerk or Board Secretary; and Be It Further Resolved, a copy of the within Agreement shall be filed, for information purposes, with the Division of Local Government Services in the Department of Community Affairs, pursuant to rules and regulation promulgated by the director.

REFUNDING BOND ORDINANCE OF THE BOARD OF EDUCATION OF THE TOWNSHIP OF TEANECK IN THE COUNTY OF BERGEN, NEW JERSEY, PROVIDING FOR THE REFUNDING OF ALL OR A PORTION OF THE OUTSTANDING CALLABLE REFUNDING SCHOOL BONDS OF THE SCHOOL DISTRICT, DATED JULY 27, 2006, ISSUED IN THE ORIGINAL PRINCIPAL AMOUNT OF $9,305,000, APPROPRIATING NOT TO EXCEED $8,260,000 THEREFORE AND AUTHORIZING THE ISSUANCE OF NOT TO EXCEED $8,260,000 REFUNDING BONDS TO PROVIDE FOR SUCH REFUNDING.

110. Be It Resolved, by the Board of Education of the Township of Teaneck in the County of Bergen, New Jersey (not less than two-thirds of all members thereof affirmatively concurring) as follows:

Section 1. The Board of Education of the Township of Teaneck in the County of Bergen, New Jersey (the "School District") is hereby authorized to refund all or a portion of the outstanding callable refunding school bonds of the School District issued in the original principal amount of $9,305,000 and dated July 27, 2006 (the "2006 Bonds"). The 2006 Bonds maturing on or after July 15, 2017 may be redeemed at the option of the School District in whole or in part on any date on or after July 15, 2016

(the "Redemption Date") at a redemption price equal to the par amount of the 2006 Bonds to be redeemed plus accrued interest, if any, to the Redemption Date. Section 2. In order to finance the cost of the purpose described in Section 1 hereof, negotiable refunding bonds (the "Refunding Bonds") are hereby authorized to be issued in the aggregate principal amount not to exceed $8,260,000 pursuant to N.J.S.A. 18A:24-61 et seq. Section 3. An aggregate amount not exceeding $150,000 for items of expense listed in and permitted under N.J.S.A. 18A:24-61.4 has been included in the aggregate principal amount of Refunding Bonds authorized herein. Section 4. The purpose of the refunding is to incur an interest cost savings for the School District. Section 5. A supplemental debt statement has been prepared and filed in the offices of the Township Clerk and the Business Administrator/Board Secretary and in the office of the Director of the Division of Local Government Services in the Department of Community Affairs of the State of New Jersey as required by law. Such statement shows that the gross debt of the Township as defined in the Local Bond Law and the school debt of the School District is increased by the amount the Refunding Bond authorization exceeds the amount of the proposed refunded bonds. Section 6. No Local Finance Board approval is required as the issuance of the Refunding Bonds will comply with the requirements of N.J.A.C. 5:30-2.5. Section 7. The Board President, the Superintendent, the Business Administrator/Board Secretary and other appropriate representatives of the School District are hereby authorized to prepare such documents, to publish such notices and to take such other actions as are necessary or desirable to enable the School District to prepare for the sale and the issuance of the Refunding Bonds authorized herein and to provide for the redemption of the 2006 Bonds referred to in Section 1 hereof. Section 8. This bond ordinance shall take effect immediately after final adoption.

RESOLUTION DETERMINING THE FORM AND OTHER DETAILS OF NOT TO EXCEED $8,260,000 PRINCIPAL AMOUNT OF REFUNDING SCHOOL BONDS OF THE BOARD OF EDUCATION OF THE TOWNSHIP OF TEANECK IN THE COUNTY OF BERGEN, NEW JERSEY AND PROVIDING FOR THE SALE AND THE DELIVERY OF SUCH BONDS.

111. Be It Resolved, by the Board of Education of the Township of Teaneck in the County of Bergen, New Jersey (not less than two-thirds of all members thereof affirmatively concurring) as follows:

Section 1. The Board of Education of the Township of Teaneck in the County of Bergen, New Jersey (referred herein as the “Board of Education” or “Board”) hereby authorizes the sale, in one or more series, of an amount not to exceed $8,260,000 Refunding School Bonds (the “Bonds”) by virtue of its final adoption by a two-thirds majority of its full membership on March 16, 2016 of a bond ordinance entitled, “Refunding Bond Ordinance of The Board of Education of the Township of Teaneck in the County of Bergen, New Jersey, providing for the refunding of all or a portion of the outstanding callable refunding school bonds of the School District, dated July 27,

2006, issued in the original principal amount of $9,305,000, appropriating not to exceed $8,260,000 therefore and authorizing the issuance of not to exceed $8,260,000 refunding bonds to provide for such refunding” (the “Bond Ordinance”). Section 2. The Bonds are hereby authorized to be sold to Roosevelt & Cross, Inc. (the “Underwriter”) in accordance with the purchase contract to be entered into by and between the Underwriter and the Board (the “Purchase Contract”) pursuant to this resolution. The purchase price for the Bonds shall be as set forth in the Purchase Contract, plus unpaid accrued interest, if any, from the dated date of the Bonds to, but not including, the delivery date of the Bonds. The Board President, Superintendent and/or Business Administrator/Board Secretary is hereby authorized to enter into the Purchase Contract on behalf of the Board with the Underwriter in a form satisfactory to McManimon, Scotland & Baumann, LLC, Bond Counsel for the Board (“Bond Counsel”) for the sale of the Bonds to the Underwriter in accordance with the provisions of this resolution. The signature of the Board President, Superintendent or Business Administrator/Board Secretary on the Purchase Contract shall be conclusively presumed to evidence any necessary approvals. Section 3. The Bonds are being issued to incur interest cost savings by redeeming all or a portion of the callable outstanding refunding school bonds of the Board originally issued in the principal amount of $9,305,000 dated July 27, 2006, which bonds maturing on or after July 15, 2017 (the “Refunded Bonds”) are redeemable at the option of the Board in whole or in part on any date on or after July 15, 2016 (the “Redemption Date”) at par (the "Redemption Price"), plus in each case accrued interest, if any, to the Redemption Date. Section 4. The Bonds shall be issued in accordance with the terms and the conditions set forth in the Purchase Contract within the parameters set forth herein:

(A) The Bonds shall be issued in a par amount determined to be necessary to pay costs of issuance and to provide for payment of the Redemption Price of the Refunded Bonds on the Redemption Date, and the interest due on the Refunded Bonds through the Redemption Date;

(B) The Bonds shall be dated such date as established in the Purchase Contract;

(C) The Bonds shall mature in the principal amounts on or about July 15 of each year, commencing on or about July 15, 2016 and thereafter or as otherwise set forth in the Purchase Contract and shall bear interest at interest rates per annum on the unpaid principal balance on each January 15 and July 15 until maturity or earlier redemption, commencing on or about July 15, 2016 or as otherwise set forth in the Purchase Contract;

(D) The Bonds shall be issued in the form of one bond for each maturity except if all or any portion of the Bonds are issued as term bonds;

(E) The Bonds shall be numbered consecutively from R-1 upward and shall mature in such principal amounts with such mandatory call features and with such mandatory sinking fund payments as set forth below and as determined in the Purchase Contract;

(F) The Bonds may be subject to optional redemption or not as set forth in the Purchase Contract;

This bond is one of an authorized issue of bonds and is issued pursuant to Title 18A, Education, Chapter 24, of the New Jersey Statutes and the refunding bond ordinance finally adopted by the Board of Education on March 16, 2016, in all respects duly approved. Payment of this obligation is secured under the provisions of the New Jersey School Bond Reserve Act, P.L. 1980, c. 72, approved July 16, 1980, as amended by P.L. 2003, c.118, approved July 1, 2003, in accordance with which an amount equal to 1% of the aggregate outstanding bonded indebtedness (but not to exceed the moneys available in the fund) of New Jersey counties, municipalities and school districts for school purposes as of September 15 of each year, is held within the State Fund for the Support of Free Public Schools as a school bond reserve pledged by law to secure payments of principal and interest due on such bonds in the event of the inability of the issuer to make payment.

The full faith and credit of the Board of Education are hereby irrevocably pledged for the punctual payment of the principal of and the interest on this bond according to its terms.

Section 6. The Bonds shall have printed thereon a copy of the written opinion with respect to the Bonds that is to be rendered by Bond Counsel, complete except for omission of its date. The Business Administrator/Board Secretary is hereby authorized and directed to file a signed duplicate of such written opinion in the Business Administrator/Board Secretary's office. Alternatively, each Bond may be accompanied by the signed legal opinion or copy thereof. Section 7. Bond Counsel is authorized to arrange for the printing of the Bonds. The proper officials of the Board are hereby authorized and directed to execute the Bonds and to deliver them to the Purchaser in exchange for payment, including accrued interest from their date to the date of delivery, if any. Section 9. In the event that The Depository Trust Company may determine to discontinue providing its service with respect to the Bonds or is removed by the Board of Education and if no successor Securities Depository is appointed, the Bonds which were previously issued in book-entry form shall be converted to Registered Bonds (the "Registered Bonds") in denominations of $5,000, or any integral multiple thereof, except that an amount maturing in any one year in excess of the largest principal amount thereof equaling a multiple of $5,000 will be in denominations of $1,000, or any integral multiple thereof. The beneficial owner under the book-entry system, upon registration of the Bonds held in the beneficial owner's name, will become the registered owner of such Registered Bonds. The Board shall be obligated to provide for the execution and delivery of the Registered Bonds in certificate form. Section 10. The Board hereby covenants that it will comply with any conditions subsequent imposed by the Internal Revenue Code of 1986 (the "Code") in order to preserve the exemption from taxation of interest on the Bonds, including the requirement to rebate all net investment earnings on the gross proceeds above the yield on the Bonds, and that it will refrain from taking any action that would adversely affect the tax exemption of the Bonds under the Code. The Board authorizes the Business Administrator/Board Secretary to act and determine on behalf of the Board whether the Bonds will be designated as “bank qualified” within the meaning of Section 11. Solely for purposes of complying with Rule 15c2-12 of the Securities and Exchange Commission, as amended and interpreted from time to time (the "Rule"), and provided that the Bonds are not exempt from the Rule and provided that the Bonds are not exempt from the following requirements in accordance with paragraph (d) of the Rule, for so long as the Bonds remain outstanding (unless the Bonds have been wholly defeased), the Board of Education shall provide for the benefit of the holders of the Bonds and the beneficial owners thereof:

(a) On or prior to February 1 of each year, beginning February 1, 2017, electronically to the Municipal Securities Rulemaking Board’s Electronic Municipal Market Access (“EMMA”) system or such other repository designated by the SEC to be an authorized repository for filing secondary market disclosure information, if any, annual financial information with respect to the Board of Education consisting of the audited financial statements (or unaudited financial statements if audited financial statements are not then available, which audited financial statements will be delivered when and if available) of the Board of Education and certain financial information and operating data consisting of (1) Board of Education indebtedness; (2) property valuation information; and (3) tax rate, levy and collection data. The audited financial statements will be prepared in accordance with generally accepted accounting principles as modified by governmental accounting standards as may be required by New Jersey law;

(b) if any of the following material events occur regarding the Bonds, a timely notice not in excess of ten business days after the occurrence of the event sent to EMMA:

(1) Principal and interest payment delinquencies; (2) Non-payment related defaults, if material; (3) Unscheduled draws on debt service reserves reflecting financial difficulties; (4) Unscheduled draws on credit enhancements reflecting financial difficulties; (5) Substitution of credit or liquidity providers, or their failure to perform; (6) Adverse tax opinions, the issuance by the Internal Revenue Service of proposed or final determinations of taxability, Notices of Proposed Issue (IRS Form 5701-TEB) or other material notices or determinations with respect to the tax status of the security, or other material events affecting the tax status of the security; (7) Modifications to rights of security holders, if material; (8) Bond calls, if material, and tender offers; (9) Defeasances; (10) Release, substitution, or sale of property securing repayment of the securities, if material; (11) Rating changes; (12) Bankruptcy, insolvency, receivership or similar event of the obligated person;

(13) The consummation of a merger, consolidation, or acquisition involving an obligated person or the sale of all or substantially all of the assets of the obligated person, other than in the ordinary course of business, the entry into a definitive agreement to undertake such an action or the termination of a definitive agreement relating to any such actions, other than pursuant to its terms, if material; (14) Appointment of a successor or additional trustee or the change of name of a trustee, if material.

For the purposes of the event identified in subparagraph (12) above, the event is considered to occur when any of the following occur: the appointment of a receiver, fiscal agent or similar officer for an obligated person in a proceeding under the U.S. Bankruptcy Code or in any other proceeding under state or federal law in which a court or governmental authority has assumed jurisdiction over substantially all of the assets or business of the obligated person, or if such jurisdiction has been assumed by leaving the existing governing body and officials or officers in possession but subject to the supervision and orders of a court or governmental authority, or the entry of an order confirming a plan of reorganization, arrangement or liquidation by a court or governmental authority having supervision or jurisdiction over substantially all of the assets or business of the obligated person.

Notice of failure of the Board of Education to provide required annual financial information on or before the date specified in this resolution shall be sent in a timely manner to EMMA. If all or any part of the Rule ceases to be in effect for any reason, then the information required to be provided under this resolution, insofar as the provision of the Rule no longer in effect required the provision of such information, shall no longer be required to be provided. The Business Administrator/Board Secretary shall determine, in consultation with Bond Counsel, the application of the Rule or the exemption from the Rule for each issue of obligations of the Board of Education prior to their offering. Such officer is hereby authorized to enter into additional written contracts or undertakings to implement the Rule and is further authorized to amend such contracts or undertakings or the undertakings set forth in this resolution, provided such amendment is, in the opinion of nationally recognized bond counsel, in compliance with the Rule. In the event that the Board of Education

fails to comply with the Rule requirements or the written contracts or undertakings specified in this resolution, the Board of Education shall not be liable for monetary damages, remedy being hereby specifically limited to specific performance of the Rule requirements or the written contracts or undertakings therefore. Section 12. The Board hereby approves the preparation and the distribution of the Preliminary Official Statement in the form to be approved by the Business Administrator/Board Secretary. Such Official Statement may be distributed in preliminary form and deemed final for purposes of Rule 15c2-12 of the Securities and Exchange Commission on behalf of the Board by the Business Administrator/Board Secretary. The Preliminary Official Statement shall be prepared in final form in connection with the issuance of the Bonds, and the Business Administrator/Board Secretary is authorized to execute any certificates necessary in connection with the distribution of the Official Statement. Final Official Statements shall be delivered to the Purchaser within the earliest of seven business days following the sale of the Bonds or to accompany the Purchaser’s confirmations that request payment for the Bonds. Bond Counsel, the Board’s auditor, Lerch, Vinci & Higgins, LLP (the “Auditor”), and/or the Financial Advisor are further authorized to arrange on behalf of the Board of Education for a rating for the Bonds from Standard & Poor’s and/or Moody’s Investors Service, and all such actions taken to date are hereby ratified. Section 13. The Business Administrator/Board Secretary, with the advice of the Financial Advisor, is authorized to arrange for bond insurance if advantageous based on the advice of the Underwriter to be provided at a premium not to exceed 75 basis points of the amount of principal and interest payable in order to obtain the best possible rates and the most cost effective financing and is authorized to take all steps on behalf of the Board necessary to do so. Section 14. The Business Administrator/Board Secretary, with the advice of Bond Counsel, shall arrange for paying agent services or redemption agent services with a banking institution if any portion of the Bonds are term bonds requiring a sinking fund. Section 15. The Business Administrator/Board Secretary is also authorized and directed to pay the costs of issuance in connection with the sale of the Bonds pursuant to a certificate of the Business Administrator/Board Secretary to be executed upon delivery of the Bonds in an aggregate amount not to exceed the amount outlined in the Bond Ordinance. Section 16. The Business Administrator/Board Secretary shall take all steps necessary to call the Refunded Bonds on the Redemption Date, at par, plus any unpaid accrued interest thereon and to take all steps necessary for the investment of the proceeds of the Refunded Bonds necessary to arrange for such redemption. The Financial Advisor and/or the Underwriter, on behalf of the Board of Education, are authorized to reserve and purchase open market treasury securities and/or United State Treasury—State and Local Government Series (SLGs) for deposit with the escrow agent if required. All of the principal amount and interest earnings on the open market treasury securities and/or SLGs, as well as cash, if necessary, will be used to pay the interest due on the Refunded Bonds through the Redemption Date and pay the Redemption Price on the Refunded Bonds on the Redemption Date. The Board hereby authorizes the Business Administrator/Board Secretary to select a bank to serve as escrow agent based upon the recommendation of the Financial Advisor and authorizes the Business

Administrator/Board Secretary and/or Board President to enter into an Escrow Deposit Agreement with such escrow agent in order to provide instructions regarding the deposit of the open market treasury securities and/or SLGs and cash, if any. Section 17. The Board hereby authorizes the Auditor to serve as verification agent, if necessary, to confirm the accuracy of the arithmetical and mathematical computations supporting (i) the accuracy of the interest cost savings and the sufficiency of the amount in the escrow account to pay the interest due on the Refunded Bonds through the Redemption Date and pay the Redemption Prices on the Redemption Date; and (ii) the calculations of yield supporting the conclusion of Bond Counsel that the Bonds are not “arbitrage bonds” as such meaning is set forth in the Code. Section 18. The Board President, Superintendent, Business Administrator/Board Secretary and other appropriate representatives of the Board are hereby authorized to take all steps necessary to provide for the issuance of the Bonds and the redemption of the Refunded Bonds, including preparing and executing such agreements and documents on behalf of the Board and taking all steps necessary or desirable to implement the requirements of this resolution, such agreements, and documents as may be necessary and appropriate and the transactions contemplated thereby. Section 19. This resolution shall take effect immediately.
