By participating, you agree to these Official Rules and Sponsor’s decisions, which are final and binding in all respects and are not subject to appeal.

1. ELIGIBILITY. Must be a legal resident of the United States or Canada (excluding Quebec Province), 18 years of age or older and the age of majority in your residence. The Topps 70th Anniversary Instant Win Promotion (“Game” or “Promotion”) is void in Quebec Province, Puerto Rico, other U.S. territories outside of the 50 United States, and where prohibited by law. Employees, officers and directors (and their immediate families and same household members, whether related or not) of Sponsor, its parent, subsidiaries, affiliates, agencies and suppliers, retailers and distributors of Topps products and the MLB Entities (as defined below) are NOT eligible to participate or win a prize.

2. GAME SCHEDULE. Promotion starts February 10, 2021 and ends September 16, 2021, subject to the availability of packages of 2021 Topps Series I and Series II as well as the prize claim deadline of October 1, 2021. Sponsor projects/estimates that Series I will first be available for purchase on February 10, 2021; Series II is projected/estimated to be available for purchase on June 9, 2021. (The preceding dates exclude product availability in grocery/dollar stores.)

3. HOW TO PLAY. Look for a “70th Anniversary” ticket inside packages of Topps® 2021 Series I and Series II, while supplies last. Odds of obtaining a 70th Anniversary ticket in packages of Series I are as follows: hobby box: 1:370,382; hobby jumbo: 1:81,725; display box: 1:560,748; hanger pack: 1:163,872; gravity feed: 1:560,748; bulk packs: 1:560,748; bulk packs Walmart: 1:374,928; fat packs: 1:275,093; fat packs Walmart: 1:258,195;; tin Walmart: 1:165,223; collectible tin: 1:96,792; relic box: 1:1,128,281; relic box Walmart: 1:889,441; giant box Target: 1:800,368; monster box Walmart: 1:683,248. If you find a 70th Anniversary ticket inside the package, you are a potential prize winner, subject to Sponsor’s verification of the 70th Anniversary ticket, your eligibility, compliance with these Official Rules, and submission of your RSVP to Sponsor pursuant to the instructions printed on the 70th Anniversary Ticket by October 1, 2021. See Rule 5 below for additional information/restrictions.

4. NO PURCHASE NECESSARY. For a chance to obtain a 70th Anniversary ticket at the same odds, while supplies last, hand print your name and complete address on a 3 x 5 card.

For Series I: mail to NPN 2021 TOPPS BB 70th ANNIVERSARY SERIES 1 - NPN GROUP N, P.O. BOX 5013, SCRANTON, PA 18505, to be postmarked by May 12, 2021 and received by May 19, 2021.

For Series II: mail to NPN 2021 TOPPS BB 70TH ANNIVERSARY SERIES 2 - NPN GROUP N, P.O. BOX 5013, SCRANTON, PA 18505, to be postmarked by September 15, 2021 and received by September 22, 2021.

Only one card per envelope, mailed separately, No metered mail. Limit 10 requests per household: 5 request for Series I and 5 request for Series II. Failure to comply will result in request not being accepted. Cards become sole property of Sponsor and will not be returned. Receipt of cards will not be acknowledged.

Sponsor is not responsible for late, lost, illegible, incomplete, damaged, misdirected and/or postage due cards (all of which are void.)

Potential Canadian winners will be required to first correctly answer the mathematical skill-testing question.

For Series I: Include on a 3 x 5 card the answer to the following skill-test question: 9 X 9 + 3 – 15 = ?

For Series II: Include on a 3 x 5 card the answer to the following skill-test question: 8 X 7 + 5 – 10=?

5. ADDITIONAL INFORMATION: PRIZE CLAIM.

(a) Internet access and valid e-mail address are required for prize claim. Submission of prize claim is the sole responsibility of participant. Without limiting the foregoing, Sponsor is not responsible for late, lost, illegible/garbled, corrupted, incomplete, inaccessible/blocked, jumbled, damaged, unrecorded/improperly recorded, misdirected prize claims (all of which are void) or for any technological, electronic or programming error/malfunction/failure in conjunction with the submission of prize claim. Prize claims become sole property of Sponsor and will not be returned. Receipt of prize claim will only be acknowledged if 70th Anniversary ticket is verified by Sponsor as being authentic. You must retain your physical 70th Anniversary ticket for purposes of 70th Anniversary ticket serial code verification. Failure to present your 70th Anniversary ticket upon the request of Sponsor (including at the event) may result in your disqualification and forfeiture of the prize.

(b) If Sponsor determines, in its sole discretion, that 70th Anniversary ticket is not valid (for example, 70th Anniversary ticket is irregular, altered, defaced, forged, contains mechanical/printing/other error[s] or has been tampered with in any way) or if 70th Anniversary ticket was not obtained through authorized, legitimate channels, the prize claim including 70th Anniversary ticket will be rejected and Sponsor will have no liability or obligation with regard to same under any legal theory. Any attempt to forge a 70th Anniversary ticket or otherwise falsify a prize claim constitutes tampering as per Rule 10A.

(c) If Sponsor verifies the authenticity of 70th Anniversary ticket, potential prize winner will be notified by e-mail, mail or phone. Potential prize winner must sign and return an affidavit of eligibility, a liability release and a publicity release (where lawful) within two (2) days of receipt of such documentation from Sponsor (or such shorter time period as may be designated by Sponsor). In the event of noncompliance with this requirement, if potential prize winner cannot be contacted for any reason; if potential prize winner is determined by Sponsor to be ineligible or otherwise in violation of these Official Rules; potential prize winner will be disqualified, and the prize will be forfeited without liability of any kind.

(c) Winner determination will take place at Sponsor’s offices in New York, New York USA.

(d) If, for any reason, more than 25 70th Anniversary tickets are redeemed as valid prize claims for Series I and/or Series II, a random drawing will be held from among all eligible prize claimants to award only 25 prizes for Series I and/or 25 prizes for Series II. In no event will more than 25 prizes in Series I and Series II (i.e., 50 prizes in total) be made available to be won in the Promotion. ANY UNCLAIMED OR FORFEITED PRIZES WILL NOT BE AWARDED.

6. PRIZES: (50) – admission for winner and one (1) guest to Sponsor’s private catered event in Las Vegas, Nevada, scheduled for November 2021 (exact date to be determined), as well as standard hotel accommodations (one room to be shared by winner and guest) in Las Vegas, Nevada for the night of the event. Approximate Retail Value for each Prize: $750 (USD). (If actual value is less than $750, winner will not receive the difference in cash or otherwise.) Total Approximate Retail Value of All Prizes: $37,500.

7. PRIZE RESTRICTIONS.

(a) Winner must be available to attend the private event on the date to be determined in November 2021; if winner cannot do so for any reason, prize will be forfeited. Travel to and from Las Vegas, Nevada, valid passport (for any potential Canadian winner), and all other unspecified expenses (including, without limitation, travel to and from the event location, lodging for any night other than the night of the event, and food and beverages outside of the event) are the sole responsibility of winner.

(b) Limit of one (1) prize per person, family or household.

(c) Guest of winner (if a minor, his/her parent or legal guardian) must sign and return a liability release and publicity release (where lawful) prior to prize award. If guest is a minor, the winner must be his/her parent or legal guardian. If winner chooses to accept the prize without a guest, prize will consist of event admission and hotel stay for winner alone and no alternate prize or compensation will be awarded.

(d) Event tickets are not for re-sale. Prize is subject to availability and additional restrictions. Event may include appearances by special guests but Sponsor makes no representation, warranty or guarantee about the identify, nature, or appearance of any such guest. Please review Section 10(c) below, which describes how a force majeure event, such as an epidemic or pandemic, might affect the prize.

(e) Sponsor makes no representation, warranty or guarantee that food and/or beverages served at the event will conform to the dietary restrictions of winner and/or guest. Sponsor disclaims any liability under any legal theory should such food/beverages not be acceptable to winner and/or guest for any reason.

(f) Winner and guest must conduct themselves at all times in an appropriate, well-behaved and courteous manner in conjunction with prize acceptance, including attendance at event and interacting with special guests (assuming special guests attend the event). Should Sponsor determine that winner and/or guest failed to do so, the prize will be terminated including ejection from the event for winner and/or guest (as applicable). In such instance, Sponsor will not have any further liability to winner and/or guest (as applicable); and, Sponsor further reserves the right to pursue legal sanctions against winner and/or guest.

(g) Taxes on prize are winner’s sole responsibility. Receipt of prize will be reported to the U.S. Internal Revenue Service via IRS 1099 Tax Form or similar documentation reflecting the fair market value of same. Winner further agrees to fully cooperate with Sponsor relative to its compliance with such governmental reporting requirements. Canadian prize winners may be responsible for U.S. foreign withholding tax on value of prize won.

(h) Prizes (as well as 70th Anniversary tickets) are not transferable without the consent of Sponsor, which may be granted or withheld in its sole discretion and without liability. No prize substitution or cash equivalent of any prize except that Sponsor reserves the right to substitute a prize in whole or in part (to the extent applicable) for an alternative prize of comparable value for any reason.

8. RELEASE AND INDEMNIFICATION: By participating in the Promotion, you release, indemnify, and agree to hold harmless The Topps Company, Inc., MLB Entities, their respective parent companies, affiliates, divisions, subsidiaries, associated entities and the directors, officers, agents, shareholders, representatives, employees, successors and assigns of any of the above organizations, from any and all claims and liability associated (directly or indirectly, in whole or in part) with your participation in the Promotion, your participation in any Promotion-related activity, any typographical errors or omissions in any Promotion materials, and the receipt, acceptance, possession or use/misuse of prize or 70th Anniversary ticket. By accepting prize, where permitted by law, winner grants Sponsor and its designees the right to print, publish, broadcast and use winner’s name, portrait, picture, voice, likeness and biographical information for advertising, trade and promotional purposes without additional compensation or notice.

10. CONDITIONS OF PARTICIPATION:

(a) Any attempt to undermine the intended operation of the Promotion, violation of these Official Rules and/or to defraud Sponsor (including but not limited to submission of prize claim) will result in disqualification from the Promotion, possible prohibition from participation in future Topps promotions and/or the imposition of legal sanctions.

(b) The failure of Sponsor to enforce any provision of these Official Rules in a given circumstance shall NOT constitute the waiver of such provision.

(c) Force Majeure. If, for any reason and in Sponsor’s sole determination, the Promotion (or any part thereof) is not capable of running as planned or the prize is not capable of being awarded by reason of any causes beyond the control of Sponsor which, in the sole opinion of Sponsor, could corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion (a natural cataclysm, riot, labor strike or stoppage, pandemic, epidemic, government order, civil commotion or other event which interferes with the conduct of the Promotion), Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion and conduct the Promotion, making the prizes available in a manner which is fair, equitable and in accordance with these Official Rules, as determined by Sponsor in its sole discretion, and to modify the prize in any respect, including but not limited to changing the date or location of the prize or modifying or cancelling any activities comprising the prize. Notice of such action by Sponsor will be posted at www.topps.com/promotions. Neither Sponsor nor MLB Entities will be liable to the prize winner for any modifications or cancellations of the Promotion or prize resulting from a force majeure event. Sponsor is not obligated to provide any cash or prize equivalent for any cancelled or modified component of the prize. Sponsor reserves the right to cancel the prize in its entirety and provide a substitute cash prize to the winner equal to the prize’s approximate retail value.

(d)Winners’ List. For names of winners, send a self-addressed stamped envelope to The Topps Company, Inc., c/o Marketing Dept., One Whitehall Street, 6th Floor, New York, NY 10004 USA to be received by November 29, 2021. Canadian residents only may omit return postage

11. DISPUTE RESOLUTION/GOVERNING LAW/WAIVER OF JURY TRIAL

To the fullest extent permitted by law, by participating in the Promotion, you agree that: (a) any action at law or in equity arising of or relating to these Official Rules or the rights and obligations of any participant and/or The Topps Company, Inc. shall be filed in either the courts of the State of New York, County of New York (USA) OR the U.S. District Court for the Southern District of New York and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action (and expressly waive any right of change of venue, forum non conveniens or any like right), AND ANY RIGHT TO A TRIAL BY JURY AND A TRIAL BY JURY IS HEREBY WAIVED, (b) any and all disputes, claims, and causes of action arising out of or connected with these Official Rules, and/or the rights and obligations of any participant and/or The Topps Company, Inc., shall be resolved individually, without resort to any form of class action, and (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred (if any), including costs associated with participating in this Promotion but in no event attorneys' fees; and (d) under no circumstances will any participant be permitted to obtain awards for and hereby waives all rights to claim punitive, exemplary, special, incidental, indirect and consequential damages and any other damages (whether due to negligence or otherwise), other than for actual out-of-pocket expenses (if any), and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, the Promotion or the rights and obligations of any participant and/or The Topps Company, Inc. shall be governed by and construed in accordance with the laws of the State of New York (USA), without giving effect or regard to any principles or doctrines of conflicts of law/choice of law of the State of New York or of any other jurisdiction.
