The following Ordinance was offered by Commissioner Cognevich who moved its adoption:

1 An Ordinance to amend and as amended re-adopt Rule 1 in Chapter I of Section 2- 2 18 of the Code of Ordinances for Plaquemines Parish relative to the Plaquemines 3 Port, Harbor & Terminal District; to rescind, annul and set-aside Ordinance Nos. 4 19-37 and 16-46; and otherwise to provide with respect thereto. 5 6 WHEREAS, over the years, the location, time and numbers meetings each month the Plaquemines, 7 Port, Harbor & Terminal District meetings are held have changed via Ordinance Nos. 19-37 and 8 16-46; and 9 10 WHEREAS, currently Rule 1 of Section 2-18 in Chapter I of the Code of Ordinances provides for 11 the Plaquemines Parish Council as the Sole Governing Authority of the Plaquemines Port, Harbor 12 & Terminal District to meet twice a month at certain locations at 1:00 p.m. or immediately before 13 the Plaquemines Parish Council meetings; and 14 15 WHEREAS, it is the desire of this Council to schedule the meetings of the Plaquemines Port, 16 Harbor & Terminal District at 5:00 p.m. or immediately before the Plaquemines Parish Council 17 meetings; 18 19 NOW, THEREFORE: 20 21 BE IT ORDAINED BY THE PLAQUEMINES PARISH COUNCIL AS THE SOLE 22 GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL 23 DISTRICT THAT: 24 25 SECTION 1 26 27 Rule 1 of Chapter I of Section 2-18 of the Code of Ordinances for Plaquemines Parish, LA shall 28 be amended and, as amended, re-adopted to read as follows: 29 30 “Rule 1. The council, as the sole governing authority of the Plaquemines Port, Harbor and Terminal 31 District, shall meet at 1:00 5:00 p.m., or immediately before the regularly scheduled council 32 meeting, or whichever comes first, on the second and fourth Thursdays of each month. On the 33 second Thursday of each month the meeting will be held in the Belle Chasse Council Chambers 34 located at 333 F. Edward Hebert Blvd., Bldg. 203, Belle Chasse, LA 70037. On the fourth Thursday 35 of each month the meeting will be held in Percy Griffin Community Center, located at 15577 Hwy. 36 15, Davant, LA 70040. When the Pointe-a-la-Hache Courthouse is completed and ready for 37 occupancy the meetings on the fourth Thursday of each month will be held in the Courthouse 38 located at 18039 Highway 15, Pointe-a-la-Hache, LA 70082. The Port Chairman, or the Port Vice- 39 Chairman in his absence or incapacity, shall have the authority to call special meetings of the 40 Council as the sole governing authority of the Plaquemines Port, Harbor and Terminal District. It 41 is further provided that a two-thirds (2/3) majority of the members of the council as the sole 42 governing authority of the Plaquemines Port, Harbor and Terminal District shall have the authority, 43 by written message to the council secretary, to issue a call for a special meeting of the council as 44 the sole governing authority of the Plaquemines Port, Harbor and Terminal District. The council as 45 the sole governing authority of the Plaquemines Port, Harbor and Terminal District, may meet at 46 such other sites, times and days within the boundaries of the parish as it may desire provided notice 47 is given in accordance with all applicable portions of R.S. 42:7.” 48 49 SECTION 2 50 51 The two meetings a month schedule will be implemented beginning the month of January 2020. 52 53 SECTION 3 54 55 Ordinance Nos. 19-37 and 16-46 are hereby rescinded, annulled and set-aside. 56 57 58 59 SECTION 4 60 61 The Secretary of this Council is hereby authorized and directed to immediately certify and release 62 this Ordinance and that Port employees and officials are authorized to carry out the purposes of 63 this Ordinance, both without further reading and approval by the Plaquemines Parish Council. 64 ORDINANCE NO. 19-

The following Ordinance was offered by Commissioner Rousselle who moved its adoption:

1 An Ordinance to rescind, annul and set-aside Ordinance No. 13-92 which 2 authorized the Port Chairman to negotiate and enter into a Cooperative Endeavor 3 Agreement between the Plaquemines Parish Government and the Plaquemines Port, 4 Harbor & Terminal District for sharing and/or use of each other’s assets, resources 5 and personnel to maintain the security and protection of life and property in areas 6 within the jurisdiction of the Port and Plaquemines Parish; and otherwise to provide 7 with respect thereto. 8 9 NOW, THEREFORE: 10 11 BE IT ORDAINED BY THE PLAQUEMINES PARISH COUNCIL AS THE SOLE 12 GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL 13 DISTRICT THAT: 14 15 SECTION 1 16 17 Ordinance No. 13-92 is hereby rescinded, annulled and set-aside. 18 19 SECTION 2 20 21 The Secretary of this Council is hereby authorized and directed to immediately certify and release 22 this Ordinance and that Port employees and officials are authorized to carry out the purposes of 23 this Ordinance, both without further reading and approval by the Plaquemines Parish Council. 24 ORDINANCE NO. 19-

The following Ordinance was offered by Commissioner Rousselle who moved its adoption:

1 An Ordinance creating a policy in which the Port Administration shall update the 2 shared drive on a monthly basis; and otherwise to provide with respect thereto. 3 4 WHEREAS, in the past, the Port Administration would provide documentation to the Port 5 Chairman who would place the documents on the shared drive in order for all Commissioners to 6 have access to the information; and 7 8 WHEREAS, in an effort to increase efficiency and continuity, it is the desire of this Council to 9 have the Port Administration directly place in the documents on the shared drive; 10 11 NOW, THEREFORE: 12 13 BE IT ORDAINED BY THE PLAQUEMINES PARISH COUNCIL THAT: 14 15 SECTION 1 16 17 It creates a policy in the Port Administration shall update the share drive on a monthly basis. 18 19 SECTION 2 20 21 The Secretary of this Council is hereby authorized and directed to immediately certify and release 22 this Ordinance and that Port employees and officials are authorized to carry out the purposes of 23 this Ordinance, both without further reading and approval by the Plaquemines Parish Council. 24 R E S O L U T I O N NO. 19-

The following Resolution was offered by Commissioner Barthelemy who moved its adoption:

1 A Resolution to amend and as amended readopt Resolution No. 19-73, dated 2 February 28, 2019, with regards to the agreement for Information Technology 3 Services with Intelligent Transportation Systems LLC for the provision of IT 4 services; and otherwise to provide with respect thereto. 5 6 WHEREAS, Resolution No. 19-73, dated February 28, 2019, authorized the Plaquemines Port, 7 Harbor & Terminal District to enter into a contract for IT Services with Intelligent 8 Transportation Systems, LLC., to design, install and maintain the Port District’s security system 9 to include hardware, software, network communications, and other IT tasks are needed; and 10 11 WHEREAS, the original agreement was for one year and not exceed $125,000.000; and 12 13 WHEREAS, due to an unforeseen equipment failure it is necessary to increase this agreement 14 amount by $35,000 through the contract period ending 12/31/2019; 15 16 NOW, THEREFORE: 17 18 BE IT RESOLVED, BY THE PLAQUEMINES PARISH COUNCIL AS THE SOLE 19 GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL 20 DISTRICT THAT it hereby amends Resolution 19-73 by authorizing Maynard J. “Sandy” 21 Sanders, Executive Director of the Plaquemines Port Harbor & Terminal District to amend the 22 agreement with Intelligent Transportation Systems LLC., in the amount of $35,000 due to 23 equipment failure through the contract period ending on December 31,2019. 24 25 BE IT FURTHER RESOLVED, BY THE PLAQUEMINES PARISH COUNCIL AS THE 26 SOLE GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & 27 TERMINAL DISTRICT THAT the Secretary of this Council is hereby authorized and directed 28 to immediately certify and release this Resolution and that Port employees and officials are 29 authorized to carry out the purposes of this Resolution, both without further reading and approval 30 by the Plaquemines Parish Council. 31 RESOLUTION NO. 19-73

On motion of Commissioner LaFrance, seconded by Commissioner Guey, and on roll call all members present and voting "YES", except Commissioners Barthelemy and Newberry who were "ABSENT", the following Resolution was adopted.

A Resolution authorizing Maynard J. "Sandy" Sanders, Executive Director of the Plaquemines Port, Harbor & Terminal District to enter into an agreement for Information Technology Services with Intelligent Transportation Systems LLC for the provision of IT services; and otherwise to provide with respect thereto.

WHEREAS, professional services related to design, installation, and maintenance of the Plaquemines Port, Harbor & Terminal District's security system to include hardware, software, network communications, and other IT tasks are needed; and

WHEREAS, the agreement is for one year and shall not exceed $125,000.000; and

WHEREAS, the current agreement will be in accordance with state contracts #4400007102 and #4400004785; and

WHEREAS, it is the desire of the Plaquemines Port, Harbor & Terminal District to contract for professional services regarding IT services with Intelligent Transportation Systems LLC from January 1,2019 through December 31,2019;

NOW, THEREFORE:

"Sandy" Sanders, Executive Director of the Plaquemines Port, Harbor & Terminal District enter into an agreement, Intelligent Transportation Systems LLC to provide IT services for aperiod of one year ending on December 31,2019, not to exceed $125,000.00, without prior approval of the Plaquemines Parish Council as the sole governing authority of the Plaquemines Port, Harbor and Terminal District.

THIS GENERAL SERVICE AGREEMENT (the "Agreement") dated this _ day of 2019 and in accordance with State Contracts#4400007102 and#4400004755 BETWEEN:

CLIENT Plaquemines Port, Harbor and Terminal District Hwy 23 Belle Chasse, La. 70037 (the "Client)

and CONTRACTOR Intelligent Transportation Systems LLC 20405 Highland Road Baton Rouge, La.70817 (the "Contractor")

BACKGROUND

The Client is of the opinion that the Contractor has the necessary qualifications, experience and abilities to provide services to the Client.

The Contractor is agreeable to providing such services to the Client on the terms and conditions set out in this Agreement.

IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this Agreement, the receipt and suffrciency of which consideration is hereby acknowledged, the Client and the Contractor (individually the 'oParty" and collectively the "Parties" to this Agreement) agree as follows:

SERVICES PROVIDED

The Client hereby agrees to engage the Contractor to provide the Client with the following services (the "Services"):

Provide professional services related to design, installation, and maintenance of the Plaquemines Port, Harbor and Terminal District's security system to include hardware, software and network communications.

The Services will also include any other tasks which the Parties may agree. The Contractor hereby agrees to provide such Services to the Client. TERM OF AGREEMENT

The term of this Agreement (the "Term") will effective as of January 1,2019 and will remain in full force and effect until December 31,2019.

In the event that either Party wishes to terminate this agreement, that Party will be required to provide 30 days' written notice to the other Party.

In the event that either Party breaches a material provision under this Agreement, the non- defaulting Party may terminate this Agreement immediately and require the defaulting Party to indemnifr the non-defaulting Party against all reasonable damages.

This Agreement may be terminated at any time by mutual agreement of the Parties.

Except as otherwise provided in this Agreement, the obligations of the Contractor will end upon the termination of this Agreement.

The Contractor will charge the Client for the Services at the per hour labor rates below:

The Client will be invoiced every month. Total payments under this agreement shall not exceed $125,000.00 annually.

CONFIDENTIALITY

Confidential information (the "Confidential Information") refers to any data or information relating to the business of the Client which would reasonably be considered to be proprietary to the Client including, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of the Client and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.

The Contractor agrees that they will not disclose, divulge, reveal, report or use, for any pu{pose, any confidential information which the Contractor has obtained, except as authorized by the Client or as required by law. The obligation of confidentiality will survive termination of the Contract, and continue without limit as to time.

All written and oral information and material disclosed or provided by the Client to the Contractor under this Agreement is Confidential Information regardless of whether it was provided before or after the date of this Agreement or how it was provided to the Contractor.

Breach of confidentiality shall be deemed per se damaging to Client and such breach shall include grounds for seeking an immediate injunction, and for any and all actual damages, including but in no way limited to attorneys' fees and costs incurred in enforcement of such confidentiality.

CAPACITY/INDEPENDENT CONTRACTOR

In providing the Services under this Agreement it is expressly agreed that the Contractor is acting as an independent contractor and not as an employee. The Contractor and the Client acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service. The Client is not required to pay, or make any contributions to, any social security, local, state or federal tax, unemployment compensation, workers' compensation, insurance premium, profit-sharing, pension or any other employee benefit for the Contractor during the Term. The Contractor is responsible for paying, and complying with reporting requirements for, all local, state and federal taxes related to payments made to the Contractor under this Agreement.

INDEMNIFICAITON

Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, each Party agrees to indemnify and hold harmless the other Party, and its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with the Agreement. This indemnification will survive the termination of this Agreement.

MODIFICATION OF AGRE,EMENT

Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorized representative ofeach Party.

1 A Resolution adopting the addition to the Personnel policies for Plaquemines 2 Port, Harbor & Terminal District (the Port); and otherwise to provide with respect 3 thereto. 4 5 WHEREAS, the accounting firm of Camnetar & Co., has made the recommendation that the 6 Plaquemines Parish Council as the sole governing authority of the Plaquemines Port, Harbor & 7 Terminal District formerly adopt the additions to the Operating policies for the Port; and 8 9 WHEREAS, Resolution No. 14-223, adopted the Operating policies in order to enhance the 10 Operating Procedures and controls for the Port; 11 12 NOW THEREFORE: 13 14 BE IT RESOLVED BY THE PLAQUEMINES PARISH COUNCIL AS THE SOLE 15 GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL 16 DISTRICT THAT it hereby establishes the attached additions to the Vehicle Use Policy and 17 Ethics Policy to the Operating Policies of the Port. 18 19 BE IT FURTHER RESOLVED BY THE PLAQUEMINES PARISH COUNCIL AS THE SOLE 20 GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL 21 DISTRICT that it does herby authorize the Executive Director of the Plaquemines Port, Harbor 22 & Terminal District to amend and update the attached policies as may be needed keeping within 23 the laws of the State of Louisiana. 24 25 BE IT FURTHER RESOLVED BY THE PLAQUEMINES PARISH COUNCIL AS THE SOLE 26 GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL 27 DISTRICT that the Secretary of this Council is hereby authorized and directed to immediately 28 certify and release this Resolution and that Port employees and officials are authorized to carry 29 out the purposes of this Resolution, both without further reading and approval by the 30 Plaquemines Parish Council. 31 Port Vehicle Use Policy Updated 7/1/2019 Operating of a Port vehicle is both a privilege and a responsibility. All Employees shall comply with State and Federal laws as well as Port policy, procedures, rules and orders governing vehicles, their care and operation. Violation of these laws and Port Policy rules will result in the removal of your driving privileges and possible termination. Driver Responsibilities -Employee must maintain a proper and current Louisiana driver’s license. -Eligible drivers are responsible for driving their vehicle in a safe and professional manner and abide with all driving laws. -Port employees are not permitted to drive Port vehicles in the event their license has been revoked, suspended, expired or otherwise impeded. -If for any reason, an employee’s driver’s license is revoked, suspended, or restricted, it is MANDATORY that the Director of Administration be notified immediately.

-If for any reason, the Port insurance carrier excludes a Port employee from driving a Port assigned vehicle, the employee will be required to acknowledge that he/she is an excluded driver and forbidden to drive any Port vehicle, and/or in the case of a contract employee, required to provide their own transportation. -No person other than the employee assigned to the vehicle shall operate the vehicle unless that person is an employee of the Port AND is on the approved driver list. -Employee family members are not permitted to drive Port Vehicles. -Insurance ID cards are to be kept in the glove box at all times. -The driver must make sure that the vehicles and/or toolboxes remain locked and equipment in the bed is reasonably stored or secured as to prevent theft. -Firearms are not permitted in Port Vehicles, Vessels or on Port Property doing so will result in termination. Safety Guidelines -State law and Port Policy require that seatbelts be worn by all drivers and passengers at all times. -Possession, transportation or consumption of alcohol or illegal drugs by anyone in the vehicle is not allowed. Violation of this policy will result in termination. -Employees who are taking prescription medication containing narcotics or tranquilizers need a doctor’s written approval to operate any Port vehicle or equipment. Employees are strongly encouraged to pull over at a safe location to have cell phone conversations. -No smoking in Port vehicles while other employees and/or officials are present. Traffic Violations / Citations -ANY citations/tickets received in Port vehicles should be reported IMMEDIATELY to the Director of Administration and will be the financial responsibility of the Employee operating the vehicle when violation occurred. -Employees who drive or take home a vehicle are responsible for all parking fines and violations. -Confirmation of payment is to be provided to the Director of Administration. -Any driver with a violation associated with alcohol or drugs will be prohibited from driving a Port vehicle until the State reissues a current and valid driver’s license. This type of violation may also be grounds for immediate termination at the discretion of management. ALL incidents/collisions/accidents will be reported to the Port’s insurance carrier. Maintenance -Keep vehicle clean and in working condition at all times. -Report any mechanical problems with your vehicle immediately to your supervisor. Regular scheduled maintenance on Port Vehicles will be paid for by the Port; however, having this maintenance performed will be the responsibility of the assigned driver.

81 -Maintenance logs should remain in each vehicle noting date of service, the vehicle mileage at the time of service, and the service accomplished. Accurate record keeping is the responsibility of the assigned driver. Failure to maintain accurate records may result in your driving privileges being suspended. Personal Use of Port Vehicle -Port owned vehicles are intended to be used for Port business only. -Louisiana State Law as well as Port policy prohibits the personal use of a Port vehicle unless the employee is in a work position which requires the employee to respond to emergencies on a 24-hour availability in a Qualified Vehicle (Limited to the Director of Port Security and Vessels, Marine Inspectors, and the Port Marine Diesel Mechanic.) or Non-Security personnel as approved by the Executive Director. Port Qualified Vehicles are those vehicles clearly marked with Port logo and used as fire and public safety officer vehicles and/or specialized utility repair trucks used to maintain the Port Fire and Rescue boats within the Port jurisdiction. -Personal owned trailers, including boat and recreational vehicles, are not to be towed using Port Vehicles at any time. In addition, hauling personal items, i.e., appliances, furniture, personal construction materials, etc., is prohibited. -In the event your personal property should become damaged due to accident or other loss, the employee will be responsible for the damage to their personal property and not covered by the Port. -The employee will also be responsible for any damage to Port Vehicles incurred as a result of the accident, collision or incident that occurs during non-business use, AND, will be responsible for the $1000 deductible for collision coverage which will be the financial responsibility of the employee regardless of who is a fault. -Evening and weekend travel is prohibited unless conducting Port business after normal business hours. Reporting Personal Use of Port Vehicle The IRS regulations state that commuting to work is not business use, it is personal use. -Non-security personnel* will be taxed for the fringe benefit of an employer-provided vehicle and the benefit will be reported annually on the employees W-2 form. -The Port uses the Annual Lease Value method for calculating these benefits for all employer provided vehicles to Non-Security personnel pursuant to the Internal Revenue Service guidelines found in Publication 15-B, Employer’s Tax Guide to Fringe Benefits. *Non-Security personnel- not required to respond to emergencies on a 24-hour basis. -The value of the personal use must be based on the Fair Market Value (FMV) of the employer provided vehicle as determined by IRS Publication 15-B, Table 3-1. -The Annual Lease Value (ALV) is multiplied by the percentage of personal miles out of total miles driven by the employee. 82 -If the employer provided vehicle is received during the calendar year, the ALV will be pro-rated for the time the employee has the vehicle for use.

-In addition, the Port will also include the value of fuel usage based on the personal mileage calculation of the ALV, times the IRS rate (pursuant to IRS Publication 15-B) currently at .055 per mile.

-Maintenance, repairs and automobile insurance costs will not be included in these calculations.

Account Maintenance

Currently the Port utilizes Public Funds Analyzed Checking accounts for their depository needs. The current Earnings Credit Rate on the Public Funds Analyzed Checking is 0.25%.

We propose transitioning all accounts to Public Funds Net Interest Checking accounts. Net Interest Checking accounts are a hybrid of an Analyzed Checking and Interest Checking account. The balances are first used to offset all Analysis Fees and then any excess balances automatically earn interest. This ensures the Port is maximizing the benefit of their depository balances without the worry of transferring balances from non-interest bearing to interest bearing accounts.

The proposed Earnings Credit Rate for the Net Interest Checking account will be 0.90% and the proposed Interest Rate will be 80% of the Fed Funds Target Rate, currently 1.40% (the current Fed Funds Target Rate is 1.75%).

Checks Paid

Cancelled checks will be returned to the Port according to your specifications, as check images.

Checks processed by the bank are also available in electronic format (CD-ROM). Software is provided by the bank and allows for search options by different information on the check with print options for both the front and back of the document.

Positive Pay is a fraud detection tool that helps you identify counterfeit, amount-altered or payee altered checks. Positive Pay is similar to Full Reconcilement, except the matching process is conducted daily, the results are reported to you online, and a “disposition” tool exists within the product to allow you to accept the item as legitimate or return it to the depositor.

Checks Deposited

The Port may make deposits at any of our branch locations. Deposit bags and night deposit services will be made available to the Port.  QUICK DEPOSIT Enhancement / Alternative:

Regions Quick Deposit product enables commercial customers to electronically capture the checks they have received, convert them to check images and transmit those images to the bank as deposits. Regions Quick Deposit uses a process of check image conversion enabled by the Check Clearing for the 21st Century Act, most often referred to as Check 21.

At most entities, an employee has the daily task of gathering payments received, creating a deposit and taking it to the bank. Regions can help you streamline this process by allowing you to scan checks in your own office and then deposit them to your Regions account via the Internet. Submitting your deposits electronically eliminates the time and expense of daily trips to the bank. Also, since your deposits would be received directly into our check-processing center and would not have to be transported from a branch, you would have the advantage of a later deposit cutoff time.

Stop Payments

Regions Bank will accept stop payments upon request, from authorized Port personnel. Stop payments may be entered through iTreasury, our on-line banking system.

Stop payments may be processed and verified by Plaquemines Port, online via iTreasury our online banking system without any paper follow-up document required. Regions’ stop payment verification process examines 90 days of history. Stop payments may, also, be placed by telephone to our Commercial Client Services group. Stop Payments must be issued by 6 pm CST for same day action.

Stop Payments are posted immediately and effective within 24 hours. Stop Payments can be posted on a range of amounts or a range of checks and are effective for six (6) months.

Alternatively, checks can be voided through the Positive Pay System. Once voided, the checks will be returned upon presentation.

Returned Checks

With Regions Return Item Processing Service you will have the following options:

 Option to take possession of Return Items the first time they are returned or to have them automatically re-deposited for a second attempt at collection

 Option to have Return Items converted to electronic debits for collection via ACH; this separately enrolled option is considered an Electronic Check Recovery service

As part of the Electronic Check Recovery service, your returned checks are imaged and made available online - via a designated web site -- for you to review. This is done by the morning following the day the item is processed in our Returns department. Return Item transactions are listed as a single daily total on the DDA statement history and online banking. Separately enrolled reporting can provide individual detail.

Special reporting for Return Items can include the following details: • Date of original deposit • Amount of original deposit • Drawee check number • Drawee checking account • Maker name

Regions will utilize an outside vendor to provide this service. There is no charge for the service.

Item Imaging

We offer check and deposit imaging. Details of our imaging offering follows:

Commercial check imaging is available to all clients, whether they are utilizing ARP (Account Reconcilement Process) or Positive Pay services. This service allows clients to view paid or deposited items via the Internet (iTreasury or CCI Archive), CD or DVD. Typically, CD and DVDs are mailed at the end of each month. ARP clients will receive their image media with their reconciliation package. However, NON ARP (NARP) client’s image media will be mailed separately.

There is a self-extracting Commercial Check Imaging CD/DVD Viewer used to view CD check images. The Check image viewers allow clients to easily research, print and archive check images.

Each CD contains images for the current month or cycle along with a rolling 6 month index which identifies the checks loaded onto the previous 5 months worth of CDs. If you search for a check that’s not on the current CD but is on a previous CD, you will be prompted to enter the correct CD containing that check image being requested.

Viewer Functionality: • Search Fields – Account, Date, Check/Deposit, Amount search ranges • Zoom – Magnify and De-Magnify • Rotate Image – Rotate Clockwise and Rotate Counter Clockwise • Printing – Clients can choose to print front, back, or both and choose how many checks per page

Paid Image Archive – This service is a web-based seven year archive. Regions Bank provides a bulk file imaging solution. This solution allows you to receive an electronic file containing data which can be converted to images which further allows you to use your propriety software for viewing your paid check images.

Bulk File Imaging is used if you: • Want to view check images using your proprietary image viewer, or • Receive a large number of images which exceeds the number accommodated by a few CDs or a DVD, or • Want to receive only images and not the Check Image Viewer which is pre-loaded to each Imaging CD, or • Are interested in receiving your images via bulk file in addition to (or instead of) a CD, DVD, iTreasury, or the 7 year long term check image archive.

Fraud Detection Tools

Regions Bank can offer our Positive Pay service for protection against fraud arising from counterfeit or amount-altered checks.

Regions’ Positive Pay options include:

Next Day Positive Pay Service: This feature of the Account Reconcilement service enables your company to maintain a cumulative checks-issued database (account number, check number, issue date, and dollar amount) on file with Regions Bank to verify paid checks daily. With this service you provide Regions with a check issue file as soon as checks are written/issued and each check that attempts to clear the account is compared with this information. Regions will correct any encoding errors or MICR line misreads. If a check is not on your database or differs in the amount, we will notify you of the exception the next business day morning via Regions iTreasury online banking service. Positive Pay exception data is available at approximately 9:30 AM CT. Customer dispositions are due by 2:00 PM CT.

Same Day Positive Pay Service: If your company checks are written on a Controlled Disbursement account, Regions will compare the items being presented against the check issue file on hand beginning the same business day. You may begin viewing any unmatched items as early as 3:30 pm CT/4:30 pm ET prior to the items posting. If the decision to pay/no pay is not completed by 2:00 pm CT/3:00 pm ET the next business day (the business day following posting), Regions will default to your pay/no-pay decision you chose upon implementation.

Because of the time sensitivity of the information, we require that all check issue database for Next Day Positive Pay and Same Day Positive Pay services be sent via direct transmission or through iTreasury.

Reverse Positive Pay Service: This feature of the Account Reconcilement service enables your company to maintain a cumulative checks-issued database in your company’s systems. Each business day, Regions will provide a file of the items that have been posted either via direct transmission or a download from iTreasury by 9:30 am CT/10:30 am ET. You will match items paid with items issued. If paid-no-issue or altered items are detected, notify Regions via iTreasury by 2:00 pm CT/3:00 pm ET to return the items.

Positive Pay can protect you against most manners of counterfeit including duplicate or amount altered checks. At month end, Regions can provide you with numerous Reconciliation Reports designed to meet your needs.

Teller Line Positive Pay Service: Checks-issued data is interrogated during DDA posting and during check encashment at the teller line, providing enhanced opportunities to trap unauthorized items.

Payee Name Verification Service: Payee Name Verification provides an extra level of protection and is used to help prevent check fraud created when the payee name is altered on checks presented to the bank. Next day or Same day Positive Pay is required.

With Positive Pay, the checks paid data is matched against the checks issued data daily to insure checks have not been altered or counterfeited. Any “suspect” item (check) is reported via iTreasury, our online banking system.

Here’s how it works:  Clients send the bank a file of checks before they are distributed to payees.  As checks come to the bank, verification occurs that the check number and check amount match the checks included in the file provided by the client.  Sometimes checks do not match because they are encoded improperly or because the MICR line is misread.  Errors are automatically corrected and the remaining exceptions are sent to the client to address.  The client then informs the bank which checks they would like returned and which they would like for us to pay.

 ACH Protection Services

Regions Bank can offer our ACH Alert service for protection against fraud arising from unauthorized ACH activity.

ACH Alert is our new solution to facilitate immediate detection of ACH fraud with an automated dispute resolution and return process. Regions ACH Alert is a web-based service that facilitates the detection of Automated Clearing House (ACH) fraud. ACH Alert will monitor the Port’s account and compare the activity to a list of ACH debits that have been pre-authorized by the Port. If any unrecognized ACH debits arrive, ACH Alert will send an email, enabling you to detect and return any unauthorized or fraudulent transactions.

ACH Alert enhances the Regions Positive Pay tool set providing for an all encompassing fraud protection package.

How ACH Alert Works

The ACH Network allows clients to bypass traditional paper payments and use electronic payments. While the growth of electronic payments has been a positive development for companies, it has also presented a new risk to manage – ACH payment fraud. Regions ACH Alert works in tandem with clients’ internal controls to reduce exposure to ACH fraud. Clients provide a list of transactions which are allowed to post, thus rejecting all unauthorized ACH debits. Per regulations, corporate accounts must identify and return unauthorized ACH transactions within 24 hours after posting. Based upon the client’s elected configurable notification parameters, email alerts are generated and sent to the client when an ACH debit has been posted.

ACH Alert enables ACH debit activity to be monitored ACH Alert also allows clients to pre-authorize specific ACH debits to their accounts. Each business day, ACH Alert will provide a list of all ACH debit activity for the client’s review. If any unrecognized ACH debits are detected, ACH Alert will send email notifications to designated ACH Alert users.

ACH Alert allows clients to select and return unauthorized transactions Once a fraudulent or unauthorized ACH debit is detected, clients simply reject via the online tool by selecting the transaction from the list provided, and clicking “Decline” to have the item returned. As a best practice clients should review ACH activity each morning, regardless of whether an ACH Alert notification email is received. The deadline for declining transactions posted the previous day is 2:00 p.m. Central. Clients are not charged for returning unauthorized items. Regions ACH Alert will maintain a record of all of the client’s ACH debit activity and return decisions for ease of future reference and research.

Automated Clearing House Services

As a participating bank in the Automated Clearing House system, Regions can accommodate all of the electronic funds transfer needs of our clients. Examples of ACH transactions that we originate include direct deposit of payroll, pre-authorized drafts, and state and federal tax payments.

The Automated Clearing House (ACH) System allows you to create electronic transfers to or from the accounts of other companies or individuals. When you originate ACH credits, funds are distributed from your account to the accounts of receivers. The Port can originate ACH transactions for any type of payment required. Some examples of common ACH credits are direct deposit of payroll, vendor payments and payment of state and federal taxes.

We support a variety of input methods for these transactions.

Preferred input method: Data Transmission via iTreasury ACH or iTreasury Pass-Thru, which validates that your file is in the correct format. The iTreasury system encrypts all data prior to transmission and provides for password protection. It is a very secure means of delivering your transactions for processing.

Alternative input method: Host-to host data transmissions are mainframe transmissions reserved for high volume originators.

The time of day by which a file must be received varies according to the input method. Files received by the bank after the daily deadline will be processed through the next earliest possible ACH window on the following day.

Notification of ACH returns can be provided by direct transmission, or electronically through the iTreasury.

Regions Bank supports ACH Origination for the following purposes (NACHA’s “Standard Entry Class “ or “SEC” codes indicated in parenthesis):

• (PPD) Consumer payments such as payroll Direct Deposit or Bill Payment • (CCD) Corporate payments such as vendor payments or transactions to transfer the customer’s own funds among accounts at multiple banks • (CCD+) Corporate vendor payments with Accounts Receivable posting data embedded • (TXP) Federal, State, and locality tax payments • (RCK) Allows returned deposit items (checks) to be converted to ACH debits for more expedient collection • (ARC) Accounts Receivable Collection -- allows clients to convert check payments received by mail or drop boxes to be converted to ACH debits to expedite collection • (TEL) Allows a client to gather a payer’s checking account information in the course of completing a telephone sale (such as in a catalog operation) and to originate an ACH debit in lieu of receiving a mailed check

• (WEB) Allows a client to gather a payer’s checking account information in the course of completing a sale over the Internet to originate an ACH debit in lieu of receiving a check. We also provide for these ACH related services:

Deposit Concentration allows you to use ACH to gather deposits from remote banks to your account at Regions.

Electronic Check Recovery allows you to use ACH to collect checks that have been returned to you as insufficient. Converting bad checks to ACH improves collectability because electronic items typically post ahead of paper items, and by law an electronically converted return item can be re-presented twice instead of once.

Electronic Tax Payment allows you to receive the benefit of ACH payment without having to be an actual creator of ACH batches. Simply enter the taxes to be paid into the product, and Regions automatically generates the appropriate ACH transactions.

Account Reconcilement Services

Regions can provide a variety of reconciliation services to Plaquemines Port. Highlights of these services are described below based on the detail of reconciliation the Port wishes Regions to provide. All services mentioned below have the capability of returning either a simple sorted listing of paid items or images of those items online and/or by CD. Multiple accounts can be combined on one CD or each account can be saved to its own CD.

Regions Bank offers all types of reconcilement services from simple check sorting to positive pay services if the current check imaging solution isn’t sufficient. Regions can quote the charge for this additional service upon request.

The manual process of sorting, matching and reconciling checking accounts can be very time consuming and costly to the Port. The Regions Account Reconciliation Program provides a flexible, efficient and low cost alternative to the manual reconciliation of commercial checking accounts. ARP is designed to perform the procedures internally for business clients with speed and accuracy thereby reducing clerical costs and increasing a client’s productivity. Regions uses the ARP/SMS system, developed by Fiserve / CheckFree, to perform these tasks.

Reconcilement options include:

. Partial Reconcilement Service – includes a database of all checks paid on your account during the most recent statement cycle. This database lists each item by check number and includes the dollar amount and date paid. The database is provided via data transmission for easy import into your in-house system and is available daily, weekly, monthly, or at a special statement date.

. Full Reconcilement Service – matches your customer-provided data with the checks paid data and reports findings to you as often as needed. A full array of reports is available to assist you in reconciling to your general ledger.

. Positive Pay – helps to identify counterfeit or amount-altered checks. Positive Pay is similar to Full Reconcilement, except the matching process is conducted daily, the results are reported to you online, and a “disposition” tool exists within the product to allow you to accept the item as legitimate or return it to the depositor.

. Deposit Reconcilement Service – enables clients with multiple locations to deposit into one consolidated account at Regions. At cycle end, Regions will create a report listing all deposits by location with a subtotal. The information can also be provided on a diskette or data transmission for easy import into your in-house system based on daily, weekly, monthly or special statement cut-off dates.

. Image Library – provides posted checks on a CD-ROM, allowing you access to digital images of the front and back of each paid check. In addition to less cumbersome storage requirements and faster research/recovery, Image Library is useful for disaster recovery. The CD-Rom has an easy-to-use search index to find a check copy, making it faster than searching through paper checks stored in a closet or file cabinet.

Regions Bank’s Image Library provides front and back images of all checks paid stored electronically on a compact disk. The images are indexed for easy retrieval any time in the future using bank provided software. CD’s are an effective storage medium and eliminate the need to store paper checks.

Information Reporting Services

On-line Banking, iTreasury

Regions’ iTreasury suite of services is available for Plaquemines Port to meet its daily on-line banking and information reporting needs. iTreasury provides an electronic window to your bank accounts through any computer with access to the Internet, and gives you the tools required to manage your accounts from one point of control. iTreasury can be utilized to perform the following activities:

• Access an executive view of real-time account balances and activity on a convenient Dashboard • Review all previous and current day transactions • Review intraday cash position • Initiate ACH transactions with a variety of ACH modules • Initiate Domestic and International (FX and USD) Wire Transfers • Generate an assortment of cash management reports • Initiate internal Account Transfers real-time • Initiate Stop Payments real-time • Import Positive Pay files of issues/voids and review/decision exception items • Enter manual issues/voids for Positive Pay if needed • View paid check images

• View deposit ticket and deposited item images • Export data (comma delimited, fixed format or BAI2) • Export data utilizing Quicken or QuickBooks • Utilize data exchange information • Establish specific Alerts such as balance thresholds, particular transactions clearing, ACH batches releases, outgoing wires, and Positive Pay exceptions iTreasury Previous Day balance and transaction history can be accessed for the past 90 days and is available by 6:00 AM CST each morning. In addition, Current Day information is updated throughout the day every 10 minutes until 11:00 PM CST and incoming wire information is updated until 6:00 PM CST. Current Day Information Reporting includes:

. Controlled Disbursement totals - both early presentment and total presentment . Wholesale Lockbox deposits and funds availability . Incoming and outgoing Wire Transfers . ACH debits and credits

System Security

The iTreasury security controls are as follows: iTreasury allows the bank to grant system access to the Information Reporting customer and a designated security administrator. The security administrator has the ability to grant privileges for services and functions to specific users within the company. In addition, company users may be restricted to specific accounts as well as services and functions associated with those accounts. iTreasury also offers the flexibility to accommodate many levels of security for System Administrators. In a typical setup, the System Administrator would be responsible for setting up other users, and can implement security restrictions based on specific roles within your business.

iTreasury is accessible from anywhere using a computer with Internet access. The iTreasury system requirements are as follows:  Web Browsers – iTreasury is certified for use with Microsoft’s Internet Explorer 6.0 (SP2) or higher.  Encryption – Your browser must be equipped with 128-bit Secure Socket Layer (SSL) strong encryption for the highest level of data encryption, message integrity and server authentication.

Regions continually evaluates the necessity to support new and existing operating systems based on each application’s requirements, capabilities, planned upgrades, etc. With a recent upgrade, iTreasury now has added security from its new single sign-on portal.

Online Banking System Security:

The iTreasury (online information reporting system) security controls are as follows:

• Utilizes 128-bit Secure Socket Layer (SSL) strong encryption for the highest level of data encryption, message integrity and server authentication. • Provides strong multi-factor authentication at login and at monetary release utilizing the OnePass. • Employs intrusion detection software to assist with the security and protection of the application.

The Regions OnePassSM commercial online services gateway introduced recently will provide a single, secure logon portal to access all commercial online services.

Tokens are not required for access. They are however required for wire transfer release.

Better yet, OnePass will consolidate the login authentication process clients will use, eliminating the need to manage multiple user credentials and SecurID tokens. The portal also will provide enhanced security against unauthorized access with Regions Out-of-Band Authentication (ROOBA).

User Entitlement Administration

iTreasury will provide the Port with robust and streamlined User entitlement/approval assignment functionality. Specific User entitlements and approval levels are granted by the System Administrator. The System Administrator has the ability to perform the following services: • Add, modify and delete Users • Assign User entitlements to services

• Assign User entitlements to accounts within the applicable services • Assign User entitlements to ACH profiles • Assign User entitlements to Wire Transfer templates • Assign User Limits on ACH and Wire Transfer • Establish secondary approval requirements for various payments and transactions • Assign User approval authority

Note: iTreasury can be set up to require dual approval for all User Maintenance.

New Users can be added, and the applicable entitlements granted, by the System Administrator. In addition, the System Administrator may deactivate/delete Users as required. Deactivating a User ID will permanently remove the User from the system. When the deactivation is set, the User will no longer have access to the system. The User will be purged from the system in 90 days.

As previously mentioned, iTreasury requires the use of a RSA SecurID Token at login and monetary release. New SecurID Tokens, or replacement of expiring Tokens, can be quickly and easily ordered using Regions secure online Token Management System. New Users will have access to iTreasury upon receipt of the SecurID Token - generally within three to five business days.

Electronic Data Interchange

Regions Bank has offered Electronic Data Interchange processing for over 20 years and can accommodate the electronic transmission of data for the Port. With EDI reporting services from Regions you can ensure timely receipt of remittance information for payments processed via ACH. Plus, by negotiating with your business partners to ensure their use of national standards for remittance data, you can enhance your opportunity to automate your posting of accounts. With growing frequency, payments that were previously made by check are now being made via ACH. In their prior paper form, these payments could include enclosures which described the nature of the payments. For example, the remitter could indicate to the receiver the specific invoice numbers being paid, any adjustments or discounts being taken, or other information to facilitate the receiver’s ability to post the payment to its accounting system. EDI is a process for providing this critical posting information even though the payment is now being made in electronic form. This is done by attaching an extra data record called an “addendum” to the ACH transaction as it travels through the banking system. When the payment reaches the receiver’s bank, this data is extracted and delivered to the receiver as a replacement for the prior written version. EDI Data Formatting Standards: EDI Data Formatting follows national standards and, like most national standards, the specifications are determined and published by the American National Standards Institute (ANSI). Through their Electronic Payments Committee (Committee X.12), they provide a number of standards to ensure the compatibility of data from one financial institution to another.

The following formats published by ANSI can be reported to our clients: • ANSI X.12 Transaction Set 821: General Remittance Advice • ANSI X.12 Transaction Set 820: Payment Order/Remittance Advice • ANSI X.12 Transaction Set 822: Bank Account Analysis Advice • ANSI X.12 Transaction Set 997: Functional Acknowledgement Regions offers several methods to send and receive transactions to both, businesses and consumers. Instructions and information can be sent via a standard web browser or transmitted directly to the bank. Information on collected or disbursed payments can be sent back to clients in the same manner. BAI and EDI files both provide a method to import account and payment information into a client’s existing software platform using the respective standard file formats.

Wire Transfers

Our on-line banking, iTreasury will give the Port the opportunity to initiate wire transfers. Regions will provide prompt notification to the Port of incoming wire transfers.

Methods of initiation for wire transfer:

• Telephone/Voice - Voice initiators are provided with a basic set of security codes and procedures. Customer can select other security measures designed for their specific needs.

• CPU to CPU- Regions offers the ability to receive batch wires from you for further processing.

• Internet - Regions offers you the ability to initiate to wire transfers via iTreasury, our commercial online banking system.

Telephone – Users may phone both non-repetitive and repetitive wires over the telephone with a specific wire PIN generated by our Money Transfer Department. Each PIN is tied to specific authorized accounts and limits. If the PIN is verified, the wire is released. If the PIN is incorrect or the wire is not within the limit set for the PIN, another user with an appropriate PIN will be contacted and may approve the wire. If no other user PIN has sufficient authorization, the wire is cancelled.

Internet – Users may process wires via our web based platform, iTreasury. Using their unique organization and user ID, a wire PIN and SecurID token, users can initiate non-repetitive and repetitive, domestic and international wires. User entitlements allow each customer to establish their own procedures for approving and releasing the wires.

CPU to CPU (batch transmission) – VPU tunnel is established with customer for the secure transmission of a batched wire file. Wire PIN’s are included within the file and are verified before processing.

Safekeeping Services

Regions Bank agrees to provide safekeeping services and to execute securities transactions on the behalf of the Port.

All deposits of the Plaquemines Port Harbor and Terminal District in excess of those deposits insured by the Federal Deposit Insurance Corporation (FDIC) shall be collateralized in accordance with La. R.S., 39:1221 through 39:1223 through 1226 inclusive. The dollar market value of the securities shall be at least 100% of the amount on deposit less that portion secured by the FDIC. Pledged securities shall be held at an acceptable third-party custodian and will be held on behalf of the Port. Reports will be provided.

Legal Requirements

Regions Bank will perform all duties and discharge all obligations imposed by Federal law, including the Federal Fiscal Institution Reform Recovery Enforcement Act and the laws of the State of Louisiana upon Fiscal Agents and will render such services to the Port as may be lawfully required of it including but not limited to that contained in this proposal.

Plaquemines Port reserves the right to cancel the contract for unsatisfactory performance within thirty (30) days of written notice.

Other Information

Account Analysis and Payment for Banking Services:

Each month, the Port will be provided an account analysis statement for each account at Regions. The analysis statement will contain information as to the banking services, volumes, per item fees and total fees for the month. Monthly balance information will also be provided to the Port on the analysis statement. In addition to the Account Analysis statement, Regions will provide a Customer Analysis statement that aggregates all account activity collectively.

Account analysis statements will be produced on or about the 7th calendar day of the month, and service charges will post to your checking account on or about the 9th calendar day. Should the 9th calendar day fall on a weekend or holiday, service charges will post the following business day.

Statements may be accessed online (iTreasury) the next business day following cut off.

1 A Resolution authorizing Maynard “Sandy” Sanders, as Executive Director of the 2 Plaquemines Port Harbor & Terminal District, to enter into a Cooperative 3 Endeavor Agreement with Port Ship Service, Inc. (PSS) and Bear Associates, Inc. 4 (BEAR Real Estate) for the B-3 Relocation project; and otherwise to provide with 5 respect thereto. 6 7 WHEREAS, Art. VII, Section 14(C) of the Louisiana Constitution of 1974 Provides that for a 8 public purpose, the State and its political subdivisions or political corporations may engage in 9 cooperative endeavors with each other or with any other private association, corporation or 10 individuals; and 11 12 WHEREAS, BEAR and PSS desire to cooperate with PORT in the implementation of the 13 Exchange as hereinafter provided; and 14 15 WHEREAS, the BEAR Real Estate and PSS Improvements are unique insofar as they are 16 located within other properties owned or controlled by PORT and acquisition of the BEAR Real 17 Estate and PSS Improvements are a portion of an assemblage of properties absolutely necessary 18 for a major expansion of PORT and economic development for the Plaquemines Port (the "Port 19 Expansion Project"); and 20 21 WHEREAS, the PORT, BEAR and PSS have agreed to relocate the existing PSS operations to a 22 replacement property already owned by PORT and proposed for transfer to BEAR, and establish 23 substantially similar improvements thereon which will provide a reasonable equivalent to both 24 BEAR and PSS consisting of replacement real estate property described as Lot 2-A, Point 25 Celeste Farms, Parish of Plaquemines, State of Louisiana (the "Replacement Real Estate") and 26 certain replacement improvements to be constructed thereon in accordance with the Project 27 Documents (as defined below) (the "Replacement Improvements"), all as more fully set forth 28 herein. 1 An Ordinance adopting the Original Operating Budget of Revenues and 2 Expenditures for the Plaquemines Port, Harbor & Terminal District for the fiscal 3 year beginning January 1, 2020, and ending December 31, 2020; and otherwise to 4 provide with respect thereto. 5 6 WHEREAS, Plaquemines Port, Harbor & Terminal District administration submitted to the 7 Plaquemines Parish Council, on October 24, 2019, a Proposed 2018 Operating Budget pursuant to 8 Port Budget Policy; and 9 10 WHEREAS, the Parish Council as the governing authority of the Plaquemines Port, Harbor & 11 Terminal District made available copies of the Proposed 2020 Operating Budget for public 12 inspection, published a summary of the proposed budget in the Official Journal and advertised the 13 time and place of public hearings; and 14 15 WHEREAS, the Parish Council held public hearings on the proposed Operating Budget as 16 submitted on November 13, 2019; 17 18 NOW, THEREFORE: 19 20 BE IT ORDAINED BY THE PLAQUEMINES PARISH COUNCIL AS THE GOVERNING 21 AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL DISTRICT THAT: 22 23 SECTION 1 24 25 The estimate of revenues and expenditures for the fiscal year beginning January 1, 2020 and ending 26 December 31, 2020, is hereby adopted to serve as the Operating Budget for the Plaquemines Port, 27 Harbor & Terminal District for all Port Funds; copies of which are on file in the office of the Port 28 Executive Director, the office of the Port Comptroller and in the office of the Plaquemines Parish 29 Council Secretary. 30 31 SECTION 2 32 33 The Plaquemines Port, Harbor & Terminal District is authorized to spend budgeted funds in 34 accordance with the Plaquemines Parish Government Policy of Budgetary Control adopted by the 35 Plaquemines Parish Council as the governing authority of the Port. 36 37 SECTION 3 38 39 If any provision or item of this Ordinance or the application thereof is held invalid, such invalidity 40 shall not affect other provisions, items or applications of this Ordinance which can be given effect 41 without the invalid provisions, items or applications; and to this end, the provisions of this 42 Ordinance are hereby declared severable. 43 44 SECTION 4 45 46 The Secretary of this Council is hereby authorized and directed to immediately certify and release 47 this Ordinance and that Port employees and officials are authorized to carry out the purposes of 48 this Ordinance, both without further reading and approval by the Plaquemines Parish Council. 49 ORDINANCE No. 19-

1 A Resolution authorizing Maynard J. “Sandy” Sanders, Executive Director of the 2 Plaquemines Port, Harbor & Terminal District to extend the current agreement for 3 Professional Services with Dwyer, Cambre and Suffern for the provision of legal 4 counsel; and otherwise to provide with respect thereto. 5 6 WHEREAS, Resolution No. 19-26 authorized the Port Executive Director to enter into a contract 7 for Professional Services with Dwyer, Cambre & Suffern in order to provide legal counsel and 8 services for a period of one year, ending December 31, 2019; and 9 10 WHEREAS, the Administration of the Plaquemines Port, Harbor & Terminal District is 11 requesting an amendment of the current agreement; and 12 13 WHEREAS, the current agreement is amended to reflect effective date of January 1, 2019 ending 14 December 31, 2019; and 15 16 WHEREAS, it is the desire of the Plaquemines Parish Council to contract for professional 17 services regarding general legal work for the Plaquemines Port Harbor & Terminal District with 18 Dwyer, Cambre & Suffern from January 1, 2020 through December 31, 2020; 19 20 NOW, THEREFORE: 21 22 BE IT RESOLVED, BY THE PLAQUEMINES PARISH COUNCIL AS THE SOLE 23 GOVERNING AUTHORITY OF THE PLAQUEMINES PORT, HARBOR & TERMINAL 24 DISTRICT THAT it hereby authorizes Maynard J. “Sandy” Sanders, Executive Director of the 25 Plaquemines Port Harbor & Terminal District to amend and extend the current agreement, with 26 Dwyer Cambre & Suffern to provide legal services for a period of one year ending on December 27 31, 2019, not to exceed adopted Legal Services budget, without prior approval of the 28 Plaquemines Parish Council as the sole governing authority of the Plaquemines Port, Harbor and 29 Terminal District. 30 31 BE IT FURTHER RESOLVED, BY THE PLAQUEMINES PARISH COUNCIL AS THE 32 SOLE GOVERNING AUTHORITY OF THE PLAQUEMINES PORT HARBOR & 33 TERMINAL DISTRICT THAT the Secretary of this Council is hereby authorized and directed 34 to immediately certify and release this Resolution and that Port employees and officials are 35 authorized to carry out the purposes of this Resolution, both without further reading and approval 36 by the Plaquemines Parish Council. 37 R E S O L U T I O N NO. 19-

1 A Resolution officially renaming the Pavilion located at the Belle Chasse 2 Government Complex at 333 F. Edward Hebert Blvd to the Coach Amos Cormier, 3 Jr., Multipurpose Center. 4 5 WHEREAS, Amos Cormier, Jr. was a teacher and coach at three Plaquemines Parish schools, he 6 was in charge of the Parish Recreation Department, served as a Council Member and was the 7 Parish President who secured the funding for the construction of the Pavilion in the Government 8 Complex; and 9 10 WHEREAS, the Recreation Committee voted unanimously to name the Pavilion after President 11 Cormier; and

12 WHEREAS, since the Pavilion located at the Belle Chasse Government Complex on at 333 F. 13 Edward Hebert Blvd has been completely renovated and upgraded to a multipurpose center, there 14 is no better honor than to name this facility the Coach Amos Cormier, Jr., Multipurpose Center, 15 “The Cormier Center” for short;

16 NOW, THEREFORE:

17 BE IT RESOLVED BY THE PLAQUEMINES PARISH COUNCIL THAT it hereby authorizes 18 the Parish President, or his designee, to officially rename the Pavilion and located at the Belle 19 Chasse Government Complex on at 333 F. Edward Hebert Blvd the Coach Amos Cormier, Jr., 20 Multipurpose Center, “The Cormier Center” for short.

1 An Ordinance to amend, and as amended readopt, the Plaquemines Parish Code of 2 Ordinances, Section 2-17, ARules for Transaction of Business Before the Council@, 3 Chapter 1, AMeetings of the Plaquemines Parish Council@, Rule 1; to annul, rescind 4 and set-aside Ordinance No. 13-165; and otherwise to provide with respect thereto. 5 6 WHEREAS, Ordinance No. 13-165 set the date, times and location for the Plaquemines Parish 7 Council meetings and since its adoption, the location for the meetings have changed; and 8 9 WHEREAS, it is also the desire of this Council to change the time of its meetings to 5:00 p.m. or 10 immediately following the meetings of the Plaquemines Parish Council as the sole governing 11 authority of the Plaquemines Port, Harbor & Terminal District; 12 13 NOW, THEREFORE: 14 15 BE IT ORDAINED BY THE PLAQUEMINES PARISH COUNCIL THAT: 16 17 SECTION 1 18 19 Section 2-17, Chapter 1, Rule 1 of the Plaquemines Parish Code of Ordinances is amended to read 20 as follows: 21 22 AExcept as provided in Section 4.09.B of the Charter for Local Self Government for the 23 Parish of Plaquemines, Louisiana, the council shall meet bimonthly at 1:00 5:00 p.m. or 24 immediately following the meetings of the Plaquemines Parish Council, as the Sole Governing 25 Authority of the Plaquemines Parish Port, Harbor & Terminal District, or whichever comes first, 26 on the second and fourth Thursday of the month at the Parish Seat. Belle Chasse Council Building 27 Chambers, 333 F. Edward Hebert Blvd., Belle Chasse and on the fourth Thursday of the month 28 at the Pointe-a-la-Hache Courthouse, 18055 Highway 15, Pointe-a-la-Hache. The Chairman 29 of the council, or vice-chairman in his absence or incapacity, shall have the authority to call special 30 meetings of the council. It is further provided that a two-thirds majority of the members of the 31 council shall have the authority, by written message to the council secretary, to issue a call for a 32 special meeting of the council. 1 An Ordinance to amend the Five Year Capital Improvements Plan, Repairs- 2 Diamond Park Project; to accept donations from Venture Global and Conoco; and 3 to amend the 2019 Operating Revenue Budget; and otherwise to provide with 4 respect thereto.

5 WHEREAS, Plaquemines Parish Government has received donations to be used by the 6 Recreation Department for the Diamond Park; and

7 WHEREAS, amending the Five Year Capital Improvements Plan and the 2019 Operating Revenue 8 Budget is requested;

10 BE IT ORDAINED BY THE PLAQUEMINES PARISH COUNCIL THAT:

The following Resolution was offered by Council Member LaFrance who moved its adoption:

1 A Resolution certifying that the “urgent need” national policy objective is being 2 met under the Community Development Block Grant – Disaster Recovery 3 (CDBG-DR) program for the South Plaquemines United Fisheries Grand Bayou 4 Boat Dock Project. 5 6 WHEREAS, the Plaquemines Parish Government has submitted an application for a Community 7 Development Block Grant—Disaster Recovery (CDBG-DR) Grant from the Louisiana Office of 8 Community Development – Disaster Recovery Unit for the South Plaquemines United Fisheries 9 Grand Bayou Boat Dock Project under the national objective of “Urgent Need”; and 10 11 WHEREAS, in order to apply for such a grant, the Parish must submit its CDBG-DR application 12 package in compliance with HUD Program Regulations; and 13 14 WHEREAS, such regulations require that the Plaquemines Parish Government provide as part of 15 such package a certified copy of a resolution which authorizes submission of the “Urgent Need” 16 Application and which designates the President, as the authorized representative of the Parish, to 17 sign all application documents and certifications; and 18 19 WHEREAS, such regulations require that the Plaquemines Parish Government certify that the 20 activity for which CDBG funds are being requested is designed to alleviate existing conditions 21 which pose a serious and immediate threat to the health and welfare to the citizens of 22 Plaquemines Parish; which are of recent origin or which recently became urgent during and 23 immediately following , and that Plaquemines Parish is unable to finance the 24 activity on its own, and that no other funds are available; 25 26 NOW, THEREFORE: 27 28 BE IT RESOLVED BY THE PLAQUEMINES PARISH COUNCIL THAT the submission of 29 the CDBG-DR application package is hereby authorized, with the proceeds from such grant to be 30 used to finance the South Plaquemines United Fisheries Grand Bayou Boat Dock Project. 31 32 BE IT FURTHER RESOLVED BY THE PLAQUEMINES PARISH COUNCIL THAT the 33 Parish President is the authorized representative for the project and as such is authorized to file 34 an Application on behalf of the Parish, and any amendments thereto, for a CDBG-Disaster 35 Recovery Grant. 36 37 BE IT FURTHER RESOLVED BY THE PLAQUEMINES PARISH COUNCIL THAT the 38 Parish hereby obligates and commits to pay for a portion of construction estimated to be 39 $220,000.00 out of the total estimated project cost of $990,000.00. 40 41 BE IT FURTHER RESOLVED BY THE PLAQUEMINES PARISH COUNCIL THAT Parish 42 President Lepine, hereby certifies that the South Plaquemines United Fisheries Grand Bayou 43 Boat Dock project for which CDBG-DR funds are being requested is designed to alleviate 44 existing conditions which pose a serious and immediate threat to the health or welfare of the 45 citizens of Plaquemines Parish; is of recent origin or which recently became urgent during and 46 immediately following Hurricane Rita and that Plaquemines Parish is unable to completely 47 finance the activity on its own and there are no other funds in the Parish budget available. 48 49 BE IT FURTHER RESOLVED BY THE PLAQUEMINES PARISH COUNCIL THAT the 50 Secretary of this Council is hereby authorized and directed to immediately certify and release 51 this Resolution and that Parish officials and employees are authorized to carry out the purposes 52 of this Resolution, both without further reading and approval by the Plaquemines Parish Council. 53 54 ORDINANCE NO. 19-

1 An Ordinance to amend the 2020 Manpower Structure and Operating Expenditure 2 Budget, General Fund, Flood Control Department; and otherwise to provide with 3 respect thereto.

4 WHEREAS, after a review of the manpower needs of the Flood Control Department, it has been 5 recommended to create and fund a Floodgate Operator position, position number 770-2381-01, at 6 an annual salary of $22,882, plus benefits; and

7 NOW, THEREFORE:

8 BE IT ORDAINED BY THE PLAQUEMINES PARISH COUNCIL THAT:

9 SECTION 1

10 The 2020 Manpower Structure, is amended by creating and funding a Floodgate Operator position, 11 position number 770-2381-01, in the Flood Control Department, at an annual salary of $22,882, 12 plus benefits.
