General Corporation Law (a) Nexstar Broadcasting, Inc. Article 8 of the Certificate of Incorporation of Nexstar Broadcasting, Inc. (Nexstar) provides that each person who was or is made a party or is threatened to be made a party to or is involved in any action, suit or proceeding, whether civil, criminal, administrative or investigative (hereinafter a proceeding), by reason of the fact that he (or person of whom he is the legal representative), is or was a director or officer of Nexstar as a director, officer, employee, fiduciary, or agent of another corporation or of a partnership, joint venture, trust or other enterprise, including service with respect to employee benefit plans, whether the basis of such proceeding is alleged action in an official capacity as a director, officer, employee, fiduciary or agent or in any other capacity while serving as a director, officer, employee, fiduciary or agent, shall be indemnified and held harmless by Nexstar to the fullest extent which it is empowered to do so by the General Corporation Law of the State of Delaware against all expense, liability and loss and reasonably incurred by such person in connection with such proceeding and such indemnification shall inure to the benefit of his or her heirs, executors and administrators. The by-laws of Nexstar do not provide for any indemnification provisions. Section 102(b)(7) of the General Corporation Law of the State of Delaware permits a Delaware corporation to limit the personal liability of its directors in accordance with the provisions set forth therein. Section 145 of the General Corporation Law of the State of Delaware contains provisions permitting corporations organized thereunder to indemnify director, officers, employees or agents against expenses, judgments and fines reasonably incurred and against certain other liabilities in connection with any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative, by reason of the fact that such person was or is a director, officer, employee or agent of the corporation. (b) Nexstar Broadcasting Group, Inc. The FCC’s Broadcast Media Ownership and Attribution Rules: The Current Debate Summary The Federal Communications Commission’s (FCC’s) broadcast media ownership rules, which place restrictions on the number of media outlets that a single entity can own or control in a local market or nationally, are intended to foster the three long-standing goals of U.S. media policy— competition, localism, and diversity of voices. The FCC is statutorily required to review these rules every four years to determine whether they continue to serve the public interest or should be modified or eliminated. One part of these rules, the FCC’s attribution rules, identify criteria for determining when an entity holds sufficient ownership or control of a broadcast station that such ownership or control should be attributed to the entity for the purposes of applying the media ownership rules. The FCC proposes eliminating its Radio/Television Cross-Ownership rule because it is no longer needed to foster the goals of diversity of voices and localism. It also proposes modifying its Newspaper/Broadcast Cross-Ownership rule to allow certain types of combinations in the 20 largest markets. It proposes a technical change in its Local Television Ownership Rule, but otherwise would continue to prohibit ownership of two stations in a local market unless one is not among the four highest-ranked stations in the market and, after the combination, there would still be eight independently owned and operating commercial full-power television stations.

Beasley, Philip Merrill College of Journalism University of Maryland College Park Broadcast news has undergone monumental changes since 1980. Longstanding rules regarding ownership and practices began to be loosened at this time, forever changing the practice of local broadcast television news. The Telecommunications Act of 1996 stimulated groundbreaking changes as rules of ownership were significantly relaxed. The result was a buying frenzy of television stations by major corporations in some places where small group and local ownership once dominated. The way broadcast news operated was changed dramatically in the years following these changes in policy. The purpose of this research was to gain qualitative knowledge regarding the effects of changes in FCC deregulation policy on practitioners of local broadcast television news during a time of great technological change and audience fragmentation. I examined what effects took place as a result of expanded corporate ownership and policies during this time of an already shifting landscape. To complete this research, which was conducted from 2007 to 2009, broadcast news professionals who had been in the business a minimum of fifteen years were interviewed. I interviewed a total of ten news professionals in three separate large broadcast markets, Washington, D.C., Pittsburgh, Pennsylvania, and Baltimore, Maryland. What I found was that broadcasters felt they had been affected negatively by the changes and were unhappy about the state of the broadcast news business.
