PROMOTION SCHEDULE #2

This Promotion Schedule #2 (“Addendum”) is entered into by and between Share Our Strength (“Share Our Strength”) and , Inc., 1 General Mills Blvd., , MN 55426 (“Sponsor” or “GMI”) as part of the Master Charitable Sponsorship Agreement, effective as of July 10, 2020 (the “Sponsorship Agreement”). This Addendum sets forth the terms of the consumer engagement promotion, described below, to be conducted by Sponsor to benefit Share Our Strength (the “Promotion”).

1. Term of Promotion: The Promotion will be conducted from 2/19/2021 through 03/11/2021 (the “Promotion Period”).

2. Description & Public Representation of Promotion: GMI will lead a cause marketing program called National Cereal Day (the “Campaign”) at participating retailers to consist of Stop & Shop, Giant Food, Giant Martin’s, Giant Carlisle, Hannaford, and Food (“Retailers”) to raise money for Share Our Strength and its No Kid Hungry Campaign. For every digital coupon valued at $1.00 off the purchase of two (2) General Mills Cereals that is downloaded to a consumer’s Retailer Rewards Card and redeemed on the purchase of two (2) participating General Mills “Big G” cereal products set forth on Attachment 2, GMI will donate $0.15 to Share Our Strength, up to a maximum donation of Ten Thousand Dollars ($10,000) (the “Maximum”). Except with respect to the Retailer’s requirements, GMI shall have the sole control over the conduct of the Campaign, including, without limitation, the development and dissemination of promotional materials, choice of promotional media and other details. Notwithstanding the foregoing, all language on marketing and publicity materials which utilize the No Kid Hungry trademarks, shall be subject to Share Our Strength’s prior written approval with regard to the manner in which No Kid Hungry is referenced, which approvals shall not be unreasonably withheld or delayed.

The following consumer disclosure has been approved for the Promotion:

Offer Terms: Between 2/19/21 and 3/11/21, for every $1 off 2 Big G cereal digital coupon clipped (downloaded to your store rewards card) and redeemed at a participating retailer (Stop & Shop, Giant Food, Giant Martin’s, Giant Carlisle, Hannaford, or Food Lion), General Mills will donate $0.15 to Share Our Strength (up to a maximum total donation of $10,000). General Mills will also make a flat donation of an additional $10,000 to Share Our Strength for a total donation of up to a maximum of $20,000. 3. Flat Donation: Outside of the Promotion, GMI will separately make a flat donation of $10,000 to Share Our Strength on or about the date set forth below.

4. Approval of Promotional Messaging and Materials: a. Review: All external communications, copy and promotional materials announcing or regarding the Promotion that include any Share Our Strength (No Kid Hungy) marks, must be submitted to Share Our Strength for review and prior approval, which shall not be unreasonably withheld, conditions or delayed. This includes point-of-sale collateral, news releases, public service announcements,

emails, posters, banners and flyers. All such materials should be submitted to Share Our Strength for review and approval no fewer than five (5) business days in advance and may not be used until approved. b. Materials: Sponsor shall be solely responsible for the design, development, manufacture and distribution of all materials for any Promotion, and all costs associated therewith. c. Sponsor understands that as a not-for-profit charitable organization, Share Our Strength cannot promote or endorse Sponsor’s products or services, nor will any such endorsement or promotion be implied or construed based on Share Our Strength’s acceptance and acknowledgment of Sponsor’s donation.

5. Consumer Communications and Advertising Disclosures: All public or consumer communications and advertising that mention the Promotion will accurately describe the terms of the Promotion and Share Our Strength’s mission, will include contact information for Share Our Strength, adhere to Standard 19 of the Better Business Guidelines (see Attachment 1), and must be approved in advance by Share Our Strength. Sponsor shall not make any representation with respect to whether any portion of the consumers’ purchases or donations will be deductible as charitable contributions for federal or state tax purposes by the purchasers thereof.

6. Payments and Reporting: Sponsor will provide a written accounting of all donations generated under the Promotion, sufficient to enable Share Our Strength to determine that representations made to the public on its behalf have been adhered to and will transfer the donation amount to Share Our Strength on or before 04/07/2021 in the form of a check payable to Share Our Strength and mailed to P.O. Box 75475, Baltimore, MD 21275, or by other means as agreed to by the Parties. Sponsor shall maintain accurate books and records of all activities conducted pursuant to this Agreement during the Promotion and at least three (3) years thereafter.

7. Compliance With Laws: The Promotion may be subject to federal, state, and local laws and regulations, including, but not limited to, laws regulating charitable sales promotions and charitable appeals such as Title 43, chapter 17 of the Georgia Code, Section 7:28 of the New Hampshire Statutes, and the New Jersey Charitable Registration and Investigation Act (N.J. Stat. § 45:17A-18 et seq.) and any rules adopted pursuant thereto. Each Party shall be responsible for complying, at its own expense, with all requirements imposed by law or regulation on each of them individually as a result of their respective roles in the Promotion, including but not limited to any obligation to register, post bonds, or take other actions under state law as a charity or a commercial co-venturer. Share Our Strength’s Registration number in South Carolina is P1124. New York law, if applicable, requires the following statement: This Addendum may be cancelable by Share Our Strength, without cost, for fifteen (15) days after execution by both parties by sending written notice of cancellation to Sponsor at its address listed above with a duplicate notice to: State of New York, Office of the Attorney General, Charities Bureau, 120 Broadway, New York, NY 10271.

8. This Addendum is governed by the terms of the Sponsorship Agreement.

BBB Wise Giving Alliance Standard 19

Standard 19: Clearly disclose how the charity benefits from the sale of products or services (i.e., cause-related marketing) that state or imply that a charity will benefit from a consumer sale or transaction. Such promotions should disclose, at the point of solicitation: • the actual or anticipated portion of the purchase price that will benefit the charity (e.g., 5 cents will be contributed to abc charity for every xyz company product sold), • the duration of the campaign (e.g., the month of October) • any maximum or guaranteed minimum contribution amount (e.g., up to a maximum of $200,000).

In clarification of the requirements of this standard, the BBB notes the following:

• This standard is intended to address cause-related marketing activities. The basic message of such promotions is "Buy the product of Corporation XYZ and a contribution will be made to Charity ABC." In general, the greater the sales volume, the more the charity receives. These promotions have involved a variety of goods and services including breakfast cereals, clothing, cosmetics, credit cards, long distance phone calls and fast-food. • For example, a disclosure that includes all the recommended elements might read as follows: "5 cents will go to ABC Charity for every box of XYZ Cereal sold in October up to a maximum of $200,000." The disclosure needs to include only elements applicable to that specific promotion. • The disclosure of the amount that goes to the charity might be expressed in monetary amounts (e.g., 25 cents will go to ABC Charity) or as a percentage of the purchase price (e.g., 3% of the purchase price will go to ABC Charity). • If the promotion involves the sale of a number of items (as in a holiday gift catalog, for example) that will benefit a specified charity, the disclosure might take the form of a range of amounts that might go to the organization. (For example, "Depending upon the specific item purchased, approximately 5 -10% of your purchase price will go to Charity ABC." • The disclosure must be provided to the potential purchaser at the point of solicitation. Placement of the disclosure might be, for example, within the product advertisement that features the charity benefit, on the product packaging, on the hangtag attached to the product, or on the catalog order form. • Disclosures solely stating that the charity will receive "proceeds," "profits," "net proceeds," or some other general financial benefit as a result of sales will not meet this standard.
