ORDER

UPON the Application Notice of Frasers Group Plc dated 13 May 2020 ("Application Notice")

AND UPON hearing Barry Isaacs QC and Lloyd Tamlyn, Counsel for the Applicant

AND UPON the Court having read the witness statement of Christopher Wootton dated 13 May 2020 and the witness statement of Justin Barnes dated 13 May 2020

IT IS ORDERED AND DIRECTED THAT:

1. The Application Notice is adjourned to 2 July 2020 at 2pm ("Hearing Date"), to be heard at the same time as the winding-up petition issued by the Applicant against the Respondent on 22 May 2020 under court reference CR-2020- 002549 ("Petition")

2. Any person wishing to rely on evidence at the hearing of the Application Notice on the Hearing Date shall file and serve such evidence on the Applicant at least 7 days prior thereto, failing which such evidence shall not be admitted without the permission of the court.

3. The Applicant shall advertise the matters at paragraphs 1 and 2 above at least 14 days prior to the Hearing Date.

4. Pursuant to paragraph 84(7) of Schedule B1 to the 1986 Act the time period stated at paragraph 84(6) of Schedule B1 is suspended so that the time period shall expire the day after the final determination of the Petition.

Pursuant to rule 12.39(9) of the Insolvency (England and Wales) Rules 2016, paragraph 12 of the witness statement of Justin Barnes and exhibit "JDWB1" be not open to inspection without permission of the Court.

6. The Respondent is at liberty to apply to the Court to discharge or vary this Order under CPR Part 23.10 upon giving 48 hours' written notice to the Applicant.

7. Liberty to the Applicant to apply.

8. The costs of the Application Notice are reserved to the Hearing Date.
