To approve an amendment to the Company’s Restated Certificate of Incorporation to include securities ownership restriction provisions in connection with the requirements of our gaming businesses. 4. It is expected that this Proxy Statement and enclosed form of proxy will be mailed to stockholders beginning on or about April , 2007. The Annual Report for the fiscal year ended December 31, 2006 is also being mailed to stockholders with this Proxy Statement. Stockholders Entitled to Vote All stockholders of record at the close of business on April 20, 2007 are entitled to vote at the meeting. At the close of business on April 20, 2007, a total of shares of common stock were outstanding. Each share is entitled to one vote on all matters that properly come before the meeting. Voting Procedures If you are the record holder of your shares, you can vote in person at the meeting or by proxy in one of the following three ways: 1. Vote by Mail: Complete, sign, date and return your proxy card in the enclosed postage-paid envelope. 2. Vote by Telephone: Call the toll-free number 1-800-proxies. You will need to provide the control number printed on your proxy card and follow the instructions on your card and the voice prompts. 3. Vote over the Internet: Go to the website www.voteproxy.com. You will need to provide the control number printed on your proxy card and follow the instructions on your card and the website. If you vote by telephone or over the Internet, do not return your proxy card. If you are not the record holder of your shares (i.e., they are held in “street” name by a broker, bank or other nominee), you will receive instructions from the record holder asking you how you wish to vote. Telephone and Internet voting will be offered by most brokers and banks. If you wish to vote your shares in person at the meeting, you must first obtain a proxy issued in your name from the record holder. 1 Voting of Proxies All valid proxies received prior to the meeting will be voted in accordance with the instructions specified by the stockholder. If a proxy card is returned without instructions, the persons named as proxy holders on your proxy card will vote in accordance with the recommendations of the Board, which are as follows: · FOR election of the nominated directors (Proposal 1); · FOR ratification of the appointment of the independent auditor (Proposal 2); and · FOR adoption of the amendment to the Restated Certificate of Incorporation (Proposal 3). Quorum The presence, in person or by proxy, of the stockholders of a majority of the shares entitled to vote at the meeting constitutes a quorum for the transaction of business. Vote Required Assuming a quorum is present, directors will be elected by a plurality of the votes cast in person or by proxy at the meeting. The proposal to ratify the appointment of the independent auditor requires the affirmative vote of a majority of the votes cast in person or by proxy at the meeting. The proposal to amend the Restated Certificate of Incorporation requires the affirmative vote of a majority of the shares entitled to vote at the meeting. Effect of Abstentions If you vote “abstain” (rather than vote “for” or “against”) with respect to a proposal, your shares will count as present for purposes of determining whether a quorum is present but will have the effect of a negative vote on matters other than the election of directors.
