JOINT STATUS REPORT FOR AUGUST 24, 2017 CASE MANAGEMENT CONFERENCE

The Court directed counsel to file this joint report regarding the status of the parties’

discussions, agreements and disagreements on the proposed agenda items for the August 24, 2017,

case management conference.

I. Product Liability Cases

A. Update on AbbVie

1. Konrad Case: AbbVie Supplemental Expert Reports

PSC Position:

On August 18, 2017, AbbVie served the PSC with supplemental expert reports for two

experts in the Konrad case: William French, M.D. and Mohit Khera, M.D. The supplemental

expert reports draw exclusively on general and case-specific information that long pre-dates the

Konrad pre-trial order. The PSC has advised AbbVie that it objects to AbbVie’s untimely expert supplements, and seeks the Court’s guidance on the manner to present the issue to the Court in advance of the Konrad conference on September 13, 2017.

AbbVie Position:

This is AbbVie’s first notice of the PSC’s objection. As the Final Pretrial Conference for

Konrad, is scheduled for September 13th, AbbVie requests that the PSC provide its objections in

writing and allow AbbVie an opportunity to respond in advance of that hearing. AbbVie does

state that the supplemental expert reports were timely served in accordance with Federal Rule of

Civil Procedure 26(e)

2. Remaining AbbVie Bellwether Trial Dates: Parties will be prepared to discuss at the case management conference.

3. Update and Status on Besins: Following jurisdictional discovery and briefing, the Besins Defendants responded to written discovery requests in November 2016 and thereafter produced responsive documents, including from certain custodial files through April

2017. Thereafter, Besins moved for and was granted summary judgment in the Rowley bellwether case on the two claims remaining against it (manufacturing defect and design defect); Besins is not a defendant in any of the remaining AbbVie-only bellwether trial cases. The parties have met and conferred on discovery and motion practice. In addition to its follow-up on the productions to date, including the production of foreign language materials, the PSC advises that it anticipates serving supplemental discovery requests in September, and proceeding with deposition discovery from Besins this fall. Besins advises that it would like to set a date for the close of discovery and briefing schedule for dispositive motions. The parties will meet and confer about such matters, and be prepared to address the same with the Court at the October 5, 2017 CMC.

B. Update on Auxilium

1. Status of Discovery: The parties have been working collaboratively to

move the Auxilium litigation forward pursuant to and consistent with CMO 19A and CMO 31. To

date, the PSC has requested production from 66 custodial files. Auxilium has produced the

custodial documents from 64 of the requested files and Auxilium is working to produce the 2

custodial files that the PSC (in conjunction with Counsel for the State court Litigation against

Auxilium in the Court of Common Pleas in Philadelphia) requested on August 18, 2017.

As of August 24, 2017, Auxilium has produced 23 former or current employees for deposition. The PSC (in conjunction with Counsel for the State court Litigation against Auxilium in the Court of Common Pleas in Philadelphia) is scheduled to take the deposition of a former

GSK employee on August 24, 2017. On August 16, 2017, counsel for Auxilium and GSK informed the PSC and Counsel for the State court Litigation against Auxilium in the Court of

Common Pleas in Philadelphia that they were informed that same day that the deposition of a second former GSK employee had to be canceled because the witness has a medical condition that makes it unable for her to be deposed. On August 18, 2017, the PSC (in conjunction with Counsel for the State court Litigation against Auxilium in the Court of Common Pleas in Philadelphia) requested the depositions of one current GSK employee and one former GSK employee in order to obtain the testimony that was expected to be covered in the canceled deposition. The depositions thus far have all been cross-noticed and have been attended by counsel representing the state court plaintiffs, with their participation in the depositions pursuant to CMO 21.

2. Bellwether Process: The first Auxilium bellwether trial is set to begin on

November 6, 2017. On May 16, 2017, the Court entered CMO 53 selecting the following two cases as Auxilium Bellwether Trial Cases: Isaac Owens, et al v. Auxilium Pharmaceuticals, Inc.

(1:14-cv-05180) and Steve Holtsclaw v. Endo Pharmaceuticals, Inc., et al. (1:15-cv-03941).

Pursuant to CMO 53, the parties were ordered to submit a proposal to the Court at the next case management conference, which is this case management conference, recommending a process for selecting the sequence of the two Auxilium Bellwether Trial Cases (i.e., the order of the trial settings) after the completion of expert discovery pursuant to CMO 31, as noted below the parties

have different positions on this matter. The parties have exchanged expert witness disclosures and

are currently in the process of taking expert witness depositions. It is expected that all expert

depositions will be completed by the September 6, 2017 deadline, except for the deposition of

Auxilium’s regulatory expert, Dr. Marianne Mann, which is scheduled for September 11, 2017, by

agreement of the parties.

3. Sequence of Bellwether Trial Cases:

Auxilium’s Position

On May 16, 2017, the PSC and Auxilium submitted to the Court the parties’ joint proposed

CMO 53 (Order Selecting Two Auxilium Bellwether Trial Cases). The Court entered CMO 53

that same day and the CMO states:

The parties shall submit a proposal to the Court at the next case management conference recommending a process for selecting the sequence of the two Auxilium Bellwether Trial Cases (i.e., the order of the trial settings) after the completion of expert discovery pursuant to CMO 31.

Consistent with CMO 53, Auxilium proposes that if the parties are not able to agree on the

sequence of the two Auxilium Bellwether Trial Cases, the parties submit simultaneous briefs not

to exceed 5 pages on September 15, 2017 outlining their respective positions. Auxilium also

proposes that the Court endeavor to make a selection by September 22, 2017, which will give the

parties over 6 weeks to focus their efforts on preparing for the first Auxilium trial.

Completing expert discovery before proposing the sequence of the trials to the Court will

allow the parties to better represent to the Court their rationale for selecting which trial should go

first. Notably, CMO 61 requires the parties to submit on September 11, 2017, Summary judgment

motions and Daubert motions for both Auxilium-only bellwether trial cases and in CMO 63 the

Court set briefing page limits for both Auxilium-only bellwether trial cases. Consistent with CMO

31, CMO 53, CMO 61, and CMO 63, the plan all along has been for the parties to work up both

Auxilium-only bellwether trial cases and for the sequence of the trials to be selected after the completion of expert discovery.

PSC’s Position

The PSC believes the spirit of CMO 31 and 53 is that the cases should be proposed now.

The first Auxilium trial is scheduled to begin November 6, 2017. All expert reports have been served, and the parties are now scrambling to take expert depositions. The PSC is prepared to select which of the two cases it submits should be tried first and set forth its rationale for their proposed sequence of these two Auxilium trial cases. The PSC submits that Auxilium’s position that the parties should wait until the expert depositions are completed (which is over three weeks from now) will result in the first trial not being known to the parties until less than two months before the trial is scheduled to start. Simply put there is very little additional information that will help assess which case should be tried first versus which should be tried second that will come from expert depositions. And as noted above, in light of the very fast-approaching trial, this decision should be made as soon as practical, and the PSC submits simultaneous briefing by close of this week should be done.

It is also important to point out that the parties and the Court are faced with sequencing just two cases – one will go first (in November, 2017) and one will go second (in April, 2018). It is not an intricate sequencing process like with the seven AbbVie bellwether cases.

The PSC respectfully submits that identifying now which of the two cases will be tried in

November and which will be tried in April 2018 serves the parties and the Court in allowing for better final pre-trial preparation versus submitting “the process” after all expert depositions which is over three weeks from now.

As such the PSC is prepared to advocate which is more representative now and submits

that this be done via simultaneous submission either by close of business on Thursday August

24, 2017 or by 2pm on Friday, August 25, 2017, with the Court hopefully deciding the sequence

the following week. The PSC is fully prepared to discuss its position with the court at the CMC

if the Court wishes.

4. Status of Motions to Strike Affirmative Defenses in the Two Bellwether

Cases: On July 5, 2017, Plaintiffs in both Auxilium bellwether cases filed motions to strike certain affirmative defenses. By separate stipulations in both cases, the parties narrowed the affirmative defenses challenged. In light of the revised stipulation in Holtsclaw, Mr. Holtsclaw now challenges two affirmative defense: No. 7 and No. 16. In light of the stipulation in Owens, Mr.

Owens now challenges two affirmative defenses: No. 4 and No. 22. The motions are fully briefed.

5. Status of Auxilium State Court Litigation: Pursuant to CMO 31 and

CMO 61, the PSC and Counsel for the State Court Litigation against Auxilium in the Court of

Common Pleas in Philadelphia are working in coordination with the understanding that the first of the Auxilium MDL bellwether cases will be tried in advance of the cases pending before Judge

Rau, Judge Younge, and Judge Cohen in that Court.

C. Update on Eli Lilly & Co.

1. Status of Pending Discovery

The PSC continues to take depositions of Lilly employees. While fact discovery closed as

to depositions of current and former employees of Lilly on August 18, 2017, the parties have

reached an agreement to complete the deposition of former employee Nancy Ostrowski within a

reasonable time beyond this deadline. The necessity to take her deposition after August 18, 2017

arose primarily due to the deponent’s refusal to appear voluntarily for a deposition. All other Lilly

fact discovery depositions have been completed.

Additionally, Plaintiffs intend to take the deposition of Allison Kramer, an employee of

the third party Grey Global. Discussions are ongoing as to the date of her deposition. However,

the PSC anticipates the deposition may need to occur after the third party discovery deadline of

September 15, 2017 given that the witness is presently on temporary leave from her employer.

The PSC will endeavor to ensure the deposition occurs as soon as possible and have notified Lilly

of the reason for delay in completing her deposition.

2. Status of Bellwether Process

Fact discovery has been completed as to the Lilly bellwether cases. The PSC has served

its expert reports as to all of its experts except for one. The parties have agreed to a brief extension

until August 23, 2017 to serve the expert report of Dr. Peggy Pence. A similar extension has been

made available to Lilly if necessary. However, these extensions will not otherwise impact the

deadlines in existence for the bellwether cases.

Per the Court’s directive, the parties have begun discussing revisions to the briefing

schedule for motions for summary judgment or for partial summary judgment and/or motions

seeking to challenge expert testimony pursuant to Daubert as set forth in CMO 19-C. The parties

will update the Court on those discussions at the Status Conference.

D. Update on Endo

1. Status of Discovery: To date, the PSC has requested production from 40 custodial files and Endo has produced custodial files for 35 of the requested custodians. It appears that the

remaining 5 requested custodians were never employed by or worked for Endo and thus have no

custodial files. At this time, there are no outstanding requests for Endo custodial files.

As of August 24, 2017, Endo has produced 7 former or current employees for deposition.

The depositions thus far have been cross-noticed and have been attended by counsel representing

the state court plaintiffs, with their participation in the depositions pursuant to CMO 21.

Pursuant to CMO 33, non-expert fact discovery against Endo was scheduled to be

completed by July 14, 2017, and the first Endo trial is set for September 10, 2018. As the parties

reported in the May 2017 Status Report, the parties agree that they need to extend the non-expert fact discovery and that doing so will not impact the trial date. The parties are meeting and

conferring on a new non-expert fact discovery cutoff date and they are optimistic that they will be able to submit a joint proposed CMO to the Court.

2. Bellwether Process: Pursuant to CMO 33, on July 14, 2017, the parties selected a pool of cases where Endo is the only defendant and the only testosterone product used was Fortesta.

After eliminating mixed-use cases, the pool consists of 32 cases. Auxilium served abbreviated

Defense Fact Sheets for the 32 cases on August 15, 2017 and on August 25, 2017 each party will identify their 3 bellwether cases.

E. Update on Actavis

1. Bellwether Selection Process:

The Parties selected six Actavis-only, Androderm-only bellwether discovery cases per the

CMO 37 protocol. Those selections were based upon plaintiff’s sworn fact sheets. However,

Actavis Defendants collection of medical records in the William Morgan v. Actavis Pharma, Inc., et al. case selected by Actavis Defendants revealed that plaintiff used several other TRT products along with Androderm. The parties agreed that the case must be excluded as mixed-use, and since that time Actavis Defendants have worked to identify additional eligible cases for replacement

(excluding those with mixed-use revealed in medical records), provide the list of those cases to

plaintiff’s counsel, and propose a protocol for choosing one replacement case. The PSC accepted

Actavis Defendants proposed protocol on August 18, 2017, and the parties anticipate selection of

a replacement case by September 1, 2017.

2. Defense Fact Sheet:

The Parties have met and conferred about the form and scope of a Defense Fact Sheet

(“DFS”) that Actavis Defendants have agreed to voluntarily provide in the bellwether discovery

cases. As part of that DFS, plaintiffs have requested that Actavis Defendants provide information

regarding contacts with the prescribing physicians for the bellwether discovery plaintiffs that

occurred in the form of either Dear Doctor letters, Professional Medical Information Requests,

and/or visits from Actavis sales representatives regarding Androderm. Additionally, plaintiffs

have requested that Actavis Defendants produce call notes for any visits from Actavis sales representatives for Androderm and any data regarding product samples, leave behinds, or literature provided to those prescribing physicians during those visits.

Relevant Time Period:

Plaintiffs’ Position

The Parties have met and conferred about the form and scope of the DFS Actavis

Defendants will provide on the bellwether cases. Actavis Defendants requested that the relevant

time period be limited to January 1, 2010 through the time of injury.

The PSC disagrees. The Actavis Defendants should produce responsive information on the

bellwether cases exactly as the other defendants did: from the time of FDA approval through the

time of injury. FDA granted Actavis Defendants approval to market Androderm on September 29,

1995. Eliminating Actavis Defendants’ prescriber contact information for the first fifteen years it

marketed the product would potentially eliminate relevant, probative evidence and be a disservice

to the bellwether process.

Actavis Defendants’ Position:

Actavis Defendants are agreeable to providing a DFS in each bellwether discovery case

that provides the information requested regarding contacts with plaintiff’s prescribing physicians,

if any. However, Actavis Defendants have explained to plaintiffs’ counsel that the marketing and promotion of Androderm was limited. Given that limited marketing and promotion of Androderm, it is more likely the case that the prescribing physicians in the bellwether cases were not called on by any Actavis employee regarding Androderm. Indeed, Actavis Defendants preliminary review of accessible data after January 1, 2010, to the date of alleged injury in each bellwether case indicates the prescribing physicians at issue were not called on for Androderm. Actavis

Defendants have proposed providing the information requested by plaintiffs for the time period of

January 1, 2010 through the date of injury at issue in each of the bellwether cases, as the information requested for that period is reasonably accessible to Actavis Defendants. Based on investigation to date, the Actavis Defendants have not been able to confirm that information of the type requested that pre-dates January 1, 2010, exists. If it does, the information is not easily accessible to Actavis Defendants. Moreover, in all of the bellwether cases selected to date, plaintiffs allege injury occurred after January 1, 2010, and in each of the cases, with the exception of one, plaintiff was not prescribed and did not use Androderm prior to January 1, 2010. As such,

Actavis Defendants’ believe their proposal provides the information requested during the relevant time period for each bellwether discovery plaintiff. Plaintiffs have not agreed to limit the relevant time period in the DFS to January 1, 2010 to date of injury. Actavis Defendants continue to investigate the existence and availability of the information requested that pre-dates January 1,

2010, and will provide plaintiffs’ counsel with an update on whether such information exists and, if so, the degree to which it is accessible.

IMS Data:

The Parties have also met and conferred about production of IMS (prescribing habit) data regarding the prescribing physicians in the bellwether cases, if any. The PSC believes that Actavis

Defendants should produce this information as the other defendants did. (That is, to the extent it is held in a sales call database or the like, it must be produced). Actavis Defendants are agreeable to producing IMS data, to the extent it exists, for any of the prescribing physicians it called upon for Androderm in the bellwether discovery cases. However, Actavis Defendants question the relevance of IMS data regarding physicians it did not visit for Androderm. Negotiations regarding the scope and timing of production of IMS data, to the extent it exists, are ongoing.

Custodial File Production of the Sales Representatives Identified in the DFSs:

Actavis Defendants and the PSC agree that Actavis Defendants will produce sales representative custodial files for sales representatives who called on any of the prescribing physicians for Androderm in the bellwether discovery cases to the extent such custodial files exist.

Actavis Defendants will use the same search protocol on those files, if any, as used on other custodial files collected and produced in this litigation. Given the limited marketing and promotion of Androderm, and that preliminary review of accessible data after January 1, 2010, to the date of alleged injury in each bellwether case indicates the prescribing physicians at issue were not called on regarding Androderm, Actavis Defendants anticipate that it is likely there are few, if any, custodial files to produce. Actavis Defendants and the PSC agree that if there was no sales visits for Androderm for a particular prescriber, then there will be no associated sales representative’s custodial file for production.

Timing of the DFS, Sales Rep Custodial Files, and IMS Data:

Plaintiffs’ Position:

Because the Court has set December 1, 2017 as the discovery cut in the Actavis bellwether cases, the DFS must be completed and is ripe for resolution.

On July 12, 2017, the PSC asked Actavis Defendants to stipulate to production of all sales custodial files by September 15, 2017. Actavis Defendants provided a proposed DFS on July 31.

On an August 1 call, the PSC inquired about the limiting date of January 1, 2010. However, lead counsel was not available to discuss that issue until the following week so the PSC sent an email on August 1 outlining open issues including questioning the limiting date of January 1, 2010. On an August 9 call, Actavis Defendants indicated that if the PSC would limit the relevant time to no earlier than 2010, Actavis Defendants could respond relatively quickly. On August 11, 2017, the

PSC informed Actavis Defendants that the 2010 limitation would be unacceptable and asked

Actavis Defendants to complete production of the DFSs and sales representative custodial files by

September 15, but suggested giving Actavis Defendants until October 15 to complete the IMS data production.

Again because of the December 1, 2017 discovery deadline, the PSC believes Actavis

Defendants must produce the DFSs, the related call notes, and the custodial files by September 15 and the IMS data by October 15.

Actavis Defendants’ Position:

Plaintiffs first provided counsel for Actavis Defendants with a sample of the DFS agreed to with other defendants on July 12, 2017. Counsel for Actavis Defendants then drafted a proposed

DFS specific to the Actavis-only cases and nearly identical to the sample DFS provided by plaintiffs. Actavis Defendants provided that approved draft to plaintiffs’ counsel on July 31, 2017,

and advised plaintiffs’ counsel that the draft DFS was agreeable. Actavis Defendants proposed

DFS provided the same information as provided for in the sample DFS shared by plaintiffs’ counsel. The only significant substantive revision was the relevant time period for production of the information requested. As noted, plaintiffs’ counsel has rejected Actavis Defendants proposed time period, and seeks information from 1995 through the date of injury. The broad scope of this request requires Actavis Defendants to conduct additional investigation regarding the existence and reasonable availability of the information requested that pre-dates January 1, 2010. Once that issue is determined, the time frame by which the information requested can be provided can be determined. In any event, given the limited nature of the marketing and promotion of Androderm,

Actavis Defendants anticipate that the information produced, if any, will not be voluminous.

2. Custodial File Production (other than sales representatives identified on the six DFSs) and Non-Custodial File Production:

Actavis Defendants have completed production of all requested custodial files. Actavis

Defendants are working to finalize transmission of certificates of completeness for each custodial files produced. Actavis Defendants have substantially completed production of responsive non- custodial files. Additional share files are being reviewed for any potentially responsive non- custodial documents.

3. Privilege Log:

After meeting and conferring with the PSC, Actavis Defendants voluntarily agreed to prepare a supplemental privilege log that includes the subject matter of any withheld documents so that the PSC will be able to raise challenges, if appropriate. However, Actavis Defendants have not provided the supplemental privilege log to the PSC yet. Actavis Defendants anticipate it will be completed by August 31, 2017.

Plaintiffs have requested dates for the depositions of five former employees of Actavis

Defendants. Actavis Defendants have confirmed that three of those former employees are

agreeable to voluntarily appearing for deposition in the TRT MDL, and the deposition of one of

those former employees is scheduled for September 14, 2017. Actavis Defendants have requested

plaintiffs’ counsel provide dates they are available to depose the other two former employees so

those individuals can schedule an available date on their calendar that also work for their current

employers. Actavis Defendants are working to determine the availability of the two remaining

former employees for a deposition.

Actavis Defendants have requested dates for the deposition of plaintiff in the Jerome

Danzey case on July 10, 2017. After receiving no response, Actavis Defendants noticed plaintiff

Jerome Danzey’s deposition for September 7, 2017. Plaintiff’s counsel responded once the Notice was issue on August 15, 2017, and he has advised he is unavailable for Mr. Danzey’s deposition on that date. Actavis Defendants are waiting for alternative dates from plaintiff’s counsel.

F. “Mixed Use” Cases: The parties submitted their respective positions on this issue simultaneously on July 13, 2017.

G. Dismissal Lists: The parties have attached CMO 26 and 9 Dismissal Lists as Exhibits

A and B respectively and will also provide the lists to the Court in Excel format by email. There are no outstanding objections from the previous or current lists that would warrant counsel presenting their disputes to the Court.

II. Third Party Payor Case - Allied Services Lawsuit

Defendants’ Position

As the Court may recall, while motion-to-dismiss briefing in the Medical Mutual of Ohio

(“MMO”) lawsuit was underway, another third-party payor, Allied Services Division Welfare

Fund (“Allied Services”), filed a copycat complaint in this MDL, seeking to certify the very same

class of third-party payors (“TPPs”) under the very same RICO theory. See Allied Servs. Div.

Welfare Fund v. AbbVie Inc., et al., No. 15-cv-9525 (N.D. Ill.). The Allied Services complaint was

borrowed almost verbatim from MMO’s original complaint in this action, which the Court

subsequently dismissed. However, for unknown reasons, the Allied Services complaint names only

the AbbVie and Auxilium groups of entities as defendants and does not include Eli Lilly or

Actavis.

In November 2015, the Court stayed the Allied Services action pending resolution of the

motions to dismiss in MMO. See No. 15-9525, ECF No. 5 (N.D. Ill. Nov. 13, 2015). Thereafter, the Court dismissed MMO’s original complaint; MMO repled; and the Court deemed MMO’s substantially revised Third Amended Complaint sufficient to state a claim. Since that time, Allied

Services has not taken any steps to lift the stay, amend its complaint to conform with the Court’s

rulings in MMO, or otherwise pursue its claims.

Consequently, on June 15, 2017, counsel for AbbVie and Auxilium approached Allied

Services and asked it to voluntarily dismiss. See Exhibit C (6/15/2017 Letter). As Defendants

explained, the Court’s rulings in MMO made it clear that the Allied Services complaint failed to

state a claim. Defendants also observed that, in another recent pharmaceutical RICO action, Allied

Services had voluntarily dismissed its claims years into the proceedings—after an appeal to the

Third Circuit and a fully-briefed petition for certiorari—when it discovered that its historical

prescription-claims data had not been preserved. Allied Services is currently faced with a

sanctions motion in that action for allegedly filing and litigating its RICO claims without

conducting the investigation that Rule 11 requires. See Allied Servs. Div. Welfare Fund v.

GlaxoSmithKline, LLC, et al., No. 2:09-cv-00730, ECF No. 97 (E.D. Pa. Nov. 8, 2016). That issue

would seem dispositive here as well.

On July 17, 2017, counsel for Allied Services responded to AbbVie and Auxilium that it

still intended to pursue its claims. Since that time, however, Allied Services has not taken any

steps to do so. Accordingly, AbbVie and Auxilium respectfully ask the Court to order Allied

Services to show cause by a date certain why its complaint should not be dismissed for failure to

state a claim and/or for failure to prosecute. In the alternative, AbbVie and Auxilium intend to

bring a motion to dismiss the Allied Services complaint.

Plaintiff/Allied Position:

Plaintiff Allied Services Division Welfare Fund (hereafter “ASD” or “Allied”) filed its

complaint on October 26, 2015. See Allied Servs. Div. Welfare Fund v. AbbVie Inc., et al., No. 15-

cv-9525 (N.D. Ill.). (Dkt. 1). That case was stayed on November 13, 2015 pending the outcome

of the Motion to Dismiss in the Medical Mutual of Ohio case (No. 15-cv-9525 (N.D. Ill.). (Dkt.

5). The Motion to Dismiss in MMO was granted in part and denied in part on August 2, 2016 (

14-cv-08857, Dkt. 170) and thereafter defendant Actavis moved for reconsideration and alternatively certification for appeal under 28 USC 1292(b), both of which were denied by the

Court on September 8, 2018. See 14-cv-08857, Dkt. 182.

On June 15, 2017, counsel for AbbVie and Auxilium demanded that ASD voluntarily dismiss its case, suggesting that in their opinion ASD could not cure the defects in its complaint, noting that motion for sanctions against ASD in an unrelated case (Allied Servs. Div. Welfare Fund v. GlaxoSmithKline, LLC, et al., No. 2:09-cv-00730), and arguing that ASD’s complaint is redundant because ASD is already a member of a putative class. See Exhibit C (6/15/2017

Letter).

Given the Court’s ruling on the Motions to Dismiss in the MMO case ASD will amend its

Complaint accordingly. With regard to the allegations by AbbVie that the issue in the Allied v

GSK, et al. matter would be dispositive in this case as well, AbbVie is mistaken. In Allied v GSK

Sanctions were sought against ASD for allegedly failing to perform a pre-suit investigation and

filing its Complaint without the requisite data to back up its allegations. A pre-suit investigation

was in fact made and counsel confirmed Allied’s purchases of Avandia during the class period.

Allied provided GSK its claims data for 2008 forward, and then in late 2016 counsel located the previously obtained purchase data from 1999 forward and provided same to GSK. The motion for sanctions was fully briefed and argued. The Court has not yet ruled. Regardless of the issues in the Avandia case, here, Allied’s complaint was filed in reliance of purchase data from AtlanticRx,

Allied’s pharmacy benefits manager from 2009-2012. None of the alleged issues raised in the

Avandia case are present here.

Finally, the allegation that ASD should dismiss because it is already a putative class member is without merit. It is not uncommon to have more than one class representative for Third

Party Payor classes. See for example In re: Generic Pharmaceutical Antitrust Litigation, 2:16- md-02724, E.D. Pa which has several TPP class representatives; In Re Actos (Pioglitazone)

Products Liability Litigation; MDL NO. 6:11-md-2299, W.D. La. which also has several TPP class representatives including Allied and Blue Cross Blue Shield of Louisiana. Allied is a small Health and Welfare Fund providing benefits for union members mostly in the transportation industry. Its purchases and plans may be different from other TPP’s already named. There is no reason to dismiss ASD simply because it is already a putative class member.

ASD believes that its complaint can be amended to comply with the orders already entered by this Court, and will do so, as stated in its letter to AbbVie counsel on July 17, 2017. See Ex.

Dear James;

I write on behalf of AbbVie Inc., Abbott Laboratories, Abbott Products, Inc., Solvay America, Inc., Solvay Pharmaceuticals, Inc., Solvay S.A., and Unimed Pharmaceuticals, LLC (collectively, "AbbVie") concerning the Class Action Complaint ("Complaint") filed by Allied Services Division Welfare Fund ("Allied") on October 26, 2015. The Complaint was stayed "pending ruling on motions to dismiss" in Medical Mutual ofOhio v. AbbVie Inc., 14-cv-8857 (N.D. Ill.)(the "MMO Action"). See No. 15-9525, ECF No. 5 (N.D. Ill. Nov. 13, 2015). The last of those motions was decided over nine months ago, see 14-8857, ECF No. 170(N.D. Ill. Feb. 2, 2016), and Allied has taken no steps to pursue its claims since that time.

For the reasons below, we submit that the prudent course of action would be for Allied to dismiss its Complaint voluntarily. Indeed, Fed. R. Civ. P. 11 may require such action.

First, the Complaint plainly fails to state a claim under the Court's decisions to date. Those decisions apply equally to Allied's Complaint. For example:

• The Court has held that it lacks personal jurisdiction over Solvay S.A. and Solvay America, Inc. No. 14-8857, ECF No. 139 at 51-52(N.D. Ill. Feb. 5, 2016). The Complaint's claims against those entities are plainly subject to dismissal.

The Court has held that a TPP plaintiff may pursue state-law claims only under the laws of the state of its principal place of business. No. 14-8857, ECF No. 139 at 45-48. Allied has its "principal place of business ... [in] Illinois." (Compl. ¶ 9.) As such, the Complaint's claims that AbbVie violated the consumer- protection statutes of the 50 states (Counts V—VI) and the Louisiana Civil Code's provisions concerning redhibition (Count VII) are plainly subject to dismissal.

• The Court has held that RICO's proximate-cause requirement and Fed. R. Civ. P. 9(b), taken together, require a TPP to plead the time, place, and content of specific misrepresentations "made directly" to it by the defendant, which "induced the Case: 1:14-cv-01748 Document #: 2105-3 Filed: 08/22/17 Page 3 of 4 PageID #:52909

TPP to place the defendant's drug on formulary." No. 14-8857, ECF No. 139 at 36-41. Allied's Complaint falls far short of this standard: it contains no allegations whatsoever about communications made to it by any defendant—let alone particularized allegations about the time, place, or content of any misrepresentations that "induced [Allied] to place [AndroGel] on formulaxy."

Furthermore, based on the facts known to us, Allied could not amend its Complaint to cure any of these defects. In particular, with regard to the third defect, our investigation reflects that AbbVie never made direct representations to Allied. Moreover, Allied evidently had no formulary at all when AndroGel entered the U.S. market in 2000, and Allied evidently has not been involved in the design of its own formulary at any subsequent time. Allied Servs. Div. Welfare Fund v. GZaxoSmithKline, LLC, et al., No. 09-730, ECF No. 88-1 at 9(E.D. Pa. Aug. 29, 2016). Accordingly, Allied cannot possibly have made a decision to include AndroGel on its formulary in reliance on any false or misleading statements by AbbVie.

Second, AbbVie is aware that Allied is under threat of sanctions in the Avandia MDL for filing and pursuing similar RICO claims despite the lack of data to corroborate its allegations of injury and damages. No. 09-730, ECF No. 97(E.D. Pa. Nov. 8, 2016). From what AbbVie can tell, the evidentiary issues that eventually caused Allied to dismiss its own claims in the Avandia MDL (e.g., lack of prescription claims data for the time period at issue) would preclude Allied from proving its allegations in this case as well.

Finally, the Complaint is redundant. Allied is a member of the putative class in the MMO Action, and the damages it seeks on behalf of itself and other third-party payors are identical to those sought in the MMO Action. Allied's Complaint may be subject to dismissal for this reason alone. See, e.g., McReynolds v. Merrill Lynch & Co., 694 F.3d 873, 888-89(7th Cir. 2012)(affirming district court's dismissal of a "duplicative parallel action").

To the extent the Allied Complaint goes beyond the MMO Complaint by purporting to seek damages on behalf of"a class of consumers"(Compl. ¶ 2), that relief is unavailable as a matter of law. Allied is not a consumer, and no named plaintiff who is a consumer is identified in the Complaint. It is axiomatic that Allied "cannot represent a class to which [it] does] not belong." Rosario v. Rockefeller, 410 U.S. 752, 759 n.9 (1973). Additionally, because the interests of TPPs and consumers inherently diverge in a case of this nature, a single named plaintiff cannot possibly represent both types of entities consistent with Rule 23(a)(4)'s adequacy-of-representation requirement. See In re Synthroid Marketing Litig., 264 F.3d 712, 717 (7th Cir. 2001)("Had the TPPs held back and sued in subrogation, they might well have taken almost the entire fund [from the consumer plaintiffs]."). * * *

For the foregoing reasons, Allied should voluntarily dismiss its Complaint, as it did in the Avandia MDL. If Allied continues to do nothing, AbbVie will ask the Court to dismiss the Case: 1:14-cv-01748 Document #: 2105-3 Filed: 08/22/17 Page 4 of 4 PageID #:52910

Complaint for lack of prosecution. If Allied takes steps to prosecute this action without curing the defects in its Complaint (and, as explained above, AbbVie believes they cannot be cured), AbbVie will move to dismiss, and it may seek the costs associated with such a motion.
