In the Matter of the Granting of a Cable Television Franchise Held by Spectrum Northeast LLC in the Village Akron, County of Erie, New York RESOLUTION

An application has been duly made to the Board of the Village of Akron, County of Erie, New

York, by Spectrum Northeast LLC, an indirect subsidiary of Charter Communications, a limited liability company organized and existing in good standing under the laws of State of Delaware doing business at 2604 Seneca Avenue, Niagara Falls, NY 14305, for the approval of a renewal agreement for Spectrum's cable television franchise for seven (7) years commencing with the date of approval by the Public Service Commission commencing with the date of approval by the Public

Service Commission.

The Franchise Renewal Agreement would bring the franchise into conformity with certain provisions of the Federal Cable Communications Policy Act of 1984, as amended, and certain court rulings.

A public hearing was held in the Village of Akron, New York on October 21, 2019 at 7:00 P.M. and notice of the hearing was published in the Akron Bugle on October 10, 2019.

NOW, THEREFORE, the Board of the Village of Akron finds that:

1. Spectrum Northeast LLC has substantially complied with the material terms and conditions of its existing franchise and with applicable law; and

2. Spectrum Northeast LLC has the financial, legal and technical ability to provide these services, facilities and equipment as set forth in its proposal attached; and 3. Spectrum Northeast LLC can reasonably meet the future cable-related community needs and interests, taking into account the cost of meeting such needs and interests.

BE IT FURTHER RESOLVED that the Board of the Village of Akron hereby grants the cable television franchise of Spectrum Northeast LLC and the Village of Akron for seven (7) years commencing with the date of approval by the Public Service Commission and expiring seven (7) years hence.

BE IT FURTHER RESOLVED that the Board of the Village of Akron hereby confirms acceptance of this Franchise Renewal Agreement.

WHEREAS, thethe Grantor Grantor finds thatthat the Grantee has substantially complied with the material terms of the current FranchiseFranchise underunder applicableapplicable laws,laws, that thisthis FranchiseFranchise compliescomplies with New YorkYork PublicPublic ServiceService Commission's Commission's ("NYPSC") ("NYPSC") franchise franchise standards standards underunder Title 16, ChapterChapter VIII, Part 895895 of the Official Compilation of Codes, Rules and Regulations of the State of New York, and that thethe grantgrant ofof aa nonexclusivenonexclusive franchise to Grantee is consistent with the public interest; andand

WHEREAS, the the Grantor Grantor andand GranteeGrantee have complied withwith allall federalfederal and and State-mandatedState-mandated procedural and substantive requirements pertinent to this franchise renewal; and

WHEREAS, GrantorGrantor desires to enterenter into this FranchiseFranchise withwith thethe GranteeGrantee for the construction and operation of a cable system onon thethe termsterms setset forthforth herein;herein;

NOW, THEREFORE, thethe GrantorGrantor and GranteeGrantee agreeagree asas follows:follows:

SECTION 1 Definition of Terms

1.1 Terms. ForFor the the purpose purpose of of this this franchise franchise the the following following terms, terms, phrases, phrases, words words andand theirtheir derivations shall have the meaning ascribed to them inin the CableCable CommunicationsCommunications PolicyPolicy Act of 1984, asas amendedamended fromfrom timetime toto timetime (the(the "Cable"Cable Act"), unless otherwise defined herein.herein. When notnot inconsistent withwith thethe context,context, wordswords usedused inin thethe presentpresent tensetense includeinclude thethe future,future, words in the pluralplural number include the singular number, and words in the singular number include thethe pluralplural number.number. The word "shall" isis mandatory andand "may""may" is is permissive. permissive. WordsWords notnot defineddefined shall be given theirtheir commoncommon andand ordinaryordinary meaning.

A. "Cable System," "Cable Service,"Service," and "Basic"Basic CableCable Service" shall be defined as set forth in the Cable Act.

13.B. "Board" shallshall meanmean the governing body ofof thethe Grantor.Grantor.

C. "Cable Act" shallshall meanmean thethe CableCable CommunicationCommunication PolicyPolicy ActAct of 1984, asas amended,amended, 47 U.S.C. §§ 521,521, et.et. seq.seq.

D. "Channel" shallshall mean a portion of the electromagnetic frequency spectrum which isis usedused inin aa cablecable systemsystem andand which is capablecapable of deliveringdelivering aa television channel.channel.

F.F. "FCC""FCC" shallshall meanmean thethe FederalFederal CommunicationsCommunications CommissionCommission andand anyany successorsuccessor governmentalgovernmental entityentity thereto.thereto.

G.G. "Franchise""Franchise" shallshall meanmean thethe non-exclusivenon-exclusive rightsrights grantedgranted pursuantpursuant toto thisthis FranchiseFranchise toto constructconstruct operateoperate andand maintainmaintain aa CableCable SystemSystem alongalong thethe publicpublic waysways withinwithin allall oror aa specifiedspecified areaarea inin thethe FranchiseFranchise Area.Area.

H.H. "Franchise"Franchise Area"Area" shallshall meanmean thethe geographicgeographic boundariesboundaries ofof thethe Grantor,Grantor, andand shallshall includeinclude anyany additionsadditions theretothereto byby annexationannexation oror otherother legallegal means.means.

"Gross"Gross Revenues"Revenues" meansmeans allall revenue,revenue, asas determineddetermined inin accordanceaccordance withwith generallygenerally acceptedaccepted accountingaccounting principlesprinciples ("GAAP")("GAAP") receivedreceived byby Grantee,Grantee, fromfrom thethe operationoperation ofof thethe CableCable SystemSystem toto provideprovide CableCable ServicesServices inin thethe FranchiseFranchise Area.Area. J.J. "Person""Person" shallshall meanmean anan individual,individual, partnership,partnership, association,association, organization,organization, corporation,corporation, trusttrust oror governmentalgovernmental entity.entity.

K. "Service"Service Area"Area" shallshall meanmean thethe areaarea describeddescribed inin subsectionsubsection 6.16.1 herein.herein.

L.L. "Standard"Standard Installation"Installation" shallshall meanmean installationsinstallations toto residencesresidences andand buildingsbuildings thatthat areare locatedlocated upup toto 150150 feetfeet fromfrom thethe pointpoint ofof connectionconnection toto Grantee'sGrantee's existingexisting distributiondistribution system.system.

M. "State""State" shallshall meanmean thethe StateState ofof NewNew York.York.

N.N. "Street""Street" shallshall includeinclude eacheach ofof thethe followingfollowing locatedlocated withinwithin thethe FranchiseFranchise Area:Area: publicpublic streets,streets, roadways,roadways, highways,highways, bridges,bridges, landland paths,paths, boulevards,boulevards, avenues,avenues, lanes,lanes, alleys,alleys, sidewalks,sidewalks, circles,circles, drives,drives, easements,easements, rightsrights ofof wayway andand similarsimilar publicpublic waysways andand extensionsextensions andand additionsadditions thereto,thereto, includingincluding butbut notnot limitedlimited toto publicpublic utilityutility

22 easements, dedicateddedicated utility strips, or rights-of-way dedicated for compatible uses now oror hereafterhereafter held by thethe GrantorGrantor in the Franchise Area,Area, which shall entitle the Grantee to the use thereof for the purpose of installing, operating, extending, repairingrepairing and maintaining the Cable System.

0. "Subscriber" shall shall meanmean anyany PersonPerson lawfully lawfully receivingreceiving Cable Service from the Grantee.

SECTION 2 Grant of Franchise

2.1 Grant. The The Grantor Grantor hereby hereby grants grants to to the the GranteeGrantee a nonexclusive FranchiseFranchise which authorizes the Grantee to erect, construct, extend, operate and maintain in,in, upon, along, across, above, overover andand underunder the Streets, now in existence andand asas maymay bebe createdcreated oror establishedestablished duringduring itsits terms,terms, all Equipment,Equipment, including the Cable System. NothingNothing inin thisthis FranchiseFranchise shallshall bebe construedconstrued toto prohibitprohibit the Grantee fromfrom offeringoffering anyany serviceservice over its CableCable SystemSystem thatthat isis notnot prohibitedprohibited by federal or State law.

2.2 Term. TheThe FranchiseFranchise and and the the rights, rights, privileges privileges and and authority authority herebyhereby grantedgranted shall be for an initial term of seven (7)(7) years,years, commencing onon thethe Effective DateDate ofof thisthis FranchiseFranchise asas setset forthforth inin Section 15.13.I5.13.

2.3 Police Powers. The Grantee agreesagrees toto complycomply withwith thethe termsterms of of anyany lawfullylawfully adoptedadopted generally applicable local ordinanceordinance necessary to the safety, health,health, and welfare of the public, to the extent that thethe provisionsprovisions ofof the ordinance dodo notnot havehave thethe effecteffect of limiting the benefits oror expanding thethe obligationsobligations ofof the the Grantee Grantee thatthat areare granted by this Franchise. This Franchise is a contract and exceptexcept as to those changes whichwhich areare thethe result of thethe Grantor's lawfullawful exerciseexercise of its general police power,power, thethe GrantorGrantor may not take any unilateral action which materially changes the mutual promises inin thisthis contract.contract.

2.4 Restoration ofofiVitinicinal Municipal Property. Property. Any Any municipal municipal property property damaged damaged oror destroyeddestroyed by Grantee shall be promptlypromptly repaired or replaced by the Grantee and restored toto serviceableserviceable condition.

2.5 Cable SNstemNs_tem Franchise Required. NoNo CableCable SystemSystem shallshall bebe allowedallowed toto occupyoccupy oror use thethe streets or public rights-of-way ofof thethe FranchiseFranchise AreaArea or be allowed toto operateoperate withoutwithout aa CableCable System Franchise.Franchise.

SECTION 3 Franchise Renewal

3.1 Procedures forfor Renewal.Renewal. TheThe GrantorGrantor and the Grantee agree that any proceedings undertaken by the Grantor thatthat relaterelate toto thethe renewalrenewal ofof the Grantee's FranchiseFranchise shallshall be governed by andand comply with the provisions of Section 626626 ofof the the CableCable Act,Act, oror anyany suchsuch successorsuccessor statute.statute.

3 SECTIOSECTIONN 44 IndemnificationIndemnification andand InsuranceInsurance

4.14.1 Indemnification.Indemnification. The The Grantee Grantee shall,shall, byby acceptanceacceptance ofof thethe FranchiseFranchise grantedgranted herein, defenddefend thethe Grantor,Grantor, its its officers, officers, boards,boards, commissions, commissions, agents,agents, andand employeesemployees for all claims for injury toto anyany PersonPerson oror propertyproperty caused caused by by the the negligence negligence of Grantee in the construction or operationoperation ofof thethe CableCable SystemSystem and in the event of a determination of liability shall indemnify andand hold Grantor, itsits officers,officers, boards, commissions,commissions, agents, and employeesemployees harmless from anyany andand allall liabilities,liabilities, claims,claims, demands,demands, oror judgmentsjudgments growinggrowing out of any injury to any Person or property asas aa resultresult ofof thethe negligencenegligence of GranteeGrantee arising out of the construction, repair, extension,extension, maintenance, operation oror removalremoval ofof its wires, poles oror otherother equipment of any kind or character usedused inin connectionconnection withwith thethe operationoperation ofof thethe CableCable System,System, provided that the Grantor shall shall givegive thethe GranteeGrantee writtenwritten notice notice ofof itsits obligationobligation to indemnify the Grantor withinwithin tenten (10)(10) daysdays ofof receipt of a claim oror action pursuant toto thisthis section.section. In the event any such claim arises,arises, thethe GrantorGrantor shallshall tendertender thethe defensedefense thereofthereof toto thethe GranteeGrantee andand the the Grantee Grantee shall shall have have the the right right to to defend, defend, settle settle oror compromise compromise anyany claimsclaims arisingarising hereunder andand thethe GrantorGrantor shall shall cooperate cooperate fully fully herein.herein. IfIf thethe GrantorGrantor determines determines in in goodgood faithfaith thatthat itsits interestsinterests cannotcannot bebe representedrepresented byby thethe Grantee,Grantee, the the Grantee Grantee shall shall be be excused excused fromfrom anyany obligationobligation to represent thethe Grantor.Grantor. Notwithstanding Notwithstanding thethe foregoing,foregoing, the GranteeGrantee shallshall notnot bebe obligatedobligated toto indemnify the Grantor for for any any damages, damages, liability liability oror claims claims resultingresulting fromfrom the the willful willful misconductmisconduct or negligence ofof thethe GrantorGrantor or for the Grantor's use use of of thethe CableCable System.System.

4.24,2 Insurance.Insurance.

44 SECTION 5 Service Obligations

5.1 No Discrimination. Grantee shall not deny service, deny access, or otherwise discriminate against Subscribers, Channel users,users, oror generalgeneral citizenscitizens on the basis of race, color, religion, nationalnational origin, age oror sex. GranteeGrantee shall not deny access toto CableCable Service toto anyany groupgroup of potentialpotential residentialresidential subscribers becausebecause of the income of thethe residentsresidents of thethe locallocal areaarea in which suchsuch groupgroup resides.

5.2 Privacy.Privao. TheThe Grantee Grantee shall shall fully fully comply comply with with the the privacy privacy rights rights ofof SubscribersSubscribers as contained in Cable ActAct SectionSection 631631 (47(47 U.S.C. § 551).

SECTION 6 ServiceService Availability

6.1 Service Area.Area. SubjectSubject toto applicableapplicable law,law, thethe GranteeGrantee shall continue to provideprovide Cable Service toto allall residencesresidences withinwithin the the Franchise Franchise AreaArea wherewhere GranteeGrantee currently provides Cable Service (the "Service Area") inin accordanceaccordance withwith thethe provisionsprovisions ofof SectionSection 895.5895.5 of thethe regulationsregulations of thethe NYPSC. GranteeGrantee shall havehave thethe right,right, but not the obligation, to extend the Cable System into any other portion of the Franchise Area, including annexed areas. Cable Service offered toto SubscribersSubscribers pursuant toto thisthis FranchiseFranchise shallshall bebe conditionedconditioned upon Grantee havinghaving legallegal access on reasonablereasonable termsterms and conditions to anyany suchsuch Subscriber'sSubscriber's dwelling unitunit oror other units wherein such Cable Service isis provided.provided.

6.2 Abandonment of of Service. Service. Grantee Grantee shall shall not not abandon abandon any any Cable Cable ServiceService or or portionportion thereofthereof without thethe Grantor'sGrantor's written consent.

6.3 New DevelopmentDevelopment Underground. Underground. In In cases cases of of new new construction construction or or property property development where utilities areare to bebe placedplaced underground,underground, the Grantor agreesagrees toto require asas aa conditioncondition ofof issuing a permit for open trenching to anyany developerdeveloper oror propertyproperty ownerowner thatthat suchsuch developerdeveloper or or propertyproperty owner give GranteeGrantee atat least thirtythirty (30) daysdays priorprior written notice of such constructionconstruction or development, andand ofof thethe particularparticular dates on which open trenchingtrenching will bebe availableavailable forfor Grantee'sGrantee's installation ofof conduit,conduit, pedestalspedestals and/orand/or vaults,vaults, andand lateralslaterals toto bebe providedprovided atat Grantee'sGrantee's expense. Grantee shall also provide specifications asas neededneeded forfor trenching.trenching. Costs ofof trenchingtrenching andand easements requiredrequired to bring service to the development shallshall bebe borneborne byby thethe developerdeveloper oror propertyproperty owner; except thatthat if Grantee fails to install itsits conduit,conduit, pedestalspedestals and/orand/or vaults,vaults, andand laterals within fifteen (15)(15) workingworking daysdays ofof the the date date thethe trenchestrenches areare available,available, asas designateddesignated inin thethe writtenwritten notice given byby thethe developerdeveloper oror propertyproperty owner, then should the trenches be closed afterafter the fifteen day period,period, the cost ofof newnew trenchingtrenching isis toto bebe borneborne byby Grantee.Grantee.

6.4 Annexation. TheThe GrantorGrantor shall promptly provide written notice to the Grantee of its annexation of anyany territoryterritory whichwhich is being provided Cable Service byby thethe GranteeGrantee or its affiliates. Such annexed area will be subject to the provisions of thisthis FranchiseFranchise upon sixty (60)(60) daysdays 'written'written notice fromfrom the Grantor, subjectsubject toto thethe conditionsconditions setset forthforth belowbelow andand SectionSection 6.16.1 above. The Grantor shallshall alsoalso notify Grantee in writing of all new street address assignments or changes within thethe Franchise Area. GranteeGrantee shallshall withinwithin ninetyninety (90)(90) daysdays afterafter receiptreceipt of thethe annexationannexation notice, paypay thethe Grantor franchisefranchise feesfees on revenue received from the operation of the Cable System to

IfIf thethe annexationannexation notice does not include thethe addressesaddresses thatthat willwill bebe movedmoved intointo thethe FranchiseFranchise Area,Area, GranteeGrantee shallshall paypay franchisefranchise feesfees withinwithin ninetyninety (90)(90) daysdays afterafter itit receivesreceives thethe annexedannexed addressesaddresses asas setset forthforth above.above. AllAll noticesnotices duedue underunder thisthis sectionsection shallshall bebe sentsent byby certifiedcertified mail,mail, returnreturn receiptreceipt requestedrequested toto thethe addressesaddresses setset forthforth inin SectionSection 15.715.7 withwith aa copycopy toto thethe DirectorDirector ofof GovernmentGovernment Affairs.Affairs. InIn anyany auditaudit ofof franchisefranchise feesfees duedue underunder thisthis Franchise,Franchise, GranteeGrantee shallshall notnot bebe liableliable forfor franchisefranchise feesfees onon annexedannexed areasareas unlessunless andand untiluntil GranteeGrantee hashas receivedreceived notificationnotification andand informationinformation thatthat meetsmeets thethe standardsstandards setset forthforth inin thisthis section.section.

SECTION 77 ConstructionConstruction and TechnicalTchnical StandardsStandards

7.17.1 ComplianceCompliance withwith Codes.Codes. AllAll constructionconstruction practicespractices andand installationinstallation ofof equipmentequipment shallshall bebe donedone inin accordanceaccordance withwith allall applicableapplicable sectionssections ofof thethe NationalNational ElectricElectric SafetySafety Code.Code.

7.27.2 ConstructionConstruction Standards and Requirements. Grantee shallshall constructconstruct and and maintainmaintain itsits EquipmentEquipment usingusing materialsmaterials ofof goodgood andand durabledurable quality andand shallshall ensureensure thatthat allall workwork involvedinvolved inin thethe construction,construction, installation,installation, maintenance,maintenance, andand repairrepair ofof thethe CableCable SystemSystem shallshall bebe performedperformed inin aa safe,safe, thoroughthorough andand reliablereliable manner.manner.

7.37.3 Safety. The Grantee shall atat allall timestimes employemploy ordinaryordinary carecare andand shallshall useuse commonlycommonly acceptedaccepted methodsmethods andand devicesdevices preventingpreventing failuresfailures andand accidentsaccidents whichwhich areare likely to cause damage.

7.47.4 NetworkNetwork TechnicalTechnical Requirements.Requirements. TheThe CableCable SystemSystem shallshall bebe designed,designed, constructedconstructed andand operatedoperated soso asas toto meetmeet thosethose technicaltechnical standardsstandards adoptedadopted byby thethe FCCFCC relatingrelating toto CableCable SystemsSystems containedcontained inin partpart 7676 ofof thethe FCC'sFCC's rulesrules andand regulationsregulations asas maymay bebe amendedamended fromfrom timetime toto time.time. TheThe CableCable SystemSystem shallshall provideprovide forfor aa minimumminimum ChannelChannel capacitycapacity ofof atat leastleast seventy-sevenseventy-seven (77)(77) Channels.Channels.

SECTIONSECTION 88 ConditionsConditions onon StreetStreet OccupanclOccupancl

8.18.1 GeneralGeneral Conditions.Conditions. GranteeGrantee shall shall have have the the right right to to utilize utilize existing existing poles,poles, conduitsconduits andand otherother facilitiesfacilities wheneverwhenever possible,possible, andand shallshall notnot constructconstruct oror installinstall anyany new,new, different,different, oror additionaladditional poles,poles, conduits,conduits, oror otherother facilitiesfacilities onon publicpublic propertyproperty providedprovided GranteeGrantee isis ableable toto accessaccess existingexisting poles, conduits, oror otherother facilitiesfacilities onon reasonablereasonable termsterms andand conditions.conditions.

8.28.2 UndergroundUnderground Construction.Construction. TheThe facilitiesfacilities ofof thethe GranteeGrantee shallshall bebe installedinstalled undergroundunderground inin thosethose ServiceService AreasAreas wherewhere existingexisting telephonetelephone andand electricelectric servicesservices areare bothboth undergroundunderground atat thethe timetime ofof systemsystem construction.construction. InIn areasareas wherewhere eithereither telephonetelephone oror electricelectric utilityutility facilitiesfacilities areare installedinstalled aeriallyaerially atat thethe timetime ofof systemsystem construction,construction, thethe GranteeGrantee maymay installinstall itsits facilitiesfacilities aeriallyaerially withwith thethe understandingunderstanding thatthat atat suchsuch timetime asas thethe existingexisting aerialaerial facilitiesfacilities areare requiredrequired toto bebe placedplaced undergroundunderground byby thethe Grantor,Grantor, thethe Grantee Grantee shallshall likewiselikewise placeplace itsits facilitiesfacilities underground.underground. InIn thethe eventevent GrantorGrantor oror anyany agencyagency thereofthereof directlydirectly oror indirectlyindirectly reimbursesreimburses anyany utilityutility forfor thethe placementplacement ofof cablecable undergroundunderground oror thethe movementmovement ofof cable,cable, GranteeGrantee shallshall bebe similarlysimilarly reimbursed.reimbursed.

66 8.3 Construction Codes and Permits. Grantee shall obtain all legally required permits before commencing any construction work, including the opening or disturbance of any Street within the Franchise Area, provided that such permit requirements are of general applicability and such permitting requirements are uniformly and consistently applied by the Grantor as to other public utility companies and other entities operating in the Franchise Area. The Grantor shall cooperate with the Grantee in granting any permits required, providing such grant and subsequent construction by the Grantee shall not unduly interfere with the use of such Streets. Notwithstanding the above, the Grantee may set off any administrative permit fees or other fees required by the Grantor related to the Grantee's use of Grantor rights-of-way against the franchise fee payments required under Section 10.1 of this Franchise.

8.4 Ss stem Construction. All transmission lines, equipment and structures shall be so installed and located as to cause minimum interference with the rights and reasonable convenience of property owners and at all times shall be kept and maintained in a safe, adequate and substantial condition, and in good order and repair. The Grantee shall, at all times, employ ordinary care and use commonly accepted methods and devices for preventing failures and accidents which are likely to cause damage, injuries, or nuisances to the public. Suitable barricades, flags, lights, flares or other devices shall be used at such times and places as are reasonably required for the safety of all members of the public. Any poles or other fixtures placed in any public way by the Grantee shall be placed in such a manner as not to interfere with the usual travel on such public way.

8.5 Restoration of Public Ways. Grantee shall, at its own expense, restore any damage or disturbance caused to the public way as a result of its operation, construction, or maintenance of the Cable System to a condition reasonably comparable to the condition of the Streets immediately prior to such damage or disturbance.

8.6 Tree Trimming. Grantee or its designee shall have the authority to trim trees on public property at its own expense as may be necessary to protect its wires and facilities.

8.7 Relocation for the Grantor. The Grantee shall, upon receipt of reasonable advance written notice, to be not less than ten (10) business days, protect, support, temporarily disconnect, relocate, or remove any property of Grantee when lawfully required by the Grantor pursuant to its police powers. Grantee shall be responsible for any costs associated with these obligations to the same extent all other users of the Grantor rights-of-way are responsible for the costs related to the relocation of their facilities.

8.88.R Relocation for a Third Parts . The Grantee shall, on the request of any Person holding a lawful permit issued by the Grantor, protect, support, raise, lower, temporarily disconnect, relocate in or remove from the Street as necessary any property of the Grantee, provided that the expense of such is paid by any such Person benefiting from the relocation and the Grantee is given reasonable advance written notice to prepare for such changes. The Grantee may require such payment in advance. For purposes of this subsection, "reasonable advance written notice" shall be no less than ten (10) business days in the event of a temporary relocation and no less than one hundred twenty (120) days for a permanent relocation.

8.9 Reimbursement of Costs. If funds are available to any Person using the Streets for the purpose of defraying the cost of any of the foregoing, the Grantor shall reimburse the Grantee in

7 thethe samesame manner inin whichwhich other Persons affected byby thethe requirementrequirement are reimbursed. IfIf thethe fundsfunds are controlledcontrolled by another governmentalgovernmental entity, the Grantor shallshall makemake applicationapplication forfor suchsuch funds on behalf of the Grantee.

8.108.10 Emergency Use. Grantee shallshall complycomply withwith 4747 U.S.C.U.S.C. 544(g) andand all regulations issuedissued pursuant theretothereto with with respectrespect toto anan EmergencyEmergency AlertAlert SystemSystem ("EAS").

SECTION 9 Service and RatesRates

9.1 Phone Service.Service. TheThe Grantee shallshall maintainmaintain aa toll-freetoll-free telephone number and aa phonephone serviceservice operated to receive complaintscomplaints andand requestsrequests forfor repairsrepairs or adjustments at anyany time.time.

9.2 Notification ofof ServiceService Procedures. Procedures. The The Grantee Grantee shall shall furnish furnish eacheach SubscriberSubscriber at the time serviceservice is installed, writtenwritten instructions that clearly set forth information concerning the procedures forfor makingmaking inquiriesinquiries oror complaints,complaints, including the Grantee's name,name, addressaddress andand locallocal telephonetelephone number. GranteeGrantee shallshall givegive the Grantor notice notice ofof anyany changeschanges in rates, programming servicesservices or Channel positionspositions in accordance withwith applicableapplicable law,law.

9.3 Rate Regulation. The rates and chargescharges forfor CableCable Service provided pursuant toto this Franchise shallshall bebe subject toto regulationregulation inin accordanceaccordance withwith federalfederal law.law. IfIf andand whenwhen exercisingexercising rate regulation,regulation, the Grantor shallshall abideabide byby thethe termsterms andand conditionsconditions setset forth byby thethe FCC.FCC. NothingNothing herein shall be construed to limit the Grantee's abilityability to offer or provide bulk rate discountsdiscounts or promotions.

9.4 Continuity of Service. ItIt shallshall bebe thethe rightright ofof allall SubscribersSubscribers toto continuecontinue receivingreceiving CableCable Service insofar as their financial and other obligations to thethe GranteeGrantee are honored, and subject to Grantee's rightsrights underunder Section Section 15.215.2 of this Franchise.

9.5 Service to PublicPublic Buildings.Buildings. SubjectSubject to to applicable applicable law, law, Grantee Grantee shallshall provide, without charge, StandardStandard Installation Installation and and one one outlet outlet of of basic basic Cable Cable Service Service toto thethe locationslocations listedlisted inin ExhibitExhibit AA hereto. TheThe CableCable ServiceService provided pursuantpursuant to to this this Section Section 9.59.5 shallshall notnot bebe usedused forfor commercial purposes. TheThe GrantorGrantor shall take reasonable precautions to prevent any inappropriateinappropriate use or loss or damage to the Grantee's CableCable System.System.

SECTION 10 Franchise Fee

10.1 AmountAmount of of Fee. Fee. Grantee Grantee shall shall pay pay to to the the Grantor Grantor an an annual annual franchisefranchise fee inin anan amount equal toto threethree percentpercent (3%)(3%) of the annual GrossGross Revenue.Revenue. Franchise feesfees may be passed through toto SubscribersSubscribers asas aa lineline itemitem onon SubscriberSubscriber billsbills oror otherwiseotherwise asas GranteeGrantee chooses, chooses, consistentconsistent withwith federal law.law. The amount ofof franchisefranchise feefee and thethe methodmethod ofof calculationcalculation shallshall bebe equalequal whenwhen compared toto thethe amountamount oror methodmethod of of calculationcalculation ofof thethe franchisefranchise feefee in any other cablecable franchise granted byby Grantor.Grantor. In In the the event event any any other other cable cable franchise franchise providesprovides forfor aa lesserlesser franchisefranchise feefee than this Franchise, Grantee'sGrantee's obligation obligation toto paypay aa franchisefranchise fee fee underunder this this Section Section 10.110.1 shallshall be reduced by an equivalent amount.

8 10.2 PaymentPayment of Fee.Fee. PaymentsPayments ofof thethe feefee due due the the Grantor Grantor shall be made on aa quarterlyquarterly basis within forty-five (45) days of thethe close ofof eacheach calendarcalendar quarterquarter and transmitted byby electronic funds transfertransfer to a bank accountaccount designateddesignated by Grantor. TheThe paymentpayment periodperiod andand thethe collectioncollection of the franchise feesfees thatthat areare to bebe paidpaid toto thethe GrantorGrantor pursuantpursuant to to thethe FranchiseFranchise shall shall commencecommence sixty (60) daysdays afterafter the Effective DateDate ofof thethe FranchiseFranchise as set forth in Section 15.13. EachEach paymentpayment shall be accompaniedaccompanied byby aa briefbrief reportreport of thethe Grantee'sGrantee's Gross Revenues forfor thethe precedingpreceding quarterquarter In the event that aa franchisefranchise feefee paymentpayment isis notnot issuedissued withinwithin thethe specifiedspecified 45 days from the end of the quarter, GranteeGrantee will will paypay thethe VillageVillage an interest charge, computed from the last day of the fiscal yearyear inin whichwhich paymentpayment waswas clue, due, atat thethe annualannual rate of one andand a half percent (1.5%).

10.3 AccordAccord and and Satisfaction. Satisfaction. No Noacceptance acceptance of anyof any payment payment by by the the Grantor Grantor shall shall be be construed construed as a release or as an accord and satisfaction of anyany claimclaim thethe GrantorGrantor may have for additional sums payable as aa franchise feefee underunder thisthis Franchise.Franchise.

10.4 LimitationLimitation on on Recovery. Recovery. The The period period of of limitation limitation for for recoveryrecovery ofof anyany franchisefranchise fee payable hereunder shallshall be six (6) yearsyears fromfrom thethe date on which paymentpayment byby thethe GranteeGrantee was due.

SECTION 11 Transfer of Franchise

11.1 FranchiseFranchise Transfer. Transfer. Grantee Grantee shall shall provide provide at atleast least sixty sixty days' days' notice notice to to Grantor Grantor prior prior to completion ofof aa transactiontransaction thatthat results in the sale, transfer,transfer, or assignment of the Franchise. The Franchise granted hereunder shallshall notnot bebe assigned,assigned, other than byby operation of law or to an entity controlling, controlledcontrolled by,by, oror underunder common controlcontrol withwith thethe Grantee,Grantee, without thethe prior consent of thethe Grantor, suchsuch consentconsent not not tc!. to bebe unreasonablyunreasonably withheld or delayed. No such ciconsent lisent shall be required,required, however, forfor aa transfertransfer in trust, byby mortgage,mortgage, by other hypothecation, or by assignment of anyany rights,rights, title,title, oror interestinterest of thethe GranteeGrantee in the Franchise or Cable SystemSystem toto securesecure indebtedness. Within thirty (30) days of receivingreceiving aa requestrequest for review covered by this Section, the Grantor shallshall notifynotify the Grantee in writing of anyany additionaladditional informationinformation itit reasonablyreasonably requiresrequires to determinedetermine the legal, financialfinancial andand technicaltechnical qualificationsqualifications ofof the the transferee. transferee. ifif the the Grantor Grantor hashas not taken action on thethe Grantee'sGrantee's request for transfer withinwithin oneone hundred twentytwenty (120)(120) days afterafter receiving suchsuch request,request, consent byby thethe GrantorGrantor shallshall bebe deemed given.

SECTION 12 Records

12.1 InspectionInspection of of Records. Records. Grantee Grantee shall shall permit permit any any duly duly authorized authorized representative representative of thethe Grantor, uponupon receiptreceipt ofof advance written notice, to examine duringduring normal business hours and on a non-disruptive basis any andand all ofof Grantee'sGrantee's records pertaining to Grantee's provisionprovision of Cable Service inin thethe FranchiseFranchise AreaArea maintainedmaintained by Grantee as is reasonably necessary to ensure Grantee's compliancecompliance with the material termsterms ofof thethe Franchise.Franchise. Such Such noticenotice shallshall specificallyspecifically reference the subsection ofof thethe FranchiseFranchise thatthat is underunder review soso thatthat thethe Grantee may organize the necessary booksbooks andand recordsrecords forfor easyeasy accessaccess by by the the Grantor. Grantor. TheThe GranteeGrantee shallshall notnot bebe requiredrequired to maintain any books and records for Franchise compliance purposes longer than, three (3) years, except forfor booksbooks andand recordsrecords showing thethe calculationcalculation ofof GrossGross RevenuesRevenues and payment of Franchise Fees, which shall bebe keptkept forfor six (6)(6) years.years. TheThe GranteeGrantee shallshall notnot bebe requiredrequired to provide Subscriber information in violation of SectionSection 631631 of of the the Cable Cable Act. Act. The The Grantor Grantor agreesagrees toto treattreat as

9 confidential any books,books, recordsrecords oror mapsmaps thatthat constituteconstitute proprietaryproprietary oror confidentialconfidential informationinformation toto thethe extentextent GranteeGrantee makesmakes thethe GrantorGrantor awareaware ofof suchsuch confidentiality.confidentiality. IfIf thethe GrantorGrantor believesbelieves itit mustmust releaserelease anyany suchsuch confidentialconfidential booksbooks oror recordsrecords inin thethe coursecourse ofof enforcingenforcing thisthis Franchise,Franchise, oror forfor anyany otherother reason,reason, itit shallshall adviseadvise GranteeGrantee inin advanceadvance soso thatthat GranteeGrantee maymay taketake appropriateappropriate stepssteps toto protect its interests. Until otherwise ordered by a court or agency ofof competentcompetent jurisdiction,jurisdiction, thethe Grantor agreesagrees that,that, toto thethe extentextent permittedpermitted byby StateState andand federalfederal law,law, itit shallshall denydeny accessaccess toto anyany ofof Grantee's books and records marked confidential, as set forth above,above, toto anyany Person.Person.

SECTION 13 PublicPublic EducationEducation andand GovernmentGovernment (PEG)(PEG) AccessAccess

13.1 PEGPEG Access. Access, Grantee Grantee shall shall make make available available channel channel capacity capacity forfor non-commercial,non-commercial, videovideo programming for public, educational and governmentalgovernmental ("PEG")("PEG") accessaccess useuse inin accordanceaccordance withwith Section 895.4 of the NYPSC regulations andand willwill comply with the minimum standards set forth therein. SuchSuch PEG PEG channel channel capacitycapacity maymay bebe sharedshared withwith otherother localitieslocalities servedserved byby Grantee'sGrantee's cablecable system,system, andand GrantorGrantor herebyhereby authorizesauthorizes GranteeGrantee toto transmittransmit PEGPEG accessaccess programmingprogramming authorizedauthorized hereinherein toto suchsuch otherother localities.localities. TheThe tiertier ofof serviceservice onon whichwhich suchsuch PEGPEG channel(s)channel(s) maymay bebe placedplaced shallshall bebe determineddetermined byby GranteeGrantee inin accordanceaccordance withwith applicableapplicable law.law.

SECTIONSECTION 1414 EnforcementEnforcement oror RevocationRevocation

14.1 NoticeNotice ofof Violation.Violation. IfIf the the Grantor Grantor believes believes that that the the Grantee Grantee has has notnot compliedcomplied withwith thethe termsterms ofof thethe Franchise,Franchise, thethe GrantorGrantor shallshall firstfirst informallyinformally discussdiscuss thethe mattermatter withwith Grantee.Grantee. IfIf thesethese discussions dodo notnot leadlead toto resolutionresolution ofof thethe problem,problem, thethe GrantorGrantor shallshall notifynotif) the Grantee in writing of the exact nature of the alleged noncompliance (the(the "Violation"Violation Notice").Notice").

14.2 Grantee'sGrantee's RkhtRight to to Cure Cure or or Respond. Respond. The The GranteeGrantee shallshall havehave thirtythirty (30) days from receiptreceipt ofof thethe ViolationViolation NoticeNotice toto (i)(i) respondrespond toto thethe Grantor,Grantor, contestingcontesting thethe assertionassertion ofof noncompliance, or (ii) to curecure suchsuch default,default, oror (iii)(iii) if,if, byby thethe naturenature ofof default,default, suchsuch defaultdefault cannotcannot be cured within the thirty (30) day period, initiateinitiate reasonablereasonable stepssteps toto remedyremedy suchsuch defaultdefault andand notifynotify thethe GrantorGrantor ofof thethe stepssteps beingbeing takentaken andand thethe projectedprojected datedate thatthat theythey willwill bebe completed.completed.

14.3 PublicPublic Hearing, Hearing. if Ifthe the Grantee Grantee fails fails to to respondrespond to thethe ViolationViolation NoticeNotice receivedreceived fromfrom thethe Grantor, oror ifif thethe defaultdefault isis notnot remediedremedied withinwithin thethe curecure periodperiod setset forthforth above, thethe Board shall scheduleschedule aa publicpublic hearinghearing ifif itit intendsintends toto continuecontinue itsits investigationinvestigation intointo thethe default.default. TheThe GrantorGrantor shall provide the Grantee atat leastleast twentytwenty (20)(20) daysdays priorprior writtenwritten noticenotice ofof suchsuch hearing,hearing, whichwhich specifiesspecifies thethe time,time, placeplace andand purposepurpose ofof suchsuch hearing,hearing, noticenotice ofof whichwhich shallshall bebe publishedpublished byby thethe ClerkClerk ofof thethe GrantorGrantor inin aa newspapernewspaper ofof generalgeneral circulationcirculation withinwithin thethe GrantorGrantor inin accordanceaccordance withwith subsection 15.815.8 hereof.hereof. AtAt thethe hearing,hearing, thethe BoardBoard shallshall givegive thethe GranteeGrantee anan opportunityopportunity toto statestate itsits positionposition on the matter, present evidence and question witnesses, after which it shall determine whether or not the Franchise shall be revoked. TheThe publicpublic hearinghearing shallshall bebe onon thethe recordrecord andand aa written transcript shall be made available toto thethe GranteeGrantee withinwithin tenten (10)(10) businessbusiness days.days. TheThe decision of the Board shall be mademade inin writingwriting andand shallshall bebe delivereddelivered toto thethe Grantee.Grantee. TheThe GranteeGrantee maymay appealappeal suchsuch determinationdetermination toto anan appropriateappropriate court,court, whichwhich shallshall havehave thethe powerpower toto reviewreview thethe

10 decision of the Board de novo. The Grantee may continue to operate the Cable System until all legallegal appealsappeals proceduresprocedures have been exhausted.

14.4 Enforcement. Subject to applicable federal and State law, in the event the Grantor, after the hearing set forth in subsection 14.3 above, determines that the Grantee is in default of any provision of the Franchise, the Grantor may:

A. Seek specific performance of any provision, which reasonably lends itself to such remedy, as an alternative to damages; or

B. Commence an action at law for monetary damages or seek other equitable relief; or

C. In the case of a substantial default of a material provision of the Franchise, seek to revoke the Franchise itself in accordance with subsection 14.5 below

14.5 Revocation.

A. Prior to revocation or termination of the Franchise, the Grantor shall give written notice to the Grantee of its intent to revoke the Franchise on the basis of a pattern of noncompliance by the Grantee, including one or more instances of substantial noncompliance with a material provision of the Franchise. The notice shall set forth thethe exactexact nature of the noncompliance. The Grantee shall have sixty (60) days from such notice to either object in writing and to state its reasons for such objection and provide any explanation or to cure the alleged noncompliance. If the Grantor has not received a satisfactory response from Grantee, it may then seek to revoke the Franchise at a public hearing. The Grantee shall be given at least thirty (30) days prior written notice of such public hearing, specifying the time and place of such hearing and stating its intent to revoke the Franchise. The public hearing shall be conducted in accordance with the requirements of Section 14.3 above.

13. Notwithstanding the above provisions, the Grantee reserves all of its rights under federal law or regulation.

C. Upon revocation of the Franchise, Grantee may remove the Cable System from the Streets of the Grantor, or abandon the Cable System in place.

SECTION 15 MiscellaneousMiscellaneogs Provisionsfrovisions

15.1 Compliance with Laws. Grantor and Grantee shall conform to all applicable state and federal lawslaws and rules regarding cable television as they become effective. Grantee shall also conform with all generally applicable Grantor ordinances, resolutions, rules and regulations heretofore oror hereafterhereafter adoptedadopted oror establishedestablished duringduring thethe entireentire termterm ofof thethe Franchise.Franchise. InIn the event of a conflict between Grantor ordinances, resolutions, rules or regulations and the provisions of thisthis Franchise, the provisions of this Franchise shall govern.

11 15.1.1 Employment Practices. GranteeGrantee willwill notnot refuserefuse toto hire,hire, nornor willwill itit barbar oror discharge from employment, nor discriminate against any person in compensation or in terms, conditions, or privileges of employment because of age, race, creed, color, national origin, or sex.

15.215.2 ForceForce Majeure. Maieure. The The Grantee Grantee shall shall not not be beheld held in indefault default under, under, or or in in noncompliance noncompliance withwith thethe provisionsprovisions ofof thethe Franchise,Franchise, nornor suffersuffer anyany enforcementenforcement oror penaltypenalty relatingrelating toto noncompliancenoncompliance or default, where such noncompliance or alleged defaults occurred or were caused by circumstances reasonably beyond the ability of the Grantee to anticipate and control. This provision includes, but is not limited to, severe or unusual weather conditions, fire, flood, oror otherother acts of God, strikes, work delays caused by failure of utility providers to service, maintain or monitor their utility poles to which Grantee's Cable System is attached, as well as unavailability of materials and/or qualified labor to perform thethe workwork necessary.necessary.

15.315.3 MinorMinor Violations. Violations. Furthermore,Furthermore, thethe partiesparties herebyhereby agreeagree thatthat itit isis notnot thethe Grantor'sGrantor's intentionintention toto subjectsubject thethe GranteeGrantee toto forfeituresforfeitures oror revocationrevocation ofof thethe FranchiseFranchise forfor violationsviolations ofof thethe Franchise where the violation was a good faith error that resulted in no or minimal negative impact on the Subscribers within the Franchise Area, or where strict performance would result in practical difficulties or hardship to the Grantee which outweighs the benefit to be derived by the Grantor and/or Subscribers.

15.4 Action of Parties. InIn anyany actionaction byby thethe GrantorGrantor oror thethe GranteeGrantee thatthat isis mandatedmandated oror permitted under the terms hereof, such party shall act in a reasonable, expeditious and timely manner. Furthermore, in any instance where approval or consent is required under the terms hereof, such approval or consent shall not be unreasonably withheld.withheld.

15.5 EqualJEn ual Protection. Protection. Ifif any other provider of cable services or video services (without regard toto thethe technologytechnology usedused toto deliverdeliver suchsuch services)services) isis lawfullylawfully authorizedauthorized byby thethe GrantorGrantor oror byby anyany other State or federal governmental entity to provide such services using facilities located wholly or partly in the public rights-of-way of the Grantor, the Grantor shall ensure that the terms applicable to such other provider are no more favorable or less burdensome than those applicable toto Grantee.Grantee. lithelithe authorizationauthorization applicableapplicable toto suchsuch otherother providerprovider containscontains franchisefranchise fee,fee, PEG,PEG, freefree service, right-of-way, or other terms imposing monetarymonetary oror regulatoryregulatory burdensburdens thatthat areare moremore costlycostly or less burdensome than the corresponding obligations imposed upon Grantee, Grantor shall, within thirty (30) days of a written request from Grantee, modify this Franchise to insure that the corresponding obligations applicable to Grantee are no more costly oror burdensomeburdensome thanthan thosethose imposedimposed onon thethe newnew competingcompeting provider.provider. IfIf thethe GrantorGrantor failsfails toto makemake modificationsmodifications consistentconsistent with this requirement, Grantee agrees not to enforce such corresponding obligations in this Franchise beyond the requirements imposed by the less costly or less burdensome obligations inin such competing provider's authorization. As an alternative to the equalequal protectionprotection proceduresprocedures setset Forthforth herein,herein, thethe GranteeGrantee shallshall have the right and may choose to have this Franchise with the Grantor be deemed expired thirty (30) days after written notice to the Grantor. Nothing in this Franchise shall impair the right of the Grantee to terminate this Franchise and, at Grantee's option, negotiate a renewal or replacement franchise, license, consent, certificate or other authorization with any appropriate government entity. Nothing in this Section 15.5 shall be deemed a waiver of any remedies available to Grantee under federal, state or municipal law, including but not limited toto SectionSection 625625 ofof thethe CableCable Act,Act, 4747 U.S.C.U.S.C. §§ 545.545.

15.6 Change in Law. Notwithstanding any other provision in this Franchise, in the event any change to state or federal law occurring during the term of this Franchise eliminates the requirement for any person desiring to provide video service or Cable Service in the Franchise Area to obtain a franchise from the Grantor, then Grantee shall have the right to terminate this Franchise and operate the Cable System under the terms and conditions established in applicable law.law. IfIf GranteeGrantee chooseschooses toto terminateterminate thisthis FranchiseFranchise pursuantpursuant toto thisthis provision, this Franchise shall be deemed to have expired by its terms on the effective date of any such change in law, whether or not such law allows existing franchise agreements to continue until the date of expiration provided in any existing franchise.

15.7 Notices. Unless otherwise provided by federal, State or local law, all notices pursuant to this Franchise shall be in writing and shall be deemed to be sufficiently given upon delivery to a Person at the address set forth below, or by U.S. certified mail, return receipt requested, nationally or internationally recognized courier service such as Federal Express or electronic mail communication to the designated electronic mail address provided below.
