II. GENERAL COMMENTS
Secondary substation transformers are built with rectangular windings; we take exception to circular windings as they are out of our scope. Features not specifically documented in above bill of materials should not be assumed to be included. If required, please clarify with your Customer Support Engineer properly. If a Conservator Tank is requested in the quote, please considerer that we ship conservator tank relay un-assembled. If you need the installation of these items, please let us know so we can considerer a charge adder. Spare Parts and Installation: Unless specifically stated otherwise, this quotation does not include any field related labor or materials such as but not limited to delivery, storage, handling, installation, grounding, field testing, cleaning, adjusting, training/demonstration, coordination studies, startup, special tools, spare parts, etc.
Transformers are tested according to ANSI Standard Test Code for Transformers C57.12.90
This opportunity was quoted based on SST Form, we are not considering any other document which may exist.
Standard accessories are being provided.

GENERAL COMMENTS.-
ANSI C57.12.90 includes as routine test as follow: • Resistance measurements • Ratio • Polarity and phase relation • No-load losses and excitation current • Load losses and Impedance voltage • Low frequency test (Applied and Induced potential) • Lighting impulse • Efficiency at ¼, ½, ¾, and fully load. • Voltage Regulation at 1.0 and 0.8 power factor.

*For witness test or inspection Prolec GE will charge $1,850 USD per transformer. The customer agent (Maximum 3) is responsible for furnishing his own transportation, lodging and food expense. Prolec GE will provide standard submittal package (Drawings, Certified Test Reports and O&M Manuals).

Prolec GE is supplying delivery. Installation & maintenance packages shall be supplied by others Prolec GE will provide its standard domestic packing/marking that is adequate to protect the material during and after handling, stacking and shipment in a container. If you require special packing, it must be separately contracted at the port of shipment.
1) At this point we take exception to any additional specs or drawings which may exist
2) We are not considering any special commercial terms and conditions. At this point, we are quoting as per our standard Terms and Conditions of sale ES104 Rev4, unless other terms have been previously negotiated. Price and lead-time may/will change if other terms are finally agreed or negotiated
3) No liquidated damages are being considered for this quotation
4) Warranty quoted is 12 months from energization or 18 months from date of shipment, whichever occurs first. As an option, for an extended warranty of 24/30 months please ADD 2% to the quoted price and then a 1% price adder per year to a maximum of 5 years
5) Lead-time: the shipments of the transformers will start 12-14 weeks after the drawings are approved as submitted (NOT after receipt of the order) by the customer. If the order quantity Is 6-8 units or more we will evaluate shipping the units at a pre-negotiated weekly volume rate of approximately 5-10 units per week, based on the project’s requirements and factory load. When possible, we will strive to ship all transformers together, however, the final schedule will be informed via our order acknowledgment.
6)Drawings for approval: allow Prolec GE 2-4 weeks from order ACCEPTANCE (NOT from receipt of the order) to provide the approval drawings package (outline and nameplate drawings only). The drawings will be e-mailed to the customer
7)Upon return of the approval drawings the customer must clearly indicate if the drawings are “Approved for manufacturing” and/or if changes or adjustments need to be done to the drawings
8) Changes or adjustments to the contract: Any change, technical or commercial, in addition to the specific change or modification requested, a fixed administrative charges will be applicable for all contract’s or purchase order changes and modifications as follows: 1) after the order has been entered and up until 7 days from the approval drawings submittal date, a fixed charge of 1% of the transformer’s units price will be applied plus the price of the modification requested, 2) For changes requested within 7 days from the approval drawings submittal date, a charge of 3% of the transformer’s units price will be applied plus the price of the modification requested. Any changes may affect the drawings and/or shipment dates previously negotiated. Any changes requested within 7 days from the approval drawings submittal date will affect such date and must be re-scheduled at the next available drawings date
9) If changes or comments to the approval drawings are done by the customer they will need to be reviewed by Prolec GE and the price and/or lead-time of the product is subject to review and they may change

* If Buyer exceeds the drawing approval cycle time allowed, the shipment will extend at least accordingly to the extra time taken.
Actual shipment and drawings cycle will depend on factory backlog at the time of the purchase order acceptance. Shipment dates are approximate and are based upon prompt receipt of all necessary information from Buyer.
IV. TERMS, CONDITIONS
This proposal will remain valid for a period of 30 days after submittal.
The Buyer may not make any public announcement in relation to the Contract (including to any purchase orders or related contractual documents), including the fact that it exists, without the prior written approval of Seller on such terms and conditions as All items are sold FCA (Incoterms 2010) Laredo, TX, USA, with transportation allowed to the carrier delivery point listed in this quotation within the confines of the continental United States, excluding Alaska or Hawaii. Terms of payment are 100% net cash within 30 days from date of shipment for C customers.
For International and LATAM customers terms of payment are 100% net cash before shipment or letter of credit at time of order.
There will be a 1.5% charge per month of the total invoice price beginning 30 days after the date of the invoice, but the amount shall not be in excess of the applicable usurious rate.

2. In the event that the customer for any reason does not comply with the conditions in paragraph 2 above and/or shipment is delayed for any reason not within the control of the Company, the price shall be increased 1.5% for each full month or fraction thereof that shipment* is thereby delayed after the 90-day period form the date of order.
