FERRARI NV (A Public Limited Liability Company Incorporated Under The FERRARI N.V. (a public limited liability company incorporated under the laws of the Netherlands) €700,000,000 0.250 per cent. Notes due 16 January 2021 Issue price: 99.557 per cent. The €700,000,000 0.250 per cent. Notes due 16 January 2021 (the Notes) will be issued by Ferrari N.V. (the Issuer) on 16 November 2017 (the Issue Date). The Notes will bear interest from the Issue Date at the rate of 0.250 per cent. per annum payable annually in arrear on 16 January each year, commencing on 16 January 2018. There will be a short first coupon from, and including, the Issue Date to, but excluding, 16 January 2018. Unless previously redeemed or purchased and cancelled, the Notes will be redeemed in full at their principal amount on 16 January 2021 (the Maturity Date). The Notes are subject to redemption, in whole but not in part, at their principal amount at the option of the Issuer at any time in the event of certain changes affecting taxation in the Netherlands and/or the Republic of Italy. See “Conditions of the Notes—Redemption and Purchase”. In addition, the Issuer will have the option to redeem in whole or in part the Notes at any time prior to the Maturity Date at a redemption price equal to 100 per cent. of their principal amount plus a “make-whole” premium, together with any accrued and unpaid interest in accordance with the provisions set out in “Conditions of the Notes—Redemption and Purchase—Make-whole Redemption by the Issuer”. This prospectus (the Prospectus) has been approved by the Central Bank of Ireland (the Central Bank) in its capacity as competent authority under the Prospectus Directive (as defined below). The Central Bank only approves this Prospectus as meeting the requirements imposed under Irish and EU law pursuant to the Prospectus Directive. Application has been made for the Notes to be admitted to listing on the official list (the Official List) of the Irish Stock Exchange plc (the Irish Stock Exchange) and admitted to trading on the regulated market of the Irish Stock Exchange with effect from the Issue Date. References in this Prospectus to Notes being listed (and all related references) shall mean that such Notes have been admitted to trading on the Irish Stock Exchange’s regulated market and have been admitted to the Official List of the Irish Stock Exchange. The Notes have not been and will not be registered under the U.S. Securities Act of 1933, as amended (the Securities Act), and, subject to certain exceptions, may not be offered or sold within the United States. The Notes will initially be represented by a temporary global note (the Temporary Global Note), without interest coupons, which will be deposited on or about the Issue Date with a common depositary for Euroclear Bank SA/NV (Euroclear) and Clearstream Banking S.A.(Clearstream, Luxembourg). Interests in the Temporary Global Note will be exchangeable for interests in a permanent global note (the Permanent Global Note and, together with the Temporary Global Note, the Global Notes), without interest coupons, on or after 26 December 2017 (the Exchange Date), upon certification as to non-U.S. beneficial ownership. Interests in the Permanent Global Note will be exchangeable for definitive Notes only in certain limited circumstances (see “Summary of Provisions relating to the Notes while represented by the Global Notes”).
