1. RECOMMENDATION It is respectfully recommended 1.1 That an agreement for sponsorship by the Town with The Mission Media Company Inc. (TMMCI) be approved by Council. 1.2 This sponsorship is in support of TMMCI creating, producing and owning a documentary project on the HMS Ontario.

2. PURPOSE / PROPOSAL The purpose of this report is to request approval on the sponsorship agreement.

3. BACKGROUND

The Mission Media Company Inc. (“TMMCI”) is the creator, producer, licensor and owner of an audio-visual media documentary project entitled, “Discovery of the Lost Ontario” (“the Project”) with content focused on HMS ONTARIO (also known as The Ontario) – a British warship that sailed during the American Revolutionary war around and was rediscovered in 2008 by Jim Kennard and Dan Scoville.

The captain of this warship lived in Niagara-on-the-Lake. On its final voyage in 1780, the ship left from Navy Hall in Niagara-on-the-Lake.

And whereas , TMMCI will exclusively develop, finance, produce and market a documentary film and a range of proprietary media and events as part of the Project, including but not limited to a film and video documentary program, DVD, project-related Web site and digital media, interactive content, educational content, TV Broadcast programs and other related Project content and media for distribution in a range of uses and markets.

And whereas , the Town of Niagara-on-the-Lake (“NOTL”) is an Ontario municipality that seeks to sponsor TMMCI and “the Project” by offering sponsorship support and assistance as a “Project Sponsor” and may do so in association with the Niagara-on-the-Lake Canada 150 committee.

4. DISCUSSION / ANALYSIS The Canada Sesquicentennial Committee supports this sponsorship, as the documentary will highlight an event and characters relevant to the Town's history.

The Committee would plan a free public event in Town in October to present the documentary.

5. OPTIONS n/a

6. FINANCIAL IMPLICATIONS The documentary is planned to be released in October 2017, assuming that funding support has been provided via resources pursued by TMMCI and through an Ontario 150 grant that has been applied for by the Committee. The Ontario 150 grant decision is pending.

The sponsorship agreement does not ask for funding from the Town, but does require a resource to set-up a project account to facilitate the inflow and outlay of finances.

The Town will receive funding as grants and donations and move it to Mission Media as sponsorship fees.

The Mission Media Company Inc. (“TMMCI”’), a privately held corporation, located at 59 Dupont St. Suite 1, Toronto, ON M5R 1V3,

- and –

The Town of Niagara on the Lake (“NOTL”), An Ontario municipality and not-for-profit corporation, located at 1593 Four Mile Creek Road, PO Box 100, Virgil, ON L0S 1T0

Whereas, The Mission Media Company Inc. (“TMMCI”) is the creator, producer, licensor and owner of an audio-visual media documentary project entitled, “Discovery of the Lost Ontario” (“the Project”) with content focused on HMS ONTARIO (also known as The Ontario) – a British warship that sailed during the American Revolutionary war around Lake Ontario and was rediscovered in 2008 by Jim Kennard and Dan Scoville; (**see the sample project outline and summary, attached as a reference)

And whereas, TMMCI will exclusively develop, finance, produce and market a documentary film and a range of proprietary media and events as part of the Project, including but not limited to a film and video documentary program, DVD, project-related Web site and digital media, interactive content, educational content, TV Broadcast programs and other related Project content and media for distribution in a range of uses and markets;

And whereas, the Town of Niagara-on-the-Lake (“NOTL”) is an Ontario municipality and not-for-profit corporation that seeks to sponsor TMMCI and “the Project” by offering sponsorship financial support and assistance as a “Project Sponsor” and may do so in association with the NOTL “150” sub-committee;

Now therefore in consideration of promises mutually made and other good and valuable consideration, the parties agree as follows:

1. THE MISSION MEDIA COMPANY INC. – ACTIVITIES & RESPONSIBILITIES:

I As the Producer of the Project, TMMCI is solely responsible for all aspects of the Project, including creative development, fundraising, production, distribution, marketing, exhibition, public communications and control over all content, communications and events, including execution of contractual relationships.

II All potential funding, sales and revenue generation options may be utilized by TMMCI to fund the Project, without limitation. Project grants, investments, sales, sponsorships, licenses and any other form of funding or revenue may be solicited, contracted by and received by TMMCI.

2. NOTL – “PROJECT SPONSOR”: ACTIVITIES AND BENEFITS

NOTL agrees to participate in the Project as a “Project Sponsor”. As a “Project Sponsor”, NOTL will be invited to participate in specific areas of Project activity and provide Project support

I NOTL Participation in Special Events delivered at Niagara on the Lake:

NOTL will be invited to support planning, operations, presentation and promotion for Project Special Events to be created and produced by TMMCI in Niagara on the Lake, and if produced, to be recognized as a Project Sponsor at these events. Potential events may include:

th • A public screening of the Project for a “Canada 150 2017” Special Event presentation in Niagara on the Lake, currently projected to take place on or around October 31, 2017. Possible venues could include Navy Hall, Fort George, Simcoe Park or the Common.

• Project “fundraising” special events for the public or by special invitation at NOTL historical sites or with organizations such as Fort George, Navy Hall or the Historical Museum. Potential fundraising Special Events are being considered for Fall 2016 and Spring 2017.

• Related Project “NOTL community programming” or educational initiatives in Niagara on the Lake, such as an HMS ONTARIO commemoration or Digital Screen at Navy Hall, or other town presentations related to Project content for community outreach.

TMMCI will invite the advance consultation of NOTL and NOTL-designated “CANADA 150” Event committees for their input into Special Event plans taking place in NOTL.

All Event activities, operations, marketing and funding will be the sole responsibility of TMMCI.

All services, expertise, contributors and content provided by NOTL or their designated Canada 150 Committee members to TMMCI for use in, or in relation to the Project are provided by NOTL at no additional cost to TMMCI, unless agreed to by TMMCI in writing, in advance.

There is no obligation by TMMCI to produce, present or deliver Special Events in NOTL unless TMMCI shall solely determine that requisite funding and resources are available to TMMCI to successfully produce these Events.

II NOTL “PROJECT SPONSORSHIP” BENEFITS

Once the Project is successfully completed and publicly launched, as a Project Sponsor, NOTL will receive the following Sponsor recognition and promotional benefits (at their option):

A. NOTL will be recognized as a Project Sponsor of the “Discovery of the Lost Ontario” Project in all Project materials that includes a list of Sponsor credits.

Sponsor Credits may be included in any or all of the following potential Project components:

• Feature documentary Film • TV Broadcast versions of the Project • Sponsor credits on the DVD program and packaging • Student and Teacher Handbooks • Project and Educational Web Site • Interactive Digital and Mobile applications or presentations • Publicity and Marketing materials related to the Project • Live event presentations, public screenings, special events • Educational presentations

B. NOTL will be recognized as a LEAD SPONSOR in any Premiere Special Event live presentations or Project events that take place in Niagara on the Lake or in the Niagara region.

C. Once the project is completed and publicly launched, NOTL may “LINK” to the Project Web site from the NOTL Web site.

D. The DVD and Web Site may also include additional text content with information on related subjects. If possible, TMMCI will make best efforts to try to include NOTL-related information, such as:

• NOTL regional history and military sites • NOTL Regional travel and recreation information • NOTL historical information and historical organizations • Link to the NOTL town web site and to area-specific organizations and companies

III NOTL: Sponsorship Funding Support

As a Project Sponsor, NOTL agrees to facilitate charitable funding for the project by accepting “project-designated” grants or charitable donations from outside parties in order to fund NOTL Sponsorship of the Project and NOTL agrees to provide these funds to TMMCI for use on the project as “Project Sponsorship” fees.

NOTL will facilitate Project-designated donations and Sponsor fees, as follows:

A. NOTL will provide TMMCI with a Letter of Support related to the Project Sponsorship for use by TMMCI in gathering support and in fundraising activities.

B. Upon recommendation by TMMCI and with NOTL’s advance approval, NOTL will review, approve and submit selected Project Grant Applications and Charitable Donations applications to selected Government funding and philanthropic funds on behalf of the Project. Anticipated Project Funding applications include the Canada 150 Fund, the Ontario 150 Fund, the Trillium Foundation and Niagara Tourism.

Proposal drafts and applications will be created by TMMCI but submitted in association between TMMCI & NOTL or by NOTL alone on behalf of the Project, with NOTL’s approval. NOTL will be invited to review all combined or sole NOTL submissions in advance for their feedback and approval prior to any applications or submissions.

NOTL’s primary point of contact for NOTL review, approval and submission of Project Grant and Donation applications will be Cheryl Morris. TMMCI primary point of contact for all project related matters is Stuart Clarfield, Executive Producer.

C. All charitable donations received by NOTL related to, or in support of the Project will be designated as “Discovery of the Lost Ontario project-designated contributions” and be held by NOTL in trust, for the exclusive use of TMMCI on the Project, for preparation, production or other Project activities, and will pay out these Project funds, as per the following process:

NOTL will provide TMMCI with written confirmation of all project grants or donations received by NOTL for the Project, within 30 days following receipt of funds.

NOTL Sponsorship Fee Payments to TMMCI - Sponsorship fee payments paid by NOTL to TMMCI will be 100% of the full proceeds of any charitable or project donations received by NOTL for the Project. No NOTL administrative handling fees or other fees will be deducted without the advance written approval of TMMCI.

Sponsorship fees will be paid by NOTL to TMMCI upon receipt of a TMMCI Sponsorship Fee Invoice. All Sponsorship fees paid by NOTL to TMMCI will be restricted for use on Project expenses only. TMMCI will provide NOTL with quarterly (every three months) Project Sponsorship Expense reports related to the use of Project funds received from NOTL Sponsorship funding in any period where there are project expenses incurred, related to NOTL Sponsorship funding.

F. NOTL may continue to receive charitable contributions for use on the Project until written notice from TMMCI that the Project has been completed or until this agreement is mutually terminated by both parties in writing.

G. NOTL recognizes that any charitable contributions made for use on the Project will have no reciprocal valuable consideration promised to charitable donors as a condition of their donation (editorial input, recognition, product promotion, etc.). TMMCI may choose to recognize donor support at TMMCI’s sole discretion (and with express donor approval).

H. In the event that TMMCI concludes that minimum funding to successfully produce the Project is not in place and chooses to not produce the project, TMMCI will provide written notice to NOTL. Following written notice from TMMCI of project termination, any Project funds held by NOTL (in excess of TMMCI project expenses to date) will be available for either re-designated use by NOTL in other NOTL programs, or the funds will be reimbursed to the original donor or grant sponsor, at the sole option and express authorization of Project donors, and granting organizations. “Discovery of the Lost Ontario” © TMMCI NOTL Sponsorship Agreement Draft V3 – September 29, 2016 Page 3 of 6

4. REPRESENTATIONS OF THE MISSION MEDIA COMPANY INC.:

I Use of Sponsorship Fees as Project Expenditures:

All Project Sponsor Fees provided by NOTL to TMMCI as Project Sponsorship fees will be used by TMMCI to pay for Project-related expenses.

Sponsors fees may be used by TMMCI for all Project-related expenditures, including development, fundraising, pre-production, production, post-production, interactive and educational content, distribution, marketing, project and company administration and any other project-related expenditure, at the sole discretion of TMMCI.

II Records and Reporting:

TMMCI will keep records related to all Project expenses incurred and paid in connection with the production and/or Project activities funded specifically through Sponsorship fees.

TMMCI will provide NOTL with quarterly (every three months) expense reports related to use of NOTL Sponsor Fees in any period where there are project expenses incurred, related to NOTL Sponsorship funding.

TMMCI will also provide a summary Project report at the end of the Project to NOTL, summarizing Sponsorship fees received and Project expenditures incurred related to this funding.

III Contingency regarding Available Project Funding:

Project activities are currently projected at $450,000 CDN. Special Event costs are in addition to this. (*please see draft project budget attached as a reference). The scope of the project and related budget will be directly affected by available funds for use in creating and presenting the project, and as such, the budget is subject to change, and a number of potential project plans will be created by TMMCI, to fit fundraising results. Our draft budget is our intended as our base case to produce, but TMMCI may choose to scale down the project to fit available funds, at TMMCI’s sole discretion.

If there is a shortfall in funds raised (below the projected Project Budget), TMMCI will make best efforts to create a revised plan to produce the Project at “a minimum threshold to produce”, as established by TMMCI.

If TMMCI deems that available production funding is not available to reach a “minimum threshold to produce”, TMMCI may choose to not produce the project, with no further consideration, penalty or claim held or due to NOTL or any other related party, regarding Project Sponsorship.

If TMMCI chooses to not produce the project, they will provide written notice to NOTL. Any Project funds held by NOTL in excess of TMMCI project expenses to date will be available for re-designated use by NOTL in other NOTL programs or return to the original donors or grantors, as per the express authorization of relevant donors and granting organizations that have provided funds to NOTL for exclusive use on the project.

5. REPRESENTATIONS OF NOTL

I NOTL warrants and represents that it does not own or control any Project content provided by TMMCI, and NOTL will indemnify and hold TMMCI harmless from any liability incurred by the use of such content by NOTL in any related Special Event presentations in association with NOTL.

II NOTL recognizes and agrees that it does not have the right to duplicate, sell or distribute the finished Project or DVD Program to consumers, through any 3rd parties, over the internet or to any other non- NOTL program participant without the express written authorization of TMMCI, or as described herein.

6. MUTUAL INDEMNIFICATION

The parties agree that each of them indemnifies and holds harmless the other party and its directors, officers, and employees with respect to all claims, losses, damages, costs and expenses, including reasonable fees and disbursements of counsel (collectively “Indemnified Claims”) incurred by reason of a breach by the other party of any of the representations, warranties, or agreements made herein.

This will include indemnification from any debt, or commitment inconsistent with this agreement or any act or omission of the other party to fulfill its obligations hereunder, including any claim, settlement or judgment arising out of a material breach of the representations, warranties, or agreements made herein.

7. PROJECT PROCESS AND COMMUNICATIONS:

TMMCI & NOTL will provide each other with regular updates on Project fundraising status and Project contributions received to date. NOTL will forward to TMMCI relevant correspondence or communications related to Project fundraising, if received by NOTL.

Throughout the project, the parties will designate a “Primary Point of Contact” person to discuss progress, issues, resolve any concerns and find mutually acceptable solutions in a timely manner.

8. TERMINATION DUE TO BREACH or MATERIAL NON-PERFORMANCE

In the event that either party breaches this agreement or is not compliant in material aspects of the agreement, the non-compliant party may be given written notice by the other party with specific details of this breach or non-compliance with a request to remedy.

The parties will take immediate steps to discuss and confirm any outstanding issues and the “non- compliant or breaching” party will have 45 days following written notice to remedy any breach or non- compliant issues.

If such breach is not cured within fourty-five (45) days after receiving written notice from the other party specifying such breach or material non-compliance in reasonable detail, the non-breaching party shall have the right to terminate this agreement by giving written notice thereof to the party in breach, which termination shall go into effect immediately on receipt.

In the event that the agreement is terminated as per the terms above, all key provisions in the agreement regarding rights, disbursement of project sponsorship fees, expense reporting and all provisions that logically ought to survive termination of this agreement, shall survive and be carried out by both parties.

9. MISCELLANEOUS

I The relationship between the parties will be considered a “Project Sponsorship” arrangement only, and is not to be considered or construed as a partnership, joint ownership or joint venture. The Project and all included Content, in whole or in part, is the property of TMMCI, with TMMCI having sole ownership and control over all content, editorial decisions, and the sole right to commercially exploit the Project, in all formats and in all markets and uses, without limitation.

II TMMCI reserves the right to solicit and contract with other Project sponsors, supporters, partners, distributors and any other potential entity or participant, at TMMCI’s sole discretion, without limitation.

III If either party chooses to assign any of its rights related to the Project to any other party or company, or itself is sold, assigned or merged with any other organization, the terms of this agreement will endure and be binding upon the assigned party.

In the event that TMMCI is sold or chooses to assign rights included in this agreement to a non-related 3rd party, TMMCI will give NOTL no less than 30 days advance notice and NOTL will have the option to continue the agreement with the assignee party or terminate the agreement following said notice by providing a notice of termination in writing to TMMCI.

In the event of termination as described above, all terms and provisions of the agreement regarding rights and project sponsorship and all other provisions that logically ought to survive termination of this agreement, shall survive and be carried out by both parties following termination.

IV This agreement contains the entire understanding between the parties and supersedes all prior agreements, understandings, negotiations and discussion either written or oral, and there are no warranties, representations, or other agreements between the parties in connection with the Project except as specifically set forth in this agreement. Any change to this agreement will be made in writing and duly authorized by both parties.

V Unless it is specifically included in this Agreement, or set out in a duly executed written agreement, neither party shall act as the agent or partner of the other and without limiting the generality of the foregoing, neither party may enter into any contractual or other arrangements with a third party on behalf of the other without express advance written authorization from the other party.

VI Each party shall be fully responsible for the acts and omissions of its own Board of Directors, Executive officers, employees, agents and/or contractors.

VII If for any reason, any provision of this agreement is in conflict with any statute, law, regulation or ordinance, then the latter shall prevail, but in such event, the provisions of this agreement shall be modified only to the extent necessary to bring it within such requirements, and as modified, this agreement shall continue in full force and effect.

VIII Each party will notify the other of any changes of address, email, telephone or fax number.

IX Each party will adhere to reasonable standards of confidentiality. Neither party shall release, disseminate or communicate the contents of these documents directly or indirectly, to any third party (with the exception of their legal representation, accountants or funding bodies requiring copies of all Project agreements) without the advance agreement of the other party.

X Governing Law: the laws of the Province of Ontario shall govern This Agreement.

XI If the Sponsorship relationship described in this agreement is NOT approved by NOTL Town Council or this agreement is not executed by the two parties by November 30, 2016, then NOTL and TMMCI agree that any funding applications submitted to date on behalf of the project will be considered VOID and cancelled, and the funders or donors related to those applications will be notified, and applications will be withdrawn. In this scenario, all rights to the project will remain solely with TMMCI and no Project-directed Funds or Grants may be received, re-directed or retained by NOTL in whole or in part.

We hereby agree to all terms as set out in this agreement and by affixing our signatures, the parties have executed this Agreement.

HMS ONTARIO was the most powerful warship on the during the American Revolutionary War, built by the British to defend Canada against an American invasion.

This was life around Lake Ontario in 1780.

The Discovery of the Lost ONTARIO will show a first moment for CANADA - when Brish, French, First Naons and Canadian civilians would first stand together. This is an excing underwater/historical adventure that will be shared during Canada’s 150th Anniversary in 2017 with millions of students and audience members across Canada, the US and internaonally.

The Discovery of the Lost Ontario

Empires at war. The birth of two Nations. The disappearance & discovery of a lost Ship.

Lost for 230 years, two amateur underwater explorers have found HMS Ontario- fully intact in the darkness of the deep. Her discovery made headline news around the globe. She is one of the oldest intact Brish ships in the world and an amazing naval and archaeological arfact, right here in Lake Ontario. Yet her story has never been told.

This is a foundaon story in the founding of Canada and the founding of Niagara on the Lake. What happened to The Ontario that night? How was she lost? And what was life like for those on board, caught in a ferocious war on the edge of an endless froner?

We will use modern dive & video technology to explore The ONTARIO - to learn what was lost and is now found. Her discovery opens a door back in me: to the moment when two naons were being born. What will we discover?
