RECOMMENDATION It is respectfully recommended 1.1 That an agreement for sponsorship by the Town with The Mission Media Company Inc. (TMMCI) be approved by Council. 1.2 This sponsorship is in support of TMMCI creating, producing and owning a documentary project on the HMS Ontario. 2. PURPOSE / PROPOSAL The purpose of this report is to request approval on the sponsorship agreement. 3. BACKGROUND The Mission Media Company Inc. (“TMMCI”) is the creator, producer, licensor and owner of an audio-visual media documentary project entitled, “Discovery of the Lost Ontario” (“the Project”) with content focused on HMS ONTARIO (also known as The Ontario) – a British warship that sailed during the American Revolutionary war around Lake Ontario and was rediscovered in 2008 by Jim Kennard and Dan Scoville. The captain of this warship lived in Niagara-on-the-Lake. On its final voyage in 1780, the ship left from Navy Hall in Niagara-on-the-Lake. And whereas , TMMCI will exclusively develop, finance, produce and market a documentary film and a range of proprietary media and events as part of the Project, including but not limited to a film and video documentary program, DVD, project-related Web site and digital media, interactive content, educational content, TV Broadcast programs and other related Project content and media for distribution in a range of uses and markets. And whereas , the Town of Niagara-on-the-Lake (“NOTL”) is an Ontario municipality that seeks to sponsor TMMCI and “the Project” by offering sponsorship support and assistance as a “Project Sponsor” and may do so in association with the Niagara-on-the-Lake Canada 150 committee. Report : OPS-16-036 Page 1 The agreement has been reviewed by the Town's legal counsel, and is attached in this report. As well , the documentary project outline is also attached. 4. DISCUSSION / ANALYSIS The Canada Sesquicentennial Committee supports this sponsorship, as the documentary will highlight an event and characters relevant to the Town's history. The Committee would plan a free public event in Town in October to present the documentary. 5. OPTIONS n/a 6. FINANCIAL IMPLICATIONS The documentary is planned to be released in October 2017, assuming that funding support has been provided via resources pursued by TMMCI and through an Ontario 150 grant that has been applied for by the Committee. The Ontario 150 grant decision is pending. The sponsorship agreement does not ask for funding from the Town, but does require a resource to set-up a project account to facilitate the inflow and outlay of finances. The Town will receive funding as grants and donations and move it to Mission Media as sponsorship fees. 7. COMMUNICATIONS n/a 8. (“TMMCI”’), a privately held corporation, located at 59 Dupont St. Suite 1, Toronto, ON M5R 1V3, - and – The Town of Niagara on the Lake (“NOTL”), An Ontario municipality and not-for-profit corporation, located at 1593 Four Mile Creek Road, PO Box 100, Virgil, ON L0S 1T0 Whereas, The Mission Media Company Inc. (“TMMCI”) is the creator, producer, licensor and owner of an audio-visual media documentary project entitled, “Discovery of the Lost Ontario” (“the Project”) with content focused on HMS ONTARIO (also known as The Ontario) – a British warship that sailed during the American Revolutionary war around Lake Ontario and was rediscovered in 2008 by Jim Kennard and Dan Scoville; (**see the sample project outline and summary, attached as a reference) And whereas, TMMCI will exclusively develop, finance, produce and market a documentary film and a range of proprietary media and events as part of the Project, including but not limited to a film and video documentary program, DVD, project-related Web site and digital media, interactive content, educational content, TV Broadcast programs and other related Project content and media for distribution in a range of uses and markets; And whereas, the Town of Niagara-on-the-Lake (“NOTL”) is an Ontario municipality and not-for-profit corporation that seeks to sponsor TMMCI and “the Project” by offering sponsorship financial support and assistance as a “Project Sponsor” and may do so in association with the NOTL “150” sub-committee; Now therefore in consideration of promises mutually made and other good and valuable consideration, the parties agree as follows: 1. THE MISSION MEDIA COMPANY INC. – ACTIVITIES & RESPONSIBILITIES: I As the Producer of the Project, TMMCI is solely responsible for all aspects of the Project, including creative development, fundraising, production, distribution, marketing, exhibition, public communications and control over all content, communications and events, including execution of contractual relationships. II All potential funding, sales and revenue generation options may be utilized by TMMCI to fund the Project, without limitation. Project grants, investments, sales, sponsorships, licenses and any other form of funding or revenue may be solicited, contracted by and received by TMMCI. 2. NOTL – “PROJECT SPONSOR”: ACTIVITIES AND BENEFITS NOTL agrees to participate in the Project as a “Project Sponsor”. As a “Project Sponsor”, NOTL will be invited to participate in specific areas of Project activity and provide Project support I NOTL Participation in Special Events delivered at Niagara on the Lake: NOTL will be invited to support planning, operations, presentation and promotion for Project Special Events to be created and produced by TMMCI in Niagara on the Lake, and if produced, to be recognized as a Project Sponsor at these events. Potential events may include: th • A public screening of the Project for a “Canada 150 2017” Special Event presentation in Niagara on the Lake, currently projected to take place on or around October 31, 2017. Possible venues could include Navy Hall, Fort George, Simcoe Park or the Common. “Discovery of the Lost Ontario” © TMMCI NOTL Sponsorship Agreement Draft V3 – September 29, 2016 Page 1 of 6 • Project “fundraising” special events for the public or by special invitation at NOTL historical sites or with organizations such as Fort George, Navy Hall or the Historical Museum. Potential fundraising Special Events are being considered for Fall 2016 and Spring 2017. • Related Project “NOTL community programming” or educational initiatives in Niagara on the Lake, such as an HMS ONTARIO commemoration or Digital Screen at Navy Hall, or other town presentations related to Project content for community outreach. TMMCI will invite the advance consultation of NOTL and NOTL-designated “CANADA 150” Event committees for their input into Special Event plans taking place in NOTL. All Event activities, operations, marketing and funding will be the sole responsibility of TMMCI. All services, expertise, contributors and content provided by NOTL or their designated Canada 150 Committee members to TMMCI for use in, or in relation to the Project are provided by NOTL at no additional cost to TMMCI, unless agreed to by TMMCI in writing, in advance. There is no obligation by TMMCI to produce, present or deliver Special Events in NOTL unless TMMCI shall solely determine that requisite funding and resources are available to TMMCI to successfully produce these Events. II NOTL “PROJECT SPONSORSHIP” BENEFITS Once the Project is successfully completed and publicly launched, as a Project Sponsor, NOTL will receive the following Sponsor recognition and promotional benefits (at their option): A. NOTL will be recognized as a Project Sponsor of the “Discovery of the Lost Ontario” Project in all Project materials that includes a list of Sponsor credits. Sponsor Credits may be included in any or all of the following potential Project components: • Feature documentary Film • TV Broadcast versions of the Project • Sponsor credits on the DVD program and packaging • Student and Teacher Handbooks • Project and Educational Web Site • Interactive Digital and Mobile applications or presentations • Publicity and Marketing materials related to the Project • Live event presentations, public screenings, special events • Educational presentations B. NOTL will be recognized as a LEAD SPONSOR in any Premiere Special Event live presentations or Project events that take place in Niagara on the Lake or in the Niagara region. C. Once the project is completed and publicly launched, NOTL may “LINK” to the Project Web site from the NOTL Web site. D. The DVD and Web Site may also include additional text content with information on related subjects. If possible, TMMCI will make best efforts to try to include NOTL-related information, such as: • NOTL regional history and military sites • NOTL Regional travel and recreation information • NOTL historical information and historical organizations • Link to the NOTL town web site and to area-specific organizations and companies “Discovery of the Lost Ontario” © TMMCI NOTL Sponsorship Agreement Draft V3 – September 29, 2016 Page 2 of 6 III NOTL: Sponsorship Funding Support As a Project Sponsor, NOTL agrees to facilitate charitable funding for the project by accepting “project-designated” grants or charitable donations from outside parties in order to fund NOTL Sponsorship of the Project and NOTL agrees to provide these funds to TMMCI for use on the project as “Project Sponsorship” fees. NOTL will facilitate Project-designated donations and Sponsor fees, as follows: A.
