The Commercial Real Estate Credit Manager (CM) is responsible for ensuring quality and compliance within an assigned portfolio, supporting new business development while applying credit risk policy and adhering to TDBG risk appetite. This job performs the credit underwriting and credit administration functions. The Credit Manager reports to the Team Credit Manager while working to achieve credit management objectives within the team. The job works closely with the Relationship Manager and Credit Officer to ensure consistency with the TD Bank Group’s Risk Appetite Principles, including establishing the Borrower Risk Ratings and Facility Risk Ratings for new and existing credit relationships. Job Description : • Performs in depth corporate and credit analysis in the underwriting and portfolio management of REITs and real estate investment funds. • Actively partner with Relationship Manager on potential and existing customers to determine alignment with TD Bank products/structure TD Credit Risk Appetite and credit policies/underwriting guidelines. • Performs in depth credit analysis in partnership with Relationship Manager on potential and existing customers to determine alignment with TD Bank products/structure TD Credit Risk Appetite and credit policies/underwriting guidelines. • Partners with the Relationship Manager on potential structure proposals that are in alignment with TD Bank products/structure, TD Credit Risk Appetite and credit policies/underwriting guidelines. • Attends site visits and prospect/customer calls as needed or as requested. • With support from the Credit Analyst, prepares credit applications for new and existing borrowers; Applications shall include new transactions, extensions, modifications, renewals and Annual Reviews. • Ensures applications provide a high quality of risk assessment, credit structure, due diligence, and credit presentation and adhere to AIRB methodology and address TD Bank’s profitability objectives. • Manages the timely approval, documentation preparation and negotiation, and closing of new and existing transactions. • Responsible for managing aspects of the customer relationship including, but not limited to, reviewing reports and delinquencies, reviewing and interpreting complex loan documentation, gathering financial information from clients, completing annual credit reviews on sponsor companies, quarterly reviews, sign off of covenant compliance forms and determining strategy if failures occur, completing monthly monitoring; Overseeing Analysts that will provide support in these responsibilities. • Ensures the managed portfolio is comprehensively monitored and controlled, adhering to and administered within approved guidelines and in line with established operating policies and procedures. • Interprets and applies TD’s risk management strategy (both credit and operational). • Understands changing market conditions and remain knowledgeable of relevant industry issues. • Responsible for managing aspects of the customer relationship including, but not limited to, reviewing reports and delinquencies, sign off of covenant compliance forms and determining strategy if failures occur, completing monthly monitoring; Overseeing Analysts that will provide support in these responsibilities. Education and Experience • 4 year Undergraduate degree; advanced degree in financial discipline preferred, other advanced degree considered • Minimum 10 years experience in related field; considered subject matter expert in complex credit understanding • Excellent credit underwriting and administration skills; considered subject matter expert in complex credit understanding. • Superior ability to identify and mitigate risk. • Ability to successfully manage complex portfolios with an emphasis on institutional commercial real estate borrowers including but not limited to public REITs and institutional funds. • Ability to work in fast paced environment and meet aggressive deadlines. • Ability to provide value-add structuring alternatives for highly complex credits. • Strong written and excellent verbal communication skills with usage of business acumen. • Solid interpersonal skills. • Customer focused. • Strong planning and organizational skills. • Technologically proficient. A few months later, in April, the Toronto Dominion Bank and the Canadian Imperial Bank of Commerce announced similar plans. The proposed bank mergers caught many people off guard, including Minister of Finance Paul Martin. In a Macleans interview, Martin said, "Just because they decided to get into bed together doesnt mean that I have to bless their union." Martins message seemed to be that Ottawa, not the banks, would decide the future of banking in Canada. "There will be no mergers in the banking sector until we are convinced that [it] is what is best for Canadians, and we will not be stampeded into making that decision." According to the banks, the proposed mergers were a natural response to a changing and highly competitive global marketplace. Mergers, they said, provide a way of maintaining a strong Canadian presence in the banking industry. Certainly, recent technological advances have dramatically changed the manner in which the financial services industry conduct their business, and the above- mentioned banks feel, therefore, that they need to be bigger to compete and to have a substantial presence in the global banking community. Martin himself acknowledged the changed nature of banking when he said, "If you look back at banking five years ago, you might as well look back two centuries." While the proposed bank mergers brought attention to the challenges facing Canadas banks, these challenges are not peculiar to the banks alone.

    Bank to Toronto – Saskatchewan Branches: 1906-1955 Version 8 The Bank of Toronto was established in Toronto, Ontario in 1855. The Western branches were reportedly directed from the Winnipeg office. The Bank of Toronto and the Dominion Bank (est. in 1871 in Toronto) merged in 1955 to form the Toronto-Dominion Bank, also now referred to as the TD Bank Group or TD Canada Trust. In 1906 the Bank of Toronto opened the first three of about 30 Saskatchewan branches, starting in Yorkton (May __, 1906), then at Wolseley (July 20), and the third at Langenburg (Sept. 21). The larger building was designed by different architects, Carrere & Hastings of New York City. This world-renowned firm had just finished work on the New York Public Library. For the main Bank of Toronto, Carrere & Hastings retained the city’s coat of arms as a design element. It was positioned between a round window and the front doorway arch (see pg 4). This coat of arms was preserved in the mid- 1960s by Rosa and Spencer Clark and displayed on their grounds at the old Guild Inn. The coat of arms remains on public view at Guild Park.
