According to the Songxian Tiancheng Road Project Management Entrustment Contract, CCRE Zhongyuan was engaged by Luoyang Tianyun for developing, operating and managing the real estate project established on a parcel of land in the east of Xihuan Road, the west of Tiancheng Road and the south of Jincheng Road, Song County, Luoyang City, Henan Province of the People’s Republic of China (the ‘‘PRC’’) (the ‘‘Songxian Tiancheng Road Project’’), which CCRE Zhongyuan would charge royalty fee and performance fee in return. (2) CCRE Zhongyuan (as the trustee) entered into a management entrustment contract for developing real estate project with a planned gross floor area of approximately 123,000 square meters (the ‘‘Tangyin Wenchang Road Project Management Entrustment Contract’’) with Gao Zhenjiang (高振江), Chen Liping (陳利萍) and Song Naitao (宋 乃濤) (as the guarantors) as well as Anyang Anchuang (as the principal) for a period of 36 months. According to the Tangyin Wenchang Road Project Management Entrustment Contract, CCRE Zhongyuan was engaged by Anyang Anchuang for developing, operating and managing the real estate project established on a parcel of land in the east of Xinzongsi Road, the south of Zhide Street, the west of Xinzongsan Road and the north of Chongwen Avenue, Tangyin County, Anyang City, Henan Province of the PRC (the ‘‘Tangyin Wenchang Road Project’’), which CCRE Zhongyuan would charge royalty fee and performance fee in return. (3) CCRE Zhongyuan (as the trustee) entered into a management entrustment contract for developing real estate project with a planned gross floor area of approximately 135,000 square meters (the ‘‘Xunxian Xiaohe Road Project Management Entrustment Contract’’) with Liu Guosheng (劉國勝) (as the guarantor) as well as Xunxian Yongfa (as the principal) for a period of 48 months. According to the Xunxian Xiaohe Road Project Management Entrustment Contract, CCRE Zhongyuan was engaged by Xunxian Yongfa for developing, operating and managing the real estate project established on a parcel of land in the east of Xiaohe Road and the south of Jincheng Road, Xun County, Anyang City, Henan Province of the PRC (the ‘‘Xunxian Xiaohe Road Project’’), which CCRE Zhongyuan would charge royalty fee and performance fee in return. (4) CCRE Zhongyuan (as the trustee) entered into a management entrustment contract for developing real estate project with a planned gross floor area of approximately 91,000 square meters (the ‘‘Puyang Tieqiu Road Project Management Entrustment Contract’’) with Yan Kai (閆凱), Lv Guangyong (呂廣勇) and Lv Guangqin (呂廣勤) (as the guarantors) as well as Puyang Xiangyun (as the principal) for a period of 36 months. According to the Puyang Tieqiu Road Project Management Entrustment Contract, CCRE Zhongyuan was engaged by Puyang Xiangyun for developing, operating and managing the real estate project established on a parcel of land in the west of Beiguan Street and the north of Tieqiu Road, Puyang County, Puyang City, Henan Province of the PRC (the ‘‘Puyang Tieqiu Road Project’’), which CCRE Zhongyuan would charge royalty fee and performance fee in return. – 2 – (5) CCRE Zhongyuan (as the trustee) entered into a management entrustment contract for developing real estate project with a planned gross floor area of approximately 74,000 square meters (the ‘‘Jiaozuo Yingbin Road Project Management Entrustment Contract’’) with Gao Ju (高舉), Xie Haijiang(謝海江) and Du Haiping (杜海平) (as the guarantors) as well as Jiaozuo Hengzeng (as the principal) for a period of 24 months. According to the Jiaozuo Yingbin Road Project Management Entrustment Contract, CCRE Zhongyuan was engaged by Jiaozuo Hengzeng for developing, operating and managing the real estate project established on a parcel of land in the west of Yingbin Avenue and the north of Nanyang Avenue, Jiaozuo City, Henan Province of the PRC (the ‘‘Jiaozuo Yingbin Road Project’’), which CCRE Zhongyuan would charge royalty fee and performance fee in return. The Songxian Tiancheng Road Project, the Tangyin Wenchang Road Project, the Xunxian Xiaohe Road Project, the Puyang Tieqiu Road Project and the Jiaozuo Yingbin Road Project are the 48th to 52nd projects under the light-asset strategy of the Group, which constitute a new growth driver to the development of the Group. To the best of the Directors’ knowledge, information and belief having made all reasonable enquiries, Luoyang Tianyun, Zhao Changfei (趙長飛), Li Huike (李輝柯), Li Hui (李會), Anyang Anchuang, Gao Zhenjiang (高振江), Chen Liping (陳利萍), Song Naitao (宋乃濤), Xunxian Yongfa, Liu Guosheng (劉國勝), Puyang Xiangyun, Yan Kai (閆凱), Lv Guangyong (呂廣勇) and Lv Guangqin (呂廣勤), Jiaozuo Hengzeng, Gao Ju (高舉), Xie Haijiang (謝海江) and Du Haiping (杜海平) and their respective ultimate beneficial owners are independent third parties (as defined under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ‘‘Listing Rules’’)) of the Company. CCRE Zhongyuan is a limited liability company established in the PRC. It is an indirect wholly-owned subsidiary of the Company and is mainly engaged in real estate development and sales and real estate investment in Henan Province, the PRC with considerable experience in development and management of real estate projects. All of the Songxian Tiancheng Road Project Management Entrustment Contract, the Tangyin Wenchang Road Project Management Entrustment Contract, the Xunxian Xiaohe Road Project Management Entrustment Contract, the Puyang Tieqiu Road Project Management Entrustment Contract and the Jiaozuo Yingbin Road Project Management Entrustment Contract do not constitute a notifiable transaction under Chapter 14 of the Listing Rules. This announcement is disclosed on a voluntary basis by the Company to provide its shareholders and potential investors with updated information in relation to the business development of the Group. This study mainly uses the questionnaire survey method, the use of the mental health self rating scale (SCL-90) and primary and secondary school teachers occupational stress condition survey questionnaire carries on the data and the data collection, the survey result uses the SPSS10.5 to carry on the data processing. The psychological obstacles of primary and secondary school teachers the detection rate of 45.44%. among 30.09% teachers belonging to mild mental disorder, 12.63% of the teachers are moderate mental disorder, 2.72% teachers constituted mental illness .The overall condition of the psychological heal of primary and middle school teachers is obviously lower than the normal people’s level. From the angle of the distribution characteristics, the proportion of the male teachers with psychological barriers is higher than the female teachers. In ten SCL-90 factors of psychological barriers, the most common symptoms of the primary and middle school teachers are compulsion, interpersonal relations disturbance, paranoia and melancholia. Research purpose The purpose of this study is to understand the mental health status of teachers in primary and secondary schools, analyze the causes of the problems, and put forward some suggestions to solve the problems.

THE FIRST EQUITY TRANSFER AGREEMENT Date: 12 September 2019 Vendor: A company incorporated in the PRC (a third party independent of the Company and its connected persons) Purchaser: Zhongyu City Energy Investment Holding (Shenzhen) Limited* (中 裕城市能源投資控股(深圳)有限公司), a wholly-owned subsidiary of the Company Subject matter: Pursuant to the equity transfer agreement, the vendor has conditionally agreed to sell and the Purchaser has conditionally agreed to purchase (a) 89.5% of the equity interest in Zhengzhou Yizhiquan; and (b) 10% of the equity interest of Puyang Tianrun Gas for an aggregate consideration of RMB114,950,000 (approximately HK$127,594,500). - 1 - The consideration was determined by the parties after arm’s length negotiations taking into account (i) the benefit of exclusive right under the franchise agreement granted to Puyang Tianrun Gas as mentioned in the paragraph headed “Information of the target” below; (ii) historical profitability of Puyang Tianrun Gas; (iii) the development potential of the region where it operates; and (iv) the existing projects and customer base of Puyang Tianrun Gas in Henan Province.
