Schedule O – Subcontractors SCHEDULE O – SUBCONTRACTORS 1. Contigo Systems Inc. 2. Microsoft Corporation 3. Voicenet Interactive Inc. 4. CanAsyst Ltd. 5. Cisco WebEx LLC 6. LTS Solutions Ltd. as general partner of LTS Managed Technical Services Limited Partnership 7. ATI Telecom International Company Attachment O9 to this Schedule identifies certain other Subcontractors approved by the GPS Group to support certain elements of the Cellular Services and set out certain terms and conditions related thereto. 1 Telecommunications Services Master Agreement Attachment O9 Subcontractors for Cellular Services 1. Introduction This Attachment: (a) identifies the Subcontractors approved by the GPS Group to support certain elements of the Cellular Services; (b) sets out the process for the Approval and removal of Subcontractors that support certain elements of the Cellular Services; and (c) identifies Retailers that are not Subcontractors 2. Initial Subcontractors TELUS may subcontract post-sales and order fulfillment support/services for the Cellular Services to the Subcontractors listed in Exhibit O9-A of this Attachment in respect of the corresponding elements of the Cellular Services. 3. Subsequent Subcontractor Approval If TELUS wishes to add a Subcontractor to the Subcontractors listed in Exhibit O9-A of this Attachment, TELUS may request Approval by submitting a letter to the Administrator substantially in the form attached as Exhibit O9-B to this Attachment. The GPS Group may request additional information and TELUS will use commercially reasonable efforts to provide all information requested by GPS Group for the purposes of making its decision. If TELUS wishes to make changes to (a) listed Subcontractor locations, (b) the elements for which a Subcontractor is approved, or (c) remove Subcontractors from the list, it will promptly inform the GPS Entities of such change in writing. 4. Removal of Subcontractor In addition to the rights of the GPS Entities under section 31.3 of the main body of this Agreement, the Administrator may at its sole discretion direct TELUS to remove any approved Subcontractor set out in Exhibit O9-A or otherwise approved by the GPS Group under section 3 above by giving notice to TELUS of the circumstances giving rise to the direction, in which event TELUS will remove such approved Subcontractor (a) immediately if such circumstances are incurable or relate to a breach or potential breach of this Agreement by the Subcontractor, or, otherwise, (b) thirty days after such notice unless TELUS or the Subcontractor has remediated to the satisfaction of the Administrator within such thirty-day period the circumstance giving rise to the direction. If TELUS agrees to find a suitable replacement for a Subcontractor removed pursuant to this section 4, TELUS will follow the process set out in section 3 above to seek approval for the replacement Subcontractor. 5. Retailers that are not Subcontractors As of the Effective Date there are no Retailers that are not Subcontractors in British Columbia.
