CROWN AGREEMENT: AMENDMENT AGREEMENT No. 1 TABLE OF CONTENTS AMENDED PROVISIONS RELATED TO ROYALTY ROYALTY CREDIT PROVISIONS CONSEQUENTIAL AMENDMENTS GENERAL SCHEDULE "A" - Definitions Related to the Royalty Credit Provisions ALBERTA SUNCOR (O.S.G.) CROWN AGREEMENT: AMENDMENT AGREEMENT No. 1 THIS AGREEMENT IS DATED as of the _____ day of _______________, 1995. BETWEEN: HER MAJESTY THE QUEEN IN RIGHT OF THE PROVINCE OF ALBERTA as represented by the Minister of Energy (herein called "Her Majesty") - and - SUNCOR INC., a body corporate, incorporated under the laws of Canada and having its head office at the City of North York in the Province of Ontario (herein called "Suncor"). WHEREAS: A. Her Majesty and Suncor entered into an agreement called the "Alberta Suncor (O.S.G.) Crown Agreement", authorized by Order in Council O.C. 155/88 (herein called the "Alberta Crown Agreement"). B. Pursuant to a Memorandum of Understanding dated March 5, 1993 (herein called the "Memorandum of Understanding") Her Majesty and Suncor detailed the salient principles to be incorporated by way of amendment into the Alberta Crown Agreement relating to sulphur dioxide emission reduction and odour abatement projects. C. Her Majesty and Suncor wish for their mutual benefit to enter into this amendment agreement (the "Amendment Agreement") to evidence their agreement concerning the matters detailed in the Memorandum of Understanding and the other matters set out in this Amendment Agreement. NOW THEREFORE THIS AGREEMENT WITNESSETH that the parties hereto agree as follows: 701 THE ALBERTA GAZETTE, PART I, MARCH 31, 1995 AMENDED PROVISIONS RELATED TO ROYALTY 1. Section 101 of the Alberta Crown Agreement is amended (a) by deleting clause (f)(i) and substituting: "(i) Leased and Outside Substances Revenue" (b) by adding the following after clause (i): "(i.1) 'Leased and Outside Substances Revenue' means the amount obtained when the volumes of all the Leased Substances and Outside Substances, (including Her Majesty's Royalty Share of Leased Substances) which are delivered at the Location Boundary, are multiplied by the applicable Unit Price, (i.2) 'Leased S.C.O.' means Synthetic Crude Oil that is a Leased Substance;" 2.
