    Comcast/NBC Universal Merger CASE STUDY Client In 2010, US cable company Comcast, a Multichannel Video Programming Distributor, and NBC Universal Inc (NBCU), a broadcast and for-pay programming provider, sought BLOOMBERG TV government approval for their proposed merger. During the merger review, Bates White Partner, Duke University professor, and former FCC chief economist Leslie M. Industry Marx submitted a report on behalf of Bloomberg TV, a video programming provider that had concerns about the merger impeding its effective competition in this market. COMMUNICATIONS Professor Marx suggested a number of remedies that were subsequently imposed on the merging parties by the FCC. Professor Marx showed how the integration between NBCU-owned CNBC, the dominant business channel, and Comcast, the dominant programming distributor in areas where demand for financial news is highest (e.g., New York and Chicago), would greatly increase the merged firm’s ability and incentive to anticompetitively foreclose Bloomberg TV from accessing end users (TV viewers and Internet users). After explaining the economic theories that led to a conclusion regarding competitive harm from the merger’s vertical integration, Professor Marx empirically measured the extent to which the merged firm could distort competition in the provision of financial news programming. Among other avenues, competitive harm could come from Comcast’s refusal to include Bloomberg TV in some of its programming bundles. This action would place Bloomberg TV in a tier with fewer subscribers, thereby disadvantaging Bloomberg TV and making end users more likely to turn to CNBC. Professor Marx also proposed conditions that could alleviate the anticipated competitive harms she had identified.

It does so through the platform neutral NZ Media Fund which has four streams; scripted, factual, music, and platforms. • Given the platform neutrality of this fund and the need to efficiently and effectively reach both mass and targeted audiences, it is essential NZ On Air have an accurate understanding of the current and evolving behaviour of NZ audiences. • To this end NZ On Air conduct the research study Where Are The Audiences? every two years. The 2014 benchmark study established a point in time view of audience behaviour. The 2016 study identified how audience behaviour had shifted over time. • This document presents the findings of the 2018 study and documents how far the trends revealed in 2016 have moved and identify any new trends evident in NZ audience behaviour. • Since the 2016 study the media environment has continued to evolve.     In 1983, 50 corporations controlled the vast majority of all news media in the U.S. At the time, Ben Bagdikian was called "alarmist" for pointing this out in his book, The Media Monopoly . In his 4th edition, published in 1992, he wrote "in the U.S., fewer than two dozen of these extraordinary creatures own and operate 90% of the mass media" -- controlling almost all of America's newspapers, magazines, TV and radio stations, books, records, movies, videos, wire services and photo agencies. He predicted then that eventually this number would fall to about half a dozen companies. This was greeted with skepticism at the time. When the 6th edition of The Media Monopoly was published in 2000, the number had fallen to six. Since then, there have been more mergers and the scope has expanded to include new media like the Internet market. More than 1 in 4 Internet users in the U.S. now log in with AOL Time-Warner, the world's largest media corporation. In 2004, Bagdikian's revised and expanded book, The New Media Monopoly , shows that only 5 huge corporations -- Time Warner, Disney, Murdoch's News Corporation, Bertelsmann of Germany, and Viacom (formerly CBS) -- now control most of the media industry in the U.S. General Electric's NBC is a close sixth. Specifically, HDNet now alleges that the manner in which DIRECTV has restructured its high definition (“HD”) offerings discriminates against HDNet programming and necessitates the imposition of conditions that would, among other things, guarantee carriage of HDNet on DIRECTV for four years – a remedy that would effectively amount to a “tax” on DIRECTV for the benefit of HDNet, a private company controlled by a billionaire.1 It ought to be perfectly clear what is occurring here. HDNet’s carriage agreement with DIRECTV expires in little more than a year. And while HDNet used to be one of only a small handful of programmers with HD content, there are now a large number of programmers offering high quality HD programming at little or no cost. Sensing that it might not have much commercial leverage in next year’s renewal negotiations, HDNet has concocted a discrimination claim against DIRECTV in hopes that the Commission will guarantee it carriage for years to come, at rates which HDNet, on the merits of its content, could not otherwise command.

To help inform the discussion, please find attached a copy of a recent Phoenix Center paper entitled A Retrospective Analysis of Vertical Mergers in Multichannel Video Programming Distribution Markets: The Comcast-NBCU Merger. In this paper, Phoenix Center Chief Economist Dr. George S. Ford presents a retrospective analysis of the price effects of the Comcast-NBCU merger. In particular, Dr. Ford conducts an econometric analysis of data on the prices paid for programming by multichannel video programing distributors (“MVPDs”) before and after the transaction and finds no evidence that Comcast’s programming prices rose after the merger. The analysis covers general interest programming, news channels, and national and regional sports networks. Given these results, Dr. Ford concludes that there is either a lack of a net positive effect on incentives to raise programming prices above competitive levels following the vertical merger or that the behavioral remedies placed on the Comcast-NBCU merger were effective.
