The terms set forth inside, on invoices and in other policies of Conn-Selmer, Inc. govern purchase orders or other documents unless they are agreed to in writing and signed by an officer of Conn-Selmer, Inc. 1. All Authorized Conn-Selmer Instrument Dealers qualify for the net prices and purchasing programs listed within the dealer confidential based on their specific product authorization. 2. All orders are subject to acceptance by the Conn-Selmer, Inc. Corporate Office. Any order placed for immediate shipment will be invoiced at the prices in effect at the time of order. Any order scheduled for future shipment will be invoiced at the prices in effect on the date of shipment. 3. Terms assessed on invoices are based on date of shipment; not on the order date. 4. All orders and terms are subject to credit approval. 5. Order cancellations must occur prior to shipment. Customized, configured and Made-To-Order (MTO) orders are not cancellable. 6. A late charge of 1.5% per month (annual percentage rate of 18%) will be assessed on all past due balances. 7. Returned merchandise will be accepted only when accompanied by an approved Return Authorization Number available from Conn-Selmer Customer Service. Merchandise returned for reasons other than warranty repair or shipment error by Conn-Selmer, Inc. may be subject to a restocking charge. Conn-Selmer reserves the right to provide warranty service according to the guidelines as stated in the warranty policy provided with every instrument. 8. Instruments will be shipped as scheduled, subject to Conn-Selmer’s ability to deliver. All shipments are F.O.B. manufacturing facilities. 9. It is the responsibility of the dealer to examine each shipment in a timely manner and, if damage has occurred, to file all necessary claims with the appropriate carrier. Neither Return Authorization nor credit will be issued for products damaged during shipment other than those for which carrier claims have been honored. 10. All prices, programs and product specifications are subject to change without notice or obligation. 11. All prices are subject to state and local taxes. 12. All drop ship orders to consumers are subject to a $9.95 shipping and handling fee. CONN-SELMER DISTRIBUTION POLICY Conn-Selmer has determined that its marketing objectives are best achieved through a selective distribution system. In order to properly serve the public and meet these marketing objectives, Conn-Selmer has designated a portion of its products for distribution through Retail Music Dealers, the Internet and Dealer Affiliates. These products are included within this price list and marked accordingly. 4 2011 VOLUME DISCOUNT PROGRAMS Student Instruments: Cumulative orders of 200 or more units (combination of student instruments, step-up instruments, string instruments, and educational percussion kits) by March 31st, 2011 earn eligibility for level 2 discount pricing on all student instruments through September 30th, 2011. After March 31st, 2011 a single order of 200 or more units (combination of student instruments, step-up instruments, string instruments, and educational percussion kits) earn eligibility for level 2 discount pricing on all student instruments through September 30th, 2011. Step-up Instruments: Orders of 6 or more units (step-up instruments) earn eligibility for level 2 discount pricing on all step-up instruments through September 30th, 2011. String Instruments: Orders of 12 or more units (string instruments) earn eligibility for level 2 discount pricing on all string instruments through September 30th, 2011. Educational Percussion Kits: Orders of 12 or more units (educational percussion kits) earn eligibility for level 2 discount pricing on all educational percussion kits through September 30th, 2011. Professional/Background Instruments: Orders of 6 or more units (professional/background instruments) earn eligibility for level 2 discount pricing on all professional/background instruments through September 30th, 2011. School Percussion: Cumulative shipments of $15,000 or more in school percussion earn eligibility for level 2 discount pricing plus an additional 5% discount on all school percussion instrument shipments through September 30th, 2011. Accessories: Cumulative shipments of $5,000 or more in accessories, by March 31st, 2011 earn eligibility for level 2 discount pricing on all accessories shipments through September 30th, 2011. Additionally once qualified, all accessory shipments over $250 will receive free freight (standard ground shipping only). Drop ship fees do apply on items shipped to individuals. UNIVERSITY METHOD CLASS SAMPLER PROGRAM The Conn-Selmer University Method Class Sampler Program provides an opportunity for Conn-Selmer dealers to reach future music educators and to earn extra profits at the same time. Prelude instruments are not included in this program. For more information on this and other Conn-Selmer school programs, contact your Conn-Selmer representative. RESTRICTED ACCESSORY DISTRIBUTION Conn-Selmer has established the following distribution requirements for Primo and System Blue branded accessory products: 1. Distribution is allowed through all authorized Conn-Selmer accessory dealers. 2. Distribution is not allowed for advertisement on the internet. Dealers failing to abide by these requirements are subject to de-authorization for these products, resulting in no future shipments for this product. MINIMUM ANNUAL SALES VOLUME REQUIREMENTS Conn-Selmer has established the following minimum annual (October 1st - September 30th) sales volume requirements. Dealers whose volume does not meet or exceed these requirements will have their authorizations reduced to repair parts and accessory purchases only with credit card terms. 1. Band Instruments - $10,000 minimum annual sales volume requirement. 2. Accessories - $2,500 minimum annual sales volume requirement. 5 SCHOOL BID PROGRAM & TERMS Authorization: Only Authorized Conn-Selmer Dealers qualify for the School Bid Program based on their product authorization. School bid net pricing is maximum net regardless of the dealer’s earned discount level and may be used for school, institutions, and other non-profit organization purchases, including community bands. School bid pricing is highlighted in bold type under the column titled “LV 2” in the band instrument confidential. Bid Preparation Service: Conn-Selmer provides complete bid preparation service for school bids within a dealer’s local market. At the dealer’s request, Conn-Selmer will complete the bid, including the dealer’s desired profit, and forward it to the dealer for submission to the school or institution. As part of this service, Conn-Selmer will substitute Conn-Selmer models for competitive products, provide catalogs and specifications, and provide samples as needed for equal or better verification. For more information contact your Conn-Selmer representative. Terms: The School Bid Term (SB) is 8% - 30 Days, 7% - 60 Days, 6% - 90 Days, Net 120 Days from the date of invoice. The cash discounts may be taken provided payment is made within the specified days of the invoice date and your account is current and in good standing. If the invoice is not paid within 120 days, the invoice will be due in full. After 121 days, the invoice is subject to monthly late charges calculated at 1.5% per month. School bid invoices cannot be transferred to any other term. Accessories Terms (Z5) for school bids are 6% - 30 Days, 5% - 60 Days, 4% - 90 Days, Net 120 Days from date of invoice.
