We have been approached by a Waseca resident (Hannah Neigebauer) who is seeking an internship to meet the requirements of a degree she is completing in Land Use Planning from the University of Wisconsin- Stevens Point. Ms. Neigebauer’s duties will include complete general planning functions such as writing variance, coonditional use and subdivision reports as well as working on water planning, feedlot and wetland activities. Our request is to compensate her at the rate $10 per hour 8-4:30 Mondays, Tuesdays, Thursdays, and Fridays, beginning May 26. Hannah’s internship program also includes assisting the Waseca County Soil & Water Conservation District on Wednesdays during the summer.

This position was discussed with the Planning and Zoning Committee.

Summary: On February 19 of this year, a car left the roadway and hit a garage that is owned by David Flor. The garage was located within 5 feet of the right-of-way of County Road 8. MrM . Flor is requesting that the County Board authorize the rebuilding of the structure (and with an additional two feet in width) in the same location on the parcel. Paragraph 4-Restoration, Section 4 of Article 2 of the Waseca County Development Code states that

No building which has been damaged by fire, explosion, natural disaster, as designated by the County Board, to the extent of more than fifty (50) percent of its replacement value, as determined by the County Assessor, and no building permit has been applied for within one (1) year of when the property was damaged, shall be restored except in conformity with the regulations of this Ordinance. This provision shall not apply to buildings exempted by Minnesota State law.

The code language specifies that the Waseca County Board may designate replacement of structures damaged by fire, explosion or natural dissaster may be reconstructed in their current location without the need to apply for a variance. Mr. Flor has requested permission to rebuild within five feet of the road-right-of way (required setback is 40 feet from the right-of-way in the LR Limited Residential District where the garage was located. This parcel is also in the Shoreland Overlay of St. Olaf Lake where minimum lot area requirement is one acre. This parcel is approximately .8 acres.. Mr. Flor submitted zoning permit application #11879 on April 21, 2015. If authorized, the Assessor will be advised to determine the extent of damage to the structures as specified above.

Summary: Blane and Kerry Amundson have a farmstead located in Section 8 of Vivian Township. In June of 2014, a severe windstorm pasted through their property and severely damaged several bins and a grain elevator located upon their property. Paragraph 4- Restoration, Section 4 of Article 2 of the Waseca County Development Code states that No building which has been damaged by fire, explosion, natural disaster, as designated by the County Board, to the extent of more than fifty (50) percent of its replacement value, as determined by the County Assessor, and no building permit has been applied for within one (1) year of when the property was damaged, shall be restored except in conformity with the regulations of this Ordinance. The Amundsons would like to finalize their zoning permit application #11876 submitted on April 24 to replace the bins that were destroyed and to construct a new shed in place of the grain elevator. The parcel is in the A-1 Agricultural Protection District with a required setback to the road right-of-way of 75’.

The Amundsons obtained a variance in 2010 to construct one 48 foot diameter grain bin within the 75 foot front yard setback of 15th Street, to be set back 25’ from the frontyard (east) property line, with the following conditions: 1. The new concrete shall be no closer to the road than the existing concrete foundations of the other two bins in the three bin set, and 2. That if future township projects (such as road reconstruction) affect this site, the landowner shall be responsible for the removal of the concrete foundation and/or removal and relocation of the bin.

.If authorized, the Assessor will be advised to determine the extent of damage to the structures as specified above.

The Waseca County Feedlot Site Inspection Team (site team) held a public meeting at a proposed feedlot site (site) on March 30, 2015, at 1:00 pm. A public notice was mailed out to all landowners on record within one mile of the building site (41 properties), in both Waseca and Steele counties, and was sent to all Otisco Township Officers on March 18, 2015. The site is located in the NE¼ of the NE¼, Section 24 in Otisco Township of Waseca County. A site team meeting was held for this feedlot proposal according to the Waseca County Unified Development Code, Article 6, Section 6.1 (e) because of the construction of a facility exceeding 200 animal units. The feedlot will consist of one 2400 head total confinement finish hog barn with slatted floors and a 9’ deep, poured concrete pit designed for 12 months liquid manure storage. The size of the proposed barn is 51’ by 392’. 2400 finish hogs is the equivalent of 720 Animal Units (AU). Moen FSIT 08.024.0100 Page 1 of 8

Michael Moen, one of the property owners, Alex Moen and Josh Moen (the applicants or operators) were present. In addition to the site team members, five citizens signed in for the meeting. Four individuals lived or owned land near the site. There was a letter dated March 24, 2015 read into the record that was received by the Waseca County Planning and Zoning Department on March 27, 2015 from the Pontoppidan Lutheran Church. The church is located across the Steele County line at 9651 SW 75th Street (Ellendale). The concerns expressed in the letter related to the odor that was currently produced by the Buffalo Run Feedlot located to the west of the church and north of the proposed feedlot. The church requested that the owners be required to do anything and everything to reduce the amount of odor generated at the facility.

No other written comments were submitted to the Site Team.

Site Description: 1. The area is located in an area that is surrounded primarily by agricultural farmland with rural farmsteads and small tracts containing single-family homes. The existing Buffalo Run Feedlot, referenced above, is located less than ¼ mile to the northwest of the proposed facility. The above-referenced church is located over ¾ mile to the east of the site.

2. The site for the proposed facility is located on Parcel ID 08.024.0100. The property consists of an 80 acre tract located on 180th Street (the Waseca/Steele County line).

3. There are no cities in the immediate vicinity that would be impacted by the facility.

4. The distances to the closest residences are at least: owner’s home 1,000 feet to the north on parcel 08.013.0700; 1,700 feet to the north along 180th Street; and 2,400 feet to the southwest along 180th Street. The closest surface water is an intermittent stream 1,500 feet to the west that connects to the Little LeSueur River.

Property Owner/Applicant Proposal: The Owners and the Operators are proposing a feedlot that will consist of one 2400 head total confinement finish hog barn with slatted floors and a poured 9’ deep poured concrete pit designed for 12 months storage of liquid manure. 2400 finish hogs are the equivalent of 720 Animal Units (AU). The barn facility will measure 51’ x 392’ and will be curtain ventilated.

Moen FSIT 08.024.0100 Page 2 of 8 Findings of Fact: 1. Zone: This site is located in the Agricultural Protection District. According to the Waseca County Unified Development Code Article 6, Section 8, the new proposed feedlot is a permitted use pursuant to the Feedlot Site Inspection Team or Conditional Use Permit process.

2. Setbacks/Standards: The setbacks that apply to this facility include: a) road centerline: 300’; b) property line: 80’ c) residence (other than the property owner): 1,000’. The site plan shows that all of these setbacks as well as the impervious surface maximum of 25% are met on the currently described 80 acre parcel. The owners/operators have not indicated any intent to subdivide the site from the original parcel. Subdivision or land splits are required to be processed and approved by the Waseca County Planning & Zoning Department under the zoning ordinance subdivision standards.

3. Access: A new driveway is proposed from 180th Street, a County gravel road. Driveway access permits are to be obtained from the Waseca County Highway Department. The 911 address will be assigned in conjunction with that permit.

4. Topography: The site for the facility is fairly flat, however, the remainder of the property has some rolling hills that are farmed.

5. CAFO/Short Form: This facility will not exceed the requirements of a Large Concentrated Animal Feedlot (CAFO) of the Minnesota Pollution Control Agency. This new feedlot will be processed through the Waseca County Short Form Feedlot Permit, and County Zoning Permits for both the barn and compost structures.

6. Manure Management Plan: The applicants are required to submit a manure management plan meeting local and state requirements for this feedlot to the Waseca County Planning & Zoning Department for review and approval.

7. Well: A new well is proposed for this facility and will need to be located at least 100 feet from feedlot facility.

8. Septic: the applicant is not planning on installing bathroom/shower facilities in the barn.

9. Aesthetics: There were no concerns expressed regarding the appearance of the proposed feedlot.

10. Mortality: Composting was discussed as the method to deal with animal mortality. Zoning Permits are required for compost structures.

Concerns/Comments of the public and FSIT:  Future Expansion: The property owners have indicated that they would consider a second barn at some point in the future. Any expansion would require a Feedlot Site Inspection Team meeting and process.

 Odor: There was some concern expressed about potential additional odor. The Team discussed the use of pit additives and/or a vegetative environmental barrier (VEB).

 Biosecurity: There was some concern related to biosecurity due to the existing Buffalo Run facility located to the northwest of the site.

 Impact on the Water Table: The fact that the facility will be a new large water user in the area was discussed.

 Animal Mortality: How diseased animals were to be disposed of was discussed. Composting was the preferred method for animal disposal.

Action/Recommendations:

By consensus, the Feedlot Site Inspection Team agreed with the following recommendations for this site:

1. Vegetated Environmental Buffer: The owners and/or operators must meet with the Waseca Soil and Water Conservation District and discuss the value of adding trees and other plantings to assist with odor control and snow drifting at the facility.

2. Pit Additives: As long as the feedlot is in operation, the operator shall use pit additive according to the manufacturer’s recommendations for the purpose of reducing odor. The Waseca County Feedlot Officer shall determine the method of proof regarding this condition.

General Conditions:  All standards and requirements of the Waseca County Unified Development Code including Specific Standards for Animal Agriculture (“Feedlot Ordinance”) must be met.  In addition to the requirements of this development ordinance, all uses and development shall comply with all other applicable city, county, state, and federal regulations. This includes but is not limited to (i) Minnesota Pollution Control Agency Rules, Chapter 7020.0100 - 7020.1900, Rules for the Control of Pollution from Animal Feedlots, as amended from time to time, and (ii) Minnesota Statute 169.88 (Financial liability of owner and/or operator of a vehicle that damages public roads).  If a provision of this ordinance conflicts with any other provision of this ordinance, the Waseca County Unified Development Code, or with any other provision of law, the more restrictive provision shall apply, except as otherwise provided.

The Waseca County Feedlot Site Inspection Team (site team) held a public meeting at the proposed feedlot site (site) on March 30, 2015, at 2:00 pm. A public notice was mailed to all landowners on record within one mile of the building site (23 properties) in Waseca County, and was sent to all Freedom Township Officers on March 18, 2015.

The site is located in the NE¼ of the NE¼, Section 13 in Freedom Township of Waseca County. A site team meeting was held for this feedlot proposal according to the Waseca County Unified Development Code, Article 6, Section 6.1 (e) because of the construction of a facility of 200 animal units. The feedlot will consist of one 4,000 head (nursery pigs) power ventilated confinement nursery pig barn with slatted floors and a poured concrete pit designed for 12 months liquid manure storage. 4,000 nursery pigs are the equivalent of 200 Animal Units (AU).

Matt J. Jones (owner) was present. In addition to the site team members, seven citizens signed in for the meeting. There was no written correspondence from any concerned citizen prior to the meeting. And no other written comments were submitted to the Site Team.

Site Description: 1. The area is located in an area that is surrounded primarily by agricultural farmland with rural farmsteads and small tracts containing single-family homes. There are no feedlots in the immediate vicinity of the proposed site.

2. The site for the proposed facility is located on Parcel to be split from PID 04.013.0100. The parent parcel property consists of an 80 acre tract located on 60th Street.

3. There are no cities in the immediate vicinity that would be impacted by the facility.

4. The distances to the closest residences are at least: 3,660 feet to the east on parcel 11.007.0510; 4,400 feet to the west on parcel 04.013.0700; and 4,100 feet to the south on parcel 11.018.0500. The closest surface water is an intermittent stream 320 feet to the west that connects to County Ditch 36 and then to Bull Run Creek.

Property Owner/Applicant Proposal: The Owners and the Operators are proposing a feedlot that will consist of one 4,000 head (nursery pig), power ventilated, total confinement hog barn with slatted floors and a poured 8’ deep poured concrete pit designed for 12 months storage of liquid manure. 4,000 nursery pigs are the equivalent of 200 Animal Units (AU). The barn facility will measure 102’ x 160’.

Findings of Fact: 1. Zone: This site is located in the Agricultural Protection District. According to the Waseca County Unified Development Code Article 6, Section 8, the new proposed feedlot is a permitted use pursuant to the Feedlot Site Inspection Team or Conditional Use Permit process.

2. Setbacks/Standards and Zoning Ordinance Requirements: The setbacks that apply to this facility include: a) road centerline: 300’; b) property line: 80’ c) residence (other than the property owner): 1,000’ d) wetland: 300’ and e) water course: 300’. The proposed site plan shows that these setbacks as well as the impervious surface maximum of 25% appear to be met on the proposed 7-acre Jones (Armstrong) FSIT 04.013.0100 Page 2 of 6 parcel. In order to split the 7-acre parcel from the current 80-acre parcel and to properly confirm that all setbacks will be met, the current property owner (Armstrongs) must submit a Minor Subdivision application form for approval to the Waseca County Planning & Zoning Department. And, because the 80-acre parcel is enrolled in the Agricultural Preservation Program, and because the Ag Covenant program requires a 35-acre minimum size, the property owner will also need to submit an application to amend the covenant and remove it from the new 7-acre parcel.

3. Access: A new driveway is proposed from 60th Street, a township gravel road. Driveway access permits are to be obtained from Freedom Township. The 911 address will be assigned in conjunction with that permit.

4. Topography: The site for the facility is fairly flat; however, the remainder of the property has a hill that slopes west to a wetland and an intermittent stream.

5. CAFO/Short Form: This facility will not exceed the requirements of a Large Concentrated Animal Feedlot (CAFO) of the Minnesota Pollution Control Agency. This new feedlot will be processed through the Waseca County Short Form Feedlot Permit, and County Zoning Permit.

6. Manure Management Plan: The applicants are required to submit a manure management plan meeting local and state requirements for this feedlot to the Waseca County Planning & Zoning Department for review and approval.

7. Well: A new well is proposed for this facility and will need to be located at least 100 feet from feedlot facility, and will need to be permitted by the Waseca County Public Health Services Department.

8. Septic: the applicant is planning on installing bathroom/shower facilities in the barn that will need to be permitted by the Waseca County Public Health Services Department.

9. Aesthetics: There were no concerns expressed regarding the appearance of the proposed feedlot.

10. Mortality: Rendering was discussed as the method to deal with animal mortality. The applicant will need to provide plans for the method of animal mortality.

Concerns/Comments of the public and FSIT:  Future Expansion: The property owners have indicated that they would consider a second barn at some point in the future. Any expansion would require a Feedlot Site Inspection Team meeting and process.

 Vegetated Buffer: The benefits vegetative environmental barrier (VEB) were discussed relative to snow drifting and odor.

Summary: The Sheriff’s Office is in need of newer and Tactical for its deputies. The ones that are used now are a mismatch of shotguns that have been forfeited. In order to have consistency and liability for safety in the use of shotguns a department issued shotgun is highly recommended. A bid of $699.25 for a 1301 tactical semi Auto shotgun was received from Atlantic Tactical Company for a total of $9789.50 for 14 shotguns.

Budget/Financial Consideration: The budget that would be used to pay for the Shotguns would come out of the Forfeit fund which has a balance of $27,459.50 as of 04/24/2015. Also, we would be selling the old weapons we have to a Federal Firearms arms dealer. Roughly figuring we would be getting $1000 for all the weapons.

RESOLUTION # 2015-13 RESOLUTION APPROVING AND ADOPTING THE WASECA COUNTY SOLID WASTE MANAGEMENT PLAN

WHEREAS, the legislature of the State of Minnesota requires that Minnesota’s counties develop a Solid Waste Management Plan Update (Update) in accordance with Minn. Stat. §§ 115A.46; 115A.417; 115A.551, subds. 6-7; 115A.552; 115A557, subd. 2-3; 115A.63; 115A.84; 115A.914; 115.96, Subd.6-7; 115A.917; 115A97; Minn. Rules 9215 and all other applicable statutes and rules; and

WHEREAS, Minnesota counties recognize the need to plan for and practice environmentally sound methods of managing their solid waste stream;

WHEREAS, in 1989, the legislature of the State of Minnesota enacted legislation to require that Solid Waste Management Plan Updates be amended to include the requirements in Minn. Stat. §§ 115A.551, 115A.914 and 115A.96, Subd. 6 (1991); and

WHEREAS, Waseca County recognizes the need to plan for and implement waste reduction, recycling, yard waste composting, special waste management strategies, and processing of municipal solid waste;

WHEREAS, due to increased a number of requests from interested property owners to provide places on their farms for commercial activities for the purpose of economic development, education and the enjoyment of the agricultural environment. the Waseca County Planning and Zoning Department is requesting an amendment to the Waseca County Unified Development Code in Article 6, Section 7 Specific Standards for Agricultural, Natural Resources and Related Uses to include provisions for Agri-Tourism (as defined in the attached) as a conditional commercial use in the following districts: A- 1 Agricultural Protection, HC-Highway Commercial, I-General Industrial District, and AIC-Agriculture Interpretive Center; and include Agricultural Direct-Market Business (as defined in the attached) as a permitted use in the following districts: A-1 Agricultural Protection, HC Highway Commercial, I Industrial, AIC Agriculture Interpretive Center; and to include definitions (as outlined in the text) for this use in Article 8 Definitions.

WHEREAS, the Waseca County Planning Commission conducted a public hearing regarding this amendment at their meeting of April 9, 2015 and prior to the public hearing, the Waseca County Planning & Zoning Office published notice regarding this public hearing and mailed notice and information to all Waseca County Township Officers, and then the Waseca County Planning Commission recommends its approval by the Waseca County Board of Commissioners; and

WHEREAS, the Waseca County Board of Commissioners held a public hearing at their meeting of April 21, 2015 to adopt the amendment to the Waseca County Unified Development Code as shown in Attachment “A”;

WASECA COUNTY ORDAINS: The Waseca County Comprehensive Land Use Plan and the Unified Development Code of Waseca County are amended as shown in Attachment “A” to: 1. Include standards for Agri-Tourism and Agricultural Direct-Market Business in Article 6, Section 7 Specific Standards for Agricultural, Natural Resources and Related Uses; and 2. include Agri-tourism as a commercial conditional use in the A-1 Agricultural Protection District and as a permitted use in the HC-Highway Commercial, I-General Industrial District, and AIC-Agriculture Interpretive Center Districts; and 3. include Agricultural Direct-Market Business as a permitted use in the following districts: A-1 Agricultural Protection, HC Highway Commercial, I Industrial, AIC Agriculture Interpretive Center; and

4. include definitions (as outlined in the text) for these uses in Article 8 Definitions.

RESOLUTION # 2015-19 RESOLUTION TO CLOSE A PORTION OF THE WASECA COUNTY BOARD MEETING ON APRIL 21, 2015

WHEREAS, the Waseca County Board of Commissioners desire to close a portion of the April 21, 2015 Board Meeting to discuss a legal update on pending litigation.

WHEREAS, pursuant to Minn. Stat. §13D.05, subd. 3(b), the County Board by resolution may close a meeting as permitted by Minnesota law.

NOW, THEREFORE, BE IT RESOLVED, that the Waseca County Board of Commissioners hereby closes a portion of the County Board meeting on April 21, 2015 at 10:07 a.m. in order to discuss a legal update on pending litigation involving old Highway 14 turn back as permitted by the attorney-client privilege.

Attorney Justin Weinberg joined the meeting to update the board regarding ongoing litigation.

Androli moved and Nelson seconded to end the closed session at 10:36 a.m. Motion carried unanimously. Kuhns moved and Nelson seconded to follow the litigation strategy that was discussed during closed session. Motion carried unanimously. Jack Kemme, Interim County Administrator, reported on mediation with AFSCME Union. An agreement was reached with AFSCME to ratify the contract for Courthouse/Public Health. Androli moved and Kuhns seconded to approve resolution 2015-18 to ratify the contract as agreed upon with the union. Motion carried unanimously.

RESOLUTION # 2015-18 RESOLUTION ADOPTING NEGOTIATED CHANGES TO THE 2015 AFSCME – COURTHOUSE/PUBLIC HEALTH UNIT LABOR AGREEMENT

WHEREAS, the current Collective Bargaining Agreement between the American Federation of State, County, and Municipal Employees (AFSCME) – Courthouse/Public Health Unit expired effective December 31, 2014; and

WHEREAS, the Labor Relations/Group Insurance Committee has recently negotiated a one (1)year labor agreement with the AFSCME union; and

WHEREAS, the proposed agreement is reasonable, fiscally prudent and within current budget parameters;

NOW, THEREFORE, BE IT RESOLVED, that the Waseca County Board of Commissioners approves the proposed labor agreement for the year 2015 between Waseca County and the American Federation of State, County, and Municipal Employees (AFSCME) – Courthouse/Public Health Unit.

Jack also gave an update on the county administrator search, as well as presenting the administrator’s report. Reports of Commissioners were shared. Having no further county board business, Kuhns moved and Androli seconded the motion to adjourn the meeting. Motion carried unanimously and meeting adjourned at 10:55 a.m.

Summary: The “Retriever” is $17,450. There is no sales tax on this equipment. The recommended purchase is from Bruellman Blading & Road Maintenance of Blue Earth, MN. We have one side mount retriever. This new retriever with the front mount assembly will improve our retrieving operations. Some of the multiple motor patrol shouldering operations will require one less motor patrol.

The pickup is $23,284 plus taxes and fees. The recommended purchase is from Deml Ford. The pickup is a 2016 model F350 4x2 DR/CSR. The second low bid was $25,832 plus taxes and fees. The second low bid is from Waseca Chrysler. The pickup is a 2015 Ram 3500 Regular Cab 4x2. The light blue 1995 Chevrolet will be placed on MNBID.

The used Duraco Dura Patcher is $32,500. There is no sales tax on this equipment. The recommended purchase is a 1997 Duraco Dura Patcher 81DJ with 2,511 hours. The recommended purchase is from Pavement Resources, Inc. of Ham Lake, MN. The used machine has a warranty of 40 machine hours or 60 days. A new machine is $63,250. We have borrowed a Dura Patcher from MNDOT, Blue Earth County, and Steele County for several years. This will be our first Dura Patcher. The Dura Patcher will be available year round for bituminous patching. This will improve our bituminous patching operations. .

Budget/Financial Consideration: The equipment line item is $433,800. The department’s recommended purchases remain under the budgeted line item amount.

RESOLUTION AUTHORIZING ISSUANCE, AWARDING SALE, PRESCRIBING THE FORM AND DETAILS AND PROVIDING FOR THE PAYMENT OF $925,000 GENERAL OBLIGATION STATE AID ROAD BONDS, SERIES 2015A

BE IT RESOLVED by the Board of County Commissioners (the Board) of Waseca County, Minnesota (the County), as follows:

SECTION 1. AUTHORIZATION AND SALE.

1.01. Authorization. This Board hereby determines that it is in the best interests of the County to issue its $925,000 aggregate principal amount of General Obligation State Aid Road Bonds, Series 2015A (the Bonds) to finance the cost of state aid road improvement projects within the County (the Projects). Pursuant to Minnesota Statutes, Section 162.181, subdivision 1, the principal amount of the Bonds will not exceed the total of the County’s state aid allotments in the years 2013 and 2014 ($6,317,916). The amount of principal and interest due in any calendar year on the Bonds, including any similar obligations of the County which are outstanding (such total maximum annual debt service being equal to $______), shall not exceed 90 percent of the amount of the last annual allotment, preceding the bond issue, received by the County from the construction account in the county state aid highway fund (90% of such amount being equal to $1,742,990).

1.02. Sale. The County has retained Springsted Incorporated, as independent financial advisor in connection with the sale of the Bonds. Pursuant to Minnesota Statutes, Section 475.60, subdivision 2, paragraph (9), the requirements as to public sale do not apply to the issuance of the Bonds. Pursuant to the Request for Proposals and the Official Statement, proposals for the purchase of the Bonds were received at or before the time specified for the opening of proposals. The proposals have been opened and publicly read and considered, and the purchase price, interest rates and net interest cost under the terms of each proposal have been determined. The most favorable bid received is that of ______, in ______, ______, and associates (the Purchaser), to purchase the Bonds at a price of $______plus accrued interest to the date of issuance and delivery.

1.03. Award. The sale of the Bonds is hereby awarded to the Purchaser, and the Chairperson and County Auditor-Treasurer are hereby authorized and directed to execute a contract on behalf of the County for the sale of the Bonds in accordance with the terms of the proposal. The good faith deposit of the Purchaser shall be retained and deposited by the County until the Bonds have been delivered, and shall be deducted from the purchase price paid at settlement.

SECTION 2. BOND TERMS; REGISTRATION; EXECUTION AND DELIVERY.

2.01. Issuance of Bonds. All acts, conditions and things which are required by the Constitution and laws of the State of Minnesota to be done, to exist, to happen and to be performed precedent to and in the valid issuance of the Bonds having been done, now existing, having happened and having been performed, it is now necessary for the Board to establish the form and terms of the Bonds, to provide security therefor and to issue the Bonds forthwith.

2.02. Maturities; Interest Rates; Denominations and Payment. The Bonds shall be originally dated as of June __, 2015, shall be in the denomination of $5,000 each, or any integral multiple thereof, of single maturities, shall mature on April 1 in the years and amounts stated below, and shall bear interest from date of issue until paid or duly called for redemption at the annual rates set forth opposite such years and amounts, as follows:

The Bonds shall be issuable only in fully registered form. The interest thereon and, upon surrender of each Bond, the principal amount thereof shall be payable by check or draft issued by the Registrar described herein, provided that, so long as the Bonds are registered in the name of a securities depository, or a nominee thereof, in accordance with Section 2.07 hereof, principal and interest shall be payable in accordance with the operational arrangements of the securities depository.

2.03. Dates and Interest Payment Dates. Upon initial delivery of the Bonds pursuant to Section 2.08 and upon any subsequent transfer or exchange pursuant to Section 2.06, the date of authentication shall be noted on each Bond so delivered, exchanged or transferred. The interest on the Bonds shall be payable on April 1 and October 1 in each year, commencing April 1, 2016, each such date being referred to herein as an Interest Payment Date, to the person in whose names the Bonds are registered on the Bond Register, as hereinafter defined, at the Registrar's close of business on the fifteenth day of the calendar month next preceding such Interest Payment Date, whether or not such day is a business day. Interest shall be computed on the basis of a 360-day year composed of twelve 30-day months.

2.04. Redemption. Bonds maturing in 2023 and later years shall be subject to redemption and prepayment at the option of the County, in whole or in part, in such order of maturity dates as the County may select and, within a maturity, by lot as selected by the Registrar (or, if applicable, by the bond depository in accordance with its customary procedures) in multiples of $5,000, on April 1, 2022, and on any date thereafter, at a price equal to the principal amount thereof and accrued interest to the date of redemption. The County Auditor-

Treasurer shall cause notice of the call for redemption thereof to be published as required by law, and at least thirty days prior to the designated redemption date, shall cause notice of call for redemption to be mailed, by first class mail, to the registered holders of any Bonds to be redeemed at their addresses as they appear on the bond register described in Section 2.06 hereof, provided that notice shall be given to any securities depository in accordance with its operational arrangements. No defect in or failure to give such mailed notice of redemption shall affect the validity of proceedings for the redemption of any Bond not affected by such defect or failure. Official notice of redemption having been given as aforesaid, the Bonds or portions of Bonds so to be redeemed shall, on the redemption date, become due and payable at the redemption price therein specified and from and after such date (unless the County shall default in the payment of the redemption price) such Bonds or portions of Bonds shall cease to bear interest. Upon partial redemption of any Bond, a new Bond or Bonds will be delivered to the owner without charge, representing the remaining principal amount outstanding.

2.05. Appointment of Initial Registrar. The County hereby appoints U.S. Bank, National Association, in St. Paul, Minnesota, as the initial bond registrar, transfer agent and paying agent (the Registrar). The Chairperson and the County Auditor-Treasurer are authorized to execute and deliver, on behalf of the County, a contract with the Registrar. Upon merger or consolidation of the Registrar with another corporation, if the resulting corporation is a bank or trust company authorized by law to conduct such business, such corporation shall be authorized to act as successor Registrar. The County agrees to pay the reasonable and customary charges of

3 the Registrar for the services performed. The County reserves the right to remove the Registrar, effective upon not less than thirty (30) days’ written notice and upon the appointment of (and acceptance of such appointment by) a successor Registrar, in which event the predecessor Registrar shall deliver all cash and Bonds in its possession to the successor Registrar and shall deliver the bond register to the successor Registrar.

2.06. Registration. The effect of registration and the rights and duties of the County and the Registrar with respect thereto shall be as follows:

(a) Register. The Registrar shall keep at its principal corporate trust office a bond register in which the Registrar shall provide for the registration of ownership of Bonds and the registration of transfers and exchanges of Bonds entitled to be registered, transferred or exchanged.

(b) Transfer of Bonds. Upon surrender for transfer of any Bond duly endorsed by the registered owner thereof or accompanied by a written instrument of transfer, in form satisfactory to the Registrar, duly executed by the registered owner thereof or by an attorney duly authorized by the registered owner in writing, the Registrar shall authenticate and deliver, in the name of the designated transferee or transferees, one or more new Bonds of a like aggregate principal amount and maturity, as requested by the transferor. The Registrar may, however, close the books for registration of any transfer after the fifteenth day of the month preceding each interest payment date and until such interest payment date.

(c) Exchange of Bonds. Whenever any Bonds are surrendered by the registered owner for exchange the Registrar shall authenticate and deliver one or more new Bonds of a like aggregate principal amount and maturity, as requested by the registered owner or the owner’s attorney in writing.

(d) Cancellation. All Bonds surrendered upon any transfer or exchange shall be promptly canceled by the Registrar and thereafter disposed of as directed by the County.

(e) Improper or Unauthorized Transfer. When any Bond is presented to the Registrar for transfer, the Registrar may refuse to transfer the same until it is satisfied that the endorsement on such Bond or separate instrument of transfer is valid and genuine and that the requested transfer is legally authorized. The Registrar shall incur no liability for the refusal, in good faith, to make transfers which it, in its judgment, deems improper or unauthorized.

(f) Persons Deemed Owners. The County and the Registrar may treat the person in whose name any Bond is at any time registered in the bond register as the absolute owner of the Bond, whether the Bond shall be overdue or not, for the purpose of receiving payment of or on account of, the principal of and interest on the Bond and for all other purposes; and all payments made to any registered owner or upon the owner’s order shall be valid and effectual to satisfy and discharge the liability upon Bond to the extent of the sum or sums so paid.

(g) Taxes, Fees and Charges. For every transfer or exchange of Bonds (except for an exchange upon a partial redemption of a Bond), the Registrar may impose a charge upon the owner thereof sufficient to reimburse the Registrar for any tax, fee or other governmental charge required to be paid with respect to such transfer or exchange.

(h) Mutilated, Lost, Stolen or Destroyed Bonds. In case any Bond shall become mutilated or be destroyed, stolen or lost, the Registrar shall deliver a new Bond of like amount, number, maturity date and tenor in exchange and substitution for and upon cancellation of any such mutilated Bond or in lieu of and in substitution for any Bond destroyed, stolen or lost, upon the payment of the reasonable expenses and charges of the Registrar in connection therewith; and, in the case of a Bond destroyed, stolen or lost, upon filing with the Registrar of evidence satisfactory to it that the Bond was destroyed, stolen or lost, and of the ownership thereof, and upon furnishing to the Registrar of an appropriate bond or indemnity in form, substance and amount satisfactory to it, in which both the County and the Registrar shall be named as obligees. All Bonds so surrendered to the Registrar shall be canceled by it and evidence of such cancellation shall be given to the County. If the mutilated, destroyed, stolen or lost Bond has already matured or been called for redemption in accordance with its terms it shall not be necessary to issue a new Bond prior to payment.

(i) Authenticating Agent. The Registrar is hereby designated authenticating agent for the Bonds, within the meaning of Minnesota Statutes, Section 475.55, Subdivision 1, as amended.

(j) Valid Obligations. All Bonds issued upon any transfer or exchange of Bonds shall be the valid obligations of the County, evidencing the same debt, and entitled to the same benefits under this Resolution as the Bonds surrendered upon such transfer or exchange.

2.07. Securities Depository. (a) For purposes of this section the following terms shall have the following meanings:

“Beneficial Owner” shall mean, whenever used with respect to a Bond, the person in whose name such Bond is recorded as the beneficial owner of such Bond by a Participant on the records of such Participant, or such person’s subrogee.

“Cede & Co.” shall mean Cede & Co., the nominee of DTC, and any successor nominee of DTC with respect to the Bonds.

“DTC” shall mean The Depository Trust Company of New York, New York.

“Participant” shall mean any broker-dealer, bank or other financial institution for which DTC holds Bonds as securities depository.

“Representation Letter” shall mean the Representation Letter pursuant to which the sender agrees to comply with DTC’s Operational Arrangements.

(b) The Bonds shall be initially issued as separately authenticated fully registered bonds, and one Bond shall be issued in the principal amount of each stated maturity of the Bonds. Upon initial issuance, the ownership of such Bonds shall be registered in the bond register in the name of Cede & Co., as nominee of DTC. The Registrar and the County may treat DTC (or its nominee) as the sole and exclusive owner of the Bonds registered in its name for the purposes of payment of the principal of or interest on the Bonds, selecting the Bonds or portions thereof to be redeemed, if any, giving any notice permitted or required to be given to registered owners of Bonds under this resolution, registering the transfer of Bonds, and for all other purposes whatsoever; and neither the Registrar nor the County shall be affected by any notice to the contrary. Neither the Registrar nor the County shall have any responsibility or obligation to any Participant, any person claiming a beneficial ownership interest in the Bonds under or through DTC or any Participant, or any other person which is not shown on the bond register as being a registered owner of any Bonds, with respect to the accuracy of any records maintained by DTC or any Participant, with respect to the payment by DTC or any Participant of any amount with respect to the principal of or interest on the Bonds, with respect to any notice which is permitted or required to be given to owners of Bonds under this resolution, with respect to the selection by DTC or any Participant of any person to receive payment in the event of a partial redemption of the Bonds, or with respect to any consent given or other action taken by DTC as registered owner of the Bonds. So long as any Bond is registered in the name of Cede & Co., as nominee of DTC, the Registrar shall pay all principal of and interest on such Bond, and shall give all notices with respect to such Bond, only to Cede & Co. in accordance with DTC’s Operational Arrangements, and all such payments shall be valid and effective to fully satisfy and discharge the County’s obligations with respect to the principal of and interest on the Bonds to the extent of the sum or sums so paid. No person other than DTC shall receive an authenticated Bond for each separate stated maturity evidencing the obligation of the County to make payments of principal and interest. Upon delivery by DTC to the Registrar of written notice to the effect that DTC has determined to substitute a new nominee in place of Cede & Co., the Bonds will be transferable to such new nominee in accordance with paragraph (e) hereof.

(c) In the event the County determines that it is in the best interest of the Beneficial Owners that they be able to obtain Bonds in the form of bond certificates, the County may notify DTC and the Registrar, whereupon DTC shall notify the Participants of the availability through DTC of Bonds in the form of certificates. In such event, the Bonds will be transferable in accordance with paragraph (e) hereof. DTC may determine to discontinue providing its services with respect to the Bonds at any time by giving notice to the County and the Registrar and discharging its responsibilities with respect thereto under applicable law. In such event the Bonds will be transferable in accordance with paragraph (e) hereof.

(d) The execution and delivery of the Representation Letter to DTC by the Chairperson or County Auditor-Treasurer, if not previously filed with DTC, is hereby authorized and directed.

(e) In the event that any transfer or exchange of Bonds is permitted under paragraph (b) or (c) hereof, such transfer or exchange shall be accomplished upon receipt by the Registrar of the Bonds to be transferred or exchanged and appropriate instruments of transfer to the permitted transferee in accordance with the provisions of this resolution. In the event Bonds in the form of certificates are issued to owners other than Cede & Co., its successor as nominee for DTC as owner of all the Bonds, or another securities depository as owner of all the Bonds, the provisions of this resolution shall also apply to all matters relating thereto, including, without limitation, the printing of such Bonds in the form of bond certificates and the method of payment of principal of and interest on such Bonds in the form of bond certificates.

2.08. Execution, Authentication and Delivery. The Bonds shall be prepared under the direction of the County Auditor-Treasurer and shall be executed on behalf of the County by the signatures of the Chairperson and the County Auditor-Treasurer, provided that the signatures may be printed, engraved or lithographed facsimiles of the originals. In case any officer whose signature or a facsimile of whose signature shall appear on the Bonds shall cease to be such officer before the delivery of any Bond, such signature or facsimile shall nevertheless be valid and sufficient for all purposes, the same as if such officer had remained in office until delivery. Notwithstanding such execution, no Bond shall be valid or obligatory for any purpose or entitled to any security or benefit under this Resolution unless and until a certificate of authentication on the Bond has been duly executed by the manual signature of an authorized representative of the Registrar. Certificates of authentication on different Bonds need not be signed by the same representative. The executed certificate of authentication on each Bond shall be conclusive evidence that it has been authenticated and delivered under this Resolution. When the Bonds have been prepared, executed and authenticated, the County Auditor-Treasurer shall deliver them to the Purchaser upon payment of the purchase price in accordance with the contract of sale heretofore executed, and the Purchaser shall not be obligated to see to the application of the purchase price.

2.09. Form of Bonds. The Bonds shall be prepared in substantially the form attached hereto as Exhibit A.

SECTION 3. USE OF PROCEEDS. There is hereby established on the official books and records of the County a General Obligation State Aid Road Bonds, Series 2015A Construction Fund (the Construction Fund), which shall continue to be maintained until payment of all costs and expenses incurred in construction of the Projects to be financed by the Bonds. To the Construction Fund there shall be credited $______of the proceeds of the Bonds and from the Construction Fund there shall be paid capital costs incurred by the County in the construction of the Projects and costs of issuance of the Bonds. Any Bond proceeds not needed for the foregoing purpose shall be transferred to the General Obligation State Aid Road Bonds, Series 2015A Debt Service Fund established in Section 4 hereof.

SECTION 4. GENERAL OBLIGATION STATE AID ROAD BONDS, SERIES 2015A DEBT SERVICE FUND. There is hereby created and shall be maintained on the official books and records of the County a General Obligation State Aid Road Bonds, Series 2015A Debt Service Fund (the Debt Service Fund), the moneys in which shall be used solely for the payment of the principal of and interest on the Bonds. From the proceeds of the Bonds, the amount of $______

7 shall be deposited in the Debt Service Fund. There is hereby irrevocably appropriated to the Debt Service Fund, out of moneys allotted and to be allotted to the County from its account in the County State Aid Road Fund of the State of Minnesota, such amount as shall be sufficient to pay the principal of and interest on the Bonds when due, on the dates and in the amounts as follows:

The County Auditor-Treasurer shall follow the procedure set forth in Minnesota Statutes, Section 162.181, Subdivision 4, for obtaining such funds. If at any time the moneys in the Debt Service Fund should be insufficient to pay all principal and interest due on the Bonds, the Auditor- Treasurer shall nevertheless pay the same from any moneys on hand in the general fund of the County, and the moneys so used shall be restored to the general fund from the moneys next received by the County from the Construction or Maintenance Account in the County State Aid Road Fund of the State of Minnesota, which are not required for the payment of additional principal and interest, or from the proceeds of taxes levied pursuant to Section 5 hereof.

SECTION 5. PLEDGE OF TAXING POWERS. For the prompt and full payment of the principal of and interest on the Bonds as such payments respectively become due, the full faith, credit and unlimited taxing powers of the County shall be and are hereby irrevocably pledged. However, it is estimated that the State Aid Road allotments appropriated for the payment of such principal and interest in Section 4 hereof will be sufficient to pay the principal and interest when due, and accordingly no tax is levied at this time. However, if an actual or anticipated deficiency should arise in the receipt of such allotments, the County shall levy an ad valorem tax upon all taxable property in the County in accordance with Minnesota Statutes, Section 475.61, in an amount sufficient to eliminate the actual or anticipated deficiency.

SECTION 6. DEFEASANCE. When all of the Bonds have been discharged as provided in this section, all pledges, covenants and other rights granted by this resolution to the registered owners of the Bonds shall cease. The County may discharge its obligations with respect to any Bonds which are due on any date by depositing with the Registrar on or before that date a sum sufficient for the payment thereof in full, or, if any Bond should not be paid when due, it may nevertheless be discharged by depositing with the Registrar a sum sufficient for the payment thereof in full with interest accrued from the due date to the date of such deposit. The County may also discharge its obligations with respect to any prepayable Bonds called for redemption on any date when they are prepayable according to their terms by depositing with the Registrar on or before that date an amount equal to the principal, interest and redemption premium, if any, which are then due, provided that notice of such redemption has been duly given as provided herein. The

County may also at any time discharge its obligations with respect to any Bonds, subject to the provisions of law now or hereafter authorizing and regulating such action, by depositing irrevocably in escrow, with a bank or trust company qualified by law as an escrow agent for this purpose, cash or securities which are authorized by law to be so deposited, bearing interest payable at such time and at such rates and maturing or callable at the holder’s option on such dates as shall be required to pay all principal and interest to become due thereon to maturity or earlier designated redemption date, provided, however, that if such deposit is made more than ninety days before the maturity date or specified redemption date of the Bonds to be discharged, the County shall have received a written opinion of Bond Counsel to the effect that such deposit does not adversely affect the exemption of interest on the Bonds from gross income for federal income tax purposes and a written report of an accountant or investment banking firm verifying that the deposit is sufficient to pay when due all of the principal and interest on the Bonds to be discharged on and before their maturity dates or earlier designated redemption date.

SECTION 7. TAX COVENANTS; ARBITRAGE MATTERS AND CONTINUING DISCLOSURE.

7.01. Covenant. The County covenants and agrees with the owners from time to time of the Bonds, that it will not take, or permit to be taken by any of its officers, employees or agents, any action which would cause the interest on the Bonds to become includable in gross income of the recipient under the Internal Revenue Code of 1986 (the Code) and applicable Treasury Regulations (the Regulations), and covenants to take any and all affirmative actions within its powers to ensure that the interest on the Bonds will not become includable in gross income of the recipient under the Code and the Regulations. The County represents and covenants that all improvements to be financed from the proceeds of the Bonds are and will be owned and operated by the County and available for use by members of the general public on a substantially equal basis. The County has not entered and will not enter into any lease, management contract, operating agreement, use agreement or other contract relating to the use, operation or maintenance of the Projects or any part thereof which would cause the Bonds to be considered “private activity bonds” or “private loan bonds” pursuant to Section 141 of the Code.

7.02. Arbitrage Certification. The Chairperson and County Auditor-Treasurer being the officers of the County charged with the responsibility for issuing the Bonds pursuant to this Resolution, are authorized and directed to execute and deliver to the Purchaser a certificate in accordance with the provisions of Section 148 of the Code and applicable Regulations, stating that on the basis of facts, estimates and circumstances in existence on the date of issue and delivery of the Bonds, it is reasonably expected that the proceeds of the Bonds will not be used in a manner that would cause the Bonds to be “arbitrage bonds” within the meaning of the Code and the applicable Regulations.

7.03. Arbitrage Rebate Exemption. (a) It is hereby found that the County has general taxing powers, that no Bond is a “private activity bond” within the meaning of Section 141 of the Code, that 95% or more of the net proceeds of the Bonds are to be used for local governmental activities of the County, and that the aggregate face amount of all tax-exempt obligations (other than private activity bonds) issued by the County and all subordinate entities thereof during the year 2015 is not reasonably expected to exceed $5,000,000. Therefore, pursuant to Section

148(f)(4)(D) of the Code, the County shall not be required to comply with the arbitrage rebate requirements of paragraphs (2) and (3) of Section 148(f) of the Code.

(b) Notwithstanding the provisions of paragraph (a) of this Section 7.03, if the arbitrage rebate provisions of Section 148(f) of the Code apply to the Bonds, the County hereby covenants and agrees to make the determinations, retain records, and rebate to the United States the amounts at the times and in the manner required by said Sections 148(f) and applicable Regulations.

7.04. Qualified Tax-Exempt Obligations. The Board hereby designates the Bonds as “qualified tax-exempt obligations” for purposes of Section 265(b)(3) of the Code relating to the disallowance of interest expense for financial institutions, and hereby finds that the reasonably anticipated amount of tax-exempt obligations which are not private activity bonds (not treating qualified 501(c)(3) bonds under Section 145 of the Code as private activity bonds for the purpose of this representation) and are not excluded from this calculation by Section 265(b)(3)(C)(ii) of the Code which will be issued by the County and all subordinate entities during calendar year 2015 does not exceed $10,000,000.

7.05. Reimbursement. The County certifies that the proceeds of the Bonds will not be used by the County to reimburse itself for any expenditure with respect to the Projects which the County paid or will have paid more than 60 days prior to the issuance of the Bonds unless, with respect to such prior expenditures, the County shall have made a declaration of official intent which complies with the provisions of Section 1.150-2 of the Regulations; provided that a declaration of official intent shall not be required (i) with respect to certain de minimis expenditures, if any, with respect to the Projects meeting the requirements of Section 1.150- 2(f)(1) of the Regulations, or (ii) with respect to “preliminary expenditures” for the Projects as defined in Section 1.150-2(f)(2) of the Regulations, including engineering or architectural expenses and similar preparatory expenses, which in the aggregate do not exceed 20% of the “issue price” of the Bonds.

7.06. Continuing Disclosure. (a) Limited Exemption from Rule. The Securities and Exchange Commission (the “SEC”) has promulgated amendments to Rule 15c2-12 under the Securities Exchange Act of 1934 (17 C.F.R. § 240.15c2-12) (as in effect and interpreted from time to time, the “Rule”) which govern the obligations of certain underwriters to require that issuers of municipal obligations enter into contracts for the benefit of the holders of the obligations to provide continuing disclosure with respect to the obligations. The Board hereby finds, determines and declares that the Bonds are exempt from the application of paragraph (b)(5) of the Rule because the aggregate principal amount of the Bonds is under $1,000,000. In making such finding, the County hereby represents that it has not issued within the six months before the date of issuance of the Bonds and that it reasonably expects that it will not issue within six months after the date of issuance of the Bonds, other securities of the County of substantially the same security and providing financing for the same general purpose or purposes as the Bonds. The County has agreed to provide certain continuing disclosure as hereinafter provided.

(b) Purpose and Beneficiaries. To provide for the public availability of certain information relating to the Bonds and the security therefor, which will enhance the marketability

10 of the Bonds, the County hereby makes the covenants and agreements contained in this section for the benefit of the Owners (as hereinafter defined) from time to time of the outstanding Bonds. If the County fails to comply with any provisions of this section, any person aggrieved thereby, including the Owners of any outstanding Bonds, may take whatever action at law or in equity may appear necessary or appropriate to enforce performance and observance of any agreement or covenant contained in this section, including an action for specific performance or a writ of mandamus. Direct, indirect, consequential and punitive damages shall not be recoverable for any default hereunder to the extent permitted by law. Notwithstanding anything to the contrary contained herein, in no event shall a default under this section constitute a default under the Bonds or under any other provision of this resolution. As used in this section, “Owner” means, in respect of an Bond, the registered owner or owners thereof appearing in the bond register maintained by the Registrar or any “Beneficial Owner” (as hereinafter defined) thereof, if such Beneficial Owner provides to the Registrar evidence of such beneficial ownership in form and substance reasonably satisfactory to the Registrar. As used herein, “Beneficial Owner” means, in respect of an Bond, any person or entity which (i) has the power, directly or indirectly, to vote or consent with respect to, or to dispose of ownership of, such Bond (including persons or entities holding Bonds through nominees, depositories or other intermediaries), or (ii) is treated as the owner of the Bond for federal income tax purposes.

(c) Information To Be Disclosed. The County will provide, in the manner set forth below, either directly or indirectly through an agent designated by the County, the following information at the following times:

(1) on or before twelve (12) months after the end of each fiscal year of the County, commencing with the fiscal year ending December 31, 2014 to the Municipal Securities Rulemaking Board (the MSRB) through its Electronic Municipal Market Access System (EMMA), in an electronic format as prescribed by the MSRB, the information in the County’s audited financial statements, which shall be for the most recent fiscal year of the County (the Disclosure Information).

Any or all of the Disclosure Information may be incorporated by reference, if it is updated as required hereby, from other documents, including official statements, which have been submitted to the MSRB through EMMA or to the SEC. If the document incorporated by reference is a final official statement, it must be available from the MSRB. The County shall clearly identify in the Disclosure Information each document so incorporated by reference. If the Disclosure Information is changed because it is no longer compiled or publicly available or this paragraph (c)(1) is amended as permitted by subsection (d), then the County shall include in the next Disclosure Information to be delivered hereunder, to the extent necessary, an explanation of the reasons for the amendment and the effect of any change in the type of information provided.

(2) In a timely manner, not in excess of 10 business days, to the MSRB through EMMA, notice of the occurrence of any of the following events (each a Material Fact):

(A) principal and interest payment delinquencies; (B) non-payment related defaults, if material;

(C) unscheduled draws on debt service reserves reflecting financial difficulties; (D) unscheduled draws on credit enhancements reflecting financial difficulties; (E) substitution of credit or liquidity providers, or their failure to perform; (F) adverse tax opinions, the issuance by the Internal Revenue Service of proposed or final determinations of taxability, Notices of Proposed Issue (IRS Form 5701-TEB), or other material notices or determinations with respect to the tax status of the security or other material events affecting the tax status of the Bonds; (G) modifications to rights of holders of the Bonds, if material; (H) bond calls, if material, and tender offers; (I) defeasances; (J) release, substitution or sale of property securing repayment of the Bonds, if material; (K) rating changes; (L) bankruptcy, insolvency, receivership, or similar event of the obligated person; (M) the consummation of a merger, consolidation, or acquisition involving the County or the sale of all or substantially all of the assets of the County, other than in the ordinary course of business, the entry into a definitive agreement to undertake such an action or the termination of a definitive agreement relating to any such actions, other than pursuant to its terms, if material; and

(N) appointment of a successor or additional trustee or the change of name of a trustee, if material.

For the purposes of the event identified in (L) hereinabove, the event is considered to occur when any of the following occur: the appointment of a receiver, fiscal agent or similar officer for an obligated person in a proceeding under the U.S. Bankruptcy Code or in any other proceeding under state or federal law in which a court or governmental authority has assumed jurisdiction over substantially all of the assets or business of the obligated person, or if such jurisdiction has been assumed by leaving the existing governing body and officials or officers in possession but subject to the supervision and orders of a court or governmental authority, or the entry of an order confirming a plan of reorganization, arrangement or liquidation by a court or governmental authority having supervision or jurisdiction over substantially all of the assets or business of the obligated person.

As used herein, for those events that must be reported if material, an event is “material” if it is an event as to which a substantial likelihood exists that a reasonably prudent investor would attach importance thereto in deciding to buy, hold or sell an Bond or, if not disclosed, would significantly alter the total information otherwise available to an investor from the Official Statement, information disclosed hereunder or information generally available to the public. Notwithstanding the foregoing sentence, an event is also “material” if it is an event that would be deemed material for purposes of the purchase, holding or sale of an Bond within the meaning of applicable federal securities laws, as interpreted at the time of discovery of the occurrence of the event.

(3) In a timely manner, to the MSRB through EMMA, notice of the occurrence of any of the following events or conditions:

(A) the amendment or supplementing of this section pursuant to subsection (d), together with a copy of such amendment or supplement; and (B) the termination of the obligations of the County under this section pursuant to subsection (d); (C) any change in the accounting principles pursuant to which the financial statements constituting a portion of the Disclosure Information are prepared; and (D) any change in the fiscal year of the County.

(d) Identifying Information to Accompany Documents. All documents provided to the MSRB shall be accompanied by identifying information as prescribed by the MSRB.

(e) Term; Amendments; Interpretation. The covenants of the County in this section shall remain in effect so long as any Bonds are outstanding. Notwithstanding the preceding sentence, however, the obligations of the County under this section shall terminate and be without further effect as of any date on which the County delivers to the Registrar an opinion of Bond Counsel to the effect that, because of legislative action or final judicial or administrative actions or proceedings, the failure of the County to comply with the requirements of this section will not cause participating underwriters in the primary offering of the Bonds to be in violation of the Rule or other applicable requirements of the Securities Exchange Act of 1934, as amended, or any statutes or laws successory thereto or amendatory thereof. This section may be amended or supplemented by the County from time to time, without notice to or the consent of the Owners of any Bonds, by a resolution of the Board filed in the office of the recording officer of the County accompanied by an opinion of Bond Counsel, who may rely on Bonds of the County and others and the opinion may be subject to customary qualifications, to the effect that: (i) such amendment or supplement (a) is made in connection with a change in circumstances that arises from a change in law or regulation or a change in the identity, nature or status of the County or the type of operations conducted by the County, or (b) is required by, or better complies with, the provisions of the Rule; (ii) this section as so amended or supplemented would have complied with the requirements of the Rule at the time of the primary offering of the Bonds, giving effect to any change in circumstances applicable under clause (i)(a) and assuming that the Rule as in effect and interpreted at the time of the amendment or supplement was in effect at the time of the primary offering; and (iii) such amendment or supplement does not materially impair the interests of the Owners under the Rule.

SECTION 8. CERTIFICATION OF PROCEEDINGS.

8.01. Registration. The County Auditor-Treasurer is hereby authorized and directed to file a certified copy of this resolution in the records of the County, together with such additional information as required, and to issue a certificate that the Bonds have been duly entered upon the County Auditor-Treasurer’s bond register.

8.02. Certification of Records. The officers of the County are hereby authorized and directed to prepare and furnish to the Purchaser and to Dorsey & Whitney LLP, Bond Counsel, certified copies of all proceedings and records of the County relating to the Bonds and to the financial condition and affairs of the County, and such other affidavits, certificates and information as may be required to show the facts relating to the legality and marketability of the Bonds as they appear from the books and records under their custody and control or as otherwise known to them, and all such certified copies, certificates and affidavits, including any heretofore furnished, shall be deemed representations of the County to the facts recited herein.

8.03. Official Statement. The Official Statement, dated April __, 2015, and the supplement thereto, relating to the Bonds prepared and distributed by Springsted Incorporated, the financial advisor for the County, is hereby approved. Springsted Incorporated, is hereby authorized on behalf of the County to prepare and distribute to the Purchaser within seven business days from the date hereof, a supplement to the Official Statement listing the offering price, the interest rates, selling compensation, delivery date, the underwriters and such other information relating to the Bonds required to be included in the Official Statement by Rule l5c2- 12 adopted by the SEC under the Securities Exchange Act of 1934. The officers of the County are hereby authorized and directed to execute such certificates as may be appropriate concerning the accuracy, completeness and sufficiency of the Official Statement.

Bonds maturing in 2023 and later years shall be subject to redemption and prepayment at the option of the County, in whole or in part, in such order of maturity dates as the County may select and, within a maturity, by lot as selected by the Registrar (or, if applicable, by the bond depository in accordance with its customary procedures) in multiples of $5,000, on April 1, 2022, and on any date thereafter, at a price equal to the principal amount thereof and accrued interest to the date of redemption. The Waseca County Board of Commissioners has read the Findings of Facts referenced herein along with supporting information including the staff report, and the Criteria for approval of the Conditional Use Permit that were recommended by the Waseca County Planning Commission which are included by reference with this report. The Criteria for approval are on file and of record in the office of the Waseca County Planning and Zoning Department and are incorporated in these Findings by reference. The Planning and Zoning staff presented the criteria for approval to the Planning Commission and provided this data to the Board following the Planning Commission hearing. Site and Building Plans: 1. The construction should be completed based upon the site plan as provided in Attachment “C.” Standards/Regulations: 2. The applicant must obtain a zoning permit for the construction of the feedlot and must follow all other County, State, and Federal laws, regulations, and ordinances and must obtain all necessary permits obtained. 3. Vegetated Environmental Buffer: The owners and/or operators must meet with the Waseca Soil and Water Conservation District and discuss the value of adding trees and other plantings to assist with odor control and snow drifting at the facility. 4. Pit Additives: As long as the feedlot is in operation, the operator shall use pit additive according to the manufacturer’s recommendations for the purpose of reducing odor. The Waseca County Feedlot Officer shall determine the method of proof regarding this condition. Site Development Access and Parking: 5. The parking surface and access drives shall be maintained with a dust free, all- weather surface. 6. All lighting shall be directed downward to minimize glare to adjacent properties and public roadways. Lighting plans shall be included in the final site plan for review by the Zoning Administrator prior to signing any zoning permit(s). Duration, Failure to Comply and Review 7. A conditional use permit shall become void one (1) year after being granted by the County Board unless used or if discontinued for a period of ninety (90) days. Failure to commence, or complete, or both, such action within the time limit set shall void the conditional use permit. Failure to comply with any of the above-listed conditions shall be grounds for suspension or revocation of the conditional use permit. This Conditional Use Permit may be reviewed upon an annual basis and shall be subject to cancellation, revocation or modification at the discretion of the Waseca County Board of Commissioners for any violation of the above listed conditions or any additions or modifications deemed necessary. The Planning and Zoning Staff will be allowed access to the site at verify that all conditions of the permit are being met.

At the Waseca County Board of Commissioner meeting on Tuesday, May 5, 2015, Mark Leiferman, Waseca County Planning & Zoning Administrator, spoke to the Board and provided a PowerPoint presentation regarding the application and recommendation of the County Planning Commission to approve the request for a conditional use permit as described with the conditions attached as Attachment “A”.

Brenda Miller, Waseca County Attorney, advised the Board of its options: a) Approve the Planning Commission’s recommendation to grant issuance of a conditional use permit to the applicant with the attached 7 (seven) conditions, b) Reject the Planning Commission’s recommendation to approve the conditional use permit, and create subsequent supporting Findings of fact to deny the request or c) Return the conditional use permit application within sixty (60) days of receipt of the Findings and Recommendations of the Planning Commission back to the Planning Commission for further review or research on specific topics.

The Board was also advised that it has the option to hold whatever public hearings it deems advisable, and it may request that the applicant demonstrate the nature and extent of any adverse effects on the environment, as determined by the Planning Commission.

FINDINGS OF FACT

1. Lynn and Ann Below, and Justin Below, applicants, submitted an application for a conditional use permit as described above on February 23, 2015. The following documents were part of the application: a) Conditional Use Permit application form. b) Applicant explanation of responses to code criteria. c) Legal Description

2. As of the date of the application, the above-listed application and all related documents were on file for public inspection and copying at the Waseca County Planning and Zoning Office. The above listed application and supporting documents are incorporated into these Findings by reference. The Planning & Zoning Administrator notified the applicant and extended review of this application an additional 60 days as per Minnesota Statute

3. Notice of the public hearing scheduled for on the applicants’ request for a conditional use permit was published in the Waseca County News (the 2015 official newspaper for Waseca County) on March 27, 2015. Affidavits of Publication are included in the file and are incorporated herein by reference.

4. On March 25, 2015, the Planning and Zoning Office notified owners of nearby properties and all of the Township Officers as per requirements of the Unified Development Code for the public hearing scheduled for April 9, 2015 by first-class mail. The Affidavits of mailing are included in the file and are incorporated herein by reference.

5. On April 2, 2015, Mark Leiferman, Planning & Zoning Administrator, sent the staff report to the members of the Waseca County Planning Commission by first-class mail regarding the application and accompanying documents. This staff report is incorporated in these Findings by reference. Attachments included: a. Staff analysis of criteria, b. Recommended conditions, if granting, c. Application materials as submitted and documented.

6. The Comprehensive Land Use Plan and the Waseca County Zoning Map designate this area as A-1 Agricultural Preservation for agricultural land uses.

7. Mark Leiferman, Waseca County Planning and Zoning Administrator, presented the staff report in a Power Point Presentation to the Planning Commission at the public hearing on April 9, 2015, which is incorporated in these Findings by reference. Mr. Leiferman read all of the conditions proposed by staff to address particular issues regarding this application at this location, as well as the criteria analysis. Waseca County Planning & Zoning staff recommended approval of this Conditional Use Permit application as described with 5 (five) conditions as shown in these Findings.

8. The proposed facility is located in St. Mary Township. The site is just over two miles from the western edge of the City of Waseca and about 2,000 lineal feet south of U.S. Highway 14. The Waseca Airport is over one mile north of the site. The uses in the vicinity are primarily agriculture in nature. There are a number of residences in the township with the bulk of the homes on larger farm sites. There is a residential subdivision known as Oak Haven Estates located 2,200 lineal feet to the west of the proposed feedlot. Justin Below has a residence within 1,000 feet of the site. The next nearest home is approximately 1,850 feet to the west of the new feedlot site (1,500 feet from an existing feedlot). The main trunk of County Ditch 45 is less than a mile to the northwest of the site. This ditch drains to an un-named stream ditch that empties into the Le Sueur River. Both the un-named stream and the Le Sueur River are protected watercourses.

9. The existing operation consists of 3 cattle barns, 2 cattle lots, an earthen liquid manure storage basin and three total confinement barns. The building site is on 3 parcels. The proposed new barn will be located on parcel 09.023.0700, an 80 acre parcel on the north side of County Road 9, where all three of the existing hog barns are located. The site is registered for 1125 cattle and 6000 hogs. Total Animal Units for the site is 2925 (1125 slaughter steer/stock cow at 1.0 AU=1125, + 6000 finish hogs at 0.3 AU = 1800). The west barn is a gestation barn and the east barn is a farrowing barn. The gestation barn is on top of a poured concrete deep pit for storage of liquid manure. The farrowing barn uses a shallow pull plug pit system. They also utilize a hoop structure to compost mortality. This feedlot is split by County Road 9, with the cattle on the south side and the hogs on the north. Although there are structures on opposite sides of the road it is still considered one feedlot. The closest city is Waseca, about 2.05 miles to the northeast. The closest neighboring residences are on parcel 09.027.0105 about 1100 feet west and on parcel 09.026.0100 of the feedlot.

10. Waseca County Feedlot Site Team inspected the site, held a meeting on December 1, 2014 and reached consensus that the request met the requirements, and that no additional conditions were recommended.

11. Because this feedlot expansion would result in a total of 3,525 animal units, the proposal is also required to complete the Waseca County Conditional Use Permit Process as per the Waseca County Unified Development Code, Article 6 Zoning District Regulations, Section 6 Specific Standards for Animal Agriculture (“Feedlot Ordinance”): “All sites three thousand (3,000) animal units or larger shall obtain County Feedlot Site Inspection Team inspection and a Conditional Use Permit.”

12. The public hearing was held by the Waseca County Planning Commission on April 9, 2015. The public hearing was opened at 7:40 p.m. and closed at 7:50 p.m. Justin Below, applicant, was present and explained his proposal. There were approximately 12 members of the public in attendance. There were no public comments made.

13. The Planning Commission discussed the provisions of the Waseca County Unified Development Code which are applicable to this request, the proposed conditions and criteria which are incorporated in these Findings by reference. The analysis of criteria incorporated in these Findings also addresses particular issues pertinent to this site. In addition, the following issues were considered and revisions made to the proposed conditions where appropriate.

Windbreak: Previous Feedlot Site Inspection Team in 2006 condition to establish a vegetative barrier: A tree windbreak around the facility will be required to be installed and maintained. Producer will work with the Waseca Soil & Water Conservation District to determine type and number of trees. Additionally in 2008 the following condition was placed: Either a vegetated screen or pit additive shall be used. The vegetative screen, if chosen, shall be planted by the fall of 2009 and properly maintained as long as the building is used as a feedlot. Leiferman noted that the 2008 condition is being fulfilled by the use of pit additives. The 2006 condition does not provide this option therefore the operator will either need to establish the windbreak or apply for a conditional use permit to have the condition removed per Waseca County UDC, Article 6, Section 6.1 (e) (i).

Justin Below stated that the new types of pit additives are also beneficial in regards to manure management when manure is applied because the additives help with fertilizer by holding nitrogen.

14. The Planning Commission discussed various circumstances where vegetative buffers may be beneficial. In this case, the Planning Commission concurred that the pit additives have addressed odor problems. The Odor OFFSET model was included in the staff report regarding percentage of odor annoyance free time. Malterer made motion and Pearson seconded to eliminate the requirement for a vegetative buffer from the 2006 Feedlot Site Inspection Team Report because the operator’s continued use of pit additives mitigates the odor concern. Motion carried unanimously.

15. Commission member Malterer made motion and member Armstrong seconded to approve the analysis of the criteria as discussed and contained in the staff report. Motion carried unanimously.

16. Commission member Malterer made motion and member Pearson seconded to recommend approval of the conditional use permit request as discussed and amended with 7 (seven) conditions as included in these Findings. Motion carried unanimously.

ATTACHMENT “A” 09.023.0700 CONDITIONS REQUIRED FOR APPROVAL OF THE CONDITIONAL USE PERMIT

Site and Building Plans: 1. The construction should be completed based upon the site plan as provided in Attachment “C”.

Standards/Regulations: 2. The applicant must obtain a zoning permit for the construction of the feedlot and must follow all other County, State, and Federal laws, regulations, and ordinances and must obtain all necessary permits obtained. County Zoning Permits are also required for compost structures.

3. Vegetated Environmental Buffer: The owners and/or operators must meet with the Waseca Soil and Water Conservation District and discuss the value of adding trees and other plantings to assist with odor control and snow drifting at the facility.

4. Pit Additives: As long as the feedlot is in operation, the operator shall use pit additive according to the manufacturer’s recommendations for the purpose of reducing odor. The Waseca County Feedlot Officer shall determine the method of proof regarding this condition.

Site Development Access and Parking: 5. The parking surface and access drives shall be maintained with a dust free, all- weather surface. Impervious surface coverage, including structures and drive areas, in the A-1 Agriculture Protection District is limited to 25% of the parcel.

6. As long as the feedlot is in operation the operator shall reimburse the road authority for repairs made to the road where damage was determined (by the road authority) to be caused by construction activity or the day to day operation of the feedlot. Any contractors hired for the repairs will be at the road authority’s discretion. Road postings must be strictly adhered too.

7. All lighting shall be directed downward to minimize glare to adjacent properties and public roadways. Lighting plans shall be included in the final site plan for review by the Zoning Administrator prior to signing any zoning permit(s).

Duration, Failure to Comply and Review 8. A conditional use permit shall become void one (1) year after being granted by the County Board unless used or if discontinued for a period of ninety (90) days. Failure to commence, or complete, or both, such action within the time limit set shall void the conditional use permit. Failure to comply with any of the above-listed conditions shall be grounds for suspension or revocation of the conditional use permit. This Conditional Use Permit may be reviewed upon an annual basis and shall be subject to cancellation, revocation or modification at the discretion of the Waseca County Board of Commissioners for any violation of the above listed conditions or any additions or modifications deemed necessary. The Planning and Zoning Staff will be allowed access to the site at verify that all conditions of the permit are being met.

ATTACHMENT “B” Hearing Summary and Findings of Fact 07.005.1250 Conditional Use Permit

The applicants request Conditional Use Permit to construct a new 19,992 square foot (51’x 392’) total confinement hog facility to house 2,400 finish pigs (720 animal units). The facility will be a curtain barn with full manure storage pit beneath the structure.

At the Waseca County Board of Commissioner meeting on Tuesday, May 5, 2015, Mark Leiferman, Waseca County Planning & Zoning Administrator, spoke to the Board and provided a PowerPoint presentation regarding the application and recommendation of the County Planning Commission to approve the request for a conditional use permit as described with the conditions attached as Attachment “A”.

Brenda Miller, Waseca County Attorney, advised the Board of its options: a) Approve the Planning Commission’s recommendation to grant issuance of a conditional use permit to the applicant with the attached 8 (eight) conditions, b) Reject the Planning Commission’s recommendation to approve the conditional use permit, and create subsequent supporting Findings of fact to deny the request or c) Return the conditional use permit application within sixty (60) days of receipt of the Findings and Recommendations of the Planning Commission back to the Planning Commission for further review or research on specific topics.

The Board was also advised that it has the option to hold whatever public hearings it deems advisable, and it may request that the applicant demonstrate the nature and extent of any adverse effects on the environment, as determined by the Planning Commission.

FINDINGS OF FACT

1. Keith and Kelly Schlaak, applicants, submitted an application for a conditional use permit as described above on March 6, 2015. The following documents were part of the application: a) Conditional Use Permit application form. b) Applicant explanation of responses to code criteria. c) Legal Description

2. As of the date of the application, the above-listed application and all related documents, including the Waseca County Feedlot Site Inspection Team report, were on file for public inspection and copying at the Waseca County Planning and

Zoning Office. The above listed application and supporting documents are incorporated into these Findings by reference. The Planning & Zoning Administrator notified the applicant and extended review of this application an additional 60 as per Minnesota Statute

3. Notice of the public hearing scheduled for on the applicants’ request for a conditional use permit was published in the Waseca County News (the 2015 official newspaper for Waseca County) on March 27, 2015. Affidavits of Publication are included in the file and are incorporated herein by reference.

4. On March 25, 2015, the Planning and Zoning Office notified 35 owners of nearby properties and all of the Township Officers as per requirements of the Unified Development Code for the public hearing scheduled for April 9, 2015 by first-class mail. (The UDC prescribes mailing notice to owners of record within one-quarter (1/4) mile of the affected property, or to the ten (10) properties nearest the property under consideration, whichever would provide notice to the greatest number of owners. The Feedlot Site Inspection Team notice as per the UDC prescribes mailing to property owners within five thousand (5,000) feet of the perimeter of the proposed feedlot. The Planning & Zoning Department sent notice regarding the Conditional Use Permit request to property owners within 5,000 feet of the perimeter of the proposed feedlot in order to keep consistent with the FSIT mailing. The Affidavits of mailing are included in the file and are incorporated herein by reference.

5. On April 2, 2015, Mark Leiferman, Planning & Zoning Administrator, sent the staff report to the members of the Waseca County Planning Commission by first-class mail regarding the application and accompanying documents. This staff report is incorporated in these Findings by reference and can also be viewed at this link on the county website http://www.co.waseca.mn.us/AgendaCenter for the April 9 Planning Commission public hearing. Attachments included: a. Staff analysis of criteria, b. Recommended conditions, if granting, c. Application materials as submitted and documented.

6. The Comprehensive Land Use Plan and the Waseca County Zoning Map designate this area as A-1 Agricultural Preservation for agricultural land uses.

7. Mark Leiferman, Waseca County Planning and Zoning Administrator, presented the staff report in a Power Point Presentation to the Planning Commission at the public hearing on April 9, 2015, which is also incorporated in these Findings by reference. Mr. Leiferman read all of the conditions proposed by staff to address particular issues regarding this application at this location, as well as the criteria analysis. Waseca County Planning & Zoning staff recommended approval of this Conditional Use Permit application as described with 5 (five) conditions as shown in these Findings.

8. The proposed facility is located on the north side of New Richland Township. The uses in the vicinity are primarily agriculture in nature. There are a number of residences in the township with the bulk of the homes on larger farm sites. The closest home is approximately 1,600 feet to the northeast of the site. The site of this request (hereinafter Parcel A- PID 07.005.1250) is 15.5 acres in size and is currently unimproved and used for crop production. There is a Canadian Pacific Railway (Dakota, Minnesota and Eastern Railroad) railroad right-of-way to the east of the site.

9. Waseca County Feedlot Site Team inspected the site and held a meeting on February 18, 2015. That report is contained within the staff report for the conditional use permit and is incorporated in these Findings by reference.

The FSIT report contains specific information about the site and the team’s review, along with the Odor OFFSET model.  This facility is located in the Agricultural Protection District. According to the Waseca County UDC Article 6, Section 8, this new feedlot is a permitted use pursuant to the FSIT or CUP process.  The setbacks that apply here are: road centerline: 300’, property line: 80’, residence other than owner: 1,000’. The site plan shows that all of these are met.  Access will be from 260th Avenue a Township Road.  The site is fairly flat. It does not appear that there will be any significant disruption of surface drainage.  The site plan shows that the surface water will run into a large yard area with a permanent vegetated surface.  The applicant does not own any other feedlots in the area.  This feedlot will be permitted by Waseca County with a Construction Short Form and not a National Pollution Discharge Elimination System permit because it does not meet the Environmental Protection Agency definition of a Large Concentrated Animal Feedlot Operation (CAFO) that exceeds 2,500 swine weighing 55 pounds or more.  The feedlot applicant intends, but is not required, to apply and incorporate the manure on his land. A manure management plan is required.  One new driveway is proposed from 260th Avenue on the east side of the barn.  A new well will be located 100 feet south of the proposed barn.  Septic: the applicant is not considering a bathroom/shower facilities at the barn.  Aesthetics: There were no concerns about the appearance of the feedlot.  Mortality: The applicant plans to install a compost facility on the site.  The impervious area of this project, based on the plan, was calculated to be less than 10% The FSIT had not reached consensus and, therefore, the applicants’ request was required to proceed through the CUP process as per the Unified Development Code.

10. The public hearing for the Conditional Use Permit request was held by the Waseca County Planning Commission on April 9, 2015. The public hearing was opened at 8:35 p.m. and closed at 9:00 p.m. Keith Schlaak, applicant, was present and explained his proposal. There were approximately 12 members of the public in attendance.

11. Summary of public comments made by Sandy Walstrom, Dave Nazarenus, Kevin Miller, Jeff Keogh, Mike Prescher, Garry Walstrom (with county findings in parenthesis):  Recommend increase setback to ½ mile from feedlot to residence (current code setback is 1,000 ft)  Recommend consideration given to existing feedlots when permitting new ones.(current code setback is 500 ft to adjacent feedlot)  Recommend applicant look for a more appropriate location  Questioned if existing lot owners would be able to expand with a feedlot in this location (need to refer to existing code requirements)  Concern with spread of disease and biosecurity (Staff provided information from MN Department of Animal Health and April 8, 2015 emailed comment from Greg Suskovic, DVM, MN Board of Animal Health as follows: “Biosecurity wise it’s always smarter to build further away from an existing unit but really for a finishing barn I don’t think the distance between these two finishing units would be a risk. Probably the main way of bringing disease onto these sites would be human traffic or pigs coming in. If one barn developed a disease normal biosecure traffic control (both human and machine) could potentially prevent spread. Of course the effectiveness of that would depend on the infectivity and virulence of the pathogen. These are just my opinions as a veterinarian not those of the MN Board of Animal Health.”  Manure Management information on location where manure will be distributed (Manure Management Plans are to be submitted by approval by Waseca County.)  Concern for potential road repair issues. (Condition addresses this concern)  Concern that property values may decline because of proximity to feedlots. (Mark Vagts, Waseca County Assessor indicated that: “Waseca County does not adjust values or reduce values of residential properties near feedlot sites.”)  Concern regarding odor, and the desire to require pit additives to control odor, require the addition of a wind break on the north and west sides of the facility, and/or have odor tested/monitored. (Conditions proposed to address odor concerns)  Animal mortality, suggested use of a compost structure be included in the plan. (approved methods of handling animal mortality are a typical part of feedlot permit approvals.)
