1. Introduction

The County of Frontenac and its constituent municipalities (hereinafter “the Frontenac municipalities”) require the services of a consultant to prepare a risk assessment and Request for Proposal for insurance for the County of Frontenac and the Townships of , , and Frontenac Islands. It is anticipated that prospective bidders for the consulting services provide a single Request for Proposal to cover the five municipalities. The County of Frontenac (“County”) is a rural upper tier municipality, which includes the Township of North Frontenac, Central Frontenac, South Frontenac, and Frontenac Islands. It is located in Eastern extending from the Frontenac Islands south of the City of Kingston to north of Highway 7, has a total population of approximately 26,655 and an area of 3,200 square kilometres. The County is responsible for the delivery of land ambulance services for the County and the City of Kingston. The County runs Fairmount Home, a long-term care facility and manages the operations of the Howe Islander ferry service in addition to municipal services such as land use planning and sustainability planning. The Township of South Frontenac offers a spectacular landscape with over 75 lakes, a growing community of 19,000 year-round residents and an increasing number of seasonal residents and visitors. It is located directly adjacent to the northern border of the City of Kingston with a population of 18,100. The Township is committed to providing a broad range of amenities and services to its residents & visitors alike including the maintenance of local roads and bridges, solid waste management, fire protection and prevention, building inspection, bylaw enforcement, land use planning, recreation programs and park maintenance. The Township of Central Frontenac is located in in the heart of the Land O’ Lakes Region and . It is the traditional territory of the Algonquin First Nations. Spread across 1025 square kilometers of unspoiled granite terrain, its rolling hills, winding roads, rippling waters and rugged terrain characterize this rural area and foster a traditional Canadian environment and lifestyle. Approximately midway between and Montreal, north of Kingston and Napanee with access to major transportation corridors such as Highway 7, Road 38 and the Highway 401 corridor, residents and businesses have access to markets, goods and services in cities such as Toronto, Kingston and . The Corporation of the Township of North Frontenac (Township) is situated in the heart of Eastern Ontario’s cottage country. This lower tier Township was amalgamated January 1, 1998, and is composed of three former Townships containing multiple small hamlets and village areas. This unique community has an existing population of 8,900 people - 1,900 permanent residents and 7,000 seasonal residents. The Township is located north of Highway 7, 1.5 hours north of Kingston and 2 hours southwest of Ottawa.

Township of Frontenac Islands was formed in 1998 by the amalgamation of two of Ontario's oldest rural municipalities: Both islands have a mixture of agricultural and rural lifestyles with a growing proportion of residents working off the islands in Kingston or elsewhere in Frontenac County. The islands are situated at the beginning of the St. Lawrence River, provide a unique location to live and work. Access to the mainland is by boat: both islands are serviced by ferries year-round with the addition of a privately owned seasonal ferry to the USA from from May to November. It is hoped that one insurance provider can meet the requirements of all five municipalities. However, depending on the submissions from the insurance companies, we cannot expect one municipality to accept a large increase, so there would be the opportunity to opt out of a joint contract. The attached specifications are a guide and any differences to those specifications must be indicated on the form or in the proposal description. Failure to meet all specifications as set out in Schedule "A" will not invalidate a proposal, however, preference will be granted to proposals that are best able to achieve the specifications and timeline as stated. The requirements for responses to this Request for Proposal (RFP) are as described in this document. The Frontenac Municipalities reserves the right to not accept any proposal and to re-issue this RFP at the sole discretion of the Frontenac Municipalities. 2. Definitions

As used herein, as well as in all attached forms and schedules, the following definitions shall apply unless otherwise indicated: (a) “Contact Person(s)” means that person or those persons identified under Item 7(c) of the RFP; (b) “Official Closing Time” means 2:00 PM Local Time, on date specified in Section 3 “Schedule of Events (c) “Proponent” means any individual, contractor, firm, practitioner, company or corporation submitting Proposals in response to the RFP; (d) “Proposal” means the offer of a Proponent to furnish commodities or services or equipment in response to the RFP and includes all Forms, Statements and Plans to be furnished in accordance with the Documents to be Included in Proposal (Item 6) below; (e) “RFP” means this document and any other document or documents attached hereto (including all forms and schedules) pertaining to, or comprising, an invitation to bid for the furnishing of the commodities and/or services outlined herein and includes any and all addenda that may be subsequently issued by the Frontenac Municipalities in respect of such invitation to bid;

(f) "Specifications" means the list of specifications attached as Schedule "A" hereto; (g) “Frontenac Municipalities” means the County of Frontenac and the Townships of North Frontenac, Central Frontenac, South Frontenac and Frontenac Islands. 3. Schedule of Events

The Request for Proposal process will be governed according to the following schedule. Although every attempt will be made to meet all dates, the Frontenac Municipalities reserves the right to modify any or all dates at its sole discretion. Release of Request for Proposal - Thursday, May 27, 2021 Deadline for Questions - Monday, June 7, 2021 Deadline for Submission - Thursday, June 17, 2021 at 2:00 PM local time RFP Opening - Thursday, June 17, 2021 at 2:00 PM local time Location: 6648 Road 506, Plevna, ON Interviews/Presentations (if required) Tuesday, June 22, 2021 Notification of Award - On or before Friday, June 25, 2021 (May change, subject to budget compliance) Completion Date - No later than November 5 2021 (or Delivery Date that is reasonable and mutually agreed upon as specified / included in the Proposal Submission) 4. Scope-“Consultant to Provide Insurance Assessment”

The Frontenac Municipalities invites Proposals from qualified/certified Proponents interested in “Consultant to Provide Insurance Assessment” as listed in the Schedule “A” specifications. The Treasurer of the Township of North Frontenac on behalf of the Frontenac Municipalities shall receive and award the purchase based on the Frontenac Municipalities recommendations and subject to proposal compliance and budget constraints. The proposed purchase will be managed by the Township of North Frontenac Treasurer or Designate. The mandate of Township of North Frontenac Treasurer or Designate will be to ensure that the interests of all the parties are addressed through the Request for Proposal process.

Project Management: Management of the Request for Proposal including development of timelines and ensuring on time delivery of product will be the responsibility of the Proponent retained to complete the Request for Proposal with input and direction from the Township of North Frontenac Treasurer or Designate as the Frontenac’s municipal representative. The Request for Proposal timelines and delivery date will be a requirement to be included in the Request for Proposal issued by the qualified Proponent for completion of this work.

5. Proposal Submission Process

Date and Place for Receiving Proposal Submissions: Submissions will be accepted by mail, e-mail or Biddingo. By Mail: Proponent are to provide one (1) original of their Proposal Submission. Proposal Submissions shall be submitted on the prescribed form, in a sealed envelope, clearly identifying the document as “RFP 2021-14 - Consultant to Provide Insurance Assessment.” Cheryl Robson, A.M.C.T., Chief Administrative Officer Township of North Frontenac 6648 Road 506 Plevna, ON K0H 2M0 By E-mail: Proposal Submissions shall be submitted on the prescribed form and submitted by e-mail to [email protected] with the following in the Re: line of the e-mail “RFP 2021-14 – Consultant to Provide Insurance Assessment – do not open until June 17, 2021 at 2:00 PM local time”. E-mail will remain unopened until the opening date and time. E- mails sent to any other e-mail address other than [email protected] will not be considered. By Biddingo: Follow the process as described on the Biddingo website. Proposals must be received No Later Than 2:00 P.M. Local Time on the date specified in Section 3 “Schedule of Events”. Proposals received after the specified due date and time will not be considered and will be returned unopened/unread. Fax submissions will not be accepted.

Note: North Frontenac is in a rural area. Therefore, courier services cannot always guarantee next day delivery. Please ensure you allow sufficient time for your submission to arrive on time. Public Opening: All submissions will be open with a minimum of two staff members present and the unofficial results will be posted on the North Frontenac Township website, by the end of the business day the day following the closing (4:30 pm). Public will not be able to attend the opening in person if the Municipal Office is closed due to the Global Pandemic. 6. Documents to Be Included In Proposal The following documents shall be included in each Proposal submitted by a Proponent: (a) Price Submission (Form 1) The Price Submission in Form 1 to the RFP must be completed, signed, and sealed by an individual authorized to execute binding legal documents on behalf of the Proponent. If more than one corporate entity is involved in a submission, the arrangements between the various entities must be clearly explained by way of attachment to the form. (b) Acknowledgement and Estoppel (Form 2) The Acknowledgment and Estoppel in Form 2 to the RFP must be completed, signed, and sealed by an individual authorized to execute binding legal documents on behalf of the Proponent. (c) Delivery Timetable Based on the scope of work the consultant would be expected to provide:  The scope and terms of reference for a request for proposal  Evaluation of the bidders in consultation with Frontenac Municipalities staff and fully developed rationale for a recommendation to Councils if required.

7. Submission of Proposals

The Proponent understands that by signing the Proposal Submission Forms and by offering submission to this Request for Proposal that they agree to all terms and conditions as they appear in the RFP, and that they confirm the following:  The Proponent has carefully examined the specifications (attached as Schedule ‘A’) and the RFP form obtained from the Township of North Frontenac Municipal Office, 6648 Road 506, Plevna, Ontario or from the online service Biddingo (https://www.biddingo.com/northfrontenac)  Signature(s) are from person(s) authorized to sign on behalf of the Proponent (s) and agree that by signing said submission you are certifying that you understand and agree to the term(s) of Contract and specifications.  That the Proponent understands and accepts the said conditions and specifications, and for the prices set forth in this Proposal Submission, hereby offers to provide Consultant to Provide Insurance Assessment, as specified.  That the Proponent agrees to deliver the completed Consulting Services to Provide an Insurance Assessment on or before the date specified in Section 3 “Schedule of Events”, in strict accordance with said conditions and specifications. (or a Delivery Date that is reasonable and mutually agreed upon as specified / included in the Proposal Submission)  That the Proponent understands and accepts to furnish the Frontenac Municipalities with further/extra details that may assist in the evaluation of each submission.

(a) The submission shall include as a minimum:  The Contact information for the Proponent.  An e-mail address, fax number and mailing address that responses are to be sent to.  Form 1 – Price Submission, the maximum fee for the Insurance Assessment including a detailed itemized list on what this total fee is based on.  Form 2 – Acknowledgement and Estoppel  The Specifications provided on Schedule “A” are not intended to limit submissions but rather provide a framework for the Frontenac Municipalities to evaluate each proposal and determine which submission addresses the Frontenac Municipalities requirements. Therefore, Proponent(s) are encouraged to provide any additional information or innovative ideas, solutions and/or services not specifically outlined in the content of this document. All qualifying submissions will be evaluated by the Frontenac Municipality Treasurer’s or designate based on the scoring system listed in Item 8(c) Evaluation Criteria, subject to budget constraints. (b) The Proponent(s) will be notified by the North Frontenac’s Treasuer or Designate on or before the date specified in Section 3 “Schedule of Events” (may change, subject to budget compliance).

(c) All questions related to the Request for Proposal shall be faxed to 613-479-2352 or emailed to [email protected] attention Kelly Watkins, Treasurer or submitted through Biddingo. Responses will be sent and shared with all Proponents, by e-mail, Biddingo or fax, in a timely manner.

(d) Proposals shall remain valid and open for acceptance by the Frontenac Municipalities for a period of sixty (60) calendar days following the deadline for receipt of proposals.

8. Acceptance or Rejection of RFP Submissions

(a) Frontenac Municipalities Rights The Frontenac Municipalities reserves the right to accept or reject any or all Proposal Submissions, for any reason whatsoever, and to accept or reject any Proposal

Submission, if considered in the best interest of the Frontenac Municipalities. Lowest or any Proposal Submission may not necessarily be accepted. The Frontenac Municipalities reserve the right to cancel the Request for Proposal at any time up to the notification of Award. The Frontenac Municipalities will not be liable for any payments to subcontractor/Firms. The Frontenac Municipalities reserve the right to re-issue an amended Request for Proposal to the qualified Proponent that submitted a Proposal Submission. (b) Not a Tender Call It is mutually understood, acknowledged and agreed that this procurement process is a Request for Proposal and NOT a Call for Tender. Accordingly, The Frontenac Municipalities shall not be obligated in any manner to any Proponent whatsoever until a written Contract has been duly executed by the Frontenac Municipalities relating to an accepted Proposal. (c) Evaluation Criteria The intent of the RFP is to procure for the Frontenac Municipalities the proposal that best suits the needs of the Frontenac Municipalities. Accordingly, the Frontenac Municipalities reserve the right to accept the Proposal which, in its sole opinion, is deemed most advantageous to the Frontenac Municipalities. To this end the evaluation process will consist (in addition to the overall discretionary powers reserved above) of consideration being given to the ability to deliver, price, quality of products and services offered, enhancement to minimum specifications, Proponents qualifications and reliability. The following scoring system will be used to evaluate each accepted proposal.

(d) Contract Negotiations The successful Proponent and the Frontenac Municipalities will negotiate in good faith the final terms of a Contract based on the Contractor/Firm’s Proposal. The contents of the selected Proposal (subject to amendment due to negotiations) together with the RFP and any formal questions and answers disseminated during the Proposal process will be incorporated with and made a part of the final negotiated Contract as developed by the parties. Successful negotiations will result in the execution of a Contract issued by the Frontenac Municipalities, subject to final approval.

9. Contract

The Contract shall be in the form of a Contract for the specified and /or agreed upon “Consultant to Provide Insurance Assessment” which will include the Proponent’s total price amount of the Proposal Submission and any negotiated additions or omissions. The Frontenac Municipalities will prepare the Contract. The Frontenac Municipalities will not accept a Contract document prepared by the Proponent or a third party. Failure to execute the Contract and to file all documentation, as required herein, within ten (10) days of receiving the Contract shall be just cause for the cancellation of the purchase. The Frontenac Municipalities shall then have the right to award the purchase to any other Proponent or re-issue the Request for Proposal. 10. Confidentiality

The Proposal Submission must not be restricted by any statement, covering letter or alteration by the Proponent in respect of confidential or proprietary information. The Frontenac Municipalities will treat all Proposal Submissions as confidential. The Frontenac Municipalities will comply with the Municipal Freedom of Information and Protection of Privacy Act, and its retention by-laws pursuant to the Municipal Act, in respect of all Proposal Submission documents. All public reports approved by the Frontenac Municipalities will become public information. Such public reports will not include Proposal Submission documents but shall include the total amount of the Price Submission. The Frontenac Municipalities will not return or destroy all copies of any successful Proposal Submission. All unsuccessful Proposals will be destroyed in accordance with the North Frontenac Records Retention By-Law. 11. Errors and Omissions

The Frontenac Municipalities shall not be held liable for any errors or omissions in any part of this Request for Proposal. While the Frontenac Municipalities has used considerable effort to ensure an accurate representation of information in this Request for Proposal, the information contained in the Request for Proposal is supplied solely as a guideline for the Proponent. The information is not guaranteed or warranted to be accurate by the Frontenac Municipalities, nor is it necessarily comprehensive or exhaustive. It is the responsibility of the Proponent to check that the information provided is correct and that they have all information required to submit an accurate submission with any changes necessary. 12. Legislative and Licensing Requirements

All Proponent and proposal submissions must comply with any law, including all legislation and regulations, which may be applicable to the services provided subsequent to the Request for Proposal No. 2021-14 Consultant to Provide Insurance Assessment for the Frontenac Municipalities of County of Frontenac, North, Central, South and Frontenac Islands Close: Thursday June 17, 2021 at 2:00 PM Page 10 of 18

Request for Proposal. The successful Proponent shall, as a condition, be required to comply with the applicable laws of the Province of Ontario and , including but not limited to: The Occupational Health and Safety Act (Ontario) Ontario Human Rights Code Pay Equity Act (Ontario) & any and all other legislation as laid out in the attached schedules.

The Proponent shall work in compliance with all health and safety regulations to include, but not be limited to, the utilization of proper protective clothing / equipment and ensure that all equipment is kept up to safe operating standards at all times. The Proponent acknowledges its obligations under the Occupational Health and Safety Act, and the North Frontenac safety policies. Any agreement that results from this Request for Proposal will be subject to the laws of the Province of Ontario and Canada. All Procurement activities on behalf of the Frontenac Municipalities shall be undertaken in compliance with Section 13 of the Ontarians with Disabilities Act, 2001 S.O. 2001, Chap. 32, and the Accessibility for Ontarian with Disabilities Act, 2005 and all related regulations requiring regard to accessibility for persons with disabilities to the Goods or Services. All Proponents are required to acknowledge their obligations under the Accessibility for Ontarians with Disabilities Act, 2005, (AODA) and its regulations and evidence of compliance satisfactory to the Authorized Person in his or her sole discretion, prior to the commencement of a project. The addition of this clause is required for compliance with the AODA, 2005. 13. Incurred Costs

The Frontenac Municipalities shall not be responsible for any liabilities, costs, expenses, loss or damage incurred, sustained or suffered by any Proponent prior or subsequent to or by reason of the acceptance or non-acceptance by the Frontenac Municipalities of any Proposal Submission or by reason of any delay in the acceptance of a Proposal Submission. The Frontenac Municipalities shall not be held liable for any portion of any agreement that the Proponent has or will enter into with sub Proponent and/or suppliers in relation to this Request for Proposal or subsequent purchases. The Proponent shall be liable for any and all supervision, adherence to legislation, terms and conditions of the Request for Proposal, terms and conditions of purchase, payments, and litigation arising from their arrangement with a subcontractor/Firm or supplier.

14. Terms of Payment

Payment will be made in response to an invoice itemized in accordance with the Contract. Invoice(s) shall be based on the deliverables as described in the scope of the project. Failure to meet the above deadlines and/or requirements and specifications will result in non-payment. Please note – re: COVID-19: In the event that the Contractor/Firms deemed a non-essential service pursuant to the Emergency Management and Civil Protection Act, the Frontenac Municipalities reserve to itself the right to cancel this Request for Proposal where the Proposal has not been awarded, or terminate the Contract where the Proposal has been awarded. The project is time-sensitive and the Frontenac Municipalities requires completion before November 2021. If this cannot be accomplished due to the Global pandemic, the Frontenac Municipalities reserves the right to cancel this project.

2. The Proponent waives any right to make any claim of any kind whatsoever against the Frontenac Municipalities for any liabilities, costs, expenses, losses or damages, whether actual or anticipated, that may be incurred, sustained or suffered by the Proponent prior or subsequent to or by reason of the Proponent’s preparation or submission of a Proposal in response to the RFP, or the selection or rejection by the Frontenac Municipalities of the Proponent’s Proposal or any other Proposal, or any components thereof.

Frontenac Municipalities

Consultant to Provide Insurance Assessment

Closing date Thursday, June 17, 2021 at 2:00 PM Local Time.

The Consultant to Provide Insurance Assessment Shall Be Supplied In Accordance With the Minimum Requirements/Specifications As Listed Below

Scope of Project

The project will be divided into two steps: 1. The collection of up to date underwriting information and to formulate a Request for Proposal (RFP) for insurance (not including medical/dental, life insurance). 2. Request for Proposal process - assist with bidders questions during the proposal process and assist with the issue of an addendum if required, review and analyze submissions and obtain clarification where necessary.

Deliverables

Based on the scope of work the Consultant would be expected to provide:  The scope and terms of reference for a Request for Proposal  Evaluation of the bidders in consultation with County/Township staff and fully developed rationale for a recommendation to Councils if required.

Timing

The consultant would start work in July with the intent of issuing a RFP by August/September.

Proposal Structure and Content Requirements

Proposal Content Requirements

The Frontenac Municipalities are seeking proposals from Proponents who are both interested in and capable of undertaking the assignment. The onus is on the proponent to demonstrate its knowledge, understanding and capacity to conduct the project. The

The proponent shall provide the following information:

Work Plan

The proponent shall provide a proposed work plan with associated schedules to meet the requirements of the RFP. Included shall be a time/task matrix indicating personnel and hours required to complete key components of the work plan.

Applicable Expertise and Resources

Describe the expertise you will bring to the project by outlining both formal and informal training that can be used to implement this project.

Project Experience

Provide examples of recent projects, which are similar in nature and size.

Project References

Provide a list of references, who may be contacted, complete with telephone numbers and e-mail addresses.

Budget

A budget summary shall be provided and shall include all costs associated with the project including an estimate for expenses. The budget shall include a maximum amount that cannot be exceeded. The successful candidate will be asked to sign a Maximum Upset Limit type Contract and will report to the Frontenac Municipalities on a monthly basis to advise on expenditures to date.

The budget should be detailed by steps.

Hourly charge rates for individuals, which shall apply for the duration of the contract, must be provided as part of the Budget proposal.

Frontenac Municipalities Support

The Frontenac Municipalities will provide support to the successful consultant in the following forms:

 General guidance and direction throughout the completion of the assignment  The provision of information relevant to the completion of the assignment

Interview /Presentation

It is anticipated that an interview will be necessary to assist in the evaluation process. Short-listed proponents will be advised June 18, 2021 and may be required to attend an interview on Tuesday, June 22, 2021.

Please ensure your firm is available on Tuesday, June 22, 2021 for a possible interview. Representatives from all Municipalities will be attending the interviews to evaluate the responses and proposals. The interviews will be held remotely.

Negotiations

The Frontenac Municipalities retain the right to negotiate the scope, work plan, payment schedule and fees of the preferred proponent prior to award and execution of the Contract.

In the event that a prepared proposal does not precisely and entirely meet the listed requirements, the Frontenac Municipalities reserves the right to enter into negotiations with the selected proponent(s) to arrive at a mutually satisfactory arrangement with respect to any modifications to a proposal. The Frontenac Municipalities reserve the right to distribute any or all questions and answers to the other proponents. 6.5 Payment

Payment for work completed shall be invoiced on a monthly basis, with supporting documentation or invoices to the satisfaction of the Frontenac Municipalities.
