Options for Institutional Arrangement . 85 10 1.Acknowledgement The remit of the Committee was comprehensive and included suggesting leg- islative as well as regulatory changes with a view to promote digital payments over medium term (See: Government order establishing the Committee on Page 180). The task at hand was equally challenging. The business models around digital payments are yet to clearly emerge. Should State encourage pricing models to develop for payments or mandate/ encourage it to be a free utility? What should be done to enable the common man to access, adopt and use digital payments in a meaningful manner? How can the pace of growth of digital payments be accelerated? What should be the role of State in enabling that vision? The answers to these questions can change as fast as changes in technologies. In this backdrop, the Committee approached the mandate based on sound economic principles. It greatly benefited from the fact that all the major stakeholders were members of the Committee. These comprised of H.R. Khan, former Deputy Governor, Reserve Bank of India (RBI); Chandan Sinha, Executive Director, RBI; Neeraj Kumar Gupta, Secretary, Department of Investment and Public Asset Management (DIPAM); R. Chandrashekhar, President, National Association of Software and Services Companies (NASSCOM); A.B. Pandey, CEO, Unique Identification Authority of India (UIDAI); Ashwini Kumar and later Rajeev Rishi as Chairman, Indian Banks Association (IBA); Rani Singh Nair and later Sushil Chandra as Chairman, Central Board of Direct Taxation (CBDT); Naveen Surya, President, Payments Council of India (PCI); Subho Ray, President, Internet and Mobile Association of India (IAMAI); and Dr. Saurabh Garg, Joint Secretary, Department of Economic Affairs (DEA). The Committee also benefited from inputs from NPCI which graciously offered to participate in the meeting of the Committee. Input from NPCI was provided by A.P. Hota, Chairman; Dilip Abse, COO and S.K. Gupta, Chief Project Officer. Various experts gave their valuable insights and submissions which translated into rich input for the Committee. Some of the important discussions which benefited the Committee came from B.N. Satpathy, Deepika Shrivasatava, Ajay 11 Kaushal, Nanda Sameer Dave, Udai Mehta, Amol Kulkarni, David Katz, Sanjay Jain, Mathew Homer, Badal Malick, Rohit Kumar, Varad Pande, Arun Sharma, Anu Tiwari, Vipul Jain, Rajesh Bhoot, Ravi Agarwal, Harshala Chandorkar, Susan Thomas, Chetna Batra and Ashish Gupta. The Committee received may useful submissions from various stakeholders. These are acknowledged separately in the Annexures. It is possible that some names might not have figured in the list above as Committee members have individually benefited from many consultations. The Committee met five times during its three month tenure. In addition, it held three meetings involving consultations involving industry and government agencies. It invited written submissions from a wider audience from Niti Aayog's website. The Committee's research secretariat independently met and interacted with a variety of stakeholders including banks, non bank Payment Service Providers (PSPs), card schemes, regulator, payment system operators, Aadhaar, web aggregators and Fintech companies. It interacted with firms who were globally active in payments but were sitting on the fence on their Indian business. It interacted with academics and think tanks. The Committee studied the domestic scenario and drew on the best practices in the developed world in understanding the trajectory of development in payments industry and various interventions undertaken to promote digital payments. The task of putting together the key issues, researching the problems, suggesting policy options, developing the rationale for the final recommendation would not have been possible without the efforts of the members of the Committee and all those who enriched the discussion. The Committee was ably supported by the research work of the Macro Finance Policy team at National Institute of Public Finance and Policy (NIPFP) comprising Ashish Aggarwal, Pratik Datta, Indrajeet Sircar and Aditya Singh Rajput. At present banking system in India is evolving with a mixture of bank types serving different segments of the economy. In the last few years, the system has seen entry of new banks and emergence of new bank types targeted to serve niche segments of the society. However, banking system continues to be dominated by Public Sector Banks (PSBs) which still have more than 70 per cent market share of the banking system assets. At present there are 27 PSBs with varying sizes. State Bank of India, the largest bank, has balance sheet size which is roughly 17 times the size of smallest public sector bank. Most PSBs follow roughly similar business models and many of them are also competing with each other in most market segments they are active in. Further, PSBs have broadly similar organisational structure and human resource policies. It has been argued that India has too many PSBs with similar characteristics and a consolidation among PSBs can result in reaping rich benefits of economies of scale and scope. 2. The suggestion of consolidation among PSBs has quite old history. Narasimham Committee Report in 1991 (NC-I), recommended a three tier banking structure in India through establishment of three large banks with international presence, eight to ten national banks and a large number of regional and local banks.

It’s not an exception for India also. A strong financial system is possible for a country with its strong banking system only. But unfortunately the banking systems of many emerging economies are fragmented in terms of the number and size of institutions, ownership patterns, competitiveness, use of modern technology, and other structural features. Most of the Asian Banks are family owned whereas in Latin America and Central Europe, banks were historically owned by the government. Some commercial banks in emerging economies are at the cutting edge of technology and financial innovation, but many are struggling with management of credit and liquidity risks. Banking crises in many countries have weakened the financial systems. In this context, the natural alternative emerged was to improve the structure and efficiency of the banking industry through consolidation and mergers among other financial sector reforms. In India improvement of operational and distribution efficiency of commercial banks has always been an issue for discussion for the Indian policy makers. Government of India in consultation with RBI has, over the years, appointed several committees to suggest structural changes towards this objective.

    Bank Mergers June 23, 2020 Why in news In a slew of measures announced by the Finance Minister of India, Nirmala Sitharaman on 30th August, 2019, to take the country out of economic doldrums, one particular step of the government has stood out. This was the planned merger of 10 public sectors into 4 banks. The anchor banks for this merger will be the Punjab National Bank, the Canara Bank, the Union Bank of India and the Indian Bank. Background The Narasimham Committee of 1991 had recommended a three-tier banking structure with 3 large banks with international presence at the top, 8 to 10 national banks at Tier 2, and a large number of regional and local banks at the bottom. P J Nayak Committee in 2014 suggested that the government should privatize or merge some PSBs. In 2017, the Government had approved the “merger” of SBI’s 5 associate banks and Bharatiya Mahila Bank (BMB) with SBI. In 2017, Government had constituted Alternative Mechanism Panel headed by the Minister of Finance and Corporate Affairs to look into merger proposals of public sector banks Bank of Baroda, Vijaya Bank and Dena Bank shall be amalgamated making the new entity India’s third Largest Bank. Amalgamation and Merger In merger, two or more companies/entities are combined together to form either a new company or an existing company absorbing the other target companies. E.g. Consolidation of 2 entities Tata Steel and UK based Corus Group with resulting entity being Tata Steel. Amalgamation is a type of merger in which two or more companies combine their businesses to form an entirely new entity/company.

In identifying the trends and turns of Indian financial sector, the paper adopts a three period classification viz., (a) the 1950s and 1960s, which exhibited some elements of instability associated with laissez faire but underdeveloped banking; (b) the 1970s and 1980s that experienced the process of financial development across the country under government auspices, accompanied by a degree of financial repression; and (c) the period since the 1990s till date, that has been characterized by gradual and calibrated financial deepening and liberalization. Focusing more the third period, the paper argues that as a consequence of successive reforms over the past 25 years, there has been significant progress in making interest and exchange rates largely market determined, though the exchange rate regime remains one of managed float, and some interest rates remain administered. Considerable competition has been introduced in the banking sector through new private sector banks but public sector banks continue have a dominant share in the market. Contractual savings systems have been improved but pension funds in India are still in their infancy. Similarly, despite the introduction of new private sector insurance companies’ coverage of insurance can expand much further, which would also provide greater depth to the financial markets.

It is one of the important financial pillars of the financial sector, which plays a vital role in the functioning of an economy. It is very important for economic development of a country that its financing requirements of trade, industry and agriculture are met with higher degree of commitment and responsibility. Thus, the development of a country is integrally linked with the development of banking. In a modern economy, banks are to be considered not as dealers in money but as the leaders of development. They play an important role in the mobilization of deposits and disbursement of credit to various sectors of the economy. The banking system reflects the economic health of the country. The strength of an economy depends on the strength and efficiency of the financial system, which in turn depends on a sound and solvent banking system. A sound banking system efficiently mobilized savings in productive sectors and a solvent banking system ensures that the bank is capable of meeting its obligation to the depositors. In India, banks are playing a crucial role in socio-economic progress of the country after independence. The banking sector is dominant in India as it accounts for more than half the assets of the financial sector. Indian banks have been going through a fascinating phase through rapid changes brought about by financial sector reforms, which are being implemented in a phased manner. The current process of transformation should be viewed as an opportunity to convert Indian banking into a sound, strong and vibrant system capable of playing its role efficiently and effectively on their own without imposing any burden on government.

    Merger of banks Merger of Banks in India – Good or Bad? Recently, the Union Ministry of Finance decided to merge three public sector banks namely Bank of Baroda, Dena Bank and Vijaya Bank. However, the decision to merge at the time of weakening trend of banks has raised serious concerns. Background The idea of bank consolidation was around since 1991, when former RBI governor M. Narasimham had suggested the government to merge banks into a 3-tiered structure, with 3 large banks with a global presence at the top, 8 to 10 national banks at tier 2 and a large number of regional and local banks at the bottom. In 2014, PJ Nayak Panel had also recommended that the government should either merge or privatize Public Sector Banks (PSBs). Why Banks Merger/Consolidation? Public Sector Banks (PSBs) in India is highly fragmented compared to other key economies. The merger will facilitate the government to pay closer attention to the enlarged institution. It will protect the financial system and depositors’ money since the enlarged institution will be more profitable and better deal with any stressed loans. To develop the capacity to satisfy the demand for credit (loan) and sustain economic growth. In 1991 itself, Narasimham Committee recommended that India should have fewer but stronger PSBs. What is the procedure for Banks Merger? Bank consolidation procedures are provided under the Banking Regulation Act, 1949. Any two PSBs can initiate merger discussions, however, the merger scheme should be finalized by the government in consultation with RBI and it must be placed in Parliament for approval.

The shares of these banks are listed on stock exchanges. The private sector enterprise is an organisation which is owned, managed & controlled by private individuals or a group of individuals or both. This is also engaged in business activity but with the motive of profit maximisation rather than public service like in case of public sector enterprise. The merger of the loss making New Bank of India with the profitable Punjab National Bank was the first instance of merger of two public sector commercial banks. Corporate world have been merging to gain synergies in their operations, derive economies of scale and offer one-stop facilities to more demanding clientele. Hence, the desire to grow quickly through mergers, rather than through the slow path of normal expansion in business it is important to improve the competitiveness and quality of the services sector in order to enhance its efficiency. The present comparative study focuses on the merger of public and private sector banks in India specially merger events relating to Bank of Baroda, Punjab National Bank, HDFC Bank and ICICI Bank. It also examines the only aspect of such merger(s) in terms of valuation of banks before and after merger and find out the result that which sector gained more value through merger in India.
