AGREEMENT FOR GLOBAL BRAND AWARENESS AND STRATEGIC COMMUNICATIONS CAMPAIGN FOR PROJECT SISF DATED 23 JULY 2009 1 PARTIES 1.1 This Agreement is made by and between FBC MEDIA (UK) LIMITED of 12-16 Laystall St, London EC1R 4PF (“FBC”) and SISF of Address (“The Client”). 2 TERM 2.1 This agreement runs from 1 September 2009 to 28 February 2011. Unless otherwise specified, all references to deliverables contained in this contract are for the 18 month period from 1 September 2009. 2.2 The parties shall meet every three months to review progress and re-examine priorities on a flexible basis every six months to plan ahead. 2.3The parties shall sit down no less than 60 days prior to the end of the Term to discuss and agree the details of a further Agreement. 3 STRATEGIC COUNSEL, PLANNING AND ADVISORY SERVICES 3.1 FBC shall make available the services of John Defterios (JD), Matthieuse Coombes-Olney (MCO), Eckart Sagar (ES), Patrizia Marin (PM), and Alan Friedman (AF) to act as principal advisors in the management of their Strategic Communication and International Outreach strategy. During the Term, JD, MCO, and AF shall proactively manage this project and shall be in SISF for the purposes of media planning and strategic meetings at or before the beginning of every quarter. 3.2 FBC will also provide a team of media and public affairs specialists to assist with the placement of interviews on and around summits, bi lateral meetings and events as agreed. 3.3 FBC shall organise itself to enable a rapid deployment for ad hoc interventions according to demand and shall, subject to agreement, accelerate the timing of the work performed under this contract as required by SISF. 3.4 FBC shall regularly (no less than quarterly) meet SISF representatives to review the operational plan for future periods and so provide flexibility, in a manner that permits SISF to reassign deliverables as they see fit within the overall budget, in timing and geography of deliverables within this contract. 4 INTERNATIONAL MEDIA PLACEMENT AND NETWORK 4.1 FBC shall plan and co-ordinate the public relations initiatives under this agreement including the implementation of a print campaign in the UK and across an international network. A Senior Public Relations Executive shall be allocated to this task on a full time basis as well as media relations managers in London, Italy and globally. 5 CYBERSPACE AND ONLINE SPECIAL SERVICES 5.1 FBC will utilise Search Engine Optimisation (SEO) to bring positive stories to the top of search engine pages. FBC will conduct monthly online monitoring, Blogs, websites, international articles etc. to measure international perceptions and ensure that the campaign remains proactive and in alignment. 6 BROADCAST FEATURE REPORTS 6.1 During the Term, FBC shall produce three (3) stories highlighting various aspects of SISF. These will be at the rate of one every six months. 6.2 These stories shall be suitable for insertion into ‘World Business’ (the “Programme”) which runs on CNBC Europe, CNBC Asia, Al Arabiya and PBS. Each Story shall run between four and five minutes. 6.3 Story outlines will be agreed between the Parties and shall be balanced and include opposing views on the issues. 6.4 The Stories will be produced by FBC who shall retain editorial supervision. SISF shall input to research, and make recommendations for interviewees. 6.5 Development of the first Story idea will take place in the first period September 2009 - February 2010 after a meeting of both parties. 6.6 SISF and FBC will jointly recommend three (3) events or themes for the period to February 2011 as a basis for these Stories. Story subjects must be confirmed in writing at least 20 days prior to the filming of each Story. 7 PRODUCTION AND DISTRIBUTION SCHEDULE 7.1 The Broadcast feature reports are intended for distribution on World Business. ‘World Business’ airs on CNBC Europe, CNBC Asia, Al Arabiya, and other channels set forth in Schedule A. The Programme currently airs three times on CNBC each week. A list of other channels on which the Programme is currently distributed and is reasonably expected, but not guaranteed, to continue to be distributed together with transmission times and household coverage is attached at Schedule A. FBC is not responsible for programme schedule changes during the Term, but FBC shall guarantee two primetime airings of ‘World Business’ on CNBC Europe. 7.2 FBC shall distribute three (3) of the Special Feature Stories on its in-flight programme World Business Special Edition. This programme currently airs on 29 carriers as listed in Appendix 1. This list is subject to change. Some airlines carry News Features on a bi-monthly basis and FBC will plan News feature placement accordingly. FBC is not responsible for programme schedule changes during the term of the contract. Airlines are subject to change. 7.3 SISF may use the Stories, including the raw material from which the programme is drawn, for non-public broadcast and/or for SISF’s marketing and promotional purposes. All costs associated with such use including tapes and shipping shall be covered by SISF. 7.4 All rights for usage of the Stories, including the raw material from which the programme is drawn, for non-public broadcast and/or for marketing and promotional purposes, extend and are granted to SISF. 7.5 FBC will provide to SISF in 2 weeks after each production and distribution a full report of placement and usage by broadcasters internationally along with 2 DVDs. SISF will assign one recipient of the materials who will be responsible for internal distribution. 8 ANALYTICAL REPORTING ON RESULTS 8.1 During the Term, FBC will utilise a full range of media analysis tools and provide a report for each period (3 x 6 months) containing media coverage results and all FBC activity within each period. A full and inclusive report will be presented at the end of the 18 month contract. 9 BROADCAST NEWS FEEDS 9.1 During the Term, FBC shall produce three (3) Broadcast News Feeds (BNFs). 1 in each 6 month period. 9.2 Each BNF shall be between 6 and 8 minutes and will be sent to over 500 broadcasters in over 100 countries. In addition, FBC will send a written advisory to encourage take up and will subsequently contact news stations to establish usage. 9.3 The BNF subjects shall be selected by SISF in consultation with FBC and focus initially on announcements establishing SISF and subsequently on marketing events world wide. They shall be produced by FBC with SISF inputting to research, and making recommendations for interviewees. 9.4 The SISF Project Manager will be entitled to approve each BNF. FBC shall work closely with the SISF project manager to ensure that the editorial integrity of the BNF is sound and targeted to maximise global pick up from the international broadcasters. 10 INTERVIEW PLACEMENT 10.1 FBC will arrange three (3) interview placement event / days for key SISF representatives and other spokespeople coordinating live and pre-recorded interviews on the most respected broadcast platforms such as but not limited to CNN, Bloomberg, CNBC and BBC. 12 EVENT ORGANISATION AND PLANNING .1 During the Term FBC will provide specific event support, coordination and planning as requested in tandem with SISF on events such as the World Economic Forum, Davos 13 INTERNATIONAL MEDIA TRAINING 13.1 FBC will provide International Media Training Sessions and advice as and when requested for senior SISF executives for two (2) sessions focussing on the subtleties of working with foreign media, message management, cross-cultural platforms, handling difficult questions etc. to ensure best possible exploitation of media opportunities. 13.2 FBC will further provide International Media Training for operational level staff, ten to fifteen (10-15) people to help ensure aligned messaging, basics of media handling, positive stakeholder management etc. ultimately devising a bespoke ‘Ambassador Course’ to help ensure staff understand the correct process for dealing with the media and other stakeholders. 14 OBLIGATIONS OF SISF WITH RESPECT TO THE PRODUCTION WORK PERFORMED .1 SISF agrees to facilitate FBC’s access to available video and film archive for the making of the Stories, Documentaries, Vignettes and BNFs. SISF also undertakes to assign a project manager representing the group (“Project Manager”) and a translator when needed to work with the FBC team. .2 During the said production of each BNF, it is agreed that one person from SISF will be assigned to provide editorial clearance, within two hours of receipt of a script, to facilitate FBC’s satellite distribution and placement of the produced story. 15 FEES, EXPENSES AND PAYMENT TERMS 15.1 FBC shall charge the Client a total fee of €741,000 (Seven Hundred and Forty One Thousand Euros) for the work performed in the period under this Agreement as set out in the budget at Schedule B. 15.2 Fees charged shall be exclusive of all travel costs and accommodation expenses incurred by FBC in performing the work under this agreement. Such costs, estimated at 7-9% of the total project costs, shall be capped at no more than 7% of the total in 15.1 above. 15.3 The Client shall pay the fee described in 15.1 as follows: -30% within fourteen (14) days of beginning of actual contract: €222,300 -Payment by 01 December 2009: €129,675 -Payment by 01 April 2010: €129,675 -Payment by 01 August 2010: €129,675 -Payment by 01 December 2010: €129,675 -Travel-related expenses within 30 days of receipt of invoice 15.4 FBC will provide to the Client a written report of all deliverables undertaken as part of this agreement as outlined in Schedule B of this Contract by 28 March 2011 15.5 Payments shall be made by bank transfer to: Nat West Bank PLC Charing Cross Branch London Account: 35014709 Sort code: 60-40-05 Iban: GB18NWBK60721435014709 BIC: NWBKGB2LXXX Account Name: FBC Media (UK) Ltd 16 COPYRIGHT AND FORMAT RIGHTS 16.1 The parties agree that all copyright and other rights in and to the format ‘World Business’ and the televisual production and all other constituent elements thereof are owned by FBC to meet U.K.
