Session One – Thursday afternoon, November 6, 2014 Pusey Losch, Presiding

Praise & Worship Delaware Valley Baptist Church Worship Team Lord I lift Your Name on High All Day All Day

Call to Order Pusey Losch called the 44th Annual Meeting to order and welcomed each one in attendance.

Welcome/Prayer James Betner, Pastor of Host Church, led in prayer and welcomed those in attendance.

Seminary Report & Bible Study Jeff Iorg  President of Golden Gate Seminary.  Six seminaries across the USA that are affordable and available thanks to Cooperative Program giving.  Seminary is moving into a brand new campus in Ontario, CA. Acts 11:19 Do not lose heart, following the theme of the convention. Ultimate responsibility in Ministry is through the power of the Holy Spirit. Acts 13:1 Multiple references to the Holy Spirit. Three references specifically naming the Holy Spirit filling a man, Barnabas. He was a good man, full of the Holy Spirit. The question asked is, “ Is a spirit filled seminary possible?” 1. The Bible contains no formula for how to be filled with the Holy Spirit. 2. The results of filling are always emphasized more than the process. 3. The results of the filling are evident in Barnabas’ life. He was called a good man. Man of faith. He was also filled with the Spirit and given evangelist success. 4. Discernment for personnel selection. Leadership selection has long lasting generational impact. 5. He was also filled for strategic decision making. For a whole year they met with the church. How then is a believer filled with the Spirit? No formula, but aspects of spiritual life. Five aspects of being spirit filled. 1. Must be saved. Spirit testifies with your spirit. 2. Surrendering control of your life to the spirit: Be filled with the Spirit. Give up control of your life. Willing surrender. 3. Confessing sin. Holy Spirit can be quenched by attitude and behaviors. 1 Thes 5:19 - Do not quench the Spirit. 4. Don’t grieve the Holy Spirit by outward action. How you treat other people. It matters in how God works through us. 5. Accepting His filling by Faith and take action.

Committee Reports Credentials and Enrollment Committee Madeline Harris reported that there are 67 registered messengers and 85 guests. She made a motion to seat those in attendance as messengers and those who arrive later. Motion passed. Program and Arrangements Committee Bob Garber made a motion to adopt the program as printed and adjust times as needed. Motion carried.

Recognition and Greetings from agencies, national agency trustees, fraternal bodies and other guests

BRN Panel Stan Smith, Facilitator - BRN Vision: To glorify God by Fostering Spiritual Transformation. Commitment is to invest in the pastors. Larry Anderson, Healthy Churches Team – Developing relationships and re-envision the ministry. Develop the Pastor’s Clusters and do training that is beneficial to our pastors. Deploy is what healthy churches are called up for the most. Thanksgiving and Christmas evangelistic projects. The BRN has touched every cooperative program giving church in the convention. That is why we have relationships. Our resources are the biggest advantage. Pam Smith, Missional Living Team – Young guys are seeking out Jay Francoeur, how you can coach the church planters. In many churches Missions is a function of several. For God the Church exists for mission. God’s mission has a church. Deploy - Still connected to literacy ministry; Disaster Relief chapter was called up for the manhunt in the Poconos. Barry Whitworth, Multiplying Churches Team – There are about 90 men involved also. Buff McNickle has been planting Grace Falls Church and meeting with Jay Francoeur and God is doing a great work in the Absecon area. Deploy: beginning to see pastors come together that are realizing that we got to do everything we can to train up the next generation. We are seeing God stirring up and making the future look good. 75% of Church planters are coming from this area.

Miscellaneous Business Executive Board Report, Part 1 Brian Harrison Constitution & Bylaws Committee Report Larry Snyder - The Committee is revisiting and examining the Constitution and Bylaws of the convention. The committee has been having conversations this last year of changes that may need to be made. We will not be voting at this convention meeting but want to present changes followed by dialogue sessions in 2015. 1. Want documents to reflect how we define cooperating churches - what a Southern Baptist Convention cooperating Church looks like. 2. Better job of representing who we are as the Baptist Resource Network. We want documents to reflect regions geographically rather than by association. 3. Update actual EDT search process should the day come that we would need to replace our Executive Director. The Bylaws could be voted on this year but committee decided that it would be better to hold off voting until the next annual meeting, after the changed documents have been examined. If you want to host a dialogue session please contact Dr. Waltz or Larry Snyder. Election of Officers, Part 1 Nominating for President: Peter Yanes from Philadelphia Bible Church International submitted Rev. Brian King, who has been serving the Lord faithfully for over 26 years. Anatoly seconded the nomination. Motion passed. All in favor.

Nominating for First Vice President: No nomination – to be continued in next business session.

President’s Address Pusey Losch Never Lose Heart Deuteronomy 1:46 Moses sending people through the promise land. He never gave up hope. Bi-Vocational is full-time work, it is just not fully funded. Don’t lose heart if God has you where He wants you. He is testing you to know what is in your heart. People do what is right in their own eyes not what’s in God’s eye. People who lose heart: Book of Judges were more faithful to the false gods than to the true God. You won’t lose heart if you love God. Paul sees Jesus on Damascus road. We serve in a ministry that is never finished. Never lose heart. God has you where He really wants you. You have done something right if you serve God. Life gives you the test first and teaches you the lessons after.

Bible Study Jeff Iorg Acts 11:27 The Power of the Holy Spirit at work in the worship services in our churches. Better model in New Testament – Church of Antioch. Very different picture than that at Pentecost in Acts 2. Luke wrote Vr. 27-30 What the spirit is accomplishing in 2 stories. Church gathers, people have an offering and sent offering back to Jerusalem. 3 Things to see in this church: 1. Holy Spirit empowered the preaching. Agabus spoke by the power of the Holy Spirit. 2. Spirit produced. Their response: There was an offering according to their ability. Offering is a spiritual moment in the worship service. We forget what the power of the offering will do. The Holy Spirit is at work in the lives of the one giving. The offering is the Spiritual response in the worship service. 3. Spirit worked to overcome prejudice and division within the church. Next Church: Acts 13 the 2nd church. 1 The Holy Spirit spoke through the worship. Singing or speaking. 2 The Holy Spirit spoke to the people to each other about their responsibilities 3 The Spirit called out workers to expand the mission of God. 4. The Holy Spirit spoke directly to the people, not Paul and Barnabas. No nonsense side show attraction. Biblical Worship is when the Holy Spirit is moving in the worship service.

State of the Convention Address David Waltz It is humbling to be here in this place and be your Executive Director. Thanks to Curtis Conner for planning and leading the music. The Support Staff were recognized for a great job in preparing for the meeting: Tiffany Meeder, Iva Fox, Makenzie Woerner, Debbie Toone, Laura Shaw, Andy Weber, Chris Transue, and Fanny Grote. Ebola crises. Three congregations dealing with lose of loved ones in their home land. Glad to be part of a family bearing one another’s burdens. Being part of the convention for half it’s time. 22 years. David Waltz expressed thanks for allowing him to serve the Convention.

Goal to Look Back at our identity then review where we are today.

15 years ago, Task Force to look at the future and envision where we would be in the future. More desire to have hands on, one recommendation that we become the BRN and what that would look like. 2007 the Greater Philadelphia Association began to test. A few years into implementation NAMB changed funding for DOM’s but this was a strategy that was implemented long before.

Looking at present situation: Impact on State Staff. Moving into the four regions. Occupy ½ of space. Rent out downstairs for potential income. Teams moved. Savings in office. Philadelphia bookkeeping saved $30,000 and another $20,000 or so overhead no longer needed by selling the office. Multiplying Church Centers make the decisions for Church Planting. In 2013 had 18 Multiplying Church Centers which was 5% of our churches, but they made up 20% of the Cooperative Program giving. Now have over 30 Multiplying Church Centers. Pastor Clusters, Missional Living Team. We are a network. Pastor Betner serving on Healthy Churches Team, leader to help others; Jay Francoeur; those doing it are networking with others moving forward. We have touched every single giving church this year. Last year Southern Baptists had a decline in Baptisms, we had an increase of 27%. Two million dollars a year are being given to us each year by NAMB. Southern Baptists all over the U.S. sharing and giving. NAMB provides 94% if we have $6 to match. This year extra $70,000 in Church Planting budget. Joining forces together to reach a lost world. Philadelphia Send City. Using people who are doing church planting. Nationally State Conventions have cut or eliminated 1700 positions across the state convention. We have added people. We are not where I wish we were but we are much further ahead due to reaching out into the unknown. We believe God is leading us and we will trust Him.

Final Point: One of challenges going forward. It is not going to get easier. We can do more together than separately. One thing going forward we are raising the bar for affiliation. We have had to drop over 80 churches from our affiliation roll. Some didn’t exist, new pastor didn’t want to be Southern Baptist, some just did not support. 56% of affiliated churches have given to the Cooperative Program. 20 more churches giving this year. Over 72% of churches cooperating in our giving. One goal is to have 100% of our churches participating. We will do everything we can to help them see the value to being a part of Southern Baptists. Each year we need to have churches step up in participation and giving. Some extra monies that we have this year we will not have next year so the churches must step up and give. Perhaps 5th Sunday offering be given to Cooperative Program, 1% increase in giving. We will be celebrating our 45th Anniversary next year. We are having an impact across the Southern Baptist Convention. This is the time of great change. But the greatest change still lies before us. A change in our heart. To reach our goal of spiritual transformation will not happen no matter how much we change our giving patterns. None will matter to a lost and dying world. The lost world doesn’t care. The change will only come from brokenness. The Church has lost its voice to society, we need to get our voice back by our hearts being broken; as American Christians we are living in a bubble when we continue to ignore the brokenness . We need to love one another and show our love for people. 1/2 of our churches are African Americans or Ethnics, and we are growing that number, yet there are things that will need to be tackled in order to stop racism. It is the mercy and love of the Father. God needs to be doing something in our heart to transform our world into the image of Christ. We are going to have an invitation, I’d like you to ask God to break you and help you see how God can speak to us about the situations in the world and time we have on this earth. Be open for reaching hurting people.

Darius Nable introduced Rev. Brian King. Convention Sermon Brian King 1 Corinthians 3:6-8 I planted, Apollos watered but God gives the increase. (He keeps increasing and increasing.) Don’t lose heart because the source is still the same. Same source that helped Peter open the eyes of a blind man is the same source today. Same source that raised the Dead is the same source today. Salvation is a process. The development of the church is a process, but if God’s not in it, it won’t work. God is not to reinvent; Purpose is to stick to the source. Baptist Resource Network. Something that will help you as an aid to connect you to the source. We need to get back to our source. Mark 11:23-24. The source is still the same no matter how hard.

EXECUTIVE BOARD REPORT

Below is a summary of our meetings during this past year.

February 7, 2014  The board approved Sallie Donnor to fill a vacancy on the Board in Conemaugh Valley.  Dr. Smith reported on the staff’s RAFT meeting that took place in January.  Dr. Waltz gave the financial report and the financial statement was approved as presented.  It was reported that there is difficulty in leasing the lower level. A recommendation to pay off the Girard House indebtedness was approved.  A motion passed regarding maps in the Holman Christian Standard Bible to resolve that we encourage individuals to take any complaints directly to LifeWay.

May 2, 2014  The board approved Sue Crofutt to fill a vacancy on the Board in Conemaugh Valley.  Dr. Waltz gave a financial report; we are 12% under budget through the first quarter.  Plans remain in place to lease the office lower level; to use the Temple Baptist Church property in York for a re-start or new church plant; to sell the Keystone Worship Center property in Mechanicsburg then use funds to help churches or use the land for a church plant.  All board members should have received the full financial report via email before the meeting; the budget process is somewhat delayed as we await NAMB’s numbers.  The board approved a motion to revise the Loan Policy to allow churches to apply for a 2nd lien against church property.

November 6, 2014  Dr. Waltz gave a financial report; once October credit card statements are in, we will be $15-20,000 to the good. We’ll need to manage this by watching spending although no essential things have been cut.  The board approved Staff Housing Allowance requests for 2015.  The board approved the following policy updates: Credit Card, Flexible Spending, Corporate Vehicle.  The board approved the following new policies: Cell Phone, Wellness.

SBC-DR Region 1 Roundtable was held at Country & Town Baptist Church. Region 1 includes the Baptist Convention of Pennsylvania-South Jersey, Baptist Convention of Maryland-Delaware, Baptist General Association of Virginia, Southern Baptist Conservatives of Virginia, Baptist Convention of New York and Baptist Convention of New England.

A Directors/Leadership meeting was held.

A Field Office Administration Training was taught by Cathy Miller from the North American Mission Board.

August 28 – September 4, 2014

Four volunteers from the NEPBA took the NEPBA Recovery Unit to Long Island, N.Y. to respond to flooding that took place there in early August. They worked out of the SBC-DR Rebuild facility in Central Islip, but the Recovery operation was separate from the Rebuild operation. Two volunteers worked in feeding. The other two worked with volunteers from Virginia and New York to clean up four homes.

October 19 – 30, 2014

Southern Baptist Disaster Relief was called upon by the American Red Cross to assist with meal preparation for the Pennsylvania State Police Manhunt of Eric Frein. Because of the nature of this response only trained/badged volunteers were used.

Throughout 2014 Kenton Hunt and Craig Campbell along with Eddie Blackmon (NAMB) and Dennis and Elaine O’Neill (Baptist Convention of New York) attended various meetings held by the New Jersey Office of Emergency Management, Department of Homeland Security. Kenton Hunt was/is the lead for Baptist Convention of PA-SJ in this endeavor. Baptist Builders Sandy Rebuild February 16-21, 2014 Seated below is the team from Thompsontown that traveled to Long Island, NY. The cooks for the week are standing in the back row (plus others not pictured). The volunteers included (left to right): Tony Neimond, Doug Lesher, Steve Winey, Wes Diehl, Dave Varner, Nathan Claybaugh, Jim Winey, and Ernie Pyle.

We helped rebuild the home of Bobby Leigh in Lock Port, NY. Bobby Leigh (pictured on right) lost her husband after a long term illness the Sunday evening we arrived. She has become an active member of the church that initially housed Rebuild teams. The Church was able to provide much support during her time of lost. On our return to Sandy Rebuild March 15-21, 2015 we were able to have a reunion with Bobby Leigh as she proudly showed us her finished home. She told us that Southern Baptists have rebuilt her house and her life – a team from Thompsontown led and champeroned a high school class from Juniata Menonite School who conducted additional work on Bobby Leigh’s home, a few months later in 2014. Her joyous spirit is such a blessing. FOSTERING SPIRITUAL TRANSFORMATION

Last Fall the BRN took Communications to a whole new level! Pam Smith and her Communi- cations team strategized a new BRN logo and brand standards that were revealed at the 2013 Annual Meeting. At the same time they revealed the newly-designed Web site (which is at the address www.brnonline.org). The Communications team has a new marketing campaign which includes the BRN on Face book and Twitter! Be sure to friend us if you haven’t al- ready!

A Healthy Churches Team (HCT) Look Back

 The Healthy Churches Team hosted a BRN Advantage in every re- Numbers from the gion this year. All of the BRN Teams as well as the Executive Director were represented (MCT) at each meeting.  Building relationships is a value of Healthy Churches. Catalysts:  Pastors' Clusters have been established for the purpose of fellowship David Pearson and peer to peer training for pastors. Samuel Rodriguez  Secured Mapping Center, a unique outreach resource to serve our churches, gives demographics using filters for homes with/without  Metrics created for all compo- children; ages of adults; ethnicity of the home; the primary language nents of the MCT System that is spoken; and more.  Finalization of the MCT  The Pastors Retreat centered on the rest, rejuvenation and refreshing of System and Strategy our pastors. Our Healthy Churches leadership team and consultants gave testimonial messages designed to minister to the heart of our pas- tors.  Transformational Church Assessments were conducted at several of our churches to better assess the strengths and challenges of the church.  We were delighted to again receive an evangelism grant from NAMB to help our churches accomplish their evangelism strategies. We have been able to assist churches all over the state.  The Vacation Bible School (VBS) state team held trainings in seven locations.

ANNUAL REPORT Appalachian Regional Ministry October 2014

Fifteen years ago this fall, the respective Southern Baptist State Conventions within the Appalachian region came together with NAMB and the WMU to form a partnership that would “be an intentional missions response to the spiritual and physical needs of persons living in the Appalachian region by mobilizing Southern Baptists and their resources to provide ministries, to evangelize the lost, to assist existing churches and to start new churches in the multi-state region of Appalachia.” Today, Appalachian Regional Ministry (ARM), now a ministry of NAMB continues to work across the twelve state region providing multiple short-term volunteer mission opportunities, finding resources, and assisting church planters, pastors, and associations in meeting the physical and spiritual needs in their area of ministry. Over the past few years as the economy has tightened, there has been a notable change in short-term mission volunteers. Mission teams have gotten smaller and more intentional. At the same time there has been an increase in those desiring to enter into long-term partnerships in order to have a more meaningful and intentional mission’s experience. A second significant change has been in the growing poverty needs that were once primarily limited to the central Appalachian region but now cover the entire area served by ARM. Churches in the south that once traveled to Eastern Kentucky or southern West Virginia to help meet the needs of children in poverty are now utilizing their resources to meet the growing poverty needs of children and families in their local communities. To address physical and spiritual poverty many children face in Appalachia, in 2013 the Georgia Baptist Convention led the way with “Christmas Backpacks for Appalachian Children.” Over 23,808 backpacks were collected and delivered to local churches, church planters, and ministry sites across Appalachia. As the backpacks were delivered and the gospel was shared, literally hundreds of parents, guardians, teenagers, boys and girls came to faith in Christ. In January 2014, NAMB adopted this project as a part of their GPS focus and titled it “LoveLoud Christmas Backpacks.” This year our goal is 40,000 and it has been extended to include the eight states that form the Mississippi River Ministry. To learn more about “LoveLoud Christmas Backpacks” visit namb.net/backpacks/. The A.R.M. Mailbox Bible Club (MBC) has continued to grow with almost 6,000 people having indicated an interest. The MBC is a Bible correspondence program. We now have three MBCs where 30 volunteers weekly receive, grade, provide counsel, and work with students. One is located in West Virginia at Cross Lanes Baptist Church and the other two are located in Florida at Mary Esther First Baptist Church (FBC). The Bible lessons are available in Spanish and are handled by FBC. A rapidly growing part of the MBC are the students who are incarcerated. This club is also a part of FBC which is now processing close to 3,000 lessons a month, mainly prisoners. The letters that are enclosed with the lessons continue to testify to the transforming power of the gospel of Christ. This past year over 45,000 short-term mission volunteers responded to the Great Commission and served in Appalachia in a variety of mission opportunities. As they served over 4,000 salvation decisions were made. This ministry was made possible through the faithful giving of Southern Baptists through the Cooperative Program and their gifts to the Annie Armstrong Easter Offering. CONSTITUTION AND BY-LAWS THE BAPTIST CONVENTION OF PENNSYLVANIA/SOUTH JERSEY

ARTICLE I—NAME The name of this body shall be The Baptist Convention of Pennsylvania/South Jersey.

ARTICLE II--PURPOSE The purposes of this body are as follows:

(a) Furnish cooperating, autonomous Baptist churches a means whereby they may effectively participate in the mission purposes of the Southern Baptist Convention. (b) Serve as a channel of communication and assistance between the associations, the churches, the Southern Baptist Convention and its boards and agencies. (c) Provide assistance and encouragement to the associations and the churches in winning, nurturing, and ministering to people. (d) Provide an organization whereby the associations and churches may perform tasks which cannot otherwise be completed.

ARTICLE III--MEMBERSHIP SECTION 1 This Convention shall consist of messengers elected by cooperating Baptist churches, who regularly contribute to the work of this body, and who are in harmony with doctrines and principles generally held by Southern Baptists.

SECTION 2 The messengers shall be elected by their respective churches: (a) A church that has been a financial contributor to causes of the Baptist Convention of PA/SJ during the Convention’s fiscal year preceding the annual meeting and/or during the current year is entitled to three (3) messengers. (b) Additional messengers from a church, up to a maximum of twelve (12), are authorized as follows: (1) One additional messenger for each fifty (50) resident members reported in the Annual Church Profile, not including members of chapels, or (2) One additional messenger for a seven percent (7%) contribution to the Cooperative Program and/or Convention causes, and an additional messenger for each percentage point beyond that (indicated by a comparison of undesignated gifts reported in the Annual Church Profile with Convention fiscal year receipts), or (3) One additional messenger for each $1750 contribution to the Cooperative Program and/or Convention causes. (c) A chapel shall be entitled to two (2) messengers in addition to the messengers of its sponsoring church.

ARTICLE IV--OFFICERS SECTION 1 The officers of this convention shall be: President, First Vice President, Second Vice President, Executive Director-Treasurer, Recording Secretary, Assistant Recording Secretary, Historian, and Parliamentarian.

SECTION 2 The President and Vice-Presidents shall be nominated from the floor. The Recording Secretary, Assistant Recording Secretary, Historian, and Parliamentarian shall be nominated by the Nominating Committee. These officers shall be elected annually by the body and shall be duly installed at the closing session of the convention. They shall hold their offices until their successors are elected and installed. (a) No President shall be eligible to serve more than two (2) consecutive terms. (b) The election shall be by secret ballot when two (2) or more persons are nominated for the same office. (c) The President shall be elected before the Vice Presidents are nominated, and the First Vice President is to be elected before receiving nominations for the second vice president.

SECTION 3 The Executive Director-Treasurer shall be employed by the Executive Board for an indefinite period of time.

ARTICLE V--MEETINGS This Convention shall meet annually as determined by the body. In case of an emergency the President, with the consent of the Executive Board, may call a special session.

ARTICLE VI--EXECUTIVE BOARD SECTION 1 This Convention shall elect an Executive Board which shall consist of two (2) members from the churches of each associational area for the first 1000 church members or fraction thereof. One additional member shall be elected from each associational area for each additional 1000 members in the churches, not to exceed five (5) members from any one association.

MEMBERSHIP: Approximately 50% of the membership of the Board shall be drawn from laypersons. The balance shall be drawn from vocational ministers or their spouses.

SECTION 2 The President, Vice Presidents and Recording Secretary of the Convention shall serve as members of the Executive Board. In the event that such officers are employees of the convention they shall be non-voting ex-officio members.

SECTION 3 The regular term of office for each member of the Board shall be three (3) years with two (2) years or more constituting a full term. Board members may serve for two (2) consecutive terms after which one (1) full year must elapse before this person is eligible for reelection. Approximately one-third of the Board shall be elected each year. Members of the Executive Board shall take office at the close of the annual meeting at which they are elected.

SECTION 4 The Executive Board shall be the corporated body of the Convention. It shall conduct the Convention’s business between sessions, but shall not contravene action of the Convention.

ARTICLE VII--TRUSTEES AND COMMITTEES SECTION 1 This Convention shall have the authority to elect such trustees and committees as needed.

SECTION 2 These trustees and committees shall make reports to this Convention on all responsibilities assigned to them.

SECTION 3 This Convention shall retain the authority to approve, alter or reject any transactions made by these trustees and committees.

ARTICLE VIII--FUNDS SECTION 1 All designated funds accepted by the Convention shall be applied according to the designation of the donors.

SECTION 2 All undesignated funds received shall be distributed as directed by the Convention.

ARTICLE IX--AGENCIES AND INSTITUTIONS SECTION 1 Agencies and institutions deemed necessary to fulfill the general purposes specified in Article II shall be established, owned and operated by this Convention.

SECTION 2 No institution or agency of this Convention shall launch any program or enterprise calling for expenditures of money apart from usual operating expenses without prior approval of the Convention.

SECTION 3 Any proposal relating to Sections 1 and 2 above must be presented to the Executive Board for study and published through the Penn-Jersey Baptist at least sixty (60) days prior to the annual meeting of the Convention.

ARTICLE X--PROCEEDINGS The proceedings of this Convention, the report of the Executive Board, and such other useful information as the Secretary may be able to obtain, shall be published and distributed annually among the churches.

ARTICLE XI--AMENDMENTS This Constitution may be amended at any regular annual meeting by two-thirds of the members present and voting, provided that notice of the proposed changes shall have been published sixty (60) days prior to the annual meeting, and provided changes shall have been presented to the Convention at the previous annual meeting in writing.

BY-LAWS

ARTICLE I - DUTIES OF OFFICERS SECTION 1 The President of the convention shall preside over the sessions of the Convention. During the first three months following election, the President shall appoint a Committee on Committees consisting of one member from each associational area. The President may appoint other committees when directed by the body, and shall fill any vacancies that may occur on the Committee on Committees and on any other committee that the President has appointed. In case of the President’s death or incapacity to serve, the vice presidents shall succeed in order.

SECTION 2 The Executive Director-Treasurer shall serve as Executive Director- Treasurer of the Convention and the Executive Board.

SECTION 3 The Recording Secretary shall record and preserve the proceedings of the Convention and shall have the same printed and distributed in accordance with Article X of the Constitution. The Assistant Recording Secretary shall serve in the absence of the Recording Secretary and assist as necessary.

SECTION 4 The Historian shall gather and preserve all appropriate papers and documents pertaining to the Convention, the associations, and the churches.

SECTION 5 The Parliamentarian shall be familiar with the rules of parliamentary procedure set forth in the current edition of Robert’s Rules of Order and shall provide counsel to the presiding officer and to the Convention as may be needed to maintain correct and orderly procedure in the conduct of convention sessions.

SECTION 6 The President and the Executive Director-Treasurer shall be non-voting ex officio members of all Convention committees, agencies and institutions.

ARTICLE II - COMMITTEES SECTION 1 The Committee on Committees shall nominate for election by the Convention the committees named in Section 2 of this article and other committees as may be assigned to it. Prior to May 1 the chairperson shall convene the committee for the purposes of familiarizing themselves with their work and establishing procedures and timetables.

SECTION 2 The convention shall elect the following committees to report to the next regular session of the Convention. In the event a vacancy occurs between the annual sessions, the officers of the Executive Board shall nominate a replacement to be elected by the Board. (a) Resolutions Committee, consisting of five members: The committee shall be responsible for initiating, reviewing, commenting on and recommending Convention action on all resolutions. All resolutions presented from the floor of the Convention shall be in writing and referred to the Committee on Resolutions, without debate, prior to the floor consideration. By two-thirds vote of the messengers present on the first day of the Convention, the rules may be suspended and a resolution be taken up for immediate consideration. (b) Program and Arrangements Committee, consisting of five members: The committee shall be responsible for recommending to the convention the time and place for the next annual meeting of the Convention. The committee’s recommendation on time and place shall seek to offer plans that are at least two years in advance of the Convention to which it reports. The committee shall prepare for the annual session to which it reports the annual order of business, it shall arrange for all speakers including the president’s address and the annual convention sermon, it shall provide for reports and special events that inform the Convention on the activities of its various programs and future plans. The host pastor for the annual meeting being planned shall be an ex-officio member of this committee. (c) Nominating Committee, consisting of one member from each associational area: The committee shall nominate members of the Executive Board as outlined in Article VI of the Constitution and such other nominations as designated by the Convention. On or before March 31, the chairperson shall convene the committee for the purposes of familiarizing themselves with their work and establishing procedures and timetables. (d) Credential and Enrollment Committee, consisting of five (5) members: The committee shall provide registration cards for messengers and visitors and examine the credentials of all messengers.

SECTION 3 Constitution and By-Laws Committee consisting of five members: The committee shall be nominated by the Nominating Committee. Terms of committee members shall be for three years; one member shall be elected at each annual session. The Chairperson shall be named by the Nominating Committee. The committee shall receive and review all proposed amendments to the Constitution and By- Laws and shall formulate whatever other amendments it may consider proper and report them to the Convention in the manner prescribed in the Constitution and By-Laws. The Nominating Committee shall nominate for election by the Executive Board persons to fill vacancies that may occur between annual sessions of the Convention.

SECTION 4 Higher Education Committee shall consist of four elected members plus the Executive Director- Treasurer as a voting ex-officio member. The four elected members of the committee shall be nominated by the Nominating Committee. Terms of the elected members shall be for four years; one member shall be elected at each annual session. The chairperson shall be named by the Nominating Committee. The five members of this committee shall serve as the members of the Northeast Baptist School of Ministry from the Baptist Convention of Pennsylvania/South Jersey. The committee shall serve the Convention on matters pertaining to higher education as may be assigned to it. The committee shall report to the Convention at each annual meeting. The Nominating Committee shall nominate for election by the Executive Board persons to fill vacancies that may occur between annual sessions of the Convention.

ARTICLE III - EXECUTIVE BOARD SECTION 1 Members of the Executive Board shall be expected to attend all meetings unless providentially hindered. In such cases, notice shall be given to the Board. Two (2) successive absences without notification shall automatically terminate one’s membership.

MEMBERSHIP: Approximately 50% of the membership of the Board shall be drawn from laypersons. The balance shall be drawn from vocational ministers or their spouses.

SECTION 2 MEETINGS: The Executive Board shall hold at least four (4) meetings during the convention year, including the meetings immediately prior to and immediately after the annual convention, with the other two meetings well spaced during the year; the meeting place and agenda being determined by the President and the Executive Director-Treasurer or by the Administrative Committee. A majority of the Board members shall constitute a quorum.

SECTION 3 OFFICERS: The Officers of the Executive Board shall consist of a President, Vice President, and Recording Secretary to be elected annually at the first meeting of the Executive Board following the annual session of the Convention.

SECTION 4 COMMITTEES

1. STANDING COMMITTEES. Following the election of officers of the Executive Board and prior to the next meeting of the Board, the Executive Board Appointment Committee shall appoint a chairperson and members to serve on all standing committees. Whenever possible no more than one-third of each committee shall be replaced each year. (a) Administrative Committee. This committee shall be composed of approximately one third of the membership of the Executive Board and will include the President, Vice President and Secretary of the Board, the President of the Convention and others as appointed by the Executive Board Appointment Committee. The President of the Executive Board shall serve as chairperson. The Administrative Committee shall serve as the Executive Board Ad Interim deciding on routine and emergency matters between sessions of the Executive Board and on all other matters referred to it by the Executive Board including public relations, long range planning, legal matters, program review and personnel. (b) Budget and Finance Committee. This committee shall be composed of approximately one-third of the membership of the Executive Board. This committee shall counsel, plan and work with matters of budget planning and control, audits, resource development, loans, and special offerings. (c) Operations and Property Committee. This committee shall be composed of approximately one-third of the membership of the Executive Board. This committee shall counsel, plan and work with matters related to overseeing the properties, automobiles and insurance and contracts. (d) Executive Board Appointment Committee. This committee shall consist of the President of the Convention and the officers of the Executive Board. (President of the Board, Vice President of the Board, and Recording Secretary of the Board.) This committee will decide the makeup of the board committees each year, will appoint the chairpersons make recommendations to fill vacancies on the Executive Board that occur between Annual Meetings, and appoint persons for special committees of the Board. The President of the Board shall serve as chairperson.

2. SPECIAL COMMITTEES. Special Committees may be formed as needed. Their duties shall be those assigned to them when the committee is authorized.

SECTION 5 DUTIES: The Executive Board shall administer its cooperative work according to the policies set forth by the Convention, maintain oversight of Convention agencies and institutions and recommend to the Convention an annual budget. The Executive Board shall employ such personnel as required to do the work of the Convention.

SECTION 6 EXECUTIVE DIRECTOR-TREASURER: The Executive Director-Treasurer is the spiritual and administrative leader of the Convention and the Executive Board. He is employed by and is accountable to the Executive Board, serving in accordance with a position description adopted by the Executive Board. When a vacancy occurs in the office of Executive Director-Treasurer the Executive Board shall elect an Executive Director-Treasurer Search Committee. A majority of at least seventy-five percent of the Executive Board members present and voting shall take place at a regular or a special called meeting of the Executive Board. At least two weeks’ notice is required for this special called meeting. The Executive Director-Treasurer Search Committee shall consist of the Convention President, the Executive Board President, one additional member from each association of the convention, and three members-at-large. The Administrative Committee also shall nominate the chairperson and vice chairperson of the Search Committee for election by the Executive Board. All members of the Search Committee shall be members of churches affiliated with the convention. No more than fifty percent of the Search Committee shall be members of the Executive Board. The Administrative Committee shall be guided by the principle of board representation in nominating the associational and at-large members of the Search Committee. The Search Committee shall develop and implement procedures as they deem wise.

SECTION 7 No persons employed by the Executive Board or agencies of this Convention shall be eligible for election to this Board. ARTICLE IV - AMENDMENTS The By-Laws may be altered by a majority vote of the messengers present and voting at the business session of the same Convention, providing announcement of such has been made at a previous session of the same Convention.

ARTICLE V - PROCEDURE The Rules of Order for the sessions of the Convention shall be “Robert’s Rules of Order, Revised,” but in cases where the meaning may not be clear, the President shall exercise his discretion, subject to appeal to the Convention.
