REGARDING THE PROVISION, BY , OF A SPECIAL PURPOSE DEXTEROUS MANIPULATOR AND OTHER GOODS AND SERVICES TOWARDS FULFILLMENT OF ITS COMMON SYSTEM OPERATIONS RESPONSIBILITIES WITHIN THE CONTEXT OF THE INTERNATIONAL SPACE STATION (ISS) PROGRAM

1.0 Introduction

This Arrangementis enteredinto pursuantto the Agreementamong the Governmentof the United Statesof America,Governments of Member Statesof the EuropeanSpace Agency, the Governmentof Japanand the Governmentof Canadaon Cooperationin the DetailedDesign, Development,Operation and Utilization of the PermanentlyManned Civil SpaceStation (the “1988 IGA”) and the Memorandumof Understandingbetween the Ministry of Statefor Scienceand Technologyof Canada(MOSST) and the National Aeronautics and Space Administration (NASA) of the United Statesof America on Cooperationin the

Detailed Design, Development,Operation and Utilizanon of the Permanently Manned Civil Space Station (the “1988 MOW), which 1988 IGA and 1988 MOU have been revised and will be supersededby a new IGA (the “new IGA”), and a new MOU (the “new MOW) betweenthe CanadianSpace Agency (CSA) and NASA, hereinafter collectively referred to as the “Space Station Agreements”

On March lst, 1989, CSA assumedresponsibility from MOSST for the execution of the CanadianSpace Station Program.

This Arrangementdetails the understandingsreached between CSA and NASA (“the Parties”) for the provision, by Canada,of a SpaceStation Special Purpose Dexterous Manipulator (the “SPDM”), and of other goodsand servicestowards fuIfiIl.mentof its financial responsibilitiesfor commonsystem o&&ions costs (“CSOC”) underthe SpaceStation Agreements.

2.0 Background

2.1 Under the 1988 MOU, CSA was to contributethe (MSS) as a Canadianelement, containing severalcomponents, including the Mobile Servicing Center (MSC), the MSS uniqueinternal control station equipment,the SPDM and the MSS MaintenanceDepot @&ID). The MSC, a subset of the MSS, is composedof the SpaceStation RemoteManipulator System (SSRMS), the U.S. provided Mobile Transporter(MT) andthe Mobile Remote Servicer (MRS) Base System(MBS). Becauseof the CSA robotic system’s role in assemblyand maintenanceof the SpaceStation, the CSA contribution is consideredessential to the ISS. In return for this systemand its supportand maintenance,CSA receivedunder the 1988MOU, 3% of all SpaceStation user accommodationsand utilization resources,while being responsiblefor 3% of the Space Station CSOC.

In 1994 the Canadianfederal governmentdirected CSA to revise its SpaceStation participation. In May 1994,NASA and CSA agreedon Arrangementsfor EnhancedCooperation in SpaceBetween NASA and CSA (“the 1994 Enhanced CooperationArrangement”) in which NASA assumed,in part, certain CSA responsibilities for MSS. As part of the 1994Enhanced Cooperation Arrangement, CSA’s utilization accommodationsand resourceallocauons, crew flight

2 AD REFERENDUM opportunities and CSOC obhgation,were reducedfrom 3.0% to 2.7% and CSA deferredindefinitely the initiation of its SpaceStatton utilization. In return, NASA receivedthe .3% in uttlizatron accommodationsand resources,along with the commensurateCSOC obligatron. In addition, the 1994 EnhancedCooperation Arrangementstipulated that CSA would completethe detarleddesign of the SPDM but would defer the decisionregarding its manufactureuntil April 1997. In the event CSA elected not to contributethe SPDM, its utrlizatlon allocationwould be reducedby an additional .4%, which would be transferredto NASA, leaving CSA with 2.3%.

This Arrangement definesthe conditionsunder which Canadawill developand operate the SPDM identified in the SpaceStation Agreementsand the Space Station-relatedprovisions of the 1994Enhanced Cooperatton Arrkgement. While CSA’s allocations of utilization accommodationsand resourcesand flight opportunities are as statedin the SpaceStation Agreements,this Arrangement implements the provisions of Article 9 of the new MOU regardingoffsets of CSOC responsibilities and defines the portion of those allocationsthat CSA is entitled to use without further responsibility for CSOC payment.

3.0 Purpose, Scope and Relationship to the Space Station Agreements

3.1 This Arrangement constitutesan ImplementingArrangement pursuant to the SpaceStation Agreements.

3.2 Notwithstanding the roles andresponsibilittes specified in&e 1988 MOU, the Parties to this Arrangementwill haveresponsibilities concerning the SPDM and other MSS activities, as specifiedherein. In the event of any inconsistencies betweenthis Arrangementand the SpaceStation Agreements,the SpaceStation Agreementswill take precedence.The Partiesintend the terms of this Arrangement to be consistent with NASA’s bilateral MOUs with the other InternationalSpace Station partners.

3.3 NASA and CSA will, upon signatureof this Arrangement,begin to implement the understandingsoutlined herein regardingCSA’s provision of the SPDM and other goods and servicesto offset its SpaceStation CSOC obligation. AD REFERENDUM

- 3.4 This Arrangement,except as otherwisespecifically indicated, is not intended to supersedeor otherwise modify previousagreements reached by the technical teamsor any understandingalready containedin program documentation.In the event of any inconsistenciesbetween such prevtous agreements or understandings and this Arrangement,this Arrangementwill take precedence.In addition, this Arrangementfully implementsthe understandingsin the 1994 Enhanced CooperationArrangement as those understandingsrelate to the SPDM. .I

4.0 Definition of Terms

4.1 For the purposesof this Arrangement: . I* a.) the term “engineeringsupport” meansengineering activities associated with sustainingengmeering and operationsof flight element;

b.) the term “follow-on spares”means orbital replacementunits considered necessaryto sustamthe functional performanceof the flight element(s) following on-orbit assemblyand verification;

c.) the term “initial spares”means orbital replacementunits considered necessaryto sustainthe functional performanceof the flight element(s) during on-orbit assemblyand verification;

d.) the term “maintenance”means on-orbit replacementof orbital replacementunits (ORUs);

e.) the term “one (1) rack year” meansthe on-orbit use of one (1) rack equivalentfor one (1) year;

E) the term “one (1) external adaptersite year” meansthe on-orbit use of one (1) external adaptersite equivalentfor one (1) year;

g.) the term “operations support” meanson-orbit and ground activities associatedwith all operationsof the flight element(s),including real and AD REFERENDUM

non-realtune flight elementperformance monitoring, real tune on-orbit and ground basedflight elementoperauons, and training;

h.) the term “repair and overhaul” meanson ground repair or refurbishment(overhaul) of flight elementorbital replacementunits;

i.) the term “sustainingengineering” means on-ground engineering activities to ensurethe c6ntinued functional performanceof the flight elementsand engineering associatedwith the design of flight element modificatrons,such as design changesto correct latent defects,design changesto accommodatereplacement of obsoleteparts.

5.0 Overall Terms, Conditions and Assumptions

5.1 Offset Arrangement

5.1.1 Offset

In considerationfor provision of the SPDM and other goods and servicesspecified in this Arrangement,CSA will receive an offset towards its 6nancial responsibility for CSOC as follows: offset of CSOC responsibilitiesassociated with 2 rack years and 2 external adaptersite years and 2% of non-Russianutilization resources. . 51.2 Optional Additional Offset

CSA will have an option for an additional offset as follows: CSA will receive an offset of CSOC responsibilitiesassociated with an additional 3.25 rack years and 4 additional external adaptersite years and continueduse of 2% of non-Russian utilization resourcesif

a.) CSA assumesthe repair and overhaulresponsibilities and certain integratedlogistics supportresponsibilities that were transferredto NASA under the 1994Enhanced Cooperation Arrangement; and

b.) CSA undertakesadditional training responsibilitiesas follows. Recognizingthe need for mter-systemand proficiency training on the SPDM for flight crews and ground supportpersonnel using the Space Station Training Facility, Prototype Part Task Trainer, and Dexterous Manipulator Trainer (TBD), if CSA acceptsthis option, CSA will provide SPDM flight software sourcecode and SPDM simulation softwaremodels to NASA for NASA to integrateinto the Trick MSS simulationand Space Station Training Facility (SSTF) environment.Dissemination and application of this CSA sourcecode will be in accordancewith procedures and controls establishedbetween NASA and CSA for the MSC flight software sourcecode. CSA will provide to NASA any changesto the SPDM flight software sourcecode and SPDM simulauonsoftware models to allow NASA to maintainthe simulation at the latest flight confIguration.CSA will provide SPDM documentationsimrlar to that agreedfor the MSC in Bilateral Data ExchangeAgreements, Lists and Schedules.NASA will be invited to SPDM revrewsin the samemanner as was agreedfor MSC reviews and documentedin the NASA-CSA Joint ManagementPlan

CSA is to exercisethis option by no later than March 3 1, 1998. In the event NASA is required to take action to supportthese responsibilitiesprior to March 3 1, 1998, NASA may do so, provided it notifies CSA as soon as practicableafter learning of the need for earlier action.

5.2 Terms, Conditions and Assumptions Applicable to E$asicand Optional Offsets

52.1 General Responsibilities

Each Party will be responsiblefor support of its own elements,in accordancewith the SpaceStation Agreements,unless otherwise specifiedin this Arrangement. Further, the MSS, as an integral part of the SpaceStation i&astnrcture, relies on severalNASA-provided SpaceStation sub-systems.Consequently, many of the MSS test.,integration and verification activities are sharedbetween NASA and CSA.

5.2.2 Timing of Utilization

Specific plans for the timing of the utilization enabledby the exerciseof the Arrangement would be developedthrough normal program planningmechanisms (the Partner Utilization Plans, the ConsolidatedOperations and Utilization Plan, and tactical planning documents).The utilization will occur during a period of ten years or such other period as may be mutually agreed.CSA utilization rights will begin as specified in the new MOU.

5.2.3 Notice of Intent to Use Allocation ’

This offset will allow CSA to use its allocationsof utilization accommodationsand resourcesat the rate specified in this Arrangementwithout the nkih to provide additional compensationor servicestowards CSA’s CSOC obligations.CSA will retain the rights to use its full allocationsas detailed in the SpaceStation Agreements,subject to a correspondingobligation to Will its CSOC responsibilitiesfor any use not coveredby an offset in accordancewith the approachset forth in the SpaceStation Agreements.To ensurethe allocationsare My utilized by CSA or anotherentity, CSA will provide timely notice of its intent to use or forfeit part or all of its allocationsfor any usenot coveredby the offset. The NASA and CSA User OperationsPanel members will agreeon the minimum requirednotice of CSA’s intent to use or not use its allocation. At a mini.m~~~~, notice will be given 2 years in advanceof operations.In the event CSA doesnot elect to use its 111allocation, NASA will assumethe allocationnot usedby CSA and will similarly assumeresponsibility for the CSOC associatedwith that allocation. In the event CSA reachesan agreementwith anotherentity whereby that entity is granteduse of CSA’s utilization allocation, suchuse will be subject to the Space Station Agreementsand CSA will remain responsiblefor ensuringsuch useis in compliancewith the SpaceStation Agreements.Any suchagieement with anotherentity will not absolveCSA of its obligations with regardto the SPDM.

5.2.4 Maximum Utilization Rate

Max&nun rate of usage under this Arrangementwill not exceed1 rack and 1 externaladapter site and 2% of non-Russianutilization resourcesin any given year. AD RJSERfCNDUM

CSA may vary its utilizatton rate annuallyto a maximumof 1 rack per year and an external adapter site, in any given year.

5.2.5 Provision of ISPR

NASA will make available IntematronalStandard Payload Rack (ISPR) accommodations(with EXPRESS rack insert,if necessary)for CSA payloads. NASA will also provide integration of CSA payloadsto the rack level.

5.2.6 Responsibilities for Launch Services

NASA will provide standard Shuttle launchservices for launchand return of the SPDM, its sparesand the MSC spares.Other launch relatedacti%ies, including delivery to NASA and prelaunchacuvities are as defined in Section 6 herein. NASA agreesto provide standardlaunch and return serviceson a non- reimbursablebasis for the SPDM, its sparesand the MSC spareson the Shuttle and to deliver the SPDM, its sparesand the MSC sparesto the KS and return them to Earth. NASA will provide a Spacelabpallet, arm and body frame flight support equipment,and associatedintegration for the SPDM launch.NASA further agreesto perform deployment, on-orbit activationand checkoutfor the SPDM with the cooperation and technical supportof CSA technicaland operationsspecialists. In addition to the flight support equipmentprovided by NASA and described above, CSA will also provide flight supportequipment in the form of component flight support equipmentto attach the SPDM launchconfiguration components to the NASA-provided flight support equipment.The interfacewill be as defined in “SPDM ComponentFSE to NASA InterfaceStructure FSE Interface Control Document”, a mutually agreed SpaceStation Program Document. Payment for any Non-StandardShuttle Servicesprovided by NASA to CSA will be the responsibility of CSA unlessotherwise agreed.CSA will remainresponsible for purchasinglaunch and, as desired, returntransportation services for its payloads.

5.2.7 Ownership

Pursuantto Article 6.1 of the new IGA, CSA will retain ownershipof the SPDM.

5.2.8 Training

CSA is responsiblefor elementunique and task training for the Canadianelements of the MSS for SpaceStation crew membersand ground supportpersonnel. Further, CSA will provide such training to crew membersfrom any Partner without chargeunder the conditions specified in Article 11.6 of the new MOU. CSA’s net contribution to n-aininghas been taken mto accountin determiningthe value of CSA’s offset. NASA will provide training, at NASA facilities, without charge,to CSA’s SpaceStauon crew . -’

5.2.9 Failure to Provide All or Part of the SPDM

In the event that CSA doesnot provide all or part of the SPDM, CSA will ensure that such can be procuredby NASA in Canadaunder the equiv&nt conditions that would be applied to CSA. If the SPDM or any part thereof that is not provided by CSA is not availableto NASA in Canadain accordancewith agreedspecifications and schedulesand at reasonableprices to be agreed,NASA will be free to produce the SPDM or any suchpart thereof in the United States.For this purpose, CSA will ensurethe a&ability of the necessarylicensing arrangements.

5.2.10 SPDM Requirements

NASA and CSA will jointly agreeon a CSA/NASA Mobile Servicing System (MSS) SpecialPurpose Dexterous Manipulator SystemRequirements Document, and both Parties will have the opportunity to fully participatein the SPDM technical reviews to ensureadequate visibility into the SPDM.development process.

6.0 Respective Responsibilities of CSA and NASA

Notwithstanding the terms and conditions containedin Article 5 herein and Article 6 of the 1988 MOU, and consistentwith the responsibilitiesof the Parties as specified in Article 6 of the new MOU, the Partieswill have the following responsibilitieswith regardto the SPDM and other goods and servicespursuant to this Arrangement:

6.1 Except as otherwise specified in this Arrangement,CSA will assumefull financial and technical responsibility for the SPDM design,development, manufacture,integration and test, and delivery

6.2 CSA will support NASA’s overall SpaceStation systemengineering and integration responsibility, including NASA’s activities for SPDM to SpaceStation integration, and support NASA’s launch site processingof the SPDM. .l 6.3 NASA and CSA will cooperatein an ongoing technicalreview of all existmg 1 and future ISS extravehiculardexterous robotic tasks as follows.

a.) validate the capability of the existing NASA Robotic System EngineeringLaboratory at JSC to verify complianceof ORUs and external payloadswith the latest agreedversion of the Robotic Systems Integration Standards,SSP 30550 and with applicablesections of the latest agreedversion of the MSS to User (Generic) InterfaceControl Document, SSP42004;

b.) determineif ORUs and external payloadsare compatiblewith the SPDM by review of resultsof tests conductedby NASA or another partnersto verify compliancewith RSIS and SSP42004;

c.) determineif the SPDM capabilities,including standardtools, could perform an extravehiculardexterous robotic task involving ORUs and external payloadsfrom b., above,notwithstanding whether the requirementsof the RSIS and SSP42004 are met; and

d.) develop and verify operationsprocedures and timelinesfor all extravehiculardexterous robotic tasks determinedfrom b. and cl, above, to be feasible.

In the event that an extravehiculardexterous robotic task is initially determinedto be unfeasible,NASA and CSA will develop and analyzeoptions to resolve the issueswhich impede successfulcompletion of that task.

6.4 CSA will design, developand manufacturea SPDM which will provide capabilities defined in the joint CSAJNASAMobile Servicing System(MSS) Special Purpose Dexterous Mampulator SystemRequirements Document number CSA-SS-SRD-0011, latest agreedrevtsion (the “SPDM SRD”).(Note: The SRD content may be incorporated into the MSS SegmentSpecification. In that event, thejointly agreed MSS SegmentSpecificanon and the MSS To User ICD will becomethe governing requirementsdocuments for the SPDM.)

6.5 CSA wilI perform SPDM systemengineering and integration,including risk managementactivities, in accordancewith Article 6 of the new MOU.

6.6 CSA will conduct SPDM reviews and ~111participate in relatedNASA Space Station reviews in accordancewith Article 6 of the new MOU. ’ re

6.7 CSA will deliver the SPDM to NASA to a location in the United Statesto be determinedby NASA, and in accordancewith the Space Station assembly scheduleand provide support for SPDM Launch PackageIntegration, modal test and verification and certification.

6.8 CSA will assistNASA in the launch,interface verification and on-orbit assemblyof the SPDM in accordancewith the new MOU and agreedassembly, activation and verification plans.

6.9 CSA will be responsible,with the supportof NASA, for certification of the SPDM-elementand the CSA-providedSPDM-element subsystems.

6.10 CSA will be responsible,with the assistanceof NASA, for the on-orbit activation and performanceveritication of the SPDM in accordancewith the new MOU and agreed assembly,activation and verification plans. ’

6.11 CSA is responsiblefor the on-orbit performanceof the SPDM consistent with the new MOU.

6.12 Details of the timing of the deployment,on-orbit activation andcheckout of the SPDM will be determinedthrough agreedprogram assemblyand verification plans.

6.13 CSA will have continuing responsibilitiesfor the SPDM in accordancewith the new MOU and as detailed herein,including maintenance,sustaining engineering,integrated logistics support,spares, required ground support equipment,operations and training support,repair and overhaul, and training in Canada.For SPDM training, CSA will conductthe following training tasks: analysisof SPDM tasks; preparationof SPDM Course Training Standards(CTS); preparation of SPDM Course Training Plan (CTP); and coursewaredevelopment of Training and Learning aids.

6.14 CSA will establish,in Canada,a SPDM Task Verificatton Facility (STVF) and simulation facilities for supportingSPDM developmentand operationswork. CSA will be responsiblefor STVF capabilities,including the provision of a RWS functionality if required. CSA will also provide upgradesto its MSS Engineering Support Center (ESC) and SpaceOperations Support Center to accommodate SPDM off-line and real time support.The CSA facilities will be usedfor Canadian element-uniqueactivities, includingreal time supportto SPDM operations,and to support common systemoperations as agreedwith NASA.

_ 6.15 CSA will provide MSS (SSRMS,MI% and SPDMj’ task analysis,including support to NASA in the ISS Design Analysis Cycles for proceduresrequired to berth and assemblethe RussianScience Power Platform (SPP). CSA will continue to support NASA in the SPPeffort until successfulinstallation of the SPPon ISS by: . a.) performing SSRMSberthing analysis of the SPPto ServiceModule. Analysis will be performedfor both a quasi-staticpush method and a kinetic method of berthing.Each methodwill possibly require multiple configurations(i.e. folded andunfolded probe latches).Configui-ation will be defined and agreedto within thejoint berthingteam;

b.) providing results of the analysisto NASA for joint review with RSC- Energia;

c.) participating in the test and verification planning and supporting analysisof test results;and

d.) supportingNASA in the assessmentof EVA assistedberthing methods for the SPP.The support will involve the definition of and analysisof the SSRMS’s positioning capabilities of the SPPdocking probe relative to the Service Module docking cone.

6.16 CSA’s responsibility for supportof analytic analysesfor payload activities by the SPDM will correspondto CSA’s responsibility for the SSRMS as describedin the new MOU.

6.17 CSA will provide, as agreedby the NASA and CSA SpaceStation Program Managers, SpaceStation RemoteManipulator System(SSRMS) software upgradesidentified in the Mobile ServicingSystem (MSS) End-E&EndReview, April 1997.

6.18 As part of the offset, CSA will provide six personnel,or their equivalent,to provide MSS operationssupport services(analysis and mission planning). These individuals will be stationedat locationsto be agreedby NASA and CSA operations teams.The provision of thesepersonnel and the value of their services has been taken into accountin determiningthe value of CSA’s offset.
