It is a curious reflection on the character of our treatises and law reviews that quite often what engages the attention of practitioners in their daily work is neglected in the literature of the law. This is understandable when the law and the forms in use are well settled, but the power of attorney is far from enjoying this blissful state. As far as I am aware, no book on the subject has been published in the United States and articles are rare.' The Restatement and our text books on Agency deal haphazardly with the formal power, treating it with such topics as apparent or ostensible authority and generally confusing the bilateral relationship of agency with the unilaterality of the act that is the characteristic of the formal power.2 The same confusion is to be found in the earlier foreign codes.' If this is the situation in the domestic field it is not to be wondered at that in foreign intercourse, with the complicating factors of the con- flicts in Conflict of Laws, international practitioners and businessmen engaged in ventures abroad are bedeviled with complexities which should not exist.
