Audio Sector Report AUDIO SECTOR REPORT Contact: JOHN LAMBROS Music Streaming Liftoff! Managing Director Tel: +1 (212) 999-7083 Q2 2020 [email protected] EXECUTIVE SUMMARY Q2 2020 Music Sector Wrap-Up » While COVID-19 positively impacted the growth of music streaming – as it has with online video, ecommerce and digital health and wellness apps and technologies – there were three other significant events in the quarter that impacted the sector: » First, Warner Music Group (WMG) priced its initial public offering at $25 per share for 77 million shares, raising a total of $1.925 billion at a ~$13 billion valuation ― This was the largest IPO of the year thus far in terms of dollars, most of which went to selling shareholder / owner Access Industries » Second, Goldman Sachs’ highly anticipated annual "Music in the Air" report was published in May ― While some of the near-term forecasts for live music and adjacent sectors were hurt due to the pandemic, digital music growth remained strong and the long-term outlook on the general music industry remains bullish ― Recent public market activity of music companies underpins the success of the category in Q2 despite adverse macroeconomic trends » Third, Spotify’s (SPOT) market cap appreciated over 70% since January, and we expect to see the company use its equity to continue its aggressive M&A strategy ― In May, the company announced an exclusive multi-year deal with “The Joe Rogan Experience” worth over $100 million ― In June, the company announced podcast partnerships with Warner Bros / DC Comics and Kim Kardashian West – highlighting Spotify’s continued interest in the podcasting space » Within our core music group, Music Publishers lead the public company pack, trading at 5.2x EV / 2020E Revenue and 17.9x EV / 2020E EBITDA ― DSPs also had a strong quarter, trading at 4.5x EV / 2020E Revenue and 17.7x EV / 2020E EBITDA » Strategics and financial sponsors are seeking increased exposure to this rapidly growing segment through high-profile audio financings — KKR’s investment in Artlist highlighted Q2 2020 activity — SoundCloud also announced a $75 million investment earlier in the year from Sirius XM to accelerate product development » We expect this trend to continue as the digital audio market continues to evolve with top artists splintering across emerging platforms that leverage technology to create differentiated offerings 2 TABLE OF CONTENTS I. • FACILITATING COMPETITION by REMEDIAL REGULATION Kristelia A
FACILITATING COMPETITION BY REMEDIAL REGULATION Kristelia A. García† ABSTRACT In music licensing, powerful music publishers have begun—for the first time ever— to withdraw their digital copyrights from the collectives that license those rights, in order to negotiate considerably higher rates in private deals. At the beginning of the year, two of these publishers commanded a private royalty rate nearly twice that of the going collective rate. This result could be seen as a coup for the free market: Constrained by consent decrees and conflicting interests, collectives are simply not able to establish and enforce a true market rate in the new, digital age. This could also be seen as a pathological form of private ordering: Powerful licensors using their considerable market power to impose a supracompetitive rate on a hapless licensee. While there is no way to know what the market rate looks like in a highly regulated industry like music publishing, the anticompetitive effects of these withdrawals may have detrimental consequences for artists, licensees and consumers. In industries such as music licensing, network effects, parallel pricing and tacit collusion can work to eliminate meaningful competition from the marketplace. The resulting lack of competition threatens to stifle innovation in both the affected, and related, industries. Normally, where a market operates in a workably competitive manner, the remedy for anticompetitive behavior can be found in antitrust law. In music licensing, however, some concerning behaviors, including both parallel pricing and tacit collusion, do not rise to the level of antitrust violations; as such, they cannot be addressed by antitrust law. • A Study of Music Publishers, Collecting Societies and Media Conglomerates'
Prometheus, Vol. 17, No. 2, 1999 163 The Changing Location of Intellectual Property Rights in Music : A Study of Music Publishers, Collecting Societies and Media Conglomerates' MARTIN KRETSCHMER, GEORGE MICHAEL KLIMIS & ROGER WALLIS ABSTRACT This article reports the results of a major study, conducted between 1996 and 1999, examining the impact of de-regulation and digital technologies on the global music industry . 14/e analyse four negotiations in the process of bringing music to the world market: commod#ication, globalisation, delivery, and royalty management. 141e show that the location of intellectual property rights in this process depends on the mutual bargaining power of the parties involved, within a statutory frame vesting music copyright initially in the author. 14,e describe the forces which have led to the appropriation of rights accounting for 80% of global publishing and recording revenues 1y only five companies : LA71 (U)) Bertelsmann (Germany), 141'arner (US), Sony (Japan) and Universal (Canada) . 14'e predict that this regime will not last and consider the likely future location of intellectual properly rights in music . Keywords : globalisation, information society, intellectual property, music copyright, royalty, vertical integration . Introduction Music is covered by complex intellectual property provisions . A right arises if an original musical idea is given a fixed expression ; for example, if a song is written down or recorded in some other from . This right is located in the creator of that musical idea . By an act of legislation, the musical idea turns into a copyrighted work, owned by the creator, who will have the power to prevent others from using it .

The SpringHill Company is a global consumer and entertainment brand created to empower greatness in every individual. The SpringHill Company unites three companies built by LeBron James and Maverick Carter: UNINTERRUPTED, the athlete empowerment brand, SpringHill Entertainment, the premium scripted and unscripted film and television production company and The Robot Company, the brand and culture consultancy. Empowerment is at the center of everything SpringHill does with diversity being an instinctive priority embedded into that mission from the ground up. With its workforce comprising 66% people of color, diversity is within SpringHill’s DNA. It is this diversity in thought, talent, skill and ethnicity that supports how the company shows up for the Black community. SpringHill creates content that its employees can see themselves in and by intentionally partnering with Black creatives to tell those stories. Telling diverse stories is a mandate, not an option, in a way that can entertain but still educate and steer difficult conversations to fuel necessary action. The company focuses on shining a light on stories that are the fabric of American history. Simply put: We cannot move forward until we acknowledge our past. This is evident in scripted and documentary films and series like Self-Made (Netflix) inspired by Madam C.J. Walker who created a beauty empire in the early 20th century starring Octavia Spencer and Emmy-winning doc What’s My Name, Muhammad Ali Part I (HBO) that explored Ali’s challenges, confrontations, comebacks and triumphs through recordings of his own voice. Similarly rooted upcoming projects include Dreamland: The Burning of Black Wall Street (CNN Films) that examines the violent events of the 1921 Tulsa Race Massacre and Josephine (ABC Signature) that is in development as a drama series spotlighting Josephine Baker’s impact as a legendary Jazz performer and civil rights activist.

The Boston Red Sox Thursday, April 1, 2021 * The Boston Globe With new faces, Red Sox begin quest to start anew, and put 2020 in the distance Alex Speier Opening Day typically offers the promise of renewal. Yet for the Red Sox, the first game of the 2021 season offers something more — the long-awaited opportunity for the franchise to begin officially distancing itself from the wreckage of the 2020 campaign. An active offseason represented a potential start to that undertaking. The team that is introduced prior to Thursday’s 2:10 p.m. contest against the Orioles will be drastically different from the one that last played in front of fans on Sept. 29, 2019 — a game punctuated by Mookie Betts diving across the plate in an extra- innings walkoff victory over Baltimore – and the one that opened last year’s fan-less, ill-fated, last-place slog through a compressed season. Many of the most recognizable faces in recent franchise history are now gone. The last time a home opener had fans in attendance, Mookie Betts, Jackie Bradley Jr., Andrew Benintendi, David Price, and Dustin Pedroia all collected their rings. Now, Betts and Price are Dodgers, Benintendi is a Royal, Bradley a Brewer, and Pedroia a retired dad. Still, while much has changed with those departures and the additions of players such as new leadoff hitter Kiké Hernández, outfielder Hunter Renfroe, starter Garrett Richards and late-innings contributor and Northeastern alum Adam Ottavino, there is some sense of reconnection to a time that predates the past 18 tumultuous months.
