NHL 21 1V1 TOURNAMENT PRESENTED BY MCDONALD’S OF SOUTHERN CALIFORNIA SECOND AMENDED AND RESTATED OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN NHL 21 1V1 TOURNAMENT PRESENTED BY MCDONALD’S OF SOUTHERN CALIFORNIA (“Tournament”).

By entering into the Tournament, each entrant unconditionally accepts and agrees to comply with and abide by these Second Amended and Restated Official Rules (“Official Rules”) and the decisions of Anaheim Ducks Hockey Club, LLC (“Sponsor”) which shall be final and binding in all matters relating to this Tournament. This Tournament is not sponsored, endorsed or administered by, or associated with, Facebook.

The Tournament will begin at 8:00 a.m. PST on April 14, 2021 and will end at approximately 11:59 p.m. PST on May 15, 2021 (“Tournament Period”) and consists of approximately seven (7) tournament rounds.

1. Eligibility. To be eligible to compete in the Tournament, an esports tournament for players of the NHL® ’21 video game on or PlayStation 4 (collectively, the “Consoles”), Sponsor must receive entrant’s (each, a “Player”) registration by the conclusion of the Registration Period (as defined below), and each Player must meet the eligibility requirements. Each Player may only register for the Tournament one (1) time. Any attempt by any Player to register more than one time will void all of that Player’s entries and that Player will be disqualified. All Players must be at least thirteen (13) years of age, legal residents of the State of California, and must reside in one of the following counties: Imperial, Los Angeles, Orange, Riverside, San Bernardino, San Diego, Santa Barbara, Ventura and Kern. Sponsor, Anaheim Arena Management, LLC, their respective officers, employees, directors and subsidiaries (collectively, “Sponsor Entities”) are not eligible. Players must have the legal right and any and all permissions necessary to submit the Tournament Materials (as defined below) for themselves, and by participating in the Tournament, each Player agrees that he/she has all rights necessary to enter and participate in this Tournament and grant to Sponsor the rights described in these Official Rules. If a Player is unable to participate in the Tournament as requested by the Sponsor, Sponsor reserves the right to deem that Player’s registration forfeited in its entirety and that Player will be disqualified. The Tournament is subject to all applicable federal, state, and local laws, rules, and regulations.

2. How to Register. Registration for the Tournament opens at approximately 8:00 a.m. PST on March 28, 2021 and concludes at approximately 11:59 p.m. on April 11, 2021 (“Registration Period”). Enter the Tournament by going to www.anaheimducks.com/gaming and completing the registration form. All registrations must be complete and received by the conclusion of the Registration Period. Sponsor is not responsible for late or misdirected entries, or for electronic, network, computer, hardware or software malfunctions, failures or difficulties. In the event of a dispute regarding prize claims or entries received from multiple users having the same e-mail account, the authorized subscriber of the e-mail account at the time of entry used to enter will be deemed to be the entrant and must comply with these Official Rules. Authorized account subscriber is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses.

3. Player Qualification/Seeding Process.

a. Qualification. On approximately April 14, 2021, all eligible and complete registrations received by Sponsor will be placed into pools (number of pools will be dependent on number of Players) (“Qualification Period”). The Qualification Period ends when all Players have played each Player in their pool one time (approximately two (2) weeks). Approximately the top half of Players will advance to the Tournament Period, as defined below.

b. Tournament Period. Following the conclusion of the Qualification Period, the Players who advanced will participate in the Tournament Period. Eligible Players will be seeded based on the final scores of each Player’s games during the Qualification Period. If multiple Players receive the same final score, the seeding of such Players will be based on the following criteria and will be applied in the order listed: pool play placement, points per game, wins (including overtime wins), head-to-head record, goal difference across all games played, and scored goals across all games played.

The Tournament Period will last approximately fourteen (14) days and will consist of the following rounds:

i. First Round: The Players who advanced to the Tournament Period will compete in the first round. Each bracket will be single-elimination and consist of a best of three (3) series. By winning a series, Players advance to the second round.

ii. Second Round: The Players who won a series in the first round will compete in the second round. Each bracket will be single-elimination and consist of a best of three (3) series. By winning a series, Players advance to the third round. iii. Third Round: The Players who won a series in the second round will compete in the third round. Each bracket will be single-elimination and consist of a best of three (3) series. By winning a series, Players advance to the quarterfinals. iv. Quarterfinals: Eight (8) Players will compete in the quarterfinals. Each bracket will be single-elimination and consist of a best of three (3) series. By winning a series, Players advance to the semifinals. v. Semifinals: Four (4) Players will compete in the semifinals. Each bracket will be single-elimination and consist of a best of three (3) series. By winning a series, Players advance to the finals. Players who lose a series will advance to the third place round. vi. Third Place: Two (2) Players will compete in the third place round to determine the third place winner. The bracket will be single-elimination and consist of a best of three (3) series. vii. Finals: The final two (2) Players will compete in the Finals. The bracket will be single-elimination and consist of a best of three (3) series. One Player will be the Tournament winner (the “Winner”).

4. Player Conduct. Players must adhere to the standards of sportsmanship and EA Rules of Conduct available at terms.ea.com, which are incorporated into these Official Rules and are binding on the Players.

5. In-Game Names/Avatars. In-game names/avatars are the responsibility of the Players but shall be in good taste; shall not be derogatory to Sponsor Entities; shall not violate the proprietary rights of any third party; and shall not include profanity, drugs, alcohol, phone numbers, offensive or derogatory statements that may be offensive to individuals of a specific race, gender, religion, ethnicity, sexual orientation or socioeconomic group, or other content deemed inappropriate by Sponsor. In- game names/avatars shall be subject to change as required by Sponsor in its sole discretion.

6. Sponsor’s Use of Entries and Related Materials. By submitting an entry, each Player agrees to and irrevocably assigns and transfers to Sponsor any and all right, title and interest that the Player has or may have in all registration materials and all other related materials provided to Sponsor or otherwise prepared in connection with the Tournament (collectively, “Tournament Materials”) in any way, which may or may not include the Player’s name, voice, image, photograph, likeness, city and state of residence. The Tournament Materials will not be returned to any Player and Sponsor has no obligation to provide Player with copies of Tournament Materials. Each Player acknowledges and agrees that Sponsor shall have the right, but not the obligation, to use, modify, reproduce, publish, perform, display, distribute, make derivative works of, trademark or otherwise register, and otherwise commercially and non-commercially exploit the Tournament Materials in perpetuity and throughout the universe, in any manner or medium now existing or hereafter developed, without separate compensation to any entrant or any other person or entity or prior approval by entrant or any other person or entity. Each Player agrees to take, at Sponsor’s expense, any further action (including without limitation, execution of affidavits and other documents) reasonably requested by Sponsor to effect, perfect or confirm Sponsor’s rights as set forth in this Paragraph 6.

7. Winner Notification. The Winner will be notified by Sponsor by email and (if applicable) using the email address and Twitter handle (if applicable) provided at time of registration. Sponsor will make two (2) attempts to contact the winner by the method described above within seven (7) business days after conclusion of the Tournament Period. If Sponsor is unable to reach the winner by the method described above within seven (7) days of Sponsor’s first notification, the Winner forfeits the Prize. Sponsor shall have no liability for any notification that is lost, intercepted or not received by a potential winner for any reason.

8. Prize. The Prize is dependent on the number of Players registered for each Console. In the event the number of Players for each Console are equal, the Winner of each Console will receive a maximum of $500 and an Anaheim Ducks team-signed stick (amount in Sponsor’s sole discretion); the second place Player of each Console will receive a maximum of $200 and an Anaheim Ducks autographed item (player and amount in Sponsor’s sole discretion); and the third place Player of each Console will receive a Ducks Prize Pack (items in pack in Sponsor’s sole discretion) (each, a “Prize”). The specific Prize amount may vary depending on the number of Players registered for each Console.

9. Limitation of Liability; No Warranties and Release. By entering into this Tournament, you accept and agree that (a) Sponsor Entities and their respective affiliates, officers, directors, employees and agents do not have and will not have any liability whatsoever for, and shall be held harmless against any liability for any injuries, losses or damages of any kind to persons, including death, or property resulting in or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Tournament or any Tournament related activity; or for any typographical or other error in the printing, offering or announcement of any prize; (b) the prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, expressed or implied (including, without limitation, any implied warranty of merchantability or fitness for a

4822-0687-3313, v. 1 particular purpose.); (c) Sponsor and its affiliates, officers, directors, employees and agents will have no liability whatsoever for entries that are late, incomplete or not received for any reason; and (d) except where legally prohibited, winners grant (and agree to confirm the grant in writing) permission for Sponsor, its companies, advertising and promotion agencies and those acting under their authority to use his/her name, photograph, voice and/or likeness, for advertising, trade and/or publicity purposes without additional compensation. By participating in the Tournament, you expressly waive and relinquish all rights and benefits afforded by California Civil Code Section 1542 and do so understanding and acknowledging the significance of this specific waiver of Section 1542. Section 1542 states as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” 10. Disqualification and Cancellation of Tournament. At any time during the Tournament, Sponsor reserves the right in its sole discretion to disqualify and eliminate any registration, Tournament Materials or other submission from an entrant for any reason, including but not limited to, because Sponsor believes the registration or Registration Materials do not comply with these Official Rules. In the event that a Tournament Winner is disqualified after the Tournament, an alternate Tournament winner will be selected from among the remaining eligible entries, if practicable. Sponsor reserves the right to amend these Official Rules, or terminate, suspend or modify the Tournament, in its sole discretion, for any reason. The dates and times set forth in these Official Rules are subject to change in Sponsor’s sole discretion and in the event of any such change, Sponsor will notify the entrants by posting the change on the Website.

11. Cash Value and Taxes. Tournament Winners are solely responsible for any and all expenses, and applicable federal, state and local taxes associated with claiming or using the prize. If applicable, all Tournament Winners should expect to receive a tax form 1099 for the value of the Prize as provided by current tax laws. Unless otherwise specified herein, no Prize can be redeemed for cash or replaced if lost or stolen. Sponsor Entities reserve the right to replace and/or substitute a like prize of equal value, should the Prize specified in these Official Rules, or any portion thereof be unavailable, for any reason.

12. Personal Information. Sponsor may use Player’s contact details and other information from Player’s registration, or any waiver or affidavit completed in connection with the Tournament, to contact entrant regarding the Tournament or to provide the Player relevant information about promotions or marketing materials. 13. Claiming the Prize. Sponsor may require Winner to claim the Prize in person at Sponsor’s business office at the address noted below or any other addressed as designated by Sponsor. Sponsor Entities shall have no liability for non-delivery and are not responsible for any mishandling by the U.S. Mail or any other delivery service the Prize.

14. Void Where Prohibited. This Tournament is void where prohibited or where restricted beyond the restrictions set forth in these Official Rules, by law. Sponsor does not warrant that the Tournament is valid in any particular state or jurisdiction. All applicable federal, state and local laws and regulations shall apply.

15. Winners List. Sponsor will maintain all records relating to the Tournament as required by law. For a list of Tournament winners, send a self-addressed, stamped envelope with your written request to the address below to the attention of Marketing Department: NHL 21 1v1 Tournament within six (6) weeks after the Tournament.

16. Governing Law and Jurisdiction. ALL ISSUES CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND/OR ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS, SPONSOR(S) AND/OR SPONSOR ENTITIES IN CONNECTION WITH THE TOURNAMENT (COLLECTIVELY, “TOURNAMENT CLAIMS”) SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING ANY EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS. ENTRY INTO THE TOURNAMENT GIVES EACH ENTRANT’S CONSENT TO THE SOLE JURISDICTION OF THE SUPERIOR COURTS OF ORANGE COUNTY, STATE OF CALIFORNIA. ALL TOURNAMENT CLAIMS SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND ALL SUCH CLAIMS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, BUT IN NO EVENT TO INCLUDE ATTORNEYS’ FEES.
