For U.S. GAAP purposes, as a result of our being under common control with each of these companies prior to the acquisitions, each of the acquisitions was considered a ""combination of entities under common control''. Under U.S. GAAP, combinations of entities under common control are accounted for under the ""as if pooling-of-interests'' method, whereby assets and liabilities are accounted for at historical cost and the Ñnancial statements of previously separate companies for periods prior to the combination generally are restated on a combined basis.
