Henry: The $1.5 Billion General Motors Recalls THE $1.5 BILLION GENERAL MOTORS RECALLS AT THE DANGEROUS INTERSECTION OF CHAPTER 11, ARTICLE 9, AND TARP Sally McDonald Henry* I. INTRODUCTION: THE COMPACT VERSION This article discusses how, in the General Motors Corporation (General Motors or GM)1 chapter 11 case, a group of creditors—mostly collateralized loan obligations, hedge funds, pension, and other funds2— (the Funds or the Lenders3) were paid in full, in cash, even though they had no right to the payment, which amounted to almost $1.5 billion. Not only were the Funds paid in full, but in addition, their collateral agent, JPMorgan Chase Bank, N.A. (JPMorgan), is being reimbursed for millions of dollars of legal fees, even though it has no legal right to the reimbursement.4 These improper payments occurred (and continue to occur) even though many other creditors—unsecured bondholders,5 tort creditors, mom and pop business whose existence depend on being paid * Associate Professor, Texas Tech School of Law. -

News For Release: Tuesday, October 15, 2019, 10 a.m. EDT GM Customer Care and Aftersales Announces eCommerce Price Policy Electronic Minimum Resale Price reinforces brand protection GRAND BLANC, Mich. — General Motors, through its Customer Care and Aftersales division (CCA), announced today that it will implement an Electronic Minimum Resale Price (eMRP) Policy in the U.S. for certain products, effective January 1, 2020. CCA provides automotive parts and accessories that have become known for high quality, performance and safety. The new policy allows GM to protect the overall brands, reputation, and image of GM, its dealers, and its business partners. “GM is deeply focused on brand protection and this policy is intended to safeguard the reputation of our GM Genuine Parts and ACDelco parts customers and sellers,” said Mark Drennan, general director, GM CCA. “The policy is set to ensure confidence in our products and services.” From November 1, 2019 when the policy is issued to January 1, 2020, dealers and aftermarket sellers should familiarize themselves with the new policy. Please discard PIC4696B. Condition / Concern This procedure will correct all radio theftlock concerns for the vehicles listed. Please read the following carefully! There are time limits associated with some of these steps. Therefore, if the directions are not followed properly, unnecessary wait time will occur. The mode the radio theft deterrent system is in will determine which steps to be followed. Recommendations / Instructions The TheftLock logo will appear on the face plate of the radio to indicate this radio has the protection of TheftLock. The Pontiac, Buick, Chevrolet and light trucks will have an indicator light that blinks when the vehicle is off and this feature is activated. Oldsmobile radios do not have the light indicator. The feature is activated by the customer programming a code into the radio. Instructions are in the customer's owner’s manual. The procedures in this section explains how to operate the theft lock security system. This includes unlocking the radio, removing and entering customer's code, obtaining the radio display code, and changing the customer's code. The theftlock theft deterrent feature in some models includes an LED indicator light that will blink when the ignition is off and the unit is in the secured state.
