    SUBJECT: AIRASIA X BERHAD (“AIRASIA X” OR “THE COMPANY”) - JOINT VENTURE AGREEMENT OF THAI AIRASIA X CO., LTD., AN ASSOCIATED COMPANY OF AIRASIA X (“TAAX” or “JV COMPANY”) Contents: 1. INTRODUCTION The Board of Directors of AirAsia X (“the Board”) wishes to announce that the Company had on 18th September 2013 entered into a Joint Venture Agreement (“JVA” or “Transaction”) with Mr. Tassapon Bijleveld (“TB”) and Mr. Julpas Kruesopon (“JK”), the shareholders of TAAX (collectively referred to as “the Parties”) to govern the relationship between the Parties. 2. DETAILS OF THE TAAX TAAX was incorporated on 12 March 2013 as a shelf company with registered capital of THB15. On 19 June 2013, TAAX increased its issued and paid-up share capital to THB400 million with AirAsia X holding forty nine per centum (49%), TB holding forty one per centum (41%) and JK holding ten per centum (10%). TAAX submitted its application with the Department of Civil Aviation of Thailand (“Thai DCA”) for Air Operator’s License (“AOL”) on 20 June 2013. It is expected that the approval for the AOL will be granted by the end of September 2013. Following this, TAAX will proceed with its submission for the Air Operator’s Certificate (“AOC”). Bangkok has a larger tourism and travel market (relative to Kuala Lumpur) with no current long haul low-cost carrier operator based there. Thai AirAsia Co., Ltd (“TAA”) has established a market leadership position and operates robust, profitable and growing short haul networks, that will provide feeder traffic to TAAX thus consolidating AirAsia X’s dominance in the North Asian (China, Japan, Korea) and Australian markets, by offering greater connectivity options to its customers from hubs in Kuala Lumpur and Bangkok.

    Executive Summary Executive Summary The compound annual growth rate of Thai air transport over the past 10 years (2010 – 2019) was 11.4 percent with an average annual growth rate of international passengers of 10.8 percent and average annual growth rate of domestic passengers of 12.1 percent. In 2019, there was a total of 165 million passengers which increased by only 1.8 percent compared to the previous year. Total passengers in 2019 consisted of 89 million internationl passengers which increased by 7.2 percent and 76 million domestic passengers which decreased by 3 percent compared to the previous year and is considered the first domestic passengers decline in 10 years. Considering the proportions of domestic and international passengers in 2019, there were consistent with an average growth rate of flights over 10 years of 9.8 percent per year which consisting of an international flight growth of 9.7 percent per year and domestic flight growth of 9.8 percent per year. In 2019, there was a total of 1.06 million flights which decreased by 2.7 percent from the previous year due to the airlines reduced their domestic flights and increased the number of seats on international routes. As a result, the number of domestic flights decreased by 6.89 percent from the previous year. Considering the air freight volume of Thailand during this period, an overall average volume of air freight growth was 0.8 percent per year. The total volume of air freight in 2019 was 1.49 million tons, showing a 7.9 percent decrease compared to the previous year, most of which were international air freight at Suvarnabhumi Airport.

    Sector Update March 27, 2015 Airline Sector Japan, Korea nix Thai-registered airlines Tokyo and Seoul civil aviation authorities banned new charter and scheduled flights operated by Thai-registered airlines, as they are doubtful of the Thai Civil Aviation Department's ability to meet international standards for aviation safety. Scheduled and charter flights to Japan and South Korea already operating will be immune from the ban on the condition they do not change the types of aircraft serving those routes. This event is due to the risk of the department being downgraded by the UN's International Civil Aviation Organization (ICAO) from Category A to Category B following a recent audit covering a broad range of areas relevant to aviation authority during 19-30 Jan 2015. Thailand has time to improve airlines to meet standards within 90 days and is expected to know the result of the examination in May. AWS’s comment NOK (Negative): This is expected to have a negative impact on NOK as the company holds a 51% stake in NokScoot, which planned to launch charter flights from Don Mueang to Japan but has not received an official permit to operate the route and the next scheduled flights face delays. In 2014, NOK recognized loss of around Bt60mn from NokScoot Airline Co Ltd as its business was in the beginning stage. In Jan 2015, NokScoot received a second aircraft which will increase costs. Earnings improvement for NOK from domestic routes during the tourist season and lower oil price should offset higher losses from NokScoot. AAV (Neutral): AAV (Thai Airasia) does not hold a stake in Thai Airasia X but will be slightly affected by transit passengers in local routes as Thai AirAsia X planned to launch flights from Bangkok to Sapporo on 1 May, but that is no longer on the radar.
