Scope of Work Summary

The Santa Clarita Valley School Food Services Agency (Agency) is the Lead Agency and the representative for the Super Co-Op, a USDA Foods cooperative in . For the 2019-20 school year, the Super Co- Op is comprised of 237 California recipient agencies eligible to receive and process USDA Foods, with a combined average daily participation of over 1.3 million lunches per day, representing over 234.6 million Total Lunches Served (TLS) per school year, and approximately $82.2 million in entitlement funding to purchase USDA Foods. Districts locations vary from Red Bluff in the north to Chula Vista in the south, and are of varying sizes. Large quantities (truckloads or partial truckloads) of dry, refrigerated, and frozen product will be delivered by USDA to the Provisioner at no cost to the Provisioner. The contracted work shall include the receiving, storing, and distributing of Direct Delivery USDA Foods for Member Districts of the Super Co- Op. Deliveries will be made directly to Member Districts on a weekly, bi-weekly, and/or monthly schedule, or a schedule acceptable to individual Member Districts, but not less than 30 days from receipt. After receipted delivery, the Provisioner may store products at more than one location, provided there is no additional cost to Member Districts. The Super Co-Op Administrator and/or Lead Agency will provide the distribution information for each truckload received. All product shall be stored using a First In-First Out (FIFO) inventory procedure. Product held by the Provisioner for more than thirty (30) days at the request of the member district may incur an additional charge for storage, billed directly to the member district by the Provisioner. In the 2018-19 school year, July 1 to May 31, the cooperative received approximately 670 truckloads of Direct Delivery USDA Foods in a combination of dry, refrigerated, and frozen temperatures. This solicitation requests pricing from a qualified distributor to receive, store, and deliver Direct Delivery USDA Foods for Super Co-Op Member Districts.

INSTRUCTIONS AND CONDITIONS 1. Bidders’ Conference. A mandatory Bidders’ Conference, for the purpose of acquainting prospective bidders with the unique requirements of the Agency and the Super Co-Op, will be held on Tuesday, February 5, 2019, at 1:00 PM-Pacific Time in the upstairs conference room at the Santa Clarita Valley School Food Services Agency Central Kitchen located at 25210 Anza Drive, Santa Clarita, CA 91355. Attendance is required – lack of attendance will constitute bidder disqualification due to non- responsiveness. 2. Execution of Forms. Forms must be completed in blue permanent ink or typewritten. Both unit price and extension (where applicable) for all line items must be shown where required on the Proposal Worksheet. All signatures must be in blue permanent ink to be considered acceptable. Signatures must be that of a responsible officer or employee fully authorized to bind the organization to the terms and conditions herein. Partnerships must furnish the full names of all partners and must be signed in the partnership name by a general partner. If requested by the Agency, satisfactory evidence of the authority of the officer signing on behalf of the partnership or corporation must be furnished. Bid on each item separately. Prices should be stated in units specified herein. All forms must be signed by the prospective Provisioner. Obligations assumed by such signature must be fulfilled. A Submission Checklist is included (pages 5-6) to assist bidders in ensuring that a complete proposal is returned. It is the sole responsibility of the Provisioner to ensure that proposals are received by the advertised time and the correct location. Any proposals received after the scheduled closing date and time will be returned unopened. No oral, facsimile, electronic or telephonic proposals will be accepted. No modifications of any proposal submitted will be accepted in any form or communication method. Submit all required forms in a sealed envelope. The outside of the envelope shall contain the name of the Provisioner, RFP number, opening date, and time. Provisioner shall fully answer each question on the Proposal Worksheet. A proposal may be deemed non-responsive if all questions are not answered. 3. Errors and Corrections. No erasures are permitted. Mistakes may be crossed out and corrections made adjacent and initialed in ink by the person signing the bid. Verify your bids before submission as they cannot be corrected after being opened or withdrawn until after the specified time period has elapsed. 4. Modifications. Changes or additions to the bid forms, alternate bids, or any other modifications of the bid forms is not allowed.

5. Clarifications and Addenda. All bidders will be responsible for obtaining any addendums or revisions to the project. Questions, clarifications, or comments regarding this RFP must be in writing and received by the Santa Clarita Valley School Food Services Agency no later than midnight on February 5, 2019. Questions are to be e-mailed to [email protected]. The Santa Clarita Valley School Food Services Agency shall not be obligated to answer any questions received after the above specified deadline or any questions submitted in a manner other than as instructed above. Any addenda released shall be posted in the same manner as the RFP document at www.scvschoolnutrition.org by selecting “Bid Documents.” 6. Withdrawal of Proposals. A Provisioner may withdraw a proposal by letter or in person prior to the time designated for submission. Proposals may not be withdrawn after this time. A successful bidder shall not be relieved of the bid submitted without the consent of the Agency or bidders recourse to Public Contract Code Sections 5100 et. seq. 7. Failure to Bid. If you do not wish to bid on any item, please mark "no bid" on RFP Signature Page, sign and return the bid, otherwise your name may be removed from the bidder's mailing list. 8. Member Districts & Delivery Locations. A list of SY2019-20 Super Co-Op Member Districts is included as Attachment A. A list of SY2018-19 delivery locations is included as Attachment B. 9. Member District Additions and Deletions. For the term of the Contract and any mutually agreed extensions pursuant to this request for proposal, at the option of the Provisioner and the Agency, member districts of the Super Co-Op may be added to or deleted from this Proposal. 10. Department Of Defense Fresh Produce. In some cases, Member Districts may choose, but are not obligated, to direct Department of Defense (DoD) Fresh Produce through the Provisioner warehouse for delivery to the Member District. In this case, the produce would be delivered by the DoD Fresh Produce federally contracted distributor at no charge to the Provisioner and the Provisioner would deliver the produce to the Member District. Please quote on this optional service in Paragraph 11 of the Proposal Worksheet. A list of Member Districts participating in this process for the 2018-19 school year is included as Attachment C. 11. Notification of Receipt. The Provisioner shall notify each Member District via electronic or web- based communication when product is received and ready to ship. The Provisioner shall coordinate shipments to Member Districts. 12. Delivery to member districts. The Provisioner shall deliver all USDA Foods to Super Co-Op member districts in accordance with records, as provided by the Super Co-Op Administrator or Lead Agency. 13. Storage and Delivery. The Provisioner shall deliver Direct Delivery USDA Foods directly to Member Districts on a weekly, bi-weekly, and/or monthly schedule, or a schedule acceptable to individual Member Districts. USDA Foods shall be delivered within thirty (30) calendar days of receipt at the Provisioner warehouse unless a request for long-term storage, or pick-up by a Member District is made. USDA Foods help longer than third (30) days at the request of the Member District may incur an additional charge for storage, billed directly to the Member District by the Provisioner. This fee for storage shall be entered on the Proposal Worksheet in Paragraph 8. The Provisioner, with permission from the Member District, may hold shipment longer than thirty (30) days for the purpose of combining deliveries, however, the Member District may not be charged additional fees for storage and handling in this case.

14. Member District Pick-Up. A Member District may choose to pick up product directly from the Provisioner. Please quote any fees for this process in Paragraph 2 of the Proposal Worksheet. 15. Damages and Shortages. Damaged containers will not be accepted by Member Districts. Inspection and acceptance of all items shall be at the final delivery destination. Credit will be required for delivery charges for damaged or unacceptable products. The Provisioner shall notify the Lead Agency of any damage at delivery to a Member District within 10 days of such occurrence. Current USDA Fair Market Value shall be paid directly to the Member District for any product damaged during delivery. 16. Reporting Shortages, Damaged Goods, and Delivery Discrepancies. Reports of all shortages, damaged goods, and delivery discrepancies shall be forwarded to the Administrator and Agency within 10 working days. 17. Product Storage. All products shall be stored using the First In-First Out (FIFO) storage method. After receipted delivery, the Provisioner may store products at more than one location, provided there is no additional cost to Member Districts. The Provisioner shall maintain product storage consistent with regulations outlined in Paragraphs 18 and 19 of this document. The Provisioner shall maintain adequate records of receipt, storage, and delivery to ensure traceability to USDA records of delivery. 18. Sanitation. The Provisioner shall maintain a storage facility and distribution equipment which comply with any and all applicable county, state, and federal laws, rules, and regulations for the storage, handling, and distribution of food products, including, but not limited to, USDA rules and regulations pertaining to storage facilities. USDA Foods storage and dating specifications are available online at www.fns.usda.gov in USDA Policy Memo FD-107 dated November 21, 2017, titled “Donated Food Storage, Distribution, and Product Dating (Revised).” The Provisioner shall transport all items in vehicles that maintain appropriate temperatures so as to ensure the integrity of the products being delivered. The Provisioner shall demonstrate to the Agency, when requested, proof of compliance with applicable laws, rules, and regulations. 19. Food Safety & Plant Security Procedures. The Provisioner shall maintain appropriate and effective food safety and plant security procedures so as to guard against spoilage, pest infestation, or contamination, including intentional contamination or adulteration. Evidence of these procedures must be provided as part of the Proposal. 20. Outdated Product. The Provisioner will work with the Super Co-Op Lead Agency and Administrator to identify and donate/dispose of any outdated product. The Agency and Administrator shall be notified in writing prior to disposal or donation to an approved non-profit agency. 21. Surplus (Unassigned) Product. On occasion there are cases of product that are not assigned to a Member District that will be held in storage at the Provisioner’s warehouse until assigned to a Member District. This service shall be at no additional charge to the Agency or Member Districts. 22. Physical Inventory. The Provisioner shall perform a physical inventory and reconciliation to member district allocation records at least every 6 months and provide results to the Super Co-Op Lead Agency. Replacement of missing product shall be made at market value or remuneration paid at current USDA Fair Market Value. 23. Pricing. Provisioner shall quote prices in the manner set forth on the Proposal Worksheet. Prices quoted shall be for all Super Co-Op Member District locations (Attachment B).

24. FOB. All pricing is FOB delivered to the Super Co-Op Member District locations. All freight charges must be included in the bid price. Any minimum delivery amounts must be listed with the bid price on the Proposal Worksheet. 25. Invoices. A legible delivery receipt shall accompany all deliveries to Member District sites and a legible delivery discrepancy receipt shall be left at the delivery site in the case of a return or shortage. Credits shall be issued in a timely manner. Reports of all shortages, damaged goods, and delivery discrepancies shall be forwarded to the Super Co-Op Administrator and Lead Agency within 10 working days. 26. Payment. Prompt payment for the delivery of Direct Delivery USDA Foods products may be requested after actual delivery of goods to the required destination as outlined in the conditions. Member districts are solely responsible for payment to the Provisioner for product stored or delivered on their behalf. Extended storage fees shall be billed on a monthly basis directly to the Member District. 27. Term of Contract. Minimum contract term is one (1) year. Quoted prices must stay in effect for one (1) year beginning on July 1, 2019 through June 30, 2020. 28. Multi-Year Extensions. Pursuant to California Education Code, Section 17596, this bid may be extended (by mutual consent expressed in writing) for up to four (4) additional one (1) year increments for a total potential bid life of five (5) years from the first date of service. The extension may be granted on a year by year basis provided that the Agency has deemed the products and services of the Provisioner satisfactory. A price increase change may be negotiated subject to existing market conditions. The request for a price change must be submitted in writing and include justification for the request. Prices that are subject to increase for each period shall be based upon percentage increase in the annual Consumer Price Index (C.P.I.) for all urban consumers for the Los Angeles/Riverside/Orange County area, not to exceed five percent (5%). The adjustments to the agreement rate (prices) schedule, if any, shall be evaluated by using the percentage of change between the previous year and the current year's Consumer Price Index published by the U.S. Department of Labor’s Bureau of Labor Statistics. The specific index to be reviewed is the C.P.I. for Los Angeles-Long Beach-Anaheim (representing Los Angeles and Orange Counties) - All Items Less Shelter, comparing the current year February to the prior year February rates, typically released in the month of March. The price change should be presented in writing not less than 90 days prior to the contract renewal date. 29. Access to WBSCM. Provisioner shall gain and maintain access to the U. S. Department of Agriculture Web Based Supply Chain Management (WBSCM) system to report and manage deliveries of Direct Delivery USDA Foods in accordance with federal procedures. 30. Award of Proposal. The award of this solicitation is expected to be made in a timely manner and shall be made to one responsive and responsible bidder who meets the terms and conditions of the RFP. The bidder must deliver the items within the required delivery date in order to be declared responsive to this bid. The Agency reserves the right to make no award at all, reserves the right to reject any and all proposals and to waive any irregularity or discrepancy associated with this RFP. Unsolicited services or incentives offered as part of the RFP response will NOT be evaluated or considered in the award process.

Proposals found to satisfy the minimum qualification requirements will be evaluated against the evaluation criteria shown below by a review committee. “Minimum qualifications” shall mean: complete proposals meeting all RFP instructions and conditions, received by the due date and time. Following the receipt of Proposals, bidders shall be ranked based on the following criteria:

Each Proposal will be evaluated based on criteria and priorities defined by the Agency, with specific attention to those features, functional and technical aspects noted for each section. The Agency’s evaluation panel will award the contract based on the prospective Provisioner submission that best meets the needs of the Agency with regard to the RFP specifications contained herein. Presentations/Interviews (if needed) may be requested by the evaluation panel. Provisioners are advised that award may be made without interviews or further discussion. If presentations/interviews are needed, bidders will receive notification to interview with evaluation panel. The evaluation panel will commence on or about 1 week following proposal deadline in the southern California area. 31. Execution of Contract. The successful Provisioner shall, within fourteen (14) calendar days of notice of award of contract, sign and deliver to the Agency the executed contract along with all documents required by the contract. 32. Evidence of Responsibility and Business Sustainability. Prospective Provisioner shall submit with their proposal, evidence showing the Provisioner’s experience in the type of work being required by this solicitation, the Provisioner’s organization available for the performance of the contracted work, and any other evidence of the Provisioner’s qualifications to perform the proposed services. In addition, provide evidence of sustainability of the business including current or proposed management of financial, social and environmental risks, obligations and opportunities. If requested in writing with the proposal, the Agency will not publically disclose this information upon opening of proposals. The Agency may consider such evidence before making the decision to award the proposed contract. In addition, Provisioner shall open their facilities for inspection by the Agency prior to the contract award, and if awarded, at any time during the life of the contract. 33. Customer References. The Provisioner will provide contact information for five (5) customers for whom similar services were provided within the past three (3) years. 34. Failure to Fulfill Contract. When any contractor or Provisioner shall fail to deliver any article or service or shall deliver any article or service which does not conform to the specifications, the Agency may, at its sole discretion, annul and set aside the contract entered into with said Provisioner or

contractor, either in whole or in part, and make and enter into a new contract for the same items in such manner as seems to the Board of Directors to be to the best advantage of the Agency. Any failure for furnishing such articles or services by reason of the failure of the Provisioner or contractor, as above stated, shall be a liability against such Provisioner and his sureties. The Board of Directors reserves the right to cancel any articles or services which the successful bidder may be unable to furnish because of economic conditions, governmental regulations or other similar causes beyond the control of the bidder provided satisfactory proof is furnished to the Board or Directors, if requested. Failure to fulfill contract may result in bidder disqualification in subsequent year(s) due to non- responsible practices. 35. Solicitation Protest Procedures. Consistent with Board Policy 3311 regarding Bids, bid protests will be conducted as per Administrative Regulation 3311 of the Board Policies, Regulations and Bylaws of the Board of Directors of the Santa Clarita Valley School Food Services Agency as follows: “A bidder may protest a bid award if he/she believes that the award is not in compliance with law, Board policy, or the bid specifications. A protest must be filed in writing with the CEO or designee within five working days after receipt of notification of the contract award and shall include all documents supporting or justifying the protest. A bidder's failure to file the protest documents in a timely manner shall constitute a waiver of his/her right to protest the award of the contract. The CEO or designee shall review the documents submitted with the bidder's claims and render a decision in writing within 30 working days. The CEO or designee may also convene a meeting with the bidder in order to attempt to resolve the problem. The bidder may appeal the CEO or designee's decision to the Board. The CEO or designee shall provide reasonable notice to the bidder of the date and time for Board consideration of the protest. The Board's decision shall be final. 36. Hold Harmless. The Provisioner shall save, defend, hold harmless and indemnify the Agency and its members against any and all liability, claim, and costs of whatsoever kind and nature for injury to or death of any person and for loss or damage to any property occurring in connection with or in any way incident to or arising out of the occupancy, use, service, operations, or performance under the terms of this contract, resulting in whole or in part from the negligent acts or omissions of Provisioner, and subcontractor, or any employee, agent, or representative of Provisioner and/or subcontractor. Refer also to the Provisioning Contract. 37. Insurance. The Provisioner shall carry and maintain during the entire term of this Contract the following insurance coverage: The Provisioner shall insure against loss or damage or any kind occurring to the USDA Foods including, but not limited to mis-delivery, theft, fire, spoilage, infestation, and destruction. Replacement of product shall be made at market value or remuneration paid at current USDA Fair Market Value. In addition, the Provisioner shall provide at the Provisioner expense, property liability insurance and general liability insurance in the amount of not less than $1,000,000 per occurrence and $5,000,000 aggregate, automobile liability in the amount of $1,000,000 combined single limit per occurrence for bodily injury and property damage, and Workers’ Compensation and Employers’ Liability limits as required by the Labor Code and the State of California. 38. Cancellation for Insufficient or Non-Appropriated Funds or USDA Foods Products. The bidder hereby agrees and acknowledges that monies utilized by the Agency and its Member Districts to purchase the items bid herein is public money appropriated by the federal government and/or State of California or acquired by the Agency and Member Districts from similar public sources and is subject to variation. The Agency fully reserves the right to cancel this bid at any time and/or to limit quantities of items due to non-availability or non-appropriation of sufficient funds and/or lack of availability of USDA Foods products. 39. Super Co-Op Governing Rules and Direct Delivery Storage Policy. The Super Co-Op Governing Council maintains Governing Rules and a policy for storage of Direct Delivery USDA Foods. Prospective Provisioner should acquaint themselves with these polices, found in Attachment D, and be aware of any provisions that may affect the implementation of this contract. These policies are subject to change and any changes will be mutually agreed upon by the parties of this contract prior to implementation. 40. Certifications and Disclosures. Each bidder submitting a proposal shall execute and deliver the following forms attached to this document: a. Suspension and Debarment Certification b. Certification Regarding Lobbying c. Disclosure of Lobbying Activities d. Noncollusion Declaration e. Iran Contracting Act Certification Failure to submit these documents shall be grounds to reject the proposal as non-responsive. 41. Piggyback Clause. No additional entities are authorized to piggyback on this Proposal. 42. Default. If the Provisioner fails or neglects to furnish or deliver any of the materials or services listed herein at the prices named and at the times and places stated or otherwise fails or neglects to comply with the terms of the contract in its entirety, the Agency may, at its sole discretion, cancel this agreement in whole or part, and enter into a new agreement for the same services in such a manner as seems to be the best advantage for the Lead Agency and the Member Districts of the Super Co-Op. 43. Prevailing Law. In the event of any conflict to ambiguity between these instructions and state or federal law or regulations, the latter shall prevail. Additionally, all products and equipment to be supplied or services to be performed under this proposal shall conform to all applicable requirements of local, state, and federal law. 44. Good Faith Agreement. It is the intent of the Agency and the Member Districts of the Super Co-Op to take action on the contract that results from the award of this Request for Proposals in an honest and trustworthy manner and expects the successful Provisioner to act in a like manner. Both parties will work in good faith to reach a mutually agreeable conclusion should discord arise, without the need for an arbitrator. 45. Conveyance. The current Lead Agency for the Super Co-Op is the Santa Clarita Valley School Food Services Agency. Should the duties of the Lead Agency be conveyed to another Member District for any reason whatsoever during the term of the contract or extensions, by mutual consent of both parties involved in the contract, the agreement may be assumed by the new Lead Agency and the terms of the contract will be fulfilled for the duration of the contract period.

DRAFT PROVISIONING CONTRACT

THIS PROVISIONING CONTRACT (this “Contract”) is made and entered into as of this ______day of ______, 2019, by and between ______(“Provisioner”), and the Santa Clarita Valley School Food Services Agency (“Agency”). This contract is for the distribution of Direct Delivery USDA Foods for Super Co-Op Member Districts.

R E C I T A L S

A. The Agency, on behalf of certain USDA Foods Recipient Agencies in California (“Districts”) has solicited proposals for the provision of distribution of Direct Delivery USDA Foods for Super Co- Op Member Districts via a Request for Proposals (“RFP”), whereby the Agency or Districts agree to use the successful bidder for the purpose of distribution of Direct Delivery USDA Foods to all Super Co-Op Member Districts. B. “Provisioner” is the successful bidder under such request for proposals, and the Agency, Districts and Provisioner hereby desire to set forth their agreement with respect to the sale of distribution services to the Agency and Districts, on the terms and conditions hereinafter set forth. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Provisioner, Agency, and the Districts hereby agree as follows:

1. Delivery of Food Products. The contracted work shall include the receiving, storing, and distributing of Direct Delivery USDA Foods for Member Districts of the Super Co-Op. Large quantities (truckloads or partial truckloads) of dry, refrigerated, and frozen product will be delivered by Department of Agriculture (USDA) contracted common carrier at no cost to the Provisioner. The Super Co-Op Administrator (“Administrator”) or Agency shall provide records of allocation to Districts for contents of each truckload to the Provisioner. 2. Notification of Arrival. Provisioner shall provide notification of arrival of each load of USDA Foods to the USDA and Administrator within 48 hours of receiving. Notification to USDA shall be made through the Web Based Supply Chain Management (WBSCM) per USDA regulations and procedures. All bills of lading shall be forwarded to the Administrator promptly for retention. 3. Notification of Arrival to Member Districts. Provisioner shall provide notification to each Member District via electronic or web-based communication when product is received and ready to ship. The Provisioner shall coordinate shipments to Member Districts. 4. Frequency of Delivery to Member Districts. Provisioner shall deliver Direct Delivery USDA Foods directly to Member Districts on a weekly, bi-weekly, or monthly schedule, or a schedule acceptable to the individual Member District. Product will be delivered within thirty (30) calendar days of receipt unless other arrangements have been made by the Member District. USDA foods held by the Provisioner for longer than thirty (30) days at the request of the Member District may incur an

additional charge for storage, billed directly to the Member District by the Provisioner. The Provisioner, with permission of the Member District, may hold shipment longer than thirty (30) days for the purpose of combining deliveries, so long as the Member District is not charged additional fees for storage and handling. 5. Member District Pick-Up. A Member District may choose to pick up product directly from the Provisioner. 6. Damages and Shortages. Damaged containers will not be accepted by Member Districts. Inspection and acceptance of all items shall be at the final delivery destination. Credit will be required for delivery charges for damaged or unacceptable products. The Provisioner shall notify the Lead Agency of any damage at delivery to a Member District within 10 days of such occurrence. Current USDA Fair Market Value shall be paid directly to the Member District for any product damaged during delivery. 7. Reporting Shortages, Damaged Goods, and Delivery Discrepancies. Reports of all shortages, damaged goods, and delivery discrepancies shall be forwarded to the Administrator and Agency within 10 working days. 8. Product Storage: All products shall be stored using the First In-First Out (FIFO) storage method. After receipted delivery, the Provisioner may store products at more than one location, provided there is no additional cost to Member Districts. The Provisioner shall maintain product storage consistent with regulations outlined in Paragraph 9 of this document. The Provisioner shall maintain adequate records of receipt, storage, and delivery to ensure traceability to USDA records of delivery. 9. Sanitation. The Provisioner shall maintain a storage facility and distribution equipment which comply with any and all applicable county, state, and federal laws, rules, and regulations for the storage, handling, and distribution of food products, including, but not limited to, USDA rules and regulations pertaining to storage facilities. USDA Foods storage and dating specifications are available online at www.fns.usda.gov in USDA Policy Memo FD-107 dated November 21, 2017, titled “Donated Food Storage, Distribution, and Product Dating (Revised).” The Provisioner shall transport all items in vehicles that maintain appropriate temperatures so as to ensure the integrity of the products being delivered. The Provisioner shall demonstrate to the Agency, when requested, proof of compliance with applicable laws, rules, and regulations. 10. Food safety & plant security procedures. The Provisioner shall maintain appropriate and effective food safety and plant security procedures so as to guard against spoilage, pest infestation, or contamination, including intentional contamination or adulteration. Evidence of these procedures must be provided as part of the Proposal. 11. Outdated Product. The Provisioner will work with the Super Co-Op Lead Agency and Administrator to identify and donate/dispose of any outdated product. The Agency and Administrator shall be notified in writing prior to disposal or donation to an approved non-profit agency. 12. Surplus (Unassigned) Product. On occasion there are cases of product that are not assigned to a Member District that will be held in storage at the Provisioner’s warehouse until assigned to a Member District. This service shall be at no additional charge to the Agency or Member Districts. 13. Department Of Defense Fresh Produce. In some cases, Member Districts may choose, but are not obligated, to direct Department of Defense (DoD) Fresh Produce through the Provisioner warehouse for delivery to the Member District. In this case, the produce would be delivered by the DoD Fresh Produce federally contracted distributor at no charge to the Provisioner and the Provisioner would deliver the produce to the Member District. 14. Physical Inventory: The Provisioner shall perform a physical inventory and reconciliation to member district allocation records at least every 6 months and provide results to the Super Co-Op

Lead Agency. Replacement of missing product shall be made at market value or remuneration paid at current USDA Fair Market Value. 15. Pricing. 16. Invoices. A legible delivery receipt shall accompany all deliveries to Member District sites and a legible delivery discrepancy receipt shall be left at the delivery site in the case of a return or shortage. Credits shall be issued in a timely manner. 17. Payment. Prompt payment for the delivery of Direct Delivery USDA Foods products may be requested after actual delivery of goods to the required destination as outlined in the conditions. Member districts are solely responsible for payment to the Provisioner for product stored or delivered on their behalf. Extended storage fees shall be billed on a monthly basis directly to the Member District. 18. Term of Contract. This contract shall be valid from July 1, 2019 through June 30, 2020. However, upon mutual agreement of Santa Clarita Valley School Food Services Agency and the Provisioner before the end of the contract period, the contract may be continued for an additional school year. Pursuant to California Education Code, Section 17596, this contract may be extended (by mutual consent expressed in writing) for up to four (4) additional one (1) year increments for a total potential bid life of five (5) years from the first date of service. The extension may be granted on a year by year basis provided that the Agency has deemed the products and services of the Provisioner satisfactory. A price increase change may be negotiated subject to existing market conditions. The request for a price change must be submitted in writing and include justification for the request. Prices that are subject to increase for each period shall be based upon percentage increase in the annual Consumer Price Index (C.P.I.) for all urban consumers for the Los Angeles/Riverside/Orange County area, not to exceed five percent (5%). The adjustments to the agreement rate (prices) schedule, if any, shall be evaluated by using the percentage of change between the previous year and the current year's Consumer Price Index published by the U.S. Department of Labor’s Bureau of Labor Statistics. The specific index to be reviewed is the C.P.I. for Los Angeles-Long Beach-Anaheim (representing Los Angeles and Orange Counties) - All Items Less Shelter, comparing the current year February to the prior year February rates, typically released in the month of March. The price change should be presented in writing not less than 90 days prior to the contract renewal date. 19. Member District Additions and Deletions: For the term of the Contract and any mutually agreed extensions pursuant to this request for proposal, at the option of the Provisioner and the Agency, Member Districts of the Super Co-Op may be added to or deleted from this Contract. 20. Good Faith Agreement: It is the intent of the Agency and the Member Districts of the Super Co-Op to take action on the contract that results from the award of this Request for Proposals in an honest and trustworthy manner and expects the successful Provisioner to act in a like manner. Both parties will work in good faith to reach a mutually agreeable conclusion should discord arise, without the need for an arbitrator. 25. Conveyance: The current Lead Agency for the Super Co-Op is the Santa Clarita Valley School Food Services Agency. Should the duties of the Lead Agency be conveyed to another Member District for any reason whatsoever during the term of the contract or extensions, by mutual consent of both parties involved in the contract, the agreement may be assumed by the new Lead Agency and the terms of the contract will be fulfilled for the duration of the contract period. 26. Insurance. Provisioner shall carry and maintain during the entire term of this Contract the following insurance coverage: (1) Comprehensive General Liability Insurance for Combined Single Limit Bodily Injury and/or Property Damage of not less than $1,000,000 per occurrence and $5,000,000 aggregate. The policy(ies) so secured and maintained shall include, among other things, coverage for contractual or assumed liability, products liability, and owned, hired and non-owned automobiles insurance and shall be maintained with so self-insured retention; (2) Workers’ Compensation Insurance in such amounts as may be required by law; and (3) Such other insurance as is customarily maintained by large-scale processors and distributors of food products of the type, quality and grade provided for under this Contract. (4) Provisioner shall furnish to the Agency certificates of insurance, signed by an authorized representative of the insurance carrier no later than thirty (30) days after the Agency’s board’s approval of the Contract or prior to the first delivery of food products hereunder, whichever occurs first, which certificates shall be endorsed as follows: i This policy shall not be suspended, cancelled, reduced in coverage or required limits of liability or amounts of insurance or non-renewed until notice has been mailed to the Agency. Date of suspension, cancellation, reduction or non-renewal may not be less than thirty (30) days after the date of mailing such notice. The insurance afforded by this policy is primary and any other insurance carried by the Agency with respect to the matters covered by such policy shall be excess and non-contributing. ii The certificates of insurance and insurance policies required under this Contract shall name the Agency and the other District indemnities named in the Request for Proposals as additional insured. Facsimile or reproduced signatures are not acceptable. If complete and proper insurance certificates as required hereunder are not delivered to the Agency within the time period provided in subsection (4) above, the Agency may declare the Contract unexecuted and void. The Agency reserves the right to require complete certified copies of the required insurance policies. iii The insurance companies providing the insurance required under this Contract shall be subject to the Agency’s prior written approval, which shall not be unreasonably withheld.

iv If Provisioner fails to purchase and maintain any insurance required under this Section, the Agency may, but shall not be obligated to, upon five (5) days’ written notice to Provisioner, purchase such insurance on behalf of Provisioner and shall be entitled to be reimbursed by Provisioner promptly thereafter or deduct the amount of such premiums from amounts otherwise due to Provisioner hereunder. Any amounts expended by the Agency hereunder shall bear interest from the date expended until repaid to the Agency at the rate of ten percent (10%) per annum. 27. Indemnification. Provisioner shall hold harmless, indemnify and defend (with counsel acceptable to the Agency) the Agency, the Districts, their boards, directors, employees, agents and consultants from and against any and all obligations, liabilities, claims, losses, damages, costs and expenses (including attorneys’ fees and costs) arising from or in connection with (a) any defects in the food products, (b) Provisioner’s conduct or negligent, willful or improper procedures in connection with the discharge of its responsibilities and obligations hereunder (including, without limitation, the processing of food products) or any other negligent behavior or willful misconduct of Provisioner, or (c) any breach or default by Provisioner under this Contract. The terms and provisions of this Section shall survive the expiration or earlier termination of this Contract. 28. Default Remedies. The delivery of defective products, or the breach of any other term or provision of this Contract by Provisioner, shall constitute a “Default” of Provisioner hereunder. Provisioner shall have seven (7) days after delivery of notice of any Default from the Agency to cure any such Default, other than a Default relating to the delivery of defective products. No cure period shall be provided Provisioner with respect to any Default relating to the delivery of defective products. If Provisioner fails to cure the Default within the aforementioned cure period (or the Default relates to the delivery of defective products for which no cure period applies), the Agency may, without prejudice to any other right or remedy of the Agency, elect to terminate this Contract by delivery of a written termination notice to Provisioner. Immediately upon the delivery of such termination notice, this Contract shall be terminated and all rights and obligations of the parties hereunder, except those that expressly survive the termination of this Contract, shall terminate and be of no further force or effect. In addition to the right to terminate the Contract pursuant in the preceding sentence, the Agency may pursue any other right or remedy that may be available to it at law or in equity, which may include an action for damages measured by all additional costs and expenses incurred by the Agency or the Districts to procure food products from other sources for the remaining term of this Contract (including, without limitation, the difference between the price charged by such other sources for the food products and the price that would have been charged for the same or similar food products hereunder). 29. Provisions Required by Law. Each and every provision of law and clause required to be inserted into this Contract shall be deemed to be inserted herein and this Contract shall be read and enforced as though it were included herein, and if through mistake or otherwise any such provision is not inserted or is not inserted correctly, then upon application of either party this Contract shall forthwith be physically amended to make such insertion or correction. 30. Due Authorization. This Contract is duly authorized, executed and delivered by Provisioner, is the legal, valid and binding obligation of Provisioner enforceable against Provisioner in accordance with its terms (except to the extent that such enforcement may be limited by applicable bankruptcy, insolvency, moratorium and other principles relating to or limiting the rights of contracting parties generally), and does not and will not violate any provisions of any agreement to which Provisioner is

a party or may become a party or to which is it subject or may become subject. Each individual and entity executing this Contract hereby represents and warrants that he, she or it has the capacity set forth on the signature page hereof with full power and authority to bind the party on whose behalf he, she or it is executing this Contract to the terms and provisions hereof. 31. Assignment. Provisioner shall not assign or transfer, by operation of law or otherwise, any or all of its rights, burdens, duties or obligations under this Contract (or any part hereof) without the prior written consent of the Agency, which may be granted or withheld in the Agency’s sole and absolute discretion. 32. Notices. All notices, requests, demands, consents, instructions or other communications hereunder shall be in writing (which shall include telex, telegram or telecopy) and shall be deemed to have been duly given or made upon transmittal thereof by telex, answer back received, if transmitted on a business day, otherwise on the first business day after transmittal, or on the date of confirmed dispatch if sent by telecopy on a business day, otherwise on the first business day thereafter, or upon the delivery thereof to the telegraph office if sent by telegraph on a business day, otherwise on the first business day thereafter, or three (3) business days after deposit in the mail if sent by certified mail, postage prepaid, return receipt requested, or on the next business day if sent by overnight personal delivery, in each case addressed to the party to which such notice is requested or permitted to be given or made hereunder, at the addresses and facsimile numbers set forth underneath such party’s signature line to this Contract, or at such other address and/or facsimile number of which such party shall have notified in writing the party giving such notice. For purpose of this Contract, the term “business day” shall mean a day other that a Saturday, Sunday or any day on which the Agency is authorized or required by law to be closed. 33. Attorneys’ Fees. In the event of any dispute between the Agency, Districts, and Provisioner pertaining to this Contract or the services or products provided for hereunder, the prevailing party (as determined by the court or arbitrator in any such action) shall be entitled to recover from the other party its reasonable attorneys’ fees, costs and expenses incurred in connection therewith. The term “attorneys’ fees” or “attorneys’ fees and costs” shall mean the fees and expenses of counsel to the parties hereto, which may include printing, photo-stating, duplicating and other expenses, air freight charges, and fees billed for law clerks, paralegals and other persons not admitted to the bar but performing services under the supervision of an attorney, and the costs and fees incurred in connection with the enforcement or collection of any judgment obtained in any such proceeding. The terms and provisions of this Section shall survive the expiration or earlier termination of this Contract. 34. Waiver. No action or failure to act by the Agency or any Agency or District representative shall constitute a waiver of a right or duty afforded them under this Contract, nor shall such action or failure to act constitute approval of, or acquiescence in, a breach there under, except as may be specifically agreed in writing. 35. Entire Agreement: Amendments. This Contract and all documents comprising the RFP constitute the entire and integrated agreement between the parties hereto with respect to the matters set forth therein and supersede all prior negotiations, representations or agreements, either written or oral. Code of Ethics and Conduct for Employees Engaged in Award and Administration of Contracts

Background This document is intended to provide guidance to employees of the Santa Clarita Valley School Food Services Agency (SCVSFSA) that are engaged in the award and administration of contracts and other conduct related to procurement of goods and services. 7 CFR 3016.36(b)(3) and 3019.42, require entities receiving federal funds to develop and implement a written code of conduct designed to govern the performance of employees engaged in procurement. SCVSFSA Board Policy 9270 outlines additional conflict of interest requirements under the California Political Reform Act. This document will summarize these requirements and provide guidance for SCVSFSA employees. SCVSFSA Board Policy SCVSFSA Board Policy 9270 requires that employee shall not make, participate in making, or in any way use or attempt to use his/her official position to influence a governmental decision in which he/she knows or has reason to know that he/she has a disqualifying conflict of interest. A conflict of interest exists if the decision will have a "reasonably foreseeable material financial effect" on one or more of the Board member's or designated employee's "economic interests," unless the effect is indistinguishable from the effect on the public generally or the Board member's or designated employee's participation is legally required. (Government Code 87100, 87101, 87103; 2 CCR 18700-18709) Board members, employees, or SCVSFSA consultants shall not be financially interested in any contract made by the Board on behalf of SCVSFSA, including in the development, preliminary discussions, negotiations, compromises, planning, reasoning, and specifications and solicitations for bids. If a Board member has such a financial interest, the SCVSFSA is barred from entering into the contract. (Government Code 1090; Klistoff v. Superior Court, (2007) 157 Cal.App. 4th 469) Board members and designated employees may accept gifts only under the conditions and limitations specified in Government Code 89503 and 2 CCR 18730. The limitation on gifts does not apply to wedding gifts and gifts exchanged between individuals on birthdays, holidays, and other similar occasions, provided that the gifts exchanged are not substantially disproportionate in value. (Government Code 89503) Gifts of travel and related lodging and subsistence shall be subject to the current gift limitation except as described in Government Code 89506. A gift of travel does not include travel provided by SCVSFSA for Board members and designated employees. (Government Code 89506) Acceptance of Gifts by SCVSFSA Personnel Employees of the SCVSFSA are prohibited from soliciting gifts, travel packages, and other incentives from current or prospective contractors for personal use. “Gifts” are considered an item or items purchased specifically for an individual that is not generally offered to other business interests. Employees shall not expect or accept gifts as a condition for providing services to the Agency.

Page 34 Employees may not accept gratuities, compensation, or gifts of any kind in excess of $50.00 per occasion, or $460.00 per year from any one source, expressly from current or prospective contractors, for personal use. Any gifts with value of $50.00 or more shall be immediately reported to the Chief Executive Officer (CEO). This does not prohibit employees from accepting unsolicited gifts of a nominal value such as promotional items (e.g., calendars, notebooks, pens, or gadgets) that are offered to all as part of their marketing program. This does not restrict the acceptance of gifts or tokens of minimal value delivered in recognition or appreciation of service from sources other than current or prospective contractors. Agency staff is expected to exercise sound professional judgement in the acceptance of gifts. Failure to comply with the above policy shall be brought to the attention of the CEO. Investigation and appropriate disciplinary action will be taken depending on the severity of the violation, in accordance with state and federal Codes. This policy shall be distributed to designated staff on an annual basis.

SUPER Co-Op Governing Rules I. PURPOSE The purpose of the SUPER Co-Op is to assist Member Districts with effective USDA Foods ordering and distribution and enable its members to attain the best possible prices for processed USDA Foods and their commercial equivalents as well as for USDA Foods distribution (brown boxes).

II. MEMBERSHIP 1. All Member Districts must abide by the Governing Rules as presented. 2. Any California agency that is eligible to receive the USDA Foods may apply to become a member of the Co-Op. a) The Super Co-Op Governing Council (Council) has the right to approve or disapprove of the membership’s status of a co-op member. b) If a USDA Foods distribution contract is in force and a new member is applying during this contract existence, its membership may require the contracted distributor’s approval. 3. By signing the “Assignment of USDA Donated Food” (Appendix 1) the Agency agrees to be a member of the SUPER Co-Op and to abide by the SUPER Co-Op Governing Rules. 4. Every Member District is entitled to its “Fair Share” of all offered USDA Foods based on the previous year Total Lunches Served (TLS) and current minimum value of donated foods per lunch served as assigned by the State. 5. Member Districts can resign membership at the end of any program year with written notice received by the Lead Agency by December 10 of the preceding program year. a) All USDA Foods Direct Delivery (brown box) product left in storage on June 30 shall be forfeited and offered to remaining Member Districts unless prior arrangements are made by June 1. b) All unspent entitlement and processor balances on June 30 shall be forfeited. 6. It is the Member District’s responsibility to inform its board of trustees about SUPER Co-Op business, including the status of any USDA Foods related bids and proposals. 7. It is every Member District’s responsibility to actively manage its USDA Foods including distribution, processing, and inventories. Each Member District must maintain internet and e- mail access and is responsible to report changes to the Lead Agency and Administrator. Each Member District must use the Co-Op approved method of ordering commodities. 8. Each Member District must pay invoices from the Co-Op or an approved Co-Op agent within 30 days of the receipt of invoice. a) A penalty of 5% may be assessed after 90 days if the invoice is not paid in full. An additional 2% can be assessed after 120 days. b) Repeated late payments may result in cancellation of membership in the Co-Op. 9. Each Co-Op Member District is responsible to monitor their entitlement balance and other reports and announcements on the Co-Op web site.

Page 61 III. GOVERNANCE 1. All of the SUPER Co-Op business and organizational decisions shall be made by the SUPER Co-Op Governing Council (Council). The Council shall be comprised of one member per regional group plus a Lead Agency representative. a) Regional Group membership will be approved by the Council. b) Council members will be determined by members of each Regional Group. c) Each Council member is entitled to one vote on each matter submitted for a vote of the members. A Council member may give another individual in its Regional Group its proxy for voting purposes if they are unavailable to vote. d) The Lead Agency representative will only cast a vote in the event of a tie. 2. The Council shall meet a minimum of once a year or as needed. The Council’s decisions shall be reached by a majority of present Council members if a quorum is met. a) A Council quorum is met if 51% or more Council members are present. b) Council members and Lead Agency shall be reimbursed for expenses incurred to attend Council meetings from the membership fee account. 3. A Member District will act as the Lead Agency for the SUPER Co-Op. a) The Lead Agency is responsible for requesting all USDA Foods Direct Delivery and diversions to processors as well as for all the USDA Food inventories at the processors’ storage facilities. (1) As soon as a USDA Foods shipment is delivered to an approved distributor and is assigned to an eligible member, the USDA Food is inventoried as commercial product of the eligible member (single inventory). It is each Co-Op Member District’s responsibility to manage its inventory to achieve maximum benefit. b) The Lead Agency is responsible for issuing, evaluating, and approving all bid documents related to the Co-Op’s business. All accepted proposals and/or bids must be approved by the Lead Agency’s governing body. (1) It is the Member District’s responsibility to have the specific contract(s) approved by the member’s Board of Trustees (or other governing body as appropriate) to meet the State and Federal procurement requirements using approved award criteria. c) The Lead Agency shall, in addition to other responsibilities defined elsewhere in this document, inform Council members and Member Districts of pertinent Co-Op business transactions, plan and manage annual budget for membership fee fund, review and pay state administrative fee invoices, oversee the work of the Administrator, plan and convene regular Council meetings, work with show organizer to plan annual food shows, conduct annual Member District meetings, plan additional education sessions for Member Districts, and other duties as necessary to responsibly manage the business affairs of the Co-Op. d) The Lead Agency shall be compensated $40,000 annually. Funds for this expense shall be paid from the membership fee account.

Page 62 4. Membership fees will be assessed to districts using the following schedule: a) New districts start-up will be 0.4% of the current year entitlement. Annual renewal fee beginning the second year of membership and continuing thereafter of 0.3% of the current year USDA Foods entitlement as projected by the State on July 1. b) The Regional Group Governing Council Member District shall pay one half (50%) of the customary membership fee assessed to all Co-Op Member Districts. The Lead Agency shall pay no membership fee. c) The Membership fees will be collected and deposited in a unique account by the Lead Agency and used for expenses such as the cost of Council conference calls; legal fees related to the Co-Op; ACDA conference attendance by 3-4 Council members; other expenses approved by the Council. (1) A minimum reserve of 15% shall be maintained in the membership fee account to ensure adequate cash flow to enable prompt payment of state administrative fees and other expenses. d) Fees may be modified as needed with a vote of simple majority of the Council and a 30-day letter of notification to Member Districts. e) The Council may from time to time ask all members for a special assessment to cover any unexpected expenses. These fee(s) shall be based on the individual member’s annual entitlement and cannot exceed 0.1% of the member’s entitlement. (Example: If the member’s entitlement is $100,000 the fee for that year cannot be more than $100). f) The governance of each Regional Group is the responsibility of its Member Districts. 5. The Council shall employ a third party Administrator to assist the Co-Op with offering the fair share of USDA Foods to each member; to track each individual Member District’s entitlement and USDA Foods inventories; to collect State and other applicable fees. The Administrator’s specific responsibilities and service fees shall be fully outlined in a signed contract between the Lead Agency and the Administrator. The Co-Op Administrator shall be appointed by the Council based on an official RFP issued on behalf of the Co-Op by the Lead Agency. III. ENTITLEMENT MANAGEMENT 1. USDA Foods entitlements are expected to be managed effectively and efficiently by Member Districts. Member Districts that do not utilize their funds promptly will have prorated remaining funds redistributed to Member Districts that can demonstrate the need and ability to utilize additional product. Member Districts will receive an email notice 15 days prior to the redistribution. a) The Lead Agency and/or Administrator will reassign unused entitlement using the following schedule: (1) January 31 – Member Districts with more than 60% remaining entitlement. (2) March 30 – more than 30% remaining entitlement. 2. Proration will be computed at approximately 10% per month based on a ten month calendar from August to May. For example a Member District with a $100,000 entitlement that uses $40,000 by January 31 (6 months use from August to January) averaged $6,667 per month. Assuming a ten month calendar, their projected total use to the end of the year is $66,667 with $33,333 excess. The excess will be removed from their entitlement and redistributed to

Page 63 Member Districts that are using entitlement in excess of the 10% per month average, allocated by fair share. 3. Payment of State Administrative Fees for USDA Foods a) It is the responsibility of the Lead Agency to pay all State Administrative Fees for USDA Foods used by SUPER Co-Op members. b) The Administrator shall bill and collect State Administrative Fees from Member Districts on behalf of the Lead Agency at the current rate as issued by the State of California. c) USDA Foods (brown box) State Administrative Fees shall be billed at the time of receipt by the Distributor. d) Processed USDA Foods State Administrative Fees shall be billed on a quarterly basis. (1) Member Districts shall be billed their fair share of the State Administrative Fees of USDA Foods sent to processors during the quarter, based on entitlement allocated to processing. (2) DoD Fresh Produce and USDA Pilot Project for Procurement of Unprocessed Fruits and Vegetables State Administrative Fees shall be billed annually.

These governing rules can be amended at any time by a simple majority vote of all the members of the Council.

Per Title 7, Code of Federal Regulations (CFR), Section 250.1(c)(1), USDA Foods Direct Delivery (aka “Brown Box”) inventory may not exceed an amount needed for a six-month period. To assist Member Districts in the management of direct delivery inventory, the following policies apply to Direct Delivery USDA Foods received and stored at the Super Co-Op USDA Foods Direct Delivery Distributor (Gold Star Foods): Direct Delivery Items with a Six Month Shelf-Life  It is the responsibility of the Member District to schedule delivery of product as soon as possible after receipt at the Super Co-Op USDA Foods Direct Delivery Distributor (Gold Star Foods).  At 120 days (4 months), if the item has not been scheduled by the member district for delivery, inventory is moved into the Super Co-op General Account and offered to any Member District willing to take delivery of product in 30 days or less. The originating district pays state administrative fee and their entitlement is charged. The receiving district gets the product at no charge to their entitlement and pays delivery charges.  At 150 days (5 months), if the item has not been scheduled by the member district for delivery, the inventory is donated to a local non-profit agency (Ex: foodbank). The originating district’s entitlement is charged for the item and they pay the state administrative fee.  Six Month Shelf Life Items:

All Other Direct Delivery Items  It is the responsibility of the Member District to schedule delivery of product as soon as possible after receipt at the Super Co-Op USDA Foods Direct Delivery Distributor (Gold Star Foods).  At 10 months, if the item has not been scheduled by the member district for delivery, the inventory is moved to the Super Co-Op General Account and offered to any Member District willing to take delivery of the product within 30 days or less. The originating district pays state administrative fee and their entitlement is charged. The receiving district gets the product at no charge to their entitlement and pays delivery charges.  Depending on the product expiration date, the inventory may be donated to a local non-profit agency (Ex: foodbank) just prior to expiration. Page 65 Direct Delivery Allocations – This report provides a list of all items allocated to Member Districts that have not yet been received at Gold Star Foods. Member Districts should use this report to plan future menus utilizing direct delivery USDA Foods. Access on your Super Co-Op Dashboard at http://www.super-coop.org/. Click on Log-In and enter your Username and Password.

USDA Live Inventory Report – This report provides a list of all Direct Delivery items currently in Member District’s inventory at Gold Star Foods. Access on the Gold Star Foods website at http://www.goldstarfoods.com/. Click on Order Online and enter your Username and Password. Under the Reports tab on the left, click on USDA Live Inventory.

USDA Inventory by Lot Report – This report provides a list of all items currently in Member District’s inventory denoting the date of receipt and the date that Members will begin paying storage charges. Access on the Gold Star Foods website at http://www.goldstarfoods.com/. Click on Order Online and enter your Username and Password. Under the Reports tab on the left, click on USDA Inventory by Lot.
