Unfortunately our committee members have struggled this year combining work commitments along with their volunteered duties on the committee and as such it has affected the production of newsletters for you all—for which we apologise. However… better late than never—here we are with another edition—which brings you some round ups of recent stories from across the club and marshalling world, as well as announcements and booking details for AGMs, Training Days and the 2017 British F1 GP. 6 Resolutions – The Directors of BMMC Ltd met on 14th March 2015 and on 19th July 2015 and agreed to propose the following at the 2015 Annual General Meeting: Changes to Articles of Association Article 13 Force Majeure – It was agreed that the three officers of the club should retain the right to make decisions in the face of Force Majeure but that a financial limit should apply at £2000 per transaction. It is therefore proposed that Article 13 be amended to read: Article 13 - In exceptional circumstances, where urgent decisions are required, the three officers of the club may reach a majority decision by any means; such decisions to be ratified by a majority of the other directors at the earliest opportunity. Financial deci- sions made in this manner will be limited to a sum per transaction agreed by the direc- tors from time to time. Article 17 Quorum for council meetings – As executive officers are no longer required to attend every council meeting it would be easily impossible for a meeting to be quorate. It is therefore proposed that Article 17.1 be amended to read: Article 17 - 75% of the directors or their designated deputies shall form a quorum Articles 30, 31 & 32 Expulsion from the club – As currently drafted a member expelled from the club has a right of appeal to an extraordinary general meeting. The directors felt this was ex- cessive and that the decision to expel members for misconduct should fall to the regions with a right of appeal to the directors. It is therefore proposed to amend Articles 30, 31, & 32 as fol- lows: Article 30 - Termination of membership 1) A member may resign from the club by giving written notice at any time. 2) Membership is not transferable. 3) A person’s membership terminates when that person dies or ceases to exist. 4) On termination of membership the member must, on request from a director, return all badges and regalia depicting the club logo to the club. Article 31 – Expulsion from the club 1) BMMC regions and special interest groups reserve the right to expel any mem- ber for misconduct or a breach of the rules of the club 2) If a region or special interest group feels that the conduct of a member is preju- dicial to the interests of the club or has damaged the reputation of the club, the chairman of that region or special interest group shall invite that member to resign. 3) If the member refuses to resign within fourteen days of receipt of the invitation, the regional/special interest group secretary will invite their committee by any means to vote on the matter. 4) If at least 80% of the committee members vote for expulsion the member shall be expelled except in accordance with article 32. 5) The regional/special interest group chairman will write to the member setting out the reasons for the decision and informing them of their right of appeal 6) A member expelled under this Article shall forfeit all rights in, and claim upon, the club and its property and the subscription of such member for the current year shall be deemed forfeit. Article 32. Right of appeal against expulsion 1) Any member expelled from the club in accordance with article 30.4 has the right of appeal to the directors. 2) The member must exercise their right of appeal by giving notice to the club sec- retary within 48hours of receipt of the notice of expulsion and setting out the grounds of their appeal. 3) The club secretary will present the directors with the facts and call for a vote on the matter within ninety days of the receipt of the appeal. 7 4) For the member to be re-instated at least 80% of the directors shall need to vote against their expulsion.

Article 43 Proposing resolutions – Article 43.1 requires that resolutions proposing changes to articles or club rules should be lodged with the secretary by 31st August and article 43.2 requires general resolutions be with the secretary 28 days prior to the AGM. The directors felt there should be a common deadline for the submission of all resolutions it is therefore proposed that article 43 be amended to read: Article 43 – Any resolution put forwarded for consideration at the annual general meeting must be proposed and seconded by fully paid up members and lodged with the club secretary at least 28 days prior to the AGM

Article 49 Presenting Accounts – Article 49.2 implies that the club’s income and expenditure balance sheet must be audited. The Companies House Act 2006 entitles “small” companies such as BMMC Ltd exemption from “audit” and the Directors believe the club should take advantage of this. The Directors have approved a set of Financial Control procedures that are considered ap- propriate for the management and control of the club financials combined with the support of an independent bookkeeper. It is therefore proposed that article 49.2 be amended to read: Article 49.2 – The treasurer shall submit to the annual general meeting an account showing the income and expenditure for the year and a balance sheet duly prepared by suitably quali- fied accountants and as filed at Companies House.

Changes to Club Rules

Rule J2.3 refers to the appointment of auditors. Whether the club accounts are audited or unaudited the process should be carried out by qualified accountants it is therefore proposed that Rule J2.3 should read: J2.3 to appoint, employ and remunerate qualified accountants or other servants and agents as may seem necessary from time to time; and terminate any such appointments or employ- ment as required.

Rules K3.1 a) & b) restricts the number of committee members in each region to 14. It was agreed that the number of committee members in a region should be left to the Chairman to determine and each member should have a right to vote either through a nominated proxy or in person. It is therefore proposed that Rule K3.1 should read: K3.1 the regional committee shall consist of: Regional officers– i.e. Chairman, secretary & treasurer (optional) Together with the appropriate number of committee members the regional officers decide are needed to serve the region.

Rule M.1.1 specifies that the national AGM should be held no later than 31st December each year. Further, M.1.1.a implies the accounts should be audited which is not consistent with previous proposals and does not allow the Directors the freedom to chose audited or unaudited accounts. The directors agreed that Rule M.1.1 should be amended to read: M.1.1. The club shall hold an Annual General Meeting of the members each year but no later than the second weekend in December to: Receive the balance sheets and accounts for the year ended on 31st December previous as prepared by qualified accountants. Receive from the officers of the club a report of club activities during the preceding year. Elect officers of the club to replace those who have retired or are up for re-election in ac- cordance with Rule J.3.4. Consider any resolution proposed and seconded by fully paid up members and lodged with the club secretary 28 days prior to the AGM. 8

Rule N.4. refers to the club’s auditors which is not consistent with the previous proposals. The direc- tors agreed Rule N.4. should be amended to read:

N.4. The club treasurer shall report to each council meeting details of financial balances and any other financial matters, in a form approved by the directors. The club treasurer shall be responsible for annual VAT returns and for the prompt submission of year end data, provided by the club bookkeeper, to the club’s accountants for statutory accounts and reports to be prepared for presentation at the club’s annual general meeting.

The BMMC NE Region committee is looking for new members… The committee is made up of marshals and volunteers, who want to give a little bit back to the region and the sport they love, in order to help the club continue to improve and promote marshalling for all members—new and existing.

There are a plethora of roles and duties to be filled, all of which get allocated each year after the AGM (usually in December). The committee meet approximately every 2 months in a location agreed and central to all committee members. Therefore, can you give 6-8 evenings/days a year and depending on role undertaken, maybe an hour or two a week on emails and admin processes?? IF so, we want to hear from you!! 11 2017 British Grand Prix Volunteering

It's that time of the year again! The MSA is inviting you to volunteer for the GP next year (July 7/8/9 2017). On the BMMC website you will find a copy of the MSA Marshal's Record Form, guidelines for applications and the nomination form. Please ensure that if you wish to volunteer for the 2017 British Grand Prix that you send your completed Record Form TO ME by no later than SATURDAY 19th Novem- ber2016.

All completed forms will be reviewed by the regional chairman. When we submit nomination forms to the MSA, the MSA will assume that the club is happy with the competence and experience of the mar- shals concerned and is endorsing their nomination. I will complete the Club Approval box on the nomi- nation form once the regional chairmen have signified approval.

You can type into the PDF then print and sign before posting it to me. Please do not e-mail your applica- tions – I have to print them all out if you do! Please do not send applications directly to the MSA or to your regional comps sec – send them to me (do NOT use recorded or signature required mail – I am often away and cannot get to the post office easily.) Here are some rules/guidelines to note: Indicate with a tick the duty which you are applying for. You must have marshalled a minimum of 12 days in your nominated duty in 2016 to be considered for selection. Please note that marshalling for 12 days is not a guarantee of selection. You may use a contin- uation sheet if there is insufficient space on the form to include all your meetings. You may apply for more than one duty but you must be graded correctly and have marshalled at least 12 days in each duty. Only circuit race days are eligible to be counted. Applications will not be accepted from marshals who have trainee status at the time of application. You must hold the correct grade of licence at the time of applying. Upgrades pending or submitted do not count. If you are a member of more than one club please apply through one club only, multiple applications will not be accepted. Only official forms, completed and signed by the official will be considered for selection. You must be available to sign-on and possibly attend additional training sessions/briefings on Thursday 6th July. If for exceptional reasons (marriage, ill health, change of job etc.) you were unable to do 12 days in 2016 then please submit an application with a short note of explanation. Please do not staple anything to this form. A list of nominations received will be published on www.msaevents.co.uk/bgp/marshals.php before Christmas. If your nomination is missing from this list please contact your club immediately. Grading Information

A reminder to all individuals regarding upgrades: Before asking for and having an Assessment completed (which must be done by an Examining Grade who is on the same post as you for the whole day), Please ensure that you have collected all the relevant training and attendance signatures for the grade/discipline you are going for, and that each one is signed by the post chief or Chief marshal, etc—not just a date entered by yourself as a listed date you have done. Your PRC card or continuation sheet should be handed to your post chief at the start of the day for completing! Examining Post Chiefs—please note = you should not continue with the assessment unless all the training modules have been signed off (and across 12 months/2 days if relevant for the grade) and all attendances are properly signed off. Unfortunately, there have been several grading applications returned due to this process not being followed correctly—which is disappointing for the individuals concerned. The Cadets of motorsport are the future generation marshals and vital for the sustainability of our volunteer network. Cadets can begin from the age of 11 years old, but come into their own from the age of 14 when they can begin working in the paddock.

Once again it is time for me to write to thank you for your help and support as a marshal at Cadwell Park during 2016. This year saw our calendar return to a more spaced out series of events ending in mid September which certainly made my life easier.

It is the expertise and efficient team working of yourself, all marshals, race control, assembly, start- line and pit-lane, fire, rescue, recovery, safety car, medical and circuit crews working together that makes me once again proud to be associated with you all. As always without the expertise, patience and flexibility of all our volunteers, often working to duties you hadn’t volunteered for we wouldn’t have had the successful season we have had. Many a Clerk has praised the team for resolving an incident quickly, efficiently and safely. On reflection I do not believe we have significantly run beyond the timetabled finish once this year. So WELL DONE EVERYONE!

The words “thank you” seem much less than is deserved when considering your invaluable assistance as a volunteer official at Cadwell this year. Whether you were with us all season or just for one day, that help has been gratefully appreciated and I hope we made that clear at each and every meeting. Each and every club has asked at the end of every day that their thanks be extended to you all and I happily repeat their thanks once more here on their behalf.

The 2017 season is not really that far away and I shall soon be busy collating dates for the events to be run at Cadwell next year. Don’t forget the MSA sanctioned Training Days on 30th October and 19th February where all are welcome, details can be found on numerous internet websites or by contacting [email protected] . Once I know all next year’s dates with reasonable certainty I shall be publishing them in the usual way and I hope that I can count on you marshalling with us again in 2017, and beyond.

In the meantime, thank you once again, a Merry Christmas and Happy New Year to you and yours and I hope to see you at Cadwell Park again in 2017.
