Since the mid-1980's, banks have become dependent on non-interest income, such as credit card and banking-related fees.' In fact, nearly half of the operating income of many commercial banks is derived from non-interest income.2 Consequently, credit card issuers fiercely compete to win a greater market share by aggressive marketing techniques.3 "Pre-approved" credit card solicitations offering "low introductory" interest rates 4 or no annual fees are commonplace in America's mailboxes.5 Consumer activists refer to these offers as- "bait and switch" or "shark in the mailbox" tactics that are designed to trick the unwary consumer.6 Credit card marketing efforts have intensified over the past decade.7 In 1990, 1.1 billion credit card solicitations assailed 1. '0 Though response rates have declined slightly," consumer debt and charge-off rates have steadily risen since 1998.12 In order to wage these massive marketing campaigns, which are necessary to compete in today's credit card market, banks must use agents, such as telemarketing service companies, to market their credit card products and services. 3 Moreover, banks collaborate with third party vendors, such as credit protection insurance companies, and offer assorted products to bank customers.14 Overall, aggressive marketing efforts by credit card issuers have increased consumer debt-service burden15 in the past ten years.16 Thus, bank credit card businesses 8. "The household debt service ratio (DSR) is an estimate of 2004] CONSUMER PROTECTION ISSUES 401 have become profitable business ventures as revolving credit card balances grow.7 These marketing strategies increase the likelihood that a bank or its agent may engage in unfair or deceptive acts or practices, which increase customer dissatisfaction and harm to corporate image. 8 These aggressive marketing efforts have resulted in civil penalties and government enforcement actions. 9 One such issue was addressed by the United States Court of 2 Appeals for the Third Circuit in Rossman v. Fleet Bank ' and Roberts v. Fleet Bank2' when it decided whether credit card issuers may take advantage of a change-in-terms provision2 of the cardholder agreement. Until these Third Circuit decisions, the federal courts did not consider solicitation material in the "meaningful disclosure" analysis of a violation of the Truth in Lending Act23 ("TILA") disclosure requirements.24 In fact, prior the ratio of debt payments to disposable personal income. Over this period, the U.S. banking industry has consistently experienced over 150 mergers annually, with the largest banking organizations holding an increasing share of banking assets. While the industry has undergone considerable consolidation at the national level, local banking markets have not experienced significant increases in concentration. The dynamics of consolidation raise concerns about competition, output, efficiency, and financial stability. This study uses a comprehensive proprietary data set to examine mergers and acquisitions involving banks and thrifts. The methodology in this paper expands the definition of mergers to include more types of transactions than previous studies on bank mergers.     II. CHANGES IN NEW ENGLAND BANKING STRUCTURE SUMMARY OF CHANGES A. BANK FORMATIONS AND MERGERS As many banking organizations were formed between May 1, 1999 and May 9, 2001 as were formed during the entire 1996 through 1999 period.9 Five new commercial banks and six new thrift institutions began banking operations between May 1, 1999 and May 9, 2001 (Table A), compared with ten new commercial banks and one new thrift between May 1, 1996 and April 30, 1999. 10 Merger activity over the past two years was significantly lower than during the 1996-99 period. Twenty-six mergers and acquisitions took place in New England between May 1, 1999 and May 9, 2001 (Table B). By comparison, sixty-six mergers and acquisitions were consummated during the 1996-99 period. AND SUMMIT BANCORP TO MAKE DIVESTITURES IN ATLANTIC CITY, NEW JERSEY WASHINGTON, D.C. -- The Department of Justice today announced that FleetBoston Financial Corporation and Summit Bancorp have agreed to sell five branch offices in the Atlantic City, New Jersey area in order to resolve antitrust concerns about the companies’ proposed merger. The Department said the transaction, without the divestitures, would have reduced competition for small business banking services in the Atlantic City, New Jersey area. Under the agreement, FleetBoston will divest five Summit Bank branches with approximately $232 million in deposits, and the commercial loans associated with the branches. In addition, FleetBoston has agreed that, for a period of time, it will sell any branches closed in the Atlantic City area as a result of the merger to any commercial bank as long as the bank’s offer is equivalent to, or better than, any offer from a non-bank bidder. The proposed merger is subject to the final approval of the Board of Governors of the Federal Reserve System. The Department said that it will advise the Federal Reserve Board that, subject to divestiture of the branch offices and associated loans and deposits, the Antitrust Division will not challenge the merger. FleetBoston Financial Corporation is headquartered in Boston. It is currently among the eight largest holding companies in the United States with $179.1 billion in assets and $98.9 billion in deposits. FleetBoston operates banking offices in eight states.
