TRANSFER NOTICE – PROJECT DIRECTION

Sections 9 and 11

This Transfer Notice and Project Direction is given pursuant to the Infrastructure Investment (Asset Restructuring and Disposal) Act 2009

In anticipation of an initial public offering of the business of QR Limited and its subsidiaries through the sale of shares in QR National, I, ANDREW FRASER, Treasurer and Minister for Employment and Economic Development, hereby: A. Transfer Transfer all of the issued shares in QR Limited ACN 124 649 967 from the State of Queensland, being the owner of all such shares which are held on its behalf by Andrew Fraser, Treasurer and Minister for Employment and Economic Development of the State of Queensland and , Minister for Transport of the State of Queensland, to QR National Limited ACN 146 335 622, such transfer being effective as at immediately after midnight at the beginning of 21 September 2010. I provide that the consideration for the transfers provided for in this Transfer Notice is, following applications for subscription being received, the issue of 98 fully paid ordinary shares in QR National Limited (to be held in equal proportion by Andrew Fraser as Treasurer and Minister for Employment and Economic Development of the State of Queensland and Rachel Nolan as Minister for Transport of the State of Queensland). B. Direction 1. (ii) following receipt of applications for subscription, 98 fully paid ordinary shares in QR National (to be held in equal proportion by Andrew Fraser as Treasurer and Minister for Employment and Economic Development of the State of Queensland and Rachel Nolan as Minister for Transport of the State of Queensland), the amount paid up on the these shares being an amount equal to the market value of the shares in QR Limited on the date of transfer; (b) give effect to a written direction of the Under Treasurer or the Project Director for the purposes of this Project Direction, if and when given; (c) do and procure all things (including without limiting the generality of the foregoing, the execution of all instrument, documents or notices required to issue the shares and record the issue with any regulator) necessary, incidental or ancillary to give effect to any matter referred to in this Project Direction; and (d) execute and deliver any other agreement, deed or instrument relating to the matters contemplated by the Project Direction. 2. Direct that where there is an ambiguity or doubt about the meaning or intent of this Project Direction that each of QR National and its board and the QR National Subsidiaries and their respective boards give effect to the interpretation of the matter by the Under Treasurer as advised to it in a written clarifying statement of the Under Treasurer. C Definitions In this Project Direction: (a) Project means the disposal of all or part of the QR National Assets; (b) Project Director means the person from time to time nominated in writing as such by the Under Treasurer in relation to the Project; (c) QR Limited means QR Limited ACN 124 649 967; (d) QR National means QR National Limited ACN 146 335 622; (e) QR National Assets means: (i) the above rail business, assets and liabilities of QR National and the companies included in the list of QR National Subsidiaries; and (ii) the below rail business, assets and liabilities of QR National and the companies included in the list of QR National Subsidiaries; (f) QR National Subsidiaries means such of QR Limited, QR Intermodal Pty Ltd ACN 114 388 377, Australian Rail Pty Ltd ACN 118 274 481, Logistics Australasia Pty Ltd ACN 004 411 983, QR Network Pty Ltd ACN 132 181 116, On Track Insurance Pty Ltd ACN 095 032 670, Interail Australia Pty Ltd ACN 087 619 010, Australia Eastern Railroad Pty Ltd ACN 118 274 776, Australia Western Railroad Pty Ltd ACN 094 792 275, Australian Railroad Group Employment Pty Ltd ACN 087 891 601, AWR Lease Co Pty Ltd ACN 094 792 159, CRT Group Pty Ltd ACN 004 935 915, NHK Pty Ltd ACN 004 541 360, Golden Bros. Notice of Adoption of Amendments to the Brisbane City Plan 2000 pursuant to Schedule 1 of the Integrated Planning Act 1997 by including a Local Plan entitled the "Fortitude Valley Neighbourhood Plan" At its meeting of 14 September 2010, Council adopted amendments to the Brisbane City Plan 2000 to include the Fortitude Valley Neighbourhood Plan together with consequential and supporting amendments. Purpose and General Effect The purpose of the Fortitude Valley Neighbourhood Plan is to revitalise Fortitude Valley and plan for growth in accordance with the SEQ Regional Plan. It will also provide additional certainty about the development principles that should underpin future development for residents, landowners and developers in the area. The effect of the amendments will be to reinforce Fortitude Valley as a major entertainment, cultural, retail and business centre, with a strong integration between land use and public transport. It will increase allowable building heights and densities while further protecting Fortitude Valley’s special character and heritage, as well as improving the public realm. Further Information The new Fortitude Valley Neighbourhood Plan is to become effective on and from 1 October 2010. This means that agencies can 'dip' into the pool for suitable applicants as soon as they have a vacancy. You can submit or refresh your application at any time. If you are refreshing your application, make sure that you indicate this either on your email or, if sending by post, in a covering letter. In search results, continuous applicant pools can be identified by 'Ongoing' in the 'Closes' column of a search result.

Note: If a continuous applicant pool is closing, applicants will be notified two weeks prior to this date. Applications may be used for up to six months after the pool closes. Multi-agency pools

Some Queensland Government agencies are on the lookout for people to fill similar jobs or occupations at the same time. Some of these jobs have a fixed closing date and others are ongoing (continuous applicant pools). With multi-agency pools, you only have to apply once to access job opportunities across participating agencies. Your application will then be able to be viewed and assessed by all the agencies in that pool - or, if you prefer, you can specify that you want to be considered only for particular agencies. Make sure you check the specific vacancy to find out how each pool works. How to apply

When you have found the job you would like to apply for.

1. You can phone for a copy of the information kit or you can download the documents from the Smart Jobs and Careers website at www.jobs.qld.gov.au. The information kit will include: • the position or job description detailing: background of the department or work area; roles and responsibilities, and selection criteria • a job information package, outlining the procedure for preparing and sending in your application, and • an application cover sheet. 2. Do your homework - research the agency to understand the background to the job. 3. Prepare your application. This should include your: • completed cover sheet (available on jobs online or in the kit mailed to you) • covering letter • resumé / curriculum vitae • names and contact details of (2) referees, and • responses to the selection criteria if required. 4. Mail or email your application (Details of where and how are available in either the job description or the job information package.

Check with the job vacancy contact person if you are unsure about how or where to submit your application or how many copies to send. Make sure you send your application by the closing date. If you don’t, it may not be accepted. Once your application is received, you will usually be sent a written acknowledgement.

NOTE 2 : As prescribed under sections 55, 194, 195 and 196 of the Public Service Act 2008 and Part 1 of the Appeals Directive (No.: 6/08): an appeal can not be made to the Commission Chief Executive against a decision to appoint or second an officer or other person to Senior Officer levels (SO1 and SO2), and; otherwise, an officer entitled to appeal must satisfy the following requirements.

1. the officer must have applied for a vacancy to which one of the following persons was promoted. • an officer of a Department • a general employee of a Department with tenure • an officer of a Public Service Office • a general employee of a Public Service Office with tenure; or • a tenured public sector employee of a public sector unit which applies promotional appeal rights under Schedule 1 of the Public Service Regulation 2008; 2. the officer’s application for the vacancy must have been received before the deadline for the receipt of applications; 3. the officer’s notice of appeal must be actually received by the Commission Chief Executive before the deadline for it’s receipt; 4. the officer must continue to be entitled to appeal. (a) Appointees may be required to serve in any part of the State. Where a centre is included under “Locality”, the headquarters of the appointee will be at such centre unless otherwise determined.

(b) An appointment has been declared by the Commission Chief Executive, by gazette notice, to be a non-appealable appointment, pursuant to section 195 of the Public Service Act 2008.
