1 Plaintiff Lucha Libre FMV LLC (“LL FMV” or “Plaintiff”), for its Complaint 2 against defendant Promociones Antonio Peña S.A. de C.V. (“PAP” or “Defendant”), 3 alleges as follows: 4 NATURE OF THE ACTION 5 1. Plaintiff LL FMV owns all rights in and to the world famous Lucha Libre 6 AAA Mexican masked luchador league and events (the “Mexican Wrestling 7 League”) throughout the world, except in . LL FMV owns the exclusive right to 8 distribute any and all Mexican Wrestling League live events and entertainment content 9 outside Mexico, the exclusive right to sell Mexican Wrestling League merchandise 10 outside Mexico, and the exclusive right to otherwise exploit and monetize the Mexican 11 Wrestling League anywhere outside Mexico. 12 2. Defendant PAP is well aware of LL FMV’s exclusive rights, because PAP 13 sold them to LL FMV pursuant to a 2014 intellectual property agreement.1 14 3. Under the IP Assignment, PAP retained only the right to distribute and 15 otherwise exploit the Mexican Wrestling League in Mexico. It transferred all its rights 16 in all other territories to LL FMV in 2014. 17 4. Nevertheless, PAP has brazenly breached the IP Assignment by purporting 18 to license to others, without LL FMV’s consent, rights to air Mexican Wrestling League 19 content and sell Mexican Wrestling League merchandise throughout the world. 20 5. FactoryMade Ventures, LLC (“FactoryMade”), one of the members of LL 21 FMV, first learned about PAP’s misconduct last year, when it discovered during 22 diligence for a potential sale of the company that PAP had licensed non-Mexican 23 distribution rights to Facebook, Turner International, Pluto TV, and .

1 FactoryMade’s discovery immediately led to a dispute between FactoryMade, PAP and 2 Dorian Roldán (“Roldán”) – the nephew of PAP founder Antonio Peña and son of PAP 3 majority owner and chief executive Maricela Peña (“Peña”) who simultaneously served 4 as both PAP operations manager and manager of LL FMV. That dispute quickly led to 5 settlement discussions between the parties including a January 2020 mediation. 6 6. Although the parties were unable to resolve their differences at the 7 mediation, settlement discussions continued. However, unbeknownst to FactoryMade, 8 Maricela Peña and Dorian Roldán were surreptitiously negotiating, and ultimately 9 caused PAP to enter into, yet another unauthorized deal – this time with Marvel, the 10 world-famous company-turned-media empire that is now owned by The 11 Walt Disney Company. 12 7. Neither Peña nor Roldán has provided LL FMV with a copy of PAP’s 13 contract with Marvel, much less disclosed any of the financial details of that 14 arrangement. But on October 26, 2020, PAP and Marvel issued a joint press release 15 concerning a collaboration between them. According to the press release:

16 Marvel and AAA get together to expand the sporting and cultural 17 experience of Mexican wrestling. As part of the actions that will be taken for this collaboration, a new group of wrestlers inspired 18 by Marvel's most iconic Super Heroes and villains will be 19 introduced; and a series of family events that will gather the perfect combination of sports, culture and entertainment that 20 distinguishes wrestling in Mexico will be developed. 21 "This collaboration with AAA represents an opportunity to 22 participate in an iconic part of Mexican culture, such as wrestling 23 and offering attractive content and experiences to the whole family that can be further celebrated with spectacular consumer 24 products inspired by this discipline which is valuable for fans and 25 consumers; says Luis Lomeli, Head of Licensing and Consumer Products at The Walt Disney Company (Mexico). "While 26 developing these storytelling and content creation initiatives, the 27 premise has been to stay true to the essence of Mexican wrestling at all times by bringing together AAA's experience in terms of 28 wrestling and Marvel's experience in terms of story and character

1 development. The potential of wrestling is unlimited. Its quality, 2 color and talent are increasingly valued in the world. Based on this unique and original creative platform, we will develop 3 different product lines such as clothing, footwear and 4 accessories, toys, household and school items", adds the executive. 5 During autumn of this year, the first 4 wrestlers of this group will 6 be announced, who will be called to revolutionize the AAA 7 lineup. On the one hand, we will have the technical wrestlers: Aracno and Leyenda Americana and, on the other hand, we will 8 have the tough wrestlers: Terror Purpura and Venenoide. 9 It will be at the next AAA event, Triplemania XXVIII. to be held 10 on December at the Arena Ciudad de Mexico, in , 11 when the public will be able to watch them live and appreciate the moves, holds, counter offenses and evolution of these 12 wrestlers inspired by their beloved Marvel Super Heroes and 13 villains. 14 "Teaming with Marvel represents the union of two fantastic worlds that house characters that public have turned into their 15 great heroes. Therefore, it will be a pleasure to welcome you to 16 the Lucha Libre AAA Worldwide family in a successful event, such as Triplemania XXVIII," concluded Dorian Roldán, 17 General Director of Lucha Libre AAA.2 18 8. PAP’s deal with Marvel clearly infringes on LL FMV’s exclusive 19 international rights. Under the IP Assignment, LL FMV owns the rights to both all 20 existing and future Mexican Wrestling League characters (except in Mexico). Marvel 21 and PAP are promoting their collaboration worldwide on Facebook, Twitter, Instagram, 22 and other social media services, so that viewers throughout the world can see their new 23 characters in action at the Mexican Wrestling League’s annual tentpole event – 24 Triplemania. PAP recently announced that this year’s Triplemania will be held behind 25

1 closed doors at the Arena Ciudad in Mexico City on Saturday, December 12th, and is 2 actively promoting a free, worldwide, livestream broadcast of the event on YouTube and 3 Facebook Live.3 Marvel is also selling merchandise – called the “Marvel Lucha Libre 4 Edition” – throughout the world.4 5 9. PAP’s blatant breach of its IP Assignment to LL FMV is not merely a 6 breach of contract (although it is that as well). By entering into the aforementioned deals, 7 PAP has also directly infringed LL FMV’s copyrights and registered trademarks while 8 inducing Marvel, YouTube, Facebook, Turner International, Pluto TV, and Twitch (the 9 “Third Party Licensees”) to do the same. 10 10. LL FMV therefore files this action to enjoin further infringement of the 11 exclusive intellectual property rights it purchased from PAP, and to secure a money 12 judgment for millions of dollars that PAP has stolen from LL FMV by purportedly 13 “selling” rights to the likes of Marvel, Facebook, Turner International, Pluto TV, and 14 Twitch, which PAP had no right to sell. 15 THE PARTIES 16 11. Plaintiff Lucha Libre FMV, LLC is a Delaware limited liability company 17 with its principal place of business in Los Angeles, California. 18 12. Defendant Promociones Antonio Peña S.A. de C.V. is a Mexican 19 corporation with its principal place of business in Mexico. 20 JURISDICTION AND VENUE 21 13. This Court has subject matter jurisdiction over LL FMV’s federal law 22 claims pursuant to 15 U.S.C. § 1121; 17 U.S.C. § 1203; and 28 U.S.C. §§ 1331 & 23

1 § 1338. This Court also has supplemental jurisdiction over the pendant state law claims 2 pursuant to 28 U.S.C. §§ 1338(b) & 1367. 3 14. This Court also has subject matter jurisdiction over this matter pursuant to 4 28 U.S.C. § 1332 because PAP (a Mexican corporation) is diverse in citizenship from 5 LL FMV (a Delaware limited liability company), and the amount in controversy exceeds 6 $75,000 exclusive of interest and costs. 7 15. This Court has personal jurisdiction over PAP, which is subject to both 8 specific and general jurisdiction in this District. Among other things, LL FMV is located 9 in Los Angeles; PAP did business with LL FMV in Los Angeles where LL FMV is 10 headquartered; PAP entered into transactions with Marvel and others in Los Angeles; 11 and LL FMV suffered the harm described herein in Los Angeles. 12 16. Venue is proper in this District under 28 U.S.C. § 1391(b) because a 13 substantial part of the events giving rise to the claims occurred within this District. 14 FACTS COMMON TO ALL CLAIMS 15 A. Marisela Peña, Dorian Roldán & The Mexican Wrestling League 16 17. This action ultimately centers around the Mexican Wrestling League. 17 18. Peña’s brother, Antonio, founded the Mexican Wrestling League about 30 18 years ago. His family now owns the league through their company, PAP. 19 19. PAP produces the live Mexican Wrestling League match events and at one 20 time owned and controlled all its associated intellectual property rights. 21 20. PAP is a family business led by the family matriarch, majority owner, and 22 chief executive Peña. 23 21. Peña’s son, Roldán, manages its day-to-day operations. 24 B. PAP Formed Lucha Libre AAA To Manage And Monetize PAP’s 25 Intellectual Property 26 22. Lucha Libre AAA is a United States entity that Peña and Roldán initially 27 formed to exploit PAP’s intellectual property rights (via a master license from PAP). 28 23. Alex Garcia and Antonio Cué are outside investors in, and co-owners of,

1 Lucha Libre AAA. 2 C. Lucha Libre AAA And FactoryMade Join Forces To Take The Mexican 3 Wrestling League Worldwide 4 24. In February 2013, Lucha Libre AAA and FactoryMade formed LL FMV5 5 to maximize and exploit the value of the Mexican Wrestling League beyond Mexico. 6 The plan was to leverage each of their respective members’ unique backgrounds, 7 networks, and resources to expand the league’s international fanbase and exponentially 8 grow its worldwide revenue. 9 25. FactoryMade is a boutique entertainment and media industry business 10 development and consulting firm founded ten years ago by former William Morris 11 Endeavor agents John Fogelman and Cristina Patwa. Among FactoryMade’s most 12 prominent successes was the El Rey cable network, a Hispanic-focused cable network. 13 26. Alex Garcia is an acclaimed international film, television, and music 14 producer 15 27. Antonio Cué is the former President and co-owner of the Chivas USA 16 Major League Soccer franchise with considerable international sports and entertainment 17 industry experience and networks. 18 28. Leveraging their vast industry experience and their incredibly talented and 19 innovative creative network, LL FMV developed and produced , a 20 television series based on the Mexican Wrestling League that, for years, was the highest 21 rated program on El Rey. Through deals with and others, Lucha Underground is 22 streamed around the world. 23 29. In addition to their tireless efforts to grow the business, FactoryMade, 24 Garcia, and Cué made significant financial contributions and secured financial 25 commitments that generated about $47.5 million in funding for the production and

26 27 5 Fogelman initially served as the manager of LL FMV. Roldán succeeded him in 28 October 2016 until recently. Fogelman was recently reinstated and currently serves as LL FMV’s manager.

1 marketing of Lucha Underground and exploitation of the worldwide rights to the 2 Mexican Wrestling League. 3 D. PAP Transfers All Its Mexican Wrestling League Intellectual Property To 4 LL FMV, Except In Mexico 5 30. At first, LL FMV derived its rights to exploit the Mexican Wrestling 6 League (including without limitation Lucha Underground) via a sublicense from Lucha 7 Libre AAA. 8 31. But in 2014, once LL FMV achieved certain contractual milestones to 9 proceed with the venture on a long-term basis, both the PAP master license to Lucha 10 Libre AAA and the Lucha Libre AAA license to LL FMV were terminated. 11 32. In their place, PAP directly transferred and assigned all its intellectual 12 property rights in and to the Mexican Wrestling League – both those rights already in 13 existence, and any that might be created in the future – to LL FMV. The only exception 14 was that PAP retained ownership of those rights for exploitation in Mexico, alone. In 15 other words, by virtue of the IP Assignment, LL FMV is the owner of all non-Mexican 16 intellectual property rights in the Mexican Wrestling League. 17 33. Specifically, the IP Assignment provides that:

18 Effective as of the date hereof, solely with respect to [the world, 19 excluding only Mexico] and subject to the reversion right set forth in Article VII, below, [PAP] hereby irrevocably assigns, 20 conveys and otherwise transfers to [LL FMV] all right, title and 21 interest in and to the Assigned IP6.

22 23 6 The term “Assigned IP” is defined as “the Intellectual Property, proprietary and other 24 rights used, owned or controlled by Assignor in connection with Lucha Libre AAA, including without limitation the Characters and other Intellectual Property set forth on 25 Schedule A hereto. For the avoidance of doubt, Assigned IP shall also include any 26 Intellectual Property created by Assignor after the Effective Date but assigned to Assignee pursuant to Section 4.2, below.” In turn, the term “Intellectual Property” is 27 defined as all (i) copyrights (including all registrations, renewals, extensions and other 28 applications therefor) and copyrightable works, including audio, visual, graphic, [Footnote continued on next page]

This transaction was documented in the aforementioned IP Assignment. 2 Pursuant to that transaction, PAP’s Mexican Wrestling League copyright and trademark 3 registrations were assigned to LL FMV. The assignments included 117 copyrights for 4 Mexican Wrestling Characters7 and 16 registered trademarks including the primary 5 designations “AAA” and “LLL MEXICO”.8 Copies of the assignments are attached to 6 the IP Assignment (Exhibit 1) and were recorded with the United States Copyright and 7 Patent & Trademark offices. 8 35. In January 2015, the parties amended the IP Assignment. Among other 9

10 musical, choreographic and literary elements (such as images, characters, characterizations, settings, venues, accessories, costumes, , designs, graphics, 11 artworks, musical compositions, orchestrations, master recordings and other 12 characteristics associated therewith or embodied therein, in each case to the extent so copyrightable), (ii) trademarks, service marks, trade names, logos, slogans, designs, 13 branding, trade dress, and general intangibles of like nature, as each may be modified 14 from time to time, together with all goodwill, applications, registrations, renewals and extensions related to the foregoing, (iii) domain names, (iv) patent rights, inventions, 15 and patent and industrial design registrations or applications (including any 16 continuations, divisionals, continuations-in-part, renewals, reissues and applications for any of the foregoing), (v) confidential information, knowhow, trade secrets, 17 proprietary software, proprietary processes, formulae, algorithms, models, technical 18 and engineering data, and proprietary design plans, diagrams, schematics and methodologies, (vi) any other property or rights commonly considered to be 19 intellectual property, whether registered or unregistered, and (vii) any other work 20 product comprising the foregoing.”

21 7 After the initial assignment of PAP’s 117 copyrighted works, LL FMV registered an 22 additional 167 works, including Lucha Underground episodes, new characters, and costumes. Collectively, these works are referred to herein as the “Copyrighted 23 Works”. A list of the Copyrighted Works is attached hereto as Exhibit 6 and 24 incorporated herein by reference.

25 8 After the initial assignment of PAP’s 16 registered trademarks, LL FMV secured 26 registrations for an additional 24 marks (and has applied for two others). Collectively, the registered trademarks are referred to herein as the “Registered Trademarks”. A 27 list of the Registered Trademarks (plus the two applications that have not yet 28 proceeded to registration) is attached hereto as Exhibit 7 and incorporated herein by reference.

1 things, the parties affirmed that “[LL FMV] has the right to act as sales agent or 2 distributor in connection with the exploitation of [Mexican Wrestling League content 3 created by or for PAP that is initially exhibited in Mexico] worldwide excluding Mexico; 4 the proceeds of any such exploitation by Assignee, whether in the form of a sales agent 5 commission, distribution fee or otherwise.” 6 36. LL FMV has paid PAP at least $700,000 to date, pursuant to the terms of 7 the IP Assignment. 8 E. Despite Its Assignment To LL FMV, Peña and Roldán Secretly Cause PAP 9 To Enter Into Purported International Distribution Agreements With 10 Others 11 37. During due diligence for a potential sale of LL FMV, FactoryMade 12 discovered that Peña and Roldán had, behind LL FMV’s back, negotiated for PAP to 13 enter into putative license agreements for the distribution of Mexican Wrestling League 14 events and associated content outside Mexico – rights that PAP expressly assigned to, 15 and which are owned exclusively by, LL FMV. 16 38. In particular, FactoryMade discovered that Roldán had caused PAP to enter 17 into the following purported agreements: 18 • A putative worldwide distribution agreement with Twitch, an online 19 streaming service, providing for a $650,000 minimum guarantee against a revenue share. 20 • A putative worldwide distribution agreement with Facebook Live, 21 another online streaming service, providing for a $500,000 minimum guarantee against 22 a revenue share. 23 • A putative license agreement with Turner International for linear 24 broadcast and authenticated video-on-demand in the United States and throughout Latin 25 America, for a license fee of nearly $300,000. 26 • A putative worldwide license agreement with Pluto TV, another 27 internet streaming service, in the United States territory providing for a $250,000 28 minimum guarantee against a revenue share.

1 39. When confronted with these purported deals, Roldán did not dispute their 2 existence or their terms. Nor could he. Instead, Roldán absurdly argued that despite the 3 deals’ international scope, only a small percentage of their value (if any) was allocable 4 to non-Mexican territories. 5 40. While the parties attempted to work out their differences with respect to 6 those deals (or so FactoryMade, Garcia, and Cué thought), Peña and Roldán were quietly 7 at it again. This time, they negotiated the recently announced deal with Marvel to exploit 8 existing and to-be-developed Mexican Wrestling League content, characters, and 9 merchandise outside PAP’s lone territory, Mexico. 10 41. FactoryMade has also learned that PAP is distributing its events on 11 YouTube, in exchange for which it receives a share of YouTube’s associated ad revenue. 12 Despite using YouTube to broadcast Mexican Wrestling League content outside 13 Mexico, PAP has never disclosed its arrangement with YouTube to LL FMV, much less 14 accounted to LL FMV for its share of the worldwide ad revenue. 15 F. PAP Seeks To Unilaterally Settle The Dispute, But In Doing So It Merely 16 Admits Its Own, Blatant, Misconduct 17 42. On October 28, 2020, Roldán resigned as manager of LL FMV. A week 18 later, unsolicited, he sent LL FMV a “Promissory Note” on behalf of PAP in the amount 19 of $391,719 payable over five years. 20 43. On November 9, 2020, Roldán wrote that the Promissory Note was for LL 21 FMV’s share in the license fee revenue from Facebook, Turner International, Pluto TV, 22 and Twitch through 2019 (the same amount he previously – and likewise implausibly – 23 claimed was due only through 2018). 24 44. On November 13, 2020, PAP wired $31,719 to LL FMV, the “first 25 installment payment” on the Promissory Note that Roldán unilaterally prepared. 26 45. Peña and Roldán seem to think they can unilaterally set the terms of a 27 settlement between PAP and LL FMV over the unauthorized deals. Obviously, they 28 cannot. LL FMV did not request the Promissory Note and did not agree to settle its

1 claims against PAP for the terms set forth in that document. PAP concedes that through 2 June 30, 2019 it has secured more than $2.5 million in license fee revenue from the Third 3 Part Licensees alone – and even that information is 18 months old and excludes any 4 revenue from YouTube. 5 46. Although they do not and cannot constitute a settlement, PAP’s actions 6 constitute a glaring admission that it has breached the IP Assignment, infringed the 7 Copyrighted Works and Registered Trademarks, and caused LL FMV millions of dollars 8 in financial harm. 9 FIRST CLAIM FOR RELIEF 10 BREACH OF WRITTEN CONTRACT 11 47. LL FMV incorporates and re-alleges each of the allegations above, as if 12 set forth fully below. 13 48. LL FMV and PAP entered into a valid and binding agreement, the IP 14 Assignment. 15 49. PAP has breached and is breaching the IP Assignment by, among other 16 things, distributing Mexican Wrestling League content outside Mexico, putatively 17 licensing the right to distribute Mexican Wrestling League content outside Mexico, 18 and putatively licensing to others the right to create new Mexican Wrestling League 19 content and merchandise for exploitation outside Mexico. 20 50. LL FMV did all or substantially all the significant things that the IP 21 Assignment required it to do, except for those promises that it is excused from doing. 22 51. As a direct and proximate result of PAP’s breach of the IP Assignment, 23 LL FMV has suffered millions of dollars in financial harm. 24 52. In addition, PAP’s actions have caused, and unless enjoined will continue 25 to cause, severe, immediate, and irreparable injury for which LL FMV has no adequate 26 remedy at law. Pursuant to Section 9.1 of the IP Assignment, PAP expressly agreed 27 that LL FMV is entitled to injunctive relief and/or specific enforcement. Therefore, LL 28 FMV is also entitled to a temporary restraining order, preliminary injunction, and

1 permanent injunction. 2 53. Pursuant to Section 9.1 of the IP Assignment, LL FMV is also entitled to 3 an award of its reasonable attorneys’ fees and costs incurred herein. 4 SECOND CLAIM FOR RELIEF 5 BREACH OF IMPLIED COVENANT OF GOOD FAITH & FAIR DEALING 6 54. LL FMV incorporates and re-alleges each of the allegations above, as if 7 set forth fully below. 8 55. LL FMV and PAP entered into a valid and binding agreement, the IP 9 Assignment. 10 56. As a matter of California law, in every contract there is an implied promise 11 of good faith and fair dealing. This implied promise means that each party will not do 12 anything to unfairly interfere with the right of any other party to receive its benefits of 13 the contract. Good faith means honesty of purpose without any intention to mislead or 14 take advantage of the other. It means being faithful to one’s duty or obligation. 15 57. PAP, by and through Peña and Roldán, has not acted fairly or in good faith. 16 Instead, it has prevented LL FMV from receiving its benefits under the contract. 17 58. LL FMV did all or substantially all the significant things that the IP 18 Assignment required it to do, except for those promises that it is excused from doing. 19 59. As a direct and proximate result of PAP’s breach of the implied covenant 20 of good faith and fair dealing, LL FMV has suffered millions of dollars in financial 21 harm. 22 60. In addition, PAP’s actions have caused, and unless enjoined will continue 23 to cause, severe, immediate, and irreparable injury for which LL FMV has no adequate 24 remedy at law. Pursuant to Section 9.1 of the IP Assignment, PAP expressly agreed 25 that LL FMV is entitled to injunctive relief and/or specific enforcement. Therefore, LL 26 FMV is also entitled to a temporary restraining order, preliminary injunction, and 27 permanent injunction. 28 61. Pursuant to Section 9.1 of the IP Assignment, LL FMV is also entitled to

Nevertheless, PAP is distributing the copyrighted works outside Mexico, 9 putatively licensing the copyrighted works to others for distribution outside Mexico, 10 putatively licensing to others the right to create derivative works for exploitation outside 11 Mexico, and otherwise exploiting or licensing for exploitation the copyrighted works 12 and/or derivative works outside Mexico. 13 65. PAP intentionally entered into the infringing deals knowing that LL FMV 14 owned the international rights. 15 66. PAP has received more than $2.5 million from the Third-Party Licensees. 16 PAP has likely generated even more in international revenue than it has disclosed, as 17 that number is only through June 30, 2019 and excludes any revenue received from 18 YouTube. 19 67. LL FMV is entitled to its actual damages, PAP’s profits attributable to the 20 infringing deals, statutory damages (including heightened statutory damages for willful 21 infringement), and recovery of its reasonable attorneys’ fees and costs incurred herein. 22 68. In addition, PAP’s actions have caused, and unless enjoined will continue 23 to cause, severe, immediate, and irreparable injury for which LL FMV has no adequate 24 remedy at law. LL FMV is the sole owner of the Registered Trademarks outside Mexico. 7 71. Nevertheless, PAP is using the Registered Trademarks in commerce 8 outside Mexico, and purporting to license to third parties the right to use the Registered 9 Trademarks in commerce outside Mexico (thereby inducing them to infringe the 10 Registered Trademarks), without LL FMV’s authorization or consent. 11 72. PAP has willfully used the Registered Trademarks in commerce outside 12 Mexico and entered into the infringing deals with third parties to use the Registered 13 Trademarks in commerce outside Mexico, knowing that LL FMV exclusively owned the 14 international rights. 15 73. PAP has received sizable license fees from the Third-Party Licensees, 16 among others. PAP admitted that it received more than $2.5 million from the Third- 17 Party Licensees through June 30, 2019. PAP has actually generated even more in 18 international revenue than it has disclosed, as it has continued to do so since June 30, 19 2019 and its accountings do not even include revenues received from YouTube. 20 74. LL FMV is entitled to its actual damages, PAP’s profits attributable to the 21 infringing transactions, statutory damages (including heightened statutory damages for 22 willful infringement), and recovery of its reasonable attorneys’ fees and costs incurred 23 herein. 24 75. In addition, PAP’s actions have caused, and unless enjoined will continue 25 to cause, severe, immediate, and irreparable injury for which LL FMV has no adequate 26 remedy at law. PAP’s misconduct constitutes a business act or practice that is unfair, 7 unlawful, and/or fraudulent and, therefore, constitutes unfair competition within the 8 meaning of California Business & Professions Code § 17200, et seq. In particular: 9 a. PAP’s conduct is “unlawful” because it violates multiple state and 10 federal laws, including without limitation copyright and trademark infringement. 11 b. PAP’s conduct is “unfair” because the harm to LL FMV outweighed 12 its benefits. 13 c. PAP’s conduct is “fraudulent” because it fraudulently 14 misrepresented to the Third-Party Licensees, or concealed, that it did not own the rights 15 it purported to license to them. 16 78. LL FMV is entitled to full restitution of any funds or other benefits PAP 17 improperly acquired from or on behalf of LL FMV. 18 79. In addition, PAP’s actions have caused, and unless enjoined will continue 19 to cause, severe, immediate, and irreparable injury for which LL FMV has no adequate 20 remedy at law. Therefore, LL FMV is also entitled to a temporary restraining order, 21 preliminary injunction, and permanent injunction. 22 PRAYER FOR RELIEF 23 WHEREFORE, LL FMV prays for judgment in its favor and against PAP as 24 follows: 25 1. INTELLECTUAL PROPERTY ASSIGNMENT AGREEMENT

INTELLECTUAL PROPERTY ASSIGNMENT AGREEMENT (the "Aareement''), dated as of January .1L 2014 (the •~ffcctive Date"), by and between Promociones Antonio Pena, S.A. de C.V. {''Assignor''), a Mexican corporation with a principal place ofbusiness at Dulce Oliva 157-B, Col. Villa Coyo~ Del Coyoacmi, Mexico D.F. 0400, Lucha Libre FMV LLC ("~ipcej, a Delaware limited liability company with a principal place of business at 1657 12 Street, San1aMoni~ CA 90404, and Lucha Libre AAA. LLC (''LL AAA LLC"), a Delaware limited liability company with a principal place of business at 9701 Wilshire Boulevard, Suite 906, Beverly Hills, CA 90212.

WHEREAS, Assignor is the owner ofall right, title and interest in and to certain Intellectual Property used in connection with Lucha Llore AAA (each as defined below);

WHEREAS, LL AAA LLC together with FactocyMade Ventures, LLC, entered into the operating agreement, dated February 26, 2013, ofAssignee (as the same may be amended or restated from time to time, the "Lucha FMY Operating Agreement").

WHEREAS, pursuant to the Lucha FMV Operating Agreement, with the knowledge and consent of Assignor, Assignee has undertaken to develop Lucha Libre AAA in the United States and elsewhere, including, without limitation, the creation and distribution of content, the exploration and creation ofpartnerships and alliances, and the negotiation of agreements related to broadcast television, pay/cable TV, live events, licensing, merchandising, games, motion pictures, digital, social and other forms ofmedia; and,

WHEREAS, as an inducement to Assignee to engage in the activities descnoed above, Assignor desires to assign all of its right, title and interest in and to the Intellectual Property used in connection with Lucha Libre AAA for use by Assignee in the Tenitory; and

WHEREAS, simultaneously with the execution ofthis Agreement, the applicable parties shall terminate the license agreement, dated October 23, 2012, by and between Assignor and LL AAA, LLC (the ''Master License"), and the license agreement, dated August 30, 2013, by and between LL AAA, LLC and Assignee (the ''Sublicense"). NOW, TIIEREFORE, for good and valuable consideration, the receipt and sufficiency ofwhich are hereby acknowledged, the parties hereby agree as follows:

ARTICLE I DEFINITIONS

Section 1, l As used in this Agreement (a) "Assigned IP" shall mean the Intellectual Property, proprietary and other rights used, owned or controlled by Assignor in connection with Lucba Libre AAA, including without limitation the Characters and other Intellectual Property set forth on Schedule A hereto.

For the avoidance ofdoubt, Assigned IP shall also include any Intellectual Property created by Assignor after the Effective Date but assigned to Assignee pursuant to Section 4.2, below.

(b) "Characters" shall mean the luchadors and other characters set forth on Schedule A hereto, and any and all aliases, storylines, images, characteristics, traits, taglines, logos, names, monikers, nir.k:nsmes, familial relationships, costumes, masks, choreography, moves and other indicia related thereto.

(c) ''New Characters,. shall mean the luchadors and other characters cteated by Assignee in connection with Assignee's Lucha Libre AAA activities in the Territory, and any and all aliases, storylines, images, characteristics, traits. taglines, logos. names, monikers, nicknames, familial relationships. costumes, masks, choreography, moves and other indicia related thereto.

(d) "Intellectual Property" shall mean without limitation, all (i) copyrights (including all registrations, renewals, extensions and other applications therefor) and copyrightable works, including audio, visual, graphic, musical, choreographic and literary elements (such 88 images, characters, cbaracterimtions, settings, venues, accessories, costwnes, masks, designs, graphics, artworks, musical compositions, orchestrations, master recordings and other characteristics associated therewith or embodied therein, in each case to the extent so copyrightable), (ii) trademarks, service marks, trade names, logos, slogans, designs, branding, trade dress, and general intangibles oflike nature, 88 each may be modified from time to time, together with all goodwill, applications, registrations, renewals and extensions related to the foregoing, (iii) domain names, (iv) patent rights, inventions, and patent and industrial design registrations or applications (including any continuations, divisionals, continuations-in-part. renewals, reissues and applications for any ofthe foregoing), (v) confidential information, know­ how, trade secrets, proprietary software, proprietary processes, formulae, algorithms, models, technical and engineering data, and proprietary design plans, diagrams, schematics and methodologies, (vi) any other property or rights commonly considered to be intellectual property, whether registered or unregistered, and (vii) any other work product comprising the foregoing.

(e) "Lucha Libre AAA" shall mean the , sports and entertainment business known as lucha libre, as conducted under the auspices ofthe Asistencia Asesorfa y Adminstraci6n brand.

(f) "Territory' shall mean the world, excluding only Mexico.

ARTICLEII ASSIGNMENT AND TRANSFER OF INTELLECTUAL PROPERTY

Section 2.1 Assignment Effective as ofthe date hereof, solely with respect to the Territory and subject to the reversion right set forth in Article vn, below, Assignor hereby irrevocably assigns, conveys and otherwise transfers to Assignee all right, title and interest in and to the Assigned IP, including the right to sue and recover for, and the right to the profits or damages due or accrued arising out ofor in connection with any and all past, present or future infringements or passing offor dilution ofor damage or injury to such Intellectual Property in the Tenitory, and Assignee hereby accepts such Assigned IP, free and clear ofany and all lieus, claims, options, charges or any other type ofencumbrance . Section 2.2 Further Actions and Assurances. Each party hereto shall cooperate with the other party hereto and shall take such further action and shall execute and deliver such further documents as may be necessary or desirable in order to carry out the provisions and purposes ofthis AgrecmenL Without limitation ofthe foregoing. each party shall take, and, as applicable, shall cause each oftheir respective affiliates to take, such actions and execute and deliver to the requesting party such further deeds, bills ofsale, assignments, instrument of conveyance, powers of attorney, or other transfer documents as may be reasonably requested to (a) evidence the transfer ofthe Assigned IP to Assignee pursuant to this Agreement, including, without limitation, the execution and delivery ofa Trademark Assignment and Copyright Assignment substantially in the forms ofAnnex A and Apppr B. respectively, for rccordation with the U.S. Patent and Trademark Office and U.S. Copyright Office. respectively, and do all such other actions and things as may be reasonably requested by Assignee in order to vest, perfect or confirm any and all right, title and interest ofAssignee in and to the Assigned IP or otherwise to carry out the purposes ofthis Agreement, including complying with any and all actions that may be required by the registnu(s) of any domain names that may be included in the Assigned JP, and {b) to enforce, prosecute and maintain the Assigned IP, and New Characters and other Intellectual Property subject to this Agreement

Section 2.J Pgwer of Attorney. IfAssignor does not take such actions requested by Assignee pursuant to Section 2.2 of this Agreement within a reasonable period of time following a request ftom Assignee, Assignor hereby inevocably constitutes and appoints Assignee and any officer, employee or agent ofAssignee, with full power of substitution, as Assignor's true and lawful attorney-in-fact with full irrevocable power and authority to take all appropriate action and to execute any and all assignments, applications (including, without limitation, trademark applications), licenses and any other documentation necessary to effectuate the purposes ofthis Agreement with respect to the assignment ofthe Assigned IP to the Assignee.

ARTICLEm CONSIDERATION

Section 3.1 In consideration ofthe Assigned IP, Assignee shall pay the following amounts to Assignor:

(a) Five percent (5%) of the net profits of Assignee, which shall be defined, calculated and paid to Assignor as set forth in Section 8(b) of the Operating Agreement (the•~ Profits Share''). (b) As a minimum guarantee recoupable against the Net Profits Share, Assignee shall pay to Assignor the minimum guaranteed amounts for each calendar year set forth on Schedule B hereto. Payment ofthe minimum guarantee shall be made within forty-five (45) business days from the end ofthe applicable calendar year and shall be paid by wire transfer in accordance with the bank account information set forth on Schedule B. For calendar years in which the Net Profits Share, if any, is less than the minimum guarantee for such calendar year, such unrecouped amounts ofthe minimum guarantee shall roll over to the following year, and be recoupable in the aggregate against future payments of the Net Profits Share.

Section 3.2 For the avoidance ofdoubt, LL AAA LLC hereby agrees that it shall no longer receive the share ofnet profits allocated to it under Section 8(b) of the Operating Agreement

ARTICLE IV FUTURE INTELLECTUAL PROPERTY

Section 4.1 Ownership by Assignee. As between Assignee and Assignor, any New Characters and Intellectual Property created by Assignee shall be owned and controlled by Assignee (including without limitation. any Assigned IP to the extent incorporated therein); provided, lYt, within a reasonable period oftime following Assignee's initial exploitation ofthe New Characters in the Tenitory, Assignee shall enter into a licensee with Assignor pursuant to which Assignor shall receive an exclusive license for consideration in the amount of $1.00 to use the New Characters created, owned and controlled by Assignee in connection with Assignor's Lucba Libre AAA activities in Mexico (subject to any other terms and conditions the parties may negotiate in such licenae). with such licenae effective for so long as the Lucba FMV Operating Agreement shall be in effect

Section 4,2 Ownership by Assignor. As between .Assignee and Assignor, any Intellectual Property created, owned or controlled by Assignor in connection with Lucha Libre AAA after the date ofthis Agreement (whether or not incorporating the New Characters) shall be owned by Assignor in Mexico but, upon creation and without further action by the parties hereto, shall be included in the assignment to Assignee set forth in Article 2, above.

ARTICLEV PROTECTION AND ENFORCEMENT

Section S. l Coo_peration. Each party shall cooperate to diligently monitor and enforce the Intellectual Property assigned or licensed. as applicable, under this Agreement Each Party shall promptly notify the other in writing upon learning of any unauthorized use, infringement, misappropriation. dilution or other violation ofthe Intellectual Property. Section 5.2 Prosecution and Epfnrcement in the Territory. (a) With respect to the Territory, Assignee shall have the right to file any applications for registration ofthe Assigned JP and any New Characters and other Intellectual Property created, owned or controlled by Assignee (including trademark applications in the applicable international trademark classes), and shall have the right to prosecute and maintain such registrations. Assignee shall be responsible for all costs incurred in connection with such filing, including, without limitation. new application fees, registration fees, maintenance fees, enforcement fees, fees associated with any opposition or cancellation actions and all reasonable related legal fees and disbursements.•

(b) With respect to Mexico, Assignor shall have the right to file any applications for registration ofthe Assigned IP and other Intellectual Property created, owned or controlled by Assignor, as well as any New Characters licensed to Assignor by Assignee as contemplated by this Agreement (including trademark applications in the applicable international trademark classes). and shall have the right to prosecute and maintain such registrations. Assignor shall be responsible for all costs incurred in connection with such filing, including. Page4of20

(c) Assignee shall have the right, but not the obligation, to bring and control any actions, claims, suits or other proceedings (collectively, "Actions'') against any unauthorized use, infringement, misappropriation, dilution or other violation ofthe Assigned IP in the Territory, and shall be entitled to retain the entirety of any award arising from such Action. Assignor agrees to cooperate with Assignee in any Action that Assignee may undertake to prosecute, protect or enforce the Assigned IP, and upon Assignee's request, shall execute, file and deliver all documents and proof necessary for such pwpose, including being named as a party to any Action ifrequired by law. All costs and expense aball be Assignee's responsibility, except that Assignor shall have the right to participate and be represented in any such Action by its own counsel at its own expense. Assignor shall have no claim ofany kind against Assignee based on or arising out ofAssignee's handling of or decisions concerning any such Action (or failure to take any action), or any settlement, compromise or disposition thereof, and Assignor hereby irrevocably releases Assignee from any such claim; provided, ~ Assignee shall not settle, compromise or dispose ofany Action in a manner that would materially restrict or compromise the right! of Assignor in the Assigned IP in Mexico without the prior written consent ofAssignor. ARTICLE VI REPRESENTATIONS AND WARRANTIES; INDEMNITY

Section 6.1 Orgppjptjon; Authorization; Validity. Each party hereby represents and warrants that (a) it has the full right, power and authority to enter into this Agreement; (b) it is financially able to perform its obligations hereunder; (c) it is an entity duly organized. validly existing and in good standing under the laws of the jurisdiction ofits formation; and (d) all necessary act5 have been affected by it to nmder this Agreement valid and binding upon it.

Section 6.2 By Assignor. Assignor hereby represents and warrants that (a) it owns or controls the Assigned IP and all righm associated therewith; (b) no consent, approval or other authorization is required to assign the rights to Assignee as contemplated hereunder; (c) the Assigned IP and the uses contemplated under this Agreement or the Lucha FMV Operating Agreement do not inftinge the rights ofany other party; (d} the Assigned IP is free and clear of any and all liens, claims, charges and other encumbrances ofany nature which conflict with the assignment hereunder; (e) the execution ofthis Agreement and the performance by Assignor of its obligations hereunder will not cause Assignor to be in breach of any other agreement to which it is a party.

Section 6.3 Tndpnpjfication By Assignor. Assignor agrees to incteomify, defend and hold harmless Assignee, im membcm, equity holders, maoagers, directors, officers. employees and agent! from and against any claim, demand, cause of action, debt or liability (including reasonable attorneys' fees), brought by any third party claiming that the Assigned IP or use thereof infringes upon any third party's rights. In the event that the Assigned lP or any use thereof is held to infringe upon the rights ofanother, Assignor shall use commercially reasonable efforts to obtain for Assignee, at Assignor's expense, a license to continue using the Assigned lP.

Section 6,4 Indemnification By Assignee. Assignee agrees to indemnify, defend and hold harmless Licensor, its members, equity holders, managers, directors, officers, employees and agents from and against any claim, demand, cause of action, debt or liability (including reasonable attorneys' fees), brought by any third party claiming that the New Characters, any Intellectual Property licensed to Assignor by Assignee pursuant to this Agreement, or any use thereof infringes upon such third party's rights (excluding from Assignee's indemnification obligation any claim arising out ofany ofthe Assigned IP, to the extent incorporated into the New Characters or other Intellectual Property). In the event that the New Characters or Intellectual Property licensed to Assignor by Assignee, or any use thereofis held to infringe upon the rights ofa third party, Assignee shall use commercially reasonable efforts to obtain for Assignor, at Assignee's expense, a license to continue using such New Characters or other Intellectual Property.

Section 6.S General Indemnity. Each party hereto agrees that it shall indemnify, defend, and hold harmless the other parties, such parties• members, managers, directors, officers, employees and agents with respect to any claim, demand, cause ofaction, debt or liability (including reasonable attorneys' fees), to the extent that such is based upon: (a) a breach ofany of the indemnifying party's representations, wammties, covenants or agreements hereunder; or (b) arises out ofthe gross negligence or willful misconduct ofthe indemnifying party.

Section 6.6 Conditions on Ipdspnity. ARTICLE VII REVERSION

Section 7.1 Reversion Right Upon the occurrence of any ofthe following, all right, title and interest in the Assigned IP shall revert to Assignor (provided. that. Assignee shall retain its ownership ofany New Chanciers and any Intellectual Property created by Assignee after the date ofthis Agreement): (a) Assignee has filed a petition for relief under bankruptcy law, or under any similar law, (b) a petition for relief under bankruptcy law or under any similar law is filed against Assignee and such petition is not dismissed or stayed within one hundred and twenty ( 120) days after the filing thereof: or (c) a custodian, receive, trustee, assignee or similar officer is appointed for Assignee or any substantial portion ofAssignee's property.

ARTICLEVDI NON-SOLICITATION; NON-DISPARAGEMENT; CONFIDENTIALITY

Section 8.1 Non-solicitation. During the term ofthe Lucha FMV Operating Agreement, and for one (1) year thereafter, Assignor shall not, directly or indirectly (a) solicit for employment by other than Assignee any person employed by Assignee or its affiliated companies as of the last day ofthe term of the Lucha FMV Operating Agreement, {b) solicit fur employment by other than Assignee any person known by Assignor (after reasonable inquiry) to be employed at the time by Assignee or its affiliated companies as of the date ofthe solicitation, or (c) solicit any customer or other person with a business relation&hip with Assignee or any of its affiliated companies to terminate, curta11 or otherwise limit such business relationship.

Section 8.2 Non-clisparagcmeut. From and after the date ofthis Agreement (a) no party nor anyone acting on behalfof a party shall make or publish any disparaging or derogatory statement (whether written or oral) regarding another party or any ofsuch other party's affiliated companies or businesses or its or their products, or the current directors or current executive vice presidents and above ofany ofthem, in any public communication, or in any non-public communication with any member ofthe media or with any other person which may be reasonably expected to be publicly disseminated to the press or the media, and (b) no party nor any party's affiliated companies or businesses or their affiliates, current directors or current executive vice presidents and above, nor anyone authorized by a party to speak on behalf ofsuch party, shall make or publish any disparaging or derogatory statement (whether written or oral) regarding another party or any ofsuch other party's affiliated companies or businesses, in any public communication, or in any non-public communication with any member ofthe media or with any other person which may be ~nably expected to be publicly disseminated to the press or the media.

Section 8,3 Confidentiality. The parties agree that all information which is communicated form time to time by them to each other and respective affiliates, agents, attorneys, accountants and employees in connection with this Agreement (whether oral, electronic or written of any kind or nature), or which is confidential and proprietary to the person disclosing the same or which is technical confidential information belonging to one party that was already in the possession ofthe other party as ofthe Effective Date shall be deemed secret and confidential ("Confidential Information.,). The parties agree that the Confidential Information received by them from the other will be maintained in confidence and that the same will not be disclosed or used by any person, finn or undertaking except their own agents and employees, subcontractors or distributors hereunder who need to know and/or use such Confidential Information for the pw:poses ofthis Agreement Any such person given access to Confidential Information shall be subject to confidentiality provisions by agreement with the Assignor or Assignee or ethical obligations no less restrictive than those set forth herein. If either party is required by law to disclose any Confidential Information it bas received, it will take reasonable efforts to minimi:ze the extent ofany required disclosme and to obtain an undertaking from the recipient to maintain the confidentiality thereof. Each party will cooperate with the other party in seeking to maintain the confidentiality ofsuch Confidential Information.

ARTICLE IX MISCELLANEOUS Section 9.1 Injunctive Relief; Specific PerfQIIDpnee. Assignor and LL AAA LLC agree that any breach ofthis Agreement by them will tt.1Ult in immediate irreparable damage to Assignee for which there is no adequate remedy at law, and in the event ofsuch breach, Assignee shall be entitled to injunctive relief and/or specific pmfunnance. Assignee shall be entitled to recover from Assignor or LL AAA LLC, as applicable, in addition to any other remedies in the event ofsuch breach, reasonable attomeys' fees, costs and expenses incurred by Assignee in the enforcement of the provisions hereof. Assignee's exercise ofany of the foregoing remedies shall not operate as a waiver ofany other rights or remedies which Assignee may have.

Section 9,2 Non-Waiver. The failure ofa party to enfon:e any term, provision or condition ofthis Agreement, or to exercise any right or option herein, shall in no way operate as a waiver thereof: nor shall any single or partial exercise by a party preclude any other right or option herein; and no waiver by a party shall be valid unless in writing.

Section 9.3 Notices. All notices, claims, n,quests, demands and approvals hereunder shall be in writing and shall be deemed to have been duly given ifboth sent {l) via facsimile and (2) by mail (by certified mail, return receipt requested and postage prepaid), or if sent by an internationally recognized reputable overnight courier.

Section 9.9 Construction. The parties have participated jointly in the negotiation aod drafting of this Agreement In the event any ambiguity or question ofintent or interpretation arises, this Agreement shall be construed as ifdrafted jointly by the parties and no presumption or burden ofproof shall arise favoring or disfavoring any party by virtue ofthe authorship of any provisions ofthis Agreement

Section 9.10 Entire Agreement This Agreement constitutes the entire agreement and understanding ofthe parties hereto and terminates aud supersedes any and all prior agreements, arrangements and understandings, both oral and written, express or implied. between the parties hereto concemiog the subject matter ofthis Agreement. including without limitation the Master License and the Sublicense, which the parties by their respective signatures below hereby mutually terminate effective as ofthe date hereof. This Agreement may only be amended or modified in a writing signed by the parties hereto.

Section 9.11 Indg,endcpt Contractor. Nothing in this Agreement shall create any joint venture, :franchisee-ftanchisor or principal-agent relationship between Assignors and Assignee. Section 9.12 No Third Party Beneficiaries. This Agreement shall inure to the benefit of and be binding upon the parties hereto, and where expressly stated, their affiliates, and their respective successors and permitted assigns. Nothing contained in this Agreement, express or implied, is intended to or shall confer upon any person other than the parties hereto, and where expressly stated, their affiliates and their respective successors and permitted assigns, any right, benefit or remedy of any nature whatsoever under or by reason ofthis Agreement

Section 9.13 Remedies. Except as otherwise provided herein, no remedy herein conferred or reserved is intended to be excluaive of any other available remedy or remedies, and each and every remedy shall be cumulative and shall be in addition to every remedy under this Agreement or now or hereafter existing at law or in equity. EXECUTION VERSION AMENDMENT

AMENDMENT (the "Amendment"), dated as of January 20, 2015, to the Intellectual Property Assignment Agreement dated as of January 11, 2014 (the "IP Assignment Agreement") by and between Promociones Antonio Pefia, S.A. de C.V. ("Assignor"), a Mexican corporation with a principal place of business at Dulce Oliva 157-B, Col. Villa Coyoacan, Del. Coyoacan, Mexico D.F. 0400, Lucha Libre FMV LLC ("Assignee"), a Delaware limited liability company with a principal place of business at 1657 12th Street, Santa Monica, CA 90404, and Lucha Libre AAA, LLC ("LL AAA LLC"), a Delaware limited liability company with a principal place of business at 9701 Wilshire Boulevard, Suite 906, Beverly Hills, CA 90212.

WHEREAS, the parties desire to amend the IP Assignment Agreement as provided herein.

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledge, the parties agree as follows:

1. Defined terms used herein shall have the same meaning as such terms in the IP Assignment Agreement, except as otherwise expressly provided herein.

2. In the event of a conflict between the terms of the IP Assignment Agreement and this Amendment, the terms of this Amendment shall prevail.

3. Section 2.1 of the IP Assignment Agreement is hereby amended as follows:

a. The paragraph beginning "Assignment. Effective as of the date hereof... " is hereby deemed Section 2.1 ( a).

b. · A new Section 2.1 (b) is hereby deemed added, as follows:

"Section 2.1 (b) License. Assignor and LL AAA LLC acknowledge and agree that Assignee has created and/or produced the "Lucha Underground" television program, and intends to continue creating and/or producing audio-visual content and live events, as well as games, motion pictures, merchandising and digital and social media marketing tools and products related to the professional wrestling, sports and entertainment business known as lucha libre (such content collectively, the "Assignee Content"). To the extent that the Assignee Content incorporates the Assigned IP, effective as of the date hereof, Assignor hereby irrevocably grants to Assignee a non­ exclusive sublicensable royalty-free license to reproduce, distribute, perform, exhibit, display, transmit, telecast, promote and otherwise exploit and/or use the Assigned IP in Mexico in connection with the exploitation of the Assignee Content, including the allied, ancillary and derivative rights therein. The License shall be subject to the reversion right set forth in Article VII below. For the avoidance of doubt, Assignor shall have the right to exploit, and/or grant third parties the right to exploit, the Assigned IP in Mexico, provided, however, that (i) any exploitation of or grant of rights to the Assigned IP shall be subject to the rights granted to Assignee under this Agreement, and (ii) no exploitation of or grant of rights by Assignor or any ltcensee, assignee or other transferee of Assignor in connection with the Assigned IP shall conflict with, diminish or materially impair the rights granted to Assignee under this Agreement."

4. A new Section 3.3 is hereby deemed added, as follows:

Section 3.3 Lucha Underground Mexican Television Rights. In consideration of the rights granted pursuant to Section 2.1 (b ), Assignee agrees that Assignor shall receive a sales agent fee for disposition of the right to Televisa to broadcast Lucha Underground in Mexico (which such sales agent fee shall be calculated as a percentage of the amount received and retained by Assignee from Televisa in consideration of such broadcast right); provided, that, the percentage of such sales agent fee shall be equivalent to the percentage charged by One Three Television, LLC ("OTT") as sales agent in connection with Lucha Underground for territories other than the United States, pursuant to the agreement between Assignee and OTT.

5. A new Section 3.4 is hereby deemed added, as follows:

"Section 3.4 International Proceeds.

(a) Reference is hereby made to television programming produced or co-produced by Assignor, LL AAA LLC or any of their Affiliates ("Affiliate" as used in this Agreement shall mean any entity controlling, controlled by, or under common control with Assignor or LL AAA LLC, but for the avoidance of doubt excludes Assignee, FactoryMade Ventures LLC or any entity controlling, controlled by or under common control with Assignee or FactoryMade Ventures LLC), which such programming is initially exhibited in Mexico (the "AAA Programs"). The parties acknowledge and agree that Assignee has the right to act as sales agent or distributor in connection with the exploitation of such AAA Programs worldwide excluding Mexico; the proceeds of any such exploitation by Assignee, whether in the form of a sales agent commission, distribution fee or otherwise, are hereby referred to as the "International Proceeds".

(b) Promptly following execution of this Amendment, Assignor shall provide to Assignee details of the per episode budget (or budget information in such other form as may be reasonably requested by Assignee) for each AAA Program (such budget for each AAA Program, the "Baseline Budget"). From time to time, Assignor or LL AAA LLC, as applicable, may request that Assignee approve an increase in the Baseline Budget for each AAA Program; in the event Assignee approves an increase in the Baseline Budget (an "Approved Budget Increase"), and provided, that, Assignee subsequently enters into an agreement with a third party to exploit such AAA Program in a territory other than Mexico, Assignee agrees that the International Proceeds actualiy received and retained by Assignee for such AAA Program shall be paid to Assignor until such time as Assignor has received an amount equal to the Approved Budget Increase (for the avoidance of doubt, the amount of International Proceeds payable to Assignor shall be calculated per AAA Program, and shall be paid only out of International Proceeds attributable to such AAA Program, i.e., there shall be no crossing). Assignee shall make such payments to Assignor within sixty (60) calendar days ofreceipt by Assignee of such International Proceeds.

( c) Assignor and LL AAA LLC shall, and shall cause each of its Affiliates to, maintain full and accurate books and records relating to each AAA Program for a period of three (3) years from the date on which Assignee first receives International Proceeds for such AAA Program. upon reasonable notice, Assignee shall have the right, at Assignee's expense, to inspect and audit such books and records during normal business hours, and to make copies thereof, for purposes of verifying the Approved Budget Increase. In the event that such books and records are insufficient to verify the Approved Budget Increase, Assignee shall have no further obligation to pay any amount of the International Proceeds to Assignor, or if such audit reveals that the actual budget increase is less than the Approved Budget Increase, Assignee's obligation to pay International Proceeds to Assignor shall be limited to the amount of such actual budget increase verified by Assignee's audit, and in either instance, Assignor shall reimburse Assignee for the reasonable cost of the audit."

6. Section 4.1 of the IP Assignment Agreement is hereby amended to read as follows:

"Section 4.1 Ownership by Assignee. As between Assignee and Assignor, any New Characters and Intellectual Property created by Assignee shall be owned and controlled by Assignee throughout the world (including without limitation, any Assigned IP to the extent incorporated therein)."

7. Section 4.2 of the IP Assignment Agreement is hereby amended to read as follows:

"Section 4.2 Ownership by Assignor. As between Assignee and Assignor, any Intellectual Property in connection with Lucha Libre AAA created by Assignor or in which Assignor acquires an interest after the date of this Agreement shall be owned by Assignor in Mexico but, upon creation and without further action by the parties hereto, shall be included in the definition of the Assigned IP and the assignment and license to Assignee set forth in Article 2 above, as amended. For the avoidance of doubt, Assignor shall in no event have any right to incorporate the New Characters into any Intellectual Property which Assignor creates or acquires after the date of this Agreement."

8. A new Section 5 .2(d) is hereby deemed added to the IP Assignment Agreement, as follows: "Section 5.2(d) Assignee shall have the right, but not the obligation, to bring and control any Actions against any unauthorized use, infringement, misappropriation, dilution or other violation of the Assignee Content throughout the world, and shall be entitled to retain the entirety of any award arising from such Action. Assignor agrees to cooperate with Assignee in any Action that Assignee may undertake to prosecute, protect or enforce the Assignee Content, and upon Assignee's request, shall execute, file and deliver all documents and proof necessary for such purpose, including being named as a party to any Action ifrequired by law. All costs and expense shall be Assignee's responsibility, except that Assignor shall have the right to participate and be represented in any such Action by its own counsel at its own expense. Assignor shall have no claim of any kind against Assignee based on or arising out of Assignee's handling of or decisions concerning any such Action ( or failure to take any action), or any settlement, compromise or disposition thereof, and Assignor hereby irrevocably releases Assignee from any such claim; provided, that, Assignee shall not settle, compromise or dispose of any Action in a manner that would materially restrict or compromise the rights of Assignor in the Assigned IP in Mexico without the prior written consent of Assignor." 3 Doc#: USl:9751794v10

8. Except as amended hereby, the IP Assignment Agreement shall remain in full force and effect.

9. This Amendment may be executed by manual or facsimile signature in one or more counterparts, each of which shall be deemed an original and which when read together shall constitute one agreement.

During autumn of this year. the first 4 wrestlers of this group will be announced. who will be call ed to revolutionize the AAA lineup.
