(PNTV) is a diversified holding company operating in marijuana and media. The company’s primary objective is to create long-term shareholder value by identifying opportunities in underserved and niche emerging markets whose growth potential is significant and likely underappreciated.

Player’s Network main focus is to advance its existing holdings, while pro- viding shareholders direct access to these businesses. Existing holdings take precedence over all investment capital allocation and resources as the company works to improve the market’s understanding of these busi- nesses, and assist with their growth by providing capital and resources while maximizing their value.

Player’s Network owns 86% of Green Leaf Farms Holdings, LLC, which has Nevada state-issued cultivation and production license(s). The cul- tivation license enables Green Leaf Farms to grow marijuana while the production license enables the company to create extracts for use in car- tridges, oils and edibles. Player’s Network’s wholly owned WeedTV.com subsidiary is developing the ultimate resource for the marijuana lifestyle.

As a fully reporting, publicly traded company since 1998, Player’s Network’s first priority in any venture is to build long-term shareholder value. While shareholder value comes in many forms, Player’s Network’s powerful management team puts vision, scalability and potential cash- flow above all.

The “go-to” source for information, entertainment, products and services for the marijuana lifestyle

Founded in February 2014, WeedTV.com is a niche social network and lifestyle channel destination for the marijuana industry. The platform is developing the “go-to” source for information, entertainment, prod- ucts and services for people who relate to the marijuana lifestyle and an active social community. WeedTV.com features daily stories sourced by WeedTV.com correspondents and contributors from around the world.

Programming includes political news, business news on the industry, financial analysis from industry experts, growing tips, cooking tips, the “Weed101” section, medical applications/issues, lifestyle features, and entertainment specials.

By leveraging media, WeedTV.com builds long-term brand equity and connects consumers to businesses. This is accomplished through fresh and relevant content such as professionally produced branded televi- sion segments, user-generated videos, blogs, editorials, tweets (twitter), photos, special offers, events and custom-designed contests to engage both consumers and businesses with their brands and services.

WeedTV.com’s first original series, titled “High Stakes,” was developed by Michael Berk, the company’s Chief Creative Officer and creator of –one of the most popular cable series of all time. High Stakes is a docu-series that follows the team at Green Leaf Farms as it builds its facility and launches its marijuana business. The initial launch strategy is to broadcast live videos. WeedTV’s software is powered by tools that help content creators maximize their reach for “Going Live.” Currently, most social media platforms, such as Facebook and Twitter/periscope, prioritize live content and encourage their members to “Go Live.” They reward their members who Go Live by distributing the live content to a larger audience–thus leading to more viewers.

Revenue Generation

WeedTV generates revenues through advertising, directory listings, cross-selling with other companies, and professional services. WeedTV offers clients a full suite of digital tools to help them market and manage their business online. Some of the tools include a loyalty program, database management system, content and social media management system, video players, reporter application, memberships, coupons and much more for a small monthly fee. WeedTV estimates there are cur- rently about 80,000 potential business customers and growing! The company intends on building a large sales team to approach these companies and provide strong customer service.

The goal is to successfully close approximately 10% of the businesses by the end of 2018. If successful, this would generate in excess of $3.2 million per month, or $38.4 million in annual revenues. Green Leaf Farms

Producing the highest quality and safest pharmaceutical-grade cannabis

Player’s Network owns 86% of Green Leaf Farms Holdings, LLC, which produces medical and recreational cannabis products. Revenues are generated by the sale of cannabis products to licensed dispensaries throughout Nevada.

Founded in August 2014, Green Leaf Farms’ mission is to produce the highest quality and safest pharmaceutical-grade cannabis to all levels of consumers. The company utilizes the most efficient cultivation meth- ods in order to lower expenses for consumers and maximize returns for investors.

Located in Las Vegas, Green Leaf Farms occupies 2.3 acres in a state-of- the-art 27,000-square-foot facility, where a seasoned team of professional growers and operators manage the facility with proven best practices to ensure they have the highest quality products available.

Notably, Green Leaf Farms is one of only a few companies granted two Medical Marijuana Establishment (MME) licenses in Nevada.

The Cultivation License enables Green Leaf Farms to grow cannabis which will produce flower, while the Production License enables it to process flower (cannabis) and cannabis byproducts into extremely pure concentrates, extracts, and oils which are used in medicine, cartridges, and edibles. Green Leaf Farms has both acquired and developed pro- prietary cannabis strains and will continue to be committed to cannabis research and development.

Revenue Generation

Green Leaf Farms generates revenues by selling its cannabis products to licensed dispensaries throughout Nevada. The flower produced is sold at wholesale prices to dispensaries throughout the state of Nevada. The Production License can and will be used independently of the Cultivation License. This creates a fantastic opportunity to purchase RPM (Raw Plant Material) from other cultivators in the state who do not have a Production License. The cannabis byproducts (extracts and oils) created from both Green Leaf Farms, as well as RPM purchased from other Nevada cultivators, will be used in medicine, cartridges, and edibles. The end products will be packaged under the Green Leaf Farms brand and sold to dispensaries throughout Nevada.

Green Leaf Farms expects to generate a profit in the first fiscal year of operation. Marijuana Accelerator

Identifying and developing strategic, value-building ventures in the marijuana industry

Designed to connect entrepreneurs and investors to PNTV’s network and develop partnerships, Marijuana Accelerator is best described as an ecosystem for the marijuana industry.

Player’s Network acquired MarijuanaIncubator.net and further devel- oped it to launch Marijuana Accelerator in January 2017. The main purpose of Marijuana Accelerator is to identify resources to further Player’s Network’s businesses, as well as identify new acquisition targets. concentrates, extracts, and oils which are used in medicine, cartridges, and edibles. Green Leaf Farms has both acquired and developed pro- prietary cannabis strains and will continue to be committed to cannabis research and development. Specifically, Player’s Network will utilize Marijuana Accelerator to achieve the following:

DDIdentify Companies, Entrepreneurs, and Ideas. Player’s Network has defined its plan to identify seed to sale ventures (cultivation, production and dispensaries) in target states, as well as explore opportunities for technology ventures. This will be a fantastic source for the company’s own deal flow.

DDContinue to Build the Network. Player’s Network hopes to identify partners and potential joint ventures to enhance the distri- bution of its products and services.

DDIdentify Investors and Investment Groups. In addition to invest- ing its own capital, Player’s Network would like to identify other strategic investment groups with which to invest.

DDIdentify Leaders. Identify leaders, advisors, officers and directors to place in Player’s Network and its portfolio companies.

New ideas are what drives Marijuana Accelerator, and the company is always on the lookout for ideas it can get behind. While the company prefers to partner at the earliest stage, it is open to working with com- panies of all stages. Business Strategy Player’s Network’s first priority in any venture is building long-term shareholder value by investing in opportunities that generate attrac- tive returns and substantial cash flow in order to maximize value for its shareholders. The company looks for unique opportunities in emerging markets that fall under the scope of media and marijuana.

Different from most holding companies, which seek to acquire assets and maximize net profits, Player’s Network’s management team is com- prised of visionaries and risk-takers who look at the world differently. This progressive team strives to identify opportunities before they happen, and has the ability to pivot and move quickly.

Once Player’s Network has made the decision to start, acquire or part- ner with a company, action and execution are quick. This gives Player’s Network a tremendous advantage over its competitors. The company selects strong leadership teams, works with them to establish specific objectives, and regularly reviews their strategy and performance.

Player’s Network values people, ideas, passion and principles over fundamentals and bottom line, which creates a philosophy based on innovation and scalability. Leadership

Player’s Network is managed by a visionary management team with a track record of innovation, brand development and advancement, and the ability to create value in emerging markets. Mark Bradley CEO

Mark Bradley is a visionary that has been focused on the development of New Media Digital Lifestyle Channels, Technology, and Content Development. A pioneer of digital distribution, in the early 1990’s Bradley recognized the untapped market for Las Vegas Lifestyle Programming, and the transition to digital based delivery services, and the first person to replace videotape with the installation of a server-based TV channels inside Las Vegas hotel rooms.

In 1985, Bradley in his early 20’s created the first ever 24-hour real-es- tate television network that was broadcast in the San Fernando Valley, where the network showcased homes for sale and its success has survived over 30 years later and still running today. In 1993, Mark founded Players Network and took the company public as PNTV in 1998, and 96 audits later have remained a fully reporting company ever since. As CEO, he has been the driving force behind PNTV’s growth from Las Vegas In-Room Channel to National Cable Network available in nearly 104,000,000 homes on major cable TV distribution platforms.

In 2001 only a small percentage of the country had Broadband, yet Bradley understood that Internet Broadcasting was the business model of the future, so he launched a branded, Interactive Web Platform that distributed the first Live Webcasts from Las Vegas, including the four-day World Gaming Congress, and five-day World Series of Poker Lifestyle Show live from the Rio Hotel.

Under Bradley’s guidance, PNTV signed a precedent-setting ten-year Distribution and Partnership Agreement with Comcast Communications, and agreements with other top cable providers including AT&T, DirecTV, Verizon. With substantial knowledge in digital content delivery, Mark help develop broadband delivered video content and teamed up with Google on the new Google Video platform to launch on-demand pro- gramming, this was 2 years before Google acquired YouTube.

Mark also work with HULU on HULU’s first content launch, at the time HULU was the first Over the Top Television platform. These relationships were leveraged by creating and offering the company’s first network “Vegas On Demand”, a 24/7 Las Vegas Lifestyle Channel on these emerging Video on Demand platforms. Within a year, PNTV’s “Vegas On Demand” became one the highest viewed VOD Channels with over 365,000,000 videos viewed in over 104 million homes.

When industry revenue did not keep pace with PNTV’s rapid distribution growth and it was obvious that the content producer always received the short end of the revenues, and sometimes none with the early VOD and broadband business models. Bradley turned the company’s focus to the development of a new, innovative Enterprise Web-Based Platform to monetize viewership through the integration of Social Networks and Media – a turnkey solution that allows any lifestyle industry, brand or celebrity to reach their targeted consumers without relying on the over-saturated, traditional advertising and subscription business models. The concept was content equals commerce, with an innovative new business model focused on assisting small and medium business in developing their own network.

Players Network’s proprietary Enterprise Web-Based Platform can now be used to launch Digital Channels in literally thousands of different Lifestyle Categories. The first new channel PNTV has launched is “WeedTV”, a company-owned digital channel targeting the millions of enthusiastic consumers engaged in the enormous legalized Marijuana market.

In 2015 Mark Founded Green Leaf Farms, who obtained two licenses from the state of Nevada for cultivation and Production of Medical marijuana products and plans to open a 27,000-sq. ft. facility that will use the power of Weed TV as it marketing arm, creating the first fully integrated media and marijuana company.

Mark studied Television Production, Producing, Directing and Cinematography at Cal State Northridge and UCLA and ran and internship program at United Artist Cable Television.
