Martin, Frederick W. Steudler, Jr. and Dwight H. Brubaker (collectively, along with AMT, the "AMT Defendants"), by and through their undersigned attorneys, hereby submit this Opposition in Response to Plaintiffs and Counterclaim-Defendants Disney Enterprises, Inc.'s ("Disney's") and Marvel Characters, Inc.'s ("Marvel's") Motion to Dismiss Amended Counterclaims and Intervenor Complaint and to Strike Amended Affirmative Defenses ("Motion"). For the reasons discussed in more detail below, AMT Defendants respectfully request that the Court DENY the Motion in its entirety. I. INTRODUCTION Plaintiffs are correct—this is a straightforward case. Motion at 1. AMT, a small theatre company in Lancaster, Pennsylvania—acting on appropriate advice of counsel and pursuant to valid licenses—put on a production of a highly original, transformative show called Broadway: Now and Forever that included, among other things, various performances of songs appearing in past and present Broadway musicals. Upon learning of AMT's production, Disney and Marvel (and other Plaintiffs in this action) felt it necessary to flex their muscles and force AMT to stop its small town production, asserting that the same infringed upon, inter alia, such parties' alleged copyrights. When AMT, again on advice of counsel, continued to produce this show despite Plaintiffs' baseless threats,Deadline.com Plaintiffs grew angry and, in September of 2013, filed suit against AMT in this district alleging, inter alia, causes of action for copyright infringement, including infringement of certain works relating to Spider-Man.' Upon learning of this suit and the fact that Disney and Marvel had asserted copyrights in Spider-Man against AMT, SLMI approached AMT and advised that SLMI was the actual owner 1 While Plaintiffs assert in their Motion that they own intellectual property from Spider-Man Turn Off the Dark, there is some question as to whether this is the case and discovery will illuminate this issue. Accordingly, SLMI, with an eye towards collecting assets owed to it and disposing of its property, offered to grant to AMT, in exchange for a royalty, a nunc pro tunc retroactive license 2 covering AMT's use of Spider-Man in Broadway: Now and Forever, as well as certain other exclusive rights.

INTRODUCTION The common wisdom is that death penalty cases play out on a landscape that pits the forces of retribution and punishment against the forces of abolition and rehabilitation. Supporters, or so the simplified version goes, applaud the death penalty for insuring that the perpetrators of the most wanton and vilest murders receive the ultimate penalty. Opponents, again oversimplifying, argue both that the penalty is immoral (that the state does not have the moral authority to take the life of another, no matter how depraved the crime) and inherently inequitable (that for a combination of racial, class, and political biases, it is impossible to create a system in which only the truly worst-of-the-worst capital defendants are subject to a death sentence). Arguments, both pro and con, vacillate between high-end theory and street anecdote.

Your appearance is largely up to you, allowing you to appear as anything from living flame to a classical demon with horns and bat wings to basically human or even something more bizarre such as a multi-headed snake. The only restriction is your base size must be between that of a squirrel and an average car. Your nature means that you’re likely to be at least several times stronger than a human as well as having natural talent with magic and more personal power to call on than humans. If you wish, you may instead choose to be the offspring of a demon and a human, with your natural form appearing to be a human but possessing the ability to take on more demoniac features when calling on your power or feeling anger. God (400): Perhaps the decadent gods of Olympus, the fierce warrior deities of Asgard, or perhaps completely alien gods worshipped by beings on other worlds.

    1 Superhuman Ethics Class Never let it be said that superheroes don’t take ethics seriously! After his fellow Avengers engaged in some questionable activities during an inter- stellar conflict in the “Galactic Storm” storyline, Captain America initiated a “Superhuman Ethics” class; later, the young heroes-in-training at Avengers Academy took the same class as part of their regular curriculum (taught by perennial screw-up Hank Pym).1 Even though the situations faced by superheroes may seem extraordi- nary, often involving aliens, wizards, or time travelers, most of them ­actually boil down to the same issues each of us face on a regular basis: the right ways to manage our interactions with other people given the various ways we can affect them in good ways and bad. We may not have super-strength or fire energy bolts from our eyes, but we can still use our very human abilities and the tools at our disposal to help or hurt people (including our- selves). Even if we’re of a mind to help people—like the heroes we are— questions nonetheless arise regarding when to offer help, how to do it when we decide to, and who to help if we have to make choices or set priorities. We also have to consider that the help we offer may come at a cost, not just to ourselves but possibly to other people, which also deserves consideration. Compared to the complexities of moral decision-making, all of the flying, punching, and mind-reading might seem like the easier part of a hero’s day! But these ethical dilemmas are the types of problems that we in the real world face all theCOPYRIGHTED time in our ordinary lives, and MATERIAL in the comics they lend an important sense of humanity to even the most super of heroes.
