SCHEDULE 1

INSTRUCTIONS TO TENDERERS

1. Introduction

A.1 These instructions are designed to ensure that all tenders are given equal and fair consideration. It is important therefore that tenderers provide all the information requested in the format and order specified. If in any doubt as to what is required please contact Mr Jordan Borg on Tel: (+350) 20051631 or e-mail procurement@.gov.gi.

1.2 A description of the requirements is detailed in the Specification Document enclosed with these instructions at Schedule 4.

2. Instructions

2.1 Tenders are invited for the provision of suitable Airport Liability and Airport Terminal Property Insurance cover beyond the expiration of the current policy which expires at midnight on 21st August 2014.

2.2 All the requirements under this tender will be awarded to a single tenderer; therefore, any tenderer who does not offer all of the policies required will not be considered.

2.3 The above specifications have been based on HM Government’s current insurance cover. Tenderers may quote for alternative cover proposals, including levels of deductibles, provided that at least the level of cover outlined in these specifications is met.

2.4 Variants will not be considered.

3. Contract Period

3.1 The contract is for a period of two (2) years commencing on the date specified in the letter of award.

4 Communications and Queries

4.1 All communications during the tender period must be directed to the Procurement Office for the attention of the officer named in 1.1 above.

4.2 The Procurement Office will only correspond with those parties who have registered their interest and H.M. accepts no liability for those parties who, having obtained this document through other means, have not been made aware of any changes, amendments, clarifications, extensions, etc. which impact on the delivery of the requirements and the tenderers bid.

4.3 Queries arising from the tender documents should not be submitted later than 10 working days before the closing date.

4.4 In order to ensure equality within the tender process, replies to queries will be circulated to all tenderers.

4.5 Requests for clarification or additional information post tender submission, if applicable, will be circulated by and forwarded to the officer named in 1.1 above.

5. Submission of Tender

5.1 The original and an electronic version, in CD, DVD, USB or other media, of the complete tender is to be submitted in a sealed envelope marked “Tender for Airport Liability and Airport Terminal Property” and deposited in the Tender Box situated at the entrance to No.6 Convent Place by the due date. Please ensure that your envelope does not bear any distinguishing marks other than the address and reference given above.

5.2 Tenders will be accepted before and up to the time shown below and any tenders received after the closing date may not be considered.

5.3 All documentation submitted in support of the Tender submission is to be in English. Where the original literature is in another language, a translation into English, of all of the text, shall be affixed to the original.

5.4 All copies of the tender, on whatever medium supplied, must be identical. It is the sole responsibility of the tenderer to ensure that all copies of the tender bid it supplies are identical.

5.6 The original tender MUST be bound; loose documents may not be accepted. The following are acceptable forms of binding:

 2 or 4 Ring Binders;  2 or 4 Ring lever Arch Folders;  Card folders with documents secured by treasury tags;  Binding combs; or  Other similar types of temporary document binding solutions.

Individual plastic wallets should not be used.

6. Price

6.1 All prices, including premiums, are to be submitted in GBP. The Client will remunerate the successful tenderer by way of an agreed annual fee. Tenderers should submit all premium indications net of all brokerages/commissions allowed by insurers and confirm that all such brokerages/commissions will be rebated to the Client and that terms negotiated with insurers are on a net absolute basis.

7. Amendments to Tender Documents

7.1 H.M. Government of Gibraltar reserves the right to amend the enclosed tender documents at any time prior to the deadline for receipt of Tenders. Any such amendment will be numbered, dated and issued by the Procurement Office. Where amendments are significant, the Government may at its sole discretion, extend the deadline for the receipt of Tenders.

7.2 No alterations by tenderers will however be accepted after the Tender has been submitted. Any alterations required to be made by the tenderers before final submission shall be made by striking through the incorrect wording/figure(s) and inserting the correct wording/figure(s) above the original in such a manner that the original wording/figure is still visible through the correction. All such alterations will be made in ink and initialled by the tenderer.

8. Incomplete Tenders

8.1 Tenders may be rejected if the complete information requested is not given at the time of tendering.

9. Acceptance of Tenders

9.1 By issuing this invitation HM Government of Gibraltar does not bind itself in any way to accept the lowest or any tender. Tenderers will not be entitled to claim from HM Government any costs or expenses that may be incurred in preparing the Tender whether or not the Tender is successful.

10. Period for which the Tender shall remain valid

10.1 Unless otherwise stated by the tenderer, Tenders shall remain valid for a period of 120 days from the closing date for receipt of tenders.

11. Administrative Information

11.1 The successful tenderer will be expected to comply with Gibraltar Laws in the execution of this contract. Laws of Gibraltar may be viewed online at http://www.gibraltarlaws.gov.gi

12. Viewing the Site(s)

12.1 Upon request and prior to the closing date; the Procurement Office will arrange one site visit for all Tenderers.

12.2 Tenderers are not to make their own arrangements or contact site users/managers to view the site on their own.

13. Closing Date

SCHEDULE 2 EVALUATION PROCESS Tender submissions will be evaluated by a panel comprising of at least three Senior Public Officers together with an appointed Insurance Consultant.

The following will be the selection criteria used to qualify tenderers for further consideration:

Tenderers should prove their economic & financial standing and their ability and technical capacity by submitting for consideration by the panel:

(a) Financial and economic standing:

 Statement regarding their general and specific (in the business of providing the relevant insurances) turnover in the last three years. If this information is available, free of charge, electronically; provide the web address, identity of the issuing authority or body and precise reference of the documentation. o If the information concerning turnover is not available for the entire period required; the date on which the business was set up or started trading.  Copies of audited accounts and Balance Sheets for the last three financial years

(b) Ability and technical capacity:

 Description of core business and any other business activities;  The proposed underwriter should possess a minimum ‘A’ rating awarded to by A.M. Best or other equivalent rating agency;  Proof of current and relevant license(s) issued by the Office or Fair Trade, Gibraltar Financial Services Commission and/or other equivalent organisation of the Tenderer’s country of origin, recognised by the European Union;  Proof of providing insurance cover of similar business in the last 3 years  Details of any certifications held or sought under International, European, British or other quality standards (e.g. BS EN ISO 9001)

(c ) A certificate issued by the Commissioner of Income Tax or other relevant competent authority attesting that the tenderer has fulfilled its obligations relating to the payment of social security contributions and taxes.

Only submissions received from tenderers which have been qualified as above will be evaluated on the basis of the most economically advantageous tender taking account of the following criteria:

SCHEDULE 4 SPECIFICATION:

AIRPORT LIABILITY INSURANCE

INSURED

The GOVERNMENT OF GIBRALTAR and/or DIRECTOR OF CIVIL AVIATION and/or the GIBRALTAR DEVELOPMENT CORPORATION and/or GIBRALTAR AIR TERMINAL LTD and/or UNITED KINGDOM MINISTRY OF DEFENCE and/or BORDERS AND COASTGUARD AGENCY and/or AIRPORT FIRE RESCUE SERVICE jointly and severally, for their respective rights and interests.

NOTE

Each of the parties comprising the Insured shall be consider a separate entity, the words ‘the Insured’ applying to each as if they were third parties to each other separately and individually insured.

MINIMUM COVERAGE REQUIRED

To indemnify the Insured in respect of its legal liability arising out of its operation and ownership of the Gibraltar Civil Air Terminal, including, but not limited to:

A. Damages sustained by any person and legally recoverable consequential losses arising out of one or more of the following offences:

• False arrest, restraint, detention or imprisonment • Malicious prosecution • Wrongful entry, eviction or other invasion of the right of private occupancy • Inadvertent discrimination with respect to withholding or refusal of transportation • The publication or utterance of a libel or slander or of other defamatory or disparaging material violation of an individual’s right of privacy except publication or utterance in the course of or related to advertising, broadcasting or telecasting activities conducted by or on behalf of the Insured • Incidental medical malpractice error or mistake by a physician, surgeon, nurse, medical technician or other person performing medical services but only for or on behalf of the Insured in the provision of emergency medical relief

B. Third party legal liability arising out of its operations for:

i. Physical loss or damage to property ii. Death, bodily injury or illness iii. Legally recoverable consequential losses arising out (i) or (ii) above

C. Damages sustained by any person and legally recoverable consequential losses arising out of the following operations:

• Maintaining the Civil Air Terminal fully operational to meet all civil aviation requirements. • Repairs and upkeep of the Air Terminal Building, the Air Cargo Building and all its associated areas. • Repairs and maintenance of all equipment, including security equipment. • Provision of flight information. • Enforcing terms of concessionaire agreements • Air Meets and Air Shows • Fire and Rescue Liability • The Victoria Stadium Safety Zone

A new facility to incorporate the Baggage Handlers accommodation, Ground Handlers workshop and a covered parking area for airside equipment is in the process of obtaining funding from HMGoG.

6. The MoD is responsible for the following services at the airport:-

• Hangarage • Runways/Taxiways including the maintenance of these areas. • Control Tower • Bird Control • Maintenance of Navigational/Radar Equipment

7. Concessions & Contracts

Where services handled by concessionaires, is full hold harmless and indemnity given to airport authority. Give minimum limits demanded from concessionaires by airport authority.

Retail and Catering Concessions

The Concession Agreement issued to all the Retail and Catering Concessions specifies that the Concession shall indemnify GATL from all losses, expenses, cost, claims, action, proceedings, damages or liability arising directly or indirectly from any act, omission or negligence of the Concessionaire or any persons at the Terminal Building expressly or impliedly with the Concessionaire’s authority or any breach or non-observance by the Concessionaire of the covenants, conditions or other provisions of this Agreement or any of the matters to which it is subject and without prejudice to the generality of the foregoing in respect of:

a) any personal injuries (including fatal injuries). b) loss of or damage to any property real or personal, including property of the Licensor or its servants agents or contractors. c) in respect of and including any claim action proceeding or demand whatsoever made by or as a consequence of any member of staff of the Concessionaire.

It also states that the Concessionaire shall effect with reputable insurers or underwriters a policy or policies of insurance in the name of the Concessionaire covering in terms satisfactory to the Licensor

all matters covered by the provisions of the clause referred to above and any other insurable risk that the Licensor or the Concessionaire may require including the indemnity contained in the previous clause for a sum which the Licensor reasonably considers adequate and notified to the Concessionaire from time to time in respect of any one occurrence or series of occurrences arising out of one event but unlimited during the period of the policy or policies subject to the necessary insurance cover being obtainable from a reputable insurance company on the insurance market. The Concessionaire shall produce for inspection by the Licensor upon demand at any time the said policy or policies of insurance and evidence of payment of the then current year’s premium.

The section that refers to insurance within the Retail and Catering Concession Agreement is copied below.

7.11 Insurance

7.11.1 The Concessionaire shall effect with reputable insurers or underwriters a policy or policies of insurance in the name of the Concessionaire covering in terms satisfactory to the Licensor all matters covered by the provisions of Clause 7.10 hereof and any other insurable risk that the Licensor or the Concessionaire may require including the indemnity contained in Clause 7.10 for a sum which the Licensor reasonably considers adequate and notified to the Concessionaire from time to time in respect of any one occurrence or series of occurrences arising out of one event but unlimited during the period of the policy or policies subject to the necessary insurance cover being obtainable from a reputable insurance company on the insurance market. The Concessionaire shall produce for inspection by the Licensor upon demand at any time the said policy or policies of insurance and evidence of payment of the then current year’s premium.

7.11.2 Insurance of Plate Glass

Without prejudice to Clause 7.11.1, the Concessionaire must insure any plate glass in the Premises against breakage or damage, in a reputable insurance office, for its full reinstatement costs from time to time.

There is no minimum limit here.

Ground Handling

The terms of the Agreement between GATL and GibAir for the provision of ground handling include Terms to keep GATL, its employees and agents fully indemnified from and against all losses, expenses, costs fees, claims, actions, proceedings, damages or liability (whether criminal or civil) whatsoever (including any costs or expenses incurred by GATL in enforcing this indemnity) in any way arising directly or indirectly out of or in connection with:

(a) any act, omission, default or negligence of GibAir or any persons at the Civil Airport expressly or impliedly with GATL’s authority including its employees or agents in the performance of the services or otherwise; and

(b) any breach or non-observance by GibAir of the obligations, conditions or other provisions of the contract or any of the matters to which it is subject and in particular but without prejudice to the generality of the foregoing in respect of:

i) any personal injuries (including fatal injuries) of any person;

ii) loss of or damage to any property real or personal, including property of GATL or its servants; and iii) any claim, action, proceeding, or demand whatsoever made by or as a consequence of any member of staff of GibAir, except to the extent that the same is due to any act of neglect of GATL or of any person for whom GATL is responsible.

The terms of this agreement further stipulate the requirement for GibAir to effect, with reputable insurers or underwriters, public liability insurance with a limit not less than GBP 1 million and employer liability insurance of not less than GBP 10 million without limiting the liability under the contract.

8. The underwriter for our current Aviation policy is: Lloyds of London.

10. Description of the Winston Churchill Avenue procedure and responsibilities:

Winston Churchill Avenue is a dual carriageway that crosses Gibraltar Airport and serves as the road link from Gibraltar to/from Spain.

There are access points at the northern and southern end of its intersection with the airfield which are managed by the Air Traffic Control Tower with the execution of these functions being carried out by the .

RAF Gibraltar has protocols in place as to exactly when and how the traffic and pedestrian barriers are closed to both vehicles and pedestrians whenever there are aircraft movements. Initially the traffic is stopped using traffic lights and then physical traffic barriers are lowered on both sides of the road.

There is an additional security measure put in place on the empty portion of the road which involves placing “stingers” across it. These are designed to deflate the tyres of any vehicle that attempts to get across forcefully.

11. Provide full details of firefighting facilities and whose responsibility they are:-

The Air Terminal has a comprehensive fire detection and suppression systems including a zoned water sprinkler system, gas suppression system in specialist areas and smoke curtains. There are fire extinguishers available, multiple call points throughout the building and smoke/heat detectors in all areas.

The Gibraltar Fire Rescue Service would be called out for any fire-related incident, and the Airport Fire and Rescue Service is also available to assist.

The duties and responsibilities of the Airport Fire and Rescue Service are detailed in the attached “Tasking Document”.

Yes in accordance with CAP 168 and the Military Manual of Aerodrome Design and Safeguarding Manual.

H. What arrangements are there to guide aircraft to applicable stands?

The Ground Handler provides a marshaller.

I. Are yellow lines marked on aircraft stands to show where ancillary equipment should be parked?

There are lines provided, but they are red in colour.

J. How many vehicles are allowed into the marshalling area? What checks are made to ensure that they are road worthy and personnel fully trained?

Approximately 30 ground handling vehicles are allowed onto the Civil Airport apron area.

Vehicles are maintained by GibAir Ground Handling and GibOil and both companies follow set maintenance procedures.

Maintenance records are regularly inspected by the airlines using the GibAir Ground Handling services

K. Are such vehicles allowed within this area fitted with flashing beacons, exhaust flame traps and two-way radio communications?

Vehicles are fitted with flashing beacons, but are not fitted with two-way radio communications as they are not allowed off the Civil Apron and onto the airfield manoeuvring areas.

2. SECURITY

A. Is the airport completely closed with a fence and, if so, what is the nature of the fence?

The perimeter of the airport is not completely closed with a security fence.

The Western End of the runway borders the sea and thus does not have fencing.

Winston Churchill Avenue crosses the runway and does not have security fencing, but is controlled as explained elsewhere in this document.

The remainder of the airport boundaries have security fencing which is permanent BS standard, while other areas bordering the tunnel works are presently fitted with temporary HERAS fencing. The area of the tunnel works is bounded by the airside/ landside fence and the Spain /Gibraltar Border Fence.

The security of the perimeter of the airfield is carried out by the Gibraltar Defence Police as it comes under the responsibility of the UK MOD (RAF Gibraltar).

How many entrance gates are there to the airport and what security arrangements are in force at these gates?

There is one access gate controlled by the Terminal which is permanently locked and only opened to allow vehicles in as and when necessary. All vehicles are searched prior to being allowed access and so are the occupants.

All other access points are manned by the Gibraltar Defence Police as they come under the responsibility of the UK MOD (RAF Gibraltar).

B. What are the security checks within the Terminal Building prior to passenger departure?

All security procedures are carried out to UK DfT standards and comply with the relevant EU Civil Aviation security legislation EC300/2008.

C. Are there customs facilities available and what type of bonded stores area available?

There are standard Customs controls for passengers and freight. There are no bonded stores though each Duty free shop has a secure store.

D. Briefly state how passenger baggage and cargo are handled.

Gibraltar Air Terminal Ltd contracts the services of Bland Ltd, trading as Gibair to carry out handling services for passengers, baggage and cargo.

Passengers alight and board aircraft using airstairs positioned at the front and rear of each aircraft.

Hold luggage and cargo are loaded/unloaded by Gibair baggage handlers manually and/or with the help of specialised equipment.

E. Do operators supply their own handling equipment and staff or are these provided by the airport?

Gibair, the Ground Handler employs and trains its own staff. It also purchased its own equipment under the terms of the contract with GATL.

This ownership of this equipment has now transferred to GATL, though Gibair maintain it under the terms of their contract.

Any future requirements for additional or replacement equipment will procured by GATL.

F. Are buses provided to transport passengers between the airport terminal and the aircraft? Please state whether these are supplied by the Aircraft Authority or separate operators.

No, all passengers walk to/from the aircraft with the exception of Passengers with Reduced Mobility who are transported in purpose built vehicles.

However, if aircraft are diverted to Malaga Airport, then the Airport, through the contract with GibAir hire standard coaches to transport the passengers between Malaga and Gibraltar Airports.

G. Is security the responsibility of the Airport Authority or the Airlines using the Airport? If both, what is the division of responsibility?

The security of the Air Terminal and its associated areas is the responsibility of GATL, though airlines are responsible for the internal security of their aircraft whilst on the ground.

The Air Terminal Director (ATD), who is also the CEO of GATL chairs the Airport Security Committee which comprises of all the agencies and organisations that have security responsibilities and duties at Gibraltar Airport including representatives of the UK MOD.

The ATD compiles and issues the Gibraltar Airport Security Programme which is compliant with the requirements of EC Regulation 300/2008.

The has full responsibility and primacy over all operational aspects of internal security in Gibraltar.

The Borders and Coastguards Agency is the appointed service provider to carry out security and immigration duties at the Air Terminal.

H. Emergency Equipment

HMGoG entered into an MOU with the MOD and the AFRS transferred over as a unit on 1 October 2015. The Air Terminal Director is also the CEO of the AFRS but they are under the operational control and responsibility of their Chief Fire Officer.

I. What firefighting equipment is provided at each airport and please indicate who is responsible for ensuring safety standards are met?

Firefighting equipment capable of providing ICAO Crash Category 7 fire cover is available. Is there a permanent firefighting staff resident and are they permanently employed as fireman or do they have other duties in addition?

A Permanent dedicated fire service is available to the Airport.

J. Briefly outline type of training available and frequently of training and practice alerts

Fire Service is trained in accordance to CAA standards encompassing some other Military requirements. They also carry out various functions for the MOD which are off the airfield including but not limited to Fire Fighting and Rescue tasks and act in support of the GFRS as and when required.

K. Is there a First Aid Room available and what is the extent of the equipment provided and staffing arrangements?

No, although there are trained First Aiders as an initial response with First Aid Kits available at various locations in the Terminal.

All injuries requiring further treatment are referred to the Gibraltar Ambulance Service.

L. What type of heavy lifting equipment is available in the event of a crash?

This equipment is provided by the UK MOD.

M. What is the largest type of aircraft regularly used in the airfield?

Civilian - A320, although very occasionally B757 visit. Military - C17, A400 and C130
